Swerdlin, Sam Allevato, Vice Chairman Wyatt Hart, Chairman Joe Soto BOARD MEMBERS ABSENT: None STAFF PRESENT: David Adams, Executive Director; Molly Bogh, Deputy Director; Cynthia L. Russell, Finance Officer; Meg Monahan, Agency Secretary; John Shaw, Agency Council; Douglas Dumhart, Economic Development Manager; and Eileen White, Recording Secretary. ANNOUNCEMENT OF CLOSED SESSION ACTIONS - None CONSENT CALENDAR Board Action: Moved by Director Hart, seconded by Director Swerdlin, and carried unanimously, 5-0, to approve items 1 & 2 as recommended by staff. 1. MINUTES OF THE REGULAR MEETING OF JUNE 20, 2006, APPROVED AS SUBMITTED. 2, ACCOUNTS PAYABLE WARRANTS DATED JULY 6, 2006, IN THE AMOUNT OF $24,134.66, RECEIVED AND FILED. (300.30) 1 7-18-2006 BOARD ACTIONS 1. EXCLUSIVE NEGOTIATING AGREEMENT FOR 15.03± ACRE LOWER ROSAN RANCH, APPROVED. (APN 121-240-39, 121-240-73, 121-253-13 & 121-253- 15) (FAMILY TOYOTA AND AUTOMOBILE INVESTMENT GROUP) CITY COUNCIL PRIORITY NO. 6A (600.40) Description: At their October 6, 2005, Board meeting the Directors authorized staff to explore the concept of dealership annexes on Lower Rosan Ranch with Automotive Investment Group. In addition, the Agency has also been approached by Family Toyota with a request for land to meet their space needs. The subject property includes the frontage parcel previously owned by Home Depot. Staff recommended the Board approve Exclusive Right to Negotiate Agreements (ENA) with Family Toyota and Automotive Investment Group. Written Communication: Report dated July 18, 2006, by Douglas Dumhart, Economic Development Manager. Letter dated July 11, 2006, from Mr. John H. McWilliams, City resident, suggesting a revision to the Lower Rosan Ranch property agreement. Presentation: Douglas Dumhart, Economic Development Manager, summarized the staff report. Public Testimony: Bobbi Decker, City resident, requested a method to assure that the property would not be used as a future auto dealership. John Shaw, City Attorney, recommended including legal tools within the final purchase and sale agreement to limit such uses. Board Action: Moved by Director Swerdlin, seconded by Director Allevato and carried unanimously, 5-0, to approve the Exclusive Right to Negotiate Agreements with Family Toyota and Automotive Investment Group (Owner of Capistrano Nissan and Capistrano Chrysler/Dodge) for the purchase of Lower Rosan Rancho, subject to the following percentages: Family Toyota (41.6%), Capistrano Nissan (29.2%) and Capistrano Chrysler/Jeep/Dodge (29.2%); and the Executive Director authorized to execute the agreement. 2 7-18-2006 1 1 ADJOURNMENT There being no further business, Chairman Soto adjourned Tuesday, August 1, 2006, at 5:30 p.m. for Closed Session, Business Session,_in the Qi�y Council Chamber.
