SUBSTITUTION OF TRUSTEE AND PARTIAL RECONVEYANCE
WHEREAS, TAYLOR WOODROW HOMES CALIFORNIA LIMITED, a California Corporation, is
the trustor ("Trustor"), FIRST AMERICAN TITLE INSURANCE COMPANY, a California corporation, is
the trustee ("Original Trustee"), and S.J. HILLS, a California limited partnership, is the beneficiary
("Beneficiary"), under that certain Deed of Trust with Assignment of Rents, Security Agreement and
Fixture Filing (Long Form), dated December 16, 1994, and recorded in the Official Records of
Orange County, California on February 15, 1995 as Instrument No. 95-0063898, as modified by that
certain Modification to Deed of Trust, dated December 12, 1996, and recorded in the Official
Records of Orange County, California on December 30, 1996 as Instrument No. 19960656082, and
as further modified by that certain Modification to Deed of Trust, dated July 2, 1997, and recorded in
the Official Records of Orange County, California on July 3, 1997 as Instrument No. 19970317268
(collectively, as amended, the "Deed of Trust"); and
WHEREAS, the undersigned Beneficiary desires to substitute a new Trustee under said Deed
of Trust in place and stead of the Original Trustee;
NOW, THEREFORE, the undersigned hereby substitutes itself as Trustee under said Deed of
Trust and does hereby reconvey, without warranty, to the person or persons legally entitled thereto,
the hereinafter described real property ("Released Property"), being a portion of the property
encumbered by the Deed of Trust.

The Released Property includes all of Trustor's interest in that certain real property situated in
Orange County, California, as legally described on Exhibit A attached hereto.
