PARTIAL ASSIGNMENT OF DECLARANT RIGHTS
THIS PARTIAL ASSIGNMENT OF DECLARANT RIGHTS (this "Assignment") is made
and entered into by and between S.J. HILLS, a California limited partnership ("Assignor") and CITY
OF SAN JUAN CAPISTRANO, a municipal corporation ("Assignee").
RECITALS:
A. Assignor caused that certain Declaration of Covenants, Conditions, Restrictions and
Grant of Easements to be recorded on May 31, 1995, as Instrument No. 95-0231757 (the
"Declaration"), in the Official Records of Orange County, California ("Official Records").
B. TAYLOR WOODROW HOMES, INC., a California corporation ("Taylor Woodrow")
(formerly known as TAYLOR WOODROW HOMES CALIFORNIA LIMITED, a California corporation), is
conveying to Assignee its fee title to certain real property owned by Taylor Woodrow, located in the
City of San Juan Capistrano, Orange County, California, as legally described on Exhibit A attached
hereto and incorporation herein by this reference ("Lot 48"), which is a portion of the real property
that was made subject to the Declaration.
C. Assignor desires to assign to Assignee all of the rights reserved to Assignor in the
Declaration, other than such obligations of Assignor provided for in the Declaration (the "Rights"),
and Assignee desires to accept such assignment of Rights from Assignor.
THEREFORE, Assignor hereby assigns to Assignee all the Rights that may be exercised by
Assignor with respect to Lot 48, effective as of the date of recordation of this Assignment. Assignee
hereby accepts such assignment of the Rights.
