THIRTIETH STREET ARCHITECTS (3)0 "Agenc I py" AGREEMENT FOR CONSULTING SERVICES THIS AGREEMENT is made and entered into this 17th day of November , 19 87 , by and between the SAN JUAN CAPISTRANO COMMUNITY REDEVELOPMENT AGENCY, hereinafter referred to as "AGENCY" and THIRTIETH STREET ARCHITECTS, INC., hereinafter referred to as "CONSULTANT". WITNESSETH: WHEREAS, AGENCY requires consulting services for the project described as follows: Design/build services for multi -modal parking structure WHEREAS, CONSULTANT represents he/they is duly qualified to provide said service. NOW, THEREFORE, AGENCY and CONSULTANT, for the consideration hereinafter named, agree as follows: SECTION 1. GENERAL The considerations of work on the project shall be governed by the conditions contained herein. In general, the tasks delineated herein are to be performed with mini- mum direction and assistance from AGENCY. SECTION 2. SCOPE OF TASKS BY CONSULTANT Subject to the terms and conditions of this agreement, CONSULTANT shall perform the tasks as set forth in Exhibit A, attached and incorporated herein by reference. During the performance of the above tasks, CONSULTANT shall have access to existing data in AGENCY files and AGENCY shall provide copies of any such data CONSULTANT requests at no cost to CONSULTANT. SECTION 3. TIME OF BEGINNING AND COMPLETION OF SERVICES The services provided under this Agreement shall begin upon execution of this Agreement by all parties. The services provided under this Agreement shall be in accordance with the schedule attached as Exhibit C. a 0 In the event Phase I is not completed within the time schedule attached as Exhibit C due to delays caused by CONSULTANT, the total compensation for this contract as outlined in Exhibit B shall be reduced by $100 for each day the completion of Phase I is delayed. In the event the delay is caused by the actions of the AGENCY, no penalty shall accrue. SECTION 4. PAYMENT FOR CONSULTANT'S SERVICES Payment under this Agreement shall be in accordance with Exhibit B, attached hereto and made a part hereof. Three (3) copies of itemized bills, clearly indicating the period for which the billing is made, and including dates on which expenses (except costs for reproduction) were incurred, and individuals' hourly rates and tasks performed, including time spent on each task, shall be submitted to: City of San Juan Capistrano, Community Redevelopment Agency, 32400 Paseo Adelanto, San Juan Capistrano, CA 92675. SECTION 5. COVENANT AGAINST CONTINGENT FEES CONSULTANT warrants that he has not employed or retained any company or person, other than a bona fide employee working for CONSULTANT, to solicit or secure this Agreement, that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any other consideration, contingent upon or resulting from the award or making of this Agree- ment. For breach or violation of this warranty, AGENCY shall have the right to annul this Agreement without liability, or, at its sole discretion, to deduct from the Agreement price or consideration, or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. SECTION 6. EXPENSES CONSULTANT acknowledges AGENCY is under no obligation to compensate consultant for services rendered or expenses accrued under this Agreement in excess of the maximum compensation specified in Section 4. SECTION 7. OWNERSHIP OF DOCUMENTS All tracings, plans, specifications, maps or other documents prepared or obtained under the terms of this Agreement shall be delivered to, and become the property of the AGENCY, and basic survey notes and sketches, charts, computations and other data prepared or obtained under this Agreement, shall be made available upon request, to AGENCY without restriction or limitation on their use. SECTION 8. NON -DISCLOSURE The designs, plans, reports, investigation, materials and documents prepared or acquired by CONSULTANT pursuant to this Agreement (including any duplicate copies kept by CONSULTANT) shall not be shown to any other public or private person or entity, except as authorized by AGENCY. CONSULTANT shall not disclose to any other public or private person or entity any information regarding the activities of AGENCY, except as authorized by AGENCY. ! 0 SECTION 9. CONFLICT OF INTEREST For the duration of this Agreement, CONSULTANT shall not act as consultant or perform services of any kind for any person or entity in regard to the project area without the prior written consent of AGENCY. SECTION 10. CHANGES IN SCOPE OF CONSULTANT'S SERVICES No additional fee shall be paid by AGENCY for additional consulting services not included in this Agreement without the written approval of AGENCY prior to undertaking such work. In the event of suspension of project by AGENCY, CONSULTANT shall have the right to renegotiate fees if delay is greater than six (6) months. SECTION 11. TERMINATION AGENCY may, without cause, terminate the Agreement at any time prior to completion by CONSULTANT of any of the services required hereunder. Notice of Termination of this Agreement shall be given in writing to CONSULTANT, and shall be sufficient to complete when same is deposited in the U.S. Mails, First Class postage prepaid. In the event this Agreement is terminated by AGENCY, CONSULTANT shall be paid the value of services performed by him pursuant to this Agreement prior to the date of termination thereof, such value to be the total to which he shall have become entitled, as determined by the Deputy Director of Community Redevelopment Agency, less the amount of any payments previously made, but in no event exceeding the maximum contract amount stated in SECTION 4. SECTION 12. DISPUTES Unless otherwise specified herein, any dispute over a question of fact arising under this Agreement, which cannot be resolved by agreement between the parties, may be, by mutual consent of the parties, submitted to a "Board of Arbitration" consisting of three (3) arbitrators having expertise relating to this contract subject matter, one of whom shall be selected by each of the parties, and the third by the two members selected by the parties. Each of the parties shall pay the member selected by it, and the compensation of the third member shall be paid equally by the parties. The parties shall be bound by the decision of the Board of Arbitration. SECTION 13. NO ASSIGNMENTS Neither any part nor all of this Agreement may be assigned or subcontracted, except as otherwise specifically provided herein, or to which AGENCY, in its sole discretion, consents to in advance thereof in writing. Any assignment or subcontracting in violation of this provision shall be void. • 0 SECTION 14. ENDORSEMENT ON PLANS, ETC. CONSULTANT shall endorse all plans, data and other documentation submitted to AGENCY pursuant to this Agreement. SECTION 15. CORRECTION OF WORK The performance of services by CONSULTANT shall not relieve CONSULTANT from any obligation to correct any incomplete, inaccurate or defective work at no further cost to AGENCY, when such inaccuracies are due to the negligence of CONSULTANT, provided such work has not been accepted in writing by AGENCY. SECTION 16. MAINTENANCE OF RECORDS CONSULTANT and is subcontractors shall maintain all books, documents, papers, employee time sheets, accounting records and other evidence pertaining to costs incurred and shall make such materials available at their respective offices at all reasonable times during the contract period and for three (3) years from the date of final payment under this Agreement, for inspection by AGENCY and copies thereof shall be furnished, if requested. SECTION 17. INDEPENDENT CONTRACTOR At all times during the term of this Agreement, CONSULTANT shall be an independent contractor and shall not be an employee of AGENCY. AGENCY shall have the right to control CONSULTANT only insofar as the results of CONSULTANT'S services rendered pursuant to this Agreement; however, AGENCY shall not have the right to control the means by which CONSULTANT accomplishes services rendered pursuant to this Agreement. SECTION 18. LICENSES, PERMITS, ETC. CONSULTANT represents and warrants to AGENCY that he has all licenses, permits, qualifications and approvals of whatever nature that are legally required to practice his profession. CONSULTANT represents and warrants to AGENCY that CONSULTANT shall, at his sole cost and expense, keep in effect at all times during the term of this Agreement, any license, permit or approval which is legally required for CONSULTANT to practice his profession. SECTION 19. CONSULTANT'S INSURANCE CONSULTANT shall obtain and maintain during the life of this Agreement all of the following insurance coverages: A. Comprehensive general liability, including premises -operations, products/completed operations, broad form property damage, and blanket contractual liability, and each of the following except as may be stricken out by CONSULTANT'S Project Manager: explosion and collapse hazard, underground hazard, independent contractors, personal injury; and B. Automobile liability, including owned, hired, and non -owned vehicles, except as may be stricken out by AGENCY'S Project Manager. 0 0 Endorsements shall be obtained for the policies providing the above insurance for the following three provisions: 1. Additional Insureds: "The SAN JUAN CAPISTRANO COMMUNITY REDEVELOPMENT AGENCY and the City of San Juan Capistrano, its elected and appointed boards, officers, agents, and employees are additional insureds with respect to this subject project and contract with AGENCY." 2. Notice: "Said policy shall not terminate, nor shall it be cancelled, nor the coverage reduced, until thirty (30) days after written notice is given to AGENCY." 3. Primary Coverage: "The policy and coverage afforded to the COMMUNITY REDEVELOPMENT AGENCY and the City of San Juan Capistrano and its elected and appointed boards, officers, agents, and employees shall be primary insurance and not contributing with any other insurance maintained by AGENCY." The policy limits shall have minimum coverages per occurrence as follows: $ 500,000 - Property Damage; $ 500,000 - Injury to One Person/Any One Occurrence; and $1,000,000 - Injury to More Than One Person/Any One Occurrence Endorsements shall be obtained for the liability insurance to provide contractual professional errors and ommissions insurance above mentioned coverages for professional liability coverage. The amount of the shall be as follows: Thirtieth Street Architects $1,000,000 Dike/Rums Inc. 1,000,000 Robert Lawson, Structural Engineer 250,000 Pacific Three Associates 250,000 Toal Engineering 250,000 Reedcorp Engineering 100,000 In addition to the insurance coverage in the paragraphs above, CONSULTANT shall obtain and maintain, during the life of this Agreement, Workers' Compensation Insurance in statutory amount. All of the endorsments which are required above shall be obtained for the policy of Workers' Compensation Insurance. CONSULTANT shall provide to AGENCY certificates of insurance showing the insurance coverages described in the paragraphs above, in a form and content approved by AGENCY, prior to beginning work under this Agreement. SECTION 20. LIABILITY Notwithstanding any other provision contained in this Agreement, CONSULTANT shall be responsible for all injuries to persons and for all damage to real or personal property of AGENCY or others, caused by or resulting from the wrongful act or negligent acts errors or omissions of itself, its employees, or its agents during the progress of, or connected with, the rendition of services hereunder. CONSULTANT shall defend and hold harmless and indemnify AGENCY, and all officers and employees of each public agency from all costs and claims for damages to real or personal property, or personal injury to any third party, resulting from the negligence of itself, its employees, or its agents, arising out of CONSULTANT'S performance or work under this Agreement. SECTION 21. COMPLIANCE WITH LAWS During the performance of this Agreement, CONSULTANT agrees as follows: A. CONSULTANT will not discriminate against any employee or applicant for employment because of race, color, religion, sex or national origin. CONSULTANT will take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, sex or national origin. Such action shall include, but not be limited to the following: Employment, upgrading, demotion or transfer, recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. B. CONSULTANT will, in all solicitations of advertisements for employees placed by or on behalf of CONSULTANT, state that all qualified applicants will receive consideration for employment without regard to race, color, religion, sex or national origin. C. CONSULTANT will perform the services herein contemplated in compliance with the Federal and California laws concerning minimum hours and wages (Davis -Bacon Act, 40 U.S.C. 267a et seq. and California Labor Code, Sections 1171 et seq.), occupational health and safety (29 U.S.C. 651 et seq. and California Labor Code, Sections 6300 et seq.), fair employment practices (29 U.S.C. 201 et seq. and California Labor Code, Sections 1410 et seq.), Workers' Compensation Insurance and Safety in Employment (Divisions 4 and 5 of the California Labor Code) and all amendments thereto, and all similar State or Federal laws to the extent they are applicable. D. CONSULTANT will cause the foregoing provisions to be inserted in all subcontracts for any work covered by this Agreement so that such provisions will be binding upon each subcontractor, provided that the foregoing provisions shall not apply to contracts or subcontracts for standard commercial supplies or raw materials. SECTION 22. CONSULTANT NOT AN AGENT Except as AGENCY may specify in writing, CONSULTANT shall have no authority, expressed or implied, to act on behalf of AGENCY in any capacity whatsoever as an agent. CONSULTANT shall have no authority, expressed or implied, pursuant to this Agreement to bind AGENCY to any obligation whatsoever. M SECTION 23. PERSONNEL CONSULTANT agrees to assign either of the following person/persons to perform the tasks set forth in this Agreement: James C. Wilson John C. Loomis CONSULTANT shall utilize the following subconsultants as outlined in the proposal submitted on September 16, 1987, as follows: Structural Engineer - Robert Lawson, Structural Engineer Electrical Engineer - Reedcorp Engineering Civil Engineer - Toal Engineering Mechanical Engineer - Pacific Three Associates Landscape Architect - Dike/Ruma Inc. CONSULTANT shall not unilaterally alter the assignment of the above personnel without the authorization of the Deputy Director of the Community Redevelopment Agency. AGENCY shall have the unrestricted right to order the removal of any person/persons assigned by CONSULTANT by giving oral or written notice to CONSULTANT to such effect. SECTION 24. SHAW, CITY • • AGENCY LR 0 n EXHIBIT A SCOPE OF WORK C, The San Juan Capistrano Community Redevelopment Agency will construct a 2 -level parking structure in its downtown area. The site is the current parking lot serving the area between the Capistrano Depot restaurant and the shops along Camino Capistrano. A site map is attached in addition to two possible preliminary site plans. The area is referred to as the multi -modal area. Currently bus parking exists in addition to vehicle parking. It is desirous to retain the bus parking in its approximate location. The structure will require a new access off of Camino Capistrano just south of Mission Hacienda Plaza. In addition, there will only be a ramp up to the second level of parking from the access point which will also serve as the ramp down. This will serve as the only ingress/egress for the top level. Access to the lower level will be provided at a location adjacent to the Capistrano Depot restaurant. This project will consist of two phases, as follows: I. Project Design and Contractor Selection II. Construction Observation and Inspection PHASE I PROJECT DESIGN AND CONTRACTOR SELECTION Preliminary Task: Review of Previous Studies and Feasibility Consultant shall review previous studies done by or for the City and advise the City on the feasbility of the alternative selected proposed costs, construction methods, access from Camino Capistrano and the previously proposed designs. Task 1 Conceptual Design of Selected Alternative After the Agency selects its preferred alternative the consultant shall: Provide conceptual drawings for the selected alternative including site plans, floor plans, exterior elevations, and conceptual construction cost estimates. 2. Meet with staff on the design. Task 2 Preliminary Design Upon acceptance from Agency/City of the conceptual design, consultant shall prepare a preliminary design package consisting of: A. site plan B. landscape plan C. floor plans D. exterior elevations E. perspective drawing of entire project F. preliminary construction cost estimate One set of colored drawings shall be submittd for final review plus black line prints as required by Agency/City. 2. Consultant shall meet with Agency/City staff as necessary during the course of design to review progress. Task 3 Development Review Process The review process shall include meetings with staff in addition to presentations and meeting with the following committees/boards: 1. Project Coordinating Committee (day meeting) (attendance at one, one hour meeting may be necessary) 2. Environmental Review Board (day meeting) (attendance may be necessary) 3. Traffic & Transportation Commission (night meeting) (attendance at one meeting necessary) 4. Architectural Board of Review (night meeting) (attendance at maximum of two meetings necessary) 5. Planning Commission (night meeting) (attendance at maximum of three meetings necessary) 6. Redevelopment Agency (night meeting) (attendance at one meeting may be necessary) Consultant shall also be required to attend the preconstruction meeting. In addition, during construction consultant may be required to make site visits to remain current with the project status and to assist in clarifications of the construction drawings and specifications (see Phase VII). Task 4 Final Design Drawings 1. Consultant shall review all drawings listed in Phase II and others as necessary to reflect modifications as directed during the review process. Final drawings shall be in a form for blueprinting with one colored perspective of final design. 2. Consultant shall revise or prepare final cost estimate. 3. Consultant shall submit all drawings to City for a code compliance review. Task 5 Bid Documents It is the intent of the bid documents to have a design/build set of drawings for the actual building, and full construction documents for all site work as outlined below. 1. Design/build documents shall include all drawings, outline specifications and bidding instructions for the architecture, structural parameters, mechanical and electrical aspects of the parking structure. 10 2. Full construction documents shall be prepared by consultant for all site work including civil enginering, site electrical, and landscape drawings. Consultant shall provide all drawings, specifications, and calculations necessary for bidding and plan checking prior to going out to bid for the construction of the structure. 3. A final construction cost estimate shall be provided by consultant based upon the construction documents. 4. Consultant shall assist in clarification of the plans and specifications during the bidding process, and make all necessary changes to site construction drawings necessary to complete plan check. 5. Consultant shall attend the preconstruction meeting. Task 6 Plan Check After the award of the construction contract, the contractor will be required to submit plans of the proposed structure including structural design calculations and specifications for plan check review to the City. The following services shall be provided for this phase prior to City Plan Check Review: 1. The structural engineer shall check the plans for compliance to all applicable codes and assurance of structural integrity of the final design. 2. The architect and other engineers shall check the plans submitted by the contractor for compliance with the plans and specifications. PHASE II CONSTRUCTION OBSERVATION AND INSPECTION After the award of the construction contract, the consultant shall provide the following services, as requested by City. 1. Provide, by periodic site visits, for construction consultation and to remain current with the project status and to assist in clarifications of construction drawings and specificiations. 2. Review post -construction "as -built" drawings submitted by the contractor and turn over reproducibles to City. 3. Provide for professional construction inspection, contract administration services. DRAWINGS AND CALCULATIONS All final design/build drawings including landscape, hardscape, irrigation and architectural plans shall be prepared on 24" x 36" mylar plan sheets. Sufficient prints shall be provided to the City for all necessary checks and committee reviews. All engineering calculations, measurements, closures, geotechnical data and other design calculations and data shall be provided to the City. 11 SERVICES PROVIDED BY CITY/AGENCY The City/Agency shall provide Consultant: 1. Copies of all existing drawings showing public improvements in the vicinity of the project, as requested and researched by the consultant. 2. Survey of the project area as well as a soils engineer report. 3. Blank plan and profile, title and detail sheets of mylar for final plans. (Note: All plan sheets used for final drawings shall be 24" x 36".) 4. All legal advertising required. 5. Duplicate final plans and specifications. 6. All necessary environmental reports and clearances. 7. Summary and Recommendation - At its meeting of October 20, 1987, when it approved Thirtieth Street Architects as the consultant for the multimodal parking structure, the Redevelopment Agency directed staff to prepare and submit a contract for $65,175, executed by Thirtieth Street. This contract is attached and it is recommended that the Agency authorize its Chairman tp execute it. B. Background - To assist in providing adequate parking downtown, the Agency proposes to develop a parking structure adjacent to the Capistrano Depot with access from Camino Capistrano. On August 18, 1987, the Agency authorized staff to issue a request for proposal to obtain consultant services for the design and building of this structure. Three proposals were received and evaluated, leading to the Agency's selection of Thirtieth Street Architects at its October 20, 1987 meeting. The contract has been prepared, including those provisions requested by the Agency, executed by Thirtieth Street and is now ready to be executed by the Chairman of the Agency. PUBLIC NOTIFICATION None on the contract. Previous notification on the proposed parking structure itself has been accomplished through meetings and notifications to merchants in the downtown area. COMMISSION/BOARD REVIEW, RECOMMENDATION None. FINANCIAL CONSIDERATIONS The adopted Redevelopment Agency capital projects budget calls for funding $1,200,000 for this project in fiscal year 1987-88. The consultant's fee will be derived from this account. ALTERNATE ACTIONS Authorize the Chairman of the Agency to execute the attached contract with Thirtieth Street Architects. 2. Direct staff to continue negotiating this contract. 3. Summary and Recommendation - It is a goal of the Redevelopment Agency to provide adequate parking in the downtown area to serve merchants, visitors and commuters. To that end the Agency has approved in the 1987-88 budget funds for the design and construction of a parking structure to be located in the multi -modal area. It is therefore recommended a contract for $65,175 be entered into with Thirtieth Street Architects to provide design/build services. A. Background - On August 18, 1987 the Redevelopment Agency authorized staff to request proposals for design/build consultant services for the proposed multi -modal parking structure. The Request for Proposals (RFPs) solicited proposals from consultants for either a 134 (Alternative A) or 162 (Alternative B) space parking structure in the multi -modal area located adjacent to The Capistrano Depot restaurant and southerly to Camino Capistrano. Concept drawings of each alternative were supplied to each proposer with a request to respond to each alternative. Alternative Selection Alternative A has been chosen as the best alternative per the August 18, 1987, staff report based on an analysis of the configuration of the structure and the minimal amount of visual impact it would cause on the surrounding area as well as being sufficient to satisfy the parking demand. Project Timing A schedule reflecting the proposed timing for the project from the mailing of the RFP to the completion of construction is attached as Attachment A. Consultant Selection Ten RFPs were sent out and three responses were received. In order to assist the Agency in evaluating the submittals, a consultant was retained to review and assess each proposal as it related to quality, experience, references, ability to perform the work and fee. Based on staff and the consultant's review, it is recommended that Thirtieth Street Architects be selected based on their team's qualifications and low bid. Due to the nature and timing of this project, staff recommends that the contract with Thirtieth Street include a provision for penalties for delay. Adjacent Development The Agency has been working with Ms. Sue DiMaio for several years regarding her proposed development of an art gallery and restaurant which would be located on southerly Camino Capistrano just in front of the parking structure, as indicated on Alternative A, which is Attachment B. Ms. DiMaio has concurred that the configuration of the Alternative A structure would not interfere with her proposed new building. The Agency will continue to work closely with Ms. DiMaio to ensure her development plans and parking needs are considered. PUBLIC NOTIFICATION An informational meeting on the multi -modal parking structure was held on June 26, 1987, with the downtown merchants. Notices were sent to 110 businesses in the downtown area that could possibly be affected by the construction and 14 merchants attended the meeting. In addition, Ms. Sue DiMaio and the Chairman of the downtown merchants group have been sent copies of this report. COMMISSION/BOARD REVIEW, RECOMMENDATION None. FINANCIAL CONSIDERATIONS The adopted Redevelopment Agency Capital Projects budget calls for funding of this project in year 1987-88. The budgeted amount is $1,200,000.
