Agreement for Custodial Services for City Facilities (Golden Touch
Cleaning Inc.)
RECOMMENDATION:
By motion, approve and authorize the City Manager to execute an amendment to the
Personal Service Agreement with Golden Touch Cleaning Inc. (formerly Goodman
Cleaning Services) to provide custodial services for City facilities for a one-year period
commencing on August 1, 2017„ and ending July 31, 2018, for a total amount not-to-
exceed $89,184.
DISCUSSION/ANALYSIS:
Golden Touch Cleaning Inc. (GTC), formerly Goodman Cleaning Services Inc., has
provided custodial services for City facilities since August 1, 2014. The change in
ownership was affected by letter from Goodman Cleaning Services Inc. dated May 1,
2015 (Attachment 1). The initial three year term of the Personal Services Agreement
(PSA) with GTC expires on July 31, 2017, and the Agreement (Attachment 2) allows for
three, one-year extensions with a Consumer Price Index (CPI) compensation
adjustment. Based on satisfactory performance and efficient continuity of service over
the past three years, staff recommends extending the agreement to July 31, 2018.
Additionally, GTC has requested that their compensation be modified to account for the
increase in the State of California minimum wages as explained in the attached letter
from GTC (Attachment 3). The total CPI and minimum wage adjustment increase
equates to $5,760 (6.5%) for a total contract amount not to exceed $89,184. Since the

increased minimum wage and is not reflected in the CPI, staff recommends approval of
the requested adjustment.
FISCAL IMPACT:
The Agreement Amendment reflects a $5,760 increase over the existing contract
amount of $83,424 as shown on Exhibit A of Attachment 4. Only a portion of the
increase was included in the Fiscal Year 2017-18 operating budget. Staff will make
internal adjustments within the existing budget for Fiscal Year 2017-18 to offset this
increase.
ENVIRONMENTAL IMPACT:
The present action of awarding a contract for custodial services is not subject to CEQA
pursuant to Section 15060(c)(3) of CEQA Guidelines because the action is not a project
as defined in Section 15378 of the CEQA Guidelines, and the action has no potential for
resulting in physical change to the environment, directly or indirectly.
PRIOR CITY COUNCIL REVIEW:
• On July 15, 2014, the City Council approved the Personal Services Agreement with
Great Cleaning Service, now Golden Touch Cleaning Inc., to provide custodial
services for City Facilities for a three-year term in the amount of $234,832.

San Juan Capistrano Facilities and Park Restrooms due to California's prevailing minimum wage
increase of$0.50 per hour starting January 15L, 2017 (please find attached official notice for
California Minimum Wage): therefore our employees that were working at$10.00 per hour must
get paid $10.50 per hour starting January 1st, 2017 resulting in an increase in hourly payroll
expenses.

TO THE PERSONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF SAN JUAN CAPISTRANO
AND
GOLDEN TOUCH CLEANING, INC.
1. Parties and Date.
This Amendment No. 1 to the Personal Services Agreement is made and entered into as of
this day of , 2017, by and between the City of San Juan Capistrano, a
municipal organization organized under the laws of the State of California with its principal place of
business at 32400 Paseo Adelanto, San Juan Capistrano, California 92675 ("City") and Golden
Touch Cleaning, Inc., a Corporation with its principal place of business at 13681 Newport Avenue,
Suite 8, Tustin, California 92780-7815 (Contractor). City and Contractor are sometimes individually
referred to as "Party" and collectively as "Parties."
2. Recitals.
2.1 Contractor. The City and Contractor have entered into an agreement entitled Personal
Services Agreement dated July 15, 2014 ("Agreement") for the purpose of retaining the services of
Contractor to provide custodial maintenance services for City facilities.
2.2 Amendment Purpose. The City and Contractor desire to amend the Agreement to
extend the term of the Agreement and to make a corresponding increase to the rates as agreed to by
the Parties.
3. Terms.
3.1 Amendment. The Agreement term under Section 2 of the Agreement is hereby
extended for an additional year commencing on August 1, 2017 ("Extended Term").
3.2 Amendment. Compensation for services performed by Contractor under this
Agreement during the Extended Term shall be at the rates attached hereto as Attachment "A", which
are incorporated herein by this reference.
3.3 Continuing Effect of Agreement. Except as amended by this Amendment No.1, all
other provisions of the Agreement remain in full force and effect and shall govern the actions of the
parties under this Amendment No.1. From and after the date of this Amendment No. 1, whenever

the term "Agreement" appears in the Agreement, it shall mean the Agreement as amended by this
Amendment No. 1.
3.4 Adequate Consideration. The Parties hereto irrevocably stipulate and agree that they
have each received adequate and independent consideration for the performance of the obligations
they have undertaken pursuant to this Amendment No. 1.
3.5 Severability. If any portion of this Amendment No. 1 is declared invalid, illegal, or
otherwise unenforceable by a court of competent jurisdiction, the remaining provisions shall
continue in full force and effect.
