AGREEMENT FOR RELOCATION OF WATER FACILITIES BETWEEN THE CITY OF SAN JUAN CAPISTRANO AND RMV C011111r411UNITY DEVELOPMENT, LLC (Relocation of the SC04 Pipeline at San Juan Creek and Antonio Pkwy) THIS AGREEMENT far elocation of Water Facilities ("Agreement") is made and entered into this ¢ w} ' day of i 2012 (the "Effective Date") by and among RMV COMMUNITY DEVLOPMENT, LLC, a California limited liability company p y ("Developer"), and the CITY OF SAN JUAN CAPISTRANO, a California municipal corporation ("CITY"). RECITALS & CITY owns and operates a twenty-inch (20") concrete mortar lined and coated steel domestic water line ("Water Line") that serves the residents of San Juan Capistrano. Portions of the Water Line traverse lands owned by Developer and its affiliates (collectively, the "RMV Property"). B. CITY's rights relative to the ownership, operation and maintenance of the Water Line over the RMV Property are embodied in that easement agreement recorded on November 19, 1993 in the Official Records of Orange County as Instrument No. 93- 0806019 (the "Original Easement"). C. Developer is desirous of relocating a portion of the Water Line on the RMV Property in order to facilitate the development of that comprehensive land use, conservation and management program commonly identified as the "Ranch Plan." D. Subject to the terms and conditions hereof, CITY is able to (i) allow Developer to relocate portions of the Water Line on the RMV Property and (ii) work with Developer to facilitate the design and construction of the relocated portions of the Wafter Line (said relocation and design/construction work hereinafter collectively referred to as the "Project"). NOW, THEREFORE, for valuable consideration receipt of which is hereby acknowledged, and in consideration of the foregoing recitals and the mutual promises, covenants, and conditions contained herein, the parties hereto agree as follows. AGREEMENT 1. CONSTRUCTION AND COMPLETION Developer shall design and construct for its own purposes the Project, consisting of the relocation of that portion of the Water Line that is approximately four hundred feet (400') in length and more particularly described on the approved Domestic Water Plans titled "The Ranch Plan — Water Relocation Plans for the City of San Juan Capistrano Public Works Department 20" SC-4 Water Transmission Line", when signed by the City Engineer a draft of which is attached hereto as Exhibit "A" (the "Project Plans"). Developer will repair minor damage to appurtenances caused by grading work as depicted and enumerated in the attached Exhibit "B." Developer will not receive domestic water service from CITY by virtue of implementation and completion of the Project; accordingly, Developer will not be obligated to pay (and CITY shall not be entitled to collect) Development Impact Fees in relation to the Project. Notwithstanding the foregoing, Developer will pay Plan Check and Inspection fees to CITY at CITY°s prevailing rate at the time of payment, based on the fee estimate of work attached hereto as Exhibit "C." All costs shown on this plan (and any other costs associated with design, construction and implementation of the Project) are to be borne by Developer. Developer shall complete the Project within thirty-six (36) months from the Effective Date of this 2 Agreement. Developer shall construct the Project in accordance with the Project Plans and CITY'S standard specifications and under City's inspection. If legally required or otherwise deemed appropriate/necessary by Developer, Developer will demolish and dispose of the existing pipeline improvements at Developer's cost and expense. 2. INDEMNIFICATION Developer shall be responsible for all injuries to persons and for damages to real or personal property of the City, caused by or resulting from any activity or operation of Developer, its . employees or its agents during the implementation of the Project. Developer shall defend and hold harmless and indemnify all officers, employees and agents of City from all costs and claims for damages to real or personal property or personal injury to any third party resulting from the activity of itself, employees or its agents in constructing the Project. 3. INSURANCE Developer, its agents, contractors and consultants shall provide the City with certificates of insurance as detailed below. All policies shall name City as an additional insured. The insurance required hereunder shall be from a company holding a "General Policyholders Rating" of at least A NII as set forth in the most current issue of "Best's Insurance Guide". A) Comprehensive General Liability a. At all times during the performance of construction work in relation to the Project, Developer; its contractors and subcontractors shall maintain in full force and effect comprehensive general liability coverage, including premises operations, products/completed operations, broad form property damage and blanket contractual liability in the following minimum amounts: i. $1,000,000 property damage; ii. $1,000,000 injury to one person/any occurrence/not limited to contractual period; iii. $1,000,000 injury to more than one person/anyone occurrence/not 3 limited to contractual period. B) Comprehensive Automobile Liability a. At all times during the performance of construction work in relation to the Project, Developer, its contractors and subcontractors shall maintain in full force and effect comprehensive automobile liability coverage, including owned, hired and non-owned vehicles in the following minimum amounts: L $1,000,000 property damage; ii. $1,000,000 injury to one person/any occurrence/not limited to contractual period; iii. $1,000,000 injury to more than one person/ in any one occurrence/not limited to contractual period. C) Workers' Compensation: a. During the construction period, if Developer, its contractors and/or subcontractors employ(s) employees to perform services in relation to the Project, Developer, its contractors and/or subcontractors (as appropriate) shall obtain and maintain Workers' Compensation Employer's Liability Insurance in the statutory amount as required by state law. D) Developer, its contractors and subcontractors shall endeavor to obtain a statement from their respective insurers that the required policies shall not terminate, nor shall they be canceled nor the coverage reduced, until after 30 days written notice is given to CITY. E) Developer shall provide an endorsement to CITY establishing that CITY has been legally added as an additional insured to the insurance policies required of Developer under this Agreement. 4. BONDS A) Developer shall guarantee Developer's performance of this Agreement by providing CITY with the following security instruments (the "Security Instruments") on forms approved by CITY for the purposes and in the amounts as follows: a. A "Faithful Performance Bond" to ensure faithful performance of this Agreement in regard to the Project in the amount of 110% of the estimated cost of the Project; and b. A "Labor and Materials Bond" to secure payment to any contractor, subcontractor, persons renting equipment or furnishing labor or materials for the Project required to be constructed or installed pursuant to this Agreement in the additional amount of 110% of the estimated cost of the Project. c. In lieu of providing the bonds described/required above, Developer may substitute a "Letter of Credit" in a form acceptable to CITY. B) In order to guarantee and warranty the completed Project, and in addition to the Security Instruments referenced in Paragraph 4(A) above, Developer shall provide 4 to City the following Security Instruments: a. A "Warranty Bond" for the work warranting the accepted work for a period of one (1) year following said acceptance against any defective work or labor done or defective material furnished. The amount of such Warranty Bond for the Project shall be equal to twenty-five percent (25%) of the estimated construction cost of the Project. b. In lieu of the Warranty Bond, Developer may substitute a "Letter of Credit" in a form acceptable to the City (said Letter of Credit having an equivalent value as the Warranty Bond). C) All Security Instruments required by this Agreement shall be kept on file with the City Clerk. The terms of the Security Instruments required by this Agreement are hereby incorporated into this Agreement by reference. D) City Engineer shall release the Faithful Performance Bond upon Developer's written request following acceptance by CITY of the work and Developer's delivery to CITY of the Warranty Bond for the Project. E) City Engineer shall release the Labor and Materials Bond upon Developer's written request and following acceptance by CITY of the work and after expiration of the time within which lien claims are required to be made pursuant to Article 3 (commencing with Section 3114) of Chapter 2 of Title 15 of Part 4 of Division Third of the California Civil Code. If lien claims have been timely filed, CITY shall hold the Labor and Materials Bond until the earlier to occur of(a) Developer's resolution of such lien claims or (b) Developer's provision of a statutory bond covering all outstanding lien claims. F) City Engineer shall release the Warranty Bond upon Developer's written request following the expiration of the warranty period, provided no claims are outstanding at that time regarding defective work. G) Payments under the Security Instruments shall be required to be made (and, with respect to bonds, litigation shall be required to be instituted and maintained) in the County of Orange, State of California. H) Each of the Security Instruments shall have a minimum term of one (1) Year after the deadline for Developer's completing the Project, in accordance with Paragraph 3 herein. 1) The Security Instruments shall reference Developer's obligations under this Agreement, shall be irrevocable, and shall include as an additional obligation secured the responsibility to compensate CITY for all of CITY's attorneys' fees and litigation expenses reasonably incurred by CITY in enforcing its rights under the Security Instruments. 5 5. CITY 9USINESS LICENSE The Developer will not require a license to do business in the City of San ,Juan Capistrano, since the work occurs outside City boundaries. 6. PREVAILING WAGE In connection with the construction of the Project, Developer shall pay the prevailing rate of hourly wages and rates or legal holidays and overtime. Developer shall be subject to pay as a penalty to the City the sum of Forty Dollars ($40.00) for each worker paid less than the prevailing wage rates for any public work done under the contract by Developer or, except as provided in subdivision (b) of section 1775 of the California Labor Code, by any subcontractor under the Developer. 7. COVENANT OF COOPERATION The Parties shall cooperate in good faith with one another in all aspects relative to the implementation of the Project and the performance of this Agreement. 8. INDEPENDENT CONTRACTOR Nothing herein contained shall be deemed .to create an agency, joint venture, partnership or franchise relationship between the Parties hereto, or between the Parties and any contractor or professional retained by Developer in connection with the Project. 9. SEVERABILITY If any term, covenant, condition or provision of this Agreement, or the application thereof to any person or circumstance, shall to any extent be held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of this Agreement, or the application thereof to any person or circumstance, shall remain in full force and effect and shall in no way be affected, impaired, or invalidated thereby, 6 10. ENTIRE AGREEMENT This Agreement, together with any Exhibits attached hereto (which are incorporated herein by reference) fully expresses all understandings between the parties with respect to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings or agreements regarding such subject matter. No prior evidence shall be permitted to contradict or vary the terms of this Agreement. 11. AMENDMENT No modification, amendment, addition to, or alteration of the terms of this Agreement, or any Exhibits hereto, whether written or verbal, shall be valid unless made in writing and formally approved and executed by all parties. 12. TIME IS 4F THE ESSENCE Time is of the essence of this Agreement, it being understood that the time for performance of each obligation has been the subject of negotiation by the parties. 7 13. DEVELOPER NOT AN AGENT Except as CITY may specify in writing, Developer shall have no authority, express or implied, to act on behalf of CITY in any capacity as an agent. Developer shall have no authority, express or implied, pursuant to this Agreement, to bind CITY to any obligation. 14. BINDING EFFECT The provisions of this Agreement shall be binding upon the parties hereto and, subject to the restrictions on assignment herein provided, their respective successors in interest. 15. ATTORNEY'S FEES If a judicial action is required to resolve a dispute arising under this Agreement or to otherwise enforce any provision of this Agreement, then the prevailing party shall be entitled to reimbursement for the reasonable attorney's fees and costs from the other party. This Agreement shall be governed and construed in accordance with the laws of the State of California. In the event of any legal action to enforce or interpret this Agreement, the sole and exclusive venue shall be a court of competent jurisdiction located in Orange County, California. 16. COUNTERPARTS This Agreement may be executed in counterparts, all of which shall constitute the same Agreement, notwithstanding that all parties to this Agreement are not signatory to the same counterpart. Delivery of an executed counterpart of this Agreement by facsimile or email shall be equally as effective as delivery of an original executed counterpart. Any party delivering an executed counterpart of this Agreement by facsimile or email also shall deliver an original executed counterpart of this Agreement. Signature and acknowledgement pages may be detached from the counterparts and attached to a single copy of this Agreement to physically form one (1) original document. 17. TRANSFER OF PROJECT; NEW EASEMENT A. Final Inspection of Project. Following Developer's completion of the Project, Developer shall advise CITY and CITY shall inspect the Project. If the Project is acceptable to CITY, CITY shall so advise Developer in writing. Whereupon, Developer shall transfer ownership of the Project (including all warranties and guaranties pertaining thereto) to CITY via bill of sale or other similar instrument. B. New Easement. In order to properly operate and maintain the new Project within the relocation area, CITY will require new easements over those portions of the RMV Property that contain the new Project. Accordingly, and following CITY's approval and acceptance of the Project, Developer and/or its affiliates shall prepare, execute and deliver to CITY a new easement ("New Easement") granting to CITY the right to operate and maintain the Project within the relocation area; comparable in terms to the easement being Quitclaimed, and subject to the acceptance of the City. The New Easement shall be in substantial conformance with the exhibit attached hereto as Exhibit "D". CITY shall not be obligated to pay, and Developer shall not be entitled to receive, any compensation in exchange for Developer's grant of the New Easement. 18. QUITCLAIM OF ABANDONED EASEMENT AREAS The abandoned section of the Water Line will no longer require easements for operation and maintenance by CITY. CITY holds other easements over portions of the RMV Property that are no longer necessary for the operation and maintenance of CITY 9 facilities. These unused portions of the Water Line easement and other easements on the RMV Property are collectively referred to herein as the "Quitclaim Areas" (Exhibit "E".) In exchange for the New Easement offered above, the City will Quitclaim in favor of Developer and its affiliates the Quitclaim Area; which shall be in substantial conformance with the depiction in Exhibit "E." Concurrent with Developer's delivery of the executed New Easement in favor of CITY, CITY shall prepare, execute and deliver to Developer its standard a Quitclaim deed for the Quitclaim Areas, which Quitclaim deed shall be in proper form for recordation in the Official Records of Orange County, California. Developer shall not be obligated to pay, and CITY shall not be entitled to receive, any compensation in exchange for CITY's abandonment of the Quitclaim Areas and grant of the Quitclaim deed. 19. NOTICES All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice.
