12-1009_PORTFORD SOLUTIONS_Personal Services 1st Amendment Agreement FIRST AMENDMENT TO PERSONAL SERVICES AGREEMENT THIS FIRST AMENDMENT TO THE PERSONAL SERVICES AGREEMENT between the CITY OF SAN JUAN CAPISTRANO ("City") and . PORTFORD SOLUTIONS, ("Consultant") is made and entered into, to be effective the W Wl- day of August,-2012, as follows: RECITALS WHEREAS, the City and Consultant have entered into a Personal Services Agreement dated July 1, 2012, to provide on-going licensing fees, technical support and maintenance of the City's document imaging system maintained in the City Clerk's office (the "Agreement"); and WHEREAS, the City and Consultant desire to amend the terms of the Agreement as provided hereunder. AMENDMENT NOW, THEREFORE, in consideration of the promises and mutual covenants contained therein, City and Consultant agree to amend the following Sections of the Agreement as follows: Section 1. Scope of Work The Scope of Work for the project shall be expanded to include services as described in Exhibit"A." Section 3. Compensation The total compensation for the services hereunder shall be increased by two thousand eight hundred dollars ($2,800) for the work described in Section 1 of this Amendment. All other provisions of the Agreement not amended hereunder shall remain in full force and effect. ATTEST. Once that structure has been confirmed, PSG will advise the City on best methods for modifying AX Applications as required. Based on the above revisions, Portford will create and configure a subset of the current-58 Batch Classes to match the CoSJC's revised AX applications_ This work to be completed remotely using already established VPN connectivity. 3 Solution Implementation Approach 3.1 Batch Mass Creation This section outlines the tasks and activities required to complete the configuration of Kofax Batch Classes. i Implementation Description No. Day Kofax Based on the AX revisions, Portford will create and 2 Reconfiguration configure a subset of the current—58 Batch Classes to and Testing match the CoSJC's revised AX applications T Total: 2 Portford Version 2.0, Final Statement of Work Page 7 of 9 5 Terms and Condition This section contains the terms and conditions for the Statement of Work. 5.1 Implementation Assumptions Portford has identified the following assumptions pertinent to the project proposal. Failure to adequately address these assumptions may result in this project requiring additional time and costs to complete. • All of the quotations for the level of consulting effort, and therefore fees, are based on our definition of the project scope and deliverables as specified in this proposal. The customer will work with the business end client to facilitate the necessary user involvement from the client representatives. • Any potential inter-dependencies with other projects are not anticipated at this time and must be evaluated to assess impact to project cost and scheduling. Once known, Portford will immediately notify the customer in writing of any scope changes that may affect the project schedule and/or fees, and will provide a written statement of project impact and additional fees. However, Portford will not begin work on such change without formal written approval from the customer's project management. • All key customer representatives will remain consistent through the duration of the project, and will attend scheduled project activities. Should any additional key participants be identified during these meetings,the customer will work with Portford to involve these resources in the project and make them and all key participants available as needed for the successful completion of the project. • The customer is responsible for obtaining the formal sign-off of all project deliverables.
