BrustCiw FROM: Cindy Russell, Chiel Fi'nancial Officerog-----4 DATE: April 21, 2015 SUBJECT: Consideration of a Resolution Accepting the Quitclaim of Certain Governmental Use Properties to the City of San Juan Capistrano from the Successor Agency to the San Juan Capistrano Community Redevelopment Agency (Long Range Property Management Plan Properties) RECOMMENDATION: By motion, adopt the Resolution accepting the quitclaim of certain properties as approved by the Department of Finance on January 16, 2015, to the City of San Juan Capistrano from the Successor Agency to the San Juan Capistrano Community Redevelopment Agency and directing the City Clerk to have the Quitclaim Deeds recorded by the Orange County Recorder. EXECUTIVE SUMMARY: The approved Long Range Property Management Plan for the Successor Agency to the San Juan Capistrano Community Redevelopment Agency's (Successor Agency) (Attachment 1, Exhibit A) which outlines the disposition of the remaining real property transferred to it from the former Redevelopment Agency, was submitted to the State Department of Finance (DOF) on April 28, 2014, and the DOF approved the Long Range Property Management Plan on January 16, 2015, (Attachment 2). Pursuant to the approved Long Range Property Management Plan, Los Rios Park Phase 11; and an undivided interest in the San Juan Capistrano Community Center, the Sports Park and agricultural preserve area (four (4) parcels) are to be conveyed to the City for their continued public and governmental purposes as parks, open space and a public street. The three interim public parking lots and commercial property (temporary community theater use) (five (5) parcels) located in the City's Historic Town Center area are to be conveyed to the City and retained for development in accordance with the City Council Agenda Report April 21, 2015 Page 2 of 4 Historic Town Center Master Plan. Lastly, the Lower Rosan Ranch site (five (5) parcels) is to be conveyed to the City for its intended development as outlined in the former Redevelopment Agency's Five-Year Implementation Plan dated January 2010, A Resolution (Attachment 1) accepting the quitclaim of the Long Range Property Management Plan properties (Properties) has been prepared to transfer these remaining parcels to the City as outlined in the approved Long Range Property Management Plan. Additionally, the approved Long Range Property Management Plan indicates that the City will enter into agreements with the affected taxing entities for the distribution of any net sale proceeds on the parcels conveyed to the City, if and to the extent required by law; and the DOF noted in its January 16, 2015, letter (Attachment 2) that the City is responsible for reaching a compensation agreement with the taxing entities at some point in the future. At this time, it is recommended that the City Council continue to consider its options regarding the requirement to enter into compensation agreements at some point in the future prior to disposition of the properties. DISCUSSION/ANALYSIS: On September 19, 2012, the Oversight Board approved the Successor Agency's designation of certain former Redevelopment Agency properties to be transferred to the City as governmental use properties (Attachment 3 — Exhibit A). On November 30, 2012, the DOF approved certain properties as governmental purpose for transfer to the City; and denied the remaining properties until the DOF issued a Finding of Completion and approved a Long Range Property Management Plan (Attachment 4). On December 11, 2012, and June 4, 2013, (Attachments 4 and 5, respectively), the Successor Agency conveyed and the City accepted the parcels approved by the DOF, excluding Veterans Park, The Veterans Park parcel was not transferred at that time since the parking lot portion of the parcel had been denied. The Successor Agency's Finding of Completion was issued on November 8, 2013. Pursuant to Health and Safety Code Section 34191.5, within six months after receiving its Finding of Completion from the State Department of Finance (DOF), the Successor Agency was required to submit for approval a Long Range Property Management Plan that addressed the disposition and use of the real property assets of the former Redevelopment Agency still in the possession of the Successor Agency. The Successor Agency completed the Long-Range Property Management Plan (Attachment 1, Exhibit A) which was approved by the Successor Agency Board of Directors and Oversight Board on April 1, 2014, and April 22, 2014, respectively. The Long Range Property Management Plan was submitted to the DOF on April 28, 2014. The Long Range Property Management Plan has nine (9) sites, which include the previously denied properties along with the Lower Rosan Ranch site. Costs associated with maintenance and the disposition of the site currently occupied by the Camino Real Playhouse and Lower Rosan Ranch properties are able to be deducted from the proceeds received from any temporary license agreement payments or any proceeds received from their disposition. ENVIRONMENTAL IMPACT: Not applicable. PRIOR CITY COUNCIL REVIEW: • On December 11, 2012, the City Council approved Resolution 12-12-11-03 accepting the Quitclaim Assessor's Parcel Number (APN) 124-190-24 to the City of San Juan Capistrano (Property Adjacent to the San Juan Capistrano Library). • On June 4, 2013, the City Council approved Resolution 13-06-04-01 accepting the quitclaim of certain governmental use properties to the City of San Juan Capistrano (Various Properties). Ana Matosantos, et al., Case No. S194861 ("Matosantos Decision"), which laws and court opinion caused the dissolution of all redevelopment agencies and winding down of the affairs of former redevelopment agencies; thereafter, such laws were amended further by Assembly Bill 1484 ("AB 1484") (together AB x1 26, the Matosantos Decision, and AB 1484 are referred to as the "Dissolution Laws"); and, WHEREAS, as of February 1, 2012, the former Agency was dissolved pursuant to the Dissolution Laws and as a separate public entity, corporate and politic the Successor Agency administers the enforceable obligations of the former Agency and otherwise unwinds the former Agency's affairs, all subject to the review and approval by a seven-member oversight board ("Oversight Board"); and, WHEREAS, Health and Safety Code Section 34191.5(b) requires the Successor Agency to prepare a "long-range property management plan" (also referred to herein as the "LRPMP") addressing the future disposition and use of all real property of the former Agency no later than six months following the issuance by the California Department of Finance ("DOF") to the Successor Agency of a finding of completion pursuant to Health and Safety Code Section 34179.7; and, WHEREAS, DOF issued a finding of completion to the Successor Agency on November 8, 2013; and, WHEREAS, the Successor Agency prepared an LRPMP and the LRPMP prepared by the Successor Agency was approved by the Oversight Board on April 22, 2014, and by the DOF on January 16, 2015; and, ATTACHMENT 1 - WAGE 1 WHEREAS, the approved LRPMP is attached to this Resolution as Exhibit A; and, WHEREAS, the LRPMP describes nine different sites (fourteen parcels) currently held by the Successor Agency, as successor in interest to the former Agency (together, the "Properties"); and, WHEREAS, the LRPMP provides that all nine of the Properties will be conveyed by the Successor Agency to the City; and, WHEREAS, the City desires to accept title to the Properties and authorize the City Manager or her authorized designee to take such actions as may be necessary to accomplish the conveyance of the Properties to the City; and, WHEREAS, the acceptance of the Properties by the City pursuant to the LRPMP complies with the CRL and the Dissolution Laws and is in the best interests of the taxing entities. On January 10, 2012, the San Juan Capistrano City Council took the steps to designate the City of San Juan Capistrano as the Successor Agency to the San Juan Capistrano Community Redevelopment Agency's (Successor Agency) pursuant to section 34173 of the Health and Safety Code, and the former Redevelopment Agency assets were transferred to the Community Redevelopment Property Trust Fund held by the Successor Agency on February 1,2012. Pursuant to Health and Safety Code section 34191.5,within six month after receiving a Finding of Completion from the Department of Finance (DOF), the Successor Agency is required to submit for approval to its Oversight Hoard and the DOF a Long Range Property Management Plan (LRPMP) that addresses the disposition and use of the real property assets of the former Redevelopment Agency. The Successor Agency's Finding of Completion was issued on November 8,2013. Presented below is the Long Range Property Management Plan (LRPMP) prepared in compliance with Health and Safety Code section 34191.5(c). Permissible options for the disposition of property under the Long Range Property Management Plan pursuant to Health and Safety Code section 34191.5(c)(2)are as follows: 1. The property may be transferred to the City pursuant to subdivision (a) of Section 341.81 if the property was constructed and used for a governmental purpose. 2. The property may be transferred to the City for future development if the plan directs the use or liquidation of the property for a project identified in an approved redevelopment plan,community plan or five-year implementation plan. 3. The property may be sold by the Successor Agency. 4. The property may be retained by the Successor Agency to fulfill an enforceable obligation. If the plan directs the liquidation of the property or the use of revenues generated from the property, such as lease or parking revenues, for any purpose other than to fulfill an enforceable obligation or other than that specified in paragraph 2,above,the proceeds from the sale shall be distributed to the taxing entities. With respect to the properties described in paragraph 2, the City will enter into agreements with the affected taxing entities for the distribution of any net sale proceeds to the extent required by law. Two (2) sites(Sites 1 and 2)will be conveyed to the City of San Juan Capistrano upon approval by the Oversight Board and the DOF for their continued public and governmental intended purposes as parks,open space and roads under the Los Rios Specific Plan and the©pen Space Master Plain, as authorized pursuant to Health Safety Code Section 34181(a). Certain Los Rios Park properties (Phase l) along with other properties used for public street purposes in the Los Rios Specific Plan were conveyed to the City in August 2010. However,the Los Rios Park—Phase 2 properties were not conveyed at that time due to questions regarding property and legal descriptions. The Los Rios Park—Phase 2 conceptual design was approved by the City Council in Spring 2010 and construction will commence when funding for park and open space improvements becomes available. Because of its land use designation and intended governmental use described above,the Los Rios Park Phase 2 property does not have any potential for transit-oriented development or the advancement of planning objectives of the Successor Agency beyond the second phase of the Los Rios park improvements. Estimated Value The City's General Plan and Zoning Designation as part of the Los Rios Specific Plan is intended to ensure that the property is retained as a public open space/recreational amenity in the Los Rios Historic District in perpetuity. Additionally, the provisions of the Federal Land and Conservation Grant funds under which the former Redevelopment Agency purchased APN 121-143-18, require its use for park purposes. Based on zoning and grantfund provisions,the true "market value" of the property is something considerably less than the "book value". Recent comparable sales information obtained by the City in November 2013 indicated the market value of similar property to be approximately$1-$3 per square foot. The remaining property was sold to the City of San Juan Capistrano as part of the City's open space acquisitions under Bond Measure D in order to provide open space and recreation amenities and preserve the City's agricultural heritage. Since the exact location of the Adult Education Program was not known at that time,a four-fifths (4/* ) undivided interest (approximately 45 acres) in the property was sold to the City for the implementation of the ©pen Space Master Plan, approved in 1991 (Appendix B) and a one-fifth Page 6 EXHIBIT A San Juan Capistrano Successor Agency Long Range Property Management Plan April 1,2014 (1/5) undivided interest(which calculates to approximately 11 acres) was retained by the farmer Redevelopment Agency. In 1998, the Second Amended and Restated Agreement for Cooperation between the former Redevelopment Agency and the CUS©eliminated the obligation to relocate the Adult Education Program and created the obligations to sell approximately 7 acres of the parcel for the construction of Kinoshita Elementary School. This left the Redevelopment Agency with an interest in approximately 4 acres (which calculates to an undivided, one-twelfth (1/12) interest in the entire remaining property). The original purchase and sale agreement acknowledges the understanding that the property was acquired for park, open space, agricultural, and other public and quasi-public uses. Additionally, the purchase and sale agreement for the original acquisition of the Site by the former Redevelopment Agency identified the safe or transfer of all or any portion of the property for private development uses, private commercial uses, or for-profit uses as prohibited uses unless these uses were consistent with zoning at the date of the agreement. As outlined in the Open Space Master Plan dated June 1992, approximately 28 acres of the property has been maintained since its acquisition as an agricultural preserve(currently operated by South Coast Farms). Additionally, the historic Congdon House (currently operated by the Ecology Center) has been restored by the City and is currently part of the agricultural preservation area. The improvements to the remaining property (approximately 21 acres, including the former Redevelopment Agency's undivided interest) were completed between 1996 and 2000 and are currently in use as a public street(Via Positiva), the San Juan Capistrano Community Center and Sports Park; Gymnasium; and Community Garden. The Capistrano Valley Boys & Girls Club and Teen Center is also located on the property as part of the Community Center/Gymnasium complex. Estimated Lease and Rental Revenue For Fiscal Year 2013/14, approximately $240,00€3 is anticipated to be collected from renting meeting rooms and the Community Hall; sports fields and gymnasium rental; farm operations and Ecology Center lease revenues. These revenues are completely applied toward off-setting the City's on-going operating and maintenance costs for the Community Center; Sports Park; Historic Congdon House and farm property which are anticipated to be approximately $915,000 for Fiscal Year 2013/14. The pian for the parkifarm evolved through a series of alternative concept plans which were reviewed and evaluated within public workshops. From this process,s preferred plan was selected. The plan is referred to here as Alternate 613: Each of the alternatives incorporated similar features and land use program but, have slight variations in agricultural acreage and different locations of facilities and layouts. Overall development costs Were similar to one another. Alternative plan 6B The concept of this pian is to cluster all new development to the west and retain agricultural use to the east. This concept minimizes the visual Impact of the change from agriculture to park and recreational use. The new park and recreation facilities are to be related to and coordinated vvith further development and expansion of the existing Me= Forster school. Agricultural use is to be continued on the eastern portion of the site, thereby retaining a significant area for this use. Plan 613 was prepared in conjunction with plans of the Capistrano Unified School District for conversion of Marco Forster Junior high School to a Middle School. Conversion of the Junior High School to a Middle School will require additional classrooms,parking,and additional play ground area. Plan 6B seeks to coordinate development of both the Paris and Middle School, and use of active sports fields(refer to Figure 2-1Grroshita Farm- ARemadve 6B), Initial discussions with the School District determined need for a 100 car perking area and additional classrooms and improvement to the school's vehicular access. This plan Illustrates additional area for hard courts and relocation of the school's tennis courts, handball courts, and track to the north end of the school property. With a coordinated plan, the existing number of ball fields are retained and development of an additional lighted baseball field and two lighted softball/little league fields and three lighted soccer fields is possible. These lighted fields are located away as far away from adjacent residential areas as possible_ The plan also allows for phased, future development of two unlighted softball/little league fields and three practise soccer fields adjacent to Camino pel Avion. The latter area is to be developed for these recreational uses as needs and funding occurs, and therefore will be art agricultural use in the interim. The Plan also features a major Community Center near the center of the park and adjacent to the sports fields. The Community Center is to be a multi-purpose facility of approximately 32,000 sq. ft. Parking area for the Community Center will be shared with the adjacent Spurts Park parking area to maximize parking efficiency. The parking area is to accommodate 230 cars spread along three parking areas surrounding this complex. All these facilities will require a widened vehicular entry from Camino Del Avion that is to 'be coordinated with the entry into the school. The plan separates the farm area from the Community Center facilities and Sports Park area with an access road that links Camino Del Avion with Dell Obispo. The road serves to facilitate access and egress from either street and provides a barrier and buffer between the agricultural use and the park use. - The Agricultural Preserve will encompass 31 acres of the 56 ac m site. In addition,there Is to be an area of 6.2 acres tint is to remain in agricultural use In the interim along Camino Del Avion and to be utilized for recreational use when needed. The agricultural portion of this plan includes the 31 acne agricultural preserve,which incorporates Demonstration Garden, a Farmer's Market, a roadside vegetable and fruit stand, farm equipment and storage buildings. The farm is expected to be able to grow a variety of row crops,berries,pumpkins,melons, and the like. The farm Is also to be a community attraction as well, and its farmer's market and roadside stand are to be designed to bring the public to the farm and enjoy the farm's fresh forks and vegetables. An area has also been set aside for restoration and a support garden for the historic,Joel Congdon Crouse and its related support buildings- The Joel Congdon house is to be restored and rehabilitated to serve as a museum. There will also be an adjacent outdoor garden to display historic farm equipment and cis. Visitors Will be able to learn,and gain a first hand understanding of the history of farming in the Capistrano Valley from these elements. The use of the ten acres acquired by the City Redevelopment Agency has yet to be determined. These ten acres are subject to further study of use and site layout. In the interim, the lands are anticipated to continue to be utilized for agriculture and function as part of the existing:farm. Pursuant to health and Safety Code(HSC)section 34179(h), Finance has completed its review of the OB action. Finance has completed its review of the Agency's OB Resolution No. 12-09-19-01 directing the Agency to transfer redevelopment assets that are designated for housing assets and governmental use properties to the Sao Juan Capistrano Housing Authority and the City of San Juan Capistrano. Based on our review and application of the law, we made the following determinations. Transfer of housing assets to the Housing Authority is approved. As summarized in the table below, some properties do not meet the criteria included in HSC section 34161 (a)that defines the assets constructed and used for a governmental purpose. HSC section 34191.3 suspended the requirements of HSC section 34181 (a) and the successor agency's ability to dispose of assets for non-governmental purposes, unfit Finance has issued a finding of completion and has approved a long range property management plan. Because the,agency has not met all statutory requirements,the disposition of non-governmental purpose properties by transfer is not permitted. Signature (seal) i a4s:oxsaxe.ao,x 4725M.1 aixmwiz -5- ATTACHMENT 5 - Page 7 of 7 RESOLUTION NO, 13-0604-01 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN JUAN CAPISTRANO, CALIFORNIA, ACCEPTING THE CONVEYANCE AND QUITCLAIM OF CERTAIN GOVERNMENTAL USE PROPERTIES WHEREAS, at the time of dissolution of the former San Juan Capistrano Community Redevelopment Agency (the "Agency") title to certain properties identified in Exhibit A transferred by operation of law to the Successor Agency of the San Juan Capistrano Community Redevelopment Agency ("Successor Agency"). Exhibit A is attached hereto and incorporated herein by reference; and, WHEREAS, the Successor Agency included those certain properties identified in Exhibit A on the List of Property approved by Resolution No. 12-05-15-01, and designated those properties as governmental use; and, WHEREAS, the oversight Board for the Successor Agency, by Resolution No. 12- 05-16-01, has approved the designation of the properties identified in Exhibit A as affordable housing property; and, WHEREAS, the Oversight Board of the Successor Agency, by Resolution No. 12- 09-19-01, has approved the designation of the properties identified in Exhibit A as governmental use properties and directed the Successor Agency to transfer the properties to the City of San Juan Capistrano (the "City")= and, WHEREAS,the Department of f=inance has approved the transfer of the properties, identified in Exhibit A, to the City; and, WHEREAS, the City desires to accept the transfer of the governmental use properties identified in Exhibit A; and, WHEREAS, this Resolution has been reviewed with respect to applicability of the California Environmental Quality Act(CEQA), the State CEQA Guidelines(California Code of Regulations, Title 14, Sections 15000 et seq., hereafter the"Guidelines"), and the City of San Juan Capistrano's environmental guidelines; and, WHEREAS, per Section 15301 of the State CEQA Guidelines, the transfer of real property is exempt from environmental review under CEQA because the transfer will result in a continuation of an existing facility involving no expansion of use and is therefore exempt from environmental review, and any future development of the real property will require separate environmental review; and, NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of San Juan Capistrano does hereby accept the conveyance and quitclaim of the property rights, title or interest from the Successor Agency of the foregoing parcels of land more specifically identified in Exhibit A.
