THIS AGREEMENT is made, entered into, and shall become effective this leday of
_kjUQ,, 2011, by and between the San Juan Capistrano Community Redevelopment
Agency (hereinafter referred to as the "Agency") and LGC Geotechnical, Inc.
(hereinafter referred to as the "Consultant").
RECITALS:
WHEREAS, Agency desires to retain the services of Consultant regarding the
Agency's proposal to provide Soil and Geologic Reconnaissance and Geotechnical
Investigation for an Affordable Housing Development; and
WHEREAS, Consultant is qualified by virtue of experience, training, education
and expertise to accomplish such services.
NOW, THEREFORE, Agency and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by the Consultant shall consist of those tasks
as set forth in Exhibit "A," attached and incorporated herein by reference. To the extent
that there are any conflicts between the provisions described in Exhibit "A" and those
provisions contained within this Agreement, the provisions in this Agreement shall
control.
Section 2. Tenn.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall continue until notified that said services are no longer
required, subject to 15 days notice of termination.
Section 3. Compensation.
3.1 Amount.
Total compensation for the services hereunder shall not exceed $10,900,
Ten Thousand Nine Hundred as set forth in Exhibit "A," attached and incorporated
herein by reference.
3.2 Method of Payment.
Subject to Section 3.1, Consultant shall submit monthly invoices based on
total services which have been satisfactorily completed for such monthly period. The
Agency will pay monthly progress payments based on approved invoices in accordance
with this Section.
3.3 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to Agency.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of Agency, and shall obtain no rights to any benefits which accrue
to Agency's employees.
Section 6. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for Agency to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the Agency. This Agreement may not be assigned,
voluntarily or by operation of law, without the prior written approval of the Agency. If
Consultant is permitted to subcontract any part of this Agreement by Agency,
Consultant shall be responsible to Agency for the acts and omissions of its
subcontractor as it is for persons directly employed. Nothing contained in this
Agreement shall create any contractual relationships between any subcontractor and
Agency. All persons engaged in the work will be considered employees of Consultant.
Agency will deal directly with and will make all payments to Consultant.
Section 6. Changes to Scope of Work.
For extra work not part of this Agreement, a written authorization from Agency is
required prior to Consultant undertaking any extra work. In the event of a change in the
Scope of Work provided for in the contract documents as requested by the Agency, the
Parties hereto shall execute an addendum to this Agreement setting forth with
particularity all terms of the new agreement, including but not limited to any additional
Consultant's fees.
Section 7. Familiarity with Work and/or Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) if applicable, it has investigated the work site(s), and is aware
of all conditions there; and (3) it understands the facilities, difficulties and restrictions of
the work to be performed under this Agreement. Should Consultant discover any latent
or unknown conditions materially differing from those inherent in the work or as
represented by Agency, it shall immediately inform the Agency of this and shall not

proceed with further work under this Agreement until written instructions are received
from the Agency.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law: E -Verify.
9.1. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
9.2. E -Verify.
If Consultant is not already enrolled in the U.S. Department of Homeland
Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen
days of the effective date of this Agreement to verify the employment authorization of
new employees assigned to perform work hereunder. Consultant shall verify
employment authorization within three days of hiring a new employee to perform work
under this Agreement. Information pertaining to the E -Verify program can be found at
http://www.uscis.gov, or access the registration page at https://www.vis-
dhs.com/emoloyerreoistration. Consultant shall certify its registration with E -Verify and
provide its registration number within sixteen days of the effective date of this
Agreement. Failure to provide certification will result in withholding payment until full
compliance is demonstrated.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the work, Consultant shall have delivered to Agency at least
one (1) copy of any final reports and/or notes or drawings containing Consultant's
findings, conclusions, and recommendations with any support documentation. All
reports submitted to the Agency shall be in reproducible format, or in the format
otherwise approved by the Agency in writing.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the
Agency. All such reports, information, data, and exhibits shall be the property of the
Agency and shall be delivered to the Agency upon demand without additional costs or
expense to the Agency. The Agency acknowledges such documents are instruments of
Consultant's professional services.
Section 13. Indemnity.
To the fullest extent permitted by law, Consultant agrees to protect, defend, and
hold harmless the Agency and its elective or appointive boards, officers, agents, and
employees from any and all claims, liabilities, expenses, or damages of any nature,
including attorneys' fees, for injury or death of any person, or damages of any nature,
including interference with use of property, arising out of, or in any way connected with
the negligence, recklessness and/or intentional wrongful conduct of Consultant,
Consultant's agents, officers, employees, subcontractors, or independent contractors
hired by Consultant in the performance of the Agreement. The only exception to
Consultant's responsibility to protect, defend, and hold harmless the Agency, is due to
the negligence, recklessness and/or wrongful conduct of Agency, or any of its elective
or appointive boards, officers, agents, or employees.
This hold harmless agreement shall apply to all liability regardless of whether any
insurance policies are applicable. The policy limits do not act as a limitation upon the
amount of indemnification to be provided by Consultant.
Section 14. Insurance.
On or before beginning any of the services or work called for by any term of this
Agreement, Consultant, at its own cost and expense, shall cant', maintain for the
duration of the agreement, and provide proof thereof that is acceptable to the Agency,
the insurance specified below with insurers and under forms of insurance satisfactory in
all respects to the Agency. Consultant shall not allow any subcontractor to commence
work on any subcontract until all insurance required of the Consultant has also been
obtained for the subcontractor. Insurance required herein shall be provided by Insurers
in good standing with the State of California and having a minimum Best's Guide Rating
of A- Class VII or better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full
force and effect Comprehensive General Liability coverage in an amount not less than
one million dollars per occurrence ($1,000,000.00), combined single limit coverage for

risks associated with the work contemplated by this agreement. If a Commercial
General Liability Insurance form or other form with a general aggregate limit is used,
either the general aggregate limit shall apply separately to the work to be performed
under this agreement or the general aggregate limit shall be at least twice the required
occurrence limit.
14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full
force and effect Comprehensive Automobile Liability coverage, including owned, hired
and non -owned vehicles in an amount not less than one million dollars per occurrence
($1,000,000.00).
14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employers Liability Insurance in the statutory amount as
required by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement naming Agency, its officers, employees, agents, and
volunteers as additional insureds as respects each of the following: Liability arising out
of activities performed by or on behalf of Consultant, including the insured's general
supervision of Consultant; products and completed operations of Consultant; premises
owned, occupied or used by Consultant; or automobiles owned, leased, hired, or
borrowed by Consultant. The coverage shall contain no special limitations on the scope
of protection afforded Agency, its officers, employees, agents, or volunteers.
14.5 Errors and Omissions Coverage [FOR PROFESSIONS/WORK
EXCLUDED UNDER GENERAL LIABILITY COVERAGE]
Throughout the term of this Agreement, Consultant shall maintain Errors
and Omissions Coverage (professional liability coverage) in an amount of not less than
One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement,
Consultant shall submit an insurance certificate to the Agency's General Counsel for
certification that the insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancel lation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled,
nor the coverages reduced, until after thirty (30) days' written notice is given to Agency,
except that ten (10) days' notice shall be given if there is a cancellation due to failure to

pay a premium.
14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance
provisions have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
Agency has issued a written "Notice to Proceed" verifying that Consultant has complied
with all insurance requirements of this Agreement.
Section 15. Termination.
Agency shall have the right to terminate this Agreement without cause by giving
thirty (30) days' advance written notice of termination to Consultant.
In addition, this Agreement may be terminated by any party for cause by
providing ten (10) days' notice to the other party of a material breach of contract. If the
other party does not cure the breach of contract, then the agreement may be terminated
subsequent to the ten (10) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses
shall be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

Subject: Revised Proposal for Supplemental Geotechnical Evaluation and Updated Geotechnical
Report, The Groves at If tlliams Ran ch, City of San Juan Capistrano, California
Introduction
In accordance with your request, LOC Geotechnical, Inc. has prepared this proposal to perform a
Supplemental geotechnical evaluation for the proposed development of The Groves at Williams Ranch, City
of San Juan Capistrano, California. This proposed scope of services is based on the recommendations
provided in the preliminary geotechnical evaluation of the site by Lawson & Associates Geotechnical
Consulting, Inc. (Lawson, 2010), time current site development plan (RRM, 2010), and discussions with you,
the geotechnical reviewer and the project team. The data gathered as part of this evaluation will supplement
that previously gathered for the site (Lawson, 2010). The recommendations provided in the referenced report
also predate the current building code. Updated geotechnical recommendations and parameters for site
development will be provided in the updated geotechnical report proposed herein.
The preliminary geotechnical evaluation at the site was performed as a due diligence study to identify the
potential geotechnical constraints and hazards at the site. Based on the preliminary findings of the previous
study an additional evaluation including cone penetrometer testing (CPT) and exploratory backhoe test pits
was recommended (Lawson, 2010).
Site Evaluation
Our evaluation will include performance of approximately six CPT soundings and approximately ten
backhoe test pits across the site. The exploratory test pits will be excavated across the site to evaluate the
near -surface geologic conditions, including the estimated depths of remedial grading. Local subcontractors,
under the direction of our field representative, will perform the excavations. The test pits will be sampled and
logged by a representative of our firm. Once completed the test pits will be backfilled and compacted to the
ground surface with the excavated materials.
Based oa the preliminary findings of the previous geotechnical evaluation, the site soils are susceptible to
seismically -induced settlement (liquefaction). Part of the purpose of the previous study was to identify such
conditions should they exist and to provide mitigation recommendations as appropriate. However, the
estimated seismically -induced settlement for the site is significant, which may necessitate costly ground
improvement and/or substantial foundation modifications in order to develop the site as desired. The CPT and
hollow -stem boring portion of this evaluation will focus on the potential for liquefaction, to better quantify the

potential for seismically -induced settlement. It is anticipated that the additional study will enable us to refine
the previous estimates of potential settlement, which could lead to a reduction in the necessary mitigation.
Specifically, we propose to perform approximately six cone penetration testings (CPT) in the area of the
proposed structures. CPTs provide a continuous log of the materials encountered during the sounding. The
data from the CPTs will allow us to more precisely identify the vertical thickness and lateral extent of the
layers with potential for seismically -induced settlement. Currently the analysis is based on soil samples
obtained at -foot, regular intervals from the borings. With this limited data, when the laboratory testing of one
of these samples indicates the presence of material with a potential for seismically -induced settlement, it is
assumed that the material encountered comes from a unit that extends vertically, up and down, to the next
samples which do not have these characteristics. As such, this data often leads to a conservative estimate of the
thickness of the vulnerable unit, and in -tum, the amount of potential settlement. While this methodology may
suffice for sites where potential settlement is determined to be low and can be mitigated by typical grading and
construction methods, where higher potentials are encountered it is usually prudent to follow-up with additional
subsurface study to refine the estimates.
The liquefaction potential and associated vertical deformation of the site will be analyzed in "real time" by a
representative of our firm at the conclusion of each CPT sounding. Our ability to perform "real time"
liquefaction analysis allows us to collect samples (if needed) at specific locations to augment our analysis.
The CPT soundings will be driven to maximum depths of approximately 50 feet or practical refusal
(whichever comes first) and logged by a geologist from our firm. The soundings will be performed by local
subcontractors under the direction of our field representative.
The data gathered in this supplemental evaluation will be utilized to revise the settlement analysis for the site.
The data will be added to the previously gathered data for the site and incorporated into our updated
geotechnical evaluation report for the site. Our geotechnical report will include the findings of the previous
and proposed site evaluation, and will present our updated findings, conclusions and recommendations for
the proposed site development.
We will obtain and comply with City of San Juan Capistrano drill permits as required

Scone of Services
The following is a brief description of the geotechnical services we propose to perform.
Review of available site development plans.
• Obtaining and complying with City of San Juan Capistrano drill permits for the CPT's, including
coordination effort, materials, and field -time for equipment and personnel.
• Mark excavation locations and notify Underground Service Alert (USA). Note: In preparing this
proposal, we have assumed that no private underground lines are known to transect the site. If private
underground lines are known to transect the site, we recommend that a private utility locator be contacted
to mark all underground lines prior to our field excavation. The cost of marking the private utility lines
has not been included in our services. We assume no responsibility for damage to unmarked utility lines.
• Field evaluation consisting of excavation, sampling, and logging of approximately ten backhoe
excavated test pits across the site and pushing of approximately six CPT soundings on the site to depths
of 50 feet or practical refusal (whichever comes first).
• An experienced representative from our office will be onsite to direct the evaluation, collect samples, log
the test pits and CPT's and determine depth to ground water. The CPT's will be backfilled with bentonite
chips. The backhoe test pits will be backfilled and compacted with the excavated materials to the ground
surface.
• Obtaining bulk samples from the excavations for classification and laboratory testing.
• Submit and assign laboratory tests to our geotechnical laboratory for characterization of the engineering
properties of selected soil samples. Laboratory tests performed will likely include: Expansion Potential,
Atterberg Limits, Corrosion Suite, R -value.
• Geotechnical interpretation and analysis of field and laboratory results.
• Preparation of an updated geotechnical map of the site.
• Preparation of a geotechnical cross-section modeling the interpreted subsurface geometry of the geologic
conditions encountered in the area of the west -facing, descending slope from Camino Capistrano.
• Perform slope stability analysis of the cross-sectional model to evaluate the stability of the west -facing,
descending slope from Camino Capistrano.
• The results of our evaluation including our findings, conclusions, and updated geotechnical
recommendations and parameters for site grading and development will be prepared. Our report will
include site-specific recommendations pertaining to the following for the residential development of the
site:
- Foundation recommendations, including: type, depth, bearing capacity and anticipated
settlement;
- Overexcavation requirements (if necessary);
- Presence/absence of ground water;
- Grading and processing of the soil, including preliminary shrinkage/bulking factors;
- Subgrade modules for flexible pavement and slab design;
- Stability of temporary excavations;
- Presence/absence of faults;
- Liquefaction potential;
- Geotechnical recommendations for wall design;

- Seismicity;
- Expansion potential;
- Collapse potential;
- Corrosion potential;
- Soil corrosion characteristics; and
- Recommendations for utility improvement.

Note: Our study will only address the geotechnical issues associated with the site and will not address any
environmental issues.
Assumptions
Please note that the following assumptions have been made:
1. Details and permission regarding any archeological, paleontological, environmental, natural habitat, or
any other possible restrictions or concerns in the area of our investigation will be provided prior to the
initiation of the field portion of our study;
2. A set of plans depicting the existing site topography and the location of the proposed improvements, in
AutoCAD format, will be made available prior to the initiation of our study;
3. The site is open during weekdays and is easily accessible with the equipment assumed herein;
4. If obvious contaminants or pollution are found during the course of the evaluation, additional costs may
be incurred to dispose of the contaminated soils and to properly backfill and seal the excavations; and
5. We expect our report to be acceptable to local jurisdictions but may require some response to review
questions/comments. The cost for responding to the reviewing agencies is not included in this proposal.
The cost for these services (if necessary) or any other services not specifically cited in this proposal will
be determined once the scope of these services is known.
If any of these assumptions are invalid, our fees shall be adjusted accordingly.
Cost
We propose to perform the above-mentioned geotechnical services on a time -and -material basis in
accordance with our attached 2009 Professional Fee Schedule for an estimated amount of Ten Thousand
Nine Hundred Dollars ($10,900.00).
Schedule
Once we receive the notice to proceed we will begin the application process for the necessary permits and
mark out the site for utility clearance. Once the permits and utility clearance have been obtained, suitable
subcontractors are available, and suitable weather conditions are present we will begin our field work. The
field portion of our evaluation is anticipated to be completed in one day. We estimate we will be able to
provide you with our updated geotechnical evaluation report for the site within approximately four weeks of
the completion of our field evaluation.

Terms and Conditions
• Expert witness testimony, depositions, or mediation conferences, will be billed at 2.0 times the basic
billing rate, portal to portal.
• All geologists, engineers, and technicians will be billed at time -and -a -half for overtime.
• Invoices are tendered monthly, payable upon receipt.
• A retainer of 50 percent of the fee is required for projects with a total estimated fee of $5,000.00 or less.
The balance is due upon report delivery.
• Proposals are valid for 30 days, unless otherwise stated.
• Heavy equipment, subcontractor fees and expenses, supplemental insurance, travel, shipping,
reproduction, and other reimbursable expenses will be invoiced at cost, plus 20 percent, unless billed
directly to, and paid by the Client.
• 30 percent of the fee for field studies will be invoiced immediately upon authorization to cover
equipment and mobilization costs.
• Client agrees to provide all information in Client's possession about the actual or possible presence of
buried utilities and hazardous materials on the site, and agrees to reimburse LGC for all costs related to
their unanticipated discovery.

Triaxial testing, residual shear testing, permeability, abrasion, and special testing will be charged at hourly
rates. Materials testing fees and additional laboratory testing fees will be provided upon request.
Laboratory samples will be retained for 60 days. A monthly storage fee of $3.00 per bag/$1.00 per ring will
be assessed if longer storage is required.
Weekend testing and RUSH tests may be provided to Clients upon requests and additional charges will be
determined on a project -by -project basis.
