COMMERCIAL LEASE
I. Parties and Date. This Lease Agreement ("Lease") is made as of January 4,
19 94 and is by and between Al Welchel dba Cafe Capistrano, ("Tenant") and San Juan
Capistrano Community Redevelopment Agency a public body, corporate and politic, duly
organized and validly existing under and by virtue of the Constitution and the laws of the
State of California (hereinafter referred to as ("Landlord").

'77 January 4, 19 94, and shall continue thereafter on a month to month basis and may be
terminated by either party by the provision of thirty (30) days written notice. Upon
termination of this agreement, the Tenant shall vacate the Premises.
4. Rent: Tenant shall pay to Landlord as rent for the Premises, the sum of Three
Thousand Three Hundred Seventy Five ($ 3,375) dollars per month. This rent calculation
is based on $1.35 per square feet for 2,500 square foot of Premises

prior written consent of the Landlord, which consent Landlord may grant or withhold in
its sole and absolute discretion.
6. Taxes:
(a) Real Property Taxes. Landlord shall be responsible for all taxes levied
upon the real property.
(b) Personal Property Taxes. Tenant shall pay prior to the delinquency all
taxes assessed against and levied upon the trade fixtures, furnishings,
equipment and other personal property of Tenant contained in the
Premises.

any possessory interest tax that may be levied upon Tenant.
7. Utilities: Tenant shall be responsible for the payment of all utilities.

Landlord expressly disclaims any warranty or representation with regard to the condition,
safety, security or suitability of the Premises for Tenant's intended use. Landlord shall
not be liable in damages for any damage or destruction to Tenant's leasehold
improvements or personal property arising from the condition of the Premises.

„_9. Regulations: Tenant shall obtain, at its sole cost and expense, all
governmental permits and authorizations of whatever nature required by any
governmental agencies having jurisdiction over Tenant's use of the Premises or
improvements to the Premises. Tenant, at its sole cost, will comply with all applicable
governmental laws and regulations. Tenant will also comply with any and all reasonable
rules and regulations promulgated by Landlord.
'JO.—Maintenance-and Repairs: The Tenant, in keeping the Premises in good order,
condition and repair, shall exercise and perform good maintenance practices. Tenant's
obligations shall include restorations, replacements or renewals when necessary to keep
the Premises and all improvements thereon or a part thereof in good order, condition and
state of repair. It is intended by the Parties hereto that the Landlord have no obligation,
in any manner whatsoever, to repair and/or maintain the Premises, the improvements
located thereon or the equipment therein. Tenant shall maintain the interior Premises in
a neat, clean, orderly and safe condition and shall be responsible for any damage done in
or to the Premises caused by Tenant or its employees, agents or contractors. Tenant
shall maintain the premises in such a manner as to be continually in compliance with all
applicable land use, fire, safety and health codes. Should Tenant fail to meet this
obligation it will be considered a default as defined by Section 14 of this lease. Upon
termination of this Lease, Tenant shall surrender and quit the Premises in good order,
condition and repair, reasonable wear and tear excepted only and, at Tenant's expense,
shall remove all of its trade fixtures and personal property and repair any damage to the
Premises occasioned by removal of these items.
11. Alterations, Improvements or Additions: Tenant shall not, without the
Landlord's prior written consent, make any alterations, improvements or additions in or
about the Premises.
X12. --Hold Harmless: Tenant shall indemnify and hold Landlord harmless from and
against any and all claims arising from Tenant's use or occupancy of the Premises or
from the conduct of its business or from any activity, work, or things which may be
permitted or suffered by Tenant in or about the Premises including all damages, costs,
attorney's fees, expenses and liabilities incurred in the defense of any claim or action or
proceeding arising therefrom. Except for Landlord's willful or grossly negligent conduct,
Tenant hereby assumes all risk of damage to property or injury to person in or about the
Premises (see Section 17 for additional terms).
13. Assignment and Subletting: Tenant shall not voluntarily or by operation of law
assign, transfer, sublet, mortgage, or otherwise transfer or encumber all or any part of
Tenant's interest in this Lease or in the Premises without Landlord's prior written
consent.
14. Default: It is agreed between the parties hereto that if any rent shall be due
hereunder and unpaid, or if Tenant shall default and breach any other covenant or
provision of the Lease, then the Landlord, after giving the proper notice required by law,
may re-enter the Premises and remove any property and any and all persons therefrom in
the manner allowed by law. The Landlord may, at his option, either maintain this Lease
in full force and effect and recover the rent and other charges as they become due or, in
the alternative, terminate this Lease. In addition, the Landlord may recover all rentals
and any other damages and pursue any other rights and remedies which the Landlord may
have against the Tenant by reason of such default as provided by law.
15. Surrender: On the last day of the term of this Lease, Tenant shall surrender
the Premises to Landlord in good condition, broom clean, ordinary wear and tear and
damage by fire and the elements excepted.

16. Holding Over: if Tenant, with the Landlord's consent, remains in possession of
the Premises after expiration or termination of the term of this Lease, such possession
by Tenant shall be deemed to be a tenancy from month-to-month at a rental in the
amount of the last monthly rental plus all other charges payable hereunder, and upon all
the provisions of this Lease applicable to such a month-to-month tenancy.
17. Binding on Successors and Assigns: Each provision of this Lease performable
by Tenant shall be deemed both a covenant and a condition. The terms, conditions and
covenants of this Lease shall be binding upon and shall inure to the benefit of each of the
parties hereto, their heirs, personal representatives, successors and assigns.
18. Notices: Whenever under this Lease a provision is made for any demand,
notice or declaration of any kind, it shall be in writing and served either personally or
sent by registered or certified United States mail, postage prepaid, addressed at the
addresses as set forth below.

Such notice shall be deemed to be received within forty-eight(48) hours from the
time of mailing, if mailed as provided for in this paragraph.
19. Waivers: No waiver by Landlord of any provision hereof shall be deemed a
waiver of any other provision hereof or of any subsequent breach by Tenant of the same
or any other provisions.
20. Time: Time is of the essence of this Lease.
21. Insurance:
Tenant shall obtain and keep in full force during the term of this Lease a
commercial general liability policy of insurance protecting Tenant and
Landlord (as additional insured) against claims for bodily injury, personal injury
and property damaged based upon, involving or arising out of the ownership,
use occupancy or maintenance of the premises. Such insurance shall be on an
occurrence basis providing single limit coverage in an amount not less than
.-$1,000,000 per occurrence with an endorsement naming the Landlord as
additional insured. All insurance to be carried by Tenant shall be primary
coverage.

keep and maintain such coverage for the term of the Lease.

it increases my payment to almost double its present

the lapse of their leases, I feel that I should have
the same benefit, so am suggesting as follows:

This concludes for the present the business portion of this
letter, but I would like to add a personal note. I never
cease to be amazed at the "out of hand" manner in which the
city officials have decided the fate of my family, and the
families of my employees, most of whom are residents and
taxpayers of San Juan Capistrano.
I have requested a lease extension at least once a month for
the past five (5) years from every new administration, and
have been assured repeatedly, by many different officials,
that the lease "would be forthcoming," "to be patient," "not
to worry" and many other phrases -all with a great deal of
naivete, I believed. Having had several requests to sell my
business, during that period, I was unable to do so because
of the shortness of my lease, but still believing that one
day the city would give me the promised lease, I didn't
worry. Now - without the promised lease, they have left me
with no options, then - as if that were not bad enough, they
inform us that they intend to raise our rent to almost double
the present amount, and this during the worst recessionary
period that California has ever known, successfully managing
to destroy us. I purchased this business 13 years ago in
1981, and have attempted to run it ever since with pride and
caring. we were (my wife and I) at that time in our late
40's and we had planned then, when the time came for us to
retire, we would be able to sell the business, and live on
the proceeds, well - that time has come, and we are now in
our early 601s, too old to find something else to support us,
too young for Social Security. So without any means of
support, what do we do now?
My customers, who for the most part are prominent residents
of San Juan Capistrano, are now asking me "why the city is
trying to run me out of business?" I would not think that
this is the image that the city officials would want to
convey. I am aware that the city has aided the merchants and
the citizens of San Juan Capistrano when it has been
necessary to make changes. e.g.(1) acquiring the Capistrano
Depot and then rehiring Pete & Jim Tyson (the former owners)
to manage the business now known as the Rio Grande Bar &
Grill. (2) A service station supposedly in the path of the
redevelopment agency and destined for closure - the owner was
aided in the acquisition of another location in town, to
date, both gas stations have been open for years, making it
possible for him to profit from both. There have been other
instances, too numerous to mention, to indicate there has
been concern by the city, in the past, for its merchants,
what is happening now?

In closing, I would like to know how long the city intends to
wait for the phantom buyer of this property, and why they
cannot provide long term leases for their present tenants, to
whom they owe some loyalty, while the buildings are for sale.
After all, there is equally as much chance a future buyer
would prefer a fully leased property, as there is, that they
would not. Why doesn't the city gamble in favor of the
known, rather than the unknown?
