THIS AGREEMENT is made, entered into, and shall become effective this q day
of , 2012, by and between the City of San Juan Capistrano (hereinafter referred to as
the "Cit '} and Leighton Consulting, Inc. (Inereinafter referred to as the "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant to perform appraisal of the
City of San Juan Capistrano pavement study for rehabilitation of citywide streets.
WHEREAS, Consultant is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by the Consultant shall consist of those tasks as
set forth in Exhibit'A," attached and incorporated herein by reference. To the extent that
there are any conflicts between the provisions described in Exhibit"A"and those provisions
contained within this Agreement, the provisions in this Agreement shall control.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall continue until notified that said services are no longer
required, subject to 15 days notice of termination.
Section 3. Compensation.
3.1 Amount.
Total compensation for the services hereunder shall not exceed Twenty Four
Thousand Eight Hundred Sixty Five Dollars ($24,865) as set forth in Exhibit"A," attached
and incorporated herein by reference.
3.2 Method of Payment.
Subject to Section 3.1, Consultant shall submit monthly invoices based on
total services which have been satisfactorily completed for such monthly period as
determined by the City Engineer. The City will pay monthly progress payments based on
approved invoices in accordance with this Section.

3.3 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to the City. Invoices shall be addressed as provided for in
Section 16 below.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of the City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for the City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
operation of law, without the prior written approval of the City. If Consultant is permitted to
subcontract any part of this Agreement by City, Consultant shall be responsible to the City
for the acts and omissions of its subcontractor as it is for persons directly employed.
Nothing contained in this Agreement shall create any contractual relationships between
any subcontractor and City. All persons engaged in the work will be considered employees
of Consultant. City will deal directly with and will make all payments to Consultant.
Section 6. Chancres to Scope of Work.
For extra work not part of this Agreement, a written authorization from City is
required prior to Consultant undertaking any extra work. In the event of a change in the
Scope of Work provided for in the contract documents as requested by the City,the Parties
hereto shall execute an addendum to this Agreement setting forth with particularity all
terms of the new agreement, including but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and/or Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of
all conditions there; and (3) it understands the facilities, difficulties and restrictions of the
work to be performed under this Agreement. Should Consultant discover any latent or
unknown conditions materially differing from those inherent in the work or as represented
by City, it shall immediately inform the City of this and shall not proceed with further work
under this Agreement until written instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.

Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and regulations
of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the work, Consultant shall have delivered to City at least one
(1) copy of any final reports and/or notes or drawings containing Consultant's findings,
conclusions, and recommendations with any supporting documentation. All reports
submitted to the City shall be in reproducible format, or in the format otherwise approved
by the City in writing.
Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to the
City upon demand without additional costs or expense to the City. The City acknowledges
such documents are instruments of Consultant's professional services.
Section 13. Indemnity.
To the fullest extent permitted by law, Consultant agrees to protect, defend, and
hold harmless the City and its elective and appointive boards, officers, agents, and
employees from any and all claims, liabilities, expenses, or damages of any nature,
including attorneys' fees, for injury or death of any person, or damages of any nature,
including interference with use of property, arising out of, or in any way connected with the
negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's
agents, officers, employees, subcontractors, or independent contractors hired by
Consultant in the performance of the Agreement. The only exception to Consultant's
responsibility to protect, defend, and hold harmless the City, is due to the negligence,
recklessness and/or wrongful conduct of the City, or any of its elective or appointive
boards, officers, agents, or employees.
This hold harmless agreement shall apply to all liability regardless of whether any
insurance policies are applicable. The policy limits do not act as a limitation upon the
amount of indemnification to be provided by Consultant.

Section 14. Insurance.
On or before beginning any of the services or work called for by any term of this
Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration
of the agreement, and provide proof thereof that is acceptable to the City, the insurance
specified below with insurers and under forms of insurance satisfactory in all respects to
the City. Consultant shall not allow any subcontractor to commence work on any
subcontract until all insurance required of the Consultant has also been obtained for the
subcontractor. Insurance required herein shall be provided by Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A- Class VII or
better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in an amount not less than one
million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks
associated with the work contemplated by this agreement. If a Commercial General
Liability Insurance form or other form with a general aggregate limit is used, either the
general aggregate limit shall apply separately to the work to be performed under this
agreement or the general aggregate limit shall be at least twice the required occurrence
limit.
14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non-
owned vehicles in an amount not less than one million dollars per occurrence
($1,000,000.00).
14.3 Workers' Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Workers'Compensation Employer's Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self-retention amount, and an
additional insured endorsement naming City, its officers, employees, agents, and
volunteers as additional insured as respects each of the following: Liability arising out of
activities performed by or on behalf of Consultant, including the insured's general
supervision of Consultant; products and completed operations of Consultant; premises
owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed
by Consultant. The coverage shall contain no special limitations on the scope of protection
afforded City, its officers, employees, agents, or volunteers.

14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Priorto beginning anywork under this Agreement, Consultant
shall submit an insurance certificate to the City's General Counsel for certification that the
insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor
the coverages reduced, until after thirty(30)days'written notice is given to City,except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.
14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written"Notice to Proceed"verifying that Consultant has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City shall have the right to terminate this Agreement without cause by giving thirty
(30) days' advance written notice of termination to Consultant.
In addition, this Agreement may be terminated by any party for cause by providing
ten (10) days' notice to the other party of a material breach of contract. If the other party
does not cure the breach of contract, then the agreement may be terminated subsequent
to the ten (10) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

Proposed Scope of Work and Fee Estimate
Geotechnical Exploration Report
Citywide Pavement Rehabilitation Project
San Juan Capistrano, California
Project Description
Leighton Consulting, Inc. (Leighton) is pleased to provide this scope of work and
fee estimate to perform geotechnical exploration in support of the City of the San
Juan Capistrano pavement study for rehabilitation of citywide streets. The
planned rehabilitation will be to extend the pavement life to 15 years. This
proposal is based on Ms. Nisha Patel's email request dated July 17, 2012 with
attachments including the subject street alignments and pavement condition
indexes (PCI), and conversation with Mr. Harry Thomas of OCTA. We
understand that a pavement study for the planned street rehabilitation will be
required as part of the application to secure funds from State-Local Partnership
Program (SLPP) through OCTA.
The proposed rehabilitation project will consist of edge grinding and 2-inch
overlay of the existing asphalt pavement at fifteen street alignments. Generally,
the streets are located in residential neighborhood of San Juan Capistrano. The
PCTs of the various streets ranged from 42 to 81 as previously surveyed by
others. In addition to the pavement rehabilitation, handicap ramps within the
alignments are also planned for improvements.
Leighton's Scope of Work
Our scope of work will consist of geotechnical exploration program within the
street alignments to measure the thickness of the existing pavement sections;
sample the subgrade directly below the existing pavement for soil classification,
and R-value testing; geotechnical analyses; and report preparation. Accurate
traffic indexes for each street will be provided to us by the City.
■ Review geotechnical reports and geology maps available in our in-house
library pertinent to the site or other readily available background materials.
■ Prepare a geotechnical exploration plan, including a map showing locations of
the proposed borings for review by City of San Juan Capistrano.
■ Premark the proposed boring locations and contact Underground Service
Alert (USA) for utility clearance.

• Apply for encroachment permits from the City of San Juan Capistrano.
Perform a subsurface exploration consisting of drilling, logging, and sampling
of fifteen (15) borings spaced within the subject alignments. The borings will
be drilled using hollow-stem auger, advanced to average depths of 5 feet or
refusal, whichever is shallower, and will be logged by a representative of
Leighton. Existing pavement sections at the boring locations will be
measured. Representative soil samples will be collected at subgrade directly
below the existing pavement and at selected depths, and transported to our
laboratory for testing. The borings will be backfilled with native soil cuttings
and existing asphalt concrete surfaces will be restored with cold patch
asphalt. Traffic control will be provided, as necessary, during the subsurface
exploration.
Perform laboratory testing on selected soil samples to determine the
engineering properties of the subsurface soils. The tests are anticipated to
consist of in-situ moisture content and R-Values.
Perform geotechnical engineering analysis of the collected data and develop
geotechnical recommendations.
Prepare a Geotechnical Report presenting our findings and
recommendations, and will be signed by a Registered Geotechnical Engineer.
The report will include alignment location map, boring logs and laboratory test
results:
- Results of the subsurface explorations and geotechnical laboratory
tests, with description of the surface, soil and ground water conditions
(if encountered).
Pavement evaluation and overlay design.
Earthwork recommendations including subgrade preparation, and the
placing of any required compacted fill.
Schedule
We are prepared to begin this work upon receipt of a written notice-to-proceed.
California law requires that Underground Service Alert (USA) be provided at least
two working days advanced notice to locate registered utilities in the proposed
exploration area, before exploration can begin. We understand the nature of the
geotechnical report is time sensitive to your application for SSPL. Therefore, our
work will be dependent on receipt of written notice-to-proceed, the availability of
site access constraints, duration of permit procurement, weather and exploration
equipment availability. Field exploration may begin three to ten working days
after we receive written authorization to proceed for this project. We will notify

you within three days of receiving your written authorization to proceed of our field
work schedule. Our field exploration is expected to be completed in two days and
the laboratory testing will take approximately one week after completion of our
field work. We can provide a draft report for review and comments by August 7,
2012 with the assumption that we receive the notice-to-proceed by July 24, 2012.
Otherwise, our report shall be expected at a later date. A final report can be
provided three days after receipt of comments, if any, from the City.
Project Fee
Our services will be billed on a fixed fee basis of$24,865 based on the scope of
work presented above. The fee breakdown is presented in Table 1. This fee has
been made based on the following assumptions:
• This project is subject to the Prevailing Wage Law.
• The encroachment permit from the City of San Juan Capistrano, if required,
will be a no-fee permit.
• Our field exploration can be performed during daylight hours on weekdays.
• Our scope of our work does not include an assessment of the site for the
possible presence of substances that may be considered hazardous. If we
encounter substances we feel may be hazardous, we will discontinue work in
the immediate area and notify you or your representative. Although we do
not anticipate this, Leighton's environmental staff can assist you should the
need arise.
• Available underground utility information will be provided to us prior to the
field exploration. As required by the state of California, we will also notify
Underground Service Alert of the locations of our planned explorations prior
to drilling. We will also hire a private utility locator as part of our scope of
work. We will take the precautions to avoid utilities; however, despite
reasonable efforts, there are inherent risks to utility damage from drilling. We
cannot assume responsibility for the inherent risks if the utilities are not
accurately marked at the site. Our proposal does not include costs or other
provisions for utility repairs.
This proposal addresses only geotechnical design services, and does not
include review of plans and specifications pertaining to the geotechnical
aspects of this project, services during bidding to respond to contractor's
questions pertaining to geotechnical aspects of this project, and geotechnical
and materials testing during construction. Upon request, we can also prepare
a proposal to provide these services.

TERMS AND CONDITIONS
Overtime: Overtime for field personnel will be charged at 1.5 times basic hourly rates when exceeding 8
hours up to 12 hours per 24 hour interval, and 2 times basic hourly rates when exceeding 12 hours in 24
hours or on Sunday, and 3 times basic hourly rates on California official holidays.
• Expert Witness Time: Expert witness deposition and testimony will be charged at 2 times hourly rates listed
on the previous pages, with a minimum charge of four hours per day.
• Minimum Hourly Charges for Geotechnical and Environmental Technicians (field time only):
1. Monday-Friday..................................................................................................2 hours

• Minimum Hourly Charges for Special Inspectors or Material Testing Field Services(field time only):
1. Cancellation of inspections not canceled by 4:00 p.m. on preceding day* ........I....2 hours

3. Over one-half working day, or begins before noon and extends into afternoon ...... 8 hours
*No charge if cancellation is made before 4:00 p.m. of the preceding work day.
■ Outside Direct Costs (ODCs): Heavy equipment, subcontractor fees and expenses, project-specific permits
and/or licenses, project-specific supplemental insurance, travel, subsistence, project-specific parking charges,
shipping, reproduction, and other reimbursable expenses will be invoiced at cost plus 20%, unless billed
directly to and paid by client.
Insurance and Limitation of Liability: These rates are predicated on standard insurance coverage and a
limit of Leighton's liability equal to our total fees for a given project.
■ Invoicing: Invoices are rendered monthly, payable upon receipt in United States dollars. A service charge of
1'/-percent per month will be charged for late payment.
Proposal Expiration: Proposals are valid for at least 30 days, subject to change after 30 days; unless
otherwise stated in the attached proposal. Fees are subject to change on January 1 . of every year.
■ Client Disclosures: Client agrees to provide all information in Client's possession about actual or possible
presence of buried utilities and hazardous materials on the project site, prior to fieldwork, and agrees to
reimburse Leighton for all costs related to unanticipated discovery of utilities and/or hazardous materials.
Client is also responsible for providing safe and legal access to the project site for all Leighton field personnel.
• Earth Material Samples: Quoted testing unit rates are for soil and/or rock (earth) samples free of hazardous
materials. Additional costs will accrue beyond these standard testing unit rates for handling, testing and/or
disposing of soil and/or rock containing hazardous materials. Hazardous materials will be returned to the site
or the site owner's designated representative at additional cost not included in listed unit rates. Standard
tum-around time for geotechnical-laboratory test results is 10 working days. Samples will be stored for 2
months, after which they will be discarded. Prior documented notification is required if samples need to be
stored for a longer time. A monthly storage fee of $10 per bag and $5 per sleeve or tube will be applied.
Quoted unit rates are only for earth materials sampled in the United States. There may be additional cost for
handling imported samples.
• Construction Material Samples: After all designated 28-day breaks for a given set meet specified
compressive or other client-designated strength, all "hold" cylinders or specimens will be automatically
disposed of, unless specified in writing prior to the 28-day break. All other construction materials will be
disposed of after completion of testing and reporting.
