12-0629_CARBON ACTIVATED CORPORATION_Personal Services Agreement PERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this rday of June, 2012, by and between the City of San Juan Capistrano (hereinafter referred to as the "City") and Carbon Activated Corporation (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to have the Granulated Activated Carbon (GAC) media at the Ground Water Recovery Plant supplied, installed and hauled off site and disposed of; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by the Consultant shall consist of the removal and disposal of the existing GAC media, located within eight separate vessels, preparation of the vessels to receive new GAC media, and the installation of the new GAC media in the vessels. The schedule for replacement shall be as needed and not to exceed two replacements in one Fiscal Year. Consultant shall provide proper treatment and disposal of the spent GAC media. Section 2. Term. This Agreement shall commence on the effective date and shall terminate, and all services required hereunder shall be completed, no later than one year from the effective date. The City reserves the right, at its sole discretion, to extend the terms of this agreement for a maximum of two additional one year extensions. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed the approved budget for the applicable fiscal year and shall not exceed $165,648 per installation as identified in Exhibit "A." 1 3.2 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on the percent of work completed in that billing period and which have been satisfactorily completed for such monthly period. The City will pay monthly progress payments based on approved invoices in accordance with this Section minus a ten percent (10%) retention. The ten percent (10%) retention shall be due and payable 30 days after completion and acceptance of all work per contract. 3.3 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to the City. Invoices shall be addressed as provided for in Section 16 below. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of the City, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to the City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City,the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the 2 work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, 3 including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in anyway connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non- owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Workers' Compensation. If Consultant intends to employ employees to perform services under this 4 Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Workers' Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self-retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insured as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Omitted. 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty(30)days'written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed"verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. 5 Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. Attorneys' Fees. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). Section 19. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. Brust, City Ma/na e FROM: Keith Van Der Maaten, U ties Director SUBJECT: Consideration of a Personal Services Agreement to Replace the Granular Activated Carbon (GAC) Media at the Ground Water Recovery Plant (GWRP) (Carbon Activated Corporation) RECOMMENDATION: By motion, approve the Personal Services Agreement (PSA) with Carbon Activated Corporation to replace the GAC media at the GWRP in the amount of$165,648. SITUATION: The GAC media in all eight of the GAC vessels at the GWRP has reached the end of its useful life and must be replaced with new Coconut Shell Carbon. The GAC system was designed and identified, in the Methyl-tertiary-Butyl-Ether (MtBE) cleanup agreement, as the approved method for the removal of MtBE from the groundwater produced at the GWRP. Very low levels of MtBE have been identified in the samples taken from the sampling ports of the GAC vessels. The sample results have been substantiated as valid by the City's USEPA Certified Laboratory. In order for the GWRP to continue operations, produce drinking water with no detectable levels of MtBE, it is critical that the GAC media be replaced immediately. The City received only one bid response to the Request for Proposals (RFP) solicited on April 25, 2012 (Attachment 2). This response was submitted by Carbon Activated Corporation. Due to the received bid being below the engineer's cost estimate, the bidding firm's experience and reputation, and staff's direct experience with previous work performed by the firm, staff would recommend approval of the PSA with Carbon Activated Corporation. BACKGROUND: At the City Council Meeting of January 28, 2010, the City Council adopted Resolution NO. 10-01-28-01 to authorize the installation of a Granular Activated Carbon system at the GWRP. The GAC system entered service on August 24, 2011. In the design of the GAC system, the engineering firm (Tetra Tech Inc.), estimated the useable lifespan of the GAC media to be six months. Based on this recommendation staff budgeted for replacement of the GAC media at a rate of two times per year. The estimated cost for media replacement at a rate of twice per year was $425,000.00. To date, the existing GAC media has not been replaced. Operations staff have been monitoring for MtBE break through at the prescribed sample points, as required by the City's California Department of Public Health Permit #05-08- Agenda Report Page 2 June 19, 2012 11 PA-032 In March of 2012, the City's contract water quality testing firm identified low levels of MtBE in the GAC water samples. Upon verificationof the presence of MtBE in the samples, City staff developed and solicited a RFP on April 25, 2012, to eight qualified companies (Attachment 3). The pre-bid job walkthrough was held on May 3, 2012, with a bid closing date of May 17, 2012. Out of the eight RFPs sent out, only one response was received. That response came from Carbon Activated Corporation. Carbon Activated Corporation has over 35 years of experience in activated carbon production, sales, and service. They produce the carbon at their facilities to meet required [ASF-61 certifications for drinking water, American Water Works Association Standards, and they are ISO 9001:2008 Certified. The Utilities Department has worked with Carbon Activated Corporation in the past with positive results from their work at the GWRP. COM MISSIONIBOARD REVIEW AND RECOMMENDATIONS: At the May 24, 2012, Utilities Commission meeting, the Utilities Commission voted to recommend that the City Council approve the Personal Services Agreement with Carbon Activated Corporation to replace the GAC media at the GWRP. Due to the response to the RFP limited to one firm, the Utilities Commission requested that Staff return at a later date, with any information regarding the lack of response from the other firms. FINANCIAL CONSIDERATIONS: The revised Utilities Department budget for Fiscal Year 2011-2012 includes $225,000 for the replacement of the GAC media. The bid from Carbon Activated Corporation is $165,648 for the complete removal, disposal and installation of new carbon. The received bid is lower than the budgeted amount for Fiscal Year 2011-2012, and therefore requires no additional appropriations of funds at this time. RECOMMENDATION: By motion, approve the Personal Services Agreement (PSA) with Carbon Activated Corporation to replace the GAC media at the GWRP in the amount of $165,648. The Bidders shall include in their proposal the cost to remove the existing GAC media, currently in use, and prepare the vessel to receive the new media. All costs for removal and proper disposal of spent media shall be included in the bid proposal. The Contractor shall provide legal documentation of the proper treatment and disposal of the spent media as required under all Federal, State, County, and local laws, rules, and regulations. 2. All bids shall include costs to supply the GAC media specified in the attached Engineer's Report (Attachment 1). 3. The Contractor shall provide the quantity of GAC needed to complete the filling of the 8 vessels described in the Engineer's Report (Report) to the design operating media levels. It is the responsibility of each interested bidder to inspect the site conditions on the day of the pre bid job walk. 4. The successful bidder shall coordinate all work with City staff to allow for the ongoing operation of the plant while the worked is being completed. 5. It is the Contractor's responsibility to protect the carbon media, vessels and all related equipment at all times from contamination by any chemical and/or biological agents. 2 6. All equipment used and materials supplied shall conform to ANSIINSF 61 Standards for Drinking Water applications. The Contractor shall provide documentation that all materials and processes provided for the proper and safe installation of this project meets any and all applicable ANSi/NSF 61 Standards for Drinking dater. 7. The City shall supply all water required for the proper installation and removal of CAC materials. 8. The Contractor shall provide copies of their Safety Program and certification of their staff's training. The Contractor at all times shall maintain a safe and clean working environment. Proper safety equipment and procedures are to be adhered to at all times. The Contractor shall follow all Federal, State, County and local safety rules, regulations, and laws in the performance of this work and while on City property. 9. The quantities of work and/or materials stated in the unit price bid sections are only given as an indication of approximate values. It is the responsibility of the bidder to investigate the site conditions in order to develop their estimates. The City does not imply or express the actual amount of work or materials to be exactly equal to those indicated in the Engineer's Report. In the event the actual quantities are greater or less the contract price will be corrected based on the unit prices indicated in the bid document. 10.The Contractor is required to possess a current City of San Juan Capistrano Business License prior to commencement of work. The Contractor shall hold the current and appropriate California State Contractors License required under law to perform this type of work. Bid Proposals All acceptable Proposals shall be submitted in accordance with the followiu instructions, no later than the close of business day Thursday, May 17¢ , 2412. 1. Proposals shall be submitted only upon the forms provided with this Request For Proposal packet and identified as exhibit "A" All proposals shall be properly filled out. Proposals prices shall be stated and the signatures of all persons singing shall be in longhand. All pricing is to include and cover all taxes, the performing of all labor requisite or proper, and the providing of all necessary machinery, tools, apparatus and other means of maintenance to properly perform the task per the Specifications. 3 2. All pricing and notations must be in indelible ink or typewritten, No erasures will be permitted. Mistakes may be crossed out and corrections typed or written in indelible ink adjacent thereto and must be initialed in ink by the person or persons signing the Proposal. 3. Worksheets must be filled out in their entirety. 4. Proposals shall not contain any recapitulation of work to be done. Alternate Proposals will not be considered except as required herein. No oral, telegraphic, or telephone Proposals or modifications will be considered. 5. The City may require any Contractor to furnish a statement of their financial responsibility, technical ability, equipment and references properly and fully filled out. 6. Each Contractor shall submit a statement of experience and a list of equipment owned or operated, over which they have immediate access to for the purpose of filling any and all contractual obligations under this contract. 7. Proposals shall be delivered to the Utilities Department on or before the day and hour set for "Close of Bid". 3. The Contractor must submit a copy of their Safety and Injury and Illness Prevention Program (I.I.P.P.) attached to their proposal. Insurancelindemnity: Prior to beginning work the Contractor shall be required to obtain comprehensive general liability insurance and comprehensive automobile insurance in amounts required by the City (see Exhibit "B"). in addition the Contractor shall be required to obtain Workers Compensation and Employers. Liability Insurance in the statutory amount as required by State Law. These insurance policies shall be maintained during the term of the Agreement. Prior to beginning work the Contractor shall provide to the City certificates of insurance evidencing that the required insurance coverage have been secured by the Contractor and the Contractor shall provide endorsements to the City establishing that the City has been added as an additional insured to the insurance policies required under the Agreement. All insurance policies shall state that the City shall receive thirty (30) days advanced notice of any change in such policies, including but not limited to, cancellation or reduction in coverage. Contractor shall also be required to indemnify, defend and save harmless the City from and against all claims or liability arising out of Contractor's activities pursuant to the Contract. 4 Withdrawal of Proposal: Any Contractor may withdraw their Proposal in person or by written request at any time prior to the scheduled closing time for receipt of Proposals. Successful Proposer: The City will select a Contractor from those that submit qualified proposals. The successful Proposer or Proposers shall execute a written agreement with the City prior to the City Council award of contract and furnish the stipulated documents as required herein within ten (10) days after selection. The City reserves the right to reject any and all bids at their sole discretion. Bacteriological Analysis: It is the Contractor's responsibility to perform all work to remove and install all media in a manner such that the GAC media, vessels and appurtenances are kept free from contamination by any harmful or unwanted constituents from biological, chemical or other unwanted sources. Upon completion of the installation of the new GAC media water samples from each vessel will be pulled and analyzed, by the City's Contract Laboratory, for possible biological activity within each vessel. The tests will include the following; I. Presence/Absence tests for Coliform. ll. Presence/Absence tests Fecal Coliform. Ill. Heterotrophic plate count (HPC) Bacteriological Testing Procedure. The bacteriological testing of the media will take place only after a vessel has been filled with new media and the vessel has gone through a completed filter backwash cycle. The bacteriological samples will be pulled by the Contractor's designee, and witnessed by one of the City's State Certified Water Treatment Operators, from the effluent line of each GAC vessel. The Laboratory Chain of Custody form is to contain the name and signature of each person performing the testing procedure. The first tests will be an EPA approved method Presence/Absence test for coliform bacteria, If the results from the Presence/Absence test indicate a presence of the coliform species then the sample shall be analyzed for Fecal Coliform. If the sample is found to be presence for Fecal Coliform 5 then the. Contractor shall immediately disinfect the infected vessel and continue with this procedure until the laboratory results for the infected vessel indicates the vessel to be absence of Fecal Coliform bacteria. Along with the Presence/Absence sample a sufficient amount of water will be pulled, at the same time, to perform a plate count test for HCP as colony forming units per milliliter (CFU/mL). If the laboratory analysis indicates that the sample has a greater than 250 CFU/mL then the Contractor shall immediately disinfect the infected vessel and continue with this procedure until the laboratory results for the infected vessel in the vessel to have a plate count of 250 CFU/mL or less. Only after each vessel has passed the bacteriological testing and flushed until the effluent water quality of each separate vessel is equal to or better than the influent water to that vessel will the vessel be accepted by the City as complete and ready for service. Flushing: After a vessel has passed the Bacteriological testing requirements, the water contained in the vessel shall be flushed to waste. The flushing procedure shall continue until the complete volume of water contained within each vessel has been exchanged three times and the effluent water quality from each vessel is equal or better than the influent water quality coming into that vessel. This shall be based upon the water quality parameters of TDS, pH, and NTUs. Disinfection Procedures: The Contractor shall disinfect the GAC vessels by following the method described in the Engineer's Report attached as "Attachment 1" in section 7.2.1 titled "Disinfection". Manufacturing Process. First we select the rave material a high grade of coal base bituminous next we crush and screen to get the correct mesh size using US standard screens. After screening we put the carbon through a process called carbonization (pyrolysis) where the carbon is heated to 1500' to 1800° F for drying to remove moisture and volatile compounds. Next the activation process is dune in a rotary furnace, which introduces high-pressure steam at 1500° to 1800°F. The last step is post activation screening where samples are pulled at the end of the screening process. These samples are then sent to an Independent lab for iodine, Total Ash, Water Soluble Ash, Moisture, Particle Size Distribution Sieve Analysis, Mean Particle Diameter, Effective Size, Uniformity Coefficient, Apparent Density, Specific Surface Area, and Water Extractable Phosphate. Then the Information is faxed to us for approval prior to shipping= once approved it is shipped. Upon arrival at our warehouse the quality control personnel pulls more samples from each container received and sends it to our In-House Lab for Iodine, Total Ash, Water Soluble Ash, Moisture, Particle Size Distribution Sieve Analysis, Paean Particle Diameter, Effective Size, Uniformity Coefficient, Apparent Density, Specific Surface Area, and Water Extractable Phosphate. After test results are analyze the Quality Control Department if acceptable will release the shipment to the Shipping/Receiving Department for the unloading and storage in our Warehouse. Reactivation Process: This is done through our state of the art Rotary Furnace's at 1400°l°, which is A.Q.M.D. permitted. This furnace runs 24 hours per day, 364 days a year as carbon arrives at our facility we assign a lot number to it and when that lot finishes we purge the Reactivation plant that is running it to insure that all the carbon for that lot is out. Our test show that the carbon loss thought our reactivation process is 6 to 7%. At the end of reactivation of a lot a sample is collected per AWWA specifications for taking a representative carbon sample then sent to the lab for testing. The carbon is then placed in a holding area waiting on test results. After lab test carne back and the carbon meets all requirements it is sent to the Carbon Screening. Department to ensure product size meets AWWA specifications. 33 Slipping/Recelving, Both departments have over 10 years experience in shipping/receiving, of the filter media both domestically and intemationally, Our warehouse in Compton California is where all carbon is stored in a clean, dry, and organized in the original packaging from our manufacturing plant. The only time repackaging is done is upon customers request. Shipment of the carbon is in vain trailers as to keep it out of the elements and if requested on full loads a seal can be placed on the door of the trailer to control access.. On Site Storage of the carbon: The carbon should be left in its original packaging and if available stored in a clean dry warehouse if not then the packaging should be left on pallets and covered using tarps to keep out the elements. Outside storage should not be for more than two months and care should be taken as to insure that the bags are not damaged or the carbon becomes wet. Handling of the carbon should be done with great care because carbon removes oxygen from air in closed vessels, oxygen depletion may reach hazardous levels. If workers are to enter vessels containing carbon or while carbon is being installed, appropriate air sampling procedures for low-oxygen should be followed, There are several methods of Installation for example slurry, crane, and by hand. All methods are good and are depended on the customer or contractor needs. The slurry method is where a special tanker, which is filled with carbon and water from the site, is added into the tanker. The tanker is then sealed and pressurized up to 15psi maximum and the carbon is then transferred thought hoses into the filter. The crane method is where a crane picks up our specially designed 1,100fb super sacks and lowers them into the filter or man-way and the spout on the bottom is opened to allow the carbon to flow out of the super sack_ The hand-fill method is usually done by using 1 or 2 cubic foot bags or with the aid of a forklift super sucks the carbon is then poured into the filter. .All three methods require at lease a 12-hour minimum, preferably 24-hours soaking time as to allow the carbon to release all trapped air inside its pour structure. The only method that should not be used is pneumatic installation due to the high water pressure that is required to pick up the carbon and transfer it to the Filter. This method could cause the carbon to facture and go out of specification requirements. Carbon Activated Corporation (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to have the Granulated Activated Carbon (GAC) media at the Ground Water Recovery Plant supplied, installed and hauled off site and disposed of, and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by the Consultant shall consist of the removal and disposal of the existing GAC media, located within eight separate vessels, preparation of the vessels to receive new GAC media, and the installation of the new GAC media in the vessels. The schedule for replacement shall be as needed and not to exceed two replacements in one Fiscal Year. Consultant shall provide proper treatment and disposal of the spent GAC media. Section 2. Term. This Agreement shall commence on the effective date and shall terminate, and all services required hereunder shall be completed, no later than one year from the effective date. The City reserves the right, at its sole discretion, to extend the terms of this agreement for a maximum of two additional one year extensions. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed the approved budget for the applicable fiscal year and shall not exceed $165,648 per installation as identified in Exhibit "A." 1 ATTACHMENT 4 3.2 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on the percent of work completed in that billing period and which have been satisfactorily completed for such monthly period. The City will pay monthly progress payments based on approved invoices in accordance with this Section minus a ten percent (10%) retention. The ten percent (10%) retention shall be due and payable 30 days after completion and acceptance of all work per contract. 3.3 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to the City. Invoices shall be addressed as provided for in Section 16 below. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of the City, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting and Assi nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to the City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees Of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City,the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that. (1) it has investigated the 2 work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, 3 including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non- owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Workers' Compensation. If Consultant intends to employ employees to perform services under this 4 Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Workers' Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self-retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insured as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Omitted. 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty(30)days'written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed"verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. 5 Section 16. Notice. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof.
