ASSIGNMENT OF IMPROVEMENT AGREEMENTS
The undersigned, Taylor Woodrow Homes, Inc., a California corporation ("Taylor Woodrow"),
hereby assigns to S. J. Hills, a California limited partnership ("S. J. l-Ii)ls"), all of its right, title and
interest in and to that certain Subdivision Improvement Agreement between The Lusk Company a
California corporation ("Lusk"), as "Developer" and the City of San Juan Capistrano, a municipal
corporation as "City", a copy of which is attached hereto as Exhibit A-1, and which was recorded on
September 12, 1991, as Instrument No. 91-496386, in the Official Records of the County Recorder of
Orange County, California ("Subdivision Improvement Agreement"), the Developer's interest under
which was assigned to Glendale Federal Bank, a California corporation ("Glendale"), by Lusk by that
certain Assignment of Improvement Agreements recorded June 26, 1995 as Instrument No. 95-
0270214, in the Official Records of the County Recorder of Orange County California, and was further
assigned by Glendale to Taylor Woodrow by that certain Assignment of Improvement Agreements
recorded on March 22, 1996 as Instrument No. 1996440123 in the Oficial Records of the County
Recorder of Orange County, California.

AGREEMENT FOR CONSTRUCTION OF WATER FACILITIES

THIS AGREEMENT, dated this 3rd day of July 1990, by and between THE LUSK
COMPANY, hereinafter called "Developer", and CAPISTRANO VALLEY WATER
DISTRICT, hereinafter called "District".
WITNESSETH:
WHEREAS, Developer wishes to obtain water services from District for property
known as Tract 13436 and District requires the construction and dedication of water
facilities by Developer as a condition of providing said water services; and
WHEREAS, Developer has prepared and submitted to District a set of
improvement plans for said water facilities; and
WHEREAS, District desires to insure that said water facilities are installed in
accordance with District's standards and specifications.
WHEREAS, Special facilities, consisting of a reservoir for non -potable water and
a booster station to replace an existing District booster station are required to provide
adequate water service to Developer's property; and
WHEREAS, Additional imported water supply will be required to serve the
property being developed by Developer; and
that:
NOW, THEREFORE, it is hereby agreed by and between Developer and District
I. CONSTRUCTION AND COMPLETION
1. Developer shall, at its sole cost and expense, construct and install by
February 28, 1992, all of the water facilities shown and delineated upon the
improvement plans entitled Tract 13436 as approved by the District Engineer and the
City Engineer of the City of San Juan Capistrano and on file with said City and by
reference made a part of this Agreement as though fully set forth herein. If additional
time is needed, an extension may be granted -by the General Manager on the showing of

good cause. Time extensions shall be granted for any delays in the commencement or
completion of construction caused by or resulting from acts of God, civil disorder,
changes in government regulations, acts of governmental bodies or their employees or
agents, inclement weather, strikes, boycotts, picketing or other obstructive actions (not
caused by Developer) by any labor organizations performing labor upon the property.
Any such extension shall, however, be subject to all of the terms and conditions of this
agreement, and any surety or other security shall continue in full force and effect.
2. Developer shall construct said water facilities in accordance with the
approved plans, District's standard specifications and under District's inspection, and
shall indemnify and hold harmless the District, its agents, and employees from and
against all claims, damages, losses and expenses, including attorneys' fees, arising out
of or resulting from the performance of the work, and caused in whole or in part by any
negligent act or omission of Developer, Developer's Contractor, or any of Developer's
Subcontractor, anyone directly or indirectly employed by any of them, or anyone for
whose acts any of them may be liable.
3. If Developer has not completed the work by February 28, 1992, and
time extensions have not been granted, District has the right to call the security for
faithful performance and complete the work. Any work performed after February 28,
1992, whether by Developer, District, or others, shall be in accordance with District's
standard specifications in effect as of the time the work is performed.
4. The security shall remain in effect for a minimum of 365 consecutive
calendar days after all the water facilities have been completed and accepted by
District, and shall continue in effect until exonerated in writing by District.

IL SPECIAL FACILITIES
In addition to the water facilities described in Section I of this agreement,
special facilities, consisting of a non -potable water reservoir and the relocation of a
District booster station are required to provide adequate water service to Developer's
property, including Tracts 13436, 13437, 13865, and 13866.
1. A non -potable water reservoir will be required to add the additional
non -potable water demands of Developer's property to the District's non -potable water
system. The reservoir capacity required by Developer's non -potable water demands is
206,000 gallons. Developer agrees to pay the total cost of constructing this reservoir,
including but not limited to costs for engineering, construction, land acquisition,
pipelines from the distribution system to the reservoir, landscaping, control systems,
contract administration, District overhead costs, and legal fees. Land acquisition fees
for property located within City of San Juan Capistrano Open Space Lands will be
limited to costs of transferring title to the Water District, if necessary, and will not
include costs of real property.
2. It is anticipated that District will oversize this reservoir, and if it
does, District and Developer will share in the cost of building a reservoir larger than
206,000 gallons. The District's share of the cost will be calculated by multiplying its
percentage share of the reservoir capacity by the total reservoir cost.
3. District will administer the engineering and construciton contracts for
the non -potable reservoir, and Developer agrees to pay his share of these costs monthly
as the work progresses. District agrees to provide plans for the reservoir to Developer
for review and comments, and agrees that reservoir will be designed and constructed in
accordance with generally accepted water industry standards. District, however,
maintains the sole authority to approve plans, award construction contracts, authorize

change orders, and otherwise administer these contracts.
4. Construction proposed by Developer requires the relocation of
Dsitrict's Zone II Booster Station. Developer agrees to pay total cost of relocating the
booster station to a site provided by developer and acceptable to District.
5. District may require increased capacity in the booster station and also
increased reliability by the addition of an internal combustion engine to drive a pump or
generator. If District requires additional capacity or reliability over and above the
requirements of Developer's property, District and Developer will share in the cost of
the booster station additions. The District's share of the cost for the increased
capacity will be determined by calculating the District's percentage capacity over and
above the station's present capacity and capacity required by Developer's project, and
multiplying the District's percentage of the booster station capacity by the total
booster station cost. The District will pay the entire cost of the internal combustion
engine and related equipment for a pump or generator in the booster station except for
the percentage of this equipment that is required to serve Developer's project. The
estimated cost of the additional building size to house this equipment will be considered
part of the cost of the equipment.
6. District will administer the engineering and construction contracts for
the booster station relocation, and developer agrees to pay his share of these costs
monthly as the work progresses. District agrees to provide plans for the booster station
to Developer for reviews and comments, and agrees that booster station will be
designed and constructed in accordance with generally accepted water industry

construction contracts, authorize change orders, and otherwise administer contracts.

HL WATER CAPACITY
Developer understands that potable water capacity of 0.83 cfs (maximum
daily flow) to serve Developer's total property is not available at this time, but District
expects to acquire sufficient additional capacity to serve this demand prior to
December, 1991 when potable water will be required. If District has not arranged to
acquire this capacity by March 31, 1991, District and Developer agree that projects will
be undertaken to convert existing potable water customers to District's non -potable
water system. These conversions will allow existing potable water capacity to
beutilized for Developer's project. Funds paid by Developer for Water Capacity
Charges as provided for in this agreement will be used to fund the conversions to the
non -potable system. To the extend that any additional funds are required to offset
Developer's projected demands, Developer agrees to pay the additional cost of these
conversions. The conversions to be constructed will be chosen by District after
considering economic and operational factors. District agrees to provide plans for the
non -potable water system conversions to Developer for review and comments, and
agrees that the conversions will be designed and constructed in accordance with
generally accepted water industry standards. District, however, maintains the sole
authority to approve plans, award construction contracts, authorize change orders, and
otherwise administer these contracts.
IV. USE OF WATER
1. Developer hereby expressly agrees that no water shall be used by
Developer, or by Developer's Contractor or any of Developer's Subcontractors for
construction purposes except through a connection authorized by District. Developer
acknowledges that Section 499 of the California Penal Code provides that unauthorized
use of water is a misdemeanor, and District hereby states its intent to strictly enforce

said Penal Code Section.
2. In addition to any criminal penalties, and not as a substitute therefore,
District will charge Developer, and Developer agrees to promptly pay District, $500.00
per day for any unmetered use of District's water by Developer, Contractor, or any
Subcontractor, anyone directly or indirectly employed by any of them, or anyone for
whose acts anyone of them may be liable.
3. Temporary construction meters shall be provided to Developer by
District at the rental rate existing at the time such meters are provided.
4. Developer shall notify District as soon as it is reasonably practical to
install any permanent meter, and District shall provide and install same as soon
thereafter as reasonably possible. The foregoing notwithstanding, the District may
install any meter when District determines it is desirable to do so.
5. Developer shall use non -potable water whenever possible for
construction purposes. Developer estimates his maximum construction water demand
to be 500,000 gallons per day. Should the District's non -potable water be unavailable,
or in insufficient quantity to serve the Developer, potable water from District's water
distribution system may be used if there is no detrimental effect on existing customers.
Developer shall attempt to acquire non -potable water from alternate sources prior to
using non -potable water or potable water from the District.
V. FEES, CHARGES AND SECURITIES
1. Developer shall, prior to the execution of this Agreement, pay District
the following sums:
(a) $25,154.35 for the costs of District's plan review,
inspection of construction and the control thereof,
and for the testing of materials, which sum is based
upon the estimated construction cost of $386,990.00.

(b) $27,650.00 for the furnishing and installation by
District of all permanent water meters, which sum is
based upon the following numbers and sizes of
meters: 127 - 5/81lx3/4" at $200.00 each; 5 - 2" non -
potable irrigation at $450.00 each.
(c) $200,025.00 for Capital Improvement Charges (127
dwelling units) which sum is based on $1,575.00 per
dwelling unit or domestic meter.
(d) $6,699.25 for Water Storage Charges, based upon
$52.75 per dwelling unit or domestic meter.
(e) $128,775.00 for Water Capacity Charge based upon
$757,500.00 per cfs of maximum day demand of 0.17
cfs. Water Capacity Charge is based on current
estimates of costs to acquire and convey additional
capacity to the District. Developer agrees to pay the
difference between the estimated final Water
Capacity Charge, as the actual participation costs or
required projects are determinted.
2. In addition to the above sums, a surety bond to secure the faithful
performance of this Agreement in the sum of $426,000 is hereby approved.
3. When additional buildings on this property are constructed, Capital
Improvement Charges, Water Storage Charges, Water Capacity Charges, and Meter
Fees for the additional development shall be paid prior to additional water service being
provided.
VI. GUARANTEE
Developer hereby guarantees the materials and the workmanship of the
water facilities installed by Developer for a period ending 365 consecutive calendar
days after the acceptance of said water facilities by District, and hereby agrees to
reimburse District for all costs associated with the accomplishment of necessary
repairs to said water facilities which may have been made by District within the
aforesaid guarantee period.

VII. GENERAL
1. Developer hereby offers to dedicate to District the water facilities
together with necessary easements.
2. Upon completion of the construction in accordance with the
improvement plans and specifications and the dedication of the necessary easements,
District agrees to accept the water facilities, whereupon said water facilities shall
become property of District.
3. The terms of this Agreement shall inure to the benefit of and be
binding upon the successors and assigns of the parties hereto.
4. Should either party be required to enforce any of the terms of this
Agreement, it is agreed that the prevailing party shall be entitled to costs and
reasonable attorneys' fees.

6. Replacement of Surety Bonds - Taylor Woodrow Tracts 13436.913437 and
13866
Taylor Woodrow is providing substitute bonds in the same amounts for the
development of subject tracts that were originally provided by The Lusk Company
(and assigned to Glendale Federal Bank, October 1995).
On motion by Director Hart and seconded by Director Campbell, the Board accepted
the replacement surety bonds in the amount of $1,594,000 from Taylor Woodrow
Homes California, Ltd., for the construction and installation of all water facilities
within Tracts 13436, 13437 and 13866, and exonerate the existing bonds for Tracts
13436, 13437 and 13866 with Glendale Federal Bank. Motion carried unanimously.

After determining it is not a conflict of interest to vote on this item, Director Campbell
offered the motion to accept the water facilities as completed as of February 15,
1996. Director Hart seconded the motion; motion carried unanimously.
Mr. Auerbach reported the Transportation Corridors Agency (TCA) has requested the
District to sign a letter agreement called a Tolling Agreement. The Agreement
extends the statutes of limitations provisions in dispute between the TCA and the
District regarding the pipeline relocation costs due to corridor construction. Current
litigation between Santa Margarita Water District and the TCA on this very item, and
the results of that litigation will likely impact how we fair with the TCA. Staff
believes it is in the best interest of the District to approve signing the Tolling
Agreement with the TCA.
On motion from Director Swerdlin and seconded by Director Nash, the Board
authorized the General Manager to sign the Tolling Agreement agreeing to toll the
statutes of limitations regarding the Utility Relocation Agreements No. 3075 and 3078
with the TCA. Motion carried unanimously.
Mr. Auerbach reported that for this fiscal year, water losses have increased as well
as water costs. Staff has been closely monitoring the situation and have discovered
a few reasons , for this loss. As reported earlier, a meter malfunction on our
connection to the South County Pipeline was discovered and has resulted in a
