THIS AGREEMENT is made, entered into, and shall become effective this jq�day
of September 2011, by and between the San Juan Capistrano (hereinafter referred to as
the "City") and Dudek (hereinafter referred to as the "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the City's
proposal to prepare a restoration irrigation design and construction plan for the 2C
Ranch/Trabuco Creek Habitat Restoration Project (CIP No. 11204); and
WHEREAS, Consultant is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by the Consultant shall consist of those tasks as
set forth in Exhibit 'A" attached and incorporated herein by reference. To the extent that
there are any conflicts between the provisions described in Exhibit"A" and those provisions
contained within this Agreement, the provisions in this Agreement shall control.
Section 2. Term.
This Agreement shall commence on the effective date and shall terminate, and all
services required hereunder shall be completed, no later than December 31, 2011.
Section 3. Compensation.
3.1 Amount.
Total compensation for the services hereunder shall not exceed $18,090
(Eighteen -thousand and ninety dollars and no cents).
3.2 Method of Payment.
Subject to Section 3.1, Consultant shall submit monthly invoices based on
total services which have been satisfactorily completed for such monthly period consistent
with Exhibit "B", Sample Invoice. The City will pay monthly progress payments based on
approved invoices in accordance with this Section.
3.3 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to the City. Invoices shall be addressed as provided for in
Section 16 below.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of the City, and shall obtain no rights to any benefits which accrue to
Agency's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for the City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
operation of law, without the prior written approval of the City. If Consultant is permitted to
subcontract any part of this Agreement by City, Consultant shall be responsible to the City
for the acts and omissions of its subcontractor as it is for persons directly employed.
Nothing contained in this Agreement shall create any contractual relationships between any
subcontractor and City. All persons engaged in the work will be considered employees of
Consultant. City will deal directly with and will make all payments to Consultant.
Section 6. Changes to Scope of Work.
For extra work not part of this Agreement, a written authorization from City is
required prior to Consultant undertaking any extra work. In the event of a change in the
Scope of Work provided for in the contract documents as requested by the City, the Parties
hereto shall execute an addendum to this Agreement setting forth with particularity all terms
of the new agreement, including but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and/or Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of
all conditions there; and (3) it understands the facilities, difficulties and restrictions of the
work to be performed under this Agreement. Should Consultant discover any latent or
unknown conditions materially differing from those inherent in the work or as represented
by City, it shall immediately inform the City of this and shall not proceed with further work
under this Agreement until written instructions are received from the City.

Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law: E -Verify.
9.1. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and regulations
of federal, state and local government.
9.2. E -Verify.
If Consultant is not already enrolled in the U.S. Department of Homeland Security's
E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the
effective date of this Agreement to verify the employment authorization of new employees
assigned to perform work hereunder. Consultant shall verify employment authorization
within three days of hiring a new employee to perform work under this Agreement.
Information pertaining to the E -Verify program can be found at http://www.usc*is.gov, or
access the registration page at https:He-vedfv.uscis.gov/enroll/. Consultant shall certify its
registration with E -Verify and provide its registration number within sixteen days of the
effective date of this Agreement. Failure to provide certification will result in withholding
payment until full compliance is demonstrated.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the work, Consultant shall have delivered to City at least one (1)
copy of any final reports and/or notes or drawings containing Consultant's findings,
conclusions, and recommendations with any supporting documentation. All reports
submitted to the City shall be in reproducible format, or in the format otherwise approved by
the City in writing.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to the
City upon demand without additional costs or expense to the City. The City acknowledges
such documents are instruments of Consultant's professional services.
Section 13. Indemnity.
To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold
harmless the City and its elective and appointive boards, officers, agents, and employees
from any and all claims, liabilities, expenses, or damages of any nature, including attorneys'
fees, for injury or death of any person, or damages of any nature, including interference
with use of property, arising out of, or in any way connected with the negligence,
recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents,
officers, employees, subcontractors, or independent contractors hired by Consultant in the
performance of the Agreement. The only exception to Consultant's responsibility to protect,
defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful
conduct of the City, or any of its elective or appointive boards, officers, agents, or
employees.
This hold harmless agreement shall apply to all liability regardless of whether any
insurance policies are applicable. The policy limits do not act as a limitation upon the
amount of indemnification to be provided by Consultant.
Section 14. Insurance.
On or before beginning any of the services or work called for by any term of this
Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration
of the agreement, and provide proof thereof that is acceptable to the City, the insurance
specified below with insurers and under forms of insurance satisfactory in all respects to the
City. Consultant shall not allow any subcontractor to commence work on any subcontract
until all insurance required of the Consultant has also been obtained for the subcontractor.
Insurance required herein shall be provided by Insurers in good standing with the State of
California and having a minimum Best's Guide Rating of A- Class VII or better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in an amount not less than one
million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks
associated with the work contemplated by this agreement. If a Commercial General
Liability Insurance form or other form with a general aggregate limit is used, either the

general aggregate limit shall apply separately to the work to be performed under this
agreement or the general aggregate limit shall be at least twice the required occurrence
limit.
14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non -
owned vehicles in an amount not less than one million dollars per occurrence
($1,000,000.00).
14.3 Workers' Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit the
insurance certificates, including the deductible or self -retention amount, and an additional
insured endorsement naming City, its officers, employees, agents, and volunteers as
additional insured as respects each of the following: Liability arising out of activities
performed by or on behalf of Consultant, including the insured's general supervision of
Consultant; products and completed operations of Consultant; premises owned, occupied
or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant.
The coverage shall contain no special limitations on the scope of protection afforded City,
its officers, employees, agents, or volunteers.
14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant
shall submit an insurance certificate to the City's General Counsel for certification that the
insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor
the coverages reduced, until after thirty (30) days' written notice is given to City, except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium.
14.7 Terms of Compensation.

Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written "Notice to Proceed" verifying that Consultant has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City shall have the right to terminate this Agreement without cause by giving thirty
(30) days' advance written notice of termination to Consultant.
In addition, this Agreement may be terminated by any party for cause by providing
ten (10) days' notice to the other party of a material breach of contract. If the other party
does not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall be
used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.

Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

Dear Mr. Ramsey
Dudek Is pleased to submit this revised proposal for restoration irrigation design and construction
plan development services for the 2C Ranchrrrabuco Creek Habitat Restoration Project, located in
the Trabuco Creek watershed in the northern area of the City of San Juan Capistrano (City). Our
current involvement with the 2C RanchrTrabuco Creek Habitat Restoration Project and previous
design and monitoring work on the Trabuco Creek (Lower Rosan) Wetlands Mitigation Project
provides our team with a clear understanding of the project needs and environmental constraints.
Our scope of work includes generating and evaluating preliminary irrigation design alternatives and
development of an irrigation construction plan package for the 54 -acre restoration site. Our scope
would promote successful achievement of the requirements established in the Restoration and
Enhancement Plan for 2C RanchrTrabuco Creek (Restoration and Enhancement Plan; City of San
Juan Capistrano 2011), as well as address cost and water use considerations and inherent project
challenges. It is anticipated that work described in this proposal would begin in summer 2011, with
evaluation of design alternatives commencing immediately and irrigation plan development
Immediately following City selection of the optimal design alternatives.
PROJECT UNDERSTANDING
Dudek understands the City's request for irrigation plan development services to assist in achieving
the goals established in the Restoration and Enhancement Plan. The restoration areas cover a
diverse range of habitat and topography, posing challenges for effective irrigation in a cost-effective
manner. The dynamic nature of seasonal scream Dow and existing erosive banks in Trabuco Creek
an lead to repair and maintenance issues for irrigation systems installed in this riparian corridor.
Additionally, steep slopes and the remote location of the upland restoration area poses a design
challenge to managing adequate water pressure and the integrity of the system for extended
vertical and horizontal pipe runs.
Dudek staff understands the existing conditions and natural processes that provide challenges and
opportunities for restoration at this project site. In addition to our current involvement with
biological monitoring for this Restoration and Enhancement Project Dudek designed and provided
irrigation system installation oversight and long-term biological monitoring for the adjacent Arroyo
Trabuco Conservation Area (Lower Rosan Ranch) Off -Site Wetland Mitigation Project, which
included a temporary Irrigation system for 9.72 acres of wedand and transitional habitat.

Our staff includes four California registered landscape architects, well qualified and experienced in
restoration irrigation design. We will also use the knowledge and experience from our restoration
contracting subsidiary, Habitat Restoration Sciences Inc. (HRS), to assist in selecting irrigation
design alternatives for this challenging project. Dudek's technical knowledge combined with the on -
the -ground experience from HRS allows us to propose an array of viable irrigation alternatives and
thus assist the City in implementing a design that will provide a cost-effective and efficient system
suited to achieve the goals of the Restoration and Enhancement Project.
The intent of the irrigation system is to provide overhead spray irrigation that supplies head-to-
head, cover for 100% of the 14 -acre riparian/transitional and 40 -acre upland areas. The irrigation
system will be designed as an on -grade temporary system with all aboveground components
removed at the end of the project. The irrigation system will be designed for the immediate grow -
kill weed treatment cycles and ultimately to assist in the establishment of container plants and seed
mixes proposed for installation beginning in the fall/winter of 2011-2012.
SCOPE OF WORK
Dudek proposes to provide irrigation design services that follow the intent of the project goals as
established in the Restoration and Enhancement Plan and in accordance with the specific
requirements of the City. The scope of work for preliminary irrigation design alternatives, an
irrigation plan set, and a cost estimate is provided as follows.
Task I Preliminary Design Alternatives for a Temporary Overhead
Spray Irrigation System
Dudek will provide evaluation and design development of preliminary design alternatives
established by the City. Evaluation will consider opportunities and constraints presented by the
project site's existing conditions and feasibility of reaching the project objectives. Providing an
evaluation of the design alternatives will facilitate arriving at a cost-effective design concept capable
of achieving the goals of the Restoration and Enhancement Plan.
Dudek will attend up to one meeting with City staff to discuss available opportunities and design
constraints. This meeting will allow Dudek to engage attending City personnel and project
consultants, Including planners, engineers, and public work technicians, in discussions regarding
existing conditions and potential solutions, as well as giving us the opportunity to gain input on
selected alternatives.
Dudek will provide the City with manufacturer' cut sheets, sample diagrammatic layouts, and
preliminary cost estimates to assist in the selection of the optimal design solutions. Graphic
depiction and map overlays will be used to provide visual understanding and local context of
proposed design alternatives. Ballpark cost estimates will be provided for general comparison
purposes based on proposed equipment and labor requirements.
Evaluation of established design alternatives will allow the City and Dudek to arrive at a solution
that best fits the project goals in terms of cost savings, efficiency, and ease of installation and long-
term maintenance.

Task 2 Irrigation Construction Plans for a Temporary Overhead
Spray Irrigation System
Dudek will prepare diagrammatic irrigation plans, including an irrigation legend, details, and notes that
will provide the necessary design guidance for installation of a temporary, above -grade overhead
spray irrigation system for the 2C Ranch and Trabuco Creek Restoration and Enhancement Project.
Irrigation plans will be developed to 70% completion, or to a level that irrigation contractor
adequately experienced in restoration irrigation installation and maintenance will be able to
understand and install the system with oversight from the City Restoration Project Manager.
The irrigation system will be designed as an on -grade temporary system, providing head-to-head
cover for 100% of the 54 -acre project area. Hydrozones will be incorporated into the design, taking
into account present habitat type, topography, slope aspect, and existing native vegetation density.
Irrigation design will conform to local code and water conservation requirements and will use
standardized, cost-effective equipment, which is durable and easy to maintain.
The irrigation system design assumes the establishment of multiple irrigation points of connection
from existing water sources adjacent to restoration areas. Dudek will assist in the selection of
adequate water points -of -connection from existing City -approved sources. The design will depict the
necessary equipment to achieve the gallons per minute and water pressure (pounds per square inch)
required for operating a system suitable to support the Restoration and Enhancement Project.
The plans will show the locations of all irrigation components and equipment necessary to
adequately provide sprinkler coverage for the restoration areas. Irrigation details, legends, and
detailed notes will also be provided to direct the contractor to specific items needing written
clarification. The irrigation plan package and design shall conform to the requirements of the City
as stated in the Request for Proposal.
The irrigation plan package will be prepared in CADD format, overlaid and georeferenced to City -
provided base maps, at a scale no smaller than 40 -scale (I inch=40 feet). The irrigation plan is
expected to include the following drawings:
• Title Sheet (I sheet)
• Irrigation Plan Layout (5 sheets upland, 4 sheets riparian)
• Irrigation Legends(I sheet)
• Irrigation Details (3 sheets).
The irrigation plan will developed in two phases, with the 40 -acre upland restoration area
developed for expedited installation. The upland restoration package will includes the project title
sheet (I sheet), irrigation plan layout sheets (est. 4 sheets), an irrigation legend sheet (I sheet), and
irrigation detail sheets (est. 3 sheets) for an estimated total of 9 sheets. Development of the
riparian irtrigation plan sheets will be provided as a supplement to the upland plan and include an
estimated 5 plan layout sheets with a revised legend and additional details as needed in addition to
the provided upland plan submittal.

Dudek will provide two full size sets (24 x 36 inches, D -sheen) and two half-size sets (I I x 17

A water budget will be provided that estimates irrigation demand. The water budget will provide
demand by irrigated zone (isolated valve), and will provide an estimate of water use by calculating
irrigation zone water volume to estimated zone run frequency and duration. Analysis will assist in
calculating water costs, tracking usage, and conforming to water conservation requirements.
Dudek will provide a finalized cost estimate of irrigation equipment and labor required to install the
system following City approval of the design for the upland plan set and for the supplemental
riparian plan set. The irrigation equipment takeoR will be based on the information shown in the
approved final plans.
Assumptions: The City will provide all survey dam including pertinent base information and topographic
dam in a CADD-compatible format for design analysis and to provide content for plan drawings. This
scope assumes one round of review for both the upland and riparian plan packages.

Our scope of work and cost estimate reflects our current understanding of project requirements.
Amendments to the scope of work and cost will be necessary if there are modifications to the

Direct costs for the proposed scope of work, such as mileage for site visits, photo developing,
reprographics, delivery costs, and other miscellaneous direct costs, are estimated to be $300.00.
This has been calculated using a 15% markup of actual costs.
All work will be billed on a time -and -materials basis, not to exceed $18,390.00, in accordance
with our standard schedule of charges, which is in force at the time services are rendered. A copy
of the 2011 Standard Schedule of Charges is attached for your review.

Forensic Engineering - Court appearances, depositions, and interrogatories as
expert witness will be billed at 2.00 times normal rates.
Emergency and Holidays - Minimum charge of two hours will be billed at 1.75
times the normal rate.
Material and Outside Services - Subcontractors, rental or spacial equipment,
special reproductions and blueprinting, outside data processing and computer
services, etc., are charged at 1.15 times the direct cost.
Travel Expenses - Mileage at current IRS allowable rates. Per diem where

Invoices, Late Charges. - All tees will be billed to Client monthly and shall be
due and payable upon recelpt. Invoices are delinquent it not paid within thirty (30)
days from the date or the Invoice. Client agrees to pay a monthly late charge
equal to one percent (1%) per month of the outstanding balance until paid in full.

PROJECT EXPERIENCE
Lower Rosan—Arroyo Trabuco RevegetaHon Project, City of San Juan Capistrano
Redevelopment Agency, San Juan Capistrano, California. Responsible for long-term
biological monitoring and report preparation. The project included the enhancement of over 6
acres of wetland habitat in Arroyo Trabuco Creek through the removal of Arundo and native
replacement planting. Replacement plantings include willow and understory seeding in the canyon
bottom and oak—sycamore woodland in the canyon side slopes.
Ocean Trails/Trump National Golf Course Landslide Repair, VH Corporation, Rancho
Palos Verdes, California. Prepared construction documents and designed the temporary
Irrigation system for the Ocean Trails Landslide Repair project The plan will restore approximately
10 acres of coastal sage scrub on the landslide repair area. The plan utilizes a combination of plant
and seed installation, which will be supported by an irrigation system.
EI Cuervo Norte Wetland Mitigation, Los Penasquitos Canyon Preserve, City of San
Diego Engineering and Capital Projects Department, San Diego, California. Prepared
construction documents for the mitigation from impacts associated with the construction of State
Route 56 Phases I and 11. The project will create approximately 6 acres of wedands and enhance an
additional 18 acres of existing degraded wedands in Penasquitos Canyon Preserve. Construction
documents include grading, erosion control, survey, and irrigation and planting plans.
Gavilan Hills — Smith Road Channel and Debris Basin Project, Riverside County Flood
Control and Water Conservation District, Riverside County, California. Led the design
and preparation of construction documents for over 9 acres of southern willow scrub, mulefat
scrub, and Riversidian sage scrub as on-site mitigation for the construction of a channel and debris
basin in Riverside County. Plans and specification package included demolition for existing derelict
site structures, grading to create a series of wetland catchment basins, a temporary irrigation
system, and a comprehensive native planting layout. Currently conducting long-term biological
monitoring for the project.
