11-1101_MUNICIPAL UNDERGROUND SERVICES INCORPRATED_Personal Services Agreement
PERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this 2day of , 2011, by and between the City of San Juan Capistrano (hereinafter referred to as the "City")and Municipal Underground Services Incorporated (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to sanitary sewer and storm drain maintenance within the City; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Contractor shall consist of those tasks as set forth in attached and, incorporated herein by reference (exhibit a). Contractor warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. The San Diego Regional Water Quality Control Board (RWQCB) has issued a permit which governs stormwater and non-stormwater discharges resulting from areas owned and operated by the County of Orange, Orange County Flood Control District and incorporated cities of Orange County(collectively referred to as Permittees). The RWQCB Permits is a National Pollutant Discharge Elimination System (NPDES) Permit No. R9- 2002-0001, respectively. Copy of the RWQCB Permit is available for review. In order to comply with the Permit requirements, the Permittees have developed a Drainage Area Management Plan (DAMP)which contains Model Maintenance Procedures with Best Management Practices (BMPs) that parties conducting the municipal activities must adhere to. These Model Maintenance Procedures apply to any party conducting municipal activities and contain pollution prevention and source control techniques to minimize the impact of those activities upon dry-weather urban runoff, storm water runoff, and receiving water quality. Work performed under this Agreement shall conform to the Permit requirements, the DAMP, and the Model Maintenance Procedures and must be performed as described within all applicable Model maintenance Procedures. The Contractor shall fully understand the Model Maintenance Procedures applicable to activities that are being conducted under this Agreement prior to conducting them and maintain copies of the Model Maintenance 1 Procedures throughout the duration of the Agreement. The applicable Model Maintenance Procedures are included as Exhibit "B" of this Agreement. Evaluation of activities subject to DAMP requirements performed under this Agreement will be conducted to verify compliance with DAMP requirements and may be required through Contractor self-evaluation as determined by the City. Section 2. Term. This Agreement shall commence on the effective date and shall terminate, and all services required hereunder shall be completed, no later than June 30, 2012. Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed those unit prices as set forth in the proposal from Municipal Underground Services, Inc., as set forth in Exhibit "A," attached and incorporated herein by reference. 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit "A," attached and incorporated herein by reference. Included within the compensation are all of the Contractor's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Contractor's proposal. 3.3 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. The City will pay monthly progress payments based on approved invoices in accordance with this Section. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. 2 Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law; E-Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E-Verify, If Consultant is not already enrolled in the U.S. Department of Homeland Security's 3 E-Verify program, Consultant shall enroll in the E-Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Consultant shall certify its registration with E-Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, 4 recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non- owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. 5 Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self-retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insureds as respects each of the following. Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired,or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Not Applicable 14.6 Notice of CancellationlTermination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty(30)days'written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed"verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. Attorneys' Fees. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). Section 19. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. 7 IN WITNESS WHEREOF, the parties hereto have executed this Agreement. Approve a Personal Services Agreement with Municipal Underground Services Inc. for sewer and storm drainage services for a duration of four months, subject to available funding in the operational budget; and, 2. Authorize the City Manager to execute the agreement. SITUATION: On October 18, 2005, the City of San Juan Capistrano entered into an agreement with Municipal Underground Services Incorporated (MUSI) for the purposes of cleaning, maintaining and videotaping the City's sewer and storm drain systems (see Attachment 1). The term of the agreement was for a period of three years with three additional one year options. The last option expired on October 18, 2011. Utilities Department staff has been in the process of preparing a Request for Proposals (RFP) for the purposes of selecting a service provider for cleaning, maintaining, and videotaping the City's sewer and storm drain assets. At this time, the RFP has not been finalized, advertised or circulated thereby leaving the City in a precarious position of not having an executed agreement for the aforementioned services. This precarious position will become exacerbated by the coming wet season, thus necessitating the emergency continuation of the agreement. Council Policy 112 Personal Services Selection . Guidelines defines the selection process for Personal Services Agreement (see Attachment 2). Pursuant to the aforementioned policy when "service is necessitated by reason of emergency circumstances" the selection process may be waived. The City does not have the adequate resources both in man power or equipment to perform these services, thereby necessitating the emergency under which the selection process may be waived. As an interim solution staff recommends that the City enters into a sole source personal services agreement with MUSI, the City's current provider for a period not to exceed Agenda Report Page 2 November 1 2011. four months. Said period would commence November 1, 2011, and would end on February 29, 2012. Staff is recommending that this agreement be sole sourced due to the quality of service provided, the current service provider being the lowest bidder during the previous RFP process, and continuity of service. The interim agreement (see Attachment 3) retains .all conditions of the previous agreement, including price of services provided. Staff would also recommend the total amount authorized for this agreement not to exceed $71,500, which is the four month cost of services, based upon the previous two year's total average cost (see Attachment 4, Summary of Payments to MUST). Staff will continue the RFP process thereby being able to implement a new agreement by March 1, 2012. COMMISSIONIE3OARD REVIEW AND RECOMMENDATIONS: The Utilities Commission was briefed during their October 25, 2011 regular meeting and unanimously recommended approval of the proposed agreement. FINANCIAL CONSIDERATIONS: The Utilities Department has a total budget of $375,000 for sewer repair and maintenance and a total budget of $110,000 for storm drain maintenance and repair. Currently the City to date has paid MUSI a total of $125,779.09 for invoices dated to October 6, 2011. The RWQCB Permits is a National Pollutant Discharge Elimination System (NPDES) Permit No. R9-2002-0001, respectively. Copy of the RWQCB Permit is available for review. In order to comply with the Permit requirements, the Perm ttees have developed a Drainage Area Management Plan (DAMP) which contains Model Maintenance Procedures with Best Management Practices (BMPs) that parties conducting the municipal activities must adhere to. These Madel Maintenance Procedures apply to any party conducting municipal activities and contain pollution prevention and source control techniques to miniMiZe the impact of these activitie's upon dry-weather urban runoff, storms water runoff, and receiving water quality. Upon receipt of the required fends from the project proponent, the City will execute a personal services agreement and authorize the consultant to proceed. At any time during the consultant selection process and prior to contract execution, the City or applicant may unilaterally choose to invoke the "standard selection process" as outlined in Section III. The City may take action, on an as-needed basis, to add or remove any individual professional or firm from the "List of Pre-Qualified Environmental Professionals". In such cases, staff will prepare a report to the City Manager which outlines the specific basis for addition to or removal from the list. The City will provide a copy of the report to the affected consultants)/consulting firm(s): V. Qualified Personal Service Provider Listin s Master Agreements) Each department shall maintain, if desired, a list of qualified personal service providers for professional and/or other personal services as needed when specific expertise is required or time constraints necessitate consultant assistance in various specialty areas. Fees and Contracts Once the department head has made a recommendation, he/she will negotiate an agreement with the party regarding the contract for the services to be rendered. This contract will be based on the fees included in the party's proposal. Where it is determined by the contracting department that disclosure categories do apply to the party, and party will be required to file disclosure statements, a paragraph shall be added to the contract declaring that the party should be considered a designated position in the conflict of interest code. The department head shall recommend to the City Manager the appropriate disclosure categories. The department head shall insure that parties are advised of the policy and of any requirements under conflict of interest codes. Where it is determined by the contracting department that disclosure categories will not apply to the party, and party will not be required to file a disclosure statement, a paragraph shall,be added that requires the party to verify that there are no hidden or unknown conflicts of interest in his organization. Upon successful negotiation of a contract for services, a standard form personal services agreement, prepared by the City Attorney shall be utilized to finalize the transaction. If an agreement on the contract for services to be rendered cannot be reached, the department head shall begin negotiating with the next most qualified party. (See Section. III). Master Agreements may be issued for a period of 3 years with two (2) one-year extensions and have no fixed dollar amount. An agreement shall not be executed unless sufficient funds have been appropriated in the departmental and/or the designated project account. Contract Approval Approval Authority for personal service contracts shall be as follows: Specific Projects $25,000 or less, City Manager approval $25,000 or more, City Council approval Provided sufficient funds have been provided in the departmental and/or designated project account, the City Manager is authorized to execute amendments to City Council approved agreements up to twenty five (25) percent of the value of the contract. Master Agreements City Council approval. City department heads may authorize requisitions for specific projects, not to exceed $50,000 per project proposal, per year for qualified consultants included on the Master Agreement provided sufficient funds have been appropriated in the departmental and/or the designated project account. The City Manager will have the discretion to reallocate budgeted funds and to make exceptions for unbudgeted personal services within approved budget authorization limits. CEQA, NEPA and Developer Deposits Due to the restrictive timetables of CEQA and NEPA process, all personal service agreements for professional services related to these processes in which the developer monetarily reimburses the City prior to the execution of the contract may be approved by the City Manager. Additionally, all other contracts related to development processing in which the developer monetarily reimburses the City prior to the execution of the contract (Applications subject to the City's Developer Deposit Program) may be approved by the City Manager. VIII. Record of Qualified Personal Service Providers Department heads shall maintain a file of names and brochures of the various qualified parties who have.expressed a general interest in doing work for the City. This file will be used for purposes of soliciting personal service proposals. The department head shall have the discretion to select and limit the number of qualified firms to be kept on file and receive requests for proposals from the City. PERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this day of , 2011, by and between the City of San Juan Capistrano (hereinafter referred to as the "City") and Municipal Underground Services Incorporated (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to sanitary sewer and storm drain maintenance within the City; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Contractor shall consist of those tasks as set forth in attached and, incorporated herein by reference (Exhibit A). Contractor warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. The San Diego Regional Water Quality Control Board (RWQCB) has issued a permit which governs stormwater and non-stormwater discharges resulting from areas owned and operated by the County of Orange, Orange County Flood Control District and incorporated cities of Orange County(collectively referred to as Permittees). The RWQCB Permits is a National Pollutant Discharge Elimination System (NPDES) Permit No. R9- 2002-0001, respectively. Copy of the RWQCB Permit is available for review. In order to comply with the Permit requirements, the Permittees have developed a Drainage Area Management Plan (DAMP)which contains Model Maintenance Procedures with Best Management Practices (BMPs) that parties conducting the municipal activities must adhere to. These Model Maintenance Procedures apply to any party conducting municipal activities and contain pollution prevention and source control techniques to minimize the impact of those activities upon dry-weather urban runoff, storm water runoff, and receiving water quality. Work performed underthis Agreement shall conform to the Permit requirements, the DAMP, and the Model Maintenance Procedures and must be performed as described within all applicable Model maintenance Procedures. The Contractor shall fully understand the Model Maintenance Procedures applicable to activities that are being conducted under 1 ATTACHMENT 3 this Agreement prior to conducting them and maintain copies of the Model Maintenance Procedures throughout the duration of the Agreement. The applicable Model Maintenance Procedures are included as Exhibit "B" of this Agreement. Evaluation of activities subject to DAMP requirements performed under this Agreement will be conducted to verify compliance with DAMP requirements and maybe required through Contractor self-evaluation as determined by the City. Section 2. Term. This Agreement shall commence on the effective date and shall terminate, and all services required hereunder shall be completed, no later than February 29, 2012. Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed those unit prices as set forth in the proposal from Municipal Underground Services, Inc., as set forth in Exhibit"A," attached and incorporated herein by reference and shall not exceed a total of$71,500.00. 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit 'A" attached and incorporated herein by reference. Included within the compensation are all of the Contractor's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Contractor's proposal. .3.3 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. The City' will pay monthly progress payments based on approved invoices in accordance with this Section. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. 2 Section 4. independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without:the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. 3 Section 9. Compliance with Law; E-Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E-Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E-Verify program, Consultant shall enroll in the E-Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of firing a new employee to perform work under this Agreement. Consultant shall certify its registration with E-Verify and provide its registration number within sixteen days of the effective date of this Agreement. f=ailure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. 4 Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This bold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class Vll or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 5 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non- owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self-retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Not Applicable 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days'written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 6 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed"verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice.
