RESOLUTION NO. 22-10-18-01
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN JUAN
CAPISTRANO, CALIFORNIA, FINDING THAT THE PUBLIC INTEREST
AND CONVENIENCE REQUIRE THE SALE OF CERTAIN REAL
PROPERTY (DOWNTOWN PARCELS), DECLARING ITS INTENT TO
SELL SUCH PROPERTY, FINDING SUCH PROPERTY TO BE EXEMPT
FROM THE SURPLUS LAND ACT, SETTING A HEARING DATE FOR
CONSIDERATION OF PROTESTS, AND FINDING THE SAME
CATEGORICALLY EXEMPT FROM CEQA REVIEW
WHEREAS, the City of San Juan Capistrano (“City”) currently owns in fee that
certain real property, Downtown Parcels, generally located at 26874 Ortega Highway
(Parcels 1 through 6 and 11 & 12) and 31776 El Camino Real (Parcel 7) in the City of
San Juan Capistrano (APNs:124-160-55, 124-160-56, and 124-160-57) and legally
described in Exhibit “A” attached to this resolution and incorporated by reference herein
(the “Property”); and
WHEREAS, on October 17, 2017, the City entered into an Exclusive Negotiation
Agreement (“ENA”) for potential future development and disposition of the property; and
WHEREAS, the City has no use for the Property and desires to sell the Property
by entering into a Disposition and Development Agreement (“DDA”) with 26874 Ortega
Highway, LLC, a California limited liability company (“Purchaser”); and
WHEREAS, California Government Code Section 54220 et seq. (the “Surplus
Land Act”) requires that prior to the disposal of any surplus land, unless an exemption
applies, a local agency must provide notice to, among others, affordable housing
developers, and thereafter negotiate in good faith for ninety (90) days with any parties
who submit a notice of interest; and
WHEREAS, Parcels 1 through 7 of the Property proposed to be sold are exempt
from the Surplus Land Act, because the City entered into an Exclusive Negotiating
Agreement to dispose of the property before September 30, 2019; and
WHEREAS, Parcels 11 and 12 of the Property proposed to be sold are exempt
from the Surplus Land Act, because they are less than 5,000 square feet in size; and
WHEREAS, California Government Code Sections 37420 through 37430
authorize the City to dispose of property; and
WHEREAS, California Government Code Section 37421 provides that when the
legislative body of a city finds that the public interest and convenience require the sale of
public buildings and sites, it must adopt a resolution so finding and giving notice of its
intention to sell such property; and

WHEREAS, California Government Code Section 37422 provides that such
resolution shall fix a time for hearing protests to the property conveyance, provide for
publication of notice of the hearing, fix the time when the City will take final action
regarding the property conveyance; and contain an accurate description of the property
to be conveyed; and
WHEREAS, in accordance with Government Code section 65402, the proposed
disposition of the Property under the DDA must be and will be presented to the City's
Planning Commission ("Planning Commission"), to find that the conveyance of the
Property from City to Purchaser is in conformance with the City's general plan; and
WHEREAS, the City wishes to declare its intent to dispose of and convey the
Property pursuant to the terms of the DDA, declare and find that the Property is exempt
from the Surplus Land Act, fix a time for the hearing of any protests to the disposition,
provide for publication of the notice of said hearing, and fix the time for final action on the
disposition of the Property and approval of the DDA; and
WHEREAS, the City Council’s consideration of the DDA is categorically exempt
from environmental review pursuant to a Class 32 categorical exemption for infill
development (14 Cal. Code Regs., § 15332).
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SAN JUAN
CAPISTRANO, CALIFORNIA DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. Incorporation of Recitals. The foregoing recitals are true and
correct and are incorporated herein and made an operative part of this Resolution.
SECTION 2. CEQA Findings. The City Council of the City hereby finds and
determines that the DDA and resulting proposed project are categorically exempt from
further environmental review under State CEQA Guidelines, Section 15332, In-Fill
Development Projects (Class 32). The entire Project (which includes the project approvals
given on October 4, 2022, as well as the action on the purchase agreements that are the
subject of this Resolution) is exempt per Section 15332 because the Project meets the
required conditions for Class 32. The City filed and posted a Notice of Exemption for the
Project on October 7, 2022, with the Orange County Clerk-Recorder.
As explained in the October 4, 2022, staff report on the El Camino Specific Plan,
the Project is consistent with the applicable General Plan designation and all applicable
General Plan policies as well as with applicable zoning designations and regulations
outlined in the El Camino Specific Plan; in all respects where the El Camino Specific Plan
does not specify a development standard, the Project is consistent with the San Juan
Capistrano General Plan and Title 9 of the Municipal Code, Land Use. The Project occurs
within city limits on a project site of less than five acres and is substantially surrounded by
urban uses. Specifically, the Project is located at 31776 El Camino Real in the City of San
Juan Capistrano, consists of 1.68 acres, and is surrounded by Town Center (commercial),
Community Park (public), and Town Center Edge (commercial) zoning to the north, south,
and east, respectively, and Town Center (commercial) zoning to the west. The Project site

has no value, as a habitat for endangered, rare, or threatened species because the
majority of the Project site has already been developed and is currently improved with a
commercial building, parking lot, and associated improvements on the parcels. Therefore,
the site is not habitat for endangered, rare, or threatened species.
Approval of the Project would not result in any significant effects relating to traffic,
noise, air quality, or water quality. Analysis has been conducted to ensure the Project
does not result in any significant effects relating to traffic and water quality, including the
following: a Traffic Sensitivity Analysis accepted by the City Traffic Engineer and the
Preliminary Water Quality Management Plan approved by the Public Works Department.
Further, there is no evidence that the Project would result in significant effects relating to
air quality or noise. The site can be adequately served by all required utilities and public
services; the Project site is currently serviced by all required utilities, including but not
limited to electricity, gas, garbage, water, and sewer and therefore would remain
adequately serviced.
None of the exceptions to the categorical exemptions identified in CEQA
Guidelines, section 15300.2 apply. There is nothing unusual about the Project site or the
Project itself that would lead to a potentially significant impact. And, even if an unusual
circumstance did exist (one does not), based on the studies performed, there is no
reasonable possibility that the Project would have a significant effect on the environment.
The Project site is already developed with a commercially operating playhouse, the
Project’s Traffic Sensitivity Analysis concluded that the Project would not result in a
significant increase of inbound and outbound traffic, would provide adequate access, and
would provide adequate off-street parking. Further, the Project will not result in damage to
scenic resources within a highway officially designated as a state scenic highway; the
closest officially designated state scenic highway is located near Anaheim and therefore
the Project will not result in damage to scenic resources within or near such highway.
Further, the Project is not located on a site which is included on any list compiled pursuant
to Government Section 65962.5; the Project site has not been designated as a hazardous
waste site. Further, the Project will not cause a substantial adverse change in the
significance of a historic resource; specifically, there would be no substantial adverse
change in the significance of the Blas Aguilar Adobe for the reasons outlined in this report
and staff’s presentation. Thus, the exceptions are not triggered, and the Class 32
categorical exemption applies to the Project as a whole, including the City Council’s
approval of this Resolution.
SECTION 3. Surplus Land Act Findings. The City Council of the City hereby
finds and determines that the Property is “surplus land” as used in the Surplus Land Act,
because the Property is owned in fee simple by the City, and the Property is surplus and
is not necessary for the City’s use. The City Council of the City hereby further finds and
determines that the Property is “exempt surplus land” pursuant to Government Code
section 54234, because for Parcels 1 through 7 the City entered into an Exclusive
Negotiation Agreement to dispose of the property prior to September 30, 2019, and
Parcels 11 and 12 are each under 5,000 square feet. Therefore, pursuant to Government
Code section 54234, the Surplus Land Act shall not apply to this sale and transfer of the
Property.

SECTION 4. Public Convenience and Necessity Findings. The City Council of
the City hereby finds and determines that public convenience and necessity require the
sale of the Property. The factors demonstrating that the public convenience and necessity
require the sale of the Property include, but are not limited to the following: (i) support the
City’s ability to provide for available public parking in perpetuity on the parcels (ii) mitigate
future liability (iii) relieve the City’s property maintenance responsibility of a surplus
property.
SECTION 5. Declaration of Intent to Sell; Fixing of Hearing. The City Council
of the City hereby declares its intent to sell the Property pursuant to the DDA and fixes
November 1, 2022, at 5:00 P.M. or as soon thereafter that the matter can be heard at the
City of San Juan Capistrano, City Council Chambers, located at 32400 Paseo Adelanto,
San Juan Capistrano, California 92675 as the date, time and location for hearing any
protests to the proposed sale of the Property, approval of the DDA, and as the final action
date.
SECTION 6. Publication and Posting. In compliance with California
Government Code Section 37423, the City Council of the City hereby directs City staff to
publish this resolution at least once in a daily newspaper prior to November 1, 2022, and
to post this Resolution for not less than ten (10) days in at least three (3) conspicuous
places upon the Property prior to November 1, 2022.
SECTION 7. Notice of Exemption. The City Council hereby directs staff to
prepare, execute and file with the Orange County Clerk a Notice of Exemption within five
working days of the approval of the DDA.
SECTION 8. Custodian of Documents. The custodian of documents
constituting the record of proceedings for this matter is the City Clerk of the City of San
Juan Capistrano. The documents constituting the record of proceedings for this matter
are located at City Hall at 32400 Paseo Adelanto, San Juan Capistrano, CA 92675.
SECTION 9. Severability. If any provision of this Resolution is held invalid, the
remainder of this Resolution shall not be affected by such invalidity, and the provisions of
this Resolution are severable.
SECTION 10. Effective Date. This Resolution shall become effective
immediately upon its adoption.
The City Clerk of the City of San Juan Capistrano shall certify as to the adoption
of this Resolution.
