BOGHOSSIAN & ASSOCIATES_Personal Services AgreementPERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this,` 'qday of " . �` 2011, by and between the San Juan Capistrano (hereinafter referred to as the "City") and George G. Boghossian & Associates, Inc. (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to perform design services for constructing two trails in the City's East Open Space, and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as fellows: Section 1. Scope of Work. The scope of work to be performed by the Consultant shall consist of those tasks as set forth in Exhibit "A," which comprise of consultant proposal and City Request for Proposal, attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 2. Term. This Agreement shall commence on the effective date in the Notice to Proceed and shall terminate, and all services required hereunder shall be completed, no later than October 31, 2011. Section 3, Compensation. 3,1 Amount. Total compensation for the services hereunder shall not exceed $29,880 total contract amount including expenses as set forth in Exhibit "B," attached and incorporated herein by reference. 3.2 Method of Payment. Subject to Section 3. 1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. The City will pay monthly progress payments based on approved invoices in accordance with this Section. 3.3 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to the City. Invoices shall be addressed as provided for in Section 16 below. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of the City, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting and Assi nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to the City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between. any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. . By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work fa under this'Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law;_E-Verify_. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E -Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Information pertaining to the E -Verify program can be found at.http-://www.uscis.gov, or access the registration page at https://e-verify.uscis.gov/enroll/. Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's .findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. 3 Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, .arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of.the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks M associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.6 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 5 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. M. Section 1 S. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). Section 19. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. RECITALS: WHEREAS, City desires .to retain the services of Consultant regarding the City's proposal to perform the YYYYYYYYYYYYYYYYYYY, and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work, The scope of work to be performed by the Consultant shall consist of those tasks as set forth in Exhibit "A," which comprise of consultant proposal dated April XX, 2011, attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 2. Term. This Agreement shall commence on the effective date in the Notice to Proceed and shall terminate, and all services required hereunder shall be completed, no later than April 30, 2012. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed $XX,XXX total contract amount including expenses as set forth in Exhibit "A," attached and incorporated herein by reference. 3.2 Method of Payment. Subject to Section 3. 1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement, These records will be made available at reasonable times to the City. Invoices shall be addressed as provided for in Section 16 below. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of the City, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting and Assi nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to the City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. Ali persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. FaMEa[!jy with Work and/or. Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated: the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. 2 Pr000sal 11-243 Paw 25 of 50 Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law; E Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E -Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new. employee to perform work under this Agreement. Information pertaining to the E -Verify program can be found at http://www.uscis.gov, or access the registration page at haps://e-verify.uscis,gov/enroll/. Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. 3 Proposal 11-243 Paoe 26 of 50 Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VI I or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks CI Proaosal 11-243 Paae 27 of 5b associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, eit-her -the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Worker's Compensation, If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as. additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant, or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City's General Counsel for certification that the insurance requirements of this Agreement have been satisfied, 14.6 (Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 61 Pr000sal 11-243 Pace 28 of 50 14.7 Teras of Compensation Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. City of San Juan Capistrano RFP Proposal 11-243 Page 36 of 50 Request for Proposals Page 1 REQUEST FOR PROPOSALS EAST OPEN SPACE TRAILS INTRODUCTION May 23, 2011 The City of San Juan Capistrano is requesting proposals from qualified consultants to provide construction drawings and specifications for installing two trails in the City's East Open Space, located on the southwest corner of Ortega and LaPata. it. EXISTING CONDITIONS & IMPROVEMENTS The City desires to install two trails on the southwest corner of Ortega and LaPata. as described below: The City purchased the property, known as the East Open Space in early 2010, in order to preserve the open space and continue the recreational activities that the property has provided to the region in recent decades. The project will be comprised of two components: Class 1 Bikeway Trail This will link City's trails to the future Ranch Development trails. The Bikeway will be 1,700 feet long, 20 feet wide, paved with asphalt, and will include striping and signage. The project will include a rest stop, bicycle rack, water fountain (from a future water source), and other amenities. Equestrian Trail This trail will be about 3,700 feet in length with trail fencing on both sides. The trail will be graded and compacted, but not paved. The trail will include a staging area in the general vicinity so that the equestrian community can park their trailers and enjoy the trails (the staging and parking areas are not part of this project). The City will maintain and operate the trails as part of its network, which currently stands. at 42 miles. PrODOSa[11-243 Paae 37 of 50 Request for Proposals Page 2 The project will ensure that access is granted under the Americans with Disabilties Act (ADA) requirements. III. SCOPE OF WORK The following tasks will be included: A. Investigate available City records at all the locations. B. Perform land surveys to determine lines and grades. C. Identify potential impacts on adjacent properties. D. Review and incorporate: • Removal of existing barriers, if any. • Alteration to existing green space, if any. • Removal of trees, if any. • Identify utilities and their relocation. • Need for retaining walls (such work should be avoided if possible). • Identify and incorporate connections to existing or future trails. E. Perform cost analysis and provide construction estimates. F. Identify traffic control issues during construction and recommend safety measures. The proposal shall identify a concise description of the scope of work the consultant will use to develop and manage the project. The following are expected as minimum: In keeping with the existing open space elements, San Juan Creek and its immediate surroundings, the new trails will be designed in a manner to respect the natural environment. City staff has carefully reviewed the area and developed the following specific goals: a. Trail alignments will be curvilinear, provide vital linkages to complete the regional network, and utilize sustainable design in conformance with the natural environment. b. Trail alignments will preserve existing vegetation by removing only as much as necessary to accommodate the trails. c. While the planned trails are 20 feet wide, they will vary in width in sensitive areas in order to preserve scenic amenities and provide possible buffer areas between adjacent land uses. d. Where trail alignments include existing trees, particular attention for preservation will be incorporated into design plans. e. Trail alignments will respect natural iandforms and not require significant grading to implement. Proposal 11-243 Pane 38 of 50 Request for Proposals Page 3 f. Ensure trail uses are environmentally sensitive (water quality and erosion issues). g. Establish contacts and work cooperatively with Resource Agencies (for habitat and sensitive areas). Design Standards AASHTO design standards will be used for the bikeway project. For the equestrian trail, the City standard drawing is attached and design and construction will follow the following general guidelines: Trail widths will be 20' wide to the degree possible. The trail may. be narrower if the natural setting dictates it, but under no circumstances to be less than 10'. In order to reduce erosion and maintenance problems, disturbance of the soil surface will be kept to the minimum. Only rocks, stumps, and roots which interfere with passage will be removed. The degree of cut allowed on a slope depends on the soil type, hardness, etc. Slope cuts will be at a minimum of 2:1, but not so steep that erosion or loss of stability will result. Transitions on all cuts will be such that the trail will be molded into the terrain. Also, a berm of earth or rock, on the outside edgewill be placed if necessary. Steep areas may be handled by terracing and building steps. These must be reinforced with stone or wood. The proposed trails will provide connectivity to similar facilities, be fully ADA compliant, and provide unlimited access to users under normal operating conditions. The equestrian trails in the City are multiuser trails and they are open to any non - motorized user. Additional design standards are attached to the RFP. Phase 1 — Preliminary Eng inq eerie Obtain and review existing plans for the area , utilities (storm drain, water, sewer, etc.) within the limits of the project. Perform topographic survey to locate existing infrastructure and other significant features as necessary to prepare the project plans. Identify any potential barriers to the project. Preliminary property surveys will be available and furnished to the selected consultant. Provide utility company notification and coordination by certified mail regarding existing and future facilities, potential conflicts, relocations, etc. A copy of all notices I correspondence shall be provided to the City for records. Prepare a Preliminary Layout Plan showing the proposed improvements and affected facilities, including all necessary dimensions and details, for review and approval prior to preparation of final plans. Attend coordination meetings with City staff regarding proposed improvements, project Limits, utility relocations, and other project coordination items pertinent to preliminary and final engineering phase. Pr000saf 11-243 Paae 39 of 50 Request for Proposals Page 4 Phase 2 = Environmental Determination Not A Part of Proposed Scope of Work A notice of determination was filed with the County of Orange in 2004. The larger project, The Ranch Plan, included the development of the two trails covered in this RFP. Phase 3 — Final Engineering 1. Prepare construction Plans (including details to modify f relocate any affected drainage facilities, utilities, etc.) as necessary to construct improvements as described in this RFP. Trail improvement plan shall be developed at V=20' horizontal 2. Prepare Retaining Wall Plan, if any, where needed. 3. Prepare an engineer's estimate of construction cost for each plan check submittal to the City for review. 4. Prepare project specifications and contract documents inclusive 'of the bid schedule and general & special provisions for bidding and construction in accordance with City format. 5. Prepare a Notice of Intent (NOI) and address water quality issues for treatment of runoff. The Notice of Intent will be filed by the City. 6. Address soil erosion issues for the construction and post -construction phases of the project. 7. Provide reproducible Mylar pians 24"x36" and a CD of the plans in AutoCAD .DWG (or DXF) layered format using OCL.B (Orange County Land Base) coordinates NAD83StatePlane VI., in accordance with the City's digital submittal standards (see Attachment "D"). All improvements shall be on separate layers in AutoCAD. Pians in .PDF format to allow for half-size (11"x17") plan reproductions shall also be included. 8. Provide one hard copy and a CD-ROM of project specifications and contract documents in Microsoft Word (version 20307) for Windows. IV. REQUIRED SERVICES The City requires the services of a professional consultant for the services as outlined above. The work program shall take into consideration the following items. A. The consultant shall attend periodic meetings with City staff at various stages of the project as needed. Perform field work as necessary. C. Submission of 50%, 90%, and 100% plans are required. V. CITY SUPPORT Existing documentation in City possession will be provided to the consultant. VI. CONTENT OF THE PROJECT PROPOSAL The consultant's response to the City's Request for Proposal should provide the following information, using the same format and sequence: A. Project Team An organization chart indicating project team members together with an indication of their involvement in the project. Also provide resumes of the key personnel involved . with this project, including personnel from sub - consultants. For the project engineer and project manager, include information for three (maximum) recent projects on his/her record of completion compared to the original project schedule. B. Firm's Experience List a maximum of five projects of similar scope, which your firm has provided to other public agencies in the greater Los Angeles area. For each project, provide the following information: Location, owner, type, and year work was completed. If 'any portion of the project is sub -contracted, provide similar information for a maximum of three projects. C. Project Approach Discuss the methods and procedures that will be used for this project. D. Project Scheduling Provide a schedule identifying milestones for the major tasks in this project, beginning with the notice to proceed. E. Resource Requirements Provide a man hour and fee estimate by item identified in Section IV. Also provide a total "Not to Exceed" design fee for the project. Proposal 11-243 Paae 41 of 50 Request for Proposals Page 6 It should be noted that the amount of retention shall be 10 percent for the contract and a reduction in the amount of retention percentage will not be allowed. Retention will be released upon the City's acceptance and approval by the City Engineer of the final plans. F. Fee Schedule Provide the hourly rates of all personnel assigned to the project. The fee proposal shall be submitted for the consultant services outlined in the scope of work. The basis of payment for the services provided under this agreement shall be a riot -to -exceed fee. The City shall reimburse the. consultant for actual costs (including labor costs, employee benefits, overhead and other direct costs) incurred by the consultant in performance of the work. The fixed fee shall not be altered unless there is significant alteration in the scope, complexity, or character of the work to be performed. The proposal fee shall be submitted in a separate, sealed envelope. G. Agreement Attachment C is a copy of the City's service agreement. A statement MUST be made in the proposal that all terms and conditions are acceptable. If any revisions are requested, they must be described in full. Please note the E - Verify provision in the Agreement. H. Insurance Proof of insurance requirements addressed in Section Xl of this Request for Proposal shall be submitted with the Proposal. VIE. ORAL INTERVIEWS The consultant will be selected solely based upon written proposal. X. RIGHT TO REJECT ALL PROPOSALS The City reserves the right to reject any or all proposals submitted; and no representation is made hereby that any contract will be awarded pursuant to this Request for Proposal, or otherwise. All costs incurred in the preparation of the proposal, in the submission of additional information and/or in any other aspect of a proposal prior to the award of a written contract will be borne by the respondent. The City will provide only staff assistance and documentation specifically referred to herein and will not be responsible for any other cost or obligation of any kind which may be incurred by a respondent. All proposals submitted to the City in response to this Request for Proposal shall become the property of the City. XI. INSURANCE/INDEMNIFICATION The consultant's attention is directed to the insurance requirements below. It is highly recommended that consultants confer with their respective insurance carriers or brokers to determine in advance of proposal submission the availability of insurance certificates and' endorsements as prescribed and provided herein. If a contracted firm fails to comply. strictly with the insurance requirements, that consultant may be disqualified from award of the contract. The consultant shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the consultant's performance. The coverage shall contain no special limitations on the scope of protection afforded to the City, its officers, officials, employees or volunteers. b. The consultant's insurance coverage shall be primary insurance as respects the City, its officers, officials, employees and volunteers. Any insurance or self-insurance maintained by the City, its officers, officials, employees or volunteers shall be in excess of the Consultant's insurance and shall not contribute with it. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the City, its officers, officials, employees or volunteers. d. Coverage shall state that the City insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 2. Workers' Compensation and Employers Liability Coverage The insurer shall agree to waive all rights of subrogation against the City, its officers, officials, employees and volunteers for losses. 3. All Coverages Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits except after thirty (30) days' prior written notice by certified mail, return receipt requested, has been given to the City. E. Acceptability of Insurers Insurance is to be placed with insurers with a Best's rating of not less than A:VII. The consultant shall furnish the City with certificates of insurance and with original endorsements effecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. The City reserves the right to require complete, certified copies of all required policies at any time. The Consultant shall save, keep and hold harmless the City, its officers, officials, employees and volunteers from all damages, costs or expenses in law or equity that may at any time arise or be set up because of damages to property or personal injury received by reason of or in the course of performing work which may be occasioned by any willful or negligent act or omissions of the Consultant, any of the Consultant's employees, or any sub - consultant. Pr000saf 11-243 Pane 46 of 5f1 Request for Proposals Page 11 DESIGN STANDARDS Equestrian/hiking trails as designated on the General Plan. Map are intended to be designed as an independent trail system to serve the riding and hiking needs of the community. Some trail alignments have been designed to utilize existing or proposed service roads. Service roads, paved or unpaved, are designed to provide service vehicle access (fire, utility or maintenance). They may also be used by private vehicles restricted to servicing individual equestrian stable or ranch land. Trails utilizing said service routes should be designed to accommodate said vehicles use, for example entrance barricades should be designed to allow for restricted vehicle passage. Equestrian and Hiking Trails 1. Methods - visible evidence of trail construction should be confined to the trail width. Construction should attempt to make as little impact on the natural environment as possible. 2. Grades - Grades should be held to a maximum of 8 percent. Steep grades are tiring for hikers and horsemen and create erosion problems. Long, gradual switchbacks should be used rather than short, steep switchbacks. 3. Trail Construction - Generally, trail width should be 10' to 20' wide. The trail may be narrower if approved by the city, but under no circumstances less than 10'. The trail width should be determined by amount and intensity of use, as well as topography and vegetation. In order to reduce erosion and, therefore, maintenance problems, disturbance of the soil surface should be Dept to a minimum. Only rocks, stumps, and roots which interfere with passage should be removed. The degree of cut allowed on a slope depends on the soil type, hardness, etc.: Make slope cuts at a minimum of 2.1, but not so steep that erosion or loss of.stability will result. Make transitions on all cuts so that the trail will be molded into the terrain. Construct the trail with provision for settling and sloughing. On side slopes, loose material which may slide onto the trail should be removed. Also, a berm of earth or rock, on the outside edge, of the trail may be necessary. Steep areas may be handled by terracing and building steps. These must be reinforced with stone or wood. Steps simply cut into the slope should not be used, as these become slippery when wet, and eventually erode. Steps should be negotiable by horses and they must be broad, flat terraces, with at least 8' between steps (See exhibit A). 4. Vegetation - Vegetation should be preserved as much as possible to protect h aesthetic quality of the trail. Vegetation should be cleared to a Pronosal 11-243 Pace 47 cf 50 Request for Proposals Page 12 height of 10' and should be cleared to a width of at least 10'0" at shoulder height (see Exhibit B). Pruning along trails should be selective. Good pruning practices should be followed, including cutting branches off flush with the limb, and stems flush with the ground (see exhibit C). Stumps may be treated to prevent sprouting. large limbs should be pruned flush with the trunk and wounds sealed to prevent decay. Dead and dying limbs and snags which may fall on the trail ishould be removed. Ground cover plants and low shrubs should not be cleared except from the actual frail. Spot spraying with herbicides is permissible when poison oak predominates or hand pruning is ineffective in keeping trails clear. Where a trail is on a side slope, the vegetation on the uphill side will be more invasive and should be cut back more severely than vegetation on the downhill side (see exhibit D). Vegetation should be allowed to return to cut slopes to increase stability. Where appropriate, any replanting should be in conformance with land use development plans. Replant areas with vegetation indigenous to those areas or compatible with plantings already in place. 5. Drainage W Drainage is the most important item in trail construction; it requires a special study of the precipitation, runoff, springs, and streams in the area. Surface water must be diverted from the trail's surface before it builds up to an erosive force. The method used to drain the trail will depend on the quantity and speed of water and the type of soils in the area. The best and simplest drainage is to, slope the trail surface, 1 percent - 3 percent, to allow the water to sheet off, rather than run in a stream. Low grades help prevent drainage problems; steep grades allow the water to run faster building up erosive force. Minor rivulets crossing the trail can be directed along a water bar (see Exhibit E). Trails crossing larger streams, whether permanent or intermittent, may require a bridge or an "Arizona" crossing (drainage pipe system). See Exhibits F and G. If a drain pipe system is used; it . is very important to prevent erosionat the outfall end by providing rip -rap or other hard surface for the water to hit first. If this is not provided, the water leaving the pipe will erode the surface below it, and eventually the fill around the downslope end of the pipe. The installation of rip -rap is to be placed, such that it does not conflict with the trail area. Avoid causing off -trail drainage problems, such as erosion or siltation, by careful culvert placement, 6. Surfacing - The trail may be treated or surfaced in areas where: The dust caused by trail use presents a problem; it is needed to prevent erosion; or it is needed to improve slick or muddy conditions. The Pronosai 1 i-243 PaoE, 48 of 50 Request for Proposals Mage 13 color and type of material chosen for surfacing, whether bark, gravel, etc., shall be compatible with the environment through which the trail passes. The surfacing material must not create severe runoff or erosion problems. When trail crosses driveways, a non -slip surface shall be applied (broom/rake finish). 7. Structures - Structures may include water bars, drain pipes, retaining walls, bridges, etc. If possible, structures should be avoided because of their installation and maintenance cost. Ideally, trail structures should be built using on-site materials or improved materials which blend into the environment. They should be designed so that they are harmonious with the surroundings. Structures should be as vandal -proof as possible. Use recessed bolt heads wherever possible. Bridges shall be a minimum of 10' wide (see Exhibit G). S. Fences - Fencing may be necessary to prevent trail users from trespassing on adjacent lands; or to protect the user from dangerous areas. Some of these problems may be avoided by selective location of the trail route, but there will be cases where fencing is the only solution. Whenever fencing is required, the design shall be per the City standard (see Exhibit H) and would generally include installation on both sides of the trail. 9. Gates - Gates should be avoided whenever possible through careful routing, fencing or use of motorcycle barriers. Gates for trail users are a minimum of five feet wide, and must be self-closing. They may be constructed of wood or metal; wood blends more naturally with the environment, but metal gates are more durable. Vehicle gates are sometimes needed; these shall be metal pipe or equivalent. Wood or chain link are unacceptable. Vehicle gates should be securely locked. 10. Barriers - A trail can be made difficult to motorcyclists by creating a log barrier at the entrance (see Exhibit 1) or by leaving fallen logs on the trails. These are difficult to cross with a motorcycle, but may be stepped over by hikers and riders. Wherever barriers are used to prevent vehicle access, appropriate signage shall be installed (See chapter 4). 11. Utilities - Utility boxes and vaults, manholes, pole lines or other above grade utilities shall be located outside the trail easement. Proposal 11-243 Paae 49 of 50 Request for Proposals Page 14 DESIGN STANDARDS: SIGNING The following guidelines show examples of signs which may be used on Trails. Each sign situation should be evaluated individually; it is difficult to generalize. Each sign design shall be reviewed and approved by the Department of Community Planning and Development. I. Materials: Wooden signs are most commonly used on the trails as they are most compatible with the natural environment and are economical to manufacture and maintain. There are two cases where metal signs might be used: One, where vandalism is a problem; two, in interfaces with public roadways where standard metal highway signs are used. 2. Colors: Trail signs (wooden or metal) should be brown with white lettering. Other earth tones may be used on occasion; there must be enough contrast between the background and the letters for the signs to be legible. Where trails intersect roadways the colors are set in the Manual on . Uniform Traffic Control Devices (MUTCD). In standard highway signing, red is used for stop signs and prohibitions; yellow is for warning; green, movement permitted, directional guidance; blue, services; black and white, regulation; and orange, construction and maintenance warning. 3. Size: Directional and.warning signs should be large enough so that the copy is legible (2" high letters). 4. Location: Signs should be located to be easily read from the trail. Height of signs should be determined by vegetation and other surroundings, but normally, 40" from ground to bottom of a single sign, and 30" from ground to bottom of a double sign is a good rule. Signs may be incorporated as part of the fencing. Signing should be consolidated wherever possible; it is preferable to have one sign with three messages than three sign on three separate posts with. three separate messages. However, types of signs should not be mixed; warning or regulatory signs especially should not .be mixed with other types.. SITUATION: To undertake the current Capital Improvement Project in the City's Fiscal Year 2011- 2012 program, staff circulated a request for proposals (RFP's) to engage a consultant to perform design services for the East Open Space trails. PBS & J Background: Under the "purchase and sale" agreement with the Ranch, when the City acquired the East Open Space, located on the southwest corner of Ortega and La Pata, the City has the obligation to construct trails. In order to meet this obligation while preserving open space and continue the recreational activities that the property has provided to the region, two trails are being proposed (Attachment 1): In the City's East Open Space, located on the southwest corner of Ortega and La Pata, in order to preserve the open space and continue the recreational activities that the property has provided to the region, two trails are proposed (Attachment 1). The Bikeway will be 1,700 feet long, 20 feet wide, paved with asphalt, and will include striping and signage on the west side of the Creek. The project will include a rest stop and a bicycle rack. Equestrian Trail This trail will be about 3,700 feet in length with equestrian fencing on both sides. The trail will be graded and compacted, but not paved. Personal Services Agreement City of San Juan Capistrano Eastern Open Space - Multi -Use Trail and Bikeway Improvements September 2010 ATTACHMENT 1 PERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this day of , 2011, by and between the City of San Juan Capistrano (hereinafter referred to as the "City") and Boghossian & Associates, Inc. (hereinafter referred to as the "Consultant"). N.0-11FIXIM WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to perform design services for constructing two trails in the City's East Open Space, and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows. Section 1. Scope of Work. The scope of work to be performed by the Consultant shall consist of those tasks as set forth in Exhibit "A," which comprise of consultant proposal and City Request for Proposal, attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 3. Compensation. 3.1 Amount. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to the City. Invoices shall be addressed as provided for in Section 16 below. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of the City, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to the City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that; (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work 2 under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law; E -Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E -Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Information pertaining to the E -Verify program can be found at http://www.uscis.goy, or access the registration page at https:l/e-verify.uscis.gov/enroll/. Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. 3 Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks 0 associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Workers' Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Can ceIlation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 5 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. RECITALS.- WHEREAS, ECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to perform the YYYYYYYYYYYYYYYYYYY, and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope_ of Work. The scope of work to be performed by the Consultant shall consist of those tasks as set forth in Exhibit "A," which comprise of consultant proposal dated April XX, 2011, attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 2. Term, This Agreement shall commence on the effective date in the Notice to Proceed and shall terminate, and all services required hereunder shall be completed, no later than April 30, 20'12. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed $XX,XXX total contract amount including expenses as set forth in Exhibit "A," attached and incorporated herein by reference. 3.2 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to the City. Invoices shall be addressed as provided for in Section 16 below. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of the City, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting.,and Asst nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the City to enter into this Agreement: Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. ]f Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to the City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 5. Chan es to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familliarily with Work and/or Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of. this and shall not proceed with further work under this Agreement until written instructions are received from the City. 2 Pr000sai 11-243 Paoe 25 of 50 Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law;. E -Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E -Verify, If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Information pertaining to the E -Verify program can be found .at http://www.uscis.,qov, or access the registration page at https://e-verify.uscis.gov/enroll/. Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. 3 Prormsal 11-243 Paae 26 of 50 Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all Claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in anyway connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class Vil or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks n Pr000sal 11-243 Pace 27 of 50 associated with the work contemplated by this agreement. if a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either -the general aggregate limit shall apply separately to the work to be performed under. this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than. one million dollars per occurrence ($1,000,000.0(?). 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as. additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancellation/Termination of Insurance. The above policylpolicies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 5 Proposal 11-243 Paw 28 of 50 14.7 Terms of Compensation Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement: without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. Rely No,: 11-243 ATTACHMENT "A" City of San .yuan Capistrano RFP Proposal 11-243 Page 36 of 50 Request for Proposals Page 1 REQUEST FOR PROPOSALS EAST OPEN SPACE TRAILS INTRODUCTION May 23, 2011 The City of San Juan Capistrano is requesting proposals from qualified consultants to provide construction drawings and specifications for installing two trails in the City's East Open Space, located on the southwest corner of Ortega and LaPata. EXISTING CONDITIONS & IMPROVEMENTS The City desires to install two trails on the southwest corner of Ortega and LaPata. as described below: The City purchased the property, known as the East Open Space in early 2010, in order to preserve the open space and continue the recreational activities that the property has provided to the region in recent decades. The project will be comprised of two components: Class 1 Bikeway Trail This will link City's trails to the future Ranch Development trails. The Bikeway will be 1,700 feet long, 20 feet wide, paved with asphalt, .and will include striping and signage. The project will include a rest stop, bicycle rack, water fountain (from a future water source), and other amenities. Equestrian Trail This trail will be about 3,700 feet in length with trail fencing on both sides. The trail will be graded and compacted, but not paved. The trail will include a staging area in the general vicinity so that the equestrian community can park their trailers and enjoy the trails (the staging and parking areas are not part of this project). The City will maintain and operate the trails as part of its network, which currently stands at 42 miles. SCOPE OF WORK The following tasks will be included: A. Investigate available City records at all the locations. B. Perforin land surveys to determine lines and grades. C. Identify potential impacts on adjacent properties. D. Review and incorporate: • Removal of existing barriers, if any. Alteration to existing green space, if any. Removal of trees, if any. Identify utilities and their relocation. Need for retaining walls (such work should be avoided if possible). • Identify and incorporate connections to existing or future traits. E. Perform cost analysis and provide construction estimates 1^. Identify traffic control issues during construction and recommend safety measures. The proposal shall identify a concise description of the scope of work the consultant will use to develop and manage the project. The following are expected as minimum: In keeping with the existing open space elements, San Juan Creek and its immediate surroundings, the new -trails will be designed in a manner to respect the natural environment. City staff has carefully reviewed the area and developed the following specific goals. a. Trail alignments will be curvilinear, provide vital linkages to complete the regional network, and utilize sustainable design in conformance with the natural environment. b. Trail alignments will preserve existing vegetation by removing only as much as necessary to accommodate the trails. c. While the planned trails are 20 feet wide, they will vary in width in sensitive areas in order to preserve scenic amenities and provide possible buffer areas between adjacent land uses. d. Where trail alignments include existing trees, particular attention for preservation will be incorporated into design plans. e, Trail alignments will respect natural landforms and not require significant grading to implement. Proposal 11-243 Paae M of 50 Request for Proposals Page 3 f. Ensure trail uses are environmentally sensitive (water quality and erosion issues). g. Establish contacts and work cooperatively with Resource Agencies (for habitat and sensitive areas). Design Standards AASHTO design standards will be used for the bikeway project. For the equestrian trail, the City standard drawing is attached and design and construction will follow the following general guidelines: Trail widths will be 20' wide to the degree possible. The trail may be narrower if the natural setting dictates it, but under no circumstances to be less than 10'. In order to reduce erosion and maintenance problems, disturbance of the soil surface will be kept to the minimum. Only rocks, stumps, and roots which interfere with passage will be removed. The degree of cut allowed on a slope depends on the soil type, hardness, etc. Slope cuts will be at a minimum of 2:1, but not so steep that erosion or loss of stability will result. Transitions on all cuts will be such that the trail will be molded into the terrain. Also, a berm of earth or rock, on the outside edge will be placed if necessary. Steep areas may be handled by terracing and building steps. These must be reinforced with stone or wood. The proposed trails will provide connectivity to similar facilities, be fully ADA compliant, and provide unlimited access to users under normal operating conditions. The equestrian trails in the City are multiuser trails and they are open to any non - motorized user. Additional design standards are attached to the RFP. Phase 1 — Preliminary Engineering Obtain and review existing plans for the area , utilities (storm drain, water, sewer, etc.) within the limits of the project. Perform topographic survey to locate existing infrastructure and other significant features as necessary to prepare the project plans. Identify any potential barriers to the project. Preliminary property surveys will be available and furnished to the selected consultant. Provide utility company notification and coordination by certified mail regarding existing and future facilities, potential conflicts, relocations, etc. A copy of all notices I correspondence shall be provided to the City for records. Prepare a Preliminary Layout Plan showing the proposed improvements and affected facilities, including all necessary dimensions and details, for review and approval prior to preparation of final plans. Attend coordination meetings with City staff regarding proposed improvements, project limits, utility relocations, and other project coordination items pertinent to preliminary and final engineering phase. Pronosal 11-243 Pace 39 of 50 Request for Proposals Page 4 Phase 2 — Environmental Determination Not A Part of Proposed Scope -of Work A notice of determination was filed with the County of Orange in 2004. The larger project, The Ranch Plan, included the development of the two trails covered in this RFP. Phase 3 — Final En ineerio 1. Prepare construction Plans (including details to modify 1 relocate any affected drainage facilities, utilities, etc.) as necessary to construct improvements as described in this RI=P. Trail improvement plan shall be developed at V=20' horizontal. 2. Prepare Retaining Wall Plan, if any, where needed. 3. Prepare an engineer's estimate of construction cost for each plan check submittal to the City for review. 4. Prepare project specifications and contract documents inclusive of the bid schedule and general & special provisions for bidding and construction in accordance with City format. 5. Prepare a. Notice of Intent (NOI) and address water quality issues for treatment of runoff. The Notice of Intent will be filed by the City. 6. Address soil erosion issues for the construction and post -construction phases of the project. 7. Provide reproducible Mylar plans 24"x36" and a CD of the plans in AutoCAD .DWG (or DXF) layered format using OCLB (Orange County Land Base) coordinates NAD83StatePlane VI., in accordance with the City's digital submittal standards (see Attachment "D"). All improvements shall be on separate layers in AutoCAD. Plans in .PDF format to allow for half-size (11"x17") plan reproductions shall also be included. 8. Provide one hard copy and a CD-ROM of project specifications and contract documents in Microsoft Word (version 2007) for Windows. IV, REQUIRED SERVICES The City requires the services of a professional consultant for the services as outlined above. The work program shall take into consideration the following items: A. CITY SUPPORT Existing documentation in City possession will be provided to the consultant. VI. CONTENT OF THE PROJECT PROPOSAL The consultant's response to the City's Request for Proposal should provide the following information, using the same format and sequence: A. Project Team An organization chart indicating project team members together with an indication of their involvement in the project. Also provide resumes of the key personnel involved with this project, including personnel from sub - consultants. For the project engineer and project manager, include information for three (maximum) recent projects on his/her record of completion compared to the original project schedule. B. F'irm's Experience List a maximum of five projects of similar scope, which your firm has provided to other public agencies in the greater Los Angeles area. For each project, provide the following information: Location, owner, type, and year work was completed. If any portion of the project is sub -contracted, provide similar information for a maximum of three projects. C. Project Approach Discuss the methods and procedures that will be used for this project. D. Project Scheduling Provide a schedule identifying milestones for the major tasks in this project, beginning with the notice to proceed. E. Resource Requirements Provide a man hour and fee estimate by item identified in Section IV. Also provide a total "Not to Exceed" design fee for the project. The fee proposal shall be submitted for the consultant services outlined in the scope of work. The basis of payment for the services provided under this agreement shall be a not -to -exceed fee. The City shall reimburse the consultant for actual costs (including labor costs, employee benefits, overhead and other direct costs) incurred by the consultant in performance of the work. The fixed fee shall not be altered unless there is significant alteration in the scope, complexity, or character of the work to be performed. The proposal fee shall be submitted in a separate, sealed envelope. G. Agreement Attachment C is a copy of the City's service agreement. A statement MUST be made in the proposal that all terms and conditions are acceptable. If any revisions are requested, they must be described in full. Please note the E - Verify provision in the Agreement. H. Insurance Proof of insurance requirements addressed in Section XI of this Request for Proposal shall be submitted with the Proposal. VII. SELECTION PROCEDURE Criteria for the evaluation of the proposals may include, but need not be limited to, the following: A. Completeness of proposal. ORAL INTERVIEWS The consultant will be selected solely based upon written proposal. . X. RIGHT TO REJECT ALL PROPOSALS The City reserves the right to reject any or all proposals submitted; and no representation is made hereby that any contract will be awarded pursuant to this Request for Proposal, or otherwise. All costs incurred in the preparation of the proposal, in the submission of additional information and/or in any other aspect of a proposal prior to the award of a written contract will be borne by the respondent. The City will provide only staff assistance and documentation specifically referred to herein and will not be responsible for any other cost or obligation of any kind which may be incurred by a respondent. All proposals submitted to the City in response to this Request for Proposal shall become the property of the City. XI. INSURANCEIINDEMNIFICATION The consultant's attention is directed to the insurance requirements below. It is highly recommended that consultants confer with their respective insurance carriers or brokers to determine in advance of proposal submission the availability of insurance certificates and endorsements as prescribed and provided herein. If a contracted firm fails to comply strictly with the insurance requirements, that consultant may be disqualified from award of the contract. The consultant shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the consultant's performance. The cost of such insurance shall be borne by the consultant. A. Minimum Sco e of Insurance Coverage shall be at least as broad as: 9. Occurrence -based Broad Form Comprehensive General Liability. The coverage shall contain no special limitations on the scope of protection afforded to the City, its officers, officials, employees or volunteers. b. The consultant's insurance coverage shall be primary insurance as respects the City, its officers, officials, employees and volunteers. Any insurance or self-insurance maintained by the City, its officers, officials, employees or volunteers shall be in excess of the Consultant's insurance and shall not contribute with it Proposal 11-243 Paae 44 of 50 Request for Proposals Page 9 c. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the City, its officers, officials, employees or volunteers. d. Coverage shall state that the City insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 2. Workers' Compensation and Employers Liability Coverage The insurer shall agree to waive all rights of subrogation against the City, its officers, officials, employees and volunteers for losses. 3. All Coverages Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits except after thirty (30) days' prior written notice by certified mail, return receipt requested, has been given to the City. E. Acceptability of Insurers Insurance is to be placed with insurers with a Best's rating of not less than A:VII. The consultant shall furnish the City with certificates of insurance and with original endorsements effecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. The City reserves the right to require complete, certified copies of all required policies at any time. The Consultant shall save, keep and hold harmless the City, its officers, officials, employees and volunteers from all damages, costs or expenses in law or equity that may at any time arise or be set up because of damages to property or personal injury received by reason of or in the course of performing work which may be occasioned by any willful or negligent act or omissions of the Consultant, any of the Consultant's employees, or any sub - consultant. Pronosai 11-243 Paae 46 of 50 Request for Proposals Page 19 DESIGN STANDARDS Equestrian/hiking trails as designated on the General Plan Map are.intended to be designed as an independent trail system to serve the riding and hiking needs of the community. Some trail alignments have been designed to utilize existing or proposed service roads. Service roads, paved or unpaved, are designed to provide service vehicle access (fire, utility or maintenance). They may also be used by private .vehicles restricted to servicing individual equestrian stable or ranch land. Trails utilizing said service routes should be designed to accommodate said vehicles use, for example entrance barricades should be designed to allow for restricted vehicle passage. E uestrian and Hiking Trails 1. Methods - visible evidence of trail construction should be confined to the trail width. Construction should attempt to make as little impact on the natural environment as possible. 2. Grades - Grades should be held to a maximum of 8 percent. Steep grades are tiring for hikers and horsemen and create erosion problems. Long, gradual switchbacks should be used rather than short, steep switchbacks. 3. Trail Construction - Generally, trail width should be 10' to 20' wide. The trail may be narrower if approved by the city, but under no circumstances less than 10'. T h e trail width should be determined by amount and intensity of use, as well as topography and vegetation. In order to reduce erosion and, therefore, maintenance problems, disturbance of the soil surface should be kept to a minimum. Only rocks, stumps, and roots which interfere with passage should be removed. The degree of cut allowed on a slope depends on the soil type, hardness, etc.: Make slope cuts at a minimum of 2:1, but not so steep that erosion or loss of stability will result. Make transitions on all cuts so that the trail will be molded into the terrain. Construct the trail with provision for settling and sloughing. On side slopes, loose material which may slide onto the trail should be removed. Also, a berm of earth or rock, on the outside edge, of the trail may be necessary. Steep areas may be handled by terracing and building steps. These must be reinforced with stone or wood. Steps simply cut into the slope should not be used, as these become slippery when wet, and eventually erode. Steps should be negotiable by horses and they must be broad, flat terraces, with at least 8' between steps (See exhibit A). 4. Vegetation - Vegetation should be preserved as much as possible to protect h aesthetic quality of the trail. Vegetation should be cleared to a Pro oosa1 11-243 Pane 47 of 50 Request for Proposals Page 12 height of 10' and should be cleared to a width of at least 10'0" at shoulder height (see Exhibit B). Pruning along trails should be selective. Good pruning practices should be followed, including cutting branches off flush with the limb, and stems flush with the ground (see exhibit C}. Stumps. may be treated to prevent sprouting. Large limbs should be pruned flush with the trunk and wounds sealed to prevent decay. Dead and dying limbs and snags which may fall on the trail should be removed. Ground cover plants and low shrubs should not be cleared except from the actual trail. Spot spraying with herbicides is permissible when poison oak predominates or hand pruning is ineffective in keeping trails clear. Where a trail is on a side slope, the vegetation on the uphill side will be more invasive and should be cut back more severely than vegetation on the downhill side (see exhibit D). Vegetation should be allowed to return to cut slopes to increase stabiljty. Where appropriate, any replanting should be in conformance with land use development plans. Replant areas with vegetation indigenous to those areas or compatible with plantings already in place. 5. Drainage - Drainage is the most important item in trail construction; it requires a special study of the precipitation, runoff, springs, and streams in the area. Surface water must be diverted from the trail's surface before it builds up to an erosive force. The method used to drain the trail will depend on the quantity and speed of water and the type of soils in the area. The best and simplest drainage is to slope the trail surface, 1 percent - 3 percent, to allow the water to sheet off, rather than run in a stream. Low grades help prevent drainage problems; steep grades allow the water to run faster building up erosive force. Minor rivulets crossing the trail can be directed along a water bar (see Exhibit E). Trails crossing larger streams, whether permanent or intermittent, may require a bridge or an "Arizona" crossing (drainage pipe system). See. Exhibits F and G. If a drain pipe system is used, it is very important to prevent erosion at the outfall end by providing rip -rap or other hard surface for the water to hit first. If this is not provided, the water leaving the pipe will erode the surface below it, and eventually the fill around the downslope. end of the pipe. The installation of rip -rap is to be placed, such that it does not conflict with the trail area. Avoid causing off -trail drainage problems, such as erosion or siltation, by careful culvert placement. 6. Surfacing - The trail may be treated or surfaced in areas where: The dust caused by trail use presents a problem; it is needed to prevent erosion; or it is needed to improve slick or muddy conditions. The Pronosa[ l l-243 Paae 48 of 5Q Request for Proposals Page 13 color and type of material chosen for surfacing, whether bark, gravel, etc., shall be compatible with the environment through which the trail passes.. The surfacing material must not create severe runoff or erosion problems. When trail crosses driveways, a non -slip surface shall be applied (broom/rake finish). 7. Structures - Structures may include water bars, drain pipes, retaining walls, bridges, etc. If possible, structures should be avoided because of their installation and maintenance cost. Ideally, trail structures should be built using on-site materials or improved materials which blend into the environment. They should be designed so that they are harmonious with the surroundings. Structures should be as vandal -proof as possible. Use recessed bolt heads wherever possible. Bridges shall be a minimum of 10' wide (see Exhibit G), 8. Fences - Fencing may be necessary to prevent trail users from trespassing on adjacent lands; or to protect the user from dangerous areas. Some of these problems may be avoided by selective location of the trail route, but there will be cases where fencing is the only solution. Whenever fencing is required, the design shall be per the City standard (see Exhibit H) and would generally include installation on both sides of the trail. 9. Gates - Gates should be avoided whenever possible through careful routing, fencing or use of motorcycle barriers. Gates for trail users are a minimum of five feet wide, and must be self-closing. They may be constructed of wood or metal; wood blends more naturally with the environment, but metal gates are more durable. Vehicle gates are sometimes needed; these shall be metal pipe or equivalent. Wood or chain link are unacceptable. Vehicle gates should be securely locked. 10. Barriers - A trail can be made difficult to motorcyclists by creating a log barrier at the entrance (see Exhibit 1) or by leaving fallen logs on the trails. These are difficult to cross with a motorcycle, but may be stepped over by hikers and riders. Wherever barriers are used to prevent vehicle access, appropriate signage shall be installed (See chapter 4). 11. Utilities - Utility boxes and vaults, manholes, pole lines or other above grade utilities shall be located outside tho trail easement. Proposal 11-243 Paw! 49 of 50 Request for Proposals Page 14 DESIGN STANDARDS: SIGNING The following guidelines show examples of signs which may be used on Trails. Each sign situation should be evaluated individually; it is difficult to generalize. Each sign design shall be reviewed and approved by the Department of Community Planning and Development. 1. Materials: Wooden signs are most commonly used on the trails as they are most compatible with the natural environment and are economical to manufacture and maintain, There are two cases where metal signs might be used: One, where vandalism is a problem; two, in interfaces with public roadways where standard metal highway signs are used. 2. Colors: Trail signs (wooden or metal) should be brown with white lettering. Other earth tones may be used on occasion; there must be enough contrast between the background and the letters for the signs to be legible. Where trails intersect roadways the colors are set in the Manual on Uniform Traffic Control Devices (MUTCD). In standard highway signing, red is used for stop signs and prohibitions; yellow is for warning; green, movement permitted, directional guidance; blue, services; black and white, regulation; and orange, construction and maintenance warning. 3. Size: Directional and.waming signs should be large enough so that the copy is legible (2" high letters). 4. Location: Signs should be located to be easily read from the trail. Height of signs should be determined by vegetation and other surroundings, but normally, 40" from ground to bottom of a single sign, and 36" from ground to -bottom of a double sign is a good rule. Signs may be incorporated as part of the fencing. Signing should be consolidated wherever possible; it is preferable to have one sign with three messages than three sign on three separate posts with three separate messages. However, types of signs should not be mixed; warning or regulatory signs especially should not be mixed with other types.
