11-0606_SCIENTIFIC RESOURCE SURVEYS_Personal Services AgreementPERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this G day of�, 2011, by and between the San Juan Capistrano Community Redevelopment Ag cy {hereinafter referred to as the "Agency") and Scientific Resource Surveys, Inc (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, Agency desires to retain the services of Consultant regarding the Agency's proposal to provide Archeological and Native American Monitoring of the geotechnical investigation and soils testing of a 4 acre portion of APN 121-050-21; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, Agency and Consultant mutually agree as follows.- Section ollows: Section 1. Scope of Work. The scope of work to be performed by the Consultant shall consist of those tasks as set forth in Exhibit "A," attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 2. Term. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall continue until notified that said services are no longer required, subject to 15 days notice of termination. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed $ 4,825.00, Four Thousand Eight Hundred Twenty -Five Dollars. 3.2 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. The Agency will pay monthly progress payments based on approved invoices in accordance with this Section. 3.3 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to Agency. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of Agency, and shall obtain no rights to any benefits which accrue to Agency's employees. Section 5. Limitations Upon Subcontracting and Assi nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for Agency to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the Agency. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the Agency. If Consultant is permitted to subcontract any part of this Agreement by Agency, Consultant shall be responsible to Agency for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and Agency. All persons engaged in the work will be considered employees of Consultant. Agency will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from Agency is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the Agency, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that; (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by Agency, it shall immediately inform the Agency of this and shall not proceed with further work under this Agreement until written instructions are received from the Agency. iig Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Laver; E -Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E -Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Information pertaining to the E -Verify program can be found at http://www.usciis.Clov, or access the registration page at htt s:/1www.vis®dhs.com/em Bo erregit€, Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the work, Consultant shall have delivered to Agency at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the Agency shall be in reproducible format, or in the format otherwise approved by the Agency in writing. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the Agency. All such reports, information, data, and exhibits shall be the property of the Agency and shall be 3 delivered to the Agency upon demand without additional costs or expense to the Agency, The Agency acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the Agency and its elective or appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in any way connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the Agency, is due to the negligence, recklessness and/or wrongful conduct of Agency, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the Agency, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the Agency. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. M Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14,3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement, Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement naming Agency, its officers, employees, agents, and volunteers as additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded Agency, its officers, employees, agents, or volunteers. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000), Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the Agency's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14,6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to Agency, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14,8 Notice to Proceed. 5 Consultant shall not proceed with any work under this Agreement until the Agency has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. Agency shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice, All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute _Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS") Section 19. Entire Agreement. s A This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. This study will be prepared for compliance with local, state (CEQA) and federal requirements. • SCHEDULE AND COST ESTIMATE The estimated time -and -materials cost for completing this scope of work is based on a flat rate for records searches and an hourly rate for archaeological and Native American monitoring (see Table 1). The formal report will be submitted to the client no later than 5 weeks from the ' completion of field work. If the project exceeds the amount of working days, a change order will be required with an additional purchase order or signed agreement This cost estimate does not include testing to determine site significance, meetings, or mitigation measures such as the completion of a test and evaluation or a data recovery � program. ADDITIONAL WORK The scope of work and estimated cost described above reflects our current understanding of the project requirements. Full compensation for furnishing an archaeological and Native American monitoring program and report preparation, as prescribed in Appendix "A" shall be included in the contract bid item for archaeological and Native American monitoring program. A new schedule of charges is issued at the beginning of each year. Unless other arrangements have been made, charges for all work, including continuing projects initiated in prior years, will be based on the current schedule of charges. When it is necessary for an employee to be away from the office overnight as a result of a project assignment, the average per diem rate will be $150 to $200 in California, depending on the area services are performed, per the U.S. General Services Administration, CIS FIELD! LABORATORY SERVICES Field/ Laboratory services are charged at personnel rates plus equipment charges. Equipment rates such as field instrumentation, surveying equipment, geophysical equipment, laboratory microscopes and measuring equipment, 3-D photography and artifact scanning are contained in a separate schedule that is available on request. SRS field vehicles are charged at a rate of $.55 per mile per IRS guidelines. BRIEF DESCRIPTION OF PROJECT AND RELEVANCE TO THIS CONTRACT (include scope, size and cost) Scientific Resource Surveys, Inc (SRS) has carried out multi -staged investigations over several field seasons for a 20 -year period at CA -ORA -83, commonly known as the Cogged Stone Site and others on Bolsa Chica Mesa. Amateur collectors and archaeological investigations removed hundreds of mystery artifacts known as `Cogged ye Stones' from this site area. In 2007, SRS recovered seven buried caches. These unique artifacts are of unknown function but have been found below the ground surface associated with other items that are known to be used for healing and special functions. This artifact was used roughly 7,500 years ago only on Bolsa Chica Mesa and surrounding site areas as well as Chile, South America. Archival investigation, historic map and aerial photograph reviews were conducted (1981-1982), 3 research designs were written for test excavations, a data recovery program and analytical studies of the hundreds of thousands of collected cultural materials (1983; 1987; 2003); 3 site surveys and 3 surface collections were carried out (1980's); and 5 subsurface excavation programs were completed (1983-4, 1986, 1990-1994, 1999-2003, 2006- 2007). Grading monitoring also occurred on 3 separate occasions for archaeological, historical and paleontological remains. In addition, over 100 human bone concentrations including internments, delayed burials and reburials were removed. Several burials of specialists who produced charmstones and talisman were recovered. A total of 3 reburials have occurred on the property and laboratory analysis is still being conducted for a fourth internment in ' conjunction with 6 factions of the Gabrielino and Juaneno tribal groups. r:s Numerous 'depressions' were located that were roughly circular in diameter representing the remaining subsurface portion of semi -subterranean structures. At a minimum some structures would have protected burial specialists from the environment while they worked. Others were probably used for storage of raw materials, tools and a ornaments in progress, and finished products. There is also evidence that ceremonial houses and areas set aside for ritualistic activities were part of the complex on Bolsa Chica Mesa. There is physical evidence of shallow, circular pits is among the architectural remains on Bolsa Chica Mesa and these have been interpreted as dance r� areas. Radiocarbon dating has shown that The Cogged Stone Site experienced use over a 7,700 -year period that encompasses the entire Miliingstone Horizon, the entire Intermediate Horizon with continued light use into the Late Prehistoric period. A total of 22 reports were written by SRS including 16 agency reports and 6 formal 4� publications. N Special Problems: 1.] The Bolsa Chica Mesa is situated on the boundary line between two tribal groups referred to by the Spanish as Gabrielino and Juaneno. Over the 20 -year period, 6 factions of these groups were assigned to a the project by the Native American Heritage Commission which involved constant participation and coordination by the Principal Investigator, 2.1 Curing grading monitoring, over 70 burials were located outside the site perimeter requiring special procedures in order to remove these quickly before grading equipment reached the areas. Where the soil matrix was cohesive enough to hold together, the area around each burial was trenched and the �3 burial was encased in plaster jackets making `pods', placed on pallets and removed by a Bobcat to the field laboratory. Project Cost, Time and Schedule Controls: Within the last 17 years approximately 10+ million dollars have been spent on the archaeological work, Native American Monitoring, and specialized mechanical equipment for this project. The project was set in phases with yearly budgets that were reviewed on a continual basis by the client. Overruns were related to unexpected burial and house pit finds requiring removal before grading could occur. SRS, Inc. has been re -hired for all 5 major phases of the project indicating project satisfaction. Final laboratory work is on-going. 25. The monitoring was conducted by Scientific Resource Surveys, Inc. who was under contract to Petra Geotechnical, Inc. The project consisted of conducting a records search and monitoring seven boreholes on the subject parcel. The records search conducted by South Central Coastal Information Center yielded 10 cultural resources recorded within a'/ radius of the subject property. Two archaeological monitors, accompanied by one Native American monitor, observed two employees from the drilling company during drilling activities of seven boreholes on the subject parcel. Monitoring activities involved standing alongside the drill rig at a safe distance while observing the soil as the drill penetrated the subsurface. Spoils piles were closely examined for artifacts. If archaeological materials were found, the monitors would halt subsurface activities in order to further investigate and document the findings. Archaeological monitoring resulted in the discovery of nine lithic artifacts on the surface and in the spoils piles. The project area wasnsidered highly sensitive for cultural resources. The site had been determined to be mainly part of the Late Prehistoric/Protohistoric Period, which is described as having markedly smaller projectile points, cremations, the introduction of ceramics, and an emphasis on inland 0 food processing including permanent milling stations on bedrock outcrops. In particular, the site was part of the San Luis Rey Complex, Phase 11 which occurs after 500 BP and the introduction of ceramic technology into the area. r�aa The Phase I resource inventory included a search of California Historical Resources Information Systems (CHRIS) maps, record forms, and technical reports, a review of historical U.S. General Land Office (GLO) and U.S. �� Geological Survey (USGS) maps, a search of historical Bureau of Land Management, General Land Office (BLM- GLO) [and patents, a Native American Heritage Commission (NAHC) Sacred Lands Inventory file check, and an on-site pedestrian field survey of the project area. Phase it Field Work included a multi -step program designed to find all known archaeological resources, historic or prehistoric, in the project area. Once located, the boundaries of the sites were defined through site clearing, surface documentation and limited subsurface hand excavated STPs [Shovel Test Pits]. In addition, one hand excavated unit (1m x 1 m in size) was excavated as part of this boundary assessment program. The unit was placed in the midden in order to assess the integrity of the resource, since there was evidence of historic/modern disturbance to the site area. An ethnographic study occurred simultaneously; and the results, coupled with the ., archaeological findings, were used to address questions and establish. site significance. The site qualified as a significant resource under both Criteria 1 and 3 of the Riverside County General Plan criteria for determining archaeological site significance. It was demonstrated that there was a high probability that the site could add important information to reconstructing the prehistory, protohistory and history of the region. For a this reason, appropriate protective mitigation measures were discussed on-site with elder Vincent Ibanez and Pechanga Cultural Committee Representative and spiritual leader, Raymond Basquez. BRIEF DESCRIPTION OF PROJECT AND RELEVANCE TO THIS CONTRACT (Include scope, size and cost) The 2010 geophysical investigation on the Goodell parcel (6.2 acres) was designed to determine how many of the previous 28 historic structures once located on archaeological site CA -ORA -144 penetrated the surface and stil have structural remains. The first method to accomplish this was to document all visible surface features which included man-made terraces and eight structures consisting of concrete walls and pads. The second step of this investigation involved clearing the terrace edge for profiling soils strata in order to compare anomalies identified in the geophysical data to anomalies located along the side of the bluff. Further, soil profiles would allow investigators to determine the location of the midden and its possible extent or destruction due to fill soils. A total of 16 soil profiles were sampled. The data indicated that the intact midden extended in a linear fashion for approximately 53 meters. Although the soil profiles revealed intact midden along the southern mesa and fill along the northern boundary., intact midden was still a possibility beneath the fill further away from the bluff edge. In order to ascertain whether intact deposits were present on the upper terrace a geophysical program was instituted. QV The third step included a geophysical survey in order to detect historic and prehistoric features on the upper mesa. The geophysical program allowed for rapid collection of data over a large area. This project used Ground Penetrating Radar (GSSI SIR -3000 with a 40OMHz antenna and a Terrain Conductivity Meter (Geonics EM38 Conductivity Meter). A total of 15 grids ranging in size from 10x13m to 40x2Om were surveyed by both GPR and TCM, totaling approximately 28,8OOm2 of data per 'instrument. The data collected by the GPR survey produced results capable of demonstrating several high -amplitude anomalies that are likely indicative of the remains of subsurface structures that once existed on the Goodell parcel. Further, geophysical data indicated low disturbance on the southern upper mesa where soil profiles also showed intact midden. Upon completion of fieldwork, all geophysical, surface and soil profiles data were processed and integrated into a GIS for a cross comparison of the various methods. Integrating geophysical data would also allow for a comparison between aerial photographs and the geophysical data. The data collected during the geophysical survey produced results capable of demonstrating several high amplitude anomalies that are likely indicative of structures that once existed on the Goodell property. Comparison of the data to the aerial photographs demonstrated that several of the anomalies corresponded with structures observed in the aerial photographs. This project provided detail for outlining suspected areas of intact prehistoric deposits, areas of destruction and imported fill materials, areas where historic structural foundations remains are suspected, and areas of apparent sterile soils. Overall, the surface evidence, geophysical data and soils strata all indicated that the central portion of the geophysical study area and northern terrace edge were disturbed.
