09-0915_TEST AMERICA LABORATORIES, INC._Personal Services AgreementPERSONAL SERVICES AGREEMENT THIS AGREEMENT is made, entered into, and shall become effective this 15th day of September, 2009, by and between the City of San Juan Capistrano (hereinafter referred to as the "City") and Test America Laboratories, Inc. (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to provide water quality testing laboratory services; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit' A," attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 2. Term. This Agreement shall commence on the effective date and shall terminate, and all services required hereunder shall be completed, no later than September 15, 2012. The City will consider extending the agreement up to two additional one year extensions based upon mutual agreement of the parties. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed $82,667 annually; total compensation including all expenses, as set forth in Exhibit "B," attached and incorporated herein by reference. 3.2 Rate Schedule. Services shall be billed to the City at the unit cost set forth in proposal schedules (Exhibit "B") attached and incorporated herein by reference. Additional services shall be billed per a schedule of costs submitted by the consultant with his proposal and designated Exhibit "B" attached and incorporated herein by reference. Included within the compensation are all of the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Subject to Section 3.1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. The City will pay monthly progress payments based on approved invoices in accordance with this Section. 3.3 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontractin and Ansi nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant.. City will deal directly with and will make all payments to Consultant. Section S. Changes to Scope of Work. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. K Section 7. Familiarity with Work and/or Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law;„ E -Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government, 9.2. E -Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder. Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Information pertaining to the E -Verify program can be found at http://www.uscis.gov, or access the registration page at https://www.vis-dhs.com/emploverregistration. Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. 0 Section 11. Copies of Work Product. .. At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of.the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in anyway connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 14. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class Vll or GI better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement; If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional, insured endorsement naming City, its officers, employees, agents, and volunteers as additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 0 14.5 Errors and Omissions Coverage [FOR PROFESSIONSIWORK EXCLUDED FROM GENERAL LIABILITY] Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancel Iation/Termination of Insurance The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any.work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). Section 19, Entire Agreement, This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. To maintain a high level of quality, an extensive Quality Assurance Program has been developed. The Quality Assurance Program provides a means by which the integrity of data can be verified and through which TestAmerica can express its goals, policies, and commitment to generating data of the superior quality. Since critical decisions are based on the data produced, it is essential that clear and thorough verification procedures exist and that the laboratory organization and management policies support the goals of the Program. TestAmerica Quality Assurance Program defines the overall policies, organization objectives and functional responsibilities for achieving data quality goals. The Program was developed to ensure compliance with the 2003 National Environmental Laboratory Accreditation Conference (NELAC) standards and ISO/IEC Guide 17025 (1999). In addition, the policies and procedures outlined in the Program Manual are compliant with the various accreditation and certification programs. Each TestAmerica laboratory maintains a local perspective in its scope of services and client relations and maintains a national perspective in terms of quality. It is TestAmerica's policy to continually improve systems and provide support to quality improvement efforts. An Ethics Policy and a Code of Ethical Conduct has been incorporated as part our Quality Assurance Program. Training on ethical and legal responsibilities is provided and each employee signs off on the policy annually as a condition of employment. An example of our Employees Ethics Statement is included at the end of the submittal. The seven elements of TestAmerica's ethics and data integrity program include: 1. Laboratories (ACIL) member, all TestAmerica laboratories adhere to the following ACIL Code of Ethics: 1. Produce results—which which are accurate and include QA/QC information that meets client, pre -defined Data Quality Objectives (DQOs). 2. Present services in a confidential, honest and forthright manner. 3. Provide employees with guidelines and an understanding of the ethical and quality standards of our industry. 4. Operate our facilities in a manner that protects the environment and the health and safety of employees and the public. 5. Obey all pertinent federal, state and local laws and regulations and encourage other members of our industry to do the same. 6. Educate clients as the extent and kinds of services available. 7. Assert competency only for work for which adequate personnel and equipment are available and for which adequate preparation has been made. 8. Promote the status of environmental laboratories, their employees, and the value of services rendered by them. Blind Sampling Programs Each spring and fall quarter, TestAmerica receives check samples from a NIST approved vendor for the Water Supply (WS), Water Pollution (WP) Studies, and Soil studies. In addition, TestAmerica analyzes samples annually for the Daily Monitoring Requirement Quality Assurance (DMR -QA) program. Additional blind check samples are received throughout the year. These evaluations contain a variety of organic and inorganic analytes whose values are unknown to the laboratory. The analytes must be correctly identified and accurately quantitated to maintain our certifications and accreditations. The results of these analyses are kept on file with the Quality Assurance Director/Manager and are available upon request. FAW The Quality Assurance Director is responsible for an annual audit of the laboratory's quality system. All areas of the laboratory are reviewed to ensure that all policies and procedures outlined in the Quality Assurance Program Manual are being implemented. An integral part of this audit is through the evaluation of an internal double blind PT study. Areas of the laboratory that are assessed include, but are not limited to laboratory procedures, purchasing, data processing/handling, project management, complaint resolution, and sample control. In addition, the Quality Assurance Manager performs weekly data audits on randomly selected projects, documents the findings and initiates corrective actions if necessary. This review includes laboratory files, maintenance logs, notebooks and raw data for documentation of all quality control measurements. The notebooks are audited for sample results, calculations, calibration data, and QA/QC recoveries. Copies of corrective action reports, methodology, reagent preparation information, standard operating procedures (SOPS) and method exceptions are also reviewed. Data reporting procedures are also audited to ensure that results are easily traceable. A copy of our Quality Assurance Program Manual, whirl) fully describes our cluality systems, is available upon request. Data Management Capabilities The extensive capabilities of our Laboratory Information Management System (LIMS) allow TestAmerica to manage data effectively, deliver a variety of data deliverable products and provide a strategic advantage to our clients in managing their projects. Laboratory Sample & Database Management Our powerful LIMS includes modules that integrate all pertinent information about each client's projects. Based on Microsoft SQL Database software, TestAmerica has created a management system specific to meeting the needs of our clients and improving internal efficiency. Our LIMS provides us with a powerful tool that is utilized to track and manage sample flow, enhances quality control, and provides the platform for hardcopy and electronic data reporting. A major advantage of our system is the ability to integrate sample data from all of our laboratories. This allows us to provide our clients with a single deliverable that compiles all of the results, including electronic data deliverables. Sample Tracking Module As samples are received at the laboratory, they are logged into a database that immediately assigns a unique laboratory identification number to each sample. With this laboratory ID number, samples can be monitored through every stage, providing an accurate account of sample status from analysis to QA review to report generation and through sample disposal. Our clients can also view status on-line via our web -site. Project Management Module The client database developed within this module is linked directly with the sample - tracking module. Project specifications, including price quotes, turnaround time, analytes of interest, specific reporting limits, permit limits, and/or holding times, are stored for each individual project. This information is also linked to all other modules to provide the Analysts, QA department, Project Managers, and Invoice Processor with accurate information concerning projects. Project Managers can monitor the status of samples through every stage of the analytical, approval and reporting process through this module. Data Integrity Module Nearly all instruments at TestAmerica are equipped with computerized data management programs and instrument control systems. We have the capability to automatically transfer data directly into the LIMS, reducing or eliminating transcription errors. The Microsoft SQL server is set up to provide safeguards against multiple entries of the same data, unauthorized entries, or unauthorized users. While the data may be entered manually for non -computer linked analyses or uploaded automatically from computer linked analyses, the data is not reported until a Department Supervisor and/or Senior Chemist has reviewed it. After the data has been approved, the system will not allow any manual changes to the data without proper authorization. All changes made are automatically documented. TestAmerica also utilizes software (Mint MinerTM) to perform electronic evaluations of GCMS and GC raw data to help ensure the integrity of reported data. This evaluation is performed during the second level data review process and also during random audits by the quality assurance department. Mint Miner is a trademark of CequeLogic, LLC Report & EDD Generation Upon completion of data review and approval, the Project Managers utilize the report module to generate reports and EDDs. All of our electronic deliverables obtain their data from the same data source as the reports, which insures data integrity between the hard copy and electronic versions of the data. Electronic Data Deliverables (EDD) processing is automated through the LIMS reporting module and EDDS are created at the time the final reports are generated. TestAmerica is able to provide laboratory results in a variety of electronic formats. Data may be transferred automatically from the LIMS into virtually any electronic format including but not limited to QHS EDT Write -On, ASCII, Access, EDF, FoxPro, Paradox, Geotracker (CA SWRCB format), Excel, Lotus, and Comma Delimited. In addition to the standard formats, custom EDD formats can be developed to specifically meet the client's needs. EDDs allow clients to populate databases and effectively generate final report tables, saving time and money. Compliance Verification Reports TestAmerica has developed a program that allows analytical results to be compared to pre-set limits provided by clients. A copy of the compliance report can be included with the final report package. QA Review Levels TestAmerica routinely provides a Tier II report package. For projects that require a more in-depth validation of data, TestAmerica can provide different levels of documentation, including Tier III and IV packages. Data Verification TestAmerica utilizes several approaches for recognizing anomalous results including: • Project Set-up 4 Documentation • Communication • Compliance verification ® Final review As part of the project set-up, the project manager will discuss with the client the background and nature of the samples. For groundwater samples historical data may be requested so the analytical staff are informed of the potential need for dilutions, clean-up methods or other precautions. By understanding what the expected results are, the laboratory can immediately recheck results and alert the client when unexpected results are found. Project information is entered into our laboratory Information Management System (LIMS) that includes test methods, target analyte lists, reporting limits, pricing, and project specific notes. The project managers can setup individual projects for various types of sampling events, adding specific information about each project. Our ability to store information and utilize the test information and comments each time samples arrive ensures that project requirements will be maintained throughout the duration of the project. The project managers and laboratory supervisors meet daily to discuss status and communicate any critical needs. This forum allows the project managers an opportunity to reiterate special needs and query results. The project managers can also utilize the LIMS to check results and status on an on-going basis. TestAmerica has developed a compliance checker program that allows the project manager to run a query that compares the analytical results against a set of predetermined limits set by the client. Upon completion a report is generated that lists any results outside the limits. This report is provided with the final report. A final check of results is done during the project manager's review of the completed report. The project manager checks for completeness, performs a reasonability check, and writes a case narrative to accompany the report. TestAmerica will utilize all of these systems and make every effort to immediately recheck results and quickly disseminate this information to the appropriate contact. In the event that questions arise regarding data validity, the laboratory will verify results and re -run samples if deemed necessary. Revised reports and EDDs will be issued for any samples that required re -analysis, upon mutual determination that the original results were anomalous or invalid. Data Delivery Options As an environmentally responsible company, TestAmerica encourages our clients to use paperless deliverables whenever possible. All of our final reports, chain -of custody documents, and invoices are available electronically via our web -site, free of charge. We can also provide validation packages on compact disk in lieu of a hardcopy data package. Internet Services TestAmerica's TotalAccess services, available through our web -site at testamericainc.com offer our clients fast secure access to data and information twenty- four hours a day. With TotalAccess our clients can: • Receive e-mail notices when new work -orders are received (sample receipt confirmation) and when Reports and Downloads become available. • View Work -orders, Project status, Results, Quotes & Invoices • Search for results by project name, sample date, sample name or results status. • Download reports, Electronic Data Deliverables (EDDs), signed Chain -of - Custody forms. • Access method descriptions, reporting limits, quality control criteria, analysis holding time information, and sample preservation guidelines. We have organized a team of professionals that will work together to fulfill all of the project requirements and meet the delivery schedule, from field services through data reporting and invoicing. Biographical summaries, following this section, illustrate the technical strength and experience of our project team' and management staff. Key to providing outstanding service to the City is the experience and availability of our technical staff. In addition to analytical services, our technical staff will be available for consultative services related to testing services and to provide technical presentations and training support to the City. Following is a detailed summary of project team member's responsibilities. Product Manager — Cam Pham. Ms. Pham's primary role is to maintain productive relationships between the clients and the TestAmerica organization. Ms. Pham has over twenty years of experience in the environmental laboratory industry and she has an in depth understanding of analytical testing programs. Her primary function will be to serve as the client advocate and facilitate compliance with all technical and contractual matters. She will work with the Project Managers, supported by Corporate Managers to make certain that both technical and administrative details are understood and followed. Prior to the start of field activities Ms. Pham will arrange and participate in internal and external project kick-off meetings if necessary. She will be readily assessable to the City for on-site meetings to discuss new analytical programs and the effectiveness of our analytical services. Project Manager — Aaron Harris. Mr. Harris will be the primary client contact for nearly all project -related issues. Mr. Harris is an experienced Project Manager as he has been working in the environmental field since 2004. He will serve as the liaison between the City and other project team representatives and our technical staff members, communicating analytical needs as well as general administrative and technical issues. The suite of responsibilities that Aaron will perform include the following: • Review all project documents and address any discrepancies or concerns. • Participate in project start-up meeting (s) with the client before project initiation. • Establish a list of pertinent client contacts to ensure clear channels of, communication for all project inquiries and deliverables. • Set-up the project in Element, our Laboratory Information Management System. This is the first key step to documenting and storing the project specific methods, target analytes, limits and EDD formats. • Be responsive at all times to the inquiries from The City and /or their representatives. ® Communicate project objectives, tasks and deadlines to all laboratory team members and technical staff. • Coordinate delivery of samples to outside subcontract laboratories. • Communicate and resolve any discrepancies between the Chain of Custody and the sample delivery. • Approve sample receipt (Workorder) within 24 hours of sample receipt at the Irvine laboratory. • Track work in progress and communicate any problems or issues to The City and for their representatives and ensure resolutions are implemented. Provide final review and approval of analytical reports, EDDS, and invoices. Initiate corrective action for any non-compliance issues related to customer service. Quality Assurance Manager — Dave Dawes. The Quality Assurance (QA) Manager is responsible for the implementation and review of the Quality Assurance Program throughout the TestAmerica network including the review of all quality control (QC) procedures and audits for all of the TestAmerica facilities. The QA Manager reviews and approves QA plans and procedures and provides technical assistance and corrective action guidance to laboratory. The QA Manager performs a monthly QA review of the laboratory facility and provides feedback to the management staff. In addition, it is the responsibility of the Quality Assurance Manager to create and maintain documentation pertaining to the Quality Assurance Program, such as the Quality Assurance Program Manual (QAPM) and Standard Operating Procedures (SOPs). The Quality Assurance Manager also performs or arranges for annual technical performance audits to assure that the requirements of the Quality Assurance Program are met and report any quality system deficiencies to the laboratory management. Dave will ensure that any QA/QC issues are responded to promptly and he is also available to The City as a technical resource. Laboratory Director — Fred . Haley. The Laboratory Director's responsibility will be to ensure that all resources are available to the Project Managers and Supervisors to carry out the required scope of services. Field Services Support Courier Services To guarantee that samples are picked up in a timely manner and to ensure that sample custody and integrity is maintained, TestAmerica provides courier services for bottle orders and sample pick-up through our trained in-house staff. Our Project Managers communicate closely with the couriers to ensure that schedules will allow for pick-up and return of samples with short holding times. With a staff of eleven (11) in-house couriers, we are able to quickly respond to changes in field schedules. TestAmerica will provide routine, pre -scheduled sample pick-up and supply delivery to the City, Monday to Friday during business hours, at no additional cost. Sample Kits TestAmerica has integrated our bottle order process with our project management module of our Laboratory Information Management System (LIMS). This allows for project managers to quickly generate bottle orders that match the specific analytical methods established for each client project. This also allows project managers to provide an "inventory" of bottles that are included in each bottle order. Our neatly organized kits are stocked with properly preserved sample containers and are provided in clean coolers with chain -of custody documents and sampling instructions. The sampling kits will include ice chests, packing material and pre -labeled sample containers with preservatives corresponding to the constituents being tested. We also include temperature blanks to verify that samples are received chilled according to required sample preservation guidelines. Trip Blanks will be provided if volatile organic analyses are required. Chain of Custody TestAmerica maintains written policies and procedures to ensure that Chain -of Custody (CoC) is maintained. A complete description of TestAmerica's sample handling, chain -of custody, documentation and sample receiving polices can be found in our Quality Assurance Program Manual. TestAmerica Project Manager will notify The City to resolve any discrepancies or inconstancies with the samples. A work -order acknowledgement will be provided within 24 hours of receipt of samples via our on-line data services, TotalAccess. In addition, TotalAccess provides an e-mail notification for new work -orders and allows viewing of the work -order and signed copies of chain -of custody documents. A complete, signed copy will also be provided with the final report. Sampling Services Wellhead, Composite and Grab sampling services are available by our trained, in-house staff. TestAmerica maintains numerous automatic samplers that are available for field sampling. All of our field samplers are employees of TestAmerica and they're very familiar with field sampling including composite monitoring utilizing ISCO samplers, chlorine reading, Coliform and wellhead sampling. In addition, all of our samplers have demonstrated their proficiency prior to being able to perform the sampling independently. The procedures performed by our technicians in the field are carried out according to TestAmerica's Field Sampling Standard of Operating Procedure (SOPj in a professional and courteous manner. Network Labs TestAmerica makes every effort to perform all analyses within the TestAmerica network. Internal sharing of samples within TestAmerica is a seamless process. Work can be done at multiple locations, but the client will only receive one report, one invoice and one Electronic Data Deliverable (EDD) (with all of the information combined). Currently, samples are being transported between the Irvine and Colton facilities at least twice daily. We have established processes that eliminate duplication in effort, reducing the chance for transcription errors and increasing the quality of services. Many of these benefits are derived from our advanced Laboratory Information Management System (LIMS). Some examples include: Sample Control at one facility can export a copy of the work order, which contains all sample and analysis information from the chain of custody, which can then be imported by sample receiving at another location when logging in samples. Chain of Custody documents for subcontracting are automatically generated from our LIMS system. Such report shall be given both orally and in writing to the supervisor or other member of management contacted and to the local Quality Assurance Officer/Manager. The Quality Assurance Officer/Manager will initial and date the information and return a copy to me; 1 shall not condone any accidental or intentional reporting of inauthentic data by other employees and will immediately report its occurrence. If I have actual knowledge of such acts committed by any other employees, and 1 do not report such information to designated members of Management, it shall be considered as serious as if I personally committed the offense. SITUATION: In order to ensure that tap water is safe to drink, the United States Environmental Protection Agency (USEPA) and the California Department of Public Health (CDPH) prescribe to regulations that limit the amount of certain contaminants in water provided by public water systems. These standards set limits for substances that may affect consumer health or the aesthetic qualities of drinking water. Water agencies are required to continuously perform an intensive set of tests of their water at locations throughout their source, distribution and storage systems to confirm that the water that they provide meets the requirements set out by the regulatory agencies. The locations, frequency and water sampling analyses that are performed on the City's water system facilities are listed on Attachment 1. As one can observe, the tests are thorough and begin at each of the sources of supply and proceed throughout the distribution pipelines and then at each of the storage reservoirs. The City's Annual Water Quality Report is distributed to all water customers in June of each year and is available on the City's website. The City contracts out the required water quality testing to licensed certified testing laboratories. Requests for Proposal are performed every three to five years to ensure that he City is receiving competitive pricing for these services. Typically, in the past, separate contracts were let for well, distribution system and special testing (such as MtBE). In an effort to increase efficiency and reduce costs, staff has combined all required water testing in one Request for Proposal for the next contract. On June 1, 2009, the City solicited bids for its Comprehensive Water Quality Testing contract from five highly regarded local testing laboratories. On June 15, 2009, the City received proposals from the five firms (Attachment 2): AGENDA REPORT Paqe 2 September 15, 2009 Firm Total Edward Babcock & Sons $78,364 Test America $82,667 Clinical Labs $90,944 Truesdail $97,977 Del Mar Analytical Inc. $107,145 All the proposals were competitive with regards to cost and the reputation of the laboratories. Staff recommends award of the Comprehensive Water Quality Testing contract to Test America in the amount of $82,667. Although $3,300 more than the low bidder, Test America's cost for pickup and delivery of additional samples was considerably lower than Babcock & Sons. Also, Test America's laboratory is located in Irvine making it convenient for City Operations personnel to pickup or deliver special samples that are inevitably required during the year. Babcock's facilities are located in Riverside. Test America holds both Environmental Laboratory Accreditation Program (FLAP) and National Environmental Laboratory Accreditation Program (NELAP) certifications, an excellent QA/QC program, and Electronic Data Transfer (EDT) submittal to the CDPH. Test America has performed the City's well testing for the past four years and the City has received exceptional service from them over that period. COMMISSION/BOARD REVIEW AND RECOMMENDATIONS: The Utilities Commission was updated on this project at their August 25, 2009 meeting. FINANCIAL CONSIDERATIONS: The 2009/2010 City Budget provides a total of $148,000 for Water Quality Lab Testing in account 62-94752-62513-00000-000. The cost submitted by Test America falls within the budgeted amount. By combining all City water quality testing under one contract the Utilities Department is able to realize an annual savings of $65,000. The agreement is for three years with two one year options. (hereinafter referred to as the "Consultant"). RECITALS: WHEREAS, City desires to, retain the services of Consultant regarding the City's proposal to provide water quality testing laboratory services; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit "'A," attached and incorporated herein by reference. To the extent that there are any conflicts between the provisions described in Exhibit "A" and those provisions contained within this Agreement, the provisions in this Agreement shall control. Section 2. Term. This Agreement shall commence on the effective date and shall terminate, and all services required hereunder shall be completed, no later than September 15, 2012. The City will consider extending the agreement up to two additional one year extensions based upon mutual agreement of the parties. Section 3. Compensation. 3.1 Amount. Total compensation for the services hereunder shall not exceed $82,667 annually; total compensation including all expenses, as set forth in Exhibit "B," attached and incorporated herein by reference. 3.2 Rate Schedule. Services shall be billed to the City at the unit cost set forth in proposal schedules (Exhibit "B") attached and incorporated herein by reference. Additional services shall be billed per a schedule of costs submitted by the consultant with his proposal and designated Exhibit "B" attached and incorporated herein by reference. Included within the compensation are all of the Consultant's ordinary office and overhead expenses incurred ATTACHMENT 3 by it, its agents and employees, including meetings with City representatives and incidental costs to perform the stipulated services, Submittals shall be in accordance with Consultant's proposal. 1111 iiiiiliiiillllllll Subject to Section 3.1, Consultant shall submit monthly invoices based on total services which have been satisfactorily completed for such monthly period. The City will pay monthly progress payments based on approved invoices in accordance with this Section. 3.3 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assi nment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement. by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. Ali persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. By executing this Agreement, Consultant warrants that. (1) it has investigated the work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work to be performed under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform the City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 99. Compliance with Law; E -Verify. 9.1. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 9.2. E -Verify. If Consultant is not already enrolled in the U.S. Department of Homeland Security's E -Verify program, Consultant shall enroll in the E -Verify program within fifteen days of the effective date of this Agreement to verify the employment authorization of new employees assigned to perform work hereunder, Consultant shall verify employment authorization within three days of hiring a new employee to perform work under this Agreement. Consultant shall certify its registration with E -Verify and provide its registration number within sixteen days of the effective date of this Agreement. Failure to provide certification will result in withholding payment until full compliance is demonstrated. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. 3 At the completion of the work, Consultant shall have delivered to City at least one (1) copy of any final reports and/or notes or drawings containing Consultant's findings, conclusions, and recommendations with any supporting documentation. All reports submitted to the City shall be in reproducible format, or in the format otherwise approved by the City in writing. Section 12. Ownerships of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Incl. To the fullest extent permitted by law, Consultant agrees to protect, defend, and hold harmless the City and its elective and appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorneys' fees, for injury or death of any person, or damages of any nature, including interference with use of property, arising out of, or in anyway connected with the negligence, recklessness and/or intentional wrongful conduct of Consultant, Consultant's agents, officers, employees, subcontractors, or independent contractors hired by Consultant in the performance of the Agreement. The only exception to Consultant's responsibility to protect, defend, and hold harmless the City, is due to the negligence, recklessness and/or wrongful conduct of the City, or any of its elective or appointive boards, officers, agents, or employees. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by Consultant. Section 1. Insurance. On or before beginning any of the services or work called for by any term of this Agreement, Consultant, at its own cost and expense, shall carry, maintain for the duration of the agreement, and provide proof thereof that is acceptable to the City, the insurance specified below with insurers and under forms of insurance satisfactory in all respects to the City. Consultant shall not allow any subcontractor to commence work on any subcontract until all insurance required of the Consultant has also been obtained for the subcontractor. Insurance required herein shall be provided by Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VI I or M better. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in an amount not less than one million dollars per occurrence ($1,000,000.00), combined single limit coverage for risks associated with the work contemplated by this agreement. If a Commercial General Liability Insurance form or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this agreement or the general aggregate limit shall be at least twice the required occurrence limit, 14.2 Comprehensive Automobile Liability. . Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in an amount not less than one million dollars per occurrence ($1,000,000.00). 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement naming City, its officers, employees, agents, and volunteers as additional insureds as respects each of the following: Liability arising out of activities performed by or on behalf of Consultant, including the insured's general supervision of Consultant; products and completed operations of Consultant; premises owned, occupied or used by Consultant; or automobiles owned, leased, hired, or borrowed by Consultant. The coverage shall contain no special limitations on the scope of protection afforded City, its officers, employees, agents, or volunteers. 5 14.5 Errors and Omissions Coverage [FOR PROFESSIONSIWORK EXCLUDED FROMLIABILITY] Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancellation/Termination of Insurance The above policylpolicies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to Consultant. In addition, this Agreement may be terminated by any party for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). Section 19. Entire Agreement. This kind of careful planning has been and will continue to be a key factor in our growth. TestAmerica maintains multiple instruments in most analytical areas of the laboratory. Duplication of methods and method certifications can also be provided within the Network. By having multiple instrumentation and back-up facilities available for all test methods, we can maintain sample capacity to ensure on-time delivery of results. The following table demonstrates the level of analytical expertise with some of the key analytical parameters required under the proposed contract: Quality Assurance Program TestAmerica is committed to providing quality analytical services to all of our clients. To maintain a high level of quality, an extensive Quality Assurance Program has been developed. The Quality Assurance Program provides a means by which the integrity of data can be verified and through which TestAmerica can express its goals, policies, and commitment to generating data of the superior quality. Since critical decisions are based on the data produced, it is essential that clear and thorough verification procedures exist and that the laboratory organization and management policies support the goals of the Program. TestAmerica Quality Assurance Program defines the overall policies, organization objectives and functional responsibilities for achieving data quality goals. The Program was developed to ensure compliance with the 2003 National Environmental Laboratory Accreditation Conference (NELAC) standards and ISO/IEC Guide 17025 (1999). In addition, the policies and procedures outlined in the Program Manual are compliant with the various accreditation and certification programs. Each TestAmerica laboratory maintains a local perspective in its scope of services and client relations and maintains a national perspective in terms of quality. It is TestAmerica's policy to continually improve systems and provide support to quality improvement efforts. The company recognizes that the implementation of a quality assurance program requires management's commitment and support as well as the involvement of the entire staff. Every staff member plays an integral part in quality assurance and is held responsible and accountable for the quality of their work. Ethics & Data Integrity In all aspects of the laboratory and business operations, management is dedicated to maintaining the highest ethical standards. An Ethics Policy and a Code of Ethical Conduct has been incorporated as part our Quality Assurance Program. Training on ethical and legal responsibilities is provided and each employee signs off on the policy annually as a condition of employment. An example of our Employees Ethics Statement is included at the end of the submittal. The seven elements of TestAmerica's ethics and data integrity program include: 1. Present services in a confidential, honest and forthright manner. 3. Provide employees with guidelines and an understanding of the ethical and quality standards of our industry. 4. Operate our facilities in a manner that protects the environment and the health and safety of employees and the public. 5. Obey all pertinent federal, state and local laws and regulations and encourage other members of our industry to do the same. 6. Educate clients as the extent and kinds of services available. 7. Assert competency only for work for which adequate personnel and equipment are available and for which adequate preparation has been made. 8. Promote the status of environmental laboratories, their employees, and the value of services rendered by them, Blind Sampling Programs Each spring and fall quarter, TestAmerica receives check samples from a NIST approved vendor for the Water Supply (WS), Water Pollution (WP) Studies, and Soil studies. In addition, TestAmerica analyzes samples annually for the Daily Monitoring Requirement Quality Assurance (DMR -QA) program. Additional blind check samples are received throughout the year. These evaluations contain a variety of organic and inorganic analytes whose values are unknown to the laboratory. The analytes must be correctly identified and accurately quantitated to maintain our certifications and accreditations. The results of these analyses are kept on file with the Quality Assurance Director/Manager and are available upon request. Audits The Quality Assurance Director is responsible for an annual audit of the laboratory's quality system. All areas of the laboratory are reviewed to ensure that all policies and procedures outlined in the Quality Assurance Program Manual are being implemented. An integral part of this audit is through the evaluation of an internal double blind PT study. Areas of the laboratory that are assessed include, but are not limited to laboratory procedures, purchasing, data processing/handling, project management, complaint resolution, and sample control. In addition, the Quality Assurance Manager performs weekly data audits on randomly selected projects, documents the findings and initiates corrective actions if necessary. This review includes laboratory files, maintenance logs, notebooks and raw data for documentation of all quality control measurements. The notebooks are audited for sample results, calculations, calibration data, and QA/QC recoveries. Copies of corrective action reports, methodology, reagent preparation information, standard operating procedures (SOPs) and method exceptions are also reviewed. Data reporting procedures are also audited to ensure that results are easily traceable. A copy of our Quality Assurance Program Manual, which fully describes our quality systems, is available upon request. Data Management Capabilities The extensive capabilities of our Laboratory Information Management System (LIMS) allow TestAmerica to manage data effectively, deliver a variety of data deliverable products and provide a strategic advantage to our clients in managing their projects. Laboratory Sample & Database Management Our powerful LIMS includes modules that integrate all pertinent information about each client's projects. Based on Microsoft SQL Database software, TestAmerica has created a management system specific to meeting the needs of our clients and improving internal efficiency. Our LIMS provides us with a powerful tool that is utilized to track and manage sample flow, enhances quality control, and provides the platform for hardcopy and electronic data reporting. A major advantage of our system is the ability to integrate sample data from all of our laboratories. This allows us to provide our clients with a single deliverable that compiles all of the results, including electronic data deliverables. Sample Tracking Module As samples are received at the laboratory, they are logged into a database that immediately assigns a unique laboratory identification number to each sample. With this laboratory ID number, samples can be monitored through every stage, providing an accurate account of sample status from analysis to QA review to report generation and through sample disposal. Our clients can also view status on-line via our web -site. Project Management Module The client database developed within this module is linked directly with the sample - tracking module. Project specifications, including price quotes, turnaround time, analytes of interest, specific reporting limits, permit limits, and/or holding times, are stored for each individual project. This information is also linked to all other modules to provide the Analysts, QA department, Project Managers, and Invoice Processor with accurate information concerning projects. Project Managers can monitor the status of samples through every stage of the analytical, approval and reporting process through this module. Data Integrity Module Nearly all instruments at TestAmerica are equipped with computerized data management programs and instrument control systems. We have the capability to automatically transfer data directly into the LIMS, reducing or eliminating transcription errors. The Microsoft SQL server is set up to provide safeguards against multiple entries of the same data, unauthorized entries, or unauthorized users. While the data may be entered manually for non -computer linked analyses or uploaded automatically from computer linked analyses, the data is not reported until a Department Supervisor and/or Senior Chemist has reviewed it. After the data has been approved, the system will not allow any manual changes to the data without proper authorization. All changes made are automatically documented. TestAmerica also utilizes software (Mint MinerTM) to perform electronic evaluations of GCMS and GC raw data to help ensure the integrity of reported data. This evaluation is performed during the second level data review process and also during random audits by the quality assurance department. Mint Miner is a trademark of CequeLogic, LLC Report & EDD Generation Upon completion of data review and approval, the Project Managers utilize the report module to generate reports and EDDs. All of our electronic deliverables obtain their data from the same data source as the reports, which insures data integrity between the hard copy and electronic versions of the data. Electronic Data Deliverables (EDD) processing is automated through the LIMS reporting module and EDDS are created at the time the final reports are generated. TestAmerica is able to provide laboratory results in a variety of electronic formats. Data may be transferred automatically from the LIMS into virtually any electronic format including but not limited to DHS EDT Write -On, ASCII, Access, EDF, FoXPro, Paradox, Geotracker (CA SWRCB format), Excel, Lotus, and Comma Delimited. In addition to the standard formats, custom EDD formats can be developed to specifically meet the client's needs. EDDs allow clients to populate databases and effectively generate final report tables, saving time and money. Compliance Verification Reports TestAmerica has developed a program that allows analytical results to be compared to pre-set limits provided by clients. A copy of the compliance report can be included with the final report package. CSA Review Levels TestAmerica routinely provides a Tier II report package. For projects that require a more in-depth validation of data, TestAmerica can provide different levels of documentation, including Tier III and IV packages. Data Verification TestAmerica utilizes several approaches for recognizing anomalous results including: • Project Set-up • Documentation ® Communication Compliance verification ® Final review As part of the project set-up, the project manager will discuss with the client the background and nature of the samples. For groundwater samples historical data may be requested so the analytical staff are informed of the potential need for dilutions, clean-up methods or other precautions. By understanding what the expected results are, the laboratory can immediately recheck results and alert the client when unexpected results are found. Project information is entered into our laboratory Information Management System (LIMS) that includes test methods, target analyte lists, reporting limits, pricing, and project specific notes. The project managers can setup individual projects for various types of sampling events, adding specific information about each project. Our ability to store information and utilize the test information and comments each time samples arrive ensures that project requirements will be maintained throughout the duration of the project. The project managers and laboratory supervisors meet daily to discuss status and communicate any critical needs. This forum allows the project managers an opportunity to reiterate special needs and query results. The project managers can also utilize the LIMS to check results and status on an on-going basis. TestAmerica has developed a compliance checker program that allows the project manager to run a query that compares the analytical results against a set of predetermined limits set by the client. Upon completion a report is generated that lists any results outside the limits. This report is provided with the final report. A final check of results is done during the project manager's review of the completed report. The project manager checks for completeness, performs a reasonability check, and writes a case narrative to accompany the report. TestAmerica will utilize all of these systems and make every effort to immediately recheck results and quickly disseminate this information to the appropriate contact. In the event that questions arise regarding data validity, the laboratory will verify results and re -run samples if deemed necessary. Revised reports and EDDs will be issued for any samples that required re -analysis, upon mutual determination that the original results were anomalous or invalid. Data Delivery Options As an environmentally responsible company, TestAmerica encourages our clients to use paperless deliverables whenever possible. All of our final reports, chain -of custody documents, and invoices are available electronically via our web -site, free of charge. We can also provide validation packages on compact disk in lieu of a hardcopy data package. Internet Services TestAmerica's TotalAccess services, available through our web -site at testamericainc.com offer our clients fast secure access to data and information twenty- four hours a day. With TotalAccess our clients can: • Receive e-mail notices when new work -orders are received (sample receipt confirmation) and when Reports and Downloads become available. • View Work -orders, Project status, Results, Quotes & Invoices • Search for results by project name, sample date, sample name or results status. • Download reports, Electronic Data Deliverables (EDDs), signed Chain -of - Custody forms. • Access method descriptions, reporting limits, quality control criteria, analysis holding time information, and sample preservation guidelines. We have organized a team of professionals that will work together to fulfill all of the project requirements and meet the delivery schedule, from field services through data reporting and invoicing. Biographical summaries, following this section, illustrate the technical strength and experience of our project team and management staff. Key to providing outstanding service to the City is the experience and availability of our technical staff. In addition to analytical services, our technical staff will be available for consultative services related to testing services and to provide' technical presentations and training support to the City. Following is a detailed summary of project team member's responsibilities. Product Manager -- Cam Pham. Ms. Pham's primary role is to maintain productive relationships between the clients and the TestAmerica organization. Ms. Pham has over twenty years of experience in the environmental laboratory industry and she has an in depth understanding of analytical testing programs. Her primary function will be to serve as the client advocate and facilitate compliance with all technical and contractual matters. She will work with the Project Managers, supported by Corporate Managers to make certain that both technical and administrative details are understood and followed. Prior to the start of field activities Ms. Pham will arrange and participate in internal and external project kick-off meetings if necessary. She will be readily assessable to the City for on-site meetings to discuss new analytical programs and the effectiveness of our analytical services. Project Manager — Aaron Harris. Mr. Harris will be the primary client contact for nearly all project -related issues. Mr, Harris is an experienced Project Manager as he has been working in the environmental field since 2004. He will serve as the liaison between the City and other project team representatives and our technical staff members, communicating analytical needs as well as general administrative and technical issues. The suite of responsibilities that Aaron will perform include the following: W Review all project documents and address any discrepancies or concerns. Participate in project start-up meeting (s) with the client before project initiation. Establish a list of pertinent client contacts to ensure clear channels of communication for all project inquiries and deliverables. Set-up the project in Element, our Laboratory Information Management System. This is the first key step to documenting and storing the project specific methods, target analytes, limits and EDD formats. Be responsive at all times to the inquiries from The City and /or their representatives. ® Communicate project objectives, tasks and deadlines to all laboratory team members and technical staff. ® Coordinate delivery of samples to outside subcontract laboratories. Communicate and resolve any discrepancies between the Chain of Custody and the sample delivery. Approve sample receipt (Workorder) within 24 hours of sample receipt at the Irvine laboratory. ® Track work in progress and communicate any problems or issues to The City and /or their representatives and ensure resolutions are implemented. Provide final review and approval of analytical reports, EDDS, and invoices. Initiate corrective action for any non-compliance issues related to customer service. Quality Assurance Manager — Dave Dawes. The Quality Assurance (QA) Manager is responsible for the implementation and review of the Quality Assurance Program throughout the TestAmerica network including the review of all quality control (QC) procedures and audits for ail of the TestAmerica facilities. The QA Manager reviews and approves QA plans and procedures and provides technical assistance and corrective action guidance to laboratory. The QA Manager performs a monthly QA review of the laboratory facility and provides feedback to the management staff. In addition, it is the responsibility of the Quality Assurance Manager to create and maintain documentation pertaining to the Quality Assurance Program, such as the Quality Assurance Program Manual (QAPM) and Standard Operating Procedures (SOPs). The Quality Assurance Manager also performs or arranges for annual technical performance audits to assure that the requirements of the Quality Assurance Program are met and report any quality system deficiencies to the laboratory management. Y Our Laboratory Information Management System (CIMS) provides the tools for tracking samples from the point of login through report generation. This allows the staff to manage sample flow and workload throughout the laboratory. We monitor our TAT and make operational and or system changes if necessary to ensure on-time performance. Field Services Support Courier Services To guarantee that samples are picked up in a timely manner and to ensure that sample custody and integrity is maintained, TestAmerica provides courier services for bottle orders and sample pick-up through our trained in-house staff. Our Project Managers communicate closely with the couriers to ensure that schedules will allow for pick-up and return of samples with short holding times. With a staff of eleven (11) in-house couriers, we are able to quickly respond to changes in field schedules. TestAmerica will provide routine, pre -scheduled sample pick-up and supply delivery to the City, Monday to Friday during business hours, at no additional cost. Sample Kits TestAmerica has integrated our bottle order process with our project management module of our Laboratory Information Management System (LIMS). This allows for project managers to quickly generate bottle orders that match the specific analytical methods established for each client project. This also allows project managers to provide an "inventory" of bottles that are included in each bottle order. Our neatly organized kits are stocked with properly preserved sample containers and are provided in clean coolers with chain -of custody documents and sampling instructions. The sampling kits will include ice chests, packing material and pre -labeled sample containers with preservatives corresponding to the constituents being tested. We also include temperature blanks to verify that samples are received chilled according to required sample preservation guidelines. Trip Blanks will be provided if volatile organic analyses are required. Chain of Custody TestArnerica maintains written policies and procedures to ensure that Chain -of Custody (CoC) is maintained. A complete description of TestAmerica'S sample handling, chain -of custody, documentation and sample receiving polices can be found in our Quality Assurance Program Manual. TestAmerica Project Manager will notify The City to resolve any discrepancies or inconstancies with the samples. A work -order acknowledgement will be provided within 24 hours of receipt of samples via our on-line data services, TotalAccess. In addition, TotalAccess provides an e-mail notification for new work -orders and allows viewing of the work -order and signed copies of chain -of custody documents. A complete, signed copy will also be provided with the final report. Sampling Services Wellhead, Composite and Grab sampling services are available by our trained, in-house staff. TestAmerica maintains numerous automatic samplers that are available for field sampling. All of our field samplers are employees of TestAmerica and they're very familiar with field sampling including composite monitoring utilizing ISCO samplers, chlorine reading, Coliform and wellhead sampling. In addition, all of our samplers have demonstrated their proficiency prior to being able to perform the sampling independently. The procedures performed by our technicians in the field are carried out according to TestAmerica's Field Sampling Standard of Operating Procedure (SOP) in a professional and courteous manner. TestAmerica makes every effort to perform all analyses within the TestAmerica network. Internal sharing of samples within TestAmerica is a seamless process. Work can be done at multiple locations, but the client will only receive one report, one invoice and one Electronic Data Deliverable (EDD) (with all of the information combined). Currently, samples are being transported between the Irvine and Colton facilities at least twice daily. We have established processes that eliminate duplication in effort, reducing the chance for transcription errors and increasing the quality of services. Many of these benefits are derived from our advanced Laboratory Information Management System (LIMS). Some examples include: Sample Control at one facility can export a copy of the work order, which contains all sample and analysis information from the chain of custody, which can then be imported by sample receiving at another location when logging in samples. Chain of Custody documents for subcontracting are automatically generated from our LIMS system. Customized comments can be automatically added to provide subcontract laboratories with detailed information about the project such as client specific requirements. Initially, the relationship started in 1991 when I was the Laboratory Director for MacDonald Stephens Laboratories, and the same relationship continued with Sierra Analytical Labs, Inc. The laboratory has always maintained the same location with nearly 60% of the original staff from 1991 still working for Sierra today. our relationship with the City has always been positive with your staff, including Glen Garret, Jeff Romero, Eric Bauman and stay 'Vaughn. back in the early years when it was Capistrano Valley Water. Sierra has always provided the service and met the needs of the Water District, We have been interactive with your staff over the years, handled customer complaints, calculated chlorine dosages for your staff to treat the reservoirs and perfotyned sampling when needed. Sierra was involved in all the testing when the new Groundwater Plant was being constructed and brought on Linc by working with ARB and Eco (Southwest Watcr), so our relationship was well established with the City. I must admit, it's a disappointment that the long term relationship and loyalty will cease, but with the addition of new personnel to the Utilittcs Department. not including yourself, within the lust year or so, it was to be expected, especially when there is a noticeable uneasiness between your awn staff with these changes. Based on ernetls and phone conversations between Chris Forsyth of Sierra and West Curry of the City concerning the bid Sierra presented to the City and our final rating established by West Curry, he has stated that he is in ncgot;ations with another lab. Whether we feel the evaluation was done in fairness or not is only to speculate with several questions unanswered.
