We have recently received several requests from District staff for additional engineering
tasks which were not included in the original engineering proposal. These tasks included
a review of the construction method proposed by the low bidder, assistance in processing
of the required permits and construction staking for installation of the pipeline crossing. As
a result, we are requesting that the District approve an addendum for this additional work,
and the detailed scope of this additional work is outlined below:

Review Construction Methods
This task included the review of the proposed microtunneling construction
method proposed by the low bidder to determine whether the proposed
construction method meets the minimum specification requirements. A letter
will be prepared summarizing the results of the investigation and
recommendations.

Permit Processing
The original budget included an allowance for identifying the required project
permits. The District has since requested RBF to process and obtain the
O.C.E.M.A, permit. In addition, the District also requested assistance in
determining the scope of the sampling and monitoring program required
under the NPDES dewatering permit. Therefore, additional engineering
support services and permit processing have been required in addition to the
original engineering budget.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT is made and entered into this 21st day of June, 1994, by
and between the Capistrano Valley Water District, hereinafter referred to as "District,"
and Robert Bein, William Frost and Associates, hereafter referred to as "Consultant."
WITNESSETH:
WHEREAS, District requires professional consulting services for the project
described as follows: Replacement of the 8 -inch and 12 -inch Pipes Crossing San Juan
Creek; and
WHEREAS, Consultant represents that it is duly qualified to provide said service,
NOW, THEREFORE, District and Consultant, for the consideration hereinafter
named, agree as follows:
SECTION 1. GENERAL
The considerations of work on the project shall be governed by the conditions
contained herein. In general, the tasks delineated herein are to be performed with
minimum direction and assistance from District.
All work performed by Consultant, however, shall be subject to review and
approval of District Engineer or his designee at all times.
SECTION 2. SCOPE OF TASKS BY CONSULTANT
Subject to the terms and conditions of this Agreement, Consultant shall perform
the tasks as set forth in Exhibit A, attached and incorporated herein by reference.
During performance of the above tasks, Consultant shall have access to existing
data in District files, and District shall provide copies of any such data Consultant
requests at no cost to Consultant.

SECTION 3. TIME OF BEGINNING AND COMPLETION OF SERVICES
The services provided under this Agreement shall begin upon execution of this
Agreement by all parties. The services provided under this Agreement shall be
completed on or before October 21, 1994.
SECTION 4. PAYMENT FOR CONSULTANT'S SERVICES
Consultant contract billings may be submitted on the consultant's forms and,
at a minimum, should contain the following:
► Title of project(s)
► Purchase order number
► Total approved purchase order amount
► Amount paid to date
► Amount requested
► Amount remaining on purchase order
► Breakdown of amounts by project type or account number
Three copies of itemized bills, clearly indicating the monthly period for which
the billing is made, shall be submitted to: Capistrano Valley Water District, Attn:
District Engineer, 32450 Paseo Adelanto, San Juan Capistrano, CA 92675.
Total cost to District for Consultant's fees shall not exceed $30,400.00.
SECTION 5. COVENANT AGAINST CONTINGENT FEES.
Consultant warrants that Robert Bein, William Frost and Associates has not
employed or retained any company or person, other than a bona fide employee
working for Consultant, to solicit or secure this Agreement, that Robert Bein, William
Frost and Associates has not paid or agreed to pay any company or person, other than
a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any
other consideration, contingent upon or resulting from the award or making of this
Agreement. For breach of violation of this warranty, District shall have the right to
annul this Agreement without liability, or, at its sole discretion, to deduct from the
Agreement price or consideration, or otherwise recover the full amount of such fee,
commission, percentage, brokerage fee, gift or contingent fee.

SECTION 6. EXPENSES

Consultant acknowledges District is under no obligation to compensate
Consultant for services rendered or expenses accrued under this Agreement in excess
of the maximum compensation specified in Section 4.
SECTION 7. OWNERSHIP OF DOCUMENTS
All tracings, plans, specifications, maps or other documents prepared or
obtained under the terms of this Agreement shall be delivered to, and become the
property of District, and basic survey notes and sketches, charts, computations and
other data prepared or obtained under this Agreement shall be made available upon
request to District without restriction or limitation on their use.
SECTION 8. NON -DISCLOSURE
The designs, plans, reports, investigation, materials and documents prepared
or acquired by Consultant pursuant to this Agreement (including any duplicate copies
kept by Consultant) shall not be shown to any other public or private person or entity,
except as authorized by District. Consultant shall not disclose to any other public or
private person or entity any information regarding the activities of District, except as
authorized by District.
SECTION 9. CONFLICT OF INTEREST
For the duration of this Agreement, Consultant shall not act as consultant or
perform services of any kind for any person or entity in regard to the project without
the prior written consent of District.
SECTION 10. CHANGES IN SCOPE OF CONSULTANT'S SERVICES
No additional fee shall be paid by District for additional consulting services not
included in this Agreement without the written approval of District prior to undertaking
such work. In the event of suspension of project by District, Consultant shall have the
right to renegotiate fees if delay is greater than six (6) months.
SECTION 11. TERMINATION
District may, without cause, terminate this Agreement at any time prior to
completion by Consultant of any of the services required hereunder. Notice of
termination of this Agreement shall be given in writing to Consultant, and shall be
sufficient to complete when same is deposited in the U.S. mail, first class postage

prepaid.
In the event this Agreement is terminated by District, Consultant shall be paid
the value of services performed by him pursuant to this Agreement prior to the date
of termination thereof, such value to be the total to which he shall have become
entitled, as determined by the District, less the amount of any payments previously
made, but in no event exceeding the maximum contract amount stated in Section 4.
SECTION 12. DISPUTES
Unless otherwise specified herein, any dispute over a question of fact arising
under this Agreement which cannot be resolved by agreement between the parties
may be, by mutual consent of the parties, submitted to a "Board of Arbitration"
consisting of three (3) arbitrators having expertise relating to this contract subject
matter, one of whom shall be selected by each of the parties, and the third by the two
members selected by the parties.
Each of the parties shall pay the member selected by it, and the compensation
of the third member shall be paid equally by the parties. The parties shall be bound
by the decision of the Board of Arbitration.
SECTION 13. NO ASSIGNMENTS
Neither any part nor all of this Agreement may be assigned or subcontracted,
except as otherwise specifically provided herein, or to which District, in its sole
discretion, consents to in advance thereof in writing. Any assignment or
subcontracting in violation of this provision shall be void.
SECTION 14. ENDORSEMENT ON PLANS, ETC.
Consultant shall endorse all plans, data and other documentation submitted to
District pursuant to this Agreement.
SECTION 15. MAINTENANCE OF RECORDS
Consultant shall maintain all books, documents, papers, employee time sheets,
accounting records and other evidence pertaining to costs incurred and shall make
such materials available at their respective offices at tall reasonable times during the
contract period and for three (3) years from the date of final payment under this
Agreement for inspection by District, and copies thereof shall be furnished if
requested.

SECTION 16. INDEPENDENT CONTRACTOR
At all times during the term of this Agreement, Consultant shall be an
independent contractor and shall not be an employee of District. District shall have
the right to control Consultant only insofar as the results of Consultant services
rendered pursuant to this Agreement; however, District shall not have the right to
control the means by which Consultant accomplishes services rendered pursuant to
this Agreement.
All persons employed to provide services under this Agreement shall be
employees or contractors of Consultant and shall not be deemed employees of District
for any reason or purpose. Consultant shall be responsible for providing worker's
compensation insurance coverage for all persons employed to perform services under
this Agreement.
SECTION 17. INDEMNITY
Consultant shall be responsible for all injuries to persons and for damages to real
or personal property of District, caused by or resulting from any activity or operation
of Consultant, its employees or its agents during the progress of or connected with
the rendition of service hereunder. Consultant shall define and hold harmless and
indemnify District and all officers and employees of the District from all costs and
claims for damages to real or personal property or personal injury to any third party
resulting from the activity of itself, employees or its agents.
SECTION 18. INSURANCE REQUIREMENTS
1. Comprehensive General Liability. Consultant shall maintain in full force
and effect comprehensive general liability coverage, including premises operations,
products/completed operations, broad form property damage and blanket contractual
liability in the following minimum amounts:
► $500,000 property damage;
► $500,000 injury to one person/any occurrence/not limited to contractual
period;
► $1,000,000 injury to more than one person/any one occurrence/not
limited to contractual period.

2. Comprehensive Automobile Liability. Consultant shall maintain in full
force and effect comprehensive automobile liability coverage, including owned, hired
and non -owned vehicles in the following minimum amounts:
► $500,000 property damage;
► $500,000 injury to one person/any one occurrence/not limited to
contractual period;
► $1,000,000 injury to more than one person/any one occurrence/not
limited to contractual period.
3. Errors and Omissions Coverage. Consultant shall maintain in full force
and effect professional errors and omissions coverage in a minimum amount of
$500,000.
4. Worker's Compensation. If Consultant employs employees to perform
services under this Agreement, Consultant shall obtain and maintain, during the life
of this Agreement, Worker's Compensation Employer's Liability Insurance in the
statutory amount as required by state law.
These policies shall not terminate, nor hall they be canceled nor the coverage
reduced until after 30 days written notice is given to the District.
Prior to beginning work, Consultant shall provide to District certificates of
insurance establishing that the required insurance coverage have been secured by
Consultant. Consultant shall provide an endorsement to District establishing that
District has been legally added as an additional insured to the insurance policies
required under this Agreement.
SECTION 19. TIME FOR SUBMITTING PROOF OF INSURANCE
Consultant shall submit proof of insurance requirements under this Agreement
to the District's Clerk prior to beginning any work under this Agreement.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
SECTION 20. LICENSES, PERMITS. ETC.
Consultant represents and warrants to District that it has all licenses, permits,
qualifications and approvals of whatever nature that are legally required to practice his
profession. Consultant represent and warrants to District that Consultant shall, at its
sole cost and expense, keep in effect at all times during the term of this Agreement,

any license, permit or approval which is legally required for Consultant to practice
its/his/her to practice his profession.
SECTION 21. CONSULTANT NOT AN AGENT
Except as District may specify in writing, Consultant shall have no authority,
express or implied, to act on behalf of the District in any capacity as an agent.
Consultant shall have no authority, express or implied, pursuant to this Agreement, to
bind District to any obligation.
SECTION 22. PERSONNEL
Consultant agrees to assign the following person/persons to perform the tasks
set forth in the Agreement: John R. Barnes, Vice President
Consultant shall not unilaterally alter the assignment of the above personnel
without the authorization of District Engineer.
District shall have the unrestricted right to order the removal of any
person/persons assigned by Consultant by giving oral or written notice to Consultant
to such effect.
SECTION 23. NON -DISCLOSURE REQUIREMENTS/CONFLICT OF INTEREST.
Pursuant to District policy, it has been determined that the services to be
rendered under the provisions of this Agreement are excluded by the requirement of
filing a Financial Disclosure Statement by California Administrative Code Section
18700(2)(A) and (B).
Consultant certifies that to the best of its knowledge, no District employee of
office of any public agency interest in this Agreement has any pecuniary interest in the
business of Consultant and that no person associated with Consultant has any interest
that would conflict in any manner or degree with the performance of this Agreement.
Consultant represents that it presently has no interest and shall not acquire any
interest, direct or indirect, which could conflict in any manner or degree with the
faithful performance of this Agreement. Consultant is familiar with the provisions of
Government Code Section 18700 and following, and it certified that it does not know
of any facts which constitute a violation of said provisions. Consultant will advise the
District if a conflict arises.

SECTION 24. SUCCESSORS AND ASSIGNS
All of the terms, conditions, and provisions hereof shall inure to the benefit of
and be binding upon the parties hereto, and their respective successors and assigns;
provided, however, that no assignment of this Agreement shall be made without
written consent of the parties to this Agreement. Any attempt by the Consultant to
assign or otherwise transfer any interest in the Agreement without the prior written
consent of the District shall be void. Any notice or instrument required to be given or
delivered by this Agreement may be given or delivered by depositing the same in any
United States Post Office, registered or certified, postage prepaid, addressed to:

EXHIBIT "A"
SCOPE OF SERVICES

In accordance with the Request for Proposal, we have prepared a comprehensive Scope of
Services required to complete this project. The project includes the design of
approximately 400 feet of 8 -inch and 400 feet of 12 -inch water pipeline crossing the San
Juan Creek. Our Scope of Services has been divided into three phases to coincide with the
Request for Proposal:
PHASE 1 -- Design Report
PHASE 2 -- Final Design
PHASE 3 -- Construction Services
PHASE I - DESIGN REPORT
At the conclusion of the preliminary design phase tasks described below, a Design Report
(DR) will be prepared for review with the Capistrano Valley Water District. We believe
that the DR is a critical aspect of the project as this report identifies all criteria to be
utilized during the final design and addresses each of the project key issues. The purposes
of the DR will be to summarize the value engineering study which will include preliminary
project design criteria and assumptions, and to make recommendations regarding the costs
of the various types of construction, as outlined in the Request for Proposal.
Specifically, the following tasks will be completed in conjunction with the Design Report
Phase:
1.1 Review Existing Data
RBF will review existing data pertaining to the project for execution of the
preliminary design. The information to be reviewed will include:
1. Existing and proposed facility drawings for the existing water facilities and
adjacent domestic water and sewer facilities, and other items, such as
geotechnical reports, which may pertain to facilities within the project
alignment.
2. Capistrano Valley Water District technical design reports and memorandums
related to the proposed facilities.
3. Capistrano Valley Water District Water Resources Master Plan.
4. Hydraulic Data regarding the water system

5. County of Orange San Juan Creek Channel Improvement Plans.
6. Other utility data, including water, electric, gas phone, cable irrigation, and
sewer.
7. Parcel maps and easement documents to identify potential impacts to private
and public properties.
1.2 Future Construction Improvements
Under this task item, RBF will coordinate with the City of San Juan Capistrano and
the Orange County Flood Control District as well as other agencies and utilities to
review future improvement which could impact the proposed project.
1.3 Pipeline Design Criteria
Pipeline design criteria will be established under this task, including type of pipe,
pipe lining and coating requirements, valving (main line valves, air release valves,
and blow -offs), and cathodic protection.
1.4 Jurisdictional Agency/Permit Reviews & Miscellaneous Coordination
This task will include identification of required permits and other coordination
requirements of jurisdictional agencies; identification of project requirements,
including alternative construction methods and evaluation of different seasons for
construction; timing of reviews and permit acquisitions; and other coordination items
with existing utilities. Final permit processing will be included which will be
conducted by the District. It is anticipated that the following permits/coordination
will be required:
a. City of San Juan Capistrano
b. County of Orange (Orange County Flood Control District)
C. Army Corps of Engineers
d. California Department of Fish & Game
e. Regional Water Quality Control Board
f. Landowner Coordination
15 Environmental Review and CEQA Documentation
For this scope item, RBF proposes to prepare an Initial Study and environmental
checklist to evaluate the environmental impacts of the proposed project. It is
anticipated that a Negative Declaration with mitigation measures will serve as the
environmental documentation for the project in compliance with the California

Environmental Quality Act. As a part of this work effort, RBF will evaluate the
environmental concerns and identify construction and operation mitigation measures.
Concerns of adjacent landowners, presently known by the District, will be addressed
in the Initial Study, and additional concerns will be considered based upon comments
made during the public review of the Negative Declaration.
Issues to be evaluated include dewatering, noise, and public safety hazards, while all
CEQA topics will be evaluated in the Initial Study. It is not anticipated that
specialized technical air quality, acoustical, geology, hydrology, biology, archaeology,
or other subconsultant analyses will be required as part of this work effort, beyond
CEQA evaluation by the environmental analysis team. This Scope of Services
includes preparation of an Initial Study, Environmental Checklist, Negative
Declaration Form, and up to three graphic exhibits. It additionally includes posting
of the Negative Declaration with the County of Orange and filing with the State of
California Office of Planning and Research, along with mailing up to 25 responsible
agencies and interested parties, including a mitigation monitoring program.
1.6 Project & Review Meetings
Project meetings will be held with the District during the Design Report Phase of this
project to discuss project requirements, review facility alternatives, and to maintain
involvement and input of District staff. It is currently anticipated that three (3)
project meetings will be held during the Design Report Phase.
1.7 Draft Legal Descriptions and Sketches
Required legal descriptions for easements will be identified during the Design Report
Phase to allow coordination with the affected property owners. Draft Legal
descriptions and sketches will be prepared based on the proposed recommended
pipeline alignment. For the purposes of this Proposal, we have assumed that a legal
description and sketches will be required for the San Juan Creek Crossing.
1.8 Design Report
Upon completion of the tasks listed above, a Design Report will be prepared which
will present a summary of the project alternatives and recommended alternative,
design parameters, proposed materials, cost estimates, recommendations, and a
summary of agency/landowner processing and approvals. The Design Report will be
submitted to the District for review. After review and approval of the Design
Report, any comments will be incorporated into the report and the report will be
resubmitted to the District within two weeks of receipt of the District's comments.

PHASE 2 -- FINAL DESIGN

The Final Design Phase of this project will include preparation of plans, specifications, and
contract documents for the proposed pipelines and appurtenances, and final agency
coordination/permitting. A detailed Scope of Services for the Final Design Phase is
identified below:

2.3
Horizontal & Vertical Control and Base Map Preparation
Horizontal and vertical control for the pipeline alignments will be established based
on the State Plan Coordinate System for horizontal control, and the County Grid
System for vertical control. Base topo to be utilized in the design of the pipeline
alignments plan and profile drawings will be provided by the District.
Utility Research
Utility research will be performed to identify existing facilities along the pipeline
alignments, including other Capistrano Valley Water District facilities, electric, gas,
cable, storm drain, and other facilities.
Final Permit Processing/Agency Coordination
Identification of the required permits and agency requirements will be completed as
part of the Design Report Phase. Final processing and coordination of the required
permits will be obtained by the District. Many agencies require plans which are
close to completion prior to their final review. This requirement, coupled with the
fact that these agencies may take several months from review period prior to issuance
of a permit, may make it difficult to complete this task prior to bidding of the
project. Therefore, we will prepare plans as soon as possible in order to initiate
permit processing early in an effort to finalize agency requirements, which will then
be included in the plans and specifications. Final permit acquisition by the District
may have to extend into the construction portion of this project. As discussed in this
Proposal, it is anticipated that the following permits and coordination will be
required.

2.4 San Juan Creek Scour Analysis

Scour analysis of the San Juan Creek crossing area will be performed to determine
the required depth of the proposed pipeline and backfill requirements.
2.5 Construction Plans
Construction plans will be prepared utilizing the base maps generated from existing
information and field surveys. Plan and Profile sheets will be provided at a
horizontal scale of 1"=40' and a vertical scale of 1"=4'. The following plans are
anticipated to be required:
1. Title Sheet, with Vicinity Map and Location Map
2. General Notes, Index Map, List of Drawings, Legend, Benchmark, and Basis
of Bearings
3. Plan & Profile
4. Miscellaneous Details
2.6 Contract Documents and Specifications
Contract Documents and Specifications will also be prepared for the pipeline, and
appurtenances utilizing Capistrano Valley Water District's General Provisions and
Contract Documents. In addition, technical provisions will be prepared, utilizing the
Capistrano Valley Water District's standard format. Original documents will be
delivered to the District in Word Perfect format ready for final printing.
2.7 Bidding Assistance
Bidding of the project will be performed by District staff. However, we have
allocated time in the budget to prepare addenda if required, attend a preconstruction
meeting and answer questions which may arise during the bidding period.

PHASE 3 — CONSTRUCTION SERVICES
The following services will be provided by RBF during the Construction Phase of this
project as may be requested by the Capistrano Valley Water District.
3.1 Site Visits and Consultation
At least three periodic site visits per project site will be made during construction of
the project at key construction intervals or as requested by the District. RBF will
also be available for consultation during construction for clarification of design -
related issues.
3.2 Record Drawings
At the completion of construction, the as -built plans maintained throughout
construction by the Contractor and/or field inspectors will be utilized to revise the
construction plans to reflect all as -built conditions.

ENGINEERING BUDGET ESTIMATE
We have prepared a comprehensive breakdown of the proposed engineering budget for the
Phases of Work outlined in our Scope of Services. The proposed budget includes costs for
the design reporst as well as a budget for each of the three options for construction of the
replacement pipelines. These are categorized as Option No. 1 - Open Trench; Option No.
2 - Horizontal Directional Drilling and Option No. 3 - Jacking and Boring as outlined in the
RFP.
In addition, we also propose to bill the Capistrano Valley Water District the direct cost of
all blueprints and other printing costs not specifically covered in the terms of this agreement.
