THIS AGREEMENT, for the purpose of identification hereby is numbered D96-072 and

"COUNTY'
CAPISTRANO VALLEY WATER DISTRICT, hereinafter
referred to as "CVWD"
R E C I T A L S
WHEREAS, COUNTY proposes to construct the interim improvements along Antonio Parkway
between Ortega Highway and Oso Parkway; and
WHEREAS, County proposes to construct the Antonio Parkway Bridge crossing San Juan
Creek Channel in conjunction with the Antonio Parkway interim improvements,
hereinafter referred to as "PROJECT"; and
WHEREAS, CVWD owns, operates, and maintains a 20 -inch waterline in the PROJECT area
which requires relocation for the PROJECT; and
WHEREAS, CVWD'S rights are paramount to the COUNTY'S rights in the PROJECT area by
virtue of the deed recorded November 19, 1993 as Document No. 93-0806019 (attached for
reference) in the Orange County Recorders Office; and
WHEREAS, COUNTY is responsible for all costs associated with relocation of CVWD'S
20 -inch waterline; and
WHEREAS, COUNTY and CVWD desire to cooperate and consult with each other to
facilitate relocation of the 20 -inch waterline in accordance with the terms of this
agreement.
NOW, THEREFORE, it is agreed by the parties hereto as follows:
A. COUNTY shall prepare a conceptual waterline relocation plan and shall seek CVWD'S
approval of the conceptual plan.

B. Upon CVWD's approval of the conceptual plan, COUNTY shall prepare plans and
specifications, including CEQA compliance, for relocation of the 20 -inch
waterline. Said plans and specifications shall include removal of CVWD's
existing 20 -inch waterline and encasement of the relocated 20 -inch waterline to
the ultimate toe of slope width for Antonio Parkway.
C. CVWD shall review and approve the waterline relocation plans and specifications
prepared by COUNTY.
D. COUNTY shall prepare all necessary documents, including but not limited to maps,
legal descriptions, deeds, title investigations, and secure from the fee title
property owner additional pipeline easement right of way necessary for CVWD's
relocated 20 -inch waterline. Said additional pipeline easement right of way
shall be subject to the same terms and conditions described in Document No.
93-0806019. All rights and privileges CVWD acquired by Document No. 93-0806019
shall remain in effect.
E. CVWD shall review and approve said additional pipeline easement right of way
documents prior to acquisition from the fee title property owner.
F. COUNTY shall include a bid item for relocation of the 20 -inch waterline in its
PROJECT construction plans and specifications, based on the plans and
specifications approved by CVWD.
G. COUNTY shall advertise and award a construction contract for the PROJECT to the
lowest responsible bidder.
H. COUNTY shall provide construction surveying, construction contract
administration, shall construct the relocation of the 20 -inch water line in
accordance with the waterline relocation plans approved by CVWD and shall
coordinate the work performed by gas, telephone, electric, water, sewer and cable
television utilities during construction of COUNTY'S PROJECT.
I. CVWD Engineer approval shall be obtained for all Change Orders issued by COUNTY
pertaining to relocation of CVWD'S 20 -inch waterline.

J.
COUNTY shall furnish a representative to perform the usual functions of a

Resident Engineer, and CVWD may furnish a representative if it desires. Said
3
representative and Resident Engineer shall cooperate and consult with each other,
4
but the decision of the COUNTY'S Resident Engineer shall be final.

K.
CVWD shall provide inspection and approval for the relocation of CVWD'S 20 -inch
6
waterline and shall coordinate with COUNTY'S Resident Engineer to insure
7
compatibility with COUNTY'S PROJECT.

L.
Within sixty (60) days of receipt of an invoice from CVWD, COUNTY shall pay CVWD
9
for plan review and approval of the waterline relocation plans and
10
specifications, pipeline easement right of way document review and approval, and
11
inspection of the relocation of CVWD'S 20 -inch waterline. COUNTY shall not be
12
responsible for any costs associated with upgrades or increases in capacity of
13
CVWD'S waterline. Said plan review and approval, pipeline easement right of way
14
document review and approval, and inspection costs shall be 6.5% of the total

cost for relocation of CVWD's 20 -inch waterline. The bid item price for
16
relocation of CVWD's 20 -inch waterline is $177,125.

M.
CVWD shall own, operate, and maintain the 20 -inch waterline following completion
18
of the PROJECT and acceptance thereof. COUNTY hereby disclaims any and all
19
interest in the CVWD'S 20 -inch waterline and does hereby transfer and assign to
20
the CVWD any and all right, title, and interest, if any, it may have in the
21
20 -inch waterline.

COUNTY shall indemnify, defend, and hold CVWD, its officers, agents, employees,
23
engineers, contractors, and subcontractors harmless from any expense, liability
24
or claim for death, injury, loss, damage, or expense to persons or property which

may arise or is claimed to have arisen during relocation of CVWD'S 20 -inch
26
waterline and prior to acceptance by CVWD, as a result of any work or action
27
performed by COUNTY, save and except in those instances where such expense,
28
liability or claim is proximately caused in whole or in part by any act,

omission, or negligence of CVWD, its officers, agents, employees, engineers,

contractors, or subcontractors or by any act or omission for which CVWD, its

officers, agents, employees, engineers, contractors, or subcontractors are liable
4
without fault.

CVWD shall indemnify, defend, and hold COUNTY, its officers, agents, and

employees harmless from any expense, liability or claim for death, injury, lose,
7
or damage to persons or property which may arise or is claimed to have arisen
8
either (i) as a result of any act or omission performed by CVWD, its officers,
9
agents, employees, contractors, or subcontractors with respect to CVWD'S 20 -inch

waterline design; or (ii) following CVWD'S acceptance of CVWD'S 20 -inch waterline
11
with respect to maintenance and operation of ownership, save and except in those
12
instances where such expense, liability or claim is proximately caused in whole
13
or in part by any negligence of COUNTY, its officers, agents, employees,
14
contractors, and subcontractors or by any act or omission for which COUNTY, its

officers, agents, employees, contractors, and subcontractors are liable without
16
fault.

COUNTY shall cause its contractors to provide performance and payment bonds for

the relocation of CVWD'S 20 -inch waterline and to obtain insurance coverage

sufficiently broad to insure the matters set forth in this AGREEMENT and to
20
include CVWD as an additional insured on all insurance policies that COUNTY
21
requires its contractors to provide.

Any Notice or other written instrument required or permitted by this AGREEMENT to
23
be given to either party shall be deemed received when either personally served
24
or twenty-four (24) hours after being deposited in the U.S. Mail, postage

Q. This agreement shall be binding upon and inure to the benefit of the successors
and assigns of COUNTY and CVWD. No assignment shall be made without the written
consent of both COUNTY and CVWD. This AGREEMENT constitutes the entire Agreement
between the COUNTY and CVWD and supersedes all prior understandings and
Agreements, if any, between the parties with respect to the subjects hereof. The
AGREEMENT may be only modified in writing signed by both parties hereto.
R. In the event of any declaratory or other legal or equitable action instituted
between COUNTY and CVWD in connection with this AGREEMENT, but not relating to
any third party claim or indemnification, the prevailing party shall be entitled
to recover from the losing party reasonable costs and expenses, including court
costs and attorney's fees.
S. COUNTY shall obtain any necessary permits, rights-of-way, licenses, etc.,
including CEQA compliance, for construction and operation of the PROJECT. COUNTY
shall have rights in accordance with CVWD'S existing easement deed during
construction, inspection, access, and operation/maintenance for the relocation of
CVWD'S 20 -inch waterline. CVWD shall comply, where applicable, with all statues,
rules, and regulations governing the performance of this AGREEMENT including
CEQA. COUNTY shall provide all CEQA documentation pertaining to relocation of
CVWD'S 20 -inch waterline to CVWD.
T. Any approval required to be given by either party pursuant to the terms of this

AGREEMENT, except for approval by CVWD'S Board of Directors and/or COUNTY'S Board
of Supervisors, shall be requested in writing and deemed given if no written
response to the party's request for such approval is received by the requesting
party within ten (10) days following the request for such approval.

GRANT OF EASEMENT DEED TO
CAPISTRANO VALLEY WATER DISTRICT
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
The Santa Margarita Company ("Grantor")
hereby grants and conveys to Capistrano Valley Water District, a public corporation
("Grantee"), a perpetual, non-exclusive easement and right-of-way for a water pipeline
or pipelines, together with incidental appurtenances, connections and structures in,
over, under, upon, along, through and across the respective portions of the real
property described in Exhibit A as parcels one (1) and two (2), attached hereto and
by diagrammed in Exhibit "B" attached hereto (the "Easement Area"). The easement
and right-of-way granted herein are in gross.
The easement and right-of-way granted herein included the incidental rights to
enter upon and pass and repass over and along the Easement Area for the
construction (including, without limitation, grading, excavation and compaction of the
Easement Area), reconstruction, enlargement, improvement, repair, operation and
maintenance of the facilities to be constructed by Grantee and for ingress and egress
to Grantee's property. After completion of any work performed by Grantee or its
agents, contractors or employees which disturbs the surface of Grantor's property,
Grantee shall restore the surface of such area as close as reasonable to its original
character.
The easement and right-of-way acquired herein are acquired subject to the right
of Grantor, its successors and assigns, to use the surface and subsurface of the land
within the Easement Area to the extent that such use is compatible with the full and
free exercise of the easement and right-of-way of Grantee; provided, however, that
no fences, block walls, or other structures of other improvements shall be constructed
upon, over and along the Easement Area without the prior written consent of Grantee,
which consent shall not be unreasonably withheld or delayed.

No fill or paving of any nature shall be placed or maintained on the surface of
the ground within the Easement Area, nor shall any earth be removed from the cover
of the pipeline after construction, without the prior written consent of Grantee, which
consent shall not be unreasonably withheld or delayed.
Grantee shall have the right to use gates in all of Grantor's fences which
presently or hereafter cross the Easement Area, and to remove, trim, cut and clear
away any trees and brush whenever in Grantee's reasonable judgment the same shall
be necessary for the convenient and safe exercise of the rights granted hereby.
This Grant of Easement is being recorded in conjunction with the attached
Subordination (s).
