SERVICE AGREEMENT
This AGREEMENT is hereby made and entered into this IT day
2 of July, 2000, by and between the Orange County Superintendent of
3 Schools, 200 Kalmus Drive, Costa Mesa, California 92626,
4 hereinafter referred to as SUPERINTENDENT, and the City of San Juan
5 Capistrano, 32400 Paseo Adelanto, San Juan Capistrano, California
6
92675-3679, hereinafter referred to as CONTRACTOR. SUPERINTENDENT
7
and CONTRACTOR shall be collectively referred to as the Parties.
8
WHEREAS, SUPERINTENDENT has received a grant from the State
9
of California for the provision of services to students through the
10
delivery of the School Community Policing Partnership (SCPP)
11
__ program, hereinafter referred to as PROGRAM; and
WHEREAS, the SCPP program grant requires that
SUPERINTENDENT allocate a portion of the SCPP program grant funds
to school districts for implementation of the ACCESS (Alternative,
students can participate in the learning process; and
WHEREAS, CONTRACTOR has expertise with the targeted school
_population and in providing the services required.
2111 NOW, THEREFORE, the Parties hereto mutually agree as
follows:
1.0 TERM. This AGREEMENT shall be in full force and effect for
the period commencing July 1, 2000, and ending on June 30, 2001,
subject to termination as set forth in this AGREEMENT.
2.0. SCOPE OF WORK. SUPERINTENDENT hereby engages CONTRACTOR as
an independent contractor to perfor;,. the following described work,

2111 NOW, THEREFORE, the Parties hereto mutually agree as
follows:
1.0 TERM. This AGREEMENT shall be in full force and effect for
the period commencing July 1, 2000, and ending on June 30, 2001,
subject to termination as set forth in this AGREEMENT.
2.0. SCOPE OF WORK. SUPERINTENDENT hereby engages CONTRACTOR as
an independent contractor to perfor;,. the following described work,
and CONTRACTOR hereby agrees to perform said work upon the terms

and conditions hereinafter set forth. Specifically, CONTRACTOR
shall assign the Orange County Sheriff's Department to perform the
following services for the Alternative, Charter, and Correctional
Education Schools and Services (ACCESS) program:
A. Assign a representative to serve on the ACCESS to
Safety Advisory Council.
B. Collaborate to provide trainings and updates to
ACCESS staff and students regarding local issues
involving juvenile crime, gang activity, and
violence.
C. Facilitate collaboration with safe school activities
of the Capistrano Unified School District to
facilitate a community -wide approach to school
safety.
D. Support police officer presence at SUPERINTENDENT'S
South County PAR sites.
E. Participate in planning student and community
activities and events.
,3.0 PAYMENT.
A. SUPERINTENDENT agrees to pay CONTRACTOR a total fee not
to exceed Seven thousand two hundred ten dollars ($7,210.00) for
services rendered pursuant to Section 2.0 of this AGREEMENT.
Payment shall be made upon performance of services, approval of
SUPERINTENDENT or his designee and receipt of an invoice from
CONTRACTOR in triplicate. Payment shall be mailed to: City of San
Juan Capistrano, 32400 Paseo Adelanto, San Juan Capistrano,

California 92675-3679, or at such other place as CONTRACTOR may
designate in writing.
B. CONTRACTOR shall not claim reimbursement for food or
equipment purchases or services provided beyond the expiration
and/or termination of this AGREEMENT, except as may otherwise be
provided under this AGREEMENT.
C. SUPERINTENDENT may withhold or delay any payment should
CONTRACTOR fail to comply with any of the provisions set forth in
this AGREEMENT.
D. The obligation of SUPERINTENDENT under this AGREEMENT
is contingent upon the availability of funds furnished by the State
of California. In the event that such funding is terminated or
reduced, this AGREEMENT may be terminated, and SUPERINTENDENT
fiscal obligations hereunder shall be limited to a pro rated amount
of funding actually received by the SUPERINTENDENT under the grant.
SUPERINTENDENT shall provide CONTRACTOR written notification of
such termination. Notice shall be deemed given when received by
the CONTRACTOR or no later than three (3) days after the day of
-mailing, whichever is sooner.
4.0
INDEPENDENT
CONTRACTOR.
CONTRACTOR
is and
at all times
to
be an
independent
contractor
and shall be
wholly
responsible
for
the manner in which the services required by the terms of this
AGREEMENT are performed. Nothing herein contained shall be
construed as creating the relationship of employer and employee, or
principal and agent, between SUPERINTENDENT and CONTRACTOR.
CONTRACTOR assumes the responsibility for the acts and omissions of
its employees or agents as they relate to the services to be

provided. CONTRACTOR, its officers, agents and employees, shall not
be entitled to any rights, and/or privileges of SUPERINTENDENT'S
employees and shall not be considered in any manner to be
SUPERINTENDENT'S employees.
5.0 INDEMNIFICATION/HOLD HARMLESS.
A. SUPERINTENDENT hereby agrees to indemnify, defend, and
hold harmless CONTRACTOR, its officers, agents, and employees from
liability and claims of liability for bodily injury, personal
injury, sickness, disease, or death of any person or persons, or
damage to any property, real personal, tangible or intangible,
arising out of the negligent acts or omissions of employees, agents
or officers of SUPERINTENDENT or the Orange County Board of
Education during the period of this AGREEMENT.
B. CONTRACTOR hereby agrees to indemnify, defend, and hold
harmless SUPERINTENDENT, the Orange County Board of Education, and
its officers, agents, and employees from liability and claims of
liability for bodily injury, personal injury, sickness, disease, or
death of any person or persons, or damage to any property, real,
-personal, tangible or intangible, arising out of the negligent acts
or omissions of employees, agents or officers of DISTRICT during
the period of this AGREEMENT.
6.0 INSURANCE. CONTRACTOR shall, at CONTRACTOR'S sole cost and
expense, provide for and maintain in full force and effect from the
commencement of services until expiration of this AGREEMENT a
policy or policies Of insurance covering CONTRACTOR'S services.
CONTRACTOR shall furnish to SUPERINTENDENT certificates of
insurance evidencing all coverages and endorsements required

hereunder. All insurance shall be with an insurance company
admitted by the Insurance commissioner of the State of California
to transact such insurance in the State of California. Minimum
coverages shall be as follows:
A. Comprehensive General Liability Insurance in an amount
not less than One million dollars ($1,000,000) per occurrence,
combined single limit;
B. Statutory Workers' Compensation Insurance;
C. An endorsement to said policy(ies) naming the Orange
County Superintendent of Schools, the Orange County Board of
Education, and their officers, agents and employees as additional
insureds while rendering services under this AGREEMENT;
D. A thirty (30) day written notice to SUPERINTENDENT of
cancellation or reduction in coverage;
E. If the CONTRACTOR is either partially or fully self-
insured for its liability exposures, CONTRACTOR must notify
SUPERINTENDENT in writing and provide SUPERINTENDENT with a
statement signed by an authorized representative of CONTRACTOR
_stating that CONTRACTOR agrees to hold harmless, defend, and
indemnify the Orange County Superintendent of Schools, the Orange
County Board of Education, and their officers, employees and agents
as if the insurance requirements in the above paragraphs are in
full force and effect.
7.0 NON-DISCRIMINATION. CONTRACTOR agrees that it will not
engage in unlawful discrimination of persons because of race,
color, religious creed, national origin, ancestry, phvsical

handicap, medical condition, marital status, or age or sex of such
persons
8.0 APPLICABLE LAW. The services completed herein must meet
the approval of the SUPERINTENDENT'S general right of inspection to
secure the satisfactory completion thereof. CONTRACTOR agrees to
comply with all federal, state and local laws, rules, regulations
and ordinances that are now or may in the future become applicable
to CONTRACTOR, 'CONTRACTOR'S business, equipment and personnel
engaged in operations covered by this AGREEMENT or occurring out of
the performance of such operations.
9.•0 ASSIGNMENT. CONTRACTOR shall not subcontract or assign the
performance of any of the services in this AGREEMENT without prior
written approval of the SUPERINTENDENT.
10.0 RETENTION OF RECORDS. CONTRACTOR shall preserve and make
available, to SUPERINTENDENT and the State of California, all
records for a period of five (5) years from the date of final
payment under this AGREEMENT, and for a such longer period, if any,
as is required by applicable statute, or by any other clause of
.this AGREEMENT.
11.0 TOBACCO USE POLICY. In the interest of public health,
SUPERINTENDENT provides a tobacco -free environment. Smoking or the
use of any tobacco products are prohibited in buildings and
vehicles, and on any property owned, leased or contracted for by
the SUPERINTENDENT pursuant to SUPERINTENDENT Policy 400.15.
Failure to abide with conditions of this policy could result in the
termination of this AGREEMENT.

12.0 TERMINATION. This AGREEMENT may be terminated by
SUPERINTENDENT or CONTRACTOR with or without cause, upon the giving
of thirty (30) days prior written notice to the other party.
13.0 NOTICES. All notices or demands to be given under this
AGREEMENT by either party to the other shall be in writing and
given either by: i) Personal service, or ii) U.S. Mail, mailed
either by registered or certified mail, return receipt requested,
with postage prepaid. Service shall be considered given when
received if personally served or, if mailed, on the third (3rd) day
after deposit in any U.S. Post Office. The address to which
notices or demands may be given by either party may be changed by
written notice given in accordance with the notice provisions of
this section. At the date of this AGREEMENT the addresses of the
parties are as follows:

14.0 SEVERABILITY. If any term, condition or provision of this
AGREEMENT is held by a court of competent jurisdiction to be
invalid, void, or unenforceable, the remaining provisions will
nevertheless continue in full force and effect, and shall not be
affected impaired or invalidated in any way.
15.0 GOVERNING LAW. The terms and conditions of this AGREEMENT
shall be governed by the laws of the State of California, with
venue in Orange County, California.

16.0 ENTIRE AGREEMENT/AMENDMENT. This AGREEMENT and any exhibits
attached hereto constitute the entire agreement between
SUPERINTENDENT and CONTRACTOR regarding the services and any
agreement made shall be ineffective to modify this AGREEMENT in
whole or in part unless such agreement is embodied in an Amendment
to this AGREEMENT which has been signed by both Parties. This
AGREEMENT supersedes all prior negotiations, understandings,
representations and agreements.

City's Police Services staff to develop and teach a Juvenile Justice class at Horizons

OF SEWER PUMP STATIONS AND WATER BOOSTER STATION (J.

DECLARING WORK TO BE COMPLETED AS TO PLANS AND

PUMP STATION, THE STONERIDGE SEWER PUMP STATIONS AND

The Resolution accepted the work as complete in the amount of $100,685 and directed
the City Clerk to forward a Notice of Completion to the County Recorder. Staff was
authorized to release the 10% retention in the amount of $10,068.50, 35 days after the
recordation of the Notice of Completion.

of Schools, was approved to provide funding in the amount of $7,210, for the City Police
Services personnel to teach a Criminal Justice class at Horizons School in the City of
San Juan Capistrano.

RECOMMENDATION:
By motion, approve the attached Access to Safety Grant and Authorize the Mayor to sign it
on behalf of the City of San Juan Capistrano.
SUMMARY:
In 1999 San Juan Capistrano Police Services was contacted by Heidi Schnell, Grant
Coordinator for the Orange County Department of Education, Division of Alterative
Education. Ms. Schnell asked if San Juan Capistrano Police Services would be interested
in creating a course curriculum and teaching a Criminal Justice class at Horizons School in
San Juan Capistrano. With the City's approval, Police Services staff developed a
curriculum and taught a Juvenile Justice class at Horizons School. Funds in the amount of
$15,340.00 were made available to the city through an Access to Safety Grant provided by
the Orange County Department of Education.
Again this year, the Orange County Department of Education is requesting our participation
in this program at Horizons School. Funding in the amount of $7210.00 is available to the
city. To meet the scope of work, a deputy will be assigned on overtime. The course
curriculum is designed for ten week, two days a week, for one hour a day. All other terms
and conditions will be on an as needed basis.
Police Services recommends the City Council approve the attached Service Agreement
with the Department of Education and authorize the Mayor to sign it on behalf of the City of
San Juan Capistrano.

COMPLETED AS TO PLANS AND SPECIFICATION FOR THE

The Resolution accepted the work as complete in the amount of $149,912 and directed
the City Clerk to forward a Notice of Completion to the County Recorder. Staff was
authorized to release to 10% retention in the amount of $14,991.20 thirty-five days after
recording the Notice of Completion.

RECOMMENDATION:
By motion, approve the attached Access to Safety Grant Service Agreement.
SUMMARY:
Seven months ago, San Juan Capistrano Police Services was contacted by Heidi Schnell,
Grant Coordinator for the Orange County Department of Education, Divison of Alterative
Education. Ms. Schnell asked if San Juan Capistrano Police Services would be interested
in creating a course curriculum and teaching a Criminal Justice class at Horizons School
in San Juan Capistrano. Funds in the amount of $15,340.00 were to be made available
through an Access to Safety Grant provided by the Orange County Department of
Education.
With the City's approval Police Services staff developed a curriculum and taught a Juvenile
Justice class at Horizons School from February through April.
In mid-May, Police Services received a Service Agreement from the Orange County
Department of Education requesting signatures for approval of the Grant funds.
Police Services has performed all of its obligations under the agreement and recommends
the City Council approve the attached agreement, even though this approval cycle is
retroactive in nature. For the future, staff will ensure that any draft Service Agreements
with the Orange County Department of Education be provided to the City in advance of
program implementation.
