1997-0107_VAN DORPE CHOU ASSOCIATES INC._Agreement AGREEMENT THIS AGREEMENT is made and entered into this Jt day of Q 19IJ by and between the City of San Juan Capistrano, hereinafter referred to as "Ci y," and VanDoa»e. Gnou. Assoc iPLt"> Zrr_. , hereinafter referred to as "Consultant." WITNESSETH: WHEREAS, City requires professional consulting services for the project described as follows: Plan Check and Design Services; and WHEREAS, Consultant represents that it/he is duly qualified to provide said service, NOW, THEREFORE, City and Consultant, for the consideration hereinafter named, agree as follows: SECTION 1. GENERAL.. The considerations of work on the project shall be governed by the conditions contained herein. In general, the tasks delineated herein are to be performed with minimum direction and assistance from City. All work performed by Consultant, however, shall be subject to review and approval of William M. Huber or his designee at all times. SECTION 2. SCOPE OF TASKS BY CONSULTANT. Subject to the terms and conditions of this Agreement, Consultant shall perform the tasks as set forth in Exhibit A, attached and incorporated herein by reference. During performance of the above tasks, Consultant shall have access to existing data in City files, and City shall provide copies of any such data Consultant requests at no cost to Consultant. SECTION 3. TIME OF BEGINNING AND COMPLETION OF SERVICES. The services provided under this Agreement shall begin upon execution of this Agreement by all parties. This Agreement shall be for a three-year (3-year) period of time with two one-year extensions. Agreement extensions shall be based on staff review of Consultant performance. The Agreement shall terminate December 31, 2001. SECTION 4. PAYMENT FOR CONSULTANT'S SERVICES. Consultant contract billings may be submitted on the consultant's forms and, at a minimum, should contain the following: Title of project(s) Purchase order number Total approved purchase order amount Amount paid to date Amount requested Amount remaining on purchase order Breakdown of amounts by project type or account number Three copies of itemized bills, clearly indicating the monthly period for which the billing is made, shall be submitted to: City of San Juan Capistrano, Attn: Director of Administrative Services, 32400 Paseo Adelanto, San Juan Capistrano. CA 92675 Total cost to City for Consultant's fees shall not exceed $25,000 for each annual period. The amount stipulated above is not a guarantee by the City to Consultant that said amount will be received by Consultant. Rather, it represents the maximum authorization permitted without further Council approval. Consultant may not, dependent upon availability of projects, receive any work. The City shall issue purchase orders equal to the anticipated Consultant fees on a project basis, which shall constitute Consultant's authorization to proceed. Consultant fees will be billed based on the hourly rate schedule in Exhibit B up to stipulated amount agreed to either as stipulated by the plan check fee schedule in Exhibit A or as agreed to in writing. SECTION 5. COVENANT AGAINST CONTINGENT FEES. Consultant warrants that it has not employed or retained any company or person, other than a bona fide employee working for Consultant,to solicit or secure this Agreement, that it has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission,percentage,brokerage fee, gift or any other consideration, contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, City shall have the right to annul this Agreement without liability, or, at its sole discretion, to deduct from the Agreement price or consideration, or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. SECTION 6. EXPENSES. Consultant acknowledges City is under no obligation to compensate Consultant for services rendered or expenses accrued under this Agreement in excess of the maximum compensation specified in Section 4. 2 SECTION 7 OWNERSHIP OF DOCUMENTS All tracings, plans, specifications, maps or other documents prepared or obtained under the terms of this Agreement shall be delivered to, and become the property of City, and basic survey notes and sketches, charts, computations and other data prepared or obtained under this Agreement shall be made available upon request to City without restriction or limitation on their use. SECTION 8. NON-DISCLOSURE. The designs, plans, reports, investigation, materials and documents prepared or acquired by Consultant pursuant to this Agreement (including any duplicate copies kept by Consultant) shall not be shown to any other public or private person or entity, except as authorized by City. Consultant shall not disclose to any other public or private person or entity any information regarding the activities of City, except as authorized by City. SECTION 9. CONFLICT OF INTEREST. For the duration of this Agreement, Consultant shall not act as consultant or perform services of any kind for any person or entity in regard to this project without the prior written consent of City. SECTION 10. CHANGES INSCOPE OF CONSULTANT'S SERVICES No additional fee shall be paid by City for additional consulting services not included in this Agreement without the written approval of the City prior to undertaking such work. In the event of suspension of project by City, Consultant shall have the right to renegotiate fees if delay is greater than six (6) months. SECTION 11, TERMINATION. City may, without cause, terminate this Agreement at any time prior to completion by Consultant of any of the services required hereunder. Notice of termination of this Agreement shall be given in writing to Consultant, and shall be sufficient to complete when same is deposited in the U.S. mail, first class postage prepaid. In the event this Agreement is terminated by City, Consultant shall be paid the value of services performed by him pursuant to this Agreement prior to the date of termination thereof, such value to be the total to which he shall have become entitled, as determined by the City, less the amount of any payments previously made, but in no event exceeding the maximum contract amount stated in Section 4. 3 SECTION 12, DISPUTES, Unless otherwise specified herein, any dispute over a question of fact arising under this Agreement which cannot be resolved by agreement between the parties may be, by mutual consent of the parties, submitted to a "Board of Arbitration" consisting of three (3) arbitrators having expertise relating to this contract subject matter, one of whom shall be selected by each of the parties, and the third by the two members selected by the parties. Each of the parties shall pay the member selected by it, and the compensation of the third member shall be paid equally by the parties. The parties shall be bound by the decision of the Board of Arbitration. SECTION 13, NO ASSIGNMENTS. Neither any part nor all of this Agreement may be assigned or subcontracted, except as otherwise specifically provided herein, or to which City, in its sole discretion, consents to in advance thereof in writing. Any assignment or subcontracting in violation of this provision shall be void. ,SECTION 14 ENDORSEMENT ON PLANS, .ETC• Consultant shall endorse all plans, data and other documentation submitted to City pursuant to this Agreement. SECTION 15, MAINTENANCE OF RECORDS. Consultant shall maintain all books, documents, papers, employee time sheets, accounting records and other evidence pertaining to costs incurred and shall make such materials available at their respective offices at all reasonable times during the contract period and for three (3) years from the date of final payment under this Agreement for inspection by City, and copies thereof shall be furnished if requested. SECTION 16, INDEPENDENT CONTRACTOR. At all times during the term of this Agreement, Consultant shall be an independent contractor and shall not be an employee of the City. City shall have the right to control Consultant only insofar as the results of Consultant's services rendered pursuant to this Agreement; however, City shall not have the right to control the means by which Consultant accomplishes services rendered pursuant to this Agreement. All persons employed to provide services under this Agreement shall be employees or contractors of Consultant and shall not be deemed employees of City for any reason or purpose. Consultant shall be responsible for providing worker's compensation insurance coverage for all persons employed to perform services under this Agreement. 4 SECTION 17, INDEMNITY. Consultant shall be responsible for all injuries to persons and for damages to real or personal property of City, caused by or resulting from any activity or operation of Consultant, its employees or its agents during the progress of or connected with the rendition of services hereunder. Consultant shall defend and hold harmless and indemnify City and all officers and employees of the City from all costs and claims for damages to real or personal property or personal injury to any third party resulting from the activity of itself, employees or its agents. SECTION 18, INSURANCE REQUIREMENTS, 1) Comprehensive General Liability. Consultant shall maintain in full force and effect comprehensive general liability coverage, including premises operations, products/completed operations, broad form property damage and blanket contractual liability in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 2) Comprehensive Automobile Liability. Consultant shall maintain in full force and effect comprehensive automobile liability coverage, including owned, hired and non- owned vehicles in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 3) Errors and Omissions Coverage. Consultant shall maintain in full force and effect professional errors and omissions coverage in a minimum amount of$500,000. 4) Worker's Compensation. If Consultant employs employees to perform services under this Agreement, Consultant shall obtain and maintain, during the life of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 5 These policies shall not terminate, nor shall they be canceled nor the coverage reduced until after 30 days' written notice is given to the City. Prior to beginning work, Consultant shall provide to City certificates of insurance establishing that the required insurance coverages have been secured by Consultant. Consultant shall provide an endorsement to City establishing that City has been legally added as an additional insured to the insurance policies required under this Agreement. SECTION 19. TIME FOR SUBMITTING PROOF OF INSURANCE. Consultant shall submit proof of insurance requirements under this Agreement to the City Clerk's office prior to beginning any work under this Agreement. Consultant shall not receive any compensation until all insurance provisions have been certified. SECTION 20. LICENSES. PERMITS. ETC. Consultant represents and warrants to City that he has all licenses,permits, qualifications and approvals of whatever nature that are legally required to practice his profession. Consultant represents and warrants to City that Consultant shall, at his sole cost and expense, keep in effect at all times during the term of this Agreement, any license, permit or approval which is legally required for Consultant to practice his profession. SECTION 21. CONSULTANT NOT AN AGENT. Except as City may specify in writing, Consultant shall have no authority, express or implied, to act on behalf of the City in any capacity as an agent. Consultant shall have no authority, express or implied, pursuant to this Agreement, to bind City to any obligation. SECTION 22. PERSONNEL. Consultant agrees to assign the following person/persons to perform the tasks set forth in the Agreement: Dan Van DoMe, Neil Evans. Hue Luu, Tom Van D=e and Shahla Salimi. Consultant shall not unilaterally alter the assignment of the above personnel without the authorization ofCity. City shall have the unrestricted right to order the removal of any person/persons assigned by Consultant by giving oral or written notice to Consultant to such effect. SECTION 23. NON-DISCLOSURE REOUHZEMENTS/CONFLICT OF INTEREST. Pursuant to Council policy, it has been determined that the services to be rendered under 6 the provisions of this Agreement are excluded by the requirement of filing a Financial Disclosure Statement by California Administrative Code Section 18700(2)(A) and (B). Consultant certifies that to the best of its knowledge, no City employee or office of any public agency interest in this Agreement has any pecuniary interest in the business of Consultant and that no person associated with Consultant has any interest that would conflict in any manner or degree with the performance of this Agreement. Consultant represents that it presently has no interest and shall not acquire any interest, direct or indirect, which could conflict in any manner or degree with the faithful performance of this Agreement. Consultant is familiar with the provisions of Government Code Section 87100 and following, and it certifies that it does not know of any facts which constitute a violation of said provisions. The services are generally described herein and are intended to supplement staff's efforts where specific expertise is required or time constraints necessitate consultant assistance. From the proposals, a team of consultants will be selected who best represent expertise across the various specialty areas. The team will become part of a four-year program in which the work load will be spread among the team members. Work will be parceled out on an as-needed basis, and no specific guarantee can be given as to the annual fees for consultant usage. The consultant team will only be modified in the event consultants are dropped from the list due to corporate changes or it is deemed by the City that additional consultants are warranted. INVITATION TO RESPOND The City of San Juan Capistrano is soliciting proposals for professional consulting services. Huber, Engineering& Building Director City of San Juan Capistrano 32400 Paseo Adelanto San Juan Capistrano, CA 92675 no later than 5:00 p.m., September 16, 1996. Proposals will not be accepted after this time. FORM OF PROPOSAL Consultant proposals shall contain the following: 1. Statement of qualifications clearly indicating the services in which the firm is interested; 2. Statement/discussion of services provided, including anticipated turnaround times and ability of firm to handle requests on an as-needed basis; 3. Resumes of key personnel for various service areas; 4. Consultant fee schedules, including hourly rates and proposed flat fees; 5. Completed consultant self rating form included with this request for proposal. EVALUATION OF PROPOSALS The City of San Juan Capistrano is interested in selecting consultants who have the experience and expertise to render plan checking, engineering and architectural services in a comprehensive and timely manner. Accordingly, the evaluation criteria will consist primarily of four parts: 1. Consultant's experience 2. Consultant's expertise 3. Consultant's ability to handle volume and meet time frames 4. Consultant's costs It is important to the City that you identify the persons you will assign to various functions, at which office they are assigned and whether they are full-time employees of your firm. You should also address any conflict of interest that may exist and comment on solutions. Nonacceptance of any proposal will not imply criticism of the proposal or that any proposed service was deficient. All participating condidates will be notified of the decision reached. CONSULTANT'S RESPONSIBILITY The Consultant shall perform the tasks as set forth herein: A. Building Services 1. Review construction documents in accordance with the following uniform model codes as amended by City ordinance: a. Uniform Building Code - 1994 Edition b. Uniform Plumbing Code - 1994 Edition c. Uniform Mechanical Code - 1994 Edition d. National Electrical Code - 1993 Edition e. California Code of Regulations - Title 24 2. Engineering/Architectural Services Complete services in a thorough and efficient manner, on time and within approved fee schedule. E. Fee Schedules 1. Engineering Fees a. Plan Check Engineering fees will be determined for plan check services based on the attached fee schedule. The consultant shall bill on an hourly basis, not to exceed 75%of the total fee, and fees may be negotiated lower if, in the determination of the City, a lower fee is warranted. b. Design/Architectural Services will be negotiated on a project-by-project basis based on a pre-agreed scope of work. Payment will be as determined by the City project manager. Base plan check fee will be 65%of building permit fee, not including surcharges. Structural plan check is not to exceed 60%of base plan check fee, not including any surcharges. b. Other Services Services will be negotiated on a project-by-project basis based on a pre-agreed scope of work. Payment will be as determined by the City project manager. F. Maintenance of Records Consultant shall maintain all books, documents, papers, employee time sheets, accounting records/ledgers and other evidence pertaining to costs incurred and shall make such materials available at their respective offices at all reasonable times during the contract period and for three years from the date of final payment for inspection by the City. The consultant shall furnish copies, if requested. CITY'S RESPONSIBILITY The City shall perform the tasks as set forth herein: A. Establishment of Valuation(Plan Check Services Only) Assign a valuation to the proposed work in accordance with the appropriate Engineering or Building Division standards. The City shall collect all fees from the applicant in connection with the services. B. Project Submittal City will supply all necessary documentation/specifications,reports, studies, calculations, etc., to Consultant as is readily available at the City. Request for Proposal Page 6 C. Coordination City will serve as project coordinator. On plan checking, the City will be responsible for notifying the applicant when plans with corrections are available to pick up. The City will route plans (preliminary/revised) to and from the Consultant. SELECTION PROCESS The Selection Committee, comprised of the Engineering& Building Director, Building Official and two Senior Engineers,will review the proposals submitted. Candidates will be selected based on the proposals submitted, including qualifications of staff, proposed fee schedules and ability to handle work load in a timely manner. This is a comprehensive plan review including compliance to energy standards and accessibility requirements. For repetitive plan: 15 percent of the fee charged for the first building type. Structural Plan Review Only The fee for review of plans for compliance with the Structural Safety Regulation of the UBC is 60 percent of the building plan check fee collected by the City. Inspection Services Our fee to provide a combination building inspector is $48 per hour with an 8 hour minimum day. Additional Work Any additional work not included in the basic services listed above will be performed at a rate of$65 per hour or as specified above for specific types of work. This work includes plan checking of revisions to previously checked and/or approved plans. Billing Invoices will be sent at the end of each month or other date set by the City. Each invoice will indicate the job address,plan check number, valuation, plan check fee per the City's fee schedule and the fee to be paid to VanDorpe Chou Associates in accordance with the agreement. Huber, Director of Engineering& Building SUBJECT: Consideration of Agreements for Long-Term Plan Check and Design Services Team RECOMMENDATION It is recommended that the City Council approve the consultant service contracts for the Plan Check and Design Services Team. SITUATION A. Summary and Recommendation The Plan Check Team, consisting of 20 consultants, was approved in 1992 for a four-year term. The team concept was created as a means to improve service delivery to resident and developer plan check. The concept has worked very well resulting in improved efficiencies. The contracts will expire on December 31, 1996; therefore, staff has solicited proposals and is requesting 34 firms be recommended for a three-year term with two one-year extensions. In addition, staff is requesting that the scope of services be expanded to.include design services under the condition that staff still adhere to the City's purchase order regulations. B. Background 1. History On January 21, 1992, City Council approved the concept of creating a plan check consultant team consisting of a select group of consultants. The team concept creates a long-term contract with each consultant. The purpose of the team concept is to have available consultants with approved contracts and insurance in place ready to go to work. In the past, consultant services for outside plan check required solicitation of an RFP to three or more firms. Review and selection of a consultant required processing of agreements through City Attorney and acquisition of appropriate insurance. All of the above required considerable staff time and delayed plan checking for months to complete the process. AGENDA ITEM -2- January 7, 1997 The team concept provides preapproved agreements and allows staff to expeditiously process all consultant plan checking. In addition, the plan check team agreements all required that they perform their services at a specified percentage of the City's fees which guarantees costs and assures that City staff is also compensated for processing from the remaining balance. All consultants agree to a fee not to exceed 65%and 80%depending upon the type of plan check. In many instances, the fees are negotiated lower, especially on larger projects. Over the past four years, the economy has been such that the team was used very little, and most review was done by inhouse staff. When consultants were used, the process was extremely efficient and worked very smoothly. 2. Selection Process Approximately 48 firms were solicited either by being on our mailing list or by calling and requesting to be included. Of the 48 firms, 34 responded with proposals. The proposals included general engineering and building firms plus a number of specialty firms. The specialty firms include areas such as geotechnical,traffic,building structural and drafting services. A review team consisting of the Department Director, Building Official and Development Engineer reviewed the proposals for the following elements: *Consistency with the scope of work; *Ability to meet schedules; *Past performance of similar work; *Individual(s) specified to work on projects *Ability to meet fee requirements; *Qualifications of firm in handling required work. Staff believes that all 34 firms qualify based on the above. Since this is a three-year contract with two one-year extensions,there i s no need to narrow the field. Staff prefers to spread costs among the team as work becomes available. Design Services Staff is proposing to add design services in addition to plan check. This would help to accelerate the design process by having approved agreements and insurance in place, eliminating the need for time consuming reviews and insurance delays. 4. Process a. Plan Check Services - As previously stated, plan check services are to be performed at a not-to-exceed fee based on a fixed percentage of the City's calculated plan check cost. This eliminates the need to negotiate fees and allows staff to select a consultant and request they perform the work at the agreed-upon price. No time is wasted with costly proposals, reviews and fee negotiations. b. Design Services - Services not covered by fee recovery, such as design for a City capital improvement project, will continue to require that staff solicit proposals from at least three members of the team. Proposals will then be evaluated and followed by consultant selection. If the fee exceeds the current City policy limit of$10,000,then it will be forwarded to the City Council for review and approval. However, no new agreements will be required nor will insurance certifications cause delays since they will already be in place. 5. Conclusions Based on past experience,the team concept has greatly helped to reduce wasted time and complaints from developers and residents regarding plan check review time. Staff is, therefore, recommending approval of the consultant agreements. COMMISSIONBOARD REVIEW AND RECOMMENDATIONS Not applicable. FINANCIAL CONSIDERATIONS Costs for plan check services will be fully funded from engineering and building fees. Design services would be funded from respective capital improvement projects. Based on fees projected to be collected, a budget for consultant services would be developed annually to cover the costs under these contracts. PUBLIC NOTIFICATION Not applicable. Plan Check Engineering fees will be determined for plan check services based on the attached fee schedule. The consultant shall bill on an hourly basis, not to exceed 75% of the total fee, and fees may he negotiated lower if, in the determination of the City, a lower fee is warranted. b. Design/Architectural Services will be negotiated on a project-by-project basis based on a pre-agreed scope of work. Payment will be as determined by the City project manager. Request for Proposal Page 5 2. Building Fees a. Plan Check Total plan check at 80%of base plan check fee paid by applicant not including any surcharges(base plan check fee). Base plan check fee will he 65%of building permit fee, not including surcharges. Structural plan check is not to exceed 60%of base plan check fee, not including any surcharges. b. Other Services Services will be negotiated on a project-by-project basis based on a pre-agreed scope of work. Payment will be as determined by the City project manager. F. Maintenance of Records Consultant shall maintain all books, documents, papers, employee time sheets, accounting records/ledgers and other evidence pertaining to costs incurred and shall make such materials available at their respective offices at all reasonable times during the contract period and for three years from the date of final payment for inspection by the City. The consultant shall furnish copies, if requested. CITY'S RESPONSIBILITY The City shall perform the tasks as set forth herein: A. Establishment of Valuation (Plan Check Services Only) Assign a valuation to the proposed work in accordance with the appropriate Engineering or Building Division standards. The City shall collect all fees from the applicant in connection with the services. B. Project Submittal City will supply all necessary documentation/specifications, reports, studies, calculations, etc., to Consultant as is readily available at the City. Request for Proposal Page 6 C. Coordination City will serve as project coordinator. On plan checking, the City will be responsible for notifying the applicant when plans with corrections are available to pick up. The City will route plans (preliminary/revised) to and from the Consultant. SELECTION PROCESS The Selection Committee, comprised of the Engineering& Building Director, Building Official and two Senior Engineers, will review the proposals submitted.
