Shaw, City Attorney 32400 Paseo Adelanto San Juan Capistrano, California 92675 Dear Mr. Shaw: May 2, 1985 This letter is to advise you of the following particulars regarding the proposed transfer of the Storer Cable TV fran- chise for the City of San Juan Capistrano ("Storer Franchise") to a Times Mirror Cable Television, Inc. subsidiary. As you know, Times Mirror Cable Television, Inc. pro- poses to have the Storer Franchise transferred to its Times Mirror Cable Television of North Little Rock, Inc. subsidiary. The reason for this seemingly convoluted exchange is so that both parties to the transfer may qualify for favorable tax treatment from the Internal Revenue Service. A simple transfer of the Storer Franchise to our Times Mirror Cable Television of Orange County, Inc. subsidiary would not effect such favorable tax treatment. However, you should know that Times Mirror Cable Television of Orange County, Inc. will be the entity which will manage and operate the Storer Franchise. Finally, Times Mirror Cable Television, Inc. hereby i# waives jurisdiction under the laws of the State of Arkansas�on Iowa fel. JkA and agrees to resolve any dispute which may arise under the C ^ Storer Franchise in accordance with the laws of the State of California and in a forum located therein.
