PERSONAL SERVICES AGREEMENT d.�— THIS AGREEMENT is made and entered into this day of , 2005, by and between the City of San Juan Capistrano (hereinafter referred to as the "City") and PBS&J, (hereinafter referred to as "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to Prepare a Preliminary Study for widening San Juan Creek Road from Valle Road to Camino Capistrano; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scone of Work.. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit 'A" attached and incorporated herein by reference. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Term. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than June 30, 2006. Section 3. Compensation.. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed Fifty One Thousand Two Hundred Ninety Seven Dollars (51,297), as set forth in Exhibit "B," attached and incorporated herein by reference. PBSJpsa.doc1.rtf 1/3/2005 S 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit "C," attached and incorporated herein by reference. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Consultant shall submit monthly invoices based on total services which have been satisfactorily completed and specifying a percentage of projected completion for approval by the City. The City will pay monthly progress payments based on approved invoices in accordance with this Section. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. PBSJpsa.doc1.rtf 1/3/2005 Section 6. Changes to Scope of Work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence.. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to City at least one (1) copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the City shall be in reproducible format. All services to be rendered hereunder shall be subject to the direction and approval of the City. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. Consultant agrees to protect and hold harmless City, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including reasonable and necessary attorneys' fees, for injury or death of any person or damage to property or interference with use of property and for errors and omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14. Insurance. Insurance required herein shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A - Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non -owned vehicles in the following minimum amounts: PB5Jpsa.doc1.r[f 1/3/2005 $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the Clerk of the Board's office for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancellation/Termination of Insurance The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. PBSJpsa.doc1.rtf 1/3/2005 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City and Consultant shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to the other party In addition, this Agreement may be terminated for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. Section 17. Attorneys Fees.. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute may upon mutual agreement of the parties, be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. Sha , City Attorney PBSJpsa.doc1.rtf 1/3/2005 Exhibit A - s Scope of Work PROJECT UNDERSTANDING Continued growth in the southerly and easterly regions of the City of San Juan Capistrano has created traffic problems on San Juan Creek Road at the I-5 freeway. San Juan Creek Road is a major arterial, with two 12 -foot lanes in each direction going r--r— going under the freeway. Heavy traffic trying to turn southbound !u°t from San Juan Creek Road onto e SJ` Va Valle Road causes frequent back ups at the undercrossing. In order to relieve the current congestion, the City plans to widen San Juan Creek Road, between Camino Capistrano and Valle Road, by adding a right - turn only lane leading to Valle Road southbound. In addition, the City proposes to create a sidewalk and bike trail area on the north side of San Juan Creek Road, with the possibility of adding a westbound lane in the future. PBS&J understands the importance of this project to the City. With the rapid growth in the City and surrounding areas, San Juan Creek Road is experiencing a deteriorated level of service. The existing deficiencies will worsen with future development unless improvements are made. FIW�10�fl SCOPE OF WORK The scope of work includes, essentially: site survey, preliminary study of the road widening, traffic analysis, development of conceptual plans, cost estimate of the project, and compiling the information into a report. The following tasks outline the process for completing the preliminary study: Task 1 — Project Management/Coordi- nation/Administration Purpose Provide overall project and financial management of the project, including client coordination, coordination with other agencies (i.e. Caltrans, County of Orange), tracking progress of the work to be performed, preparing monthly invoices, and attending meetings. Methodology PBS&J, through its Project Manager, will provide overall project management, coordination, and supervision of project staff to facilitate the performance of the work in accordance with the scope and requirements of the City and Caltrans. We will maintain coordination with other members of the project team and regulatory agencies impacted by the project. A detailed project schedule will be provided to the City with ten days of notice proceed. This detailed schedule will incorporate comments received to our proposed schedule presented in this proposal. A project kick-off meeting will be held as soon as possible after notice to proceed is issued to review project objectives and requirements, receive initial information from agencies, establish communication protocols and address other issues as necessary to ensure a successful project initiation. Thereafter, meetings, with the City and/or Caltrans will be conducted as necessary to discuss progress, general project issues, obtain direction and to exchange information. Meetings will be held with City and Caltrans personnel to ensure satisfactory progress of the work. Internal design team meetings shall be held as necessary to coordinate design activities, review task assignments and progress and identify issues to be resolved. This proposal assumes a total of six monthly meetings in San Juan Capistrano with the City and/or other involved agencies. Deliverables ❖ Revised Project Schedule ❖ Progress Reports ❖ Monthly Invoices ❖ Meeting Minutes Task 2 — Engineering Evaluation The primary objectives of this task are to develop a widening concept, prepare preliminary conceptual design drawings, perform traffic analysis, and develop a study report. SUBTASK 2.1 - DATA COLLECTION Purpose Obtain existing and previously documented information for all features of the proposed project. Methodology This subtask involves the collection and assembly of available existing information in the vicinity of the project site from the City of San Juan Capistrano, County of Orange, and Caltrans. This information will include recent traffic count data, future traffic projections, as-builts, utility maps, existing physical features of the project site, traffic studies, traffic signal features, environmental documents, future improvements at and within project limits of the site, route concept report, and city master plan of streets. A field study will be performed to identify any major developments and improvements not shown on the mapping. PW utilization of available data. ❖ Deliverables Listing of relevant reports and documentation to be utilized. SUBTASK 2.2 - SURVEYS AND MAPPING (OPTIONAL DEPENDING ON AVAILABLE DATA) Purpose Obtain survey mapping for all existing features of the proposed project including topography. This task is optional, if there is no available aerial map or survey to superimpose the widening and proposed improvements. Methodology This subtask involves survey of the project area. Delivtrables Base Mapping to be shown on Exhibit Layout Plans. SUBTASK 2.3 - CONCEPTUAL/PRELIMINARY PLANS Purpose Develop conceptual/preliminary design plans including layout plans, typical sections, and construction staging/traffic handling schematics for the widening improvements, including a preliminary channelization and signage plan. Methodology Exhibit plans will be developed based on City standards. Lane, shoulder and median widths will be labeled. Conceptual construction staging schematics will be prepared to verify constructability and feasibility of traffic handling. Typical sections will be developed as necessary to illustrate the field conditions. In addition, pedestrian and bike path will be included in the exhibit layouts and shown on the typical cross sections. 'Ihe exhibit layouts will include the following elements. (,a Printed. Recycled Paper PBSM Proposal # 99.1066 34 A-3 Right -Of -Way Impacts - The right-of-way requirements will be identified using the mapping, as -built information and field review. The preliminary plans will identify property lines, proposed right-of-way lines, easements, and utilities. Utility Relocations - Utilizing the utility maps obtained in the data collection task, the preferred alternative will be analyzed for nay major conflicts with surrounding utilities, including drainage facilities. The existing utilities will be overlaid on the layout pians to illustrate potential conflicts. TraficAnalysis - The traffic analysis will focus on the effects the widening on the operations of the local roads, and local street intersections. The traffic analysis will be performed for existing and future conditions during critical peak hours. This analysis will be conducted using the highway capacity principles. Traffic growth projections for future years will be obtained from the City and and/or SCAG, which are consistent with the SCAG's model. All traffic modeling efforts to forecast the future traffic will be performed by SCAG. During this phase, close coordination will be maintained with the City, SCAG, and Caltrans. The 2030 analysis will consider both options of San Juan Creek Road connected to La Pata Avenue and not connected. Costs - A cost estimate will be prepared for the conceptual design of the widening. The estimate will provide order of magnitude costs for major items of work including roadwork, structure, right-of-way, etc., based on costing procedures, with an appropriate contingency factor for this level of design. A-4 ❖ Information and results obtained from the above studies and analysis to be included in the draft Study Report Traffic Study Task 3 - Study Report SUBTASK 3.1 - DRAFT STUDY REPORT Purpose Prepare a draft study report presenting the proposed improvements for City review prior to submittal to Caltrans. Methodology This subtask involves preparing the draft study report summarizing the improvements studied and the evaluation of the results. The draft study report will include the conceptual design drawings of the improvements and other pertinent information typically included as attachments to the study report. Prior to presentation of this report, we will meet with City and Caltrans staff to evaluate the results of the improvements studied. Deliverables Draft Study Report SUBTASK 3.2 - CITY REVIEWS OF THE DRAFT STUDY REPORT Purpose Provide Draft Study Report to the City for review and comment. Methodology Five copies of the report will be submitted and distributed to the City for their review and comment. We will request that the Caltrans project manager also review this document informally to identify any issues/concerns prior to the draft submittal to Caltrans. Deliverables A consolidated copy of all the review comments from the City. SUBTASK 3.3 - REVISED DRAFT STUDY REPORT Purpose Prepare a revised draft study report presenting the proposed improvements and incorporate all City comments. Methodology This subtask involves revising the draft study report to incorporate the City's comments. We will again meet with the City and Caltrans staff to evaluate the comments and the results of the study prior to the submittal of this report. Deliverables Revised Draft Study Report SUBTASK 3.4 - CALTRANS AND QTY REVIEW OF THE REVISED DRAFT STUDY REPORT Purpose Develop the revised draft study report to the City and Caltrans for review and comment. Methodology Five copies of the report will be submitted and distributed to the City and Caltrans for their review and comment. Deliverables A consolidated copy of all the review comments from the City and Caltrans SUBTASK 3.5 - FINAL STUDY REPORT Purpose Prepare the final study report incorporating the City and Caltrans comments on the draft study report. We Make it Happen! appropriate actions will be taken. This step reduces the opportunity for confusion and provides a clear direction towards the development of the final initial report. Once concurrence has been reached on all outstanding issues, the final report will be revised and resubmitted to the City and Caltrans for approval and signature. Deliverables Final Study report Any aspect of this approach can be modified or enhanced per requirements, and input provided by the City and Caltrans for the project It is PBSdJ's goal to work closely with the City and Caltrans as a team to ensure the best quality product, efficiency, and overall success ofthe project. Quality Control A key component of our ability to deliver projects on time and within budget is the strict adherence to our Quality Assurance/Quality Control (QAIQC) pro- gram. Every project deliverable prepared must under- go a quality control review to assure that the product was prepared in accordance with accepted standards of our professional practice and in accordance with the requirements of our client contract. The QA/QC program requires project managers to document in a project control plan how the project will proceed. Specific elements of this project control plan include: Project description with notation of special project issues Detailed scope Schedule with tasks, milestones, deliverables, staffing plans, production plans, and quality control plans ❖ Budgets Communication plans ❖ Document control plans ❖ Internal kick-off meeting agenda and minutes The quality control review procedure is implemented in order to monitor the progress of the work. Specific elements of this process include: ❖ The lead technical professional responsible for the work refines it, saying in effect, it is ready to go out. ❖ The work is given to a second, qualified person, or QC reviewer, who reviews it and notes any recommended modifications. ❖ The two professionals reach consensus on the suggested revisions. Changes are made by the lead technical professional. ❖ Changes are verified by the QC reviewer. The PBS&J Design Team is committed to providing quality professional services to all of our clients. Schedule At the outset of the project we will develop an overall schedule for the tasks to be performed, which include not only tasks performed by the consultant team, but tasks, such as reviews, performed by other parties. It is important that each person responsible for accomplishing a task on time is included in the initial discussions regarding the project schedule. PW A-6 the overall schedule, time should be allotted to compensate for any delays that might occur during the project. An updated schedule will be presented as needed at each meeting. Each person involved will have the opportunity to report on the status of his task and confirm anticipated completion dates. Potential problems will be identified and addressed early in order to avoid negative impacts. Maintaining the schedule in this manner enables all parties to accurately schedule the work, thereby improving everyone's efficiency and reducing costs. We have developed a preliminary schedule for this project based upon our experience on similar projects. The schedule can be compressed, if there are factors, such as funding, which require the project schedule to be accelerated. However, this schedule allows for the work to proceed in the most efficient and orderly manner. The study report phase usually takes a minimum of six months to go through the approval process. SITUATION A. Summary and Recommendation Staff has solicited proposals for a Preliminary Study for the widening of San Juan Creek Road between Valle Road and Camino Capistrano at the existing 1-5 undercrossing and is recommending City Council award a personal services agreement to PBS&J in the amount of $51,297 for this work. B. Background At the September 16, 2003 meeting, City Council adopted the Traffic Congestion Relief Capital Improvement Program from the Traffic Congestion Relief ad hoc committee comprised of City Council members and Executive Staff. The Traffic Congestion Relief Program (TCRP) identifies a wide range of circulation improvements throughout the city. This project which will widen San Juan Creek Road between Valle Road and Camino Capistrano at the existing 1-5 undercrossing, was rated # 31. The primary purpose of the project is to provide an additional eastbound lane behind the south freeway bridge columns. The secondary purpose is to provide sidewalk and bicycle facilities behind the north columns. City Staff has met with Caltrans Staff and discussed this initial step as necessary to establish the level of benefit of the proposed project. Five requests for proposals were sent out on this project to; RBF, Austin -Foust Associates, Darnell & Associates, Parsons Transportation, and PBS&J. A proposal was received only from PBS&J. Current workload was cited as the reason for other consultants not submitting a proposal. PBS&J has extensive Orange County work experience including the Harbor Boulevard Undercrossing as part of the 1-405/ SR -73 Interchange Improvements; Advanced Planning Study and Phase I of the SR -22 HOV Improvement project; and more locally has provided the City of Dana Point with City Engineering Services since 2001 until recently. RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to Prepare a Preliminary Study for widening San Juan Creek Road from Valle Road to Camino Capistrano; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work.. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit "A," attached and incorporated herein by reference. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Term. This. Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than June 30, 2006. Section 3. Compensation.. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed Fifty One Thousand Two Hundred Ninety Seven Dollars (51,297), as set forth in Exhibit "B," attached and incorporated herein by reference. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Consultant shall submit monthly invoices based on total services which have been satisfactorily completed and specifying a percentage of projected completion for approval by the City. The City will pay monthly progress payments based on approved invoices in accordance with this Section. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence.. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to City at least one (1) copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the City shall be in reproducible format. All services to be rendered hereunder shall be subject to the direction and approval of the City. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. Consultant agrees to protect and hold harmless City, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including reasonable and necessary attorneys' fees, for injury or death of any person or damage to property or interference with use of property and for errors and omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14. Insurance. Insurance required herein shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A - Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the Clerk of the Board's office for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. City and Consultant shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to the other party In addition, this Agreement may be terminated for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. San Juan Creek Road is a major arterial, with two 12 -foot lanes in each direction going under the freeway. Heavy traffic trying to turn southbound°a from San Juan Creek Road onto e Ile U , Valle Road causes frequent back ups at the uh&rcrossing. ®' ^ In order to relieve the current congestion, the City plans to widen San Juan Creek Road, between Camino Capistrano and Valle Road, by adding a right - turn only lane leading to Valle Road southbound. In addition, the City proposes to create a sidewalk and bike trail area on the north side of San Juan Creek Road, with the possibility of adding a westbound lane in the future. PBS&J understands the importance of this project r to the City. With the rapid growth in the City and surrounding areas, San Juan Creek Road is experiencing a deteriorated level of service. the existing deficiencies will worsen with future development unless improvements are made. EXHIBIT A PW 0 SCOPE OF WORK The scope of work includes, essentially: site survey, preliminary study of the road widening, traffic analysis, development of conceptual plans, cost estimate of the project, and compiling the information into a report. The following tasks outline the process for completing the preliminary study: Task 1 — Project Management/Coordi- nation/Administration Purpose Provide overall project and financial management of the project, including client coordination, coordination with other agencies (i.e. Caltrans, County of Orange), tracking progress of the work to be performed, preparing monthly invoices, and attending meetings. Methodology PBS&J, through its Project Manager, will provide overall project management, coordination, and supervision of project staff to facilitate the performance of the work in accordance with the scope and requirements of the City and Caltrans. We will maintain coordination with other members of the project team and regulatory agencies impacted by the project. A detailed project schedule will be provided to the City with ten days of notice proceed. This detailed schedule will incorporate comments received to our proposed schedule presented in this proposal. A project kick-off meeting will be held as soon as possible after notice to proceed is issued to review project objectives and requirements, receive initial information from agencies, establish communication protocols and address other issues as necessary to ensure a successful project initiation. Thereafter, meetings, with the City and/or Caltrans will be conducted as necessary to discuss progress, general project issues, obtain direction and to exchange A-2 information. Internal design team meetings shall be held as necessary to coordinate design activities, review task assignments and progress and identify issues to be resolved. This task is optional, if there is no available aerial map or survey to superimpose the widening and proposed improvements. Methodology This subtask involves survey of the project area. SUBTASK 2.3 - CONCEPTUAL/PRELIMINARY PLANS Purpose Develop conceptual/preliminary design plans including layout plans, typical sections, and construction staging/traffic handling schematics for the widening improvements, including a preliminary channelization and signage plan. Methodology Exhibit plans will be developed based on City standards. Lane, shoulder and median widths will be labeled. Conceptual construction staging schematics will be prepared to verify constructability and feasibility of traffic handling. Typical sections will be developed as necessary to illustrate the field conditions. In addition, pedestrian and bike path will be included in the exhibit layouts and shown on the typical cross sections. 'The exhibit layouts will include the following elements. • A-3 Right -Of -Way Impacts - The right-of-way requirements will be identified using the mapping, as -built information and field review. The preliminary plans will identify property lines, proposed right-of-way lines, easements, and utilities. Utility Relocations - Utilizing the utility maps obtained in the data collection task, the preferred alternative will be analyzed for nay major conflicts with surrounding utilities, including drainage facilities. The existing utilities will be overlaid on the layout plans to illustrate potential conflicts. Tra�ScAnalysis -The traffic analysis will focus on the effects the widening on the operations of the local roads, and local street intersections. The traffic analysis will be performed for existing and future conditions during critical peak hours. This analysis will be conducted using the highway capacity principles. Traffic growth projections for future years will be obtained from the City and and/or SCAG, which are consistent with the SCAG's model. All traffic modeling efforts to forecast the future traffic will be performed by SCAG. During this phase, close coordination will be maintained with the City, SCAG, and Caltrans. The 2030 analysis will consider both options of San Juan Creek Road connected to La Pata Avenue and not connected. Costs - A cost estimate will be prepared for the conceptual design of the widening. The estimate will provide order of magnitude costs for major items of work including roadwork, structure, right-of-way, etc., based on costing procedures, with an appropriate contingency factor for this level of design. Methodology Five copies of the report will be submitted and distributed to the City for their review and comment. We will request that the Caltrans project manager also review this document informally to identify any issues/concerns prior to the draft submittal to Caltrans. SUBTASK 3.3 - REVISED DRAFT STUDY REPORT Purpose Prepare a revised draft study report presenting the proposed improvements and incorporate all City comments. Methodology This subtask involves revising the draft study report to incorporate the City's comments. We will again meet with the City and Caltrans staff to evaluate the comments and the results of the study prior to the submittal of this report. Maintaining the schedule in this manner enables all parties to accurately schedule the work, thereby improving everyone's efficiency and reducing costs. We have developed a preliminary schedule for this project based upon our experience on similar projects. The schedule can be compressed, if there are factors, such as funding, which require the project schedule to be accelerated. However, this schedule allows for the work to proceed in the most efficient and orderly manner. The study report phase usually takes a minimum of six months to go through the approval process.
