CONTRACT
This agreement entered into the = day of
,ember, 19@2, between City of San Juan Capi,
Chamber of Commerce (hereinafter known as Sponsor) and
THE DONNING COMPANY/PUBLISHERS, INC. of Norfolk, Virginia
(hereinafter known as Publishers) concerning the purchase
of the Limited Edition of (hereinafter known as Book) San
Juan Capistrano: A Pictorial History (working title) by
Pam Gibson.
I. Sponsor agrees to purchase two thousand (2.000) copies
of the Limited Edition of Book from the Publisher.
2. Publishers agrees to sell two thousand (2.000) copies
of the Limited Edition of Book at $22.97 per copy, for a
total of forty-five thousand, nine hundred and forty
dollars ($45.940).
3. Sponsor will have a complete exclusive on the sale of
the Limited Edition of Book, from date of delivery. Book
will not be made available to any retail or wholesale
market within the limits of California. Libraries, city
and schools and all other retail markets outside of the
aforesaid city/county/state limits are exempted from this
exclusive.
4. The Donning Company hereby agrees to grant Sponsor a
maximum of 1_year (365) days to sell its supply of
Limited Editions of Book. The Donning Company may offer
for sale the trade edition of Book at the end of this
exclusive period, or upon depletion of the supply of
Limited Edition issues, whichever occurs first. Thie
exclusive period will begin upon delivery of Book from The
Donning Company.

5. The lYboks are scheduled for delivery to Sponsor on or
about, 1990. Both parties acknowledge that
unforeseen delays may occur without fault an the part of
either party during the printing and binding stages of
publication of said Book.

6. Terms for payment shall be twenty-five percent (25%)
of the total payment upon signature, which equals
$11.485.00. The remaining balance of 534..455.00 to be
paid in full no later than seven (7) days from delivery.
The same terms shall apply to any additional orders of
books per item (3).
All charges for delivery of the books through normal
shipping channels shall be borne by Sponsor.
7. Sponsor agrees at a minimum to engage in a reasonable
promotion of the Book, which for best results should
include an announcement event; gifts to libraries and key
individuals; media advertising; posters or displays; and
sale and display of the books. Publisher agrees to send
out news releases and review copies to selected reviewers
upon publication. Books must, in any event, be displayed
and offered for sale at the main office during the entire
I� promotion.
S. Publishers agrees to arrange for replacement by the
printer or binder of any books which are torn or damaged,
other than by shipper, improperly printed or bound, or
otherwise of a patently inferior quality of materials, to
a degree which would render them unsalable. Publisner
cannot be responsible for books damaged in shipment, in
which case claim must be made by Sponsor directly against
shipper.

*Books to be no more than 192 pages
*8 1/2^ x 11"
*Printed on 8o lb. enamel, acid -free
*Book to contain no more than 100 duotones and 200
halftones - 133 line screen will be used to reproduce
photographs
*Text copy to contain no more than 50,000 words
*Books to be Smyth -sewn head and foot bands
*120 point binders board
*End sheets to be printed in black and the same for
back and front
*Kivar 5 cover (color to be selected)
*Gold or silver hot foil stamping on cover and spine
*Four color dust cover jacket using one color
separation with varnish

3. FUNDRAISING PROJECT SAN JUAN CAPISTRANO PICTORIAL
HISTORY (150.10)
Written Communication:
SIV Report dated December 5, 1989, from the Senior Management
Assistant, requesting the City's financial participation
for the publishing of a pictorial history of the City for
' Ce� fundraising purposes for the Historical Society and the
Chamber of Commerce, to be published in time for sale at
the Heritage Festival in March 1990. It was noted that
J the City's participation is contingent upon participation
1A by both the Historical Society and the Chamber of
Commerce.
Jennifer Williams made an oral presentation, noting the
confirmed participation by the Historical Society.
_(1 Approval of Participation:
t' U'I It was moved by Councilman Buchheim, seconded by
AIIPI ! Councilman Friess, and unanimously carried that the City's
participation in the pictorial history project be approved
and that funds not to exceed $15,313.34 from the General
Fund Reserve be authorized, contingent upon participation
by the Chamber of Commerce.
written Communication:
Report dated December 5, 1989, from the Assistant City
Manager, requesting an extension of the interim contract
with Ken Hammon to February 23, 1990, as well as an
increase of $10,000. The final selection of the Director
of Administrative Services is to be completed in December
1989, with the new director to begin in early February
1990.
Mr. Scarborough made an oral presentation.
Adoption of Amended Agreement:
It was moved by Councilman Buchheim, seconded by
Councilman Bland, and unanimously carried that the amended
agreement for consulting services between the City and
Kenneth Hammon be adopted, extending the period of
completion of services to February 23, 1990, and
authorizing an increase in the payment for consulting
services of $10,000.
