THIS AGREEMENT, made and entered into this Z /s
day of Tln e. , 1973, by and between SULLY -MILLER CON-
TRACTING COMPANY (hereinafter called "Contractor"), and
GEORGE E. MADSEN (hereinafter called "Superintendent of
Streets"), in his official capacity as Superintendent of
Streets of the City of San Juan Capistrano, California,
(hereinafter called "City"), under and by virtue of the
authority granted to him as such officer and in accordance
with the Improvement Act of 1911, Division 7 of the Streets
and Highways Code;
IT IS HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS:
First. Contract Documents. The complete Contract includes
all of the Contract documents, to -wit: (a) Notice Inviting
Bids; (b) Instructions to Bidders; (c) Bid Proposal;
(d) General Conditions; (e) Special Conditions; (f) Technical
Provisions including the complete set of Plans for the Con-
struction of Arterial Highway Financing Program, Project No.
641, Assessment District No. 73-1, A Municipal Improvement
Act of 1911 and Underground Utility District No. 2 in
Camino Capistrano, Alipaz Street, Paseo Adelanto, Del Obispo
Street and Los Rios Street; (g) The Contract Agreement;
(h) Performance Bond; (i) Labor and Material Bond; (j) duly
issued Addenda and all modifications incorporated in the
foregoing documents of the Contract Agreement. The fore-
going contract documents are hereby incorporated by refer-
ence and shall be deemed and considered as forming a part
of this Contract Agreement as fully and to the same extent
as if it were copied at length herein.
Second. The Work. The CONTRACTOR agrees to furnish all tools,
labor, materials, equipment, transportation, services and
supplies necessary to perform and complete in a good and work-
manlike manner the Construction of Arterial Highway Financing
Program, Project No. 641, Assessment District No. 73-1, A
Municipal Improvement Act of 1911 and Underground Utility
District No. 2 in Camino Capistrano, Alipaz Street, Paseo
Adelanto, Del Obispo Street and Los Rios Street, in strict con-
formity with and in exact accordance with the Plans and Speci-
fications and all other Contract Documents referred to above,
which documents are on file at the office of the City Clerk,
City Hall, 32400 Paseo Adelanto, San Juan Capistrano, California.
Third. Payment. The work to be done under this contract is
described in the Resolution of Intention, Resolution No. 73-1-22-8,
as amended by Resolution No. 73-2-26-1, for Assessment District
No. 1973-1. Reference is hereby made to said Resolution of In-
tention for a description of the assessment district which the
City Council of San Juan Capistrano has declared to be benefited
by said work to be assessed to pay the cost and expenses thereof.
This contract will be paid from assessments levied in said assess-
ment district and by serial bonds to represent unpaid assessments
as provided in the Improvement Act of 1911. Reference is further
made to said Resolution of Intention for a description of the
serial bonds.
Fourth. Commencement and Completion of the Work. The CONTRACTOR
agrees to begin and complete the work within the time specified
in the Notice Inviting Bids. It is agreed that it would be im-
practicable and extremely difficult to fix the actual amount of

damage and loss sustained should the CONTRACTOR fail to complete
the work in the specified time, he shall pay, as liquidated
damages, ascertain and agreed, and not in the nature of a penalty,
One Hundred Dollars ($100) a day for each day delayed; provided
that extensions of time with waiver of liquidated damages may be
granted as provided in the Specifications.
Fifth. Performance Bond and Labor and Material Bond. The
CONTRACTOR agrees to furnish bonds guaranteeing the performance
of this Contract and guaranteeing payment of all labor and material
used under this Contract, as required by the laws of the State of
California, in forms approved by the Superintendent of Streets.
The Performance Bond shall be for an amount not less than one
hundred percent (1008) of the amount of this Contract, and shall
be conditioned on full and complete performance of the Contract,
guaranteeing the work against faulty workmanship and materials
for a period of one year after completion and acceptance. The
Labor and Material Bond shall be in an amount not less than one
hundred percent (1008) of the amount of this Contract, and shall
be conditioned upon full payment of all labor and material enter-
ing into or incident to the work covered by this Contract. The
CONTRACTOR agrees to furnish the bonds on the forms bound within
these specifications.
Sixth. Insurance. The CONTRACTOR agrees to carry Public Liability
Insurance, Property Damage Insurance, and Workmen's Compensation
Insurance in amounts as required by the Specifications.
Seventh. General Prevailing Rate of Per Diem Wages. The general
prevailing rate of per diem wages and general prevailing rate for

holiday and overtime work in the locality in which the work is
to be performed for each craft, classification, or type of
workman needed to execute the Contract, have been determined
by the City Council and are set forth in the Notice Inviting
Bids. The general prevailing rate of per diem wages set forth
in said documents is hereby incorporated herein and made a part
hereof. The CONTRACTOR agrees that he, or any sub -contractor
under him, will pay not less than the foregoing specified pre-
vailing rates of wages to all workmen employed in the execution
of the Contract.
Eighth. Compliance with Other Provisions of Law Relative to
Public Contracts. It is stipulated and agreed that all provisions
of law applicable to public contracts are a part of this Contract
to the same extent as though set forth herein and will be com-
plied with by the CONTRACTOR. These include, but are not limited
to, the stipulation that eight hours labor constitutes a legal
day's work and the CONTRACTOR will, as a penalty, forfeit Twenty -
Five Dollars ($25) for each workman employed in the execution of
the Contract by the CONTRACTOR or by any sub -contractor for each
calendar day during which such workman is required or permitted
to work more than eight hours in violation of the provisions of
Article Three, Chapter One, Part Seven, Division 2 of the Cali-
fornia Labor Code, except as permitted by law.
Ninth. City Not to be Liable. Pursuant to Section 5285 of said
Streets and Highways Code, it is further agreed and expressly
understood by the parties hereto that in no case, except where
it is otherwise provided by law, will said City, or any official
thereof, be liable for any portion of the expense of the work

aforesaid, or for any delinquency of persons or property assessed.
IN WITNESS WHEREOF, the CONTRACTOR and the SUPERINTENDENT
OF STREETS have hereunto set their hands and seals, all on the
day and year first above written.

WHEREAS, the City of San Juan Capistrano, State of
California, hereinafter designated as the OWNER, has awarded
to Sully -Miller Contracting Company as the PRINCIPAL, a Con-
tract for the construction of Arterial Highway Financing Pro-
gram, Project No. 641, Assessment District No. 73-1, A Municipal
Improvement Act of 1911 and Underground Utility District No. 2
in Camino Capistrano, Alipaz Street, Paseo Adelanto, Del Obispo
Street and Los Rios Street, for the OWNER; and
WHEREAS, said PRINCIPAL is required under the terms of
said contract to furnish a bond for the faithful performance of
said contract;
NOW, THEREFORE, we the PRINCIPAL, and HIGHLANDS r4SURANCE COMPANY
as Surety, are held and firmly bound unto the OWNER in the penal
sum of Nine Hundred Thirty Seven Thousand Five Hundred Thirty -One
Dollars and Ten Cents ($937,531.10), lawful money of the United
States for the payment of which sum well and truly to be made, we
bind ourselves, our heirs, executors, administrators, successors
and assigns jointly and severally, firmly by these presents.
THE CONDITION OF THIS OBLIGATION IS SUCH, that if said
PRINCIPAL, his or its heirs, executors, administrators, successors
or assigns, shall in all things stand to and abide by, and well
and truly keep and perform the covenants, conditions and agreements
in said contract and any alteration thereof made as therein pro-
vided, on his or their part, to be kept and performed at the
time and in the manner therein specified and in all respects
according to their true intent and meaning; shall guarantee all
work required under the said contract against faulty materials
or poor workmanship during the construction period and for one
year after the date of completion and acceptance of the work
under said contract; and shall indemnify and save harmless the
OWNER, its officers and agents as therein stipulated, then this
obligation shall become null and void; otherwise it shall be
and remain in full force and virtue. The Surety further agrees
to pay reasonable attorneys fees of OWNER (as fixed by the Court)
in any proceeding by said OWNER to enforce this bond.
And the Surety, for value received, hereby stipulated and
agrees that, no change, extension of time, alteration or addition
to the terms of the contract or to the work to be performed there-
under or the specifications accompanying the same shall in any
wise affect its obligations on this bond and it does hereby waive
notice of any such change, extension of time, alteration or addi-
tion to the terms of the contract, or to the work or to the
specification.

any person, company, or corporation renting or hiring implements
or machinery or power for or contributing to said work to be done,
or any person who performs work or labor upon the same or any
person who supplies both work and materials therefor, shall have
complied with the provisions of said Act, then said Surety will
pay the same in or to an amount not exceeding the amount herein-
above set forth, and also will pay in case suit is brought upon
this bond, such reasonable attorney's fee as shall be fixed by the
Court.
This bond shall inure to the benefit of any and all persons,
companies, and corporation entitled to file claims under Section
1192.1 of the California Code of Civil Procedure, so as to give a

upon this bond.

SITUATION:
As a result of field conditions and minor changes in design,
attached is a contract change order #7 reflecting an increase
in the total contract price of $2,555.43. All items have
been reviewed and approved by our field inspector. This
change order reflects a final clean up and adjustment of
contract quantities.
ALTERNATE ACTIONS:
1. Approve the change order.
2. Request more information.
RECOMMENDATION:
Approve Change Order #7 to Sully Miller Contracting Co. in the
amount of $2,555.43.

DUE TO RAIN AND TRUCKING DELAYS, SULLY -MILLER HAS REQUESTED AN EXTENSION OF TIME
FOR THE SUBJECT CONTRACT. THE INITIAL CONTRACT CALLED FOR 210 DAYS. ON DECEMBER 17,
1973 THE COUNCIL APPROVED AN EXTENSION OF 45 ADDITIONAL DAYS DUE TO RAIN RELOCATION
OF A STREET GAS LINE, DELAY REQUESTED BY THE CITY TO POSTPONE THE CONSTRUCTION ON
DEL OBISPO UNTIL AFTER THE HOLIDAY SEASON. THERE HAVE BEEN ADDED DELAYS AS NOTED
ON THE ATTACHED CONTRACT CHANGE ORDER NUMBER 5.
ALTERNATE ACTION:
1. DENY THE REQUEST FOR A TIME EXTENSION.
2. APPROVE A TIME EXTENSION OF LESS DAYS THAN REQUESTED.
RECOMMENDATION:
APPROVE CHANGE ORDER NUMBER 5, ALLOWING A TIME EXTENSION OF 20 DAYS. THIS WILL

SITUATION:
AFTER REVIEWING DETAILS OF CONSTRUCTION ON DEL OBISPO STREET BETWEEN THE
TRABUCO CREEK BRIDGE AND THE RAILROAD TRACKS, IT WAS DETERMINED THAT A CONSIDER—
ABLE AMOUNT OF OBSTRUCTION TO TRAFFIC WOULD BE CREATED ACCORDING TO THE EXISTING
STREET SECTION WHICH REQUIRED 411 OF ASPHALT CONCRETE OVER 14" OF AGGREGATE BASE.
THIS WOULD REQUIRE AN EXCAVATION 18" DEEP AND THEN THE COMPACTION OF THREE LAYERS
OF AGGREGATE BASE BEFORE WE COULD PLACE PAVEMENT. WE ASKED FOR ALTERNATE STREET
SECTIONS FROM THE ORANGE COUNTY ROAD DEPARTMENT LAB, WHO SPECIFIED A TOTAL OF
11" OF ASPHALT ON TOP OF NATURAL SOIL. THIS CAN BE PLACED IMMEDIATELY AFTER
EXCAVATION AND WE DO NOT NEED THE STREET CLOSURE FOR THE LENGTH OF TIME IT TAKES
TO COMPACT THE BASE AND THEN PLACE THE ASPHALT.

JUST FOR THE EXTRA AGGREGATE BASE DUE TO THE CONDITION OF THE NEW FILL MATERIAL
FOR THE WIDENED PORTION OF DEL OBISPO STREET. THIS CHANGE WILL ELIMINATE SOME
EXCAVATION OF THE EXISTING ROAD BUT WILL REQUIRE EXTRA FILL ON THE WIDENED
PORTION. THE CONTRACTOR HAS INCLUDED ALL CHANGES IN COST ON THE OVERALL COST
FOR THE ASPHALT. THIS PRICE COMES TO A TOTAL OF $0.593 PER SQUARE FEET. THIS
COMPARES WITH THE $0.597 PER SQUARE FEET WITH THE 14" TO 112" OF ASPHALT PLACED
ON CAMINO CAPISTRANO. WE FEEL THIS IS A fair PRICE AND IS NECESSARY IN ORDER
TO CONTROL THE TRAFFIC WHICH HAS MORE THAN DOUBLED ON DEL OBISPO SINCE THE START
OF CONSTRUCTION.

THAT THE CITY WOULD CONSTRUCT AN ADDITIONAL LANE IN THE SOUTHBOUND DIRECTION.
THE EXISTING IMPROVEMENTS OF ALIPAZ STREET IN THIS AREA TERMINATE AT THE
CENTER LINE OF THE STREET. IT WAS PROPOSED TO ADD THIS CONSTRUCTION ALONG
WITH THE IMPROVEMENT DISTRICTS HOWEVER, OUR LEGAL COUNCIL RECOMMENDED AGAINST

THE CONTRACTS WERE RETURNED BY SULLY -MILLER ON JUNE 19, 1973. FRITZ STRADLINGIS
OFFICE IS REVIEWING THE AGREEMENT, BONDS, AND INSURANCE CERTIFICATES. PRIOR TO
SIGNING THE CONTRACT, IT WILL BE NECESSARY FOR SULLY -MILLER TO PAY ALL COSTS TO

ANY DIRECTIONS FROM THE CITY WILL BE CHANNELED THROUGH MR. SELS.
SULLY -MILLER HAS SET A CONSTRUCTION TRAILER ON THE LONG PARK SITE JUST NORTH OF
LA ZANJA. THE EXCAVATION SUB, SAVALA, IS ESTABLISHING A STORAGE YARD NORTH OF
SULLY?S TRAILER AND WILL CLEAR WEED AND DEBRIS OUT OF AN AREA WHERE TREES HAVE
ALREADY BEEN TOPPED AND CONSTRUCT A FENCED AREA FOR KEEPING SOME OF THEIR SUPPLIES.
NO TREES WILL BE REMOVED FOR THIS SITE. AS A CONDITION OF USING LONG PARK, WE HAVE
REQUESTED THE CONTRACTOR TO CLEAR ALL THE WEEDS ON LONG PRK AND PROVIDE A
SCREENING OR LANDSCAPING OF THE STORAGE YARD. ONCE THE CLEARING ALONG CAMINO
CAPISTRANO IS COMPLETE, IT WILL BE DETERMINED HOW MUCH SCREENING WILL BE NECESSARY.
THE CONTRACTOR WILL PROVIDE DUST CONTROL IN THIS AREA AS WELL AS THE ENTIRE
CONSTRUCTION SITE. WE HAVE REQUESTED THE CONTRACTOR TO GIVE US A PRICE FOR
ROUTING THE TRUCKS ON THE NORTHERN END OF THE CAMINO CAPISTRANO PORTION OF THE
JOB VIA JUNIPERO SERRA TO THE FREEWAY, THUS AVOIDING THE DOWNTOWN AREA.
WE HAVE JUST RECEIVED THE ATTACHED TENTATIVE SCHEDULE OF THE ENTIRE PROJECT.

SUBJECT: Camino Capistrano Et Al, 1911 Act Project
SITUATION: Following the formal actions of the City Council to autho-
rize this construction project the proceedings have commenced with
Sully -Miller Contracting Company and our office staff is now proceed-
ing with the contract administration and the right-of-way acquisition
programs. In view of the substantial scope of this project we shall
from time to time provide written progress reports to the City Council
so that the overall conduct of the project can be closely monitored
by all interested parties.
With respect to the actual construction program we have already con-
ducted one pre -construction conference with our contractor and a
detailed "pre -construction conference" is scheduled for Thursday,
June 7, 1973 at which time all of the affected public utilities,
those project representatives involving underground utilities con-
version, and other interested parties will have an opportunity to
go over the entire project in detail with the contractor and our
project staff. At that meeting there will also be presented a
preliminary construction schedule and we will be working closely
with the contractor to minimize the disruptions to the local busi-
nesses and residences as we carry forward with our project.
Our contractor has made a specific request for the City to grant
permission for the establishment of a "construction office" some-
where in the arena of our Long Park area. If the Council is agree-
able to this request the staff would work out the specific arrange-
ments which would include dust and noise control, traffic problems,
and other interim conditions that would exist during construction.
The right-of-way acquisition program is proceeding with several
parcels involved in intensive negotiations. We shall have an oral
report for the Council Meeting Monday night at which time we will
set forth those properties that will require a condemnation proceed-
ings so that we can gain immediate possession. We have alerted the
City Attorney's office of our needs and we shall be presenting to
you the specific parcels of land as of that time. In addition, we
have several parcels where negotiations should result in a settlement
which would be subject to the approval of the City Council. These
also will be presented to you for consideration.
The engineering services contract provides for certain construction
surveying which will be necessary for the project. Due to changing
economic conditions the cost for construction surveying services
have increased to the point where we believe it appropriate to con-
sider an adjustment of those fee schedules as set forth in our
engineering contract. Accordingly, we are requesting that the 4,

Although there are other recent changes in this schedule that is a
part of our contract we are asking that only the field surveying

We have received a request from Mr. Bruce Swarthout to consider the
practicability of saving the large Sycamore tree located on the south
side of Del Obispo Street and just westerly of the Santa Fe Railroad
tracks. This matter is now under evaluation and we shall have a
report for the City Council for consideration of modification of our
construction plans.
