W I T N E S S E T H:
THAT, WHEREAS, Subdivider has filed with the Planning Commission
of the City, an ARCHITECTURAL CONTROL PROJECT known as A.C. 78-5
which has been conditionally approved by the City Council; and
WHEREAS, Subdivider desires to postpone the public and private
improvements required as a condition of approval of said project
until a time subsequent to the acceptance.of said project, by entering
into an agreement and providing the improvem_nt security required to
assure the furnishing and __ratallation of said improvements within the
time herein provided.
NOW, THEREFORE.,, in consideration of the premises and the approval
of the said project and the postponement of :he time to install such
improvements, and to satisfy the said condition of the approval of the
said project, the Subdivider hereby undertakes, promises and agrees
as follows:
1. Subdivider will, at his (its) own cost and expense, improve
said A. C. by doing all work and providing and furnishing all labor,
materials and equipment- and making all installations shown.on the
improvement plans signed and approved by the City Engineer and specified
by the Specifications of the City of San Juan Capistrano, which plans
and specifications are on file in the office of the City Engineer and
incorporated herein by reference, including but not limited to, all
grading work, paving of all streets, alleys and public service easements,
construction of concrete curbs, gutters, cross -gutters and sidewalks,
installation of storm drainage and sanitary &ewerage facilities,
installation of underground conduit street lighting system, the
installation of all street name signs, and tte supplying and planting
of all parkway trees, together with the installation of all appurte-
nances, contingencies and the furnishing of ell engineering costs
and servicer to `lo apO complete r_airi work ar d to do and complete all
other acts and obligations required by the City as condition of the
approval of the said project. For purposes of this agreement, the City
Engineer shall determine the estimated costs of said improvements to be
used for surety devices as required herein.
2. Subdivider will, an his (its) own cost and expense, provide
and install all on-site and off-site water mains and appurtenances
and will provide all labor ana maLerial to connect the same to existing
mains and facilities of the Orange County Waterworks District: 14, and
will comply with all of the requiremanis of said District, and with the -
plans and specifications for said work signed by, and on file in the
office of the Manager of said District, incorporateo herein by reference.
3. Subdivider agrees to pay all applicable fees assigned by City.
For purposes of: this agreemoni_, applicable fees shall be defined as all
fees that may he legilly assossed through City's ordi-nances and resol-

performance of this agreement b) an additional amount equal to the
total estimated cost e said work and improvements to be dedicated
to City secur' aement to the contractor, his subcontractors, and to
perso nting equipment or furnishing labor or materials to them for
Subdivider will provide a letter of credit concerning the substance of paragraphs 4 & 5.
6. The City Engineer of the City of San Juan Capistrano may make
such changes, alterations or additions to the plans and specifications
for said work and improvement which do not exceed ten percent (101) of
the total estimated cost set forth in Item 4 above, as may be determined
necessary and desirable by brim for the proper completion of said work and
improvement or as required for the safety and welfare of the public and no
such changes, alterations or additions shall relieve the Subdivider from
the faithful performance of this agreement.
7. Subdivider agrees to complete all M said work and improvement
and to pay all cost; specified herein within a period of 365 days
from the date hereof. 4
8. It is agreed by and between the parties hereto that in the event
it is deemed necessary to extend the time of completion of the work and
improvement to be done under this agreement. said extension may be
granted by the City Council of the City of Can Juan Capistrano or its
duly authorized officer, and shall in no way affect the validity of
this agreement or tie obligations hereunder Bonds furnished hereunder
shall be kept in full force and effect until said work and improvements
shall be deemed complete, approved and accepted as completed by said
City Council unless the same are reduced.
9. Subdivider agrees that City may, without any notice, and at
its sole option, at any time after the said time for completion has
passed, complete, or cause to be completed, all or any part of the said
work, and Subdivide7 shall pay to said City. upon demand, all of the
cost of any of said work done by the City, :_ts agents and contractors, or
any of them, to com."lete all or any part of said work.
10. Subdivider agrees to pay City such sum as the Court may adjudge
as reasonable for tte legal services of any attorney representing the
City in any action brought to.enforce or interpret the obligations of
this instrument, and such sum shall be made a part of any judgment in
such action against the Subdivider if such action is determined in favor
of the said City.
11. City, its officers and employees, except for their own acts,
shall not be liable or responsible for any accident, loss or damage
happening or occurring to the improvements specified in this agreement
prior to the completion and acceptance of said improvements by the City.
12. At all times from the acceptance by the City Council of the
dedications offered on the final map of said tract to the completion
and acceptance of the improvements described herein, Subdivider shall
perform all work in a care, workmanlike manner and shall take such
precautions as may be necessary to warn and protect the public from any
dangerous condition caused by the construction of said improvements.
1.3. Subdivider- :shall hold City, its officers and employees harmless
from any and all Wai-m s, demands,, causes of action, liability or los,:.
of any sort because of, or ariSinq out- of, the acts or' omi.ss.i-ons of ;he
Subdivider, his contractor, subeonLractors, aqents or employees in the
performance of this agYeement.

SITUATION
Final Parcel Map 78-5 has been reviewed and checked by the Engineering
Division staff and is ready for City Council approval. The subject

This guideline is intended to provide the City Council with information
to assist in reviewing Parcel and Final Maps. The specific items
enumeratcd herein are required by the Subdivision Map Act and the Land
Use Management Code.
A. Council shall make the following determination in approving a
Parcel Map or Final Map:
1. The Final Map or Parcel Map is consistent with the General Plan.
2. The Final Map or Parcel Map is in substantial compliance with
the approved Tentative Map or Tentative Parcel Map.
B. Council shall deny a Parcel Map or Final Map if it does not conform
to any of the following:
1. The proposed map is consistent with the General Plan,
2. The design or improvement of the proposed subdivision is con-
, sistent with the General Plan.
3. The site is physically suitable for the type of development.
4. The site is physically suitable for the proposed density of
development.
5. The design of the subdivision or the proposed improvements are
not likely to cause substantial environmental damage nor sub-
stanti.ally and avoidably injure fish or wildlife or their
habitat,
G, The design of the subdivision or the: type of improvements is
not likely to cause serious public Health problems.
7. The design of the subdivision or the type of improvements will

4. Plans, Specifications and Subcontract: The plans, specifications and this subcontract are intended to supplement each other. In case
of conflict, however, the provisions of the contract between the owner and the contractor regarding conflict shall apply. If there is no such
provision, in the event of conflict between the plans, specifications and the provisions of the subcontract, the specifications shall control the
plans, and the provisions of this subcontract shall control both.
5. Labor and Materials: Subcontractor shall promptly pay all valid charges for labor and materials used on the work covered by this
subcontract. If Contractor pays for any labor or materials ordered by subcontractor on the project, subcontractor shall immediately reimburse
Contractor.
6- Extra Work: The subcontract price set forth in this subcontract shall be deemed to be full compensation for all work and materials
furnished by the subcontractor whether specifically called for by the contract, plans. or specifications, or not. and no additional compensation
shall be paid to the subcontractor unless a written extra work order is signed by the contractor in advance, stating that the work is extra work
and designating the amount to be paid for the extra work.
If the subcontractor contends that any work or materials furnished by the subcontractor should be paid for as extra work, the sub-
contractor must gr
ive the contractor a written notice to that effect within ten days after the wok or materials in question are furnished.
Otherwise. it will be conclusively presumed that the contractor and subcontractor have agreed that such work or materials are within the
,cope of the orilginal contract and that no additional compensation will be paid. -
7. Destruction of Premises: If The project is destroyed by fire or other catastrophe, tine subcontractor will be paid for all work perform -
ad theretofore. and both parties will be relieved of any further obligation under this contract.
8. Delay: If the prime contract between the owner and the contractor contains provisions relative to delay, excuse for delay. claims for
extension of time, or damages or liquidated damages for delay, the provisions of the prime contract shall be applicable to the subcontractor. If
the prime contract requires the contractor to give written notice to the owner of claim for extensions of time for delay, then the subcontractor
shall lgive written notice of any delay affecting the subcontractor's work to the prime contractor in sufficient time to enable the prince con-
tactor to co ,)ly with the requirements of the prime contract. Any provision of the prime contract which excuses the prime contractor for

award shall not be computed in accordance witch any court schedule, but shall he such its to fully reimburse all attorney fees actually incurred in
,aood faith, regardless of the size of the judgment, it being the intention of the parties to fully compensate for all attorney fees paid or incurred

10. Bankruptcy: If the contractor or the subcontractor should become bankrupt or make an assignment for tine benefit of creditors, the
,,iba>atrictor. or his tnistee in bankruptcy, shall be paid the reasonable value of all work theretotore performed, and the obligations of all
parties under this subcontract shall thereupon terminate. ht determining reasonable value under this paragraph, the subcontract price shall be
deemed to be reasonable.
11. Notices: Any notice required or permitted under this subcontract may be given by ordinary mail at the address contained in this sub -
bill such address may be changed by written notice given by one party to the other from time to time. Notice shall be deemed
received in the ordinary course of the mail.
12. Union and Labor Matters: Subcontractor warrants that a valid collective bargaining agreement is, and for the duration of this aWce-
. will remain, in full force and effect between the subcontractor and the appropriate Building and Construction Trades Union, or Unions,
CIO, or with tire International Brotherhood of Teamsters, chauffeurs, Warehousemen & Helpers of America, or an affiliate thereof.
All work performed by the subcontractor shall be rendered in accordance with the terms and provisions of the collective bargaining
agreement. Any breach by subcontractor or his subcontractors of such collective bargaining agreements shall constitute breach of this sub-
contract. -
The subcontractor accepts and agrees to be bound by Procedural Rules and Regulations and Decisions of the National Joint Board for the
Saulem :ut of Jurisdictional Disputes, and will comply with any decision of the National Joint Board rendered, which affects the performance
of work covered by this subcontract.

9, _Attorney Fees: It either party becomes involved in litigation arising out of chi, oubconticct or the performance thereof, the court in
such litigation, or in a separate suit, shall award attorney fees to the justly entitled party. Unless judgment goes by default. the attorney fee
award shall not be computed in accordance with any court schedule, but shall be such a, felt' reimburse all attorney fees actually incurred in
good faith- regardless of the size of the judgment, it being the intention of the parties to Tull% compensate for all attorney fees paid or incurred
in kood faith.
10. Bankruptcy_ If the contractor or the subcontractor should become bankrupt or shake an assignment for the benefit of creditors, the
subcontractor, or his trustee in bankruptcy, shall be paid the reasonable value of all wo.k theretofore performed, and the obligations of all
parties under this subcontract shall thereupon terminate. In determining reasonable value under this paragraph, tire subcontract price shall be
deemed to be reasonable.
1 L Notices: Any notice required or permitted under this subcontract may be given by ordinary mail at the address contained in this sub-
contract, but such address may be changed by written notice given by one party to the other from time to time. Notice shall be deemed
received in the ordinary course of the mail.
12. Union and Labor Matters: Subcontractor warrants that a valid collective bareainin_ agreement is, and for the duration of this agree -
ti S will remain, in full force and effect between the subcontractor and the appropriate Building and Construction Trade's Union, or Unions,
-CIO, or with the International Brotherhood of Teamsters, chauffeurs, Warehousemen & Helpers of America, or an affiliate thereof.
All wort: performed by the subcontractor shall be rendered in accordance with the terms and provisions of the collective bargaining
agreement. Any breach by subcontractor or his subcontractors of such collective bargaining agreements shall coustitutebreachofthissub-
contract.
The subcontractor accepts and agrees to be bound by Procedural Rules and Regulations and Decisions of the National Joint Board for the
Settlement of Jurisdictional Disputes, and will comply with any decision of the National Joint Board rendered, which affects the performance
of work covered by this subcontract.

2. Payment Schedule: Contractor will pay subcontractor the sum of S_481800.00 in installments as follows:

3. Commencement of Work: If the jobsite is not ready for commencement of [he work cpygttHliby-Yliis subcontract within
365_days from the date of this subcontract, subcontractor may cancel this subcontract. „��
4, Plans, Specifications and Subcontract: The plans, specifications and this subcontract are intended to supplement each other. In case
of conflict, however, the provisions of the contract between the owner and the contractor regarding conflict shall apply. If there is no such
provision, in the event of conflict between the plans, specifications and the provisions of the subcontract, the specifications shall control the
plans, and the provisions of this subcontract shall control both.
5. Labor and Materials: Subcontractor shall promptly pay all valid charges for labor and materials used on the work covered by this
subcontract. If Contractor pays for any labor or materials ordered by subcontractor on the project, subcontractor shalt immediately reimburse
Contractor.
6. Extra Work: The subcontract price set forth in this subcontract shall be deemed to be full compensation for all work and materials
furnished by the subcontractor whether specifically called for by the contract, plans, or specifications, or not, and no additional compensation
shall be paid to the subcontractor unless a written extra work order is signed by the contractor in advance, stating that the work is extra work-

orkand designating the amount to be paid for the extra work.
If the subcontractor contends that any work or materials furnished by the subcontractor should be paid for as extra work, the sub-
contractor must give tine contractor it written notice to that effect within ten days after the work or materials in question are furnished.
Otherwise, it will be conclusively presumed that the contractor and subcontractor have agreed that such work or materials are within the
scope of the original contract and that no additional compensation will be paid.
7. Destruction of Premises: If the project is destroyed by fire or other catastrophe, the subcontractor will be paid for all work perform-
ed theretofore, and both parties will be relieved of any further obligation under this contract.
S. Delay: If the prime contract between the owner and the contractor contains provisions relative to delay, excuse for delay, claims for
extension of time. or damages or liquidated damage's for delay, the provisions of the prince contract shall be applicable to the subcontractor. If
the prince contract requires the contractor to give written notice to the owner of claim for extensions of time for delay, then the subcontractor
shall give written notice of any delay affecting the subcontractor's work to the prime contractor in sufficient time to enable the prime con-
tractor to co ply with the requirements of the prince contract. Any provision of the prime contract which excuses the prime contractor for

Hinnewinkel Construction, Inc.
hereafter called "Contractor",
and -----California Landscape Inc, hereafter called "Subcontractor"
If the contractor is also the owner of the building project, all references to "Contractor" apply to the contractor in his capacity both as prime
contractor and owner.
1. Description of Work: Subcontractor will furnish all labor and materials to construct and complete, upon the project described above
in a good, workmanlike, and substantial manner all

4. Plans, Specifications and Subcontract: The plans, specifications and this subcontract are intended to supplement each other. In casi
of coil tlie however, the provisions of the contract between the owner and tate contractor regarding conflict shalt apply. if there is no such
provision, in the event of conflict between the plans, specifications and the provisions of the Subcontract, the specifications shall control the
plans, and the provisions of this subcontract shall control both.
5. Labor and Materials: Subcontractor shall promptly pay all valid charges for labor and materials used on the work covered by this
subcontract. If Contractor pays for any labor or materials ordered by subcontractor on the project, subcontractor shall immediately reimburse
Contractor.
6. Extra Work: The subcontract price set forth in this subcontract shall be deemed to be full compensation for all work and materials
furnished by the subcontractor whether specifically called for by the contract, plans, or specifications, or nut, and no additional compensation
shall be paid to the subcontractor unless a written extra work order is signed by the contractor in advance, stating that the work is extra work
and designating the amount to be paid for the extra work.
If the subcontractor contends that any work or materials furnished by the subcontractor should be paid for as extra work, the sub-
contractor must give the contractor a written notice to that effect within ten days after the work or materials in question are furnished.
Otherwise, it will be conclusively presumed that the contractor and subcontractor have agreed that such work of materials are within the
scope of the original contract and that no additional compensation will be paid.
7. Destruction of Premises: If the project is destroyed by fire or other catastrophe. the subcontractor will be paid for all work perform-
ed theretofore. and both parties will be relieved of any further obligation under this contract.
8- Delay: if the prime contract between the owner and the contractor contains provisions relative to delay. excuse for delay, claims for
extension of lime. or damages or liquidated damages for delay. the provisions of the prime vntract shall be applicable to the subcontractor. If
the prime contract requires the contractor to give written notice to the owner of claim for extensions of time for delay, then the subcontractor
shall give writ^en notice of any delay affecting the subcontractor's work to the prime contractor in sufficient time to enable the prime con-
tractor to co .ply with the requirements of the prime contract. Any provision of the prime contract which excuses the prime contractor for
delay sh-i, excuse the subcontractor. If the prince contractor suffers damages or liquidated damages for delay caused by subcontractor,
subcontractor will indemnify and hold harmless the prime contractor for such dant ges. To the extent that the provisions of the prime contract
y -ding .'-Aa; do not apply, subcontractor will prosecute the work diligently to completion, but will be excused for any delay caused by acts
G .od, ac',s of die owner or contractor or the ov.ner's or contractor's agent, stormy weather. and failure of the contractor to make progress

9, Attorney Fees: If either party becomes involved in litigation arising out of this subcontract or the perfortance thereof, the court in
such litigation. or in a separate suit, shall award attorney tees to the justly entitled party. Unless judgment goes by default, the attorney fee
award shall not be computed in accordance with any court schedule, but shall be such as to fully reimburse all attorney fees actually incurred in
gPod faith, re¢ardless of tine size of the judgment, it being the intention of the parties to fully compensate for all attorney fees paid or incurred
in good faith.
10. Bankruptcy: If the contractor or the subcontractor should become bankrupt or make an assignment for the benefit of creditors, the
subcontractor, or his trustee in bankruptcy, shall be paid the reasonable value of all work theretotore performed, and the obligations of all
parties under this subcontract shall thereupon terminate. In determining reasonable value under this paragraph, the subcontract price shall be
deemed to be reasonable.
I I. Notices: Any notice required or permitted under this subcontract may be given by ordinary mail at the address contained in this sub-
contract, but such address nnay be changed by written notice given by one party to file other from time to time. Notice shall be deemed
received in the ordinary course of the mail.
12. Union and Labor Matters: Subcontractor warrants that a valid collective bargaining agreement is, and for the duration of this agree-
ry 5 will remain, in full force and effect between the subcontractor and the appropriate Building and Construction Trades Union. or Unions,
A .-CIO, or with the International Brotherhood of Teamsters, chauffeurs, Warehousemen & Helpers of America, or an affiliate thereof.
All work performed by the subcontractor shall be rendered in accordance with the terms and provisions of the collective bargaining
agreement. Any breach by subcontractor or his subcontractors of such collective bargaining agreements shall constitutebreach of this sub-
contract.
The subcontractor accepts and agrees to be bound by Procedural Runes and Regulations and Decisions of the National Joint Board for the
Settlement of Jurisdictional Disputes, and will comply with any decision of the National Joint Board rendered, which affects the performance
of work covered by this subcontract. -

Gentlemen:
Bank of America hereby confirms that funds in the amount of Thirty
Thousand Five Hundred Dollars ($30,500.00), are held on deposit on
behalf of Federated Department Stores, principal, for the benefit
of the City of San Juan Capistrano, beneficiary, to insure faithful
performance of public improvements in and related to Ralphs Shopping
Center, No. PM 78-5, Southeast side of Del Obispo between Ortega and
Camino Capistrano, three lots, 4.608 ac., 200,724 s.f., in the City of
San Juan Capistrano, County of Orange, California.
We understand utilization of the funds is as follows:
(1) Faithful performance $14,500
(2) Labor and material 14,500
(3) Monumentation 1,500
It is agreed by the parties hereto that said funds are for the use
and benefit of the City of San Juan Capistrano, and in the event
that principal fails to complete and/or pay for said improvements
as required by the beneficiary, all funds applicable to the improve-
ments in said account shall be immediately available to the City of
San Juan Capistrano, upon its order.
It is further agreed by the parties hereto that said funds will

approved the Final Parcel Map for Division of Land 78-5, determining
that the map is consistent with the General Plan and in substantial
compliance with the approved tentative map.

the Improvement Agreement for Architectural Control 78-8, which
was also approved by the Council on August lst. The original
Agreement has been forwarded to the Orange County Recorder's
