31421 LA MATANZA STREET, SAN JUAN CAPISTRANO This Second AmJndment to the License Agreement ("Agreement") dated September 19, 2017, is hlade and entered by and between the City of San Juan Capistrano, a California m�nicipal corporation (the "City") and Veterans of Foreign Wars, a nonprofit organization (th:e "Licensee") on the __ day of March 2021 , and here inafter individually referred to as "Party" and hereinafter collectively referred to as the "Parties."
RECITALS A.Pursuant to : ection 2 of the Agreement, "this Agreement may be extendedfor up to a maximum of three (3) additional, one-year terms, upon mutual written agreement of both parties. B.In 2019, the Parties agreed to extend the MOU for an additional one-year term, by executin the First Amendment. The Term stated in the First Amendment was from August 30, 2019, through September 18, 2020. I C.In March of 2020, the State of California, declared a state of Emergencydue to the COVID-19 Pa�demic. The City was forced to divert time and resources in response to the impact of COVID-19, non-essential projects, such as amending agreements were put on hold to address the more pressing needs of the City and residents. D.The Parties have complied with the terms of the MOU and the FirstAmendment as though the Agreement was further extended by agreement. E.The Parties how desire to approve the Second Amendment to amendthe Term of the Agreemert. F.The Agree��nt and the First Amendment are attached hereto andincorporated herein by this reference. The Agreement i� hereby amended as follows: 1.Section 2 "Term" is hereby amended and replaced to read as follows:I "1. Term. Tpis Agreement shall be effective from September 19, 2017 through Se I tember 18, 2022. 2.Except as ot erwise specifically provided herein, all otherprovisions of the Agreem nt shall remain in full force and effect.
