The complete Contract includes all of the Contract documents, to wit: (A) Notice Inviting Bids; (B) Instruction to Bidders; (C) Bid Proposal; (D) General Conditions; (E) special Conditions; (F) Special Provisions,, including the complete set of Plans for the Construction of a sewer line in Paseo Cielo; (G) The Contract; (H) Performance Bond; (1) Labor,and Material Bond; (J) Duly issued Addenda and all modif- ications incorporated in the foregoing documents of the Contract. Second: The Work. The CONTRACTOR agrees to furnish all tools, labor, materials, equipment, transportation, services and supplies necessary to perform and complete in good and workmanlike manner the Construction of a sewer line in Paseo Cielo, in strict' conformity with and in exact accordance with the Plans and Specific- ations and all other Contract Documents referred to above, which docu- ments are on file at the office of the City Clerk, City Hal I,.32400 Paseo Adelanto, San Juan Capistrano, California, 92675 Third: Payment. The OWNER agrees to pay and the CONTRACTOR agrees to accept the lump sum adjusted for variations of quantities, at the prices named in the bid proposal at the time and nammer set forth in the Specifications. • Fourth: Commencement and Completior of the Work. The CONTRACTOR agrees to begin and complete the wort; within the time specified in the "Notice Inviting Bids". Whereas, it is agreed that it would be Impractical and extremely difficult to fix the actual amount of dam- ages and loss sustained by the OWNER should the CONTRACTOR fail to complete the work in the specified time, he shall pay to the OWNER, as liquidated damages, ascertain and agreed, and not in the nature of a penalty, One Hundred Dollars ($100)"a day for each day delayed; pro- vided that the extension of time with waiver of liquidated damages may be' -granted as provided in the Specifications. Fifth: Performance Bond and Labor and Material Bond. The CONTRACTOR agrees to furnish bonds guaranteeing the performance of this Contract and guaranteeing payment of all labor and material used under this Contract, as required by the laws of the State of California, on forms approved by the OWNER. The Performance Bond shall be for an amount not less than One Hundred percent (100%) of the amount of this Contract and shall be conditioned on full and complete performance of the Contract, guaranteeing the work against faulty workmanship and materials for a period of one year after completion and accept- ance. The Labor and Material Bond shall be in an amount not less than one hundred percent (100%) of the'amount of this Contract and shall be conditioned upon full payment of all labor and material entering into or incident to the work covered by this Contract. The • CONTRACTOR agrees to furnish the bonds on the forms bound within these specifications. Sixth: Insurance. The CONTRACTOR agrees to carry Public Liability Insurance, Property Damage Insurance and- Workmen's Compensation C 2 . • Insurance in amounts as required by the Specifications. CONTRACTOR shall furnish a certificate of insurance as promulgated in the spec- ifications prior to commencing work. Seventh: General Prevailing Rate of Per Diem Wages. The genera l prevailing rate of per diem wages and general prevailing rate for holiday and overtime work in the locality in which -the work is to be performed for each craft, classification, or type of workman needed to execute the Contract have been determined by the OWNER and are set forth in the"Notice Inviting Bids. The general prevailing rate of per diem wages set forth in said documents is hereby incorporated herein and made a part hereof. The CONTRACTOR agrees that he, or any subcontractor under him, will pay not less than the foregoing spec- ified prevailing rates of wages to all -workmen employed in the exec- ution of the Contract. Eighth. Compliance with Other Provisions of Law Relative to Public Contracts. The OWNER is a public agency in the State of California and is subject to the provisions of the Government Code and the Labor Code of that State. it is stipulated and agreed that all provisions of law applicable to public contracts are a part of this Contract to the same extent as though set forth herein and will be complied Y with by the CONTRACTOR. The City is also holding a Labor and Material Bond and a Faithful Performance Bond on this project which should be released in conjunction with the project's acceptance. Mocalis, City Manager FROM: James Okazaki, City Attorney SUBJECT: City of San Juan Capistrano vs. Poulsom-Crowley Co. Paseo Cielo Sewer Contract In September, 1975, the City entered into a contract with the Poulsom-Crowley Company for the construction of a sewerline within Paseo Cielo for a contract price of $9,668.40. Subse- quently, a change order was approved for the addition of a second manhole, increasing the contract price to $10,898.40. When work was completed, however, the contractor demanded pay- ment of an additional $4,133 for labor and materials allegedly used beyond that called for in the contract. The City, on the other hand, contended the alleged "extras" were actually required by the plans and specifications, and that the contractor should have been aware of such added costs when submitting its bid. Furthermore, that such added costs should have been sub- mitted as change orders and approved by the City. After many attempts to compromise the dispute were made to no avail, the contractor sued the City in the Superior Court in Orange County and prevailed. We had adamantly contended that the Contractor was bound by the clear terms of the contract and that payment for extras could not be made in the absence of approved change orders. The contractor persisted in his argument that because of the circumstances, i.e. an error in the original plans and the representation of the field workers and other members of the Engineering staff relating to the additional material and labor, the City had, in effect, waived the express terms of the contract. Because of our strong convictions concerning the state of the law in California relating to public works contracts, we appealed the trial court's decision to the Court of Appeals. When arguments, written and oral, were presented, we were heartened because there appeared to be no substantial refutation of our legal contentions, and the questions asked by the Appellate Justices seem to indicate that the state of the law remained unchanged. However, in their written opinion upholding the trial court, the Court of Appeals held that the circumstances of this case amounted to the City's having waived the contract terms requiring written change orders. CONCLUSION We still feel strongly that the state of the law as it relates to change orders in public works contracts remains unchanged, and that the Court of Appeals should have held that the trial court had erred. It chose, however, to consider what it considered James S. Because of the relatively small amount of money involved, we would, however, not recommend pursuing this matter any further. The judgment of the Trial Court awarded the con- tractor the sum of $4,133.00 plus costs of $68.00. There is a retention of $1,061.00. Murphy, Director of Public Works SUBJECT: Paseo Cielo Sanitary Sewer Easements SITUATION: s kf The City Council accepted several easements for sanitary sewer purposes on Paseo Cielo at the Council meeting of September 17, 1975. Staff had anticipated having all of the necessary easements ready for Council acceptance at that meeting, however, certain properties necessitated additional negotiations. Three easements had not been executed by the property owners at the time of the above-mentioned meeting; and Staff, having completed negotiations, now has these executed documents. These additional easements should be accepted by the City Council in order to assure that all of the easements granted to the City have been legally accepted. A sketch is enclosed which indicates the three easements to be accepted. FINANCIAL CONSIDERATIONS: There are no direct financial considerations involved in accepting these easements. ALTERNATE ACTIONS: 1. Accept the three easements. 2. Do not accept the three easements. 3. Request further information from Staff. Murphy, Director of Public Works SUBJECT: Paseo Cielo Sanitary Sewer SITUATION: At the Council direction, Staff has prepared plans and specifications for the eight inch sewer in Paseo Cielo. Mr. Olindo Verrico requested City participation in this project at the September 3rd Council meeting. In order to expedite construction, Staff has advertised this project and shall open bids on September 17, 1975. Due to the unusual nature of the project, Staff shall provide a written summary of the bid results in the Council mail slots on September 17, and shall provide a short brief on the bid results at the Council meeting of that date. An agreement is enclosed for review by the City Council. This agreement shall bind the persons desiring to origin- ally construct the subject sewer to financially partici- pating in the project. This financial participation shall be the participative share as determined by dividing the construction costs equally among all of the benefited property owners on Paseo Cielo. FINANCIAL CONSIDERATION: The City shall bear the total financial burden of construct- ing the subject sanitary sewer. Three property owners shall pay their participative share, so the City shall initially finance approximately /15% of the costs. The engineer's estimate is $9,900. rr ALTERNATE ACTIO NS: 1. Murphy Director of Public Works City of San Juan Capistrano San Juan Capistrano, Calif. 92675 RE: Sewer on Paseo Cielo Dear Mr. Murphy: VZJ I have assembled bids to install 582 lineal feet of 8" V.C.P., 200 feet of 4" V.C.P., and two manholes all as shown on the plan drawn by Mr. Blancaflor, the lowest bid being $8,911.00 plus $500.00 for the civil engineering fee. All administrative and additional work involved in obtaining these bids and the correlation between the engineer and the City of San Juan Capistrano, etc. will be fully absorbed by myself. We are ready to construct the sewer on the above referenced street which would service the nine lots thereon. Dr. Ralph Sturdevant, Mr. Philip.Robinson, and myself are ready to immediately pay our pro -rata share of the cost of this sewer. We would like the City to consider paying for the sewer, since the sewer will be dedicated to the City in any case, and assess those people who will hook up immediately for their pro -rata share of approximately $9,411.00. Your earliest consideration of this matter would be deeply appreciated since we are ready to move into our home and do not wish to install a septic tank.
