Effective July 1, 1980 , the Solid Waste Collection Agree-
ment by and between the City of San Juan Capistrano and Solag
Disposal Company be and is hereby amended as follows:

SOLID WASTE CO LECTION AGREEMENT
This agr ement is made aid entered into this 19th day of April ,
1978, by and etween SAN JUAN CAPISTRANO, a City, organized under
the laws of t e State of Cali ornia, (hereinafter referred to as
the City) , an TRUMAN SMITH DISPOSAL AND SOLAG DISPOSAL, (here-
inafter refer ed to as the Co tractor, ) and supercedes any and
all agreementE between them.
WI SSETH:
WHEREAS, the Contractor is qualified to provide solid waste
collection services ; and
WHEREAS, the City desire3 the Contractor to collect residen-
tial, commerc al and industri 1 solid wastes, as defined in this
document, wit in present and Cuture boundaries of the City.
NOW, THE FORE, in consi eration of the mutual covenants ,
agreements, a d consideration3 contained herein, the City and
the Contracto hereby agree a follows :
1. Definitions.
a, Residential Solil Waste . Garbage, rubbish, trash,
etc. , resulting from the norm ).l activities of households .
b. Commercial Solid Waste. Garbage, rubbish, trash,
debris, etc . , resulting from the normal activities of a parti-
cular busines .

shes . The resi ue from the burning of wood, coal,
coke, or othe combustible materials.
d. arbage . Putres ible animal and vegetable waste
resulting fro the handling, preparation, cooking and consumption
of food .
e. tefuse. All put escible and non-putrescible solid
waste (except body waste) , including garbage, rubbish, ashes ,
street cleani gs, and solid market and industrial wastes.
f , lubbish. Non-p trescible solid waste (excluding
ashes) , con si ting of both combustible and non-combustible wastes,
such as paper, cardboard, tin cans, yard clippings, wood, glass,
bedding, crock ry and similar materials .
g. esidence. A single-family dwelling unit such as
a home or trailer.
h. ult•amily dwelling unit . Dwellings consisting
of two or mor units, and not including hotels or motels .
i. pecial Material These are bulky materials or
other special wastes that are not stored in standard storage
containers an cannot be pick d up by a normally used collection
vehicle.
j . lazardous Materi Is. Wastes that are hazardous by
reason of their pathological , explosive, radiological, or toxic
characteristi s.
k. onstruction and Demolition Debris. Materials,
waste, refuse remnants and o her substances resulting from or
created as a esult of constriction or demolition activities of
any kind .

2. Excl sive Right .
The ontractor shall be the only person allowed to pro-
vide solid wa to collection s rvices within the City.
3. Sery ce.
All ersons occupyingor maintaining businesses, a
place of resi ence in single-family dwelling units or in multi-
family dwelli gs within contract area shall be offered regular
collection se vice under this contract.
4. Term
The erm of this ag ement shall be for a five-year
period beginning April 19, 1978 .
5. Cont act Extension.
In t e event Contractor has fully complied with all
terms and con itions of this contract as determined by the
Director of blic Works , Co tractor may request that the dura-
tion of this ontract be extended for successive periods of
twelve (12) m nths. In no a ent shall the total term of this
contract, including all exte Bions , exceed sixty (60) months.
The request f r each increme tal twelve (12) month extension
shall be sub itted to the Di ector in writing at least 30 calen-
dar days pri r to the date o which the contract would otherwise
have terminated . The Direct r, upon his determination that Con-
tractor has omplied with th terms and conditions of this con-

tract and thal the Contractor is providing a level of service
that the City desires , may ei her grant the extension or submit
the request t the City Council for approval or denial in the
City Council' sole discretion.
6. Mini um Service.
The ontractor shall make at least one weekly residen-
tial collecti n, and sufficient commercial collections up to 6
per week--to rovide satisfac ory service in accordance with this
agreement .
7. Hour .
Coll ctions shall be made no earlier than 5: 00 a.m, and
no later than 8 :00 p.m. , subj ct to such reasonable modifica-
tions as the ity may require All collections shall be made as
quietly as po sible .
8. Litt r.
The ontractor shall not litter any street or premises
in the proces of making toll ctions.
9. Cont iner Requirements .
All garbage, trash and debris which Contractor shall be
required to collect shall meet the following requirements and
conditions :
a. Ashes shall be placed in separate disposable con-
tainers . Newspapers shall be bundled and set out separately.
b. o single bundle or container shall exceed 75 pounds
in weight.
C . ree trimmings , hedge clippings, shrubbery, cuttings,
twigs, and si ilar matter not placed in a container shall be
tied in bundl s not more than four (4) feet in length, and two (2)
feet in thick ess. Contractor shall not be required to collect
more than fou (4) such bundles on each pickup day.
d. onstruction and demolition debris shall be placed
in constructi n bins or other containers supplied by Contractor.
e. ebris shall not include dirt, lawn scalping with
sod and very arge or heavy objects such as tree stumps, auto
bodies, and similar items ; provided however, that the grantee
may negotiate with the customer for disposal of such items under
special rates, terms and conditions acceptable to both the gran-
tee and the c stomer.

f . E cept as otherwise provided, all barrels, boxes
or bundles for collection shall be placed at the curb or edge
of street whey there is no curb.
10. Special and Hazardous Materials.
The Contractor shall provide haul services for materials
not routinely generated at fees negotiated in advance . Said
materials sha 1 be stored and placed in a manner approved by the
City and the ontractor. No hazardous wastes will be collected
by the Contra for unless spec fically requested by the generator,
approved by t e City, and agreed by the Contractor.
11 . Col ection Equi men .
The Contractor shall provide an adequate number of
vehicles appr ved by the City for regular collection services.
They shall be kept in good re air, appearance, and in a sanitary
condition at 11 times, satis actory to the Director of Public
Works . Each ehicle shall hare clearly visible on each side
the name and hone number of he Contractor.
12. Off ce.
The Contractor shal establish and maintain a local
office or suc other faciliti s through which he can be contacted,
where service may be applied or, and complaints can be made.
It shall be a uipped with sufficient telephones , shall have
(a) responsib a person(s) in 2harge during collection hours and
shall be open during collecti n hours .
13 . Hau in .
All solid waste hauled by the Contractor shall be so
contained, tied, or enclosed so that leaking, spilling, or blow-
ing are prevented. In the event of any spillage, the Contractor
shall immediately clean up the litter.
14 . Title to Waste.

upon being pl ced in his vehi le .
15. Dis osal .
All solid waste for disposal shall be hauled to such
disposal site as may be designated from time to time by the
Director of blic Works .

16. Char es and Rates .
For ny services re uired to be performed under this
contract, the barges shall not exceed the rates as fixed by the
City from time to time . For solid waste collected in the manner
herein provided, the rates shEill not exceed the following:
a . Curb or roadsidE pickup of individual residential
units, located on a paved, tw -lane road :
Weekly Pickup: $3 .00 per month.
Twice Weekly Pi kup: To be negotiated
with customer.
b. Curb or roadsid pickup of multiple residential
units:
First Unit : $2.00 per month.
Each additional unit : 2.00 per month
C . Private Road Collection: Where pickup of trash
from residences located in ar as that must be reached by private,
unpaved roads and drives , the rate shall be negotiated with the
customer and any dispute be s ttled by the Director of Public
Works.
d. Back Yard Picku s : The Director of Public Works
is authorized to establish an arbitrate rates to be charged
City resident by the Contractor for refuse, garbage, debris ,
etc . , which i not set at cur side. These rates shall be esta-
blished in th agreement ente ed into by City and Contractor.
These rates m y be amended fr m time to time with the consent of
the Director f Public Works nd Contractor, and ratification by
the City Coun il .
e . Commercial Rates :
1) Pickups fron commercial customers not using
rubbish bins rate to be neg tiated with the customer .
2) The following rates are based on Contractor' s
furnishing on (1) three cubi yard metal container and said
charges shall include contain r rental, maintenance and pickup
service as fo lows:
Once a week pickup $19 .50
Twice a wee pickup 26.00
Three times weekly 32.50
Four times eekly 39.00
Five times eekly 45.50
Six times ekly 52.00

f . pecial Services : For times requiring special
handling due t size, weight, type of material, or method of
placement, the charges are to be negotiated between Contractor
and generator prior to collec ion. If agreement cannot be reached,
the matter may be submitted tc the City, and its decision shall
be binding.
17. Location.
All solid waste shall be placed at a location that is
readily acces ible to the Con ractor' s personnel, as described
in Ordinance o. 223.
18 . Unu ual Changes or Costs .
The Contractor may petition the City for rate adjust-
ments at reas nable times on the basis of unusual changes in
his cost of d ing business, such as revised laws, ordinances,
or regulation ; changes in lodation of disposal sites or changes
in disposal c arges, etc .
19 . Delinquent Accounts
The Contractor may discontinue service as set forth in
this section. Persons who have not remitted required payments
within 45 day after the date of billing shall be notified on
forms approve by the City, Said form shall contain a state-
ment that ser ice may be discontinued 15 days from the date of
notice if pa ent is not made before that time . In the event
the Contracto intends to dis ontinue a delinquent account, he
shall so noti y the City at 1 ast 15 days prior to the last day
of collection Upon payment 3f the delinquent fees, the Con-
tractor shall resume collecti n on the next regularly scheduled
collection da .
20. Rou es and Schedule3 .
The Contractor shall provide the City with maps and
schedules of ollection route and keep such information current
at all times. It shall be tha customer' s responsibility to place
his solid was a at the appropriate location for collection before
the approved tarting hour. In the event of changes in routes
or schedules hat will alter the day of pickup, the Contractor
shall so noti y each customer affected, by mail , not less than
two weeks pri r to the change .

21. Complaints .
All complaints shall be resolved within 24 hours .
The Contractor shall supply t e City with copies of all complaints
on a form appr ved by it and indicate the disposition of each.
Such records shall be available for City inspection at all times
during busines hours . The form shall indicate the day and the
hour on which it was received When a complaint is received on
the day preceeding a holiday or on a Saturday, it shall be
serviced on the next working cay.
22. Notification.
The Contractor and ity shall agree as to which will
notify all customers about complaint procedures, rates, regula-
tions and days (3) of collection.
23 . Contractor's Personnel.
a. The Contractor Ehall assign a qualified person or
persons to be in charge of his operations in the City and shall
give the name or names to the City; information regarding exper-
ience shall also be furnished
b. The City has the right to require that the Contrac-
tor's collection employees wear a clean uniform bearing the com-
pany's name .
C . Each employee shall, at all times, carry a valid
operator' s license for the type of vehicle he is driving.
d . The City may request dismissal of any employee of
the Contractox who violates aiky provision hereof, or who is
wanton, negligent, or discourteous in the performance of his
duties .
e . The Contractor shall provide operating and safety
training for all personnel . At least one employee of each col-
lection crew shall be trained in first aid and each vehicle shall
be equipped with a first aid kit.
f . Wages of all employees of the Contractor shall
equal or exceed the minimum hourly wages established by local,
State, or Fed ral governments (the maximum rate shall apply) .
The wages for each employee c assification shall be provided to
the City in ar attachment to he bid document .

g. io person shall be denied employment by the Con-
tractor for re sons of race, creed , or religion.
h. mployees of the Contractor shall have the right
to organize an affiliate with recognized labor unions and to
engage in coll ctive bargaining negotiations .
24 . Perf rmance Bond .
The ontractor shall furnish to the City a continuing
Performance Bo d for the faithful performance of this agreement.
It shall be ex cuted by a surety company licensed to do business
in this State nd to be in thE penal sum of $5,000. Said bond
shallindemnif the City againEt any loss resulting from any
failure of pe formance by the Contractor, not exceeding, however,
the penal sum f the bond .
25. Inde nity.
The Contractor will indemnify, save harmless, and ex-
empt the City, its officers , Egents , servants, and employees
from and agai st any and all suits, actions , legal proceedings ,
claims, deman s , damages, cos s, expenses, and attorney' s fees
incident to a y work done in 1he performance of this agreement .
The City rese ves the right t retain counsel of its choice, or,
in the altern tive, approve counsel obtained by the Contractor.
26. Wor en's Compensation.
The Contractor shall carry, with an insurance company
authorized to transact business in the State of California, a
policy that fulfills all the requirements of the Workmen' s
Compensation Act of said State , including all legal requirements
for occupational diseases .
The Contractor will furnish public liability insurance
satisfactory o the City in minimum amounts of $100,000 and $300,000
and property amage insurance in a minimum amount of $100,000 .
27. Ass ' nment .
No ssignment of the agreement or any right occuring
under this ag eement shall be made in whole or in part by the
Contractor wi hout the express written consent of the City; in
the event of ny assignment, he assignee shall assume the liabil-
ity of the Co tractor.

28 . Books and Records .
The Contractor shal keep records of waste collected
and charges therefor, and the City shall have the right to re-
view those re ords which in any way pertain to the payments due
him. All inf rmation so obtained shall be confidential and shall
not be releas d by the City unless expressly authorized in writing
by the Contra tor. If disposal facilities are operated by the
City, records of incoming was es should be maintained by the
City. Accoun ing records of the Contractor shall utilize the
System recomm nded in the Bureau of Solid Waste Management publi-
cation, "An A counting System for Solid Waste Collection" (Pub-
lic Health Se vice Publication No. 2033) or a similar type ap-
proved by the City.
29. Ban ru tc .
It s agreed that i the Contractor is adjudged bank-
rupt, either oluntarily or i voluntarily, then this agreement
shall termina a effective on he day and at the time the bank-
ruptcy petiti n is filed.
30. Arb tration.
Any controversy of laim arising out of or relating to
this agreement, or breach the eof, shall be settled by arbitra-
tion in accordance with the riles of the American Arbitration
Association, and judgment upoi the award rendered by the arbitra-
tors may be entered in any co rt having jurisdiction thereof .
Such controve sy or claim shall be submitted to one arbitrator
selected from the National Panel of the American Arbitration
Association.
31. Per its and LicenseB .
The Contractor shall obtain at his own expense all
permits and 1 censes required by law or ordinance and maintain
same in full orce and effect .
32. Sta dard of Performance.
If he Contractor fails to collect materials herein
specified for five (5) consecutive scheduled working days or
otherwise £ai s to operate the system in a satisfactory manner,
for a similar period, the City may, unless such failure is
due to war, i surrection, riot, Act of God, or any other cause
beyond the Co tractor' s control, at its option, after written

notice to the Contractor as provided hereinafter, take over and
operate any or all of the Con ractor's equipment used in the
performance of this agreement until such matter is resolved and
the Contractor is again able lo carry out his operation under
this agreement . Any and all perating expenses incurred by
the City in sc doing may be d ducted by it from compensation to
the Contractoi hereunder.
Dur'ng such period, the liability of the City to the
Contractor fo loss or damage to such equipment so used shall
be that of a lailee for hire, ordinary wear and tear being
specifically Exempt from such liability. The liability of the
Contractor to third persons shall cease and all claims or de-
mands arising out of the operation of the collection service
shall be dire ted solely to the City.
Pro ided, however, if the Contractor is unable for any
cause to resume performance a the end of 30 calendar days, all
liability of the City under this agreement to the Contractor
shall cease and the City shall be free to negotiate with other
Contractors for the operation of said collection service . Such
operation witl another Contractor shall not release the Contractor
herein of his liability to the City for such breach of this
agreement . In the event that this contract is so negotiated
with a new Contractor or othe Contractors, third party liability
of the Contractor herein shalL terminate insofar as same arises
from tortious conduct in oper tion of the collection service.
For a franchise agr ement . (In case of termination
and City oper tion, the City hall have access to Contractor' s
records for t e purpose of bi ling and shall retain all payments
and funds recived for the period during which the City provides
service. )
33. Numler of Copies .
Thi agreement may a executed in any number of
counterparts, all of which shill have full force and effect of
an original f r all purposes .
34. Law to Govern.
Thi agreement shall be governed by the Laws of the
State of California, both as to interpretation and performance.

35. Modification.
This agreement cons itutes the entire agreement and
understanding between the parlies hereto, and it shall not be
considered modified , altered, changed or amended in any respect
unless in writing and signed ly the parties hereto.
36. Right to Require Pe formance .
The failure of the City at any time to require per-
formance by the Contractor of any provisions hereof shall in
no way affect the right of the City thereafter to enforce same.
Nor shall waiver by the City of any breach of any provisions
hereof be tak n or held to be a waiver of any succeeding breach
of such provision or as a waiver of any provision itself .
37. Point of Contact .
All dealings, contacts, etc. , between the Contractor
and the City shall be directed by the Contractor to the Director
of Public Wor s.
38. Illegal Provisions.
If any provision of the agreement shall be declared
illegal, void, or unenforceable, the other provisions shall not
be affected but shall remain in full force and effect .
39 . Notice.
A letter addressed And sent by certified United States
mail to eithex party at its b siness address shown hereinabove
shall be sufficient notice wh never required for any purpose
in this agreement.
40. Effective Date.
Thi agreement shal become effective and the Contrac-
tor shall beg n collection of the solid wastes herein 30 days
after the exe ution hereof .
41. Per ormance Review.
The a shall be an annual review of the Contractor' s
performance a to the terms and conditions of this agreement
and the servi es rendered to he residents of San Juan Capistrano.
Negotiations hall be by both City and Contractor for decreases
or increases n length of ser ice over the full and extended term
of this agreement.

42. Notices.
All notices pursuanl to this Lease shall be addressed
as set forth below or as either party may hereafter designate
by written notice and shall bE sent through the United States
Mail.

SITUATION
On March 1, 1 78, a Renewal A reement_ for Solid Waste Disposal
Services with Solag Disposal ompany was brought before the City
Council . The staff report wa developed on the basis that the
cost of colle tion was below the Orange County average and that
the level of ervice has bee monitored revealing satisfactory
consumer rela ions . The Contractor has performed the express
conditions of the Agreement in a dependable and reliable manner.
During Counci review of this report, discussion concerning the
feasibility o bidding for solid waste disposal services occurred .
The following time table has been prepared for use in consideration
of bidding fo solid waste disposal services ..
1. Develop Specifications 45 Days
2. Council Approval anc Call for Bid June 7
3. Bid Period 30 Days
4. Council Award Contract July 19
5. Suggested Service Date October 1
To ac`commodat this bidding schedule, the existing contract must
be extended t September 30, 1978. The time period from July 1-0,
1978, throug September 30, 978, would provide a transition
period for a new solid waste contractor.
This transition period would include a special notice to all
users that t ere is a change in solid waste operators and that
new billing rocedures and/o price changes would also be insti-
tuted . Atta hed hereto is a extension to the present Solag Dis-
posal Compan Operations Agreement . Said Agreement is extended
to September 30, 1978 . Also attached is a five-year Agreement
with Solag Disposal Company, as submitted March 1, 1978.
The five-yea Agreement is broken into annual review periods .
Prior to ext nding the Agreement on an annual basis , the City
shall review Contractor' s performance as to the terms and conditions
of the Agree ent.

Extension of Agreement for Solid
Waste Disposal Services (Solag )
The City has not aeen approached by any other solid waste contractors
during the term of service with olag Disposal Company. The Solag
Disposal Company truck yard, located off Los Rios Street, is a major
consideration in the reasonable lick up costs to San Juan Capistrano
residents . The Prima Deshecha S lid Wastes Facilities, located
easterly out Orte a Highway, limits the hauling distance of Solag' s
trucks. This is inother benefit of contracting with Solag Disposal
Company.
FINANCIAL CONSIDERATIONS
The initial administrative cost to transfer to another solid waste
operator would be high. This one-time cost would arise from the
bidding process, notification and explanations to residents and
evaluation of the level of service.
The costs to provide the present level of services would be relatively
equal to the present service charges now in effect . Those charges are
$3.00 for individual residential units and $2.00 for each multiple unit .
ALTERNATE ACTIONS
1. Adopt the extension agreement for solid waste disposal services
with Solag Dispos 1 Company and authorize the Mayor to sign. Establish
June 7, 1978 as tae date when City Council will call for bids on solid
waste disposal services .
2. Adopt the fiv year agreement for solid waste disposal services
with Solag Dispos 1 Company and authorize the Mayor to sign.
3 . Request furth r study.
RECOMMENDATION
By motion, adopt the extension agreement for solid waste disposal
services with Sol g Disposal Com any and authorize the Mayor to
sign on behalf of the City.

Effectiv July 1, 1974, the Solid Waste Collection Agreement
dated April 2 , 1973, by and between the City of San Juan Capis-

SOLID WASTE COLLECTION AGREEMENT
This agreemen is made and en ered into this day of
1973, by and betwee SAN JUAN CAPIS RANO, a City, organized under the laws
of the State of California, (herein fter referred to as the City) , and
TRUMAN SMITH DISPOS L AND SOLAG DIS OSAL, (hereinafter referred to as the
Contractor, ) and sup rcedes any and 11 agreements between them.
WI NESSETH:
WHEREAS, the ontractor is qu lified to provide solid waste collection
services; and
WHEREAS, the ity desires the Contractor to collect residential, com-
mercial and industr al solid wastes, as defined in this document, within
present and future oundaries of th City.
NOW, THEREFO , in consideration of the mutual covenants, agreements,
and considerations ontained herein , the City and the Contractor hereby
agree as follows:
1. Definitio s.
a. Resid ntial Solid Wa te. Garbage, rubbish, trash, etc. , re-
sulting from the no mal activities of households.
b. Comme cial Solid Was e. Garbage, rubbish, trash, debris, etc. ,
resulting from the ormal activiti s of a particular business.
c. Ashes. The residue rom the burning of wood, coal, coke, or
other combustible aterials.
d. Garb ge. Putrescibl animal and vegetable waste resulting from
the handling, prep ration, cooking and consumption of food.
e. Refu e. All putresc ble and non-putrescible solid waste
(except body waste) , including gar age, rubbish, ashes, street cleanings,
and solid market a d industrial wa tes.
f. Rubbish. Non-putres ible solid waste (excluding ashes) , con-
sisting of both co ustible and no -combustible wastes, such as paper, card-
board, tin cans, y rd clippings, w od, glass, bedding, crockery and similar
materials.
g. Resi ence. A single family dwelling unit such as a home or
trailer.
h. Mult -family dwellin unit. Dwellings consisting of two or
more units, and no including hote s or motels.
i. Spec al Material. T ese are bulky materials or other special
wastes that are no stored in stan and storage containers and cannot be
picked up by a nor ally used colle tion vehicle.
j . Ha ardous Materials. Wastes that are hazardous by reason
of their pathologic 1, explosive, r diological, or toxic characteristics.
k. Co struction and D molition Debris. Materials, waste,
refuse, remnants an other substanc s resulting from or created as a result
of construction or emolition activ ties of any kind.
1. In ustrial Waste. All liquid or solid waste substances,
except sewage, from any producing, nanufacturing or processing business
operation.
2. Exclus ve Right.
The cc tractor shall b the only person allowed to provide
solid waste collect on services wi in the City.
3. Servic .
All pe sons occupying or maintaining businesses, a place of
residence in single family dwellin units or in multi-family dwellings
within contract are shall be offe ed regular collection service under this
contract.
4. Term.
The t rm of this agreement shall be for the five year period
beginning CL o?3 1973.
5. Minim Service.
The c ntractor shall make at least one weekly residential col-
lection, and suffi ient commercial collections up to 6 per week - to provide
satisfactory servi a in accordance with this agreement.
6 . Hours
Colle tions shall be ade no earlier than 5: 00 a.m. and no
later than 8: 00 p. . , subject to s ch reasonable modifications as the City
may require. All ollections shal be made as quietly as possible.
7 . Litte .
The C ntractor shall of litter any street or premises in the
process of making ollections.
8. Conta ner Requirement ;.
All g rbage, trash an debris which contractor shall be re-
quired to collect hall meet the f llowing requirements and conditions:
a. A hes shall be pl ced in separate disposable containers.
Newspapers shall b bundled and se out separately.
b. N single bundle r container shall exceed 75 pounds in
weight.

c. Tr a trimmings, he ge clippings, shrubbery, cuttings,
twigs, and similar atter not place in a container shall be tied in bundles
not more than four 4) feet in leng h, and two (2) feet in thickness.
Contractor shall no be required to collect more than four (4) such bundles
on each pickup day.
d. Co struction and d molition debris shall be placed in con-
struction bins or o her containers upplied by contractor.
e. De ris shall not i clude dirt, lawn scalping with sod and
very large or heavy objects such as tree stemps, auto bodies, and similar
items; provided how ver, that the g antee may negotiate with the customer
for disposal of suc items under sp cial rates, terms and conditions accept-
able to both the gr ntee and the c stomer.
f. Ex ept as otherwise provided, all barrels, boxes or bundles
for collection shal be placed at he curb or edge of street where there is
no curb.
9. S ecia and Hazardous Materials.
The Co tractor shall rovide haul service for materials not
routinely generated at fees negoti ted in advance. Said materials shall be
stored and placed i a manner appr ved by the City and the Contractor. No
hazardous wastes will be collected by the Contractor unless specifically
requested by the gnerator, approved by the City, and agreed by the Contrac-
tor.
10. Colle tion Equipment.
The C ntractor shall rovide an adequate number of vehicles
approved by the Ci y for regular c llection services. They shall be kept in
good repair, appea ance, and in a anitary condition at all times, satis-
factory to the Dir ctor of Public orks. Each vehicle shall have clearly
visible on each si a the name and hone number of the Contractor.
11. Offic .
The C ntractor shall stablish and maintain a local office or
such other facilit es through whici he can be contacted, where service may
be applied for, an complaints can be made. It shall be equipped with suf-
ficient telephones shall have (a) responsible person(s) in charge during
collection hours a d shall be open during collection hours.
12. Hauli
All s lid waste haulal by the Contractor shall be so contained,
tied, or enclosed o that leaking, spilling, or blowing are prevented. In
the event of any s illage, the Contractor shall immediately clean up the

litter.
13. Title o Waste.
Title o all waste sha 1 be vested in the Contractor upon
being placed in hisvehicle.
14 . Dis os 1.
All so id waste for di posal shall be hauled to such disposal
site as maybe desi nated from time to time by the Director of Public Works.
15. Charge and Rates.
For an services requi ed to be performed under this contract,
the charges shall n t exceed the ra es as fixed by the City from time to
time. For solid wa to collected in the manner herein provided, the rates
shall not exceed th following:
a. Cu b or roadside pickup of individual residential units,

NOTE:
The r to chargeable for the pickup of trash and other materials
as herein defined from residences located in areas accessible only by pri-
vate and unpaved r ads will be sub ect to negotiation between the Contrac-
tor and the custom r. Any disputei in the aforesaid negotiations shall be
arbitrated by the irector of Public works and his decision shall be binding
upon the Contracto and customer. In the case of back yard pickups, the
Contractor is auth rized to charge an additional $3.00 per month for the
first 30 feet of distance from the public street and $0.05 per foot for
any distance in ex ess of 30 feet.
C. C mmercial Rates.
1 Pickups from ommercial customers not using rubbish bins,
the rate to b negotiated with the customer.
2 The following rates are based on Contractor's furnishing
one (1) three cubic yard metal container and said
charges shall include container rental, maintenance and
pickup servic as follows:

d. Special Haul Services.
For items requiring special handling due to size, weight,
type of material, o method of plac ment, the charges are to be negotiated
between the Contrac or and generato prior to collection. If agreement
cannot be reached, he matter may b submitted to the City, and its deci-
sion shall be bindi g.
16. Locati n.
All so id waste shall a placed at a location that is readily
accessible to the C ntractor ' s pers nnel, as described in Ordinance No. 223.
17. Unusua Changes or Cos s.
The Co tractor may petition the City for rate adjustments at
reasonable times on the basis of un sual changes in his cost of doing busi-
ness, such as revis d laws, ordina es, or regulations; changes in location
of disposal sites o changes in dis osal charges, etc.
18. Delinq ent Accounts.
The Co tractor may di continue service as set forth in this
section. Persons w o have not remitted required payments within 45 days
after the date of billing shall be notified on forms approved by the City.
Said form shall con ain a statement that service may be discontinued 15
days from the date of notice if pa ment is not made before that time. In
the event the Contractor intends to discontinue a delinquent account, he
shall so notify the City at least 5 days prior to the last day of collec-
tion. Upon paymen of the delinqu nt fees, the Contractor shall resume col-
lection on the nex regularly sche uled collection day.
19. Route and Schedules.
The C ntractor shall rovide the City with maps and schedules
of collection rout s and keep such information current at all times . It
shall be the custo er' s responsibi ity to place his solid waste at the
appropriate locati n for collectio before the approved starting hour. In
the event of chang s in routes or chedules that will alter the day of pick-
up, the Contractor shall so notify each customer affected, by mail not less
than two weeks pri r to the change
20. Com 1 ints.
All c mplaints shall a resolved within 24 hours. The Con-
tractor shall supp y the City with copies of all complaints on a form ap-
proved by it and i dicate the disp sition of each. Such records shall be
available for City inspection at a 1 times during business hours. The form
shall indicate the day and the hou on which it was received. When a com-

plaint is received n to day preceding a holiday o3' on a Saturday, it
shall be serviced o the next worki g day.
21. Notifi ation.
The Co tractor and Cit shall agree as to which will notify
all customers about complaint proce ures, rates, regulations and days (3) of
collection.
22. Contra tor' s Personnel
a. Th Contractor sha 1 assign a qualified person or persons
to be in charge of is operations i the City and shall give the name or
names to the City' nformation rega ding experience shall also be furnished.
b. Th City has the right to require that the Contractor' s
collection employee wear a clean u iform bearing the company's name.
C. Ea h employee shall, at all times, carry a valid operator's
license for the typ of vehicle he is driving.
d. Th City may requ st dismissal of any employee of the
Contractor who viol tes any provis 'on hereof, or who is wanton, negligent,
or discourteous in he performance of his duties.
e. Th Contractor sh 11 provide operating and safety training
for all personnel. At least one employee of each collection crew shall be
trained in first ai and each vehicle shall be equipped with a first aid kit.
f. W es of all employees of the Contractor shall equal or
exceed the minimum ourly wages es ablished by local, State, or Federal
governments (the m ximum rate shal apply) . The wages for each employee
classification sha 1 be provided t the City in an attachment to the bid
document.
g. N person shall b denied employment by the Contractor
for reasons of rac , creed, or rel gion.
h. E ployees of the ontractor shall have the right to orga-
nize and affiliate with recognized labor unions and to engage in collective
bargaining negotia ions.
23. Perfo mance Bond.
The C ntractor shall urnish to the City a continuing Perform-
ance Bond for the aithful perform nce of this agreement. It shall be exe-
cuted by a surety ompany licensed to do business in this State and to be in
the penal sum of $ , 000.00. Said >ond shall indemnify the City against any
loss resulting fro any failure of performance by the Contractor, not ex-
ceeding, however, he penal sum of the bond.

24 . Indemn t .
The Co tractor will indemnify, save harmless, and exempt the
City, its officers, agents, servant , and employees from and against any
and all suits, actions, legal proce dings, claims, demands, damages, costs,
expenses, and attor ey' s fees incid nt to any work done in the performance
of this agreement. The City resery s the right to retain counsel of its
choice, or, in the lternative, app ove counsel obtained by the Contractor.
25. Workme ' s Compensation.
The Co tractor shall c rry, with an insurance company auth-
orized to transact usiness in the State of California, a policy that ful-
fills all the requi ements of the orkmen' s Compensation Act of said State,
including all legal requirements for occupational diseases.
The Co tractor will furnish public liability insurance satis-
factory to the City in minimum amounts of $100 ,000 and $300,000 and property
damage insurance in a minimum amount of $100,000.
26 . Assi ent.
No assignment of the agreement or any right occuring under
this agreement shal be made in wh le or in part by the Contractor without
the express written consent of the City; in the event of any assignment, the
assignee shall assu a the liabilit of the Contractor.
27. Books and Records.
The Contractor shall eep records of waste collected and
charges therefor, and the City shall have the right to review those records
which in any way p rtain to the pa ments due him. All information so ob-
tained shall be co fidential and s all not be released by the City unless
expressly authoriz d in writing by the Contractor. If disposal facilities
are operated by th City, records cf incoming wastes should be maintained
by the City. Acco nting records o the Contractor shall utilize the system
recommended in the Bureau of Solid Waste Management publication, "An
Accounting System or Solid Waste ollection" (Public Health Service Pub-
lication No. 2033) or a similar ty a approved by City.
28. Bankruptcy.
It is agreed that if he Contractor is adjudged bankrupt, either
voluntarily or involuntarily, then this agreement shall terminate effective
on the day and at he time the ban ruptcy petition is filed.
29. Arbit ation.
Any c ntroversy of cl im arising out of or relating to this
agreement, or brea h thereof, shalL be settled by arbitration in accordance

with the rules of t e American Arbi ration Association, and judgment upon
the award rendered y the arbitrato s may be entered in any court having
jurisdiction thereo . Such controv rsy or claim shall be submitted to one
arbitrator selected from the Nation 1 Panel of the American Arbitration
Association.
30. Permit and Licenses.
The Co tractor shall o tain at his own expense all permits and
licenses required b law or ordinan a and maintain same in full force and
effect.
31. Standa d of Performance.
If the Contractor fails to collect materials herein specified
for five (5) consec tive scheduled working days or otherwise fails to
operate the system in a satisfactox manner, for a similar period, the City
may, unless such failure is not du to war, insurrection, riot, Act of God,
or any other cause eyond the Cont actor' s control, at its option, after
written notice to t e Contractor a provided hereinafter, take over and
operate any or all f the Contract is equipment used in the performance of
this agreement until such matter i resolved and the contractor is again
able to carry out is operation un er this agreement. Any and all operating
expenses incurred the City in s doing may be deducted by it from com-
pensation to the C ntractor hereun er.
Duri g such period, 1he liability of the City to the Contractor
for loss or damage to such equipment so used shall be that of a bailee for
hire, ordinary wea and tear being specifically exempt from such liability.
The liability of t e Contractor to third persons shall cease and all claims
or demands arising out of the oper tion of the collection service shall be
directed solely to the City.
Provided, however, i the Contractor is unable for any cause
to resume performs ce at the end o 30 calendar days, all liability of the
City under this ag eement to the C ntractor shall cease and the City shall
be free to negotia a with other Co tractors for the operation of said col-
lection service. uch operation w th another Contractor shall not release
the Contractor her in of his liabi ity to the City for such breach of this
agreement. In the event that this contract is so negotiated with a new
Contractor or othe Contractors, t ird party liability of the Contractor
herein shall termi ate insofar as ame arises from tortious conduct in
operation of the cl llection servic .

For a franchise agreement. (In case of termination and City
operation, the City shall have acce s to Contractor' s records for the purpose
of billing and shal retain all pay ents and funds received for the period
during which the Ci y provides service. )
32. Number of Copies.
This a reement may be xecuted in any number of counterparts,
all of which shall ave full force nd effect of an original for all purposes.
33. Law to Govern.
This a reement shall b governed by the Laws of the State of
California, both as to interpretation and performance.
34 . Modifi ation.
This a reement constitutes the entire agreement and under-
standing between th parties heret , and it shall not be considered modified,
altered, changed, o amended in anj respect unless in writing and signed by
the parties hereto,
35. Right to Require Performance.
The f ilure of the City at any time to require performance by
the Contractor of ny provisions hereof shall in no way affect the right of
the City thereafte to enforce same. Nor shall waiver by the City of any
breach of any provisions hereof be taken or held to be a waiver of any suc-
ceeding breach of uch provision oi as a waiver of any provision itself.
36. Point of Contact.
All d alings, contact , etc. between the Contractor and the City
shall be directed y the Contractoi to the Director of Public Works.
37. Illeg 1 Provisions.

Facts:
By virtue of an agreement da ed July 28, 1969, Truman W. Smith,
dba Truman S ith Disposal, w s granted the exclusive right to
collect tras and garbage in the City of San Juan Capistrano for
a period of ive years. The disposal company now desires to take
in a partner to meet the in easing needs of the city' s residents,
and has aske the city to a prove Mr. Thomas Trulis of Solag
Disposal Com any as such a artner.
Discussion:
The agreemen for trash and garbage disposal was between Truman
Smith, an in ividual doing lusiness as Truman Smith Disposal.
Paragraph 7 f the agreement states that no assignments or trans-
fers shall a made without he prior written consent of the city.
Mr. Smith h s by his reques to associate a partner, in effect,
asked the city to approve t e transfer of a part of his rights
and privile es under the co tract in question.
It is my
op' nion that Counc 1 can give its consent to the transfer
if it is s isfied that the welfare of the citizens of the city
will not be affected. Sinc the agreement calls for written con-
sent, I wou d recommend app oval by Resolution.

This office is f the belief t at the merger of the Truman Smith
Disposal Compan with the Sola Disposal Company will provide a
better level of service to the residents of our City for the
following reas ns.
As the Smith C pany has only ne large truck for this trash
pickup at the resent time, an this truck is quite old and
requires const nt repairs, the addition of the Solag Company
equipment, whi h is newer and n much better mechanical con-
dition, should provide a much igher level of service.
Recommendation for Council Act on:

22 NOW, THEREFORE, in consideration of the mutual covenants

25 1 . CITY agrees that SMITH shall have the exclusive right
26 within the City Limits of the City of San Juan Capistrano to make

SUBJECT: Pe formance Requi ements Under Refuse Franchise
At Council 's request I have reviewed our franchise with the
Truman Smith Disposal Comp ny for collection and disposal of
refuse in th City. There are absolutely no references to
specific pac aging or weighl limitations covering how refuse
may be put o t at the curb Jor disposal.
Paragraph 2 f our franchisc refers to "good and sufficient
equipment" d "sufficient and competent manpower to perform. . .
services in an efficient an proper manner. "
With the gr th of our COMMUnity and amount of refuse being dis-
posed of, i would appear to be timely that we now establish
more specific regulations om how refuse can be set at curb side .
Enclosed ar some brief reg lations used by Toro Disposal with
their custo ers which Council may wish to use as guidelines if
it agrees t establish specifications for curb side refuse in
our City.

Our service is a complete and unlim ted collection service. By this we mean
there is no limit to the number of containers or the type of trash we will
collect. Tiunlimited service includes dirt, rocks, and any other type of yard
debris as well as household items su h as old washing machines, couches, etc.
Below are listed a few simple rules for you to observe that will help us to
provide cl an and efficient collection and will result in better service to you.
(1) Place containers next to curb pickup begins at 6 a.m.
Your ickup will be once week) on:

(2) To pr vent injuries to our men please do not overload your containers. `
Filled containers should not exceed 60 pounds each.
(3) All loose trash should be placed in containers — Newspapers and
branches may be tied in bundles not exceeding 50 pounds each and
no m re than five feet in len th.
(4) Our rate for service is $1.50 per month which we bill on a quarterly
basis No deposit is required to begin service.
Part of our policy of providing you with the best possible service includes
handling your containers with care, replacing lids, picking up any trash
scattered in the process of collection, and being courteous at all times. If
these standards are not met, your call would be appreciated.

PARKS AND RECRE TION COMMISSION MATTERS
The requests for finaL Council determination on park names and
review of Four Caks Park acquisition and development costs were tabled
for the next Council meeting.
WARRANTS
The City Administrator, at the request of Mrs. Ross, City
Treasurer, brought up a question with regard to the $51, 238.70 payment
to Engineering- cience. This a ount was approved and included in the
May 10, 1971 approval of Warrants. The City Treasurer has stated that
she would like io have a correction made in regard to this matter. The
Director of Finance responded that this matter would be clarified and
brought before Council at the next meeting.
Councilman Chermak then moved that Warrant Nos. 6184 through
6225, inclusive for a total amount of $69,695.05 be authorized for
payment. Motion seconded by Councilman Bathgate and carried unanimously.
So ordered.
COUNCIL REMARKS
Councilman Chermak asked that City Attorney review trash fran-
} hise to see if containers have weight restrictions. This came about
because of a co plaint from a homeowner who reported contractor refused
nr�p to empty a tras can because of its size and weight . City Administrator

CHAPTER 11
TEMPORM STREET CLOSURES i
Article 11-1. Perm .t for Temporary Street Closures
Any use o any portion of a public street or alley
which will result i the obstruction thereof to vehicular or j
pedestrian traffic is prohibited. Accordingly, any .person 1(
desiring to cause t e temporary closure of any public street
or alley for the pu poses of conducting a street dance, i
neighborhood party, commercial promotional activity or
special event, stor ge of construction materials, storage of
containers intended for removal of construction or demolition
debris, storage of construction equipment or for any other
purposes shall first obtain a permit from the Public Works
Director as hereinafter provided. The requirements of this
Article shall not bE applicable to governmental agencies.
Article 11-2. Opening of Temporarily Closed Streets
Should an portion of a public street or alley be I
closed to vehicular or pedestrian traffic without a properly
issued permit or should a street or alley remain closed
after the expiratior of a lawfully issued permit, the City
• may remove or cause to be removed, any obstruction existing
therein. The cost of removal shall be borne by the person
permitting or causing the obstruction. Prior to removal of
any such obstruction, however, the City shall notify such
person that it intends to remove the same within three (3)
days of the date of service of notice to remove. Thereafter, j
the City may remove, or cause to be removed, any obstruction t
which is improperly placed or left remaining on a public
street or alley and bill the owner or person responsible
therefor. In the ev nt the placement and storage of said -
item creates an imme iate and substantial threat to public
health, safety and w lfare and it is impractical to serve I I
the notice as provid d hereinabove, the City may forthwith i
jcause the removal of the same and the owner thereof shall be '
�o liable to pay the coBt of removal to .the City upon billing. I
,'\Article 11-3. Placetkent of Materials on Street
No person 3hall place or stand any barrier,
sawhorse, trash bin r other obstruction on any street
without first Gbtain'ng a permit from the Public Works
Director. A $25.00 icposit is required for each permit, �
which is refundable ipon removal of obstruction, material or

container from the zoadway. This Article shall not apply to
temporary obstructions erected or maintained by governmental
agencies or public utilities, when necessitated by
construction activities, or except as provided in Article
11-1.

Should any portion of a public street or alley be ! t
closed to vehicular or pedestrian traffic without a properly i
issued permit or should a street or alley remain closed i
after the expiratio of a lawfully issued permit, the City
may remove or cause to be removed, any obstruction existing
therein. The cost f removal shall be borne by the person `
permitting or causi g the obstruction. Prior to removal of
any such obstructio , however, the City shall notify such
person that it inte ds to remove the same within three (3) ! !
days of the date of service of notice to remove. Thereafter,
the City may remove or cause to be removed, any obstruction
which is improperly placed or left'remaining on a public
street or alley and bill the owner or person responsible - )
therefor. In the e ent the placement and storage of said
item creates an immediate and substantial threat to public j
health, safety and welfare and it is impractical to serve ' f
the notice as provided hereinabove, the City may forthwith
cause the removal of the same and the owner thereof shall be
liable to pay the c st of removal to -the City upon billing.
Article 11-3. Plac meat of Materials on Street
No person shall place or stand any barrier,
sawhorse, trash bin or other obstruction on any street
without first obtaining a permit from the Public Works 1
Director. A $25.00 deposit is required for each permit,
which is refundable upon removal of obstruction, material or

In order to be serve the City o San Juan Capistrano and particularly
because of the expected rapid gr of the City in the immediate future, we
must make pro cions for the purc ase of additional new equipment. We are
dealing with a ensive equipment hich requires long-term financing and the
banks and fin cing companies are hesitant about financing equipment unless
they are assur d, by a long-term ontract, that the specialized equipment
will be Haid o f. We therefore r quest that the agreement be negotiated
for a minimum riod of five year with a provision for extension at the
end of that a and an opportuni to negotiate the extension a year
before the end of the contract.
In essence, th s proposal is to o far the City of San Juan Capistrano the
same complete, dependable servicewe have been providing for the past

this city will expire August 10, 969. Dae to the relative nearness of this
expiration dat I respectfully request an opportunity to negotiate a renewal
of our present agreement at this tire.
With the rapid growth of this citr it is important that I be given sufficient
time to plan a corresponding exPansion of meq trash collection operation.
The specialize equipment that is used in this business must be ordered many
months in ad as of its delivery date and with the present growth it appears
that we will n ed more equipment keep pace with the growth.
For the past t enty-two years I have faithfully served the businesses and
residents of is city. I am prod of nrq past record and feel confident
that I have do e a good job as car. be evidenced by the scarcity of complaints.
The service I ave been providing is one of the best rubbish collection
services avail ble in Southern Ca3ifornia. We try to handle any and all
trash put out residents and nol be selective about what we will take.
We haul away n t only household t ash and garbage but also lawn clippings,
weeds, dirt, r eks and other yard cleanup materials as well as bulky items
such as old pi ces of furniture ard appliances. We offer this type of
service as a c venience to the residents of the city and we feel they
appreciate the extent of the service. In other areas contractors limit
what they will ake to one or two barrels per house and refuse to take
anything out o the ordinary.
I also am cones ed with the appearance of the City of San Juan Capistrano
and I feel it i part of my duty as the city rubbish contractor to make sure
that trash is n t scattered along the streets as it is collect6d. I believe
I provide this ity with one of the cleanest trash collection operations
in Orange Count .
I would appreci to it very much if you would seriously consider my request

equipment, which is newer and n much better mechanical con-
dition, should provide a much igher level of service.
