AGREEMENT
M ORIGINAL
THIS AGREEMENT, is entered effective July 1, 1991, by and between the City of San
Juan Capistrano (PURCHASER), the Orange County Consolidated Transportation Service
Agency, a California nonprofit benefit corporation, or any successor entity to the
Orange County CTSA ("OCCTSA"), and the Orange County Transportation Authority, a
public corporation of the State of California ('!AUTHORITY").
WHEREAS, OCCTSA is experienced in the transportation of seniors, and persons with
disabilities, and
WHEREAS, pursuant to 49 USC S1612 and California Government Code 14033, OCCTSA
is a provider of mass transportation services to meet the special needs of elderly
and handicapped persons; and
WHEREAS, OCCTSA has entered into Agreement No. C-91-211 with the AUTHORITY which
requires OCCTSA to provide transportation services for the elderly pursuant to the
Older Americans Act of 1965, as amended; and
WHEREAS, OCCTSA will receive payment from the Authority through Agreement No.
C-91-211 funded with funds pursuant to Article 4.5 of the Transportation Development
Act of 1972 among other funds to support transportation services in the county; and
WHEREAS, PURCHASER is desirous of purchasing "Social Services" transportation
service from OCCTSA as a consolidated transportation agency (OCCTSA) which pursuant
to the OCCTSA mission statement, seeks to provide for the transportation needs of
clients of social service agencies in an effective and efficient manner.
NOW THEREFORE, in consideration of the respective and mutual covenants and
promises hereinafter contained and made, and subject to all the terms and conditions
hereof, the parties hereto agree as follows:
1. OCCTSA assumes all responsibility for the operation, scheduling,
maintenance of any vehicles which are to be operated in the performance of

this Agreement and cost thereof except to the extent this Agreement

provides otherwise.

OCCTSA shall obtain and maintain all licenses, registrations, and
4
accreditations from agencies governing its operation, which are necessary
5
for OCCTSA to perform its obligations under this Agreement.

OCCTSA shall obtain at its sole cost and file with PURCHASER, prior to
7
exercising any right or performing any obligation pursuant to this
s
Agreement and maintain for the period covered by this Agreement, a policy
9
or policies of general and auto liability insurance and a certificate of
10
such insurances, naming PURCHASER, its officers, agents, and employees, as
11
insured or additional insured. OCCTSA shall carry general liability
12
insurance of at least One Million Dollars ($1,000,000.00) per occurrence
13
and auto insurance of combined single limit bodily injury and property
14
damage in the amount of Three Million Dollars ($3,000,000.00) per
15
occurrence. Should any of the above described policies be canceled before
16
the expiration date thereof, the issuing company will endeavor to mail
17
30 days written notice to the certificate holder named.

Before OCCTSA shall employ any person or persons in the performance of
19
this Agreement, OCCTSA shall procure a policy of Workers' Compensation
20
Insurance as required by the provisions of Section 3700 of the California
21
Labor Code: and OCCTSA shall furnish to PURCHASER a Certificate of
22
Insurance showing that the aforesaid insurance is in full force and effect
23
during the entire term of this Agreement.

OCCTSA shall employ only qualified drivers to operate any vehicles in
25
performance of this Agreement. Prior to employment, OCCTSA shall review
26
the records maintained and available by Department of Motor Vehicles

record and regarding each of said drivers. Each of said drivers shall

possess and maintain any licenses or certificates required by law and
3
necessary for their individual performances on behalf of OCCTSA under this

Agreement. OCCTSA shall be solely responsible for the supervision of said

drivers in the performance of their duties.

Notwithstanding any other provision of this Agreement, OCCTSA, AUTHORITY
7
and PURCHASER agree to comply with all applicable federal, state and local
8
laws and regulations.

OCCTSA agrees to establish, maintain and preserve records which include
10
and substantiate costs of all labor and materials related to the
11
performance of this Agreement, and documentation which substantiates
12
OCCTSA performance of transportation services pursuant to this Agreement
13
OCCTSA shall make all of the above records available, upon reasonable
14
prior notice, to PURCHASER during regular business hours.

8.
OCCTSA shall hold PURCHASER and AUTHORITY harmless from and against any
16
and all liability, loss, damage, claims, suits, costs and expenses,
17
including reasonable attorney's fees, regardless of the merit or outcome
18
of any such claim or suit, claimed or arising from any negligent or
19
wrongful act or omission of OCCTSA, its officers, employees, agents or
20
subcontractors in the performance of this Agreement.

PURCHASER and AUTHORITY shall hold OCCTSA harmless from and against any
22
and all liability, loss, damage, claims, suits, costs and expenses,
23
including reasonable attorney's fees, regardless of the merit or outcome
24
of any such claim or suit, claimed or arising from any negligent or
25
wrongful act or omission of PURCHASER, and/or AUTHORITY, their officers,
26
employees, agents or subcontractors in the performance of this Agreement.

10. OCCTSA shall pick up, transport and deliver such passengers at and to such

locations, and at such times as are described in EXHIBIT A - STATEMENT OF
3
SERVICES - attached hereto and by this reference incorporated herein.

11. Cash payment in the total amount of $5,679.00 shall be paid in four equal
5
payments to OCCTSA by PURCHASER as part of the performance of this
6
agreement. OCCTSA shall submit quarterly invoices to PURCHASER for
7
payment pursuant to this Agreement at the close of each of the following
8
periods: for the period July 1, 1991 through September 30, 1991; or the
9
period October 1, 1991 through December 31, 1991; for the period
10
January 1, 1992 through March 31, 1992; and for the period April 1, 1992
11
through June 30, 1992. Failure of PURCHASER to pay OCCTSA amount due
12
under this contract within 60 days from date of invoice shall entitle
13
OCCTSA to, in addition to any other legal remedies available to OCCTSA,
14
suspend or diminish its performance under this Agreement if it so elects.

12. All notices pertaining to this Agreement, and any communications from the
16
parties may be made by delivery of said notices in person or by depositing
17
said notices in the U.S Mail, registered or certified mail, return,
18
receipt requested, postage prepaid and addressed as follows:

Any of the three parties may cancel this Agreement by giving thirty (30)

days written notice of said cancellation to the other two parties hereto.

In the event of termination or cancellation for any reason OCCTSA shall

return to PURCHASER any money or other property allocable to the post

termination/cancellation period.

The terms of this Agreement shall be one (1) year, or that portion of a

year commencing July 1, 1991 and expiring at the end of business or
16
5:00 p.m. whichever occurs last on June 30, 1992.

This document fully expresses all understandings of the parties concerning
18
all matters covered and shall constitute the total Agreement. No prior
19
written or oral provisions or understanding, between the parties shall
20
have any force or affect. No addition to or alteration of the terms of
21
this Agreement shall be valid unless made in writing and formally adopted
22
in the same manner as this Agreement.

EXHIBIT A
1. Orange County Consolidated Transportation Service Agency (OCCTSA) shall
schedule and operate a vehicle or vehicles Monday through Friday within
the present hours of service provided to the identified site or sites in Item
4. Additional service within budgetary constraints may be available outside
the regular service hours. -
2. OCCTSA may, at its discretion, utilize the assigned vehicle or vehicles for
any purpose it deems necessary at any time when senior passengers are not
being transported.
3. OCCTSA shall assign any equipment it feels appropriate for the needs of
the client type and reserve the right to reassign both equipment and driver
as needs change.
4. Service shall be provided to the following site or sites located at:

5. OCCTSA may, at its discretion, deny transportation to passengers who may
pose a danger to themselves, other passengers or the CTSA drivers.
6. All rides provided by OCCTSA shall be on a space available basis.
Geographic considerations may affect CTSA's ability to schedule riders.
Further, site managers should be aware that the number of individuals
assigned to a given route may affect service quality and route integrity.
7. OCCTSA policy requires that passengers be ready at the agreed pick up
time. CTSA's policy is for drivers to wait only 5 minutes after the
scheduled pick up time. Passengers who need to cancel scheduled rides,
must do so at least one hour prior to scheduled pick up times. Additionally,
CTSA's "No Show" policy provides for removal from the service of
passengers who do not comply with this policy.
8. "Will Call" passengers must notify CTSA by 0730 of the morning they wish
to ride.

SITUATION:
The City of San Juan Capistrano, working in a cooperative effort with the Orange County Area Agency on Aging
(AAA), provide free transportation for seniors and the disabled to attend the Nutrition Program at the Old Fire
Station Recreation Complex. The service is available Monday through Friday. Every Friday, seniors who have
ridden the van to the Nutrition Program may also use the van to go grocery shopping in San Juan Capistrano.
This transportation contract was administered by San Clemente Seniors from 1981 through 1987. At that time,
the City of San Juan Capistrano decided to be more directly involved with this particular service and in 1987 the
City began administering this transportation contract and have continued with this practice through the present.
The transportation cost is divided between three entities: the City, the Orange County Area Agency on Aging,
and the Transportation Development Act (TDA). San Juan Capistrano's annual billing is based on the previous
year's number of passengers. For FY 1991-1992, it is calculated that we will use 854 total vehicle hours at $35
per hour, which totals $29,890. This accounts for 5,294 passenger trips during this time. For FY 1991-1992, the
breakdown of payment of that $29,890 for San Juan Capistrano's Senior Citizens transportation service is:

At their regular meeting held July 2, 1991, the City Council of the City of San
Juan Capistrano approved the Agreement with the Orange County Consolidated
Transportation Service Agency to provide transportation services which will allow
seniors and disabled to attend the Nutrition Program at the Old Fire Station
Recreation Complex. The Agreement will be in effect for the period ending
June 30, 1992, in the amount of $5,679.
Two copies of the Agreement signed by the City are enclosed. When they have
been signed by the appropriate agencies, please return one fully -executed copy to
