AGREEMENT FOR CONSULTING SERVICES TF!' ACRZEM.ENT is made and entered into this (0 day of 1992, by and between THE CITY OF SAN JUAN CAPISTRANO, hereinafter referred to as "CITY", and UMA Engineering, Inc. hereinafter referred to as "CONSULTANT". WITNESSETH WHEREAS, CITY requires professional consulting services for the project described as follows: plan checking, development review and related engineering services; and, WHEREAS, CONSULTANT represents that they are duly qualified to provide said services, NOW, THEREFORE, CITY and CONSULTANT, for the consideration hereinafter named, agree as follows: SECTION 1. GENERAL. The considerations of work on the project shall be governed by the conditions contained herein. In general, the tasks delineated herein are to be performed with minimum direction and assistance from CITY. All work performed by CONSULTANT , however, shall be subject to review and approval of the Director of Engineering and Building or his designee at all times. SECTION 2. SCOPE OF TASKS BY CONSULTANT. Subject to the terms and conditions of this Agreement, CONSULTANT shall perform the services as set forth in Attachment A, incorporated herein by reference. During the performance of the above tasks, CONSULTANT shall have access to existing data in CITY files and CITY shall provide copies of any such data CONSULTANT requests at no cost to CONSULTANT. SECTION 3. TIME OF BEGINNING AND COMPLETION OF SERVICES. The services provided under this Agreement shall begin upon execution of this Agreement by all parties. This Agreement shall be for a four (4) year period of time with annual reviews by the City Staff. Agreement renewals shall be automatic based on Staff review of CONSULTANT performance. The Agreement shall terminate June 30, 1996, and annual reviews shall be performed prior to June 30 of each year. Page I 0 i SECTION 4. PAYMENT FOR CONSULTANTS SERVICES. CONSULTANT contract billings may be submitted on the CONSULTANT s forms and, at a minimum, should contain the following: Title of project(s) Purchase order number Total approved purchase order amount Amount paid to date Amount requested Amount remaining on purchase order Breakdown of amounts by project type or account number Hourly rate breakdown by classification. Three copies of itemized bills, clearly indicating the monthly period for which the billing is made, shall be submitted to: City of San Juan Capistrano, Attn: Director of Administrative Services, 32400 Paseo Adelanto, San Juan Capistrano, CA 92675. Total cost to CITY/AGENCY for CONSULTANT's fees shall not exceed $25,000 for each annual period. The amount stipulated above is not a guarantee by the CITY to CONSULTANT that said amount will be received by CONSULTANT. Rather, it represents the maximum authorization permitted without further Council approval. CONSULTANT may, dependent upon development activities, not receive any work. The CITY shall issue purchase orders equal to the anticipated CONSULTANT fees on a project basis, which shall constitute CONSULTANT's authorization to proceed. SECTION 5. COVENANT AGAINST CONTINGENT FEES. CONSULTANT warrants that they have not employed or retained any company or person, other than a bona fide employee working for CONSULTANT, to solicit or secure this Agreement, that they have not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any other consideration, contingent upon or resulting from the award or making of this Agreement. For breach of violation of this warranty, CITY shall have the right to annul this Agreement without liability or, at its sole discretion, to deduct from the Agreement price or consideration or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. SECTION 6. EXPENSES. CONSULTANT acknowledges CITY is under no obligation to compensate CONSULTANT for services rendered or expenses accrued under this Agreement in excess of the maximum compensation authorized pursuant to approved purchase order. SECTION 7. OWNERSHIP OF DOCUMENTS. All tracings, plans, specifications, maps or other documents prepared or obtained under the terms of this Agreement shall be delivered to, and become the property of, CITY, and basic survey notes and sketches, charts, computations and other data prepared or obtained under this Agreement, shall be made available upon request to CITY without restriction or limitation on their use. Page 2 0 . SECTION 8. NON—DISCLOSURE. The designs, plans, reports, investigation, materials and documents prepared or acquired by CONSULTANT pursuant to this Agreement (including any duplicate copies kept by CONSULTANT) shad not be shown to any other nuMir or private person or entity, except as authorized by CITY. CONSULTANT shall no: disclose to any other public or private person or entity any information regarding the activities of CITY, except as authorized by CITY. SECTION 9. CONFLICT OF INTEREST. For the duration of this Agreement, CONSULTANT shall not act as consultant or perform services of any kind for any person or entity in regard to this project without the prior written consent of CITY. SECTION 10. CHANGES IN SCOPE OF CONSULTANT'S SERVICES. No additional fee shall be paid by CITY for additional consulting services not included in this Agreement without the written approval of the CITY prior to undertaking such work. In the event of suspension of services by CITY, CONSULTANT shall have the right to renegotiate fees if delay is greater than six (6) months. SECTION 11. TERMINATION. CITY may, without cause, terminate this .Agreement at any time prior to completion by CONSULTANT of any of the services required hereunder. Notice of Termination of this Agreement shall be given in writing to CONSULTANT and shall be sufficient to complete when same is deposited in the U.S. Mail, first class postage prepaid. In the event this Agreement is terminated by CITY, CONSULTANT shall be paid the value of services performed by him pursuant to this Agreement prior to the date of termination thereof, such value to be the total to which he shall have become entitled, as determined by the CITY, less the amount of any payments previously made, but in no event exceeding the maximum contract amount stated in SECTION 6. SECTION 12. DISPUTES. Unless otherwise specified herein, any dispute over a question of fact arising under this Agreement which cannot be resolved by agreement between the parties may be, by mutual consent of the parties, submitted to a "Board of Arbitration" consisting of three (3) arbitrators having expertise relating to this contract subject matter, one of whom shall be selected by each of the parties, and the third by the two members selected by the parties. Each of the parties shall pay the member selected by it, and the compensation of the third member shall be paid equally by the parties. The parties shall be bound by the decision of the Board of Arbitration. SECTION 13. NO ASSIGNMENTS. Neither any part nor all of this Agreement may be assigned or subcontracted, except as otherwise specifically provided herein, or to which CITY, in its sole discretion, consents to in advance thereof in writing. Any assignment or subcontracting in violation of this provision shall be void. Page 3 SECTION 14. ENDORSEMENT ON PLANS, ETC. CONSULTANT shall endorse all plans, data and other documentation submitted to CITY pursuant to this Agreement. SECTION 15. MALNTENANCE OF RECORDS. CONSULTANT shall maintain all books, documents, papers, employee time sheets, accounting records and other evidence pertaining to costs incurred and shall make such materials available at their respective offices at all reasonable times during the contract period and for three (3) years from the date of final payment under this Agreement for inspection by CITY, and copies thereof shall be furnished, if requested. SECTION 16. INDEPENDENT CONTRACTOR. At all times during the term of this Agreement, CONSULTANT shall be an independent contractor and shall not be an employee of CITY. CITY shall have the right to control CONSULTANT only insofar as the results of CONSULTANT's services rendered pursuant to this Agreement; however, CITY shall not have the right to control the means by which CONSULTANT accomplishes services rendered pursuant to this Agreement. All persons employed to provide services under this Agreement shall be employees or contractors of CONSULTANT and shall not be deemed employees of CITY for any reason or purpose. CONSULTANT shall be responsible for providing workers' compensation insurance coverage for all persons employed thereby to perform services under this Agreement. SECTION 17. INSURANCE REQUIREMENTS. I. Comprehensive General Liability. CONSULTANT shall maintain in full force and effect Comprehensive general liability coverage, including premises operations, products/completed operations, broad form property damage, and blanket contractual liability in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/ not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. II. Comprehensive Automobile Liability. CONSULTANT shall maintain in full force and effect comprehensive automobile liability coverage, including owned, hired, and non -owned vehicles in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/ not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. Page 4 0 . IV. Worker's Compensation. If CONSULTANT intends to employ employees to perform services under this Agreement, CONSULTANT shall obtain and maintain, during the life of this Agreement, worker's compensation employer's liability insurance in the statutory amount as required by state law. This policy/policies shall not terminate, nor shall they be cancelled, nor the coverage reduced, until after 30 days' written notice is given to the CITY. CONSULTANT shall provide, prior to beginning work, certificates of insurance to the CITY establishing that the required insurance coverages have been secured by CONSULTANT. CONSULTANT shall provide an endorsement to CITY establishing that CITY has been legally added as an additional insured for the general liability insurance required under this Agreement. SECTION 18. TIME FOR SUBMITTING PROOF OF INSURANCE. CONSULTANT shall submit proof of insurance requirements under this Agreement to the City Clerk's office prior to beginning any work under this Agreement. CONSULTANT shall not receive any compensation until all insurance provisions have been satisfied. SECTION 19. LICENSES, PERMITS, ETC. CONSULTANT represents and warrants to CITY that he has all licenses, permits, qualifications and approvals, of whatever nature, that are legally required to practice his profession. CONSULTANT represents and warrants to CITY that CONSULTANT shall, at his sole cost and expense, keep in effect at all times during the term of this Agreement any license, permit or approval which is legally required for CONSULTANT to practice his profession. SECTION 20. CONSULTANT NOT AN AGENT. Except as CITY may specify in writing, CONSULTANT shall have no authority, expressed or implied, to act on behalf of CITY in any capacity whatsoever as an agent. CONSULTANT shall have no authority, expressed or implied, pursuant to this Agreement to bind CITY to any obligation whatsoever. SECTION 21. PERSONNEL. CONSULTANT agrees to assign the following person(s) to perform the tasks set forth in this Agreement. CONSULTANT further agrees that designated person(s) is either a contractor or is not a designated employee of the City: Rick Kreuzer, P.E. Steven Lees, P.E. Manuel Salcido Bruce Tafoya, P.E. Majid Hamouda CONSULTANT shall not unilaterally alter the assignment of the above personnel without the authorization of the Director of Engineering and Building. CITY shall have the unrestricted right to order the removal of any person(s) assigned by CONSULTANT by giving oral or written notice to CONSULTANT to such effect. Page 5 0 • Y FIN It has been determined that, pursuant to the requirements of California AdministrativA C'n`p Section 18700 and Council Pnliry, CONSULTANT is to be considered a designated position in the City/Agency Conflict of Interest Code and is required to disclose all investments and business positions in business entities, sources of income and interests in real property held on the effective date of this Agreement. The conflict of interest statement is to be filed with the City Clerk/Agency Secretary within 30 days of approval of the Agreement. Compensation will not be received until requirements of this section have been met. IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and year first hereinabove written. Building Plan Review: 9 Review construction documents in accordance with the following uniform model codes as amended by City Ordinance. 1. Uniform Building Code - 1988 Edition 2. Uniform Plumbing Code - 1988 Edition 3. Uniform Mechanical Code - 1988 Edition 4. National Electrical Code - 1987 Edition 5. California Code of Regulations - Title 24 Provide a comprehensive plan review as directed or provide only specified plan review elements as follows: 6. Structural review and analysis of design and calculations. 7. Inspection services. B. Engineering Plan Review: Review construction documents and subdivision maps in conformance with the following standards: 1. City of San Juan Capistrano Municipal Code 2. City of San Juan Capistrano and County of Orange Applicable Design Standards 3. Highway Design Manual Standards Provide comprehensive plan review as directed for the following elements: 4. Geotechnical review/grading plans 5. Street improvements 6. Storm drain/hydrology reports 7. Traffic/striping improvements 8. Traffic studies 9. Sewer improvements 10. Landscaping improvements 11. Subdivision map checking 12. Structures (i.e., bridges) 13. Inspection services 14. Pavement analysis. 0 0 C. Document Transmittal: Pick up and re -sub -pit ;,lans to the City via the Building and Safety Division or Engineering counter. D. Performance Requirements: Render and remit a typed plan check correction/clarification list (2 copies) to the Engineering and Building Division within ten (10) working days from notification by the City. E. Fee Schedules: Engineering Fees: Engineering fees will be determined for most services based on 75% of the Engineering plan check fee schedule as established by the City. The consultant shall bill on an hourly basis, not to exceed 75% of the total fee. In some instances, a lower fee may be negotiated by mutual consent of the parties. Special services outside the fee schedule will be performed on a pre -agreed, not to exceed fee based on hourly rates. A copy of the hourly rate schedule is attached as Attachment B. Building Fees: Complete Plan Check: The fee schedule shall be 80% of the Plan Review Fee calculated per Section 304 of the latest published edition of the Uniform Building Code for each building plan checked. The construction valuation shall be based on the most recent valuation multiplier published by the International Conference of Building Officials in Building Standards or on the architect's estimated construction cost, or on the Building' Official's cost estimate, whichever is greater. Not withstanding the above, the minimum contractor fee for plan checking a proposed project shall be one hundred dollars ($100.00). Plan check fee for repetitive identical buildings shall be 80% of the plan check fee as noted above for the first, or basic building, and 20% of the plan check fee as noted above for each additional building. The single fee includes all rechecks and there are no additional charges for preliminary plan check conferences, expedited processing, checking plans that are eventually found to be incomplete or for the pick-up and delivery of plans or for meetings with the Building Official at his/her request. 2. 3. 0 0 Partial Plan Check: Fees for partial plan checks are: a. F. The consultant shall furnish copies, if requested. CITY'S RESPONSIBILITY: The City shall perform the tasks as set forth: A. Establishment of Valuation: Assign a valuation to the proposed work in accordance with the appropriate Engineering and Building Department standards. The City shall collect all fees from the applicant in connection with the services. B. Project Submittal: Obtain from the applicant, at the time of plan check submittal, the necessary documentation/specifications to allow for a comprehensive review. These items may include construction documents, structural calculations, Title 24 - Energy Conservation calculations, geotechnical reports, hydraulic and hydrologic calculations. The name, address and telephone number of the applicant's contact person shall be denoted on the application. C. Plan Review Coordination: Serve as project coordinator. The City will inform the consultant when a project has been formerly introduced for plan check or re -check. The City will be responsible for notifying the applicant when plans with corrections are available to pickup. APPROVAL OF EXTENSIONS OF CONTRACTS - CONSULTANT PLAN CHECK SERVICES TEAM (600.30) As set forth in the Report dated June 18, 1996, from the Engineering and Building Director, the existing contracts with the Consultant Plan Check Services Team were extended for a six- month period ending December 31, 1996. As set forth in the Report dated June 18, 1996, from the City Clerk, the following Resolutions were adopted relating to the General Municipal Election to be held on Tuesday, November 5, 1996: a) calling and giving notice of the General Municipal Election; b) requesting consolidation with the Statewide General Election; and c) regulating Candidate Statements: RESOLUTION NO, 96-6-18-1. Huber, Director of Engineering & Building SUBJECT: Approval of Extension of Contracts - Consultant Plan Check Services Team It is recommended that City Council approve extending the Consultant Plan Check Services Team contracts for a period of six (6) months until December 31, 1996. In October, 1992, the City Council approved a consultant plan check team consisting of 21 consultants. The contracts are due to expire on June 30, 1996. Staff is requesting the contracts be extended for six months until December 31, 1996. o t. On January 21, 1992, City Council approved the concept of a Consultant Plan Check Team to help expedite the plan check and review process. On October 6, 1992, a 21 -member consultant team was approved by City Council. The team consists of consultants in a variety of specialties including traffic, geotechnical, structural, general civil engineering and building plan review. The team concept was provided to have master agreements with each consultant and fixed fees based on a percentage of the City's fee schedule. During the past four years, very few consultants have been used due to the economic slow -down and staff's commitment to do as much as possible in house. Consultants have only been used in specialty areas such as geotechnical and complex structural buildings. Each agreement would be for a four-year period at a maximum of $25,000 per year, with annual review and renewal by the Director of Engineering and Building. Mr. Huber explained that the $25,000 maximum for each contract does not constitute a guaranteed amount to each consultant. He recommended that the agreements be approved subject to final review by the City Attorney. In response to inquiries by Councilman Vasquez, Mr. Huber advised that each consultant would be compensated based on a percentage of the City's ordinances; the fees would change only if the Citys fees were modified. Approval of Consulting Agreements: It was moved by Councilman Friess, seconded by Councilman Harris, that the 21 consultant agreements be approved for the development of a Plan Check Team for the Department of Engineering and Building, subject to final review by the City Attorney. The Mayor and City Clerk were authorized to execute the agreements on behalf of the City. The motion was carried with Councilman Vasquez voting in opposition and Councilman Hausdorfer abstaining per Government Code Section 87100. Councilman Vasquez voted in opposition stating the four-year terms of the agreements discouraged competitiveness. • ' • lye. •J-- _ Written Communication: Report dated October 6, 1992, from the City Clerk, advising that the Ordinance was introduced at the meeting of September 15, 1992, and was scheduled for adoption. Adoption of Ordinance: The City Clerk read the title of the Ordinance next in order. Further reading of all Ordinances had been waived earlier in the meeting. Huber, Director of Engineering do Building Approval of Consultant Agreements - Plan Check Team RECOMMENDATION It is recommended that City Council (1) approve the consultant plan check team, and (2) approve the agreements for plan check service by authorizing the Mayor to execute and the City Clerk to attest said agreements. SITUATION A. Summary and Recommendation City Council has previously approved the development of a consultant plan check team and authorized the solicitation of proposals. Approximately 80 firms were originally solicited, 30 proposals were received. A review team rated each proposal and selected 21 firms with varying expertise in Building Design, Infrastructure Design, Geotechnical, Traffic and Map Checking. The agreements are for a four-year period with annual review and renewal by the Director of Engineering & Building. Each agreement is for a maximum of $25,000/year which will be charged off against developer fees and approved budget expenditure. It is therefore recommended the City Council approve the consultant agreements and authorize the Mayor to execute and City Clerk to attest said agreements. B. Background History - On January 21, 1992, the City Council approved the concept of creating a plan check consultant team consisting of a select group of consultants. The team concept creates a long-term contract with each consultant, in this case four (4) years, but provides for annual reviews. Additional consultants may be added during the annual reviews if there exists vacancies in the team or additional expertise is required. The team concept as reported in the January Agenda Item will save staff time and improve efficiency on map and plan check processing. Selection Process - Approximately eighty (80) consultants were solicited for the services; of those thirty (30) proposals were received. A Consultant log will be created to track consultants used and fees paid to each consultant. This will be done with the intent to spread cost as evenly as possible among the design team. 2. Each time a consultant completes a plan review they will be evaluated. The evaluations will be reviewed by the Department annually to determine if the consultant is to continue on the team. 3. A purchase order will be issued for a specific project to control cost. The consultant will have a predetermined "not to exceed" fee but will be required to submit billings with hourly breakdowns so that if costs are less than the fixed fee, the City shall receive the benefit. In no instance will the total fees exceed the contract amount specified in the agreement without prior written Council approval. 4. Consultants will only be used to supplement staff due to work overload or where a particular expertise is not available with in-house staff. AGENDA ITEM • October 6, 1992 Page 3 5. The consultant team will not be used to supplant Council's approval of the Building be Grading Plans Examiner position. The position is presently vacant and will remain so until sufficient work justifies its being filled. Existing staff is handling the plan check load. Consultant Agreements - As there are 21 consultant agreements, it was not practical to include them in the agenda report. Instead one sample agreement is included for information. Specific elements of the agreement include the following key issues: Section 3 - The agreement is for a four- (4) year period, with annual renewal based on performance. Section 4 - Each agreement provides a $25,000 maximum, but in all cases the consultant will be issued a purchase order for a specific project with a "not to exceed" fee. The $25,000 maximum is not a guarantee to the consultant, it merely is a limit to assure work is spread and that should the limit be exceeded, Council approval would be necessary. Section 6 - Expenses are tied to an approved purchase order instead of the contract amount. Attachment A - Scope of Services defines the plan check work and spells out The present fee schedule to be utilized by Staff to determine the applicable fee. CONCLUSION The new approach to plan checking will greatly reduce future processing time and will also save staff time in reviewing and selecting consultants. It is, therefore, recommended that the consultant team, as proposed, and the agreements, as presented, be approved. Building Fees: 1. Complete Plan Check: The. fee schedule shall be 80% of the Plan Review Fee calculated per Section 304 of the latest published edition of the Uniform Building Code for each building plan checked. The construction valuation shall be based on the most recent valuation multiplier published by the International Conference of Building Officials in Building Standards or on the architect's estimated construction cost, or on the Building Official's cost estimate, whichever is greater. Not withstanding the above, the minimum contractor fee for plan checking a proposed project shall be one hundred dollars ($100.00). Plan check fee for repetitive identical buildings shall be 30% of the plan check fee as noted above for the first, or basic building, and 20% of the plan check fee as noted above for each additional building. The single fee includes all rechecks and there are no additional charges for preliminary plan check conferences, expedited processing, checking plans that are eventually found to be incomplete or for the pick-up and delivery of plans or for meetings with the Building Official at his/her request. 2. The name, address and telephone number of the applicant's contact person shall be denoted on the application. C. Plan Review Coordination: Serve as project coordinator. The City will inform the consultant when a project has been formerly introduced for plan check or re -check.
