CONTRACT DOCUMENTS. The contract documents shall be considered to include the Notice Inviting Bids, the Instructions to Bidders , the Proposal , the Bid Bond , the Non-Collusion Affidavit , the Designation of Sub-Contractors, the Contract which is prepared for execution by the City and the Contractor , plans , specifications and • special provisions , the Uniform Building Code , 1962 Edition , including all supplements , contract bonds , resolutions adopted by the City Council pertaining to the work , insurance policies and certificates , and any supplemental written agreements amending or extending the scope of the work originally contemplated that may be requiree to complete the work in a substantial and acceptable manner . SECOND. THE WORK . CONTRACTOR agrees to furnish all tools , labor', material , equipment , transportation , and supplies necessary to perform and complete in good and workmanlike manner the construction of the City of San Juan Capistrano Council Chamber in strict conformity with the Plans , Specifications and all other contract documents , which documents are on file at the office of the City • Clerk , City Hall , 32400 Paseo Adelanto, San Juan Capistrano, Califon ia. -16- THIRD. PAYMENT. City agrees to pay, and CONTRACTOR agrees to • accept , the lump sum adjusted for variations of quantities , at the prices Jesignated in the bid proposal at the time and in the manner set forth in the Specifications. FOURTH. COMMENCEMENT AND COMPLETION OF THE WORK. CONTRACTOR agrees to begi and complete the work within the time specified in the Notice Inviting Bids . It is agreed that it would be impractical and extremely difficult to fix the actual amount of damages , and loss sustainad by the City, should CONTRACTOR fail to complete the work in the spe ified time, therefore , CONTRACTOR shall pay City, as liquidated damages, not in the nature of a penalty, one hundred dollars ($100) per calendar day for each day delayed , provided that extensi ns of time with waiver of liquidated damages may be granted • as prov 'ded in the Specifications. FIFTH . PERFORMANCE BOND AND LABOR AND MATERIAL BOND. CONTRACTOR of the tot3l project agrees to furnish bonds guaranteeing the perform- ance of this contract and guaranteeing payment of all labor and material used under this contract , as required by the laws of the State of California, on forms approved by City . The Performance Bond shall be for an amount of one hundred percent (1008) of the amount of this co tract and shall be conditioned on full and complete perform- ance of the contract. The Labor and Material Bond shall be for an amount Df one hundred percent ( 1008) of the amount of this contract and sha 1 be conditioned upon full payment of all Labor and Material enterin into or incidental to the work covered by this contract . • CONTRAC OR agrees to furnish the bonds on the forms found within the Specifi ations and to secure the bonds from a surety company listed as acce table on the list included in the Specifications . -17- • CONTRAC OR agrees to pay City such sum as the Court may judge as reasonable for the legal services of any attorney representing the City in any action brought to enforce or interpret the obligations of this agreement, and such sums shall be made a part of any judgement in such action against CONTRACTOR if such action is determined in favor of said City. The required Performance and Labor and Materials Bonds and Bid Bond shall provide that the surety shall pay attorney' s fees incurred by City in enforcing this agreement. The "Performance Bond" shall be held as assurance of guaranteed performance for a period cf one year after acceptance of the improvements by the City Council. SIXTH. GENERAL PREVAILING RATE OF PER DIEM WAGES. Pursuant to the • Labor Ccde of the State of California, copies of the prevailing rate of per diem wages, as determined by the Director of the State Department of Industrial relations, are on file in the offices of the City Clerk , 32400 Paseo Adelanto, San Juan Capistrano, California, and are hereby incorporated and made a part hereof . CONTRACTOR agrees that he , or any SUB-CONTRACTOR under him, shall pay not less than the foregoing specified prevailing rates of wages to all workmen employe in the execution of the contract. SEVENTH INSURANCE. CONTRACTOR shall maintain at all times during this contract liability and property damage insurance naming the City and its elected and appointed officials as a named insured , which such policies shall be of an amount not less than One Million Dollars • combinee single limit. -18- The insurance policies shall bear an endorsement or shall have an • attache rider providing that in the event of expiration or proposed cancellation of such policies for any reason whatsoever , the City shall be notified by registered mail, return receipt requested , giving a sufficient time before the date thereof to comply with the applicable law or statute but in no event less than 30 days before expirat on or cancellation is effective. CONTRACTOR shall provide to City th policy certificate establishing that the required level of insuran a has been satisfied . CONTRACTOR shall indemnify and save harmless the City, its officers, agents, and employees from and against any and all claims, demands, loss or liability of any kind or nature which Lessor , its officers, agents nd employees may sustain or incur or which may be imposed • upon them or any of them for injury to or death of persons, damage to propert3 as a result of, or arising out of , or in any manner connect( d with the performance of the obligations under this constru tion agreement. EIGHTH. COMPLIANCE WITH OTHER PROVISIONS OF LAW RELATIVE TO PUBLIC COWNTRACIIS. City is subject to the provisions of the Government Code and the Labor Code of the State of California. It is stipulated and agreed that all provisions of law applicable to public contracts are a part cf this contract to the same extent as though set forth herein and shal 1 be complied with by CONTRACTOR. These include, but are not limited to, the stipulation that eight (8) hours labor constitute a legal day ' s work and CONTRACTOR shall, as a penalty to City, forfeit . twenty-five dollars ($25) for each workman employed in the execution of the ontract by CONTRACTOR, or by any SUB-CONTRACTOR, for each calendat day during which such workman is required or permitted to -19- . 1 • work mote than eight (8) hours in violation of the provisions of Article Three , Chapter One , Part Seven, Division 2, of the California Labor Code, except as permitted by law. Funds in the amount of $40,000 were budg ted in Account No. 12-6900-4701-105; $6,000 was spent on the new sound syst m. A budget adjustment of $15,000 from the General Fund reserve to finance the talance of the project was requested. Mayr Friess and Councilman Buchheim cited concerns regarding the expense. Councilmen Schwartze and Bland supported the remodel, noting the extensive use of the Chamber. Councilman Bland suggested that efforts be made to complete the work within the bid amount. Awat d of Contract/Budget Adjustment: It w s moved by councilman Schwartze, seconded by Councilman Bland to award the cont act for the City Hall Remodel Phase II to the low responsible bidder, Hines Construction Company, Inc., of Santa Ana, in the amount of $43,402, and to reject all other bids. The motion carried with Mayor Friess and Councilman Buchheim voting in the negative. A budget adjustment of $15,000 from General Fund reserves was Authorized. Murphy, Director of Public Works SUBJECT: City Hall Remodel Phase II SITUATION Bids have been received for the second phase of the City Hall remodel which includes the following changes to the Council Chambers: upgraded lighting fixtures, repainting the walls, modifications to the wall coverings and the two corners behind the Council dais, and the iLdditions of some cabinets to hold agendas and other documents of interest to the public. Bids were received as follows: Ines Construction Company, Inc. $43,402.00 I vine Construction Group $48,210.00 ltimo General Contractors $53,200.00 S ec Builders $54,900.00 This project will complete the City Hall remodel and will serve the City for the next 3 to 5 years. rhis is considered an important project because the Chambers serve as the focal point for most public meetings. The Council, Commissions, Committees and other commuru y organizations use the facility on a daily basis. The current arrangements are not Gond Give to quality presentations which will be solved by the remodel. The modifications will also blend the decor with the rest of the building. NOTIFICATION None COMMIS ION/BOARD REVIEW RECOMMENDATIONS None FINANCIAL CONSIDERATIONS Forty thousand dollars has been budgeted in Account #12-6900-4701-105 for City Hall project tt is year. Six thousand dollars has already been spent on the new sound system in the Council Chambers. The improvements for which bids have been received were estimatec at $30,000. This project has already been scaled down from its original concept, and staff feels this is the minimum project for upgrading the Council Chamber . The contract specifications contain time constraints as to when the work can be undertaken so as to keep the Chambers in use as much as possible. This has contributed to the costs being higher than the estimated cost. Julian, City Manager FROM: Pamela Gibson, Assistant to the City Manager SL BJECT: Approval of Plans and Specifications and Authorization to Advertise for Bids (City Hall Remodel Phase II) SITUATION: Plans and specifications have been prepared for the second phase of the Ci:y Hall remodel which includes the following changes to the Council Chambers: upgraded lighting fixtures, repainting the walls and the backs of the public seats, modifications to the wall coverings and the two corners be iind the Council dais, and the additions of some cabinets to hold agendas ani other documents of interest to the public. The work will take ap roximately 30 days and will cause some disruption of the Council Chambers. Every effort will be made to keep the chambers open and furictioning during the construction so that the public is not inconvenienced. Unfortunately there will be some occasions when that may not be possible. On these occasions meetings will be relocated to the Dance Hall or other public facilities. The plans and specifications will be located in the common documents box in he Council office for your review. A copy is also located in the office of thE City Clerk. ' Bid proposals are to be submitted by licensed General Con- tractors in a lump sum bid package for the total project. Sub- contractors ub- contract rs proposed to contract for portions of the work under the ' General Contractor are to be identified as stated herein. The General Contractor shall be responsible for the scheduling and ' coordination of the entire project, including work to be performed by any and all Sub-contractors. 1 Ea h Contractor is required to review the Plans and Specifi- cations ind visit the construction site prior to the submittal of ' bid(s ) . Each proposal or bid must be accompanied by a ce tified check, cash, cashier ' s check, or bidder ' s bond payable to the City of San Juan Capistrano in the sum of not less than ten percent of the amount. The contractor shall have the oppo tunity for clarification or interpretation of any point or ' points o question within the plans and contract documents or specific tions . It is the contractor ' s responsibility to be in attendan a at this conference to receive any information disclosed during t e proceedings , for the City shall not disseminate any ' records f the conference . Exclusive of written addendums and this ' pre-bid onference , the City shall not be responsible for any instruct ons, explanations, or interpretation of the plans, ' specific tions, and contract documents presented to the bidders in any manner . ' The successful bidder , simultaneously with the execution of the contract will be required to furnish a Faithful Performance Bond equal in amount of one-hundred percent (1008) of the contract price . The City Council reserves the right to reject any and all bids ' received and to compare the relative merits of the respective bids ' and choo a that which in the opinion of said City will best serve the interest or needs of said City. ' A time limit of 60 calendar days for completion of the total work shall be allotted and commenced in accordance with the Notice to Proceed . He ' shall satisfy himself as to the character, quality and quantities of the wo k to be performed, the materials to be furnished and the requi ments of the Contract Documents. The plans for the ' work show conditions as they are believed to exist, but it is not to be inferred that all the conditions as shown thereon are actually xistent, nor shall the City or any of its officers or agents be liable for any loss sustained by the Contractor as a ' result of any variance between conditions shown on the plans and actual conditions revealed during examination or progress of the work. The submission of a proposal shall be prima facie evidence that the bidder has made such an examination. The bidder shall familiari a himself with all construction phases of the project ' as contai ed in the specifications. ' Interpret tion of Drawings and Documents Ify bidder should find discrepancies in, or ommission ' from, the drawings , specifications or other proposed contract documents or if he should be in doubt as to the true meaning of ' any part hereof, he shall at once make a written request to the Engineer or correction, clarification or interpretation of the point or oints in question. The person submitting such a re- quest sha 1 be responsible for its prompt delivery. ' In shall event that the Engineer receives such a request and it should be found that certain essential information is not clearly a d fully set forth, or if the Engineer discovers errors, ' -10- • • omissions or points requiring clarification in the drawings or ' documents a written addendum will be mailed to each person to whom a se of contract documents has been delivered. The City ' will not De responsible . for any instructions, explanations or interpret tions of the documents presented to bidders in any ' manner of er than written addendum. ' Addenda o Bulletins The effect of all addenda to the contract documents shall be considered in the bid and said addenda shall be made a part ' of the contract documents and shall be returned with them. Be- fore sub tting his bid, each bidder shall inform himself as to ' whether o not any such addenda have been issued, and failure to cover in s bid any such addenda issued may render his bid invalid ' and result in its rejection. ' Visqualif .cation of Bidders No person, firm or corporation shall be allowed to make, file or be interested in more than one bid for the same work unless al ernate bids are called for. A person, firm or cor- poration ho has submitted a sub-proposal to a bidder, or who has ' quoted prices on materials to a bidder, is not hereby disqualified from submitting a bid in his own behalf. 1 Proposals ' Bids to receive consideration shall be in accordance with the following instructions : A. Bids shall .be made only upon the forms provided within these specifications ; all bid items shall be properly filled out; ' bid prices shall be stated both in words and in figures; and the signatures of all persons signing shall be in longhand. Where there is a conflict in the words and the figures, the ' words shall govern. 1 t -11- / B. All prices and notations must be in ink or typewritten. No ' erasures will be permitted. Mistakes may be crossed out and corre tions typed or written in ink adjacent thereto and must be in tialed in ink by the person or persons signing the bid. C. Bids hall not contain any recapitulation of the work to be ' done. Alternate proposals will not be considered except as requi ed hereinabove. No oral, telegraphic or telephonic proposals or modifications will be considered. D. The City may require any bidder to furnish a statement of his ' experience, financial responsibility, technical ability, equip- ment and references properly and fully filled out. E. Each bidder shall list his proposed sub-contractors on the form accompanying the proposal in accordance with the pro- visions ro- visio s of the specifications . F. Each bidder must accompany his bid with either a cashier' s ' check upon some responsible bank, or a properly certified check upon such bank, or an approved corporate surety bond ' payable to the City for such a sum of not less than ten (10) percent of the aggregate sum of the bid, which check or bond ' and the monies represented thereby shall be held by the City as a guarantee that the bidder, if awarded the contract, will in good faith enter into such contract and furnish the required bonds . ' The bidder agrees that, in case of his refusal or failure to execute said contract and give bonds within the time required by these documents, such check or bond, and the money re- presented e- press ted thereby, shall remain the property of the City and, if the bidder shall fail to execute said contract, said surety will pay, to the City the damages which the City may suffez by reason of such failure, not exceeding the sum of ' ten ( 0) percent of the amount of the bid. A bid received and not accompanied by such cashier' s check, certified check or approved bond shall be rejected. -12- G. Bids shall be delivered to the City at the location stipulated, on or before the day and hour set for the opening of bids, as, hereirbefore specified in the "Notice Inviting Bids" . Bids ' shall be enclosed in a sealed envelope bearing the title of the worke the name of the bidder, bid opening date and time of bid opening. Licensina of Contractor ' All persons# firms, partnerships or corporations shall be licensed in accordance with the Business and Professions Code ' of the State of California and the applicable ordinances of the City and County before doing any work of any kind. Withdrawal of Bids ' Any bidder may withdraw his bid in person or by written request at any time prior to the scheduled closing time for re- ceipt of bids . opening of Bid Proposals The City will,. in open session, publicly open, examine and declare the bids at the time set forth in the "Notice Inviting ' Bids" . Bidders or their authorized representatives are invited to be present. Award of Contract or Rejection of Bids ' No bidder may withdraw his bid for a period of forty-five (45) days after the date set for the opening of bids . The con- tract for the work will either be awarded or the bids rejected within the forty-five (45) days from the date set for the opening ' of bids. The contract for the work will be awarded to the lowest ' responsible bidder complying with these instructions and with the "Notice Inviting Bids" . The City, however, reserves the right to reject any or all bids and to waive mere informalities, minor tech ical errors or irregularities, obvious clerical errors or erasures. -13- i The bidder to whom the award is made shall execute a written contract with the City and furnish the stipulated bonds, insurance and bid breakdown within fifteen (15) days after the notice of award of contract. The contract shall be made in the form adopted by the ' City. The release of the successful bidder ' s surety deposit, as previously stipulated (page 5) , shall be made upon the City' s ' acceptance of the Labor and Materials Bond and the Faithful Per- formance Bond. ' If the bidder to whom the award is made fails to enter the con- tract as herein provided, the award may be annulled and an award may be made o the next lowest responsible bidder; and such bidder shall fulfill very stipulation embraced herein, as if he were the party to whom the first award was made. A corporation to which ' an award is made shall furnish evidence of its corporate existence and evidence that the officer signing the contract and bonds for the corporat ' on is duly authorized to do so. Bonds ' The subcontractors for any of the separate phases will not be required to furnish a Labor and Materials and Faithful Performance Bond. ' The successful bidder of the total project, simultaneously with the execution of this Agreement, will be required to furnish a Labor ' and Materials Bond in a sum not less than one hundred percent (100%) of the amount of the contract. Surety bonds shall be secured from a surety company satisfactory to the Cityand said bonds shall be secured from a surety company listed as acceptable on the list included in -14- these s ecifications, attached as Exhibit A. Bonds must be submitted on the orms contained in these specifications . Time of Performance Actual construction shall be limited to thirty (30) calendar days and be commenced upon receipt of all materials to complete work and no later than thirty (30) calendar days from the date set in the ' "Notice to Proceed" and shall be 1 -14a- t • • diligent y prosecuted until completion . A time limit of 60 calendar ' days for completion of the total work from the date established by ' the "Not ce to Proceed" has been set for completion of the work. The bidder ' s attention is directed to the specifications as to provisions for exte Sion of time of completion and/or assessment of liquidated damages . ' Assi tune t of Contract No ssignment by the Contractor of any contract to be entered nto hereunder or any part thereof, or of funds to be received thereunder by the Contractor, will be recognized by ' the awar ing authority unless such assignment has had prior approval of the awarding authority and the surety has been ' given no ice of such assignment in writing and has consented thereto n writing. ' Workmen nd Wa es ' Att ntion is specifically directed to all provisions of the Labo Code of the State of California with regard to work- men and ages. Wages shall not be less than prevailing wage rates de ermined by the City pursuant to said Code and as listed in the " otice Inviting Bids" . ' Buildinq Permits ' Ithall be the Contractor' s responsibility to obtain all necessa permits, bonds and insurance, as required, for the ' completi n of the project. No extra compensation shall be made the efore. ' Liabilit Insurance The City will not recognize any claim for additional compensa ion because of the requirement for greater amounts of insuranc as an element to be considered by the Contractor in ' determin ng his bid. -15- CONTRACT ' Th ' s contract is made and entered into by and between the CITY OF SAN UAN CAPISTRANO, hereinafter referred to as City, and ' hereinafter referred to as CONTRACTOR of ' any of the separate phases or , as an alternative, of the total project as indicated herein : ' IT IS HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS: ' FIRST. CONTRACT DOCUMENTS. The contract documents shall be considered to include the Notice Inviting Bids , the Instructions to Bidders, the Proposal , the Bid Bond , the Non-Collusion Affidavit, the Designation of Sub-Contractors, the Contract which is prepared for executi by the City and the Contractor , plans, specifications and ' special rovisions , the Uniform Building Code, 1982 Edition, includin all supplements, contract bonds, resolutions adopted by the ' City Cou cit pertaining to the work, insurance policies and certific tes, and any supplemental written agreements amending or extendin the scope of the work originally contemplated that may be required to complete the work in a substantial and acceptable manner . SECOND. THE WORK. CONTRACTOR agrees to furnish all tools , labor', material equipment , transportation, and supplies necessary to ' perform nd complete in good and workmanlike manner the construction of the City of San Juan Capistrano Council Chamber in strict ' conformi y with the Plans , Specifications and all other contract document , which documents are on file at the office of the City Clerk , C ty Hall , 32400 Paseo Adelanto, San Juan Capistrano, Californ a. -16- ' THIRD. PAYMENT. City agrees to pay, and CONTRACTOR agrees to accept , the lump sum adjusted for variations of quantities , at the ' prices esignated in the bid proposal at the time and in the manner set for h in the Specifications . FOURTH. COMMENCEMENT AND COMPLETION OF THE WORK. CONTRACTOR agrees ' to begi and complete the work within the time specified in the Notice nviting Bids. It is agreed that it would be impractical and ' extreme y difficult to fix the actual amount of damages , and loss ' sustain d by the City, should CONTRACTOR fail to complete the work in the spe ified time , therefore , CONTRACTOR shall pay City, as ' liquida ed damages, not in the nature of a penalty, one hundred dollars ($100) per calendar day for each day delayed , provided that extensi ns of time with waiver of liquidated damages may be granted as provided in the Specifications. FIFTH. PERFORMANCE BOND AND LABOR AND MATERIAL BOND. CONTRACTOR of ' the total project agrees to furnish bonds guaranteeing the perform- ance of this contract and guaranteeing payment of all labor and material used under this contract, as required by the laws of the ' State of California, on forms approved by City. The Performance Bond shall be for an amount of one hundred percent (1008) of the amount of this con ract and shall be conditioned on full and complete perform- ance of he contract. The Labor and Material Bond shall be for an amount o one hundred percent ( 1008) of the amount of this contract and shal be conditioned upon full payment of all Labor and Material entering into or incidental to the work covered by this contract . CONTRACT R agrees to furnish the bonds on the forms found within the Specific tions and to secure the bonds from a surety company listed tas accep able on the list included in the Specifications. ' -17- ' CONTRACTOR agrees to pay City such sum as the Court may judge as reasonab a for the legal services of any attorney representing the City in ny action brought to enforce or interpret the obligations of ' this agr ement, and such sums shall be made a part of any judgement in such ction against CONTRACTOR if such action is determined in ' favor of said City. The required Performance and Labor and Materials ' Bonds anti Bid Bond shall provide that the surety shall pay attorney' s fees incurred by City in enforcing this agreement . The "Performance Bond" shall be held as assurance of guaranteed performance for a period oE one year after acceptance of the improvements by the City ' Council. ' SIXTH. GENERAL PREVAILING RATE OF PER DIEM WAGES. Pursuant to the Labor Code of the State of California, copies of the prevailing rate ' of per d em wages, as determined by the Director of the State ' Departme t of Industrial relations, are on file in the offices of the City Cle k , 32400 Paseo Adelanto, San Juan Capistrano, California, ' and are ereby incorporated and made a part hereof . CONTRACTOR agrees t at he, or any SUB-CONTRACTOR under him, shall pay not less ' than the foregoing specified prevailing rates of wages to all workmen employed in the execution of the contract. SEVENTH. INSURANCE. CONTRACTOR shall maintain at all times during ' this con ract liability and property damage insurance naming the City ' and its elected and appointed officials as a named insured , which such pol cies shall be of an amount not less than One Million Dollars ' combined single limit. 1 -18- The insurance policies shall bear an endorsement or shall have an attache rider providing that in the event of expiration or proposed cancell tion of such policies for any reason whatsoever , the City shall b notified by registered mail, return receipt requested , ' giving sufficient time before the date thereof to comply with the applica le law or statute but in no event less than 30 days before expiration or cancellation is effective. StANDARD SPECIFICATIONS The Contractor shall perform his work in accordance with the following: al The Uniform Building Code, 1982 Edition, as modified and adopted by the City of San Juan Capistrano, hereinafter referred to as the Building Code. b The Standard Specifications for Public Works Construction, 1985 Edition, hereinafter referred to as the Standard Specifications. c The Standard Plans, Orange County Environmental Management Agency, 1985 Edition, hereinafter referred to as the Standard Plans (if applicable) . The Contractor shall maintain a copy of these books on the j bsite at all times. Unless otherwise specified, errata and tsupplements to the Standard Specifications, Standard Plans and B ilding Code shall be part of these specifications. The p ovisions of the Standard Specifications, Standard Plans and B ilding Code shall be modified as indicated below: -33- ' Change 1 : "Section 2-4 - Contract Bonds" Th Contractor shall submit a "Payment Bond" and "Faithful ' Pe formance Bond" . The "Payment Bond" and "Faithful Performance Bo d" (Material and Labor Bond) shall be in the amount of 100 pe cent of the contract price . The "Faithful Performance Bond" ' shall be held as assurance of guaranteed performance for a period of one year after acceptance of the improvements by the ' City Council. ' ChiLnge 2 : "Section 6-5 - Termination of Contract" "If at any time , in the opinion of the City, Contractor fails to supply suitable equipment, an adequate work force , or material of proper quality, or shall fail in any respect to prosecute any ' wo k with the diligence and force specified and intended in and ' by the terms of the contract , notice thereof in writing shall be se ved upon him, and should he neglect or refuse to provide me ns for satisfactory compliance with the contract, as directed by the City, within the time specified in such notice , the City ' in any case shall have the power to terminate all or any portion ' of the contract. Upon receiving such notice of termination, Contractor shall ' discontinue said work or such parts of it as the City may designate . Upon such termination, the Contractor ' s control shall to minate and thereupon the City Council, or its duly authorized re resentative , may take possession of all or any part of the Co tractor ' s materials , tools, equipment , appliances, and plant, ' an buy such additional materials and supplies at the ' Co tractor ' s expense as may be necessary for the proper conduct -34- • • ' of the work and for completion thereof ; or may employ other ' parties to carry the contract to completion, employ the necessary workmen, substitute other machinery or materials and ' purchase the materials contracted for , in such manner as the ' City may deem proper ; or the City Council may annul and cancel the contract and re-let the work or any part thereof . Any excess of cost arising therefrom over and above the contract price will be charged against the Contractor and his sureties, ' whc will be liable therefore . tIn the event of such termination, all money due the Contractor retained under the terms of this contract shall be forfeited to ' th City; but such forfeiture will not release the Contractor or ' th sureties from liability or failure to fulfill the contract. Contractor and sureties will be credited with the amount of ' monies so forfeited toward any excess of cost over and above the contract price , arising from the suspension of the operation of tthe contract and completion of the work by the City as provided ' above , and the Contractor will be credited with any surplus remaining after all just claims for such completion have been paid . TERMS DEFINED Whenever in the said Standard Specifications the following terms tare used , it is hereby provided that the following City Department or persons shall be intended : ' AGENCY shall mean City of San Juan Capistrano whenever appropriate . tBOARD shall mean the City Council of the City of San Juan Capistrano. ' ENGINEER shall mean the Permit Services Supervisor or other ' person (s) designated by same. ' 3 . WA ER Water will be available from the Capistrano Valley Water District . Arrangements for temporary construction water service permit and water service may be made by contacting Capistrano tValley Water District at ( 714) 493-1515 one week prior to need for service . All water facility construction shall conform to the "Standard Specifications, Capistrano Valley Water District, ' and The Uniform Plumbing Code , 1982. " ' 4 . INSURANCE AND OVERHEAD COSTS The Contractor shall receive no direct compensation for ' insurance and overhead (move-in costs for example) costs. Accordingly, these costs should be prorated to the appropriate ' bid items. 1 -36- 1 5. PROTECTION OF PUBLIC PROPERTY ' The Contractor must remain within the construction zone to the ' best of his ability. The Contractor must protect all existing public property. 6. HOURS OF WORK Hours of construction will be from 7 : 00 a.m. to 6 :00 p.m. weekdays , subject to the holiday restrictions of the Municipal ' Code . If necessary the Building Official may authorize some interior work on Saturdays . The City Council meets on the first ' and third Tuesday evening of each month. The Council Chambers ' shall be cleared of construction material and equipment from Tue day noon to the following morning. No work will be permitted ' during this period. The Contractor shall provide a schedule of con truction for approval prior to the start of construction. 1 ' -37- 1 1 1 1 LABOR AND MATERIAL SPECIFICATIONS 1 1 1 1 1 _38_ t ' DIVISION 1 - GENERAL REQUIREMENTS SECTION 0231 - GENERAL CONDITIONS All work performed on this project shall conform to the 1982 U.B.C. nd shall meet or exceed the standards established within the Industry for each area of work. U.B.C. requirem nts take precedence over the drawings and it shall be the r sponsibility of anyone supplying labor or materials or both to bring to the attention of the City Design ' Engineer any discrepancies or conflict between the requirements of the U.B.C. and the Drawings . Where existing facilities are involved , Contractor shall in the work of all trades, perform any and all cutting and patching to complete the work , and shall protect existing building and it ' s parts from damage caused by the work of ' this Contract. In the event of any damage , Contractor shall repair and restore existing construction to it' s original condition to the satisfaction of the Engineer . The Contractor shall verify all existing conditions, dimensions and elevations before proceeding with the work. ' Do not scale drawings. Since existing facilities are related to the work, the ' Contractor shall not disrupt the existing services or utilities without obtaining Owner ' s prior approval and instructions in each case . Verify and field measure location before beginning construction of cabinets or countertops . Refer tc drawings of Base Building for size and location of all Equipment Ducts and openings. ' The contract drawings and specifications represent the tenant improvements scope . Unless otherwise shown, they do not indicate the method of construction . The Contractor shall supervise and direct the work and he shall be solely responsible for all construction means, methods, techniques , sequences and procedures . Observation visits to the site by field representatives of the Engineer shall not include ' inspections of the protective measures or the construction procedures required for same , which are the sole responsibility of the Contractor . Any support services ' performed by the Engineer and , whether of material or work , and whether performed prior to, during or after completion of construction, are performed solely for the purpose of assisting in quality control and in achieving conformance with contract drawings and specifications , but they do not guarantee Contractor ' s performance and shall not be construed as supervision of construction. -39- ' Any disc epancies in the drawings or specifications shall be brought o the Engineer ' s attention immediately, and before proceedi g with work . ' All permits and inspections shall be paid by the Contractor . All con truction and workmanship shall conform to all applicab a codes and all requirements of the city building departme t or agency with jurisdiction where work is taking place . ' All prod ct manufacturers or registered trademark names used in these notes are binding . However , the Contractor is free ' to prop se any substitutions to the Engineer for approval prior to utilizing such on the work . All such substitutions must be provided with specifications , documentation and/or samples 2 weeks prior to ordering dates . ' Approval of the work in part or as a whole by the City Design Engineer shall not relieve Contractor of his ' responsibilities to perform as described in the Contract Documents . Contractor hereby warrants and guarantees that all work ' executed under this Contract will be free from defects of materials and workmanship for a period of one (1) year from the Date of Substantial Completion , except for those items ' that may require or have available a warranty or guarantee for a period of time greater than herein specified . ' Where defective work is to be redone or replaced under the terms f the Contract , Contractor shall insure that all demolition , repairing , patching , refinishing , and reinsta lation shall be done in such a way so as to minimize ' any disruption of Owner operations. In addition, Contractor shall lso repair all damage caused from failure of said items, whether damaged materials were installed under ' contrac or by others . In no case does the Architect warranty the quality or perform nce of any process or material indicated or ' specifi d by patent , proprietary name , name of manufacturer , or grad name. Such specification shall be used only for the purpose of facilitating a standard description of the ' process or material required to meet the intent of the Contrac Documents . ' Hours f Work : All work shall be completed between the hours o 7 : 00 a.m. and 6 : 00 p.m. weekdays , subject to the holiday restrictions of the Municipal Code . If necessary, the En ineer may authorize some interior work on weekends. Each da ' s schedule shall be approved one day in advance by the City to avoid conflicts with public use of the work area. -40- ' Changes in Work : The Owner may order extra work or make changes by altering , adding to, or deducting from the work; the contract sum may be adjusted accordingly. ' Cleaning Up: The Contractor at all times shall keep the premises free from accumulation of waste materials or rubbish caused by his operations . At the completion of the ' Work he shall remove all his waste materials and rubbish from and about the Project as well as all his tools, construction equipment , machinery and surplus materials .
