LEASE AGREEMENT
MISSION TRAILS STABLES
EQUESTRIAN FACILITY
THIS AGREEMENT is made as of the 19tday of November, 1991, by and between
the CITY OF SAN JUAN CAPISTRANO, hereinafter called LESSOR, and Mission Trails
Stables, hereinafter called LESSEE.
WITNESSETH:
WHEREAS, LESSOR owns certain real property it desires to lease to LESSEE for
equestrian purposes; and,
WHEREAS, this property is within and a part of LESSOR'S C. Russell Cook Park,
NOW, THEREFORE, LESSOR and LESSEE mutually agree as follows:
SECTION 1. LEASE OF REAL PROPERTY LESSEE
LESSOR hereby leases to LESSEE that certain real property more particularly
described as Lot A of Tract 8485, as recorded in Book 426, Pages 41 to 43 of the
Miscellaneous Maps of the County Recorder, County of Orange, State of California.
This real property shall be used for and improved upon only for equestrian purposes
as set forth in the C. Russell Cook Park Stable Improvement Plan, dated October 26, 1983,
on file in the Engineering Division of LESSOR.
SECTION 2. MONTHLY BOARD AND LESSEE LEASE PAYMENTS TO LESSOR
A. Monthly boarding fee shall be established by resolution of City Council. The
boarding fee shall be in effect 60 days from the resolution date. LESSEE
shall notify, in writing, the persons boarding horses within 30 days after the
resolution date by City Council. Monthly boarding fee increase shall receive
prior approval of LESSEE.
B. LESSEE shall pay lease payments to LESSOR in an amount equal to 20%
per month for each horse boarded on the demised premises. Lease payments
shall be paid to LESSOR on a monthly basis, on the 1st of each month.
LESSEE agrees that this percentage fee shall be adjusted upward in amount
equal to the percentage increase in the boarding rates charged by LESSOR.

C. Payments received after the 15th of the month for which payment is due, shall
be considered delinquent and a penalty fee of $50.00 will be assessed. Penalty
fees will be deposited in the general fund and shall be considered as
additional rent.
D. Rates shall be posted on a plaque no smaller than 2 feet by 2 feet in a place
visible to customers using the stables.
SECTION 3. PERFORMANCE
A. LESSEE shall, in all respects, keep, operate, and maintain the stables at
LESSEE'S expense, in accordance with the City of San Juan Capistrano
established stable ordinance standards and shall comply with all of the
applicable laws, regulations, and other ordinances of the City of San Juan
Capistrano, the County of Orange, the State of California, or the United
States of America. If there is a conflict between the regulations of the County
of Orange and the City, the City regulation shall prevail.
B. LESSEE shall keep a responsible resident caretaker upon the premises at all
times.
C. LESSEE shall not assign, sublet, or in any manner transfer its rights, duties,
and obligations under this lease. Any attempted assignment or transfer, or
other violations of the provisions of the Clause, shall be null and void and
shall confer no right, title, or interest in or to this lease, or right to operate
the whole or any portion of the land upon any such assignee, transferee, or
any other person or party.
D. LESSEE shall use the land solely for the boarding of horses, and no persons
other than LESSEE may receive payment for the boarding of horses on said
land. LESSEE may sell horses on an infrequent basis, as for example, the
liquidation of repossessed horses.
E. LESSEE may keep other mammals or fowl on said land if they are incidental
or accessory to the operation of the boarding stable and do not present a
public or private nuisance. Furthermore, only vegetable or fruit crops that are
necessary to the operation of the boarding stable may be grown on said land.

F. LESSEE shall prepare and file with the City of San Juan Capistrano
Emergency Services Coordinator, an Emergency Evacuation Plan for the
protection and safety of persons and animals on the stable premises in the
event of a multi -hazard emergency (to include, but not limited to, flood, fire,
and hazardous material incidents).
G. LESSEE shall conduct its operation in such manner as to not disturb
surrounding residents and/or activities. Accordingly, all group activities on
said land shall begin no earlier than 7:30 am and terminate no later than
10:00 pm; and, all activities using loudspeaker systems or generating unusual
amounts of noise shall terminate no later than sundown.
H. LESSEE agrees to maintain the land and all improvements constructed
thereon in good order and repair, and to keep said premises in a neat, clean,
orderly, safe, and sanitary condition, according to the City of San Juan
Capistrano established stable ordinance standards. This includes, but is not
limited to, the prevention of accumulation of any refuse or waste materials
which might constitute a fire hazard or a public or private nuisance.
I. LESSEE shall not allow the storage of vehicles and equipment on the
premises which are not directly related to the use of the stables.
J. LESSEE shall promulgate and enforce such rules and regulations as may be
required to insure proper control of animals and the protection of the health,
safety, and welfare of its patrons, animals, and the general public.
SECTION 4. INSURANCE
LESSEE shall maintain insurance acceptable to LESSOR in full force and effect
throughout the terms of this lease. The policy or policies of insurance shall name LESSOR
as an additional insured and shall, as a minimum, provide the following forms of coverage
in the amounts specified:
Comprehensive Public Liability: One million dollars ($1,000,000.00) single limit
coverage. Insurance shall be in force the first day of the term of this lease. Each
policy of insurance shall contain the following clause:
"IT IS AGREED THAT THIS POLICY SHALL NOT BE CANCELLED NOR
THE COVERAGE REDUCED UNTIL THIRTY (30) DAYS AFTER THE CITY
OF SAN JUAN CAPISTRANO SHALL HAVE RECEIVED WRITTEN NOTICE
OF SUCH CANCELLATION OR REDUCTION. THE NOTICE SHALL BE

SENT BY CERTIFIED OR REGISTERED MAIL AND SHALL BE DEEMED
EFFECTIVE THE DATE DELIVERED, AS EVIDENCED BY PROPERLY
VALIDATED RETURN RECEIPT."
"THE INCLUSION HEREIN OF ANY PERSON OR ENTITY AS AN INSURED
SHALL NOT AFFECT ANY RIGHT SUCH PERSON OR ENTITY WOULD
HAVE AS A CLAIMANT HEREUNDER IF NOT SO INCLUDED."
LESSEE agrees to deposit with LESSOR, on or before the times at which they are
required to be in effect, two copies each of the policy or policies or certificates of insurance
necessary to satisfy the insurance provisions of this lease and to keep such insurance in
effect and the policy or policies therefore on deposit with LESSOR during the entire term
of this lease.
SECTION 5. INDEMNIFICATION
LESSEE shall defend, indemnify and save harmless LESSOR, its officers, agents, and
employees, from and against any and all claims, demands, loss, or liability of any kind or
nature which LESSOR, its officers, agents, and employees may sustain or incur or which
may be imposed upon them or any of them for injury to or death of persons, or damage to
property as a result of, arising out of, or in any manner connected with this lease or with
occupancy and use of the land by LESSEE, its officers, agents, employees, patrons, or
visitors.
SECTION 6. STABLE IMPROVEMENTS
ALL plans for stable construction and improvement shall be approved by LESSOR
prior to implementation in accordance with the Site Plan referred to in Section 1. At the
termination of said lease, LESSEE shall remove all stable improvements installed by
LESSEE from said land within thirty (30) days; all improvements on said land after that
date shall become the property of LESSOR. LESSEE understands and agrees LESSOR
shall have no financial obligation to LESSEE for improvements installed by LESSEE unless
the LESSOR agrees upon, in writing, to purchase such existing stable improvements. All
stable improvements on said land, funded by the LESSOR will remain property of the
LESSOR at the termination of said lease (see attached Exhibit A).
SECTION 7. RESERVATIONS TO LESSOR
The land is accepted by LESSEE subject to any and all existing easements and
encumbrances. LESSOR reserves the right to install, lay, construct, maintain, and repair
utilities and appurtenances necessary or convenient in connection therewith, in, over, upon,

through, across, and along the land or any part thereof. LESSOR also reserves the right to
enter the land for any and all such purposes. LESSOR also reserves the right to grant
franchises, easements, right-of-way, and permits in, over, upon, through, across, and along
any and all portions of the land.
No rights reserved by LESSOR in this clause shall be so exercised as to interfere
unreasonably with LESSEE'S operations hereunder.
LESSOR agrees that rights granted to third parties by reason of this clause shall
contain provisions that the surface of this land shall be restored as nearly as practicable to
its original condition upon the completion of any construction.
SECTION 8. CONDITION OF LAND
LESSOR agrees to accept the land in an "as is" condition, and agrees to assume all
further liability rising out of the condition of such property.
SECTION 9. TERM
The term of this lease shall be for a period of five (5) years. This lease agreement
may be terminated by either party on 90 days written notice.
SECTION 10. RELOCATION
In the event the LESSOR desires to relocate the equestrian facility to the open space
area that the LESSOR acquired through the Open Space Bond Measure, both parties agree
to negotiate the terms and conditions by which the relocation will occur.
SECTION 11. DEFAULT IN TERMS OF LEASE BY LESSEE
Should LESSEE default in the performance of any covenant, condition, or agreement
contained in this lease, and such default is not corrected within 45 days after LESSEE
receives written notice of default from LESSOR, LESSOR may terminate this lease. All
rights of LESSEE and those who claim under LESSEE stemming from this lease, shall end
at the time of such termination.
SECTION 12. TAXES/LICENSING/FEES
In the event that the County Assessor assesses any possessory interest taxes on this
leased real property, LESSEE shall be solely responsible for the payment of said taxes and

any licensing and permit fees that are to be paid to local, county, state or federal
government.
SECTION 13. ACCOUNTING
LESSOR shall be entitled to inspect the books, papers, logs, or other financial
documents of LESSEE at any time, by giving 24 hours advance written notice thereof, for
the purpose of verifying the accuracy of lease payments. An accounting may also be
performed to determine whether LESSEE is insolvent.
SECTION 14, PARTIAL INVALIDITY
If any term, covenant, condition or provision of this lease is held by a court of
competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions
hereof shall remain in full force and effect and shall in no way be affected, impaired, or
invalidated thereby.
SECTION 15. NOTICES
All notices pursuant to this lease shall be addressed as set forth below or as either
party may hereafter designate by written notice and shall be sent through the United States
mail.

ity Services, recommending approval of a five-year lease with
Mission Trails Stables and the setting of the monthly
boarding fees to be charged by the stables.
Approval of Lease Agreement:
It was moved by Councilman Jones, seconded by Councilman
Buchheim, and unanimously carried that the Lease Agreement
with Mission Trails Stables be approved for the five-year
period ending November 19, 1996. The Lessor was provided an
additional 30 days, until December 19, 1991, to submit the
Inventory of Property, Exhibit A to the Lease.
Establishment of Monthly Boarding Fees:
It was moved by Councilman Jones, seconded by Councilman
Buchheim, that the following Resolution be adopted establish-
ing the monthly boarding fees to be charged by Mission Trails
Stables at $140.

Boarding Fee
SITUATION:
The current lease agreement between the City and the operator of Mission Trails Stables expires on
November 30, 1991.
Staff will be assisting the Lessee with development of a new emergency evacuation plan. The Lessee's current
evacuation plan is to relocate the horses on the stable premises to The Oaks stable; however, The Oaks stable
will no longer be boarding horses. Lessee is considering other options for the emergency evacuation plan.
At the time of this agreement completion, the Lessee had not submitted Exhibit A, Inventory of Property, as
identified in "Section 6. Stable Improvements." Staff does not find any reason to delay adoption of the agreement
and recommends providing the Lessee with a 30 -day time period to expire on December 19, 1991, for submittal
of the Inventory of Property.
The lease agreement provides for the establishment through City Council Resolution of monthly boarding fees
to be charged by the lessee of Mission Trails Stables.
Staff is requesting approval of the attached Mission Trails Stables Lease Agreement and the Resolution
establishing the monthly boarding fee to be charged by Mission Trails Stables.

Attached to this is the amended lease we discussed previously with Cindy Pendleton. Please review
the lease and, if you agree, sign and date the document on the line on the last page. Also attached
is a promissory note to be executed along with the lease. Please sign this document. You will notice
that no amount is filled in on the note. If you will recall, we discussed this in our meeting with Cindy
and agreed that the amount would be filled in on the May 1, 1995 effective date. If you are not
comfortable signing the note leave the signature line blank and we will have you sign after the April
4, 1995 Council meeting and before the May 1, 1995 effective date.
Also enclosed with this letter are the insurance documents you dropped off at the City Clerk's office.
The Clerk is continuing to try to obtain a certificate of insurance from your agent. If you could
contact him and ask him to send the certificate it would be greatly appreciated.
A return envelope with postage attached is included here for the return of the signed lease and
promissory note.

Dawn & I have reviewed the insurance verification submitted by Mission Trails and would appreciate
some clarification from you regarding certain parts of the submittal. A declaration has been submitted
instead of a certificate and endorsement. Additionally, the language required by Section 4 (copy of
agreement attached) of the lease agreement is not included. We understand these issues and will deal
with them. Our question to you is regarding the exclusions to the policy. As you can see there are

LEASE AGREEMENT
MISSION TRAILS STABLES
EQUESTRIAN FACILITY
THIS AGREEMENT is made as of thel9thday of November, 1991, by and between
the CITY OF SAN JUAN CAPISTRANO, hereinafter called LESSOR, and Mission Trails
Stables, hereinafter called LESSEE.
WITNESSETH:
WHEREAS, LESSOR owns certain real property it desires to lease to LESSEE for
equestrian purposes; and,
WHEREAS, this property is within and a part of LESSOR'S C. Russell Cook Park,
NOW, THEREFORE, LESSOR and LESSEE mutually agree as follows:
SECTION 1. LEASE OF REAL PROPERTY LESSEE
LESSOR hereby leases to LESSEE that certain real property more particularly
described as Lot A of Tract 8485, as recorded in Book 426, Pages 41 to 43 of the
Miscellaneous Maps of the County Recorder, County of Orange, State of California.
This real property shall be used for and improved upon only for equestrian purposes
as set forth in the C. Russell Cook Park Stable Improvement Plan, dated October 26, 1983,
on file in the Engineering Division of LESSOR.
SECTION 2 MONTHLY BOARD AND LESSEE LEASE PAYMENTS TO LESSOR
A. Monthly boarding fee shall be established by resolution of City Council. The
boarding fee shall be in effect 60 days from the resolution date. LESSEE
shall notify, in writing, the persons boarding horses within 30 days after the
resolution date by City Council. Monthly boarding fee increase shall receive
prior approval of LESSEE.
B. LESSEE shall pay lease payments to LESSOR in an amount equal to 20%
per month for each horse boarded on the demised premises. Lease payments
shall be paid to LESSOR on a monthly basis, on the 1st of each month.
LESSEE agrees that this percentage fee shall be adjusted upward in amount
equal to the percentage increase in the boarding rates charged by LESSOR.

F. LESSEE shall prepare and file with the City of San Juan Capistrano
Emergency Services Coordinator, an Emergency Evacuation Plan for the
protection and safety of persons and animals on the stable premise: in the
event of a multi -hazard emergency (to include, but not limited to, flood, fire,
and hazardous material incidents).
G. LESSEE shall conduct its operation in such manner as to not disturb
surrounding residents and/or activities. Accordingly, all group activities on
said land shall begin no earlier than 7:30 am and terminate no later than
10:00 pm; and, all activities using loudspeaker systems or generating unusual
amounts of noise shall terminate no later than sundown.
H. LESSEE agrees to maintain the land and all improvements constructed
thereon in good order and repair, and to keep said premises in a neat, clean,
orderly, safe, and sanitary condition, according to the City of San Juan
Capistrano established stable ordinance standards. This includes, but is not
limited to, the prevention of accumulation of any refuse or waste materials
which might constitute a fire hazard or a public or private nuisance.
I. LESSEE shall not allow the storage of vehicles and equipment on the
premises which are not directly related to the use of the stables.
J. LESSEE shall promulgate and enforce such rules and regulations as may be
required to insure proper control of animals and the protection of the health,
safety, and welfare of its patrons, animals, and the general public.

LESSEE shall maintain insurance acceptable to LESSOR in full force and effect
throughout the terms of this lease. The policy or policies of insurance shall name LESSOR
as an additional insured and shall, as a minimum, provide the following forms of coverage
in the amounts specified:
Comprehensive Public Liability: One million dollars ($1,000,000.00) single limit
coverage. Insurance shall be in force the first day of the term of this lease. Each
policy of insurance shall contain the following clause:
'TT IS AGREED THAT THIS POLICY SHALL NOT BE CANCELLED NOR
THE COVERAGE REDUCED UNTIL THIRTY (30) DAYS AFTER THE CITY
OF SAN JUAN CAPISTRANO SHALL HAVE RECEIVED WRITTEN NOTICE
OF SUCH CANCELLATION OR REDUCTION. THE NOTICE SHALL BE

through, across, and along the land or any part thereof. LESSOR also reserves the right to
enter the land for any and all such purposes. LESSOR also reserves the right to grant
franchises, easements, right-of-way, and permits in, over, upon, through, across, and along
any and all portions of the land.
No rights reserved by LESSOR in this clause shall be so exercised as to interfere
unreasonably with LESSEE'S operations hereunder.
LESSOR agrees that rights granted to third parties by reason of this clause shall
contain provisions that the surface of this land shall be restored as nearly as practicable to
its original condition upon the completion of any construction.
SECTION 8 CONDITION OF LAND
LESSOR agrees to accept the land in an "as is" condition, and agrees to assume all
further liability rising out of the condition of such property.
SECTION 9. TERN
The term of this lease shall be for a period of five (5) years. This lease agreement
may be terminated by either party on 90 days written notice.
In the event the LESSOR desires to relocate the equestrian facility to the open space
area that the LESSOR acquired through the Open Space Bond Measure, both parties agree
to negotiate the terms and conditions by which the relocation will occur.
SECTION 11 DEFAULT IN TERMS OF LEASE BY LESSEE
Should LESSEE default in the performance of any covenant, condition, or agreement
contained in this lease, and such default is not corrected within 45 days after LESSEE
receives written notice of default from LESSOR, LESSOR may terminate this lease. All
rights of LESSEE and those who claim under LESSEE stemming from this lease, shall end
at the time of such termination.
SECTION 12 TAXES/LICE`'SI\G/FEES
In the event that the County Assessor assesses any possessory interest taxes on this
leased real property, LESSEE shall be solely responsible for the payment of said taxes and

The General Liability Certificate of Insurance, regarding the
above -referenced lease agreement, is due to expire on May 22, 1993.
In accordance with your agreement, the insurance certificate needs
to be renewed for an additional period of one year. The agreement

On June 23, 1992, Jim Miles of Miles Insurance Agency faxed me a
copy of the general liability insurance required by your contract.
I was told at that time that an original certificate of insurance
and an additional insured endorsement would be sent by mail. I
called Miles Insurance Agency on June 30, 1992, and the phone had
been disconnected. On July 30, 1992, I sent a letter to the
insurance agency listing the requirements that were still needed
regarding your insurance. Since that date I have not heard from
your .agent. The phone is still disconnected and there is no
forwarding number.
Per your contract with the City the following insurance
requirements are still needed:
1. A 30 -day cancellation notice.
2. A general liability endorsement form naming the City of
San Juan Capistrano as an additional insured. Enclosed
is one the approved City forms.
3. An original certificate of insurance is needed with an
assigned policy number.
Please send the certificate and endorsement form to the City of
San Juan Capistrano, attention City Clerk's office, by August 21,
1992.

Thank you for the Certificate of Insurance, which was received by
the City of San Juan Capistrano on June 23, 1992. In accordance
with the agreement the City has with Mission Trails Stables the
following is needed:
1) A 30 -day cancellation notice.
(2) A general liability endorsement form naming the City of
San Juan Capistrano as an additional insured. Enclosed
is one of the approved City forms. If this form is not
acceptable an endorsement form from your company will be
fine.
I also noticed on the certificate I received that the policy number
had not been assigned. When the number has been assigned please
send me an original.

certificate needs to be renewed for an additional period of one
year. The agreement requires a general liability endorsement form
