MISSION TRAILS STABLES
EQUESTRIAN FACILITY
THIS LEASE AGREEMENT (the "Lease") is made as of the 19th day of
September, 2000, by and between the City of San Juan Capistrano, (hereinafter called
"LESSOR"), and Mission Trails Stables, (hereinafter called "LESSEE").
WITNESSETH:
WHEREAS, LESSOR owns certain real property it desires to lease to
LESSEE for equestrian purposes; and,

NOW, THEREFORE, LESSOR AND LESSEE mutually agree as follows:
SECTION 1. LEASE OF REAL PROPERTY LESSEE
LESSOR hereby leases to LESSEE that certain real property more
particularly described as Lot A of Tract 8485, as recorded in Book 426, Pages 41 to 43 of
the Miscellaneous Maps of the County Recorder, County of Orange, State of California.
This real property shall be used for and improved upon only for equestrian
purposes as setforth in the C. Russell Cook Park Stable Improvement Plan, dated October
26, 1983, on file in the Engineering Division of LESSOR.
SECTION 2. MONTHLY LEASE PAYMENTS
LESSEE shall pay to LESSOR a monthly lease payment of twenty five
hundred dollars ($2,500). This payment is due and payable on the tenth (10th) day of
each month. Monthly lease payments are deemed to be late if not received within ten (10)
calendar days thereafter.
SECTION 3. MAINTENANCE AND OPERATIONS
(a) LESSEE shall prepare and file with the City of San Juan Capistrano
Emergency Services Coordinator an Emergency Evacuation Plan for the protection and
safety of persons and animals on the stable premises in the event of a multi -hazard
emergency (to include, but not limited to, flood, fire, and hazardous material incidents).

(b) LESSEE shall conduct it operations in such a manner as to not disturb
surrounding residents and/or activities. Accordingly, all group activities on said land shall
begin no laterthan 7:30 a.m. and terminate no laterthan 10:00 p.m.; and all activities using
loudspeaker systems or generating unusual amounts of noise shall terminate no later than
sundown.
(c) LESSEE agrees to maintain the land and all improvements
constructed thereon in good order and repair, and to keep said premises in neat, clean,
orderly, safe, and sanitary condition, according to the City of San Juan Capistrano
established stable ordinance standards. This includes, but is not limited to, the prevention
of accumulation of any refuse or waste materials which might constitute a fire hazard or a
public or private nuisance.
(d) LESSEE shall not allow the storage of vehicles and equipment on the
premises which are not directly related to the use of the stables.
(e) LESSEE shall promulgate and enforce such rules and regulations as
may be required to insure proper control of animals and the protection of the health, safety,
and welfare of its patrons, animals, and the general public.
SECTION 4. INSURANCE
LESSEE shall maintain insurance acceptable to LESSOR in full force and
effect throughout the terms of this lease. The policy or policies of insurance shall name
LESSOR as an additional insured and shall, as a minimum, provide the following forms of
coverage in the amounts specified:
Commercial General Liability: One million dollars ($1,000,000.00) of single limit
coverage. Insurance shall be in force the day of the term of this lease. Each policy
of insurance shall contain the following clause:
"IT IS AGREED THAT THIS POLICY SHALL NOT BE CANCELLED
NOR THE COVERAGE REDUCED, UNTIL THIRTY (30) DAYS
AFTER THE CITY OF SAN JUAN CAPISTRANO SHALL HAVE
RECEIVED WRITTEN NOTICE OF SUCH CANCELLATION OR
REDUCTION, THE NOTICE SHALL BE SENT CERTIFIED OR
REGISTERED MAIL AND SHALL BE DEEMED EFFECTIVE THE
DATE DELIVERED, AS EVIDENCED BY PROPERLY VALIDATED
RETURN RECEIPT."

INSURED SHALL NOT AFFECT ANY RIGHT SUCH PERSON OR

LESSEE shall provide an endorsement to the City establishing that the City
has been legally added as an additional insured to the policy(ies) required under this
agreement.
LESSEE agrees to deposit with LESSOR, on or before the times at which
they are required to be in effect, two copies each of the policy or policies or certificates of
insurance necessary to satisfy the insurance provisions of this Lease and to keep such
insurance in effect and the policy or policies therefore on deposit with LESSOR during the
entire term of this Lease.
SECTION 5. INDEMNIFICATION
LESSEE shall defend, indemnify and save harmless LESSOR, its officers,
agents, and employees, from and against any and all claims, demands, loss, or liability of
any kind or naturewhich LESSOR, its officers, agents, and employees may sustain or incur
or which may be imposed upon them or any of them for injury to or death of persons, or
damage to property as a result of, arising out of, or in any manner connected with this
Lease or with occupancy and use of the land by LESSEE, its officers, agents, employees,
patrons, or visitors.
SECTION 6. STABLE IMPROVEMENTS
ALL plans for stable construction and improvements shall be approved by
LESSOR prior to implementation in accordance with the Site Plan referred to in Section 1.
At the termination of said lease, LESSEE shall remove all stable improvements installed
by LESSEE from said land within thirty (30) days; all improvements on said land after that
date shall become the property of LESSOR. LESSEE understands and agrees LESSOR
shall have no financial obligation to LESSEE for improvements installed by LESSEE unless
the LESSOR agrees upon, in writing, to purchase such existing stable improvements. All
stable improvements on said land, funded by the LESSOR will remain property of the
LESSOR at the termination of said lease.
SECTION 7. RESERVATIONS TO LESSOR
The land is accepted by LESSEE subject to any and all existing easements
and encumbrances. LESSOR reserves the right to install, lay, construct, maintain, and
repair utilities and appurtenances necessary or convenient in connection therewith, in,
over, upon, through, across, and along the land or any part thereof. LESSOR also reserves
the right to enter the land for any and all such purposes. LESSOR also reserves the right
to grant franchises, easements, right-of-way, and permits in, over, upon, through, across,
and along any and all portions of the land.
No rights reserved by LESSOR in this clause shall be so exercised as to
interfere unreasonably with LESSEE'S operations hereunder.

Section 13. Attorney's Fees
If any action at law or in equity is necessary to enforce or interpret the terms
of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.

endorsement is attached or any other endorsement attached thereto, it is agreed as follows
INSURED. 1 -he City and the Community Redevelopment Agency, its elected or appointed officers, officials, employees
and volunteers are included as insureds with regard to damages and defense of claims arising from; (a) activities
pertbrned by or on behalf of the Named Insured. (b) projects and completed operations of the Named Insured, or (c)
premises owned, leased or used by the Named Insured.
CONTRIBUTION NOT REQUIRED. As respects. (a) work performed by the Named Insured for or on behall'of the
City; or (b) projects sold by the Named Insured to the City; or (c) premises leased by the Named Insured from the City,
the insurance afforded by this policy shall be primary insurance as respects the City, its elected or appointed officers,
officials, employees or volunteers, or stand in an unbroken chain of coverage excess of the Named Insured's scheduled
underlying primary coverage. In either event, any other insurance maintained by the City, its elected or appointed
officers, officials, employees or volunteers shall be in excess of this insurance and shall not contribute with it

Written Communications:
Report dated September 19, 2000, from the Administrative Services Director,
recommending approval of a five-year lease agreement with Mission Trails Stables for
the City -owned stable property located at 28432 Calle Arroyo at Ave. Siega. The
Report advised that the terms of the lease were consistent with the prior five-year lease;
minor changes had been added to reflect the City's business practices on such items as
default remedies, late notices and attorney's fees. The Report also advised that staff
research had determined that the lease terms were competitive with other rental stables
on leased public land.

SITUATION:
A. Summary and Recommendation
On July 18, 2000, the City Council directed staff to meet with Mission Trails Stable and
re -negotiate their five-year lease that expired on May 1, 2000. The proposed lease
agreement (Exhibit A) provides for a five year term at $2,500 per month. These terms are
consistent with the prior five-year lease. Some minor changes have been added to reflect
the City's business practices on such items as default remedies, late notices and attorney's
fees. The terms of the lease are consistent with City Council 012. Additionally, staff
contacted several rental stables on leased public land to determine whether or not our
terms were comparable. Based on our research (Exhibit B), it appears that are lease terms
are competitive. Staff, recommends the City Council approve the five-year lease
agreement with Mission Trails Stable for the City -owned property located at 28432 Calle
Arroyo at Ave. Siega
B. Qackground
Property Designation - The property was dedicated to the City by the developer for
park purposes in lieu of Park and Recreation Fees. The City Council took action on
February 3, 1981 to designate the property as an interim equestrian use until the City
was able to locate an alternate site on City -owned property within the City limits. The
site was to be at least equivalent or larger than this site. The City Council minutes also
indicated that their action included a permanent equestrian designation if no alternative
location was found within five years. This designation could be changed if the City
Council chooses to do so, however, the property is required to be used for park
purposes or some sort of recreational capacity.
Previous and Current Lease Status - The property has been leased as a boarding
stable facility since March 29, 1980 to Mission Trails Stable. The current lease reached
the end of its term on May 1, 2000 and is,currently in a month-to-month status.

Property Improvements - The property provides rental stalls and/or corrals for 100
horses as well as other equestrian improvements. All stable improvements, buildings
and fixtures belong to Mission Trails Stable.
Property Disposition - On June 20, 2000, staff prepared an agenda item for City
Council consideration providing them with a number of likely alternatives regarding this
property. These included the following:
1. Prepare a Request for Proposals (RFP) for the property requesting all interested
parties submit a proposal for lease of this property as a boarding stable operation
or other similar equestrian use.
2. Prepare a RFP for the property requesting all interested parties submit a proposal
for lease of this property for any sort of leased recreational use. If the successful
proposal was other than a boarding stable use, the rental stalls available in the City
would decrease by 100.
3. Renew the lease with the current stable operator for another five year period.
4. Do not continue to lease the property and expand Cook Park to include this area.
At that time, the City Council directed staff to meet with the current operator, Mission
Trails stable and discover whether or not they were interested in continuing with a
another five-year lease. Staff has met with Mission Trails and confirmed their interest
in continuing to operate a boarding stable facility at this location. They indicated that
they would be interested in continuing under another five-year lease or whatever term
the City would prefer.
On July 18, 2000, the City Council directed staff to negotiate a new lease with the
existing lessor, Mission Trails Stable, take the proposed new lease to the Park,
Recreation and Equestrian Commission for their review and comment and forward to
the City Council for their final approval.
Proposed Lease Document - The proposed lease agreement (Exhibit A) provides for
another five-year term, $2,500 per month rent, 10 -day grace period for the payment of
rent after the due date, 45 days to cure any defaults in the terms of the lease except
for rent payments, 3 days to cure any rent defaults and other standard lease provisions.
The terms of this lease relating to rent payments and default are consistent with City
Council 012, except for the 45 day cure for non -rent default. City Council policy 012
provides for 10 days to cure non -rent defaults, however due to the nature of this
business we have agreed to 45 days to allow for corrections relating to stable
inspections, etc.
FINANCIAL CONSIDERATIONS;
Staff contacted the local publicly -owned rental stable property in the South County area
to determine whether or not our operation was competitive as far as the rent we wold be

receiving under the new lease. Based on our review (See Exhibit B), the proposed rental
fee of $2,500 is comparable with other rental stable leases on publicly -owned property.
Some sites are generating higher per acre amounts, however these facilities are allowing
80-400% more horses per acre than our what the approved site plan allows at our facility.
Additionally, we have evaluated our lease revenue based on a percentage -type lease
versus a flat fee and they are comparable based on 6%-8% of gross revenue.

future funding; further, that it was a necessary first step in seeking Caltrans funding for
the Interchange improvements.
The Engineering and Building Director made an oral presentation, stating that following
reference checks of the six firms who submitted proposals, Parsons Transportation had
been recommended based on the experience of the project team and project manager;
the ability of the project manager to lead and move the project through the process; the
firm's understanding of the project scope, the proposed public outreach program; and,
the proposed project schedule. He indicated that Measure M grant funds in the amount
of $270,000 had been secured to fund this project.
Council Discussion:
Council Member Swerdlin asked for information regarding the date of completion of the
widening project on Ortega Highway and also asked how the widening would be
combined with the interchange project. Mr. Huber stated that estimated start of
construction of the widening project was 2006. He indicated that the City had made it
clear to Caltrans that the Ortega Highway widening project should not be constructed
prior to completion of the interchange improvements. He further indicated that Caltrans
would work with the City regarding project scheduling; that their project schedules were
very preliminary.
Approval of Personal Services Agreement:
It was moved by Council Member Hart, seconded by Council Member Greiner and
unanimously carried to concur with the selection of Parsons Transportation to prepare
the engineering services for a Project Study Report for the Ortega Highway/1-5
Interchange Project and to authorize the Mayor to execute a Personal Services
Agreement with Parsons Transportation in the amount of $224,924 for the period ending
March 6, 2001.

PORTIONS OF THE OLD FIRE STATION FACILITIES (JUANENO BAND OF
MISSION INDIANS, ACJACHEMEN NATION) (600.30)
Written Communications:
(1) Report dated July 18, 2000, from the Community Services Director,
recommending approval of a License Agreement with the Juaneno Band of
Mission Indians, Acjachemen Nation, for reuse of portions of the Old Fire Station
facilities for administrative purposes and tribal activities.
(2) Letter dated July 3, 2000, from Cherisse Lanier, Attorney at Law, 650 Town
Center Drive, Suite 550, Costa Mesa, representing the Juaneno Band of Mission
Indians under the leadership of Chief David Belardes. The letter indicated that
there are three factions of the Juaneno Band of Mission Indians, under three
separate leaderships, all seeking Federal Recognition, and expressed concern
that approving the Agreement with one faction would aid and abet the current
hostility among the Juanenos and seriously impair any chance of harmony.
(3) Letter dated July 17, 2000, from Joyce Perry, Tribal Manager, Juaneno Band of
Mission Indians, Petitioner 84a, 31742 Via Belardes, San Juan Capistrano,
requesting that the item be tabled until the issue of who has the legal authority to
act on behalf of the Juaneno Band is resolved.
Mr. Al King, Jr., Community Services Director made an oral presentation, advising that
the proposed reuse was focused specifically on the Lacouague building arts and crafts
room and office space area. The proposed uses had been deemed consistent with
previous Council and resident concerns regarding compatibility issues with the
surrounding neighborhood. He indicated that the proposed use would not negatively
impact the facility use commitments previously made to Veterans' organizations and
would accommodate office space for the San Juan Community Task Force. He advised
that Staff and tribal representatives had recommended a modification to the proposed
License Agreement to reflect the Licensee's status as a 501C3 not-for-profit
organization and their commitment to maintain that status as a condition of the License
Agreement. The proposed modification further emphasized that it was the not-for-profit
status that was a substantial inducement for the City to grant the License. He indicated
that the City Attorney had felt the issue needed to be stated specifically in the License
Agreement.

SITUATION:

On May 1, 2000, the Lease Agreement between Mission Trails Stable and the City
reached the end of its five-year term. On June 20, 2000 the City Council considered
the disposition of this property. In that report, staff recommended the City Council
provide direction to staff to prepare a Request For Proposals (RFP) and solicit
proposals for the use of this property in its current use as a boarding stable facility.
However, the City Council directed staff to contact Mission Trails Stable and determine
whether or not they are interested in continuing a boarding stable facility at this location.
Staff has received a letter from Mission Trails (Attachment 1) and contacted them
regarding their interest in continuing to operate a boarding stable facility at this location.
They have indicated that they would be interested in continuing under another five year
lease or whatever term the City would prefer.
At this time, it would be appropriate to make a decision on how the City would like to
move forward in regards to this property. Based on City Council comments on June 20,
2000, staff is recommending the City Council direct staff to meet with Mission Trails
Stable and negotiate the terms of another five-year lease. Staff would then return to
City Council with the lease terms for approval. Staff anticipates returning to the City
Council with a proposed lease on September 5, 2000.

Reportdated June 20, 2000, from the Administrative Services Director, advising thatthe
current lease with Mission Trails Stable had reached the end of its five-year term and
recommending that a Request for Proposal be prepared to solicit proposals for the use
of City -owned property at 28432 Calle Arroyo in its current use as a board stable facility.
The Administrative Services Director made an oral presentation.
Public Input:
Kate Roth, 30712 Hunt Club Drive, spoke in support of maintaining the equestrian use
at the site and for the open bidding process.

Council Discussion:
Council Member Hart noted that the current operators had maintained the stable use
on the site for the last 20 years. They had been restricted financially by City
requirements and so had had financial problems; further, that they may not fully
understand the bidding process. He asked that the operators be contacted to determine
whether they intended to make a proposal for continued use of the property.
Continuation of Item:
It was moved by Council Member Hart, seconded by Council Member Greiner and
unanimously carried to continue consideration of this item to the meeting of July 18,
2000, to determine the current Lessor's level of interest in making a proposal for the
use.

Reportdated June 20, 2000, from the Community Services Director, recommending that
agreements with the Boys & Girls Club of Capistrano Valley and with Camp Fire Boys
& Girls, Orange County Council be approved to continue afterschool recreation
programs; and, that additional funding be provided to the Boys & Girls Club to
acknowledge opening of the new Via Positiva site, School District boundary changes
and opening of the new Kinoshita Elementary School.
Approval of Agreements
It was moved by Council Member Swerdlin, seconded by Council Member Greiner and
unanimously carried to: (1) waive the Request for Proposal process; (2) approve
agreements with the Boys & Girls Club of Capistrano Valley, Inc., in the amount of
$28,090 and with the Camp Fire Boys & Girls Orange County Council in the amount of
$51,120 to continue to provide afterschool recreation programs for the period ending
June 30, 2001; and, (3) to incorporate $10,000 additional funding for afterschool
programs at the Boys & Girls Club Via Positiva site into the Fiscal Year 2000-01 budget
process.

SUBJECT: Consideration of Alternatives for Disposition of Leased City -Owned Stable
Property located at 28432 Calle Arroyo at Ave. Siega
Direct staff to prepare a Request For Proposal (RFP) and solicit proposals for the use of
this property in its current use as a boarding stable facility.
SITUATION:
A. Summary and Recommendation
On May 1, 2000, the Lease Agreement between Mission Trails Stable and the City
reached the end of its five-year term. At this time, it would be appropriate to make a
decision on how the City would like to move forward in regards to this property. As with
other City -owned property, staff is recommending the City Council provide direction to
staff to prepare a Request For Proposals (RFP) and solicit proposals for the use of this
property in its current use as a boarding stable facility
B. Background
Property Designation - The property was dedicated to the City by the developer for
park purposes in lieu of Park and Recreation Fees. The City Council took action on
February 3, 1981 to designate the property as an interim equestrian use until the City
was able to locate an alternate site on City -owned property within the City limits. The
site was to be at least equivalent or larger than this site. The City Council minutes also
indicated that their action included a permanent equestrian designation if no alternative
location was found within five years. This designation could be changed if the City
Council chooses to do so, however, the property is required to be used for park
purposes or some sort of recreational capacity.
Previous and Current Lease Status - The property has been leased as a boarding
stable facility since March 29, 1980 to Mission Trails Stable. The current lease reached
the end of its term on May 1, 2000 and is currently in a month-to-month status.
Property Improvements - The property provides rental stalls and/or corrals for 100
horses as well as other equestrian improvements. All stable improvements, buildings
and fixtures belong to Mission Trails Stable.

It seems the likely alternatives would be as follows:

1. Prepare a Request for Proposals (RFP) for the property requesting all interested parties
submit a proposal for lease of this property as a boarding stable operation or other
similar equestrian use.
2. Prepare a RFP for the property requesting all interested parties submit a proposal for
lease of this property for any sort of leased recreational use. If the successful proposal
was other than a boarding stable use, the rental stalls available in the City would
decrease by 100.
3. Renew the lease with the current stable operator for another five year period.
4. Do not continue to lease the property and expand Cook Park to include this area.
Should the City Council decide that an RFP process would be best for this property, a
calendar for this process would be roughly as follows:

September 5, 2000 Consideration of proposed RFP document by City Council
October 10, 2000 Deadline for submittal of proposals

COMMISSION/BOARD REVIEW AND RECOMMENDATIONS:
Staff recommends the draft Request For Proposal be submitted to the Parks, Recreation
and Equestrian Commission for their review and recommendation.
FINANCIAL CONSIDERATIONS:
The current lease generates $30,000 annually.
