1990-1012_WEST COAST CLEANING_AgreementCity Copy T6/30/91 AGREEMENT FOR SERVICES Cleaning of Kitchen Facilities THIS AGREEMENT is made and entered into this 12th day of October, 1990, by and between the CITY OF SAN JUAN CAPISTRANO, hereinafter referred to as "City", and West Coast Cleaning, hereinafter referred to as "WCC." WITNESSETH: This Agreement is made by and between the City and WCC for the consideration hereafter named, as follows: C�•l � [•1,7�1�?�ii��iII�i�i� Subject to the terms of this Agreement, WCC shall perform the following described work: • 1 I • : � I I I 1,• I' • • ' The services provided for under this Agreement shall begin upon execution of this Agreement by all parties. The services provided under this Agreement shall be completed on or before June 30 , 1991. Payments under this Agreement shall be as follows: not to exceed $1550 with payments made within 15 days of invoice receipt Billings shall be sent by WCC to City on a periodic basis as agreed to by the parties. The billings shall be sent to: City of San Juan Capistrano, Attn: Director of Administrative Services, 32400 Paseo Adelanto, San Juan Capistrano, CA 92675. Total cost to City for WCC's services shall not exceed $1$50.00. Page 1 :-)ren colmWeAr.1 atiWil �•'• • .• No additional fees shall be paid by City for additional consulting services not included in this Agreement without the written approval of the City prior to undertaking such work. SECTION 5. TERMINATION City may, without cause, terminate this Agreement at any time prior to completion by WCC of any of the services required hereunder. Notice of Termination of this Agreement shall be given in writing to WCC, and shall be sufficient to complete when same is deposited in the U.S. Mail, first class postage prepaid. In the event this Agreement is terminated by City, WCC shall be paid the value of services performed by him/her pursuant to this Agreement prior to the date of termination thereof, such value to be the total to which he/she shall have become entitled, as determined by City, less the amount of any payments previously made, but in no event exceeding the maximum contract amount stated in SECTION 3. yi • • ►Iul'_zV WCC shall not assign any portion of the work under this Agreement without the prior written approval of the City. R901MiZ&ARI I ' VZL0•1• #1A •11"I At all times during the term of this Agreement, WCC shall be an independent contractor, and shall not be an employee of the City. The City shall have the right to control WCC only insofar as the results of WCC's services rendered pursuant to this Agreement; however, City shall not have the right to control the means by which WCC accomplishes services rendered pursuant to this Agreement. WCC shall be responsible for all injuries to persons and for damages to real or personal property of City, caused by or resulting from any activity or operation of WCC, its employees, or its agents during the progress of, or connected with, the rendition of services hereunder. WCC shall defend and hold harmless and indemnify the City and all officers and employees thereof from all costs and claims for damages to real or personal property, or personal injury to any third party resulting from the activity of itself, employees, or its agents. • •1• 1.WYAUNMR1 Except as City may specify in writing, WCC shall have no authority, express or implied, to act on behalf of the City in any capacity whatsoever as an agent. WCC shall have no authority, express or implied, pursuant to this Agreement to bind the City to any obligation whatsoever. Sfiaw, City Attorney Page 3 Exhibit A Scope of Work 1 n of the kitchen facilities in the Iacouague Building, Nydegger Building, La Sala Auditorium, and the Hot Springs Dance Hall shall include the cleaning of: oven (inside and outside), stove, sinks, refrigerator (inside and outside), baseboards, walls, microwave oven, cupboard doors, counter tops, coffee area (Dance Hall), light switches, and related areas. of the cleaned facilities will be made prior to payment being issued. A portion of the payment will be withheld if all work is not completed in a satisfactory manner. WCC may be called back to complete any unsatisfactory work. A current City of San Juan Capistrano Business License will be required to be on file with the City. Scheduling of times to clean the facilities will be coordinated through the City's Department of Community Services staff. The frequency of cleaning the facilities will be as follows: Lacouague Building: eleven cleanings, beginning October, 1990 Nydegger Building: four times per year -- October and December, 1990, and February and May, 1991 La Sala Auditorium: eleven cleanings, beginning October, 1990 Hot Springs Dance Hall: every other month -- October and December, 1990, and January, February, April, June, 1991 No facility is to be cleaned without prior scheduling by staff of the Department of Community Services. ACTION REQUESTED: This agreement states services provided shall be completed on or before June 30, 1991. Please advise this department if agreement will be completed by the June 30th expiration date or if it will be extended. ACTION TO BE TAKEN: This agreement may be closed on June 30, 1991.
