NOTICE IS HEREBY GIVEN that the contract heretofore awarded by the
City Council of the City of San Juan Capistrano, California, to
Rockport Construction Company, 23151 Los Alisos Blvd., Mission Viejo,
California, 92675, who was the company thereon for doing the following
work to wit:
Landscape Construction For Bonito and
Four Oaks Parks in and for the City of
San Juan Capistrano. Job No. 230/231
That said work was completed by said company according to plans and
specifications and to the satisfaction of the Director of Public Works
of the City of San Juan Capistrano and that said work was accepted by
the City Council of the City of San Juan Capistrano at a regular meet-
ing thereof held on the 12th of November,1973 by Resolution No. 73-11-12-1.
That upon said contract the Surety Company of California
was surety for the bond given by the said company as required by law.

CONTRACT AGREEMENT
THIS CONTRACT is made and entered into by and between the CITY OF SAN JUAN
CAPISTRANO hereinafter referred to as the "Owner" and Rockport Construction
cnmT any hereinafter referred to as the "Contractor".
IT IS HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS:
First. Contract Documents. The complete contract includes all of the contract
documents, to -wit: a) Notice Inviting Bids; (b) Instructions to Bidders;
(c) Bid Form; (d) General Conditions; (e) Technical Divisions including the
complete set of Plans for the Construction of Bonito & Four Oaks #230 & 231;
(f) The Contract Agreement; (g) Performance Bond; (h) Labor and Material Bond;
(i) duly issued Addenda and all modification incorporated in the foregoing
contract documents before execution of the Contract Agreement. The foregoing
contract documents are hereby incorporated by reference and shall be deemed
and considered as forming a part of this Contract Agreement as fully and to the
same extent as if it were copied at length herein.
Second. The Work. The Contractor agrees to furnish all tools, labor, materials,
equipment, transportation, services and supplies necessary to perform and complete
in a good and workmanlike manner the Construction of Bonito & Four Oaks Pzrks,
in strict conformity with and in exact accordance with the Plans and Specifications
and all other Contract Documents referred to above, which documents are on file
at the office of the City Clerk, City Hall, 32400 Paseo Adelanto, San Juan
Capistrano, California.
Third. Payment. This section deleted.
Fourth. Commencement and Completion of the Work. The Contractor agrees to
begin and complete the work within the time specified in the Notice Inviting
Bids. It is agreed that it would be impracticable and extremely difficult to
fix the actual amount of damage and loss sustained by the Owner should the
Contractor fail to complete the work in the specified time, he shall pay to the
Owner, as liquidated damages, ascertain and agreed, and not in nature of a penalty,
One Hundred Dollars ($100.00) a day for each day delayed, which shall be deducted
from the final amount to be paid under this Contract; provided the extensions of
time with waiver of liquidated damages may be granted as provided in the
Specifications.
Fifth. Performance Bond and Labor and Material Bond. The Contractor agrees
to furnish bonds guaranteeing the performance of this Contract and guaranteeing
payment of all labor and material used under this Contract, as required by the
laws of the State of California, in forms approved by the Owner. The Performance
Bond shall be for an amount not less than one hundred percent (100%) of the
amount of this Contract, and shall be conditioned on full and complete performance
of the Contract, guaranteeing the work against faulty workmanship and materials
for a period of one year after completion and acceptance. The Labor and Material
Bond shall be in an amount not less than one hundred percent (100%) of the amount
of this Contract, and shall be conditioned upon full payment of all labor and
material entering into or incident to the work covered by the Contract. The
Contractor agrees to furnish the bonds on the forms bound within these specifications.

Sixth. Insurance. The Contractor agrees to carry Public Liability Insurance,
Property Damage Insurance, and Workmen's Compensation Insurance in amounts as
required by the Specifications.
Seventh. This section Deleted.
Eighth. General Prevailing Rate of Per Diem Wages. The general prevailing
rate of per diem wages and general prevailing rate for holiday and overtime work
in the locality in which the work is to be performed for each craft, classification,
or type of workman needed to execute the Contract, have been determined by the
Owner and are set forth in the Notice Inviting Bids. The general prevailing
rate of per diem wages set forth in said documents is hereby incorporated herein
and made a part hereof. The Contractor agrees that he, or any sub -contractor under
him, will pay not less than the foregoing specified prevailing rates of wages
to all workmen employed in the execution of the Contract.
Ninth. Compliance with Other Provisions of Law Relative to Public Contracts.
The Owner is a public agency in the State of California and is subject to the
provisions of the Government Code and the Labor Code of that State. It is
stipulated and agreed that all provisions of law applicable to public contracts
are a part of this Contract to the same extent as though set forth herein and
will be complied with by the Contractor. These include, but are not limited to,
the stipulation that eight hours labor constitutes a legal day's work and the
Contractor will, as a penalty to the Owner, forfeith Twenty -Five Dollars ($25.00)
for each workman employed in the execution of the Contract by the Contractor or
by any sub -contractor for each calendar day during which such workman is required
or permitted to work more than eight hours in violation of the provisions of
Article Three, Chapter One, Part Seven, Division 2 of the California Labor Code,
except as permitted by law.
IN WITMESS WHEREOF, this Contract is executed by the duly authorized agent(s)
of the Owner, pursuant to Council action 7/2/73,and by the Contractor on
the date set before the name of each.

COMPLETED AS TO PLANS AND SPECIFICATIONS FOR
THE LANDSCAPE CONSTRUCTION FOR BONITO AND
FOUR -OAKS PARKS. JOB 230/231 IN ACCORDANCE
WITH CONTRACT ENTERED INTO BETWEEN ROCKPORT
CONSTRUCTION COMPANY AND THE CITY OF SAN JUAN

The City Council of the City of San Juan Capistrano does hereby
resolve:
WHEREAS, on the 23rd of July, 1973, the City of San Juan
Capistrano had entered into a contract with Rockport Construction
Company for the construction of landscape for Bonito and Four -Oaks
Parks; and
WHEREAS, the Director of Public Works has submitted his
approval of the final quantities and cost figures;
NOW, THEREFORE, the City Council of the City of San Juan
Capistrano does resolve as follows:
Section 1. That the work required to be performed by said
contractor has been completed.
Section 2. That the total cost of said work is in the amount
of $52,487.00.
Section 3. That the work is hereby accepted and approved.
Section 4., It is further ordered that a "Notice of Completion"
be filed, on behalf of the City, in the office of the County
Recorder of the County of Orange within ten days of the date of
this resolution.

of San Juan Capistrano at a meeting held on the 12th day of

agreements is said contract and any alteration therof made as thereof made as
therein provided, on his or their part, to be kept and performed at the time and

against faulty materials or poor workmanship during the construction period and
for one year after the date of completion and acceptance of the work under said
contract; and shall indemnify and save harmless the Owner, its officers and

agrees to pay reasonable attorneys fees of Owner (as fixed by the Court) in
any proceeding by said Owner to enforce this bond.
And the Surety, for value received, hereby stipulates and agrees that, no
change, extension of time, alteration or addition to the terms of the contract
or to the work to be performed thereunder or the specifications accompanying
the same shall in any wise affect its obligations on this bond and it does
hereby waive notice of any such change, extension of time, alteration or addition
to the terms of the contract or to the work or to the specification.

case suit is brought upon this bond, such reasonable attorney's fee as shall be

This bond shall inure to the benefit of any and all persons, companies, and
corporations entitled to file claims under Section 1192.1 of the California
Code of Civil Procedure, so as to give a right of action to them or their assigns
in any suit brought upon this bond.

This agreement, made and entered into this 19th day of June

by and between the Small Business Administration, an agency of the United States Government, hereinafter referred
as SBA and
Surety Insurance Company of Califomia hereinafter referred to as Surety,
relative to Donald R. Schum dba RockRgrt Constr. CO 9 hereinafter referred to as Principal,
who has applied for bonds required for landscape construction, including block walls
(describe project)
and - irrigation system for Bonito &Four Oaks Park. Job #230/231 for
WITNESSETH: That in consideration of the mutual convenants and agreements herein contained, the parties agree
as follows:
I. Surety agrees, conditional on the execution of this guarantee by SBA, to become surety on the bid bond and if
Principal's bid price is in line with other bidders in Surety's opinion and the contract price does not exceed $500,000,
to become surety on performance, payment, maintenance, or any other bonds necessary or incidental to the performance
of the above described contract executed on behalf of the Principal. The agreement in this paragraph shall not apply
unless all prescribed underwriting conditions are met, nor shall it apply if subsequent or additional informatio;, comes
to the attention of the Surety of a nature to change its underwriting decision as to the desirability of executing any of
the aforementioned bonds.
2. Surety represents that such bond or bonds when executed by it as to terms and conditions will be in accord with
those executed by professional sureties for the type of contract for which such bond or bonds are required to be furnish-
ed by Principal.
3. Surety affirms that without this SBA guarantee to Surety it will not issue any of said bonds to Principal.
4. SBA hereby agrees to guarantee to Surety 90'/. of any "loss" Surety may sustain or incur in good faith by reason of
its execution of the bid, payment or performance bond contemplated by this Agreement.
S, SBA agrees that the term "loss" as used in this Agreement shall mean any and all liability, damages, court costs,
counsel fees, charges and expenses of whatever kind or nature which the Surety shall or may, at any time, sustain or
incur by reason, or in consequence, of having executed the bond or bonds herein guaranteed by SBA.
6. The Surety shall be entitled to credit for any and all disbursements, in and about the matters herein contemplated,
made by it in good faith under the belief that it is or was liable for the sums and amounts so disbursed, or that it was
necessary or expedient to make such disbursement (including efforts to diminish "loss"),'whether such liability, neces-
sity or expediency existed or not, and vouchers or other evidence of such disbursement shall be taken as prima facie
evidence against SBA of the fact and extentofSBA's liability to Surety.
7. SBA agrees that Surety shall be entitled to reimbursement on a calendar quarterly basis under this guarantee for its
loss, adjusted pro rata for any payments received by Surety from any other source.

8. Surety agrees that if any suitor claim is brought or instituted against Surety upon said bond or bonds, Surety shall
inform SBA of the same within a reasonable time of receipt of the summons and complaint or claim in the Surety's home
office. Unless otherwise agreed, Surety shall take charge of all claim matters arising under said bonds: determine its
liability and the amount thereof; compromise, settle or defend any claim or suit; and, take such action as it deems
necessary to minimize loss.
9. Subsequent to the signing of the contract by the parties obligated thereon and the execution of the bonds guaranteed
herein, no act or omission of the Surety in modifying, amending, limiting or extending any instrument executed by the
Surety, nor the execution of any consent to the contract or bond(s) herein referred to, shall in anywise affect the liabi-
lity of SBA hereunder, nor shall SBA be released from this obligation by reason thereof; and it is further agreed that
Surety may thereafter alter, change, modify, amend, limit or extend any instrument or may execute renewal thereof, or
other and new obligations in its place or in lieu thereof without notice to SBA, and in such case SBA shall be liable to
Surety as fully and to the same extent on account of any such altered, changed, modified, amended, limited or extended
instrument or such renewals thereof, or other or new obligations in its place or in lieu thereof, as fully as if such instru-
ment were described at length herein.
10. Surety agrees to pay SBA 107 of its bond(s) premium for and in consideration of SBA's agreement to guarantee the
bid, payment or performance bond contemplated by this Agreement. It is further agreed by SBA and Surety that Surety
will pay SBA an additional like percentage of the additional premiums collected on any increase in contract price and
SBA will make a like percentage refund on any premium reductions resulting from a reduction in the contract price.
Where SBA or Surety's share of any additional premium increase or decrease is Five Dollars ($5.00) or less, there shall
be no adjustment.
IN WITNESS WHEREOF, the parties have caused this Agreement to be executed the date and year first

Dear Mr. Madson:
In connection with the above referenced bond I am enclosing two
documents which will verify our ability and capacity to execute
such bond. The enclosures are:
1) Copy of SBA Guarantee Agreement which guarantees 90%
of the surety's risk as set forth in paragraph 4.
2) Power of Attorney authorizing the undersigned to execute bonds
up to $50, 000.
By use of the SBA Bond Guarantee Program our risk in this case is
reduced to $5, 248. 70 or 10% of the penal sum of $52, 487. 00.
A copy of the power of attorney referred to in item 2 above will be
recorded in the official records of Orange County, California.
