CONTRACT FOR SLUDGE REMOVAL
THIS AGREEMENT, made and entered into this 17th day of
May, 1979, by and between GOLDEN WEST FERTILIZER COMPANY, here-
inafter referred to as "Contractor" and the CITY OF SAN JUAN
CAPISTRANO, hereinafter referred to as "City."
W I T N E S S E T H:
WHEREAS, this agreement supercedes a previous document
dated October 19, 1977, by and between the City and Contractor
for sludge removal services; and
WHEREAS, SERRA Wastewater Treatment Plant produces a by-
product in the treatment and disposal of sewage which consists of
dewatered sludge containing approximately 30% solids, hereinafter
referred to as "sludge"; and
WHEREAS, the aforesaid sludge is waste material which must
be removed by the City from SERRA's sewage treatment plant and
premises;
WHEREAS, Contractor is able to remove and dispose and/or make
commercial use of the sludge.
NOW, THEREFORE, in consideration of the premises and of the
mutual agreements hereinafter set forth, Contractor and City agree
as follows:
1. Contractor's Obligations: Contractor shall:
A. Upon notification from City's Director of Public Works
and continuing on a month-to-month basis thereafter, receive
and remove all sludge from the SERRA sewage treatment
facilities as such sludge is produced.
B. Provide such trucks and trailers, hereinafter col-
lectively referred to as "equipment" as may be necessary
to receive and remove the sludge, pursuant to such standards
as may be required by the City, SERRA or other governmental
agency.
C. Keep and maintain said equipment in a neat and clean
condition and in good repair at all times, and provide
competent employees to operate the equipment and to other-
wise perform the obligations herein contained.
D. Provide and maintain liability insurance with an
insurance company approved by the City in the minimum

amounts of $100,000/300,000 per accident for personal
injuries and $100,000 property damage. The aforesaid
insurance shall cover the entire operation of the Con-
tractor and shall name the City and SERRA as additional
insured. A copy of such policy shall, moreover, be
filed with the Director of Public Works.
E. Sell sludge, after processing, to any public agency
within the South East Regional Reclamation Authority
for the equivalent of Contractor's actual costs and
overhead expenses, plus ten percent (10%.)
F. Conduct its operations upon SERRA's facilities in
such a manner that will not interfere with the sewage
treatment operations, and shall otherwise comply with
all laws, ordinances and rules and regulations.
2. Payment by City:
A. City shall, twice a month, after receipt of an in-
voice, pay contractor the equivalent of $120.00 for each
truck load of sludge as hereinafter defined, received and
removed from the facilities.
B. "Truckload" shall mean 17 to 21 cubic yards of sludge
contained within a trailer with a capacity of 30 cubic
yards at water level. Any change in this cubic yard
truckload requirements shall be included by Contractor
in billing the City.
C. City and Contractor shall keep and maintain accurate
records of the quantity of sludge received and removed
by Contractor in a manner approved by the City. The
aforesaid records shall be subject to audit by either
party and shall be the basis for the payment as herein-
above provided.
3. Effective Date and Termination:
This agreement shall become effective on the date of
execution, and shall continue on a month-to-month basis
hereafter. It may be terminated at the end of any month
by either the City or the Contractor by giving written
notice of intent to so terminate, no later than 30 days
prior to the end of such monthly operation period.

THIS AGREEMENT commencing the 1st day of October, 1977,
by and between GOLDEN WEST FERTILIZER COMPANY, 8011 Irvine
Boulevard, Santa Ana, California, hereinafter referred to as
"CONTRACTOR", and the CITY OF SAN JUAN CAPISTRANO, hereinafter
referred to as "CITY."

WHEREAS, the aforesaid sludge is waste material which

WHEREAS, CONTRACTOR is able to make commercial use of
the sludge.
NOW, THEREFORE, in consideration of the premises and of
the mutual agreements hereinafter set forth, CONTRACTOR and
CITY agree as follows:
1. CONTRACTOR'S OBLIGATIONS: CONTRACTOR shall:
A. From the date of this agreement until November 30,
1977, receive and removal all sludge from the CITY'S sewage
treatment facilities as such sludge is produced.
B. Provide such trucks, trailers, and such other
equipment as may be required, hereinafter collectively referred
to as "equipment", to receive and remove the sludge and to keep
and maintain said equipment in a neat and clean condition and
in good repair at all times.
C. Provide competent employees to operate the
equipment and to otherewise perform the obligations herein
contained.
D. Provide and maintain liability insurance with
an insurance company approved by the CITY in the minimum amounts
of $100,000/$300,000 per accident for personal injuries and
$100,000 property damage. The aforesaid insurance shall cover
the entire operation of the CONTRACTOR and shall name the CITY
as an additional insured. A copy of such policy shall, moreover,
be filed with the Director of Public Works.
E. Sell the sludge, after processing, to any
public agency within the South East Regional Reclamation
Authority for the equivalent of CONTRACTOR'S actual costs and
overhead expenses plus ten percent (108).
F. Conduct its operations upon CITY'S facilities
in such a manner that will not interfere with the sewage
treatment operations, and shall otherwise comply with all laws,
ordinances and rules and regulations.
2. PAYMENT BY CITY:
A. CITY shall, on or before the 25th day of each
month after receipt of an invoice, pay CONTRACTOR the equivalent
of $89.77 for each truck load of sludge as hereinafter defined,
received and removed from the facilities.

yards of sludge contained within a trailer with a capacity of
30 cubic yards at water level.
C. CITY and CONTRACTOR shall keep and maintain
accurate records of the quantity of sludge received and removed

the basis for the payment as hereinabove provided.
3. TERMINATION CLAUSE
This agreement shall continue until November 30, 1977,
provided that either party may terminate the agreement by giving
at least thirty (30) days written notice.

19.66 19 which for the last three years averages out to 6.55% per year.
Please be assured that we are trying very hard to hold these prices
down . Our competition in Los Angeles has total costs of about
four dollars per yard due to the agency in Los Angeles picking up
a larger share of the costs. Due to our local we can compete in
the Orange County area with this competitor who has higher freight
rates to deliver to Orange County,

3. Renegotiation:
In the event that Contractor's fuel costs or rates
imposed by the Public Utilities Commission fluctuate by twenty
percent (20%) from the date of this agreement, either party may
make a written request for a renegotiation of the payment
schedule herein contained.

3. Renegotiation:
In the event that Contractor's fuel costs or rates

3. Renegotiation:
In the event that Contractor's fuel costs or rates
imposed by the Public Utilities Commission fluctuate by twenty
percent (20%) from the date of this agreement, either party may
make a written request for a renegotiation of the payment sched-
ule herein contained.

SITUATION
A new sludge treatment process has been installed at the SERRA
Treatment Plant and is now operational. This process allows the
sludge hauling contractor to take a drier product which reduces
the amount of loads hauled from the plant. This process now
reduces the number of loads hauled from three to two per day.
Golden West Fertilizer Company has requested a $30 increase
hauling charge per load. Since the number of loads per day have
been reduced, because of a drier product, the daily sludge hauling
cost is lower, including the sludge hauling increase of $30 per
load.
An agreement is attached which recinds the prior agreement of
October 19, 1977, by deleting the minimum loads hauled per month,
and reducing the termination condition to 30 days written notice.
The cost per load section of the agreement has been increased from
$89.77 to $120.00/load. It is further requested that the City
Manager be authorized to execute the document on behalf of the
City Council. Any requested changes to the agreement by the SERRA
Board could be instituted by the City Manager. This agreement will
be brought to the SERRA Board May 10, 1979. The effective date of
this agreement is May 7, 1979, and the contractor has requested
retroactive cost increase to that date.
SERRA is investigating the purchase of a sludge hauling vehicle
which could reduce sludge hauling costs. Further information will
be available following the SERRA meeting of May 10, 1979.
FINANCIAL CONSIDERATIONS
Sludge hauling is the highest operational cost at the plant. The
current sludge hauling cost per load is $89.77. This hauling charge
was associated with a wetter product which required three loads
hauled from the plant per day at a cost of $269. The Golden West
Fertilizer Company has increased the hauling price to $120 per load.
However, the drier product at the plant requires less loads to
achieve the same reduction of solids. The daily cost with the in-
crease will be ($120 x 2 loads/day) $240. Plant staff are confident
in the ability of the new sludge processing method to produce two
loads of sludge per day.

It is our understanding that SERRA will be purchasing a sludge
hauling vehicle and that payment of this $30 increase would be
an interim measure taken until this vehicle can be purchased.
The City of San Juan Capistrano is eligible for a compensation
increase as Contract Operator of the treatment facility. Nego-
tiations for the increased service costs should be presented to
the SERRA Board of Directors June 14, 1979. The hauling charge
on a per day basis will be reduced $29 because of the new equip-
ment now in operation. The City is within its budgetary
allocations even sustaining the increased hauling rate of $120
per load. This increase can be sustained,however, another sludge
hauling alternative, i.e. purchase by SERRA of a sludge vehicle
is necessary.
ALTERNATE ACTIONS
1. Approve the attached agreement with Golden West Fertilizer
Company, increasing the sludge hauling charge to $120/load,
subject to the approval of the SERRA Board; with compensation
to be retroactive to May 7, 1979.
2. Do not approve the sludge hauling agreement.
3. Request further study.
RECOMMENDATION
By motion, approve the attached agreement with Golden West Ferti-
lizer Company, increasing the sludge hauling charge to $120/load,
subject to the approval of the SERRA Board; with compensation

THIS AGREEMENT, made and entered into this 19th day of
October 1977, by and between GOLDEN WEST FERTILIZER
COMPANY, 8011 Irvine Boulevard, Santa Ana, California, hereinafter
referred to as "Contractor" and the CITY OF SAN JUAN CAPISTRANO,
hereinafter referred to as "City."
W I T N E S S E T H:
WHEREAS, City produces a by-product in the treatment and
disposal of sewage which consists of dewatered sludge at approxi-
mately 30% solids, hereinafter referred to as "sludge"; and
WHEREAS, the aforesaid sludge is waste material which must
be removed by the City from its sewage treatment plant and
premises; and
WHEREAS, Contractor is able to make commercial use of the sludge.
NOW, THEREFORE, in consideration of the premises and of the
mutual agreements hereinafter set forth, Contractor and City agree
as follows:
1. Contractor's Obligations: Contractor shall:
A. From the date of this contract until the 30th day of
June, 1981, receive and remove all sludge from the City's
sewage treatment facilities as such sludge is produced.
B. Provide such trucks and trailers, hereinafter collect-
ively referred to as "equipment", to receive and remove
the sludge, and to keep and maintain said equipment in a
neat and clean condition and in good repair at all times.
C. Provide competent employees to operate the equipment
and to otherwise perform the obligations herein contained.
D. Provide and maintain liability insurance with an insur-
ance company approved by the City in the minimum amounts of
$100,000/300,000 per accident for personal injuries and
$100,000 property damage. The aforesaid insurance shall
cover the entire operation of the Contractor and shall
name the City as an additional insured. A copy of such
policy shall, moreover, be filed with the Director of
Public Works.
E. Sell, after processing, to any public agency within
the South East Regional Reclamation Authority for the
equivalent of Contractor's actual costs and overhead
expenses, plus ten percent (10%.)
F. Conduct its operations upon City's facilities in such
a manner that will not interfere with the sewage treatment
operations, and shall otherwise comply with all laws,
ordinances and rules and regulations.
2. Payment by City:
A. City shall, twice a month, after receipt of an invoice,
pay contractor the equivalent of $89.77 for each truck load
of sludge as hereinafter defined, received and removed from
the facilities.

B. "Truckload" shall mean 17 to 21 cubic yards of
sludge contained within a trailer with a capacity of
30 cubic yards at water level.
C. City and Contractor shall keep and maintain accurate
records of the quantity of sludge received and removed
by Contractor in a manner approved by the City. The
aforesaid records shall be subject to audit by either
party and shall be the basis for the payment as herein-
above provided.
3. Escalation Clause:
This agreement shall be for a three year period subject
to annual review to be based on the State Water Quality
Control Board's regulations, Treatment Plant operations,
and the costs, and the performance of the Contractor.
Negotiations shall be by both City and Contractor for
decreases or increases of costs.
4, Effective Date and Terminat
This agreement shall become effective on the 30th day of No-
vember, 1977, and shall continue in full force and
effective through June 30, 1981. Unless terminated as
hereinafter provided, this agreement shall be automatically
renewed for another three year period.
This contract may be terminated at the end of any three
year period by either the City or the Contractor by giving
written notice of intent to so terminate, no later than
120 days prior to the end of such three year period.
5. Guarantee of Minimum Loads Per Month:
City guarantees to Contractor a minimum of thirty (30)
loads per month and an increase in the minimum based on
sixty percent (60%) in the increases noted in the monthly
increases noted in yearly negotiations.
Example: If the average loads hauled in all months for
1977 average sixty loads per month, then sixty percent of
this is 36 loads and the minimum would be 36 loads for all
months in 1978. At no time would the minimum go less than
thirty loads per month.

Company (Sludge Removal)
SITUATION:
The disposal of sludge at the treatment plant is rapidly becoming
a major problem, The plant is producing 50-55 cubic yards per
day and hauling away approximately two truck loads per day.
Golden West Fertilizer Company proposes to increase from $65.22
per load to $89,77 per load, an increase of 38% over the 1976-77
agreement. It is also proposed to be a ten-year agreement pro-
viding for a guarantee of 40 loads per month, no available
cancellation clause for the City, and any increase to be estab-
lished by arbitration.
Attached is a copy of the interim agreement for sludge hauling
from the treatment facility, effective for two months and expir-
ing on November 30, 1977. This is the City's second extension;
the first was from July 1, 1977 to September 30, 1977. The
manager for Golden West Fertilizer Company indicates that he will
grant no further extensions to the existing contract.
The formulation of Project Committee No. 11 by SERRA will be work-
ing towards management of the sludge problem, however, this
committee's future actions will not be timely to resolve this
present situation. The urgency of this situation dictates that
the City utilize this continued extension of the contract to
give staff additional time to further evaluate Golden West
Fertilizer Company's proposal and explore alternate methods of
sludge removal at less cost.
FINANCIAL CONSIDERATIONS:
This agreement is a second extension of the existing contract
with Golden West Fertilizer Company. Like the first extension,
with this continued extension, we are paying the increased
hauling cost of $89.77 per load.
ALTERNATE ACTIONS:
Authorize the Mayor to execute the agreement extension.
2. Do not approve the agreement extension.
3. Request further study from staff.

SITUATION:
As a by-product of our Treatment Plant operations, we generate a
sludge concentrate that must be disposed of. Golden West Fertilizer
Company has been performing this service over the past several
months on a contract basis. This material is mixed with other
wastes, sawdust, and soil to make a plant compost. This is the
only company locally performing the services of sludge removal and
processing. Their service has been most satisfactory, creating
very few problems for the city's operating personnel.
In negotiations with the contractor, we requested minor modifications
to the trailer to reduce possible spillage during transit and to
increase the capacity of the load.
Although labor and fuel prices have risen, the contractor has
agreed to maintain the same unit prices in this contract with
protection for fuel price escalation. The charges for this
service are on a rate of $45.00 per load removed (approximately
17 cubic yards).
ALTERNATE ACTIONS:
1. Approve the contract.
2. Remove material by City forces.
RECOMMENDATION:
By motion. Approve the contract with Golden West Fertilizer Company,
and authorize the Mayor to execute the agreement.

It is agreed that:
1. The "Persons Insured" provision is amended to include as an insured the person or organization named above (hereinafter called "additional insured"),
but only with respect to liability arising out of (1) operations performed for the additional insured by the named insured at the location designated above
or (2) acts or omissions of the additional insured in connection with his general supervision of such operations.
2. None of the exclusions of the policy, except exclusions (a), (c), (f), (g), (i), (j) and (m), apply to this insurance.
3. Additional Exclusions This in;urance does not apply:
(a) to bodily injury or property damage occurring after
(1) all work on the project (other than service, maintenance or repairs) to be performed by or on behalf of the additional insured at the site of the
covered operations has been completed or
(2) that portion of the named insured's work out of which the injury or damage arises has been put to its intended use by any person or organization
other than another contractor or subcontractor engaged in performing operations for a principal as a part of the same project;
(b) to bodily injury or property damage arising out of any act or omission of the additional insured or any of his employees, other than general super-
vision of work performed for the additional insured by the named insured;
(c) to properly damage to
(1) property owned or occupied by or rented to the additional insured,
(2) property used by the additional insured, t
(3) property in the care, custody or control of the additional i*ld or as to which thdladitional insured is for any purpose exercising phy at
control, or
(4) work performed for the additional insured by the named insured. _ L
4. Additional Definition When used in reference to this insurance, "work" includes materials, parts and equipment furnished in connection therewith.
