PERSONAL SERVICES AGREEMENT

THIS AGREEMENT is made and entered into this c� day of iaRUa , 2003, by
and between the San Juan Capistrano Community Redevelopment Agency (hereinafter
referred to as the "Agency") and Saddleback Communily Outreach (hereinafter referred
to as "Consultant").
RECITALS:
WHEREAS, Agency desires to retain the services of Consultant regarding the
Agency's proposal to provide consultant services to administer the Agency's Rental
Subsidy/Securement Program as identified in the attached scope of work; and
WHEREAS, Consultant is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, Agency and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as set
forth in Exhibit "A," attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later than January 21, 2006. At his
discretion, the Executive Director of the Agency shall be authorized to extend the
agreement one additional year through January 21, 2007, if it is determined that the
coni�ultant has performed satisfactorily in accordance with the agreement.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall not exceed
Twenly-Five Thousand Dollars ($25,000) annually.

3.2 Rate Schedule.
The services shall be billed to the Agency for work completed at the rates set
forth in Exhibit 'W" attached and incorporated herein by reference. Included within the
compensation are all the Consultant's ordinary office and overhead expenses incurred by
it, its agents and employees, including meetings with the Agency representatives and
incidental costs to perform the stipulated services. Submittals shall be in accordance with
Consultant's proposal.
3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services which have
been satisfactorily completed and specifying a percentage of projected completion for
approval by the Agency. The Agency will pay monthly progress payments based on
approved invoices in accordance with this Section.
Forextra work not part of this Agreement, a written authorization from Agency
is required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to Agency.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of Agency, and shall obtain no rights to any benefits which accrue to
Agency's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for Agency to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the Agency. This Agreement may not be assigned, voluntarily or by
operation of law, without the prior written approval of the Agency. If Consultant is permitted
to subcontract any part of this Agreement by Agency, Consultant shall be responsible to
Agency for the acts and omissions of its subcontractor as it is for persons directly
employed. Nothing contained in this Agreement shall create any contractual relationships
between any subcontractor and Agency. All persons engaged in the work will be
considered employees of Consultant. Agency will deal directly with and will make all
payments to Consultant.

Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the Agency, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including but
not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) it understands the difficulties and restrictions of the work under
this Agreement. Should Consultant discover any latent or unknown conditions materially
differing from those inherent in the work or as represented by Agency, it shall immediately
inform Agency of this and shall not proceed with further work under this Agreement until
written instructions are received from the Agency.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall compiywith all applicable laws, ordinances, codes and regulations
of federal, state and local government. Consultant shall comply with all provisions set forth
in Exhibit C.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. CORIes of Work Produc .
At the completion of the contract period, Consultant shall have delivered to Agency
at least one (1 ) copy of any final reports and architectural drawings containing Consultant's
findings, conclusions, and recommendations with any support documentation. All reports
submitted to the Agency shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and approval
of the Agency.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuantto this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the Agency. All such
reports, information, data, and exhibits shall be the property of the Agency and shall be
delivered to the Agency upon demand without additional costs or expense to the Agency.
The Agency acknowledges such documents are instruments of Consultanfs professional
services.
Section 13. Indemni .
Consultant agrees to protect, defend and hold harmless Agency, its elected and
appointed officials and employees from any and all claims, liabilities, expenses ordamages
of any nature, including attorneys' fees, for injury or death of any person or damage to
property or interference with use of property and for errors and omissions committed by
Consultant arising out of or in connection with the work, operation or activities of
Consultant, its agents, employees and subcontractors in carrying out its obligations under
this Agreement.
Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A- Class VII or
better.
14.1 Comprehensive General Liability.
Throughout the term of thisAgreement, Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited tocontractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period.

14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non -
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period
114.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Workers Compensation Employees Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability
policies using ISO form CG 20 10 1185 (in no event with an edition date later than 1990)
to the Agency's General Counsel for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughoutthe term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant
shall submit an insurance certificate to the Agency's General Counsel for certification that
the insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Term! nation of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor
the coverages reduced, until after thirty (30)days'wriften notice is given to Agency, except
that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.

14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
Agency has issued a written "Notice to Proceed" verifying that Consultant has complied
with all insurance requirements of this Agreement.
Section 15. Termination.
Agency and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10) days'
notice to the other party of a material breach of contract. If the other party does not cure
the breach of contract, then the agreement may be terminated subsequent to the ten (110)
day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:

Section 17. Aftorneys'Fees.
if any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees,
costs and necessary disbursements in addition to any other relief to which he may be
entitled.

Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between
the parties and supersedes all previous negotiations between them pertaining to the
subject matter thereof.

CRITERIA FOR CONSULTANT QUARTERLY REVIEWS
Consultant shall conduct quarterly reviews of the status of the participating households to determine if they
are satisfying the program's requirements. Each of the following criteria shall be evaluated as part of the
quarterly report:
1 . Household size and composition must comply with that approved in contract. The maximum length
of time guests may stay at a participating household's rental unit is one month. City or Consultant
shall conduct monthly inspections of the participating household's unit to verify compliance.
2. Total income for recipient families must comply with the maximum income limits established by the
State of California Department of Housing and Community Development (50% of the Orange County
Median), based upon household size.
3. Tenant shall participate in tenant education program provided by the City and/or Consultant and
attend all classes offered. If a class is missed, tenant shall be required to make up the class before
the end of the quarterly reporting period.
4. In the event of a crisis situation, tenant household shall attend counseling sessions with the City,
Consultant, or other outside agency referred to by City or Consultant. The designated counselor shall
determine the extent and number of counseling sessions required.
5. Eachtenant household shall be required toparticipate in 5-6hours of community service each month.
6. Tenant households shall be employed either full or part-time or be working towards a goal of
achieving employment (i.e. job interviews, training courses, degree or certificate program, etc.).
7. Tenant households shall maintain theirrental units in a satisfactory manner as determined byrnonthly
inspections.
8. Tenant households shall comply with all homeowners' association rules and regulations. Landlord
shall provide authorization allowing the City to obtain information from the homeowners' association
on any tenant violations to the homeowners' association rules.
9. Landlord shall comply with all homeowners' association rules and regulations and payment of
association dues.
10. Tenant households shall comply with all City rules and regulations.
11. Tenant households shall comply with all federal, state, and city laws.
12. Tenant shall make monthly rent payments to landlord on time.
13. Tenant shall make monthly installments for repayment of the City's security deposit on time.

Pro'ect Description: In December 2001, the City solicited proposals from qualified,
experienced affordable housing developers to assist the City in developing,
constructing, and managing an affordable housing multi -family rental project.
Following extensive review of the proposals and interviews, staff recommends
approving an exclusive negotiating agreement between the Community
Redevelopment Agency and Mercy Housing California to explore the feasibility of
developing and constructing a 180 unit multi -family affordable housing rental project.

Public Comments:
Lon Uso, City resident, supported affordable housing and encouraged the City to

SITUATION
A. Summary and Recommendation - On October 15, 2002, Requests for Proposal
for consultant services to administer the Rental Subsidy and Securement Program
were distributed to five qualified consulting firms (Attachment 1). Comprehensive
Housing Services, Inc. ("CHS") has administered the program for the past three
years. Their contract expired November 6, 2002.
As a result of the RFP process, the City received proposals from CHS and
Saddleback Community Outreach ("SCO"). CHS's proposal (Attachment 2) and
SCO's proposal (Attachment 3) are included for your review and consideration.
Staff is currently evaluating whether to assume some of the responsibilities of the
program rather than having all of the program administration performed by a
consultant. Based upon the proposals received, staff intended to negotiate with the
consultant to determine what responsibilities will be performed by the consultant.
Therefore, staff recommends that the Community Redevelopment Agency (1)
authorize the Deputy Director to negotiate a three-year agreement with Saddleback
Community Outreach for an amount not to exceed $25,000 annually to perform
consultant services for the Rental Subsidy and Securement Program; and (2)
authorize the Executive Director to execute the agreement.
B. Backaround - In Novemberand Decemberof 1994, the Community Redevelopment
Agency (CRA) adopted its "AB 1290 Implementation Plan" which includes an
implementation plan forthe expenditure of Redevelopment set-aside monies toward
the improvement of housing opportunities within the community.

The HOPE Plan, adopted in February of 1995, evaluates the opportunities for
improving both the quantity and quality of affordable housing through the
developmentof Municipal Code provisions, bonuses, design standards, and funding
sources. Model Rental Subsidly/Securement Programs were included within the
Plan. Since the City does not have sufficient staff expertise and time to implement
this specialized labor-intensive program, it was determined necessary to privatize
the program.
CHS has administered the Rental Subsidy Program since July, 1999. Although their
contract expired November 6, 2002, CHS has continued to administer the program
on a month -by -month basis pending selection by the Community Redevelopment
Agency of a new consultant. A Requestfor Proposal was distributed in mid-October,
2002.
C. Issues - The issues associated with the consultant selection are:
Do the proposals meet the criteria in City Council Policy #112 in the
recommendation of a consultant?
2. What is the cost comparison for the consultant services offered?
D. Staff Analysis - Staff distributed RFP's to five firms and received proposals from
CHS and from SCO by the required deadline. Staff has evaluated the proposals for
the following factors contained in City Council Policy #112:
1 . Educational background.
2. Extensive experience record.
3. Record of success on work previously performed for the City or similar work
performed for other cities/agencies.
4. Has qualified staff who will have direct charge over completion of the work.
5. Proposed a timely schedule to complete the work within time requirements
established by the City.
6. Has identified an appropriate methodology for completing the work.
7. Possesses exceptional public presentation and design ability.
8. Has the ability to work effectively with City staff, public agencies, and other
parties.
9. Has presented pertinent new ideas during the selection process.
10. Has demonstrated knowledge of local conditions.
11. Will be supported by professionally qualified personnel or subconsultants.
12. Is engaged in another project which has direct and substantial physical
relationship to the proposed project.
13. Where a project represents a subsequent phase, has performed earlier work
on the project and is knowledgeable about its purpose and objectives.
14. Has a demonstrated record of providing services within their original cost
estimate.

15. Possesses the ability to furnish adequate construction management services,
where such services are an integral part of the project.
16. Would not have a conflict of interest, real or perceived, based on work
recently completed or being completed for private developer within the City.
Result of Evaluation with City Council Policy #112:
Staff has reviewed the proposals and finds that both firms meet the applicable
qualifications outlined under City Council Policy #112, as follows:
Both proposals demonstrate the required experience in developing and
administering similar work for other cities/agencies.
CHS has teamed up with Shelter for the Homeless located in Midway City, to
provide the support services (i.e. counseling, case management, etc.) to
assist the participating households in becoming self-sufficient. CHS has
enlisted Rehab Financial Corporation to handle all of the financial transaction
components of the work.
SCO is a local, non-profit organization, that currently assists over 600 San
Juan Capistrano low-income households with support services aimed at
preventing homelessness and providing long-term assistance towards
achieving self-sufficiency. SCO currently offers transitional housing, food
distribution of over 320,000 pounds of food annually, rental assistance, utility
assistance, transportation for needy families, gifts and food during the
holidays, and computer training classes. They utilize Coastal Family Therapy
Services, a non-profit agency located in Newport Beach, to provide family
prevention and intervention services.
Bothfirms have qualified, professional staff and/or subconsultants to Garry out
all of the various aspects of the program.
CHS has worked with the City staff effectively for the past three years in
administering the program. City staff has met with several representatives of
SCO, has toured their facility in Laguna Hills, and has found the organization
and its staff to be very professional and cooperative.
Based upon CHS's experience in administering the City's program, the fact
that SCO is locally based, and SCO has assisted over 600 households in San
Juan Capistrano, staff finds that both firms have knowledge of local conditions
and have the ability to complete the work as required.
Neither of the firms have any real or perceived conflicts of interest associated
with this project for the City.

As shown in the above table, SCO's proposal is lower for all but three of the above
described services. Assuming six households are served during this next year,
CHS's annual consultant cost for the basic services will run $24,240. Costsincluded
within this calculation include application processing, interviews, unit selection
paperwork, property inspections, preparation of lease documents, rental payments,
quarterly reports, case management, monthly in-home visits, and training (4 classes
perhousehold). These identical services by SCO will cost approximately $14,000.
The City expects that as many as ten households may be assisted with an annual
program budget of $100,000. Of this total budget of $100,000, approximately
$25,000 has been budgeted annually for consultant services to help with
administration of the program. If the City selects SCO to provide the consultant
services for a total contract amount of $25,000, the City would have sufficient funds
remaining for the consultant to process up to ten households.
The approved contract amount for consultant services by CHS, Inc. during this past
year totaled $29,200. However, the actual cost for the work CHS performed from
July, 2001 through June, 2002 totaled $12,344, and the City assisted an average of
six households during the year. Historically, the cost to administer the program has
never reached the maximum contract amount as shown in the following table:

Based on the fact that SCO will be able to provide professional consultant services
for a much lower cost and the fact that an increased number of households will be
helped through the City's program, staff recommends that the Community
Redevelopment Agency (1) authorize the Deputy Director to negotiate a three-year
agreement with Saddleback Community Outreach for an amount not to exceed
$25,000 annually to perform consultant services for the Rental Subsidy and
Securement Program; and (2) authorize the Executive Director to execute the
agreement.
FINANCIAL CONSIDERATIONS
Atotal of $100,000 is budgeted annually in the Community Redevelopment Agency budget
for the Rental Subsidy Program. Of this amount, $25,000 is allocated for consultant
services to assist with administration of the program, and $75,000 is allocated for rental
subsidies.

REQUEST FOR PROPOSAL
CITY OF SAN JUAN CAPISTRANO
RENTAL SUBSIMSECUREMENT PROGRAM
BACKGROUND
The Rental Subsidy/Securement Program offers rental assistance to very low-income
households for up to two years to households that are either homeless, in jeopardy of
becoming homeless, or need short-term help to become self-sufficient. The program also
offers assistance to households with first and last month's rent and security deposits. Over
the past year, the City provided rental and/or security deposit assistance to a total of eight
households. The annual program's budget allows the City to subsidize an average of 10-
12 new households annually. Although nearly all of the administration of this program has
been performed by consultants in the past, the City has determined that some components
of the program may be assigned to staff in the Planning Services Department. However,
consultant services will be required to provide assistance in specific areas.
Currept Program Participants: A total of four households are currently participating in the
City's Rental Subsidy Program. The status of each of these households is as follows:
One household has recently been certified for eligibility into the program and will
begin their first year of assistance in November, 2002.
Three households were recertified in July, 2002, for their second year in the
program.
PROPOSAL
The City of San Juan Capistrano is requesting proposals for consultant services to assist
the City with its Rental Subsidy/Securement Program.
SUBMITTAL REQUIREMENTS
Each firm responding to this Request for Proposal should provide the following information
(two submittal packages are requested; one should be unbound for reproduction):
Prepare bid based on cost for services. Services include all items listed below. Your
response will need to include a fee schedule which contains the following:
A. Assist City in determining eligibility of applicants for the program.
B. Conduct unit inspections to determine compliance of the unit with the program
rules and regulations. The Tenant Household must be the only lessee of the
rental unit in order for the rental unit to qualify.
C. Issue monthly rent checks to landlords for City portion of rent. City will issue
Consultant a monthly check for the total amount of the rents prior to the first of
each month.
D. Collect monthly security deposit repayments from applicable participating
households and issue monthly check to the City for the total amount collected.
E. Provide City with monthly financial statements for all financial activities for the
program.
F. Conduct monthly in-home visits for all program participants to ensure the
residence is maintained in a satisfactory and safe living environment.
G. Conduct individual counseling with household members monthly, if necessary
(i.e. parent/marital, anger management, children and teen evaluations, tutorial
assistance, etc.).
H. Conduct monthly meetings to assess and evaluate each participating
household's progresstoward becoming self-sufficient and establishinga savings
account. Consultant shall require each participating household to submit the
following documents for their review each month: (1) proof of their rent payment
by the deadline date; (2) monthly goal sheets for each adult in the household;
(3) a monthly budget of income and expenses; and (4) other supporting
documentation.
1. Schedule and conduct monthly group counseling sessions in San Juan
Capistrano to educate participating households in becoming self-sufficient (i.e.
monthly budgeting, financing, job training, home ownership, etc.).
J. Prepare and submit quarterly reports in the City prescribed format (Attachment
3). The report will provide the City with an overview of the progress of all
participating tenant households in meeting their program obligations.
K. Schedule a minimum of six hours of volunteer work per month for each
participating household adult. All volunteerwork shall be tracked and monitored
by Consultant and included in the quarterly reports.
L. Provide computer training classes to participating households to assist in
securing employment and/or promoting career advancement opportunities.
M. Immediately report any violations of the program rules by the participating
households to the City.
N. Attend public meetings, as requested (i.e., Housing Advisory Committee).
2. Provide resumes of individuals to be involved with the program and describe their role
in carrying out the services identified.
3. Identify your firm's experience in performing services for low-income households,
including how they relate to the tasks identified in number one above.
4. Include a list of two public and/or private sector references for projects of similar scale
and complexity.

Proposal documentation should be no more than 15 pages (excluding resumes).

BACKGROUND
Comprehensive Housing Services, Inc. (CHS) is a firm that specializes in providing technical
assistance and cost-effective implementation services to local government community development
and affordable housing programs.
The staff of Comprehensive Housing Services, Inc. (CHS) is well versed in all Federal, State, and
local resources for community development. Program management staff is trained in the statutory
and regulatory limits of the Community Development Block Grant Program (CDBG), the HOME
Investment Partnership Act, and HOPE 111. Furthermore, CHS has extensive experience in designing
and operating housing programs that utilize redevelopment set-aside funds.
Currently, CHS is administering the City of San Juan Capistrano's Rental Subsidy/Securement
Program.
CHS is located in Orange County, California and is a Woman -Owned Business (WBE), and provides
the following services:
PROGRAM DESIGN: CHS prepares all policy and procedural guidelines for community
development and affordable housing programs, including rehabilitation loans, leveraging of
lender funds, tenant assistance, first-time homeownership, streamline administration of CDBG
and HOME Programs, and other eligible activities.
2. TECHNICAL ASSISTANCE: CHS staff has extensive training and successful experience in all
areas of Housing, Community Development, Redevelopment and Economic Development. In
addition, CHS provides technical assistance to clients on an on-call basis and remains
available to all clients to address questions and help solve difficulties.
3. IMPROVING PROGRAM OPERATIONS: CHS analyzes and improves existing program
operating procedures such as citizen participation, subrecipient monitoring, application intake,
loan processing, title and credit review, construction inspection, work write-up preparation,
contractor selection, construction monitoring, and HUD reporting.
4. OPERATING AFFORDABLE HOUSING PROGRAMS: CHS administers and assumes lead
day-to-day responsibility for operating single-family and multi -family affordable housing
programs, which include: marketing activities, borrower coordination, loan processing,
financing, construction monitoring, and general administrative work associated with effective
operation.
5. PROBLEM SOLVING FOR LOCAL AGENCIES: CHS provides assistance to local
government agencies with respect to program funding issues, PHA coordination, contractor
disputes, financial services, Davis -Bacon technical assistance and related matters.
6. PREPARATION OF HOUSING AND COMMUNITY DEVELOPMENT STRATEGIES: CHS
gathers and analyzes all relevant information and develops a thorough narrative for community
development strategies such as the HUD -required Five Year Consolidated Plan, Annual Action
Plans and Consolidated Annual Performance Evaluation Reports (CAPER). Staff is trained to
operate HUD software Community 2020 including map preparation.

NON-PROFIT CAPACITY: CHS assists non-profit agencies in developing, owning and
managing affordable housing projects as well as preparing tenant selection and project'
management procedures.
8. I.D.I.S. SET UP AND TRAINING: CHS provides on-site staff training and setup of the I.D.I.S.
computerized reporting system for Client Agencies to ensure proper expenditure reporting and
fund draw down.

SCOPE OF SERVICES
CHS proposes to provide program services for the administration of the City of San Juan Capistrano's
Rental Subsidy/Securement Program as follows:
A. APPLICATION PROCESSING
The City will be responsible for maintaining a waiting list of interested applicants and mailing
applications to potential applicants. CHS will receive the application from the potential
applicant. Each applicant will be thoroughly reviewed and processed by CHS to determine
eligibility pursuant to Program Guidelines. CHS will issue a letter of approval or denial to all
applicants.
B. APPLICANT EVALUATION INTERVIEW
Once the applicant is determined to be eligible by CHS, CHS will coordinate with the Shelter
for the Homeless, Inc. and SFTH shall conduct an evaluation interview with the applicant to
assess the readiness of the applicant for the program and the potential success of the
applicant within the two years of program participation/assistance. This includes:
Contacting the applicant to arrange the date and time of the interview.
Contacting the City's Community Services Department to arrange for
use of a City room.
Completing and submitting any required reservation forms directly to the
Community Services Department.
C. ISSUE UNIT SELECTION PAPERWORK

Once the applicant is deemed eligible, CHS will prepare and provide (1) Participation
Coupon/Voucher, and (2) Request for Unit Approval forms to the qualified applicant. CHS
shall monitor the progress of the applicant in obtaining a housing unit prior to the
coupon/voucher expiration date.
CHS will conduct a property inspection, develop a list of repair items, and conduct a follow-up
inspection of each unit to be rented through the program to ensure it meets program
requirements and minimum building code and Housing Quality Standards.
E. PROGRAM DOCUMENTS
CHS will prepare all necessary rental documents including: (1) Lease Agreement with the
Tenant, (2) Lease Agreement between City/Landlord, (3) approval letters, and other
documents as necessary. This shall include:

Contacting the applicant to arrange the date and time of the document
signing.
Arranging the location for the document signing. CHS shall meet with the
applicant /landlord to sign all required documents.
Transmitting the rental documents directly to the Planning Director for
signature.
F. MONTHLY LANDLORD RENTAL PAYMENTS
CHS will invoice the City on a monthly basis for all monthly rental subsidy payments to be
issued each month to the landlords. CHS subcontractor Rehab Financial Corporation will
issue individual checks to each landlord by the first day of each month. Rehab Financial
Corporation will provide monthly reports of all deposits and payments made.
G. MONTHLY TENANT DEPOSIT REPAYMENTS
Rehab Financial Corporation will accept and track all monthly payments from tenants and
issue a monthly check to the City for all repayments received. Rehab Financial Corporation
will provide the City with a monthly report for all repayments made by tenants and provide
tenants with a delinquency letter if necessary. Rehab Financial Corporation will inform the City
when tenant payments are delinquent for 30 days.
H. CASE MANAGEMENT
Upon securing a rental unit, CHS shall arrange through Shelter for the Homeless, Inc. monthly
tenant education/case management meetings with each qualified applicant. These meetings
shall begin no later than 30 days from the date of the lease agreement. This includes:
• Providing the City with a copy of the meeting agenda and a list of invitees.
• Providing the City with a 12 -month schedule of monthly meetings including topics, time,
date and location of meetings within 45 days of the execution of a contract.
• Contacting the applicant to arrange the date and time of the interview.
• Contacting the City's Community Services Department to arrange for the use of a City
room.
Contacting and submitting any required reservation forms directly to the Community
Services Department.
1. APPLICANT RE -CERTIFICATION OF ELIGIBILITY
Within 60 days prior to the expiration of the applicant's lease agreement, CHS shall re -certify
the income and other qualifications of the tenant household for the second and final year of
assistance.

J. ATTEND PUBLIC MEETINGS

Occasionally, CHS will attend public meetings including, but not limited to, City Council and
Housing Advisory Committee.
K. PREPARATION OF QUARTERLY REPORTS
On a quarterly basis (Beginning September 1, 2002), CHS shall prepare and submit a report
summarizing the statutes of each applicant, including those in the process of being qualified.
Reports will be submitted no later than 15 working days after the end of each quarter and will
be submitted in the City prescribed format.
L. OTHER MISCELLANEOUS SERVICES
Occasionally, CHS may provide additional services to the contract, including reports,
memorandums, etc.

STAFF RESUMES
The associates of CHS have numerous years of experience in the design and operation of affordable
housing programs. The following staff members will be the key personnel involved in the
administration of the City of San Juan Capistrano's Rental Subsidy/Securement Program.
Gavle Bloomingdale, Consultant - Ms. Bloomingdale is experienced in the administration of
federally funded programs for community development. She has provided technical assistance to
numerous State and local government agencies over the past seventeen years, including the City of
Los Angeles, City of San Francisco, and the City of Detroit. Ms. Bloomingdale has worked to bring
many jurisdictions on-line with the I.D.I.S. system, has performed analysis of the Impediments to Fair
Housing, has developed Consolidated Plans and Annual Reports for numerous agencies, as well as
applications for the State of California HOME Program funds. Ms. Bloomingdale has earned a
Bachelor of Arts Degree and a secondary education license. She also holds a Masters Degree in
Urban Planning from the University of Michigan. She is currently licensed as a State of California and
Arizona Real Estate Broker specializing in property management.
Lisa Moreno, Consultant - Ms. Moreno brings fifteen years of experience working in City and County
Government, and the private sector. Ms. Moreno specializes in consulting and technical assistance to
local governments in all aspects of administration of the Community Development Block Grant
(CDBG), HOME, and Affordable Housing Programs. Ms. Moreno provides extensive experience in
preparing HUD's Five -Year Consolidated Plans, Annual Action Plans, the Consolidated Annual
Performance and Evaluation Report (CAPER), Analysis of Impediments to Fair Housing, and
Environmental Reviews. Ms. Moreno also analyzes procedures to improve expediting programs;
operates the Integrated Disbursement and Information System (I.D.I.S.); Community 2020; assists in
the administration of Davis -Bacon Wage Compliance; housing rehabilitation programs; prepares
federal funding applications; provides information system support; manages office operations and
supervises eight staff.
Pat Platt, Construction Manager - Mr. Piatt has twelve years of housing rehabilitation and new
construction management experience. Mr. Piatt is knowledgeable in cost estimation specification
writing, construction management, and contractor/borrower dispute resolution. He has worked for the
City of Pomona, City of Fountain Valley, and the City of Ontario, California. Mr. Piatt assumes primary
responsibility for preparation of the work specifications, cost estimates, and construction management
activities, including compliance with the construction contract and program requirements by
conducting on-site inspections of the properties and the progress of rehabilitation activities.
Madd! Dimalanta, Program Manager - Ms. Dimalanta has acquired local government work
experience through field study training at Comprehensive Housing Services, Inc. In this capacity, she
has assisted the company in land use planning, analyzing, and addressing social and economic
issues such as impediments to affordable housing. In addition, Ms. Dimalanta has provided
consulting services to local governments to administer first-time home buying programs as well as
I.D.I.S. set-up, draw downs and reporting.
Jim Macis, Planning Assistant - Mr. Macis currently works as a Rehabilitation Program Manager.
In this capacity, he assists with borrower coordination, maintenance of case files and paper flow as
well as determining eligibility, computation of annual income and preparation of files.

family housing programs including case management and maintenance, borrower coordination,

Shelter for the Homeless (SFTH) is a nonprofit organization that provides shelter, support services, and
permanent affordable housing opportunities for homeless and very low-income individuals and families.
SFTH meets our clients' basic needs for shelter, food, clothing, and provide support services that enable
them to solve the problems that led to their homelessness.
SFTH meets the necessary threshold to be designated as a Community Housing Development
Organization (CHDO) as required by the HUD -funded HOME Program, capable of owning and operating
affordable rental projects throughout Orange County. Attachment 1 provides the necessary
documentation that qualifies SFTH as a CHDO,
SFTH's three-part assistance program is designed to support the homeless and needy working towards
self-sufficiency. A Vital element of this successful self-sufficiency program includes ownership by SFTH
of an inventory of affordable rental units that can assure a decent, safe, and sanitary permanent location
for program participants completing the process of transition to self-sufficiency.
While most shelters in the county offer a variety of support services, none offer the length of stay we
believe necessary to enable homeless families and individuals to get back on their feet. SFTH's
programs are designed to meet the range of low-income housing needs and are unique in providing our
clients with ongoing support services. By providing housing coupled �Mth assistance with childcare,
employment development, and life skills training, SFTH's programs are designed to provide the homeless
with a unique opportunity to regain self-sufficiency. The transition from a shelter to permanent housing
demands that residents have the necessary job and life skills for obtaining permanent housing on a
stable basis.

Must be computer literate in QuickBooks, Microsoft Excel and Microsoft Word. Have
ability to multi -task and work well with other departments.
Accounting ResWnsibilities:
• Maintain four separate bank accounts: SCO Operation Account, SCO Trust
Account (clients! funds), SCO Money Market Account and Upscale Resale (thrift
store)
• Pay all expenses from appropriate bank account and record under correct
category. This is approximately 120 checks a month. While paying bills, copy all
invoices and checks for SuperNOFA grant reimbursements.
• Deposit collected monies into appropriate SCO bank account and record under
correct category. Large fundraisers take considerably more time in recording so
extra time must be allowed. This is done on a weekly basis for courier pickup on
Friday mornings. Monies must be picked up from the thrift store on Thursday,
deposit made and recorded under Cash Sales using the correct category from cash
register tape.
• Do monthly bank reconciliation for all four bank accounts.
• Call in payroll to ADP twice a month for SCO and thrift store. Review ADP
records and do appropriate journal entries.
• File paid bills, etc. and maintain current files.
• Prepare monthly financial statements for the Finance Committee and the BOD
meeting once a month. This includes special reports for other departments.
• Help prepare annual budget.
• Work with CPA on annual Audit and Tax Return.
TransitiongI Housing ReMgnsibilities:
• File for welfare exemption on properties with Orange County Assessors Office
(currently 15 condos and SCO office). This is done once a year and upon
acquiring a new property.
• Set up and maintain property owner files.
• Notify insurance carrier of any new property.
• Track Security Deposits and Client Funds on tenants.
• Help with quarterly and annual reports on grants.
Upscale ReSale Thrift Store
Oversee thrift store operation, including the above accounting responsibilities.
This includes working with the Day Managers and staffing.

Saddleback Community Outreach
Agency Description
Saddleback Community Outreach (SCO) was established in 1989 as a local non-profit, non-
sectarian organization dedicated to providing quality, cost-effective emergency support services
aimed at preventing homelessness and providing long-term assistance towards achieving self-
sufficiency. SCO's current programs include:
Transitional Housing Program - 15 condominiums to assist homeless families
SCO Food Pantry- currently distributes 320,000 pounds of food each year
Rental Assistance - to avoid eviction or assist with move in costs
Utility Assistance - to avoid disconnection of services
Transportation - vehicles donated to SCO are given to families in need
Adopt -A -Family - annually 1,550 families are provided holiday gifts and food
Computer Learning Center - classes to assist clients in securing employment
"We help those who help themselves by giving hope and assistance" is the mission of SCO
and the purpose for all of the programs at our organization. SCO Wecializes in prov
comprehensive emergency assistance to South Oranze County's homeless and low-income
families who are at a high risk of becoming homeless due to unexpected crisis, domestic
violence, medical emergencies, and other traumatic events. Almost 91 of SCO clients are at or
below 200% of the federal poverty guidelines. All services are for the purpose of fostering
discipline, self-reliance and budgeting skills. Saddleback Community Outreach's services are
designed to meet the most yMent needs of local families who are gmeriencing emotional and
financial crisis while eserving their dignify and encogrgging sejL-su iciena. SCO offers the
most inclusive support programs for South Orange County, each year touching the lives of
families and seniors from South Irvine to San Clemente, Laguna Beach to Rancho Santa
Margarita. SCO has served over 120,000 South Orange County residents since 1989.
Transitional Housing Program Overview
Saddleback Community Outreach (SCOI-c-u-r-re-n-tlL-provides-a-6 to -12 month Housing
Pro ami
-eram (TBP) for homeless f lies in South Oranre County. The program is designed to
facilitate the transition to seff--sufflcien(m SCO would propose a similar program for flunilies
qualified for the rental assistance program that are residents or seeking residence in the city of
San Juan Capistrano. Ile prospective candidates for the city's program would meet with a
designated case manager and a counselor. The families accepted into the program would set
goals for a savings program, have an assessment of debt and have an established monthly
budget. Monthly and Quarterly reports are made to the city evaluating the families in the
program.
Program requiremenisfor the San Juan Capistranofamilies to receive rental assistance
are proposed asfollonw.
The resident agrees to pay their portion of the rent on time to their landlord.
The resident agrees to work with the case manager in preparing a monthly budget with the
goal of saving 25 - 30% of their -net income eacb month in a verifiable savings account.
Attend Group Counseling Sessions at a designated location in San Juan Capistrano.

Attend Individual Counseling if it is recommended (parent/marital, anger management,
children and teens evaluations and tutorial assistance) various counselors providing services to
thefamilies in this program and would have the combined abilities to communicate in 7 languages.
Attend monthly meetings with their Case Manager to assess and evaluate their goals.
Complete monthly paperwork (due on the V of each month) that includes:
Goal Sheet for each adult in the household
Budget Report for each family (outlines all monthly income and expenses)
Turn in supporting documents for the budget sheet. Proof of income, pay stubs,
child support documents, Notice of Action forms, etc. Account for all expenses —
bills received and/or paid, receipts from the grocery store, gas station, department stores,
pharmacy etc.
Agree that, the case manager and/or an approved designated individual working with the
SCO and the San Juan Capistrano support team does a scheduled monthly in-home visit.
Maintain the Condo and or residence as a satisfactory and safe living environment.
The proof of rent and paperwork are due at the SCO office on the first of each month. The rent
is considered late if both the check/money order and complete paperwork are not turned in by
the 3rd of each month. There is a mail slot located on the front door of the SCO office.
Paperwork and rent payment can be dropped off through the mail slot after office hours to
ensure that SCO receives it by the due date.
Housing Background.
Saddleback Community Outreach's Transitional Housing Program (THP) began in 1994 with 4
HUD condominiums. Thanks to the hard work and dedication of volunteers, SCO staff, case
managers, counselors and our collaboration with Coastal Family Therapy, the program has
grown to include counseling, case management and support services. SCO currently owns and
operates the 15 houslur units that are located in South Oran-ce County,
As of June 2002, 65 families have participated in the Housing Program, a total of 227
family members served. Apprmcimately 75% of these families have successfully transitioned
to sey-suKkiency. SCO coMpleted a recent ilot progmm to evaluate the success rate for those
families Meiving giMit services versus pmdous clients/hunilies that did not have this
benefit. The results showed clients receiving counseling, and a disciplined case
management had a 22% higher long-term success in remaining seylsqffikient .12 months
after edling the SCO's Housing Program SCO would provide a similar support services
Eligibility:
In order to be eligible a funily must agree to live in San Juan Capistrano and must be homeless
or at risk of becomine homeless. SCO would recommend that applicants maintain
employment and most importantly they must be willing to work towards sey4ufficiency. Some
families are referred to SCO from shelters for pregnant women or women fleeing domestic
violence. Other families are referred to SCO from local churches, friends, schools, local
cominunity organizations and/or social service agencies. SCO would also incorporate the city
guidelines for the rental assistance program and encourages open lines of communication with
the city and their designated representatives to construct a program that encourages

collaborative effirts. SCO's goal is to meet the needs of the families and have a broader impact
on the success rate for the people involved by offering increased support services and resources.
Intake Process:
1. A potential client calls the city of San Juan Capistrano and/or is referred by the city to SCO
for housing assistance. The Housing Administrator explains the requirements of the
program and determines if the potential applicant qualifies.
2. A family is asked to complete a Housing application. The head(s) of the household meet
with the Housing Administrator or Case Manager for an initial inter -view.
If the applicant appears to be a good match for the program, a committee interview is
scheduled with the Housing support team. The purpose for the interview is twofold.
First, the applicant can learn more about our program to determine if the resident's goals
align with the program goals and procedures in an effort to achieve self-sufficiency.
S ondly, the committee can carefully assess the applicants and determine which family
will gain the most from the prograin.
4. The applicant is to turn in a DMV report, credit report, recent check. stubs to verify
employment, two -three letters of reference, and a copy of the lease and CC&R's for the unit.
5. The committee will confer with the city and within a week and a half, the applicant will be
notified as to whether or not they are accepted.
6. Once the unit is ready for a new family, the accepted applicant will return to SCO to again
review the guidelines of the program and sign the program agreement. The new tenant will
sign the lease, review the security deposit/s required and the amount of the rent that is paid
by the resident and review that a key to the unit and mailbox were received. A SCO staff
member and/or a case manager will conduct a walk-through of the unit with the tenant.
Case Manager and Counseling Team:
SCO's goal is to have a case manager/counseling team assigned to the families in the housin
The counselor's goal is to meet ivith all families for g_royp and in individual sessions. The initial
evaluation includes an emotional need(s) assessment for each fiLmily member. Parental fife skills
assessment, parenting and communication skills, stress and anger management levels and the
specific need(s) of a child or teen in the family are all assessed. The case manager helps the resident
(parents) stay focused on their goals. Frequently parent(s) need assistance with credit repair and /or
legal aid and all residents need guidance in establishing and managing a monthly budget. The case
manager assists clients in their planning to reach their ultimate goal of se�(-sufflciency. The amount
and type of needed =istance ivill depend on the individual client andfunding available.
The case manager also acts as a liaisons between the counselors, SCO staff and the city in
ultimately providing a holistic approach when working with the finifly as they strive towards self-
sufficiency. 'Me goal is to have monthly meetings with the case manager to evaluate each family's
progress. The case managers are asked to complete a unit inspection report when making their
monthly in-home visits. This report informs SCO on the condominium's condition. Like any
home, the condo may be cluttered at times, however, families are encouraged to keep it clean, and
to provide a healthy living condition for the household environment and finnily's stability.

Each tenant will sign a lease and rental assistance agreement. Either the client, city or SCO can
present a 30 -day notice to end the agreement of rental and support services if the resident is not
complying with the guidelines of the prograrn. The reduced rent provides them the opportunity to
save up to 25 % of their monthly income. The funily will be asked to open a savings account.
Their case manager will explain the benefits. (L) Savings provides security in the event of an
emergency and (2.) Savings is a reserve to assist the family when exiting the subsidized program
and they resume paying full market rents. The tenants are reviewed on a monthly basis to ensure
that they are following the guidelines of the program and working towards self-sufficiency. The
resident may be asked to write a letter to the committee requesting an extension after 6 months in
the prograrn. This becomes a recommitment from the family and emphasizes that the program has
a timeline- At the meeting a family is evaluated to assess the client's progress on the path towards
independence. In the letter, the client explains what they gained from the program and what they
plan to do over the next 3-6 months to achieve self-sufficiency. At times the resident is asked to
meet with the Housing Committee to review their progress in the program. If the client follows the
guidelines of the program, but is not yet ready to transition to independent living, the program
would most likely be extended. The recommended length of the program is one year with a
maximum.
Eachfamily has a limited u4ndow of time in the program. Hopefully, with support and guidance,
the family will be ready to transition to independent living. Not allfamilies will be readyfor this
change, It is up to the client to utilize the resources of counseling, financial planning, budgeting,
and computer classes to increase skills and wages necessary to support their family.

An SCO Mousine client's successful iournep to self-sufficien
Anne (name changed to protect privacy) was a 37 year- old woman who fled a domestic violence
situation. She had three children, twin seven-year olds and a three-year old. She and her children
were staying in a motel room and ran out of money with no place to live. When Anne entered
SCO's Housing Program she had a part-time job with a real estate company and was pursuing a
college education. She was accepted into the program and given a decent affordable place to live
along with counseling and life -skills training. While in the program she obtained a better paying
job and stayed fully employed. She graduated from the Housing Program and secured permanent
housing with the monies saved. SCO did a follow-up on her success. Anne graduated June 2002
with a bachelor's degree and has been accepted into a master's degree program in psychology and
continues to maintain her employment. "Mithout the help of SCO I would not have been able to
keep my family together and complete my education for a better life, I am earemely gratefuL "
Anne has a strong desire and goal to help women in domestic violent circumstances become self-
sufficient.
Saddleback Community Outreach proposes that we provide a comprehensive program for the
residents of the city of San Juan Capistrano that need rental assistance. The proposed program and
contract will follow the city's guidelines and support spi-vices modeled after SCO's current Housing
Program that is funded in part by several city's CDBG programs.

SCO proposes the following program to be incorporated with the San Juan Capistrano
Rental Assistance Program.
The contract recommendations -
Rental Assistance Contract to be $ 100,000 for 12 consecutive months.
2. SCO will administer and provide reports and invoices to the city on:
Professional Support Services, Case Management and Administrative costs.
3. Family support services include monthly food distribution based on family size and
availability at the SCO food bank, a SHARE Co-op food distribution program and an
Adopt -A -Family program that includes food and gifis during the holidays. SCO will also
provide computer training and tutoring, case management, psychological services, group
counseling, anger management and family/parenting counseling.
To effectively submit rental assistance payments in a timely and efficient manner to the
respective landlords, a 30 day advance needs to be received at the SCO office. A separate
SCO checking account will be set up for this specific purpose. A copy of the monthly bank
statement will be provided to the city with attached support documentation. SCO will also
submit reports to document and reconcile the program costs with copies of checks paid to
landlords.
5. SCO will submit payments for client services as outlined in the approved contract.
SCO will pay the landlord a portion of the SJC residents rent.
SCO will assist in providing first and last months rent and or deposits as specified in the
contract.
Outcome Goals and Benefits:
(1) That allfamilies in this program will be strengthened by increased counseling,
case management and life skills training to achieve the goal ofselt'-sufficiency.
(2) Parents maintain permanentfull time employment to support theirfamily.
(3) Savings accumulated while in the Housing Program willprovide aftnancial
reserve or emergencies.
(4) A family secures and maintains permanent housing.
(5) The adults living in the household will provide volunteer services. The goal is thatthe
client's volunteer efforts will strengthen their commitment to the community and raise
their selksteem.
SCO will work with SJC families and assist them as they work towards self-sufficiency,
secure savings, provide access to counseling and life skills training with a goal of
maintaining an independent lifestyle.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuantto this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the Agency. All such
reports, information, data, and exhibits shall be the property of the Agency and shall be
delivered to the Agency upon demand without additional costs or expense to the Agency.
The Agency acknowledges such documents are instruments of Consultanfs professional
services.
Section 13. Indemni .
Consultant agrees to protect, defend and hold harmless Agency, its elected and
appointed officials and employees from any and all claims, liabilities, expenses ordamages
of any nature, including attorneys' fees, for injury or death of any person or damage to
property or interference with use of property and for errors and omissions committed by
Consultant arising out of or in connection with the work, operation or activities of
Consultant, its agents, employees and subcontractors in carrying out its obligations under
this Agreement.
Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A- Class VII or
better.
14.1 Comprehensive General Liability.
Throughout the term of thisAgreement, Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period.

14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non -
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period
14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employees Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability
policies using ISO form CG 20 10 1185 (in no event with an edition date later than 1990)
to the Agency's General Counsel for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Priorto beginning any work under this Agreement, Consultant
shall submit an insurance certificate to the Agency's General Counsel for certification that
the insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancel lation/Termi nation of Insurance.
The above policy/policies shall not terminate, norshall they be cancelled, nor
the coverages reduced, until after thirty (30) days'written notice is given to Agency, except
that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.

14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
Agency has issued a written "Notice to Proceed" verifying that Consultant has complied
with all insurance requirements of this Agreement.
Section 15. Termination.
Agency and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10) days'
notice to the other party of a material breach of contract. If the other party does not cure
the breach of contract, then the agreement may be terminated subsequent to the ten (110)
day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:
