AMENDATORY AGREEMENT

This Amendatory Agreement is made this day of June, 2006, by and
between the City of San Juan Capistrano, hereinafter referred to as "CITY", and Hodge
Associates, , hereinafter referred to as "CONSULTANT".
Whereas, CITY and CONSULTANT entered into an agreement dated April 20,
2006 for consultant services to prepare an Initial Study and supporting environmental
evaluation for Rezone 06-02, Tentative Tract 17027, and Architectural Control 06-01 for
the Calle Rolando Villas project located at the terminus of Calle Rolando in the City of
San Juan Capistrano; and
Whereas, the CONSULTANT has not yet completed the services, and the CITY
and CONSULTANT hereby desire to extend the term of the agreement to December 31,
2006.
NOW, THEREFORE, BE IT RESOLVED between CITY and CONSULTANT as
follows:
Section 1. Section 2 (Term) is hereby amended to read as follows:
"This Agreement shall commence on the effective date of this Agreement
and services required hereunder shall be completed by no later than
December 31, 2006."
Section 2. All other terms and conditions of said agreements shall remain in full
force and effect.

PERSONAL SERVICES AGREEMENT
HAS GREEMENT is made and entered into this ab day of
, 2006, by and between the City of San Juan Capistrano
(hereinafter referred to as the "City") and Hodge & Associates (hereinafter referred to as
"Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the City's
proposal to prepare an Initial Study and supporting environmental evaluation for Rezone
06-02, Tentative Tract 17027, and Architectural Control 06-01 for the Calle Rolando
Villas project located at the terminus of Calle Rolando in the City of San Juan
Capistrano; and
WHEREAS, Consultant is qualified by virtue of experience, training, education
and expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later than June 30, 2006.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall not
exceed Twenty -Four Thousand Six Hundred Eighty Dollars ($24,680.00), as set forth
in Exhibit "A," attached and incorporated herein by reference.

3.2 Rate Schedule.
The services shall be billed to the City at the hourly rate set forth in Exhibit
"A," attached and incorporated herein by reference. Included within the compensation
are all the Consultant's ordinary office and overhead expenses incurred by it, its agents
and employees, including meetings with the City representatives and incidental costs to
perform the stipulated services. Submittals shall be in accordance with Consultant's
proposal.
3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services which
have been satisfactorily completed and specifying a percentage of projected completion
for approval by the City. The City will pay monthly progress payments based on
approved invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City
is required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be
made available at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontracting and Assianment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the City. This Agreement may not be assigned, voluntarily or
by operation of law, without the prior written approval of the City. If Consultant is
permitted to subcontract any part of this Agreement by City, Consultant shall be
responsible to City for the acts and omissions of its subcontractor as it is for persons
directly employed. Nothing contained in this Agreement shall create any contractual
relationships between any subcontractor and City. All persons engaged in the work will
be considered employees of Consultant. City will deal directly with and will make all
payments to Consultant.

Section 6. Chanaes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including
but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated
the work to be performed; (2) it has investigated the proposed construction site and is
aware of all conditions there; and (3) it understands the facilities, difficulties and
restrictions of the work under this Agreement. Should Consultant discover any latent or
unknown conditions materially differing from those inherent in the work or as
represented by City, it shall immediately inform City of this and shall not proceed with
further work under this Agreement until written instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City
at least one (1) copy of any final reports and architectural drawings containing
Consultant's findings, conclusions, and recommendations with any support
documentation. All reports submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and
approval of the City.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and exhibits shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the
City. The City acknowledges such documents are instruments of Consultant's
professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected .
and appointed officials and employees from any and all claims, liabilities, expenses or
damages of any nature, including attorneys' fees, for injury or death of any person or
damage to property or interference with use of property and for errors and omissions
committed by Consultant arising out of or in connection with the work, operation or
activities of Consultant, its agents, employees and subcontractors in carrying out its
obligations under this Agreement.
Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good
standing with the State of California and having a minimum Best's Guide Rating of A -
Class VII or better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full
force and effect Comprehensive General Liability coverage in the following minimum
amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to
contractual period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period.

14.2 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as
required by state law.
14.3 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability
policies to the City Clerk's office for certification that the insurance requirements of this
Agreement have been satisfied.
14.4 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors
and Omissions Coverage (professional liability coverage) in an amount of not less than
One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement,
Consultant shall submit an insurance certificate to the City Clerk's office for certification
that the insurance requirements of this Agreement have been satisfied.
14.5 Notice of CanceIlation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled,
nor the coverages reduced, until after thirty (30) days' written notice is given to City,
except that ten (10) days' notice shall be given if there is a cancellation due to failure to
pay a premium.
14.6 Terms of Compensation.
Consultant shall not receive any compensation until all insurance
provisions have been satisfied.
14.7 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written "Notice to Proceed" verifying that Consultant has complied
with all insurance requirements of this Agreement.

Section 15. Termination.
City and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10)
days' notice to the other party of a material breach of contract. If the other party does
not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses
shall be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

SUBJECT: Proposal for CEQA Consultant Services - Proposed Calle Rolando Villas
Project located in San Juan Capistrano.
Dear Ms. Adolphson:
Hodge & Associates is pleased to present to the City of San Juan Capistrano this proposal
for environmental consultant services in response to the Request for Proposals (RFP)
dated March 2, 2006 for the Calle Rolando Villas project.
Hodge & Associates has extensive experience in managing a wide variety of
environmental and planning projects. Examples of our past work include projects ranging
from residential and commercial to public facilities and transportation projects. Formed in
1991, HAA emphasizes personalized project management, quality work and excellent
communications to ensure project success. HAA also maintains an acute working
knowledge of current legal requirements and has the demonstrated ability to effectively
interpret and apply them to circumstances of individual projects. We also maintain an
outstanding reputation for a high degree of professionalism in producing thorough,
objective environmental analyses.
Cheryle Hodge, President and Owner of Hodge & Associates, has direct experience
preparing and processing environmental documentation for residential projects. Ms.
Hodge has prepared environmental documentation for residential projects located in
Orange County, including the Whispering Hills Estates Project in San Juan Capistrano.
Hodge & Associates prepared the environmental documentation for the Westminster
Seniors Apartments (92 -units of affordable housing) and the Westminster Intergenerational
Project (28 -units for seniors/58 units for family) in Westminster. Both of these affordable
housing projects have been built and are occupied.

The following describes our understanding of the Calle Rolando Villas project based upon
our review of the project information provided to us and visiting the project site.
Proposed Calle Rolando Villas Project
The project consists of a tentative tract condominium map, conceptual grading
design, conceptual landscape plan, architectural floor plans and elevations and a
flood plain permit to allow the development of 27 affordable ownership units (i.e.
thirteen duplexes and one detached single-family home) on 2.7 acres located at the
terminus of Calle Rolando approximately 700 feet east of Alipaz Street in San Juan
Capistrano. Calle Rolando currently serves as the access to an existing industrial
park development and will also serve as the access to the subject property. The
property is vacant, relatively flat, and a portion of the property is located within the
floodplain. ,In.conjunction with the proposed project, the City is proposing to rezone
the property from Industrial Park (IP) to Residential Garden — 4,000 (RG -4000).
Scope of Services
The proposal contemplates the following environmental consultant services to be provided
to the City of San Juan Capistrano.
Project Scope
The RFP dated Mach 2, 2006 provides detailed Scope of Work requirements to be
provided by the selected environmental consultant. The following identifies a brief
summary the project scope of services to be provided to the City of San Juan
Capistrano by Hodge & Associates:
■ Screencheck Initial Study/Mitigated Negative Declaration (IS/MND) —
Preliminary analysis, research and IS/MND preparation including
preparation of Mitigation Monitoring & Reporting Program in compliance
with CEQA.
• Screencheck Draft IS/MND — Includes revisions as directed by the City's
project manager
• Revised Screencheck Draft IS/MND - Includes revisions as directed by
the City's project manager
• Public Hearing Draft IS/MND — Includes revisions as directed by the City's
project manager
• Final iS/MND - Includes Public Hearing Draft IS/MND and Comments &
Responses to Comments (this proposal assumes minor public comments,
i.e. not lengthy public comment letters etc.).

• Preparation of Public Notices (includes CEQA notice and Notice of
Determination). Includes posting of Public Notices (City Clerk, County
Clerk, posting site with notice)
• Preparation of Response to Comments Preparation of CEQA findings &
resolution
• Preparation/posting of Notice of Determination following final action on
the project by the City Council
• Meetings One (1) project kick-off meeting with City staff and two (2)
project status/update meetings with City staff.
• Public Hearings: - Attendance at two (2) Public Hearings per this
proposal.
The Initial Study and supporting environmental evaluation will address all topical areas
with particular attention to geology, hydrology/water quality, transportation/circulation and
land use. This proposal does not contemplate preparation, posting/filing of CEQA public
notices, publication and distribution of the CEQA document for pubic review and
finalization.
Technical Studies
Our scope of work assumes that all technical data (i.e., project design plans, aesthetics —
visual simulations, air quality analysis, cultural resources report, hydrology study,
geotechnical study, preliminary water quality management plan, tree study and traffic
study) will be provided to us for preparation of the CEQA documentation as indicated per
the RFP dated March 2, 2006.
Schedule
We are available to commence preparation of the CEQA documentation immediately upon
authorization from the City to proceed. In is anticipated that a draft CEQA document would
be submitted to City staff for review no later than 20 working business days from the date
of start work authorization and receipt of project plans and technical data. The ability to
meet this schedule will depend on response to requests for information and/or material.
Technical Studies
The following deliverables will be provided to the City of San Juan Capistrano in
accordance with the RFP dated March 2, 2006:
A. Five (5) copies of the Screencheck Initial Study
B. Five (5) copies of the Revised Screencheck Draft Initial Study
C. Twenty (20) copies of the Public Hearing Draft IS/MND
D. Five (5) copies of the Final IS/MND.

Cost Estimate
Hodge & Associates cost estimate is for time and materials in accordance with the
Schedule of Fees and general conditions enclosed with this proposal. Reimbursable
expenses such as printing, graphics, word processing, and deliveries are billed at cost.
Our hourly billing rate for preparation and processing of the CEQA documentation is
$120.00 per hour. Our cost proposal is presented in the appendix of this proposal. Our
scope of services and budget presented herein is valid until April 28. 2006 (i.e. contract
retaining our services would be executed on or prior to this date). Our estimate for the
total cost of services presented in this proposal is a not -to -exceed amount of $24.680.00.
Insurance Coverage
Hodge & Associates maintains current insurance coverage (i.e. General Liability (Harford
Companies), Professional Liability — Errors & Omissions (Lloyds of London), and
Automobile Coverage (Farmers) etc.) that meets the requirements public agencies.

GENERAL CONDITIONS
1. Hourly rates apply to work time as well as travel time which occur at public hearings and scheduled
meetings. Travel, reproduction and supplies outside of a scope of work are billed at cost. Auto
mileage will be billed at $0.39 cents per mile.
2. Billing invoices will be submitted monthly for work in progress or upon completion of work. All
invoices are payable within thirty (30) days of the invoice date. Any invoice unpaid after thirty (30)
days will be subject to interest allowable by State law. If client fails to pay consultant within sixty
(60) days after invoice is rendered, client agrees consultant shall have the right to consider such
default in payment a material breach of their entire agreement, and, upon written notice, the duties,
obligations, and responsibilities of consultant under this agreement are suspended.
3. Client hereby agrees that the balance in a billing invoice is correct and binding unless the client
notifies the consultant in writing within ten (10) days of the date of the billing and informs consultant
of alleged incorrect billing.
4. Consultant makes no warranty as to his/her finding, except that the work is performed using generally
accepted methods. Consultant makes no warranty that the' project will be approved by any
governmental agency, nor endorsed by any citizens group.
5. All documents produced as a result of this agreement shall remain the property of the consultant and
may not be used by the client without consent from the consultant unless they become part of the
public record.
6. The client agrees to limit the consultant's liability to the client, because of professional negligent acts,
errors, or omissions by the consultant, to the consultant's fee.
7. Any controversy or claim arising out of or relating to this contract or the breach thereof shall be
settled by arbitration in accordance with the rules of the American Arbitration Association, and
judgement upon the award rendered by the arbitration may be enteXed in any court having jurisdiction
thereof. In the event either party commences legal action to enforce this Agreement of the General
Conditions, the prevailing party shall be entitled to recover its reasonable attorney's fees and costs
incurred in the action, in addition to all other relief to which the prevailing party is entitled.
8. In the event of a mid -phase contract suspension, billings will be prorated to reflect tasks in progress,
except where a task was completed early, in which case it will be billed as if the task were complete.

in the City of San Juan Capistrano.
