E PERSONAL SERVICES AGREEMENT THIS REEMENT is made and entered into this day of 2005, by and between the City of San Juan Capistrano (hereinafter refe ed to as the "City") and RBF Consulting, Inc., (hereinafter referred to as "Co sultant" ). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to provide final design documents. Permit processing. construction bid and construction engineering support for the replacement of the San Juan Basin Authority 20 Inch Water Line: and, WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit 'A" attached and incorporated herein by reference. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Term. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than February 15, 2006. Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shalt not exceed One Hundred and Thirty-four Thousand Eight Hundred and Fifty-seven Dollars SD • ($134.857.00), as set forth in Exhibit 'A," attached and incorporated herein by reference. 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit "B," attached and incorporated herein by reference. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Consultant shall submit monthly invoices based on total services, which have been satisfactorily completed and specifying a percentage of projected completion for approval by the City. The City will pay monthly progress payments based on approved invoices in accordance with this Section. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontractina and Assignment. 2 0 0 The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scone of Work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to City at least one (1) copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the City shall be in reproducible format. All services to be rendered hereunder shall be subject to the direction and approval of the City. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services, and shall indemnify and hold Consultant harmless from any liability relative to the use of such documents for project(s) not the subject of this agreement. Section 13. Indemnity. Consultant agrees to protect, defend and hold harmless City, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including reasonable attorneys' fees, for injury or death of any person or damage to property or interference with use of property caused by errors or omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14. Insurance. Ig Insurance required herein shall be valid for a minimum of one year, or term of contract, whichever is longer, and it shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A - Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 5 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City and Consultant shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to the other party In addition, this Agreement may be terminated for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. Attorneys' Fees. 0 If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS"). Section 19. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. 7 IN WITNESS WHEREOF, the parties hereto have executed this Agreement. Our proposal has been carefully prepared to be fully responsive to the City's Request for Proposal dated June 29, 2005. Discussions with the City, and review of the proposed project were made in order to fully understand and analyze the issues associated with replacement of this waterline. The project will involve an environmental assessment of the proposed improvements, survey, preparation of final PS&E and bid documents, and will be coordinated with the permanent levy repairs as desired by the City. This will require the commitment of a proven management team backed by the resources of experienced engineers and environmental technicians who are thoroughly familiar with the area and local issues. During the heavy rainfall in January of this year, a portion of the levy and the waterline was washed away as shown in the above photograph. In order to ensure safe operation and maintenance of this line, the City must replace approximately 726 feet of this waterline, and reconnect to their system on both sides of the line that was washed away. Page 1 - 1 I%RJI .� Proposal — San Juasin Authority 20" Waterline Replacetrle@ San Juan Creek Between Camino Del Avian and Stonehill Drive li Key Issues i .. ,t Based on information contained in the request for proposal, and discussions with the City, " combined with our experience in pipeline crossing design, we have identified the following key issues for the successful completion of this project: • Environmental Sensitivity I • Construction Impact, including noise, air quality, etc. • Site Survey to identify project limits for staging and construction I Environmental Sensitivity Through the preparation of an Initial Study, RBF will evaluate the environmental concerns and identify necessary measures to mitigate impacts of the project. RBF will utilize the City's standard CEQA forms, making any legislative updates, as necessary under CEQA. This scope of work has been completed for a Mitigated Negative Declaration, assuming that all impacts of the proposed project can be mitigated to less than significant levels. Should City determine that impacts cannot all be mitigated and would require preparation of an Environmental Impact Report (EIR), a separate scope of work and budget can be prepared for alternative environmental documentation. RBF will prepare the environmental analysis based primarily design/construction plans and other relevant documentation available, including engineering studies prepared under separate tasks. A noise, air quality, and hazardous materials assessments, including a preliminary biological, and cultural resource surveys will be prepared as part of the checklist responses. The air quality assessment will quantify construction -related emissions in accordance with SCAQMD methodology. Operational emissions will be qualitatively analyzed. Preparation of the checklist will include Early Consultation, pursuant to CEQA, with responsible agencies and interested parties. Bioloeical Constraints Survey - RBF has retained LSA to prepare a Biological Constraints Survey which includes vegetation mapping and impact analysis. The report will consists of a site reconnaissance and California Natural Diversity Database (CNDDB) records search to verify the potential for special status species to be present within the project area. The results of the survey will indicate the need, if any, for further evaluation (i.e., Biological Assessment or focused surveys) which are specifically excluded from this scope of work. Jurisdictional Report - RBF will perform a jurisdictional delineation (JD) to determine jurisdictional "waters of the U.S." including wetlands (if present), and "waters of the State" located within the boundaries of subject property. The JD will result in a determination of the ordinary high water mark(s) (OHWM) within the sites and indicate the existence of any adjacent wetlands not within the jurisdictional OHWM. The actual presence or absence of wetlands on-site will be verified through the determination of the presence of hydrologic conditions, hydrophytic vegetation, and hydric soils pursuant to the 1987 Army Corps of Engineers (ACOE) Wetland Delineation Manual. RBF will incorporate one (1) comprehensive set of comments provided by the CLIENT and/or resource agencies into the Draft JD. Recommendations will identify, if necessary, the need to pursue further resource agency consultation, and if sufficient project design is provided, the anticipated permitting strategy for the project. Additional copies can be provided under separate addendum. Cultural Resources — LSA will prepare a preliminary Cultural Resources Assessment. Because archaeological resources are often concealed or not always evident, LSA will obtain an archaeological and historical resources records search for the project area. The records search will provide information on known cultural resources and on previous cultural resources investigations within a one -mile radius of the proposed Project alignment. Data sources that will be consulted \ include archaeological site and artifact records, historic maps, reports from previous studies, and the state's Historic Resource Inventory (HRI) for Orange County, which contains listings for the National Register of Historic Places (NRNP), California Register of Historic Resources (CRHR), California Historical Landmarks (CHL), and California Points of Historical Interest (CPHI) properties. Draft and Final Negative Declaration - This Scope of Work assumes one (1) screencheck review of the Initial Study by the CLIENT. The CLIENT acting as the Lead Agency, will utilize the Initial Study to make a determination as to the anticipated environmental impacts of the Project. Informal responses to public comments will be prepared following completion of the public review period for use by the CLIENT (it is assumed that the IS/MND will not require revision or recirculation). RBF will formulate and prepare mailing list (responsible public agencies, affected property owners and property occupants) and mail up to thirty-five (35) copies of the IS/MND. Mitigation Monitoring and Reporting Program - The Mitigation Monitoring and Reporting Program will be defined through working with the CLIENT to identify appropriate monitoring steps/procedures in order to provide a basis for monitoring such measures during and upon Project implementation, in compliance with CEQA and City procedures. Meetings - RBF will attend one (1) Pre -Design Meeting and three (3) public meetings. RBF can attend additional staff meetings or public hearings on a time and materials basis. This scope of work assumes that RBF will provide the City with eight (8) copies of the screencheck initial study, two (2) copies of the "check copy" Draft Initial Study, up to thirty-five (35) copies of the Draft Initial Study/Negative Declaration, and five (5) copies of the Final Initial Study, Negative Declaration and Mitigation Monitoring and Reporting Program. RBF will provide all additional reproductions in addition to the contract amount at direct cost. Army Corps of Engineers 404 Permit Application -Assuming the Project will Require a Nationwide Permit, RBF will prepare a submittal package for an ACOE Permit to satisfy the requirements of Section 404 of the Clean Water Act (CWA). It is assumed under this task that authorization to proceed from the ALOE can be achieved by participation in the ACOE Nationwide Permit (NWP) Program. Nationwide Permit refers to a type of general permit, which authorizes typical activities (e.g., bridges) on a nationwide basis. It is anticipated that the CLIENT may pursue the use of NWP 3,Malntenance. A budget amount of 25 manhours has been allocated to prepare the submittal package. Should this amount be exceeded, or if a NWP cannot be utilized, the CLIENT shall be notified and work shall continue based on a separate contract addendum, subject to CLIENT approval. Regional Water Quality Control Board 401 Water Quality Certification Application - RBF will prepare a submittal package to the San Diego RWQCB for a Water Quality Certification to satisfy the requirements of Section 401 of the CWA. This Certification is necessary prior to issuance of the ACOE permit in order to verify that State water quality standards have been met. The submittal package will include: a) 401 Certification Form, b) copies of the ACOE/CDFG Permit Applications, c) vicinity maps, d) CEQA Document, and f) site photographs. A budget amount of 25 man-hours has been allocated to prepare the submittal package. Should this amount be exceeded, or if a NWP cannot be utilized, the CLIENT shall be notified and work shall continue based on a separate contract addendum, subject to CLIENT approval. This task does not include the permit -filing fee pursuant to the RWQCB's October 2003 Fee Schedule (fees based on total project impacts). California Department of Fish and Game 1602 Streambed Alteration Agreement Application -RBF will prepare a notification package for a CDFG Streambed Alteration Agreement (SAA) to satisfy Section 1600- 1616 of the California Fish and Game Code. The submittal package will include: a) Notification Form, b) Project Questionnaire, c) copies of the ACOE/RWQCB Applications, d) vicinity maps, d) CEQA Document, and e) site photographs. A budget amount of 25 man-hours has been allocated to prepare the submittal package. Should this amount be exceeded, the CLIENT shall be notified and work shall continue based on a separate addendum or a time and materials basis, subject to CLIENT approval. This task does not include the permit -filing fee, which is anticipated to be approximately $1,390.50, depending on the construction cost of the proposed project. Permit Application Submittals - RBF shall provide three (3) copies of each Draft agency application package to the CLIENT for review. This task includes revisions (if needed) to the Draft applications pursuant to comments from the CLIENT. While revisions and the final applications are prepared for signatures, RBF will notify the CLIENT on the required application fees for both the RWQCB and CDFG application packages. The application fees must be submitted with the formal applications in order for processing to begin. RBF will send the Final agency applications to the CLIENT for "Applicant" signatures. Once signatures and application fees are obtained from the CLIENT, RBF will make copies of each Final application and forward the application to each appropriate agency. Two (2) copies of each Final application shall be forwarded to the CLIENT for file. A budget amount of 12 man-hours has been allocated to prepare the submittal package. Regulatory Permit Processing- RBF shall provide regulatory services for the processing of the permit applications through the ALOE, RWQCB, and CDFG. The fee associated with this work is a budget amount since it is difficult to anticipate the processing requirements. A budget amount of 40 man-hours has been allocated for this work item. Should this amount be exceeded, especially due to mitigation requirements, then the CLIENT shall be notified and work shall continue based on a separate addendum or a time and materials basis, subject to CLIENT approval. This task item does not include coordination associated with Section 7 Consultation via the ACOE and US Fish and Wildlife Service (USFWS). Construction Impact The Initial Study/Mitigated Negative Declaration will examine the impact of demolition and construction activity on nearby residents in relation to noise, air quality, and hazardous materials assessment: Noise - The IS/MND will evaluate the project's potential noise impacts upon adjacent land uses. Discussion will include a qualitative construction -related and operational noise associated with the proposed facilities. As this is not anticipated to be a major issue, a separate technical report is not proposed. Air Quality - The IS/MND will evaluate construction -related and operational emissions associated with the project, in accordance with SCAQMD's CEQA Air Quality Handbook (a separate technical report is not proposed). Preliminary Hazardous Materials Assessment - RBF will review federal, state and local agency records regarding known hazardous material sites/handlers. All identified sites, typically within a one -mile radius, will be listed within the Preliminary Hazardous Material Assessment. RBF will observe, inspect and report on the site. RBF will identify any obviously stressed vegetation, evidence of waste discharge or collection, fill materials, sink holes, wells, etc. Recommendations will identify, if necessary, the need to perform surface or subsurface exploration, sampling and laboratory testing in order to quantity the actual absence or presence of hazardous materials. This task specifically excludes soil/groundwater testing and/or laboratory analysis. Site Survey to Identify Project Limits for Staging and Construction The City has informed RBF that there are several property lines in close proximity to the project area. It is therefore paramount that these lines be identified by survey prior to construction in order to establish the area in which the contractor will be allowed to set up and stage his equipment. The following survey work will be required for successful completion of the project: Boundary Survey - RBF shall perform a Boundary Survey of the subject site where the waterline exists, including a title search. RBF shall prepare and file a Record of Survey, prepare a legal description (if necessary) and research record easements, rights of way and other record information shown in the title report. Easements of record shall be shown on the Record of Survey. Topographic Survey - RBF shall provide a topographic Survey of the areas of the San Juan Creek Channel adjoining the two proposed waterline replacements. The basis of horizontal control shall be the North American Datum of 1983, Epoch 1991.35 as published by the Orange County Surveyors Office. The basis of vertical control shall be the North American Vertical Datum of 1929 as published by the Orange County Surveyors Office. All topography shall be electronically field data collected with back up and field notes. This Topographic Survey will be conducted in accordance with accepted industry standards. Unless otherwise indicated, only above ground utility appurtenances shall be located by Survey methods. Any underground utilities or structures which may be shown on the Topographic Map shall be considered as i reproduced from records supplied by others and will not be verified for line or grade in any way during the J course of this Survey. Other utilities may exist on this site which are not a part of the scope of work described herein and therefore shall not be shown on the Topographic Map. Data Processing and Deliverables - RBF shall data process all topography in AutoCAD or other electronic platform as agreed upon by Client and RBF. Line styles will be conventional. Text annotation will be stored in layers separate from the graphic elements. An AutoCAD file, layering, line style and color specification will be provided. As this project will be timed to coincide with the levee repairs, it is assumed that the extensive geotechnical evaluation conducted for these repairs will be more than sufficient for the waterline work. The design contract shall entail a comprehensive process of investigation evaluation and design analysis. The ability to tailor the design to the site is paramount. Tasks The Scope of Work for this project consists of the following tasks: Task 1. General Administration, Meetings, Site Visits, and Presentations Task 2. Study of Potential Environmental Impacts Task 3. Design / Construction Documents For each element of the project, work to be completed under each task is described as follows: Task No. 1. RBF's project manager will be available to attend meetings as requested to update the City of San Juan Capistrano and other affected agencies, such as the Army Corps of Engineers, County of Orange, Caltrans or neighboring cities, of the status of the project. RBF will provide for meetings as required to provide project coordination. 1.2 At the commencement of the project, hold a "kickoff' meeting with the City of San Juan Capistrano to discuss the scope and parameters of the project. Specific goals to be accomplished will be identified an effective strategy to accomplish the project goals will be developed during this meeting. A memorandum will be prepared by RBF to document the project goals and execution strategy. 1.3 RBF will present a written list of information required from the City within 10 days of the kickoff meeting. RBF will give deadline dates for supplying of background information to maintain the project schedule and meet with the City for presentation and review of the work plan. 1.4 Collect and review all available plans, specifications, reports, and operating data applicable to this project. 1.5 In addition to any job walks, arrange for and participate in design progress meetings with the City to review progress of the project work and exchange ideas and information. RBF will prepare an agenda one week in advance and will deliver a meeting minutes summary within three days of the meeting. Additional meetings will be attended by RBF as needed on a time and materials basis 1.9 Payment will be based upon the percentage of completion of each task in the scope of work. A 10% retention will be deducted from each billing. The total retention will be billed separately at the end of the successfully completed project. Task No. 2. Study of Potential Environmental Impacts Environmental work outlined in this section will be performed in accordance with the more detailed scope of work presented in the key issues section of this proposal. The California Environmental Quality Act (CEQA) 1970 requires that environmental analysis be undertaken for those discretionary projects that may create potentially significant impacts. The City is requesting that a study be performed for potential environmental impacts that could arise from the design concept chosen for this project. 2.1 RBF is qualified in the preparation of CEQA documents. 2.2 RBF will review and apply the California environmental quality Act and Environmental Impact Report state guidelines as a benchmark in reviewing whether the design will have any environmental consequences as defined under state law. 2.3 RBF will utilize the initial study form used by the City's Planning Department in making an environmental assessment as to whether any of the design concepts will have adverse environmental effects. RBF will provide a boundary survey and title search for the property upon which the existing water line crossing sits. Provide a survey drawing with legal description and locations of all easements, rights-of-way and other information uncovered by the title report. Provide orthographic and topographic survey information. Provide 24"06" plan showing results of the survey. Plot contours every foot. All survey work for this project will be performed in accordance with the detailed scope of work presented in the key issues section of this proposal. B. Civil Design Evaluation. RBF will analyze: demolition considerations including disposal of any hazardous materials, conflicts with utilities and structures, operation and maintenance concerns, underdrains and site storm drainage, including preparation of a Water Quality management Plan, preliminary piping design, site access and site landscaping. Delineate areas where construction work will be limited or controlled. C. Concept Design and Cost Evaluation. Prepare design concepts. Describe the recommended improvements and prepare preliminary drawings for discussion. 3.2 RBF will meet with the City to review comments on the draft preliminary drawings, respond to comments and revise the draft and drawings as necessary. 3.3 Conduct a physical walk of the site with the City to review the location of all work. 3.4 Prepare construction documents. Include all drawings, technical specifications, bid documents based upon the City of San Juan Capistrano provided templates, cost estimates and necessary background information based upon the approved preliminary design and as required by previous tasks. Provide final construction plans for two alternative pipeline alignments. Determine permit requirements. Investigate construction impacts to the surrounding community. Develop construction schedule and phasing recommendations. 3.5 Provide 10 sets of the construction documents to the City of San Juan Capistrano for review at the 50 and 90 percent stages of completion. RBF will resolve and incorporate the City's comments into the final design and provide 10 copies and one reproducible for final report. RECOMMENDATION: By motion, award the Engineering Design Services Agreement for the San Juan Basin 20 Inch Line Replacement to RBF Consulting, Inc. in the amount of $134,857. SITUATION: In January of this year extreme weather conditions compromised the San Juan Creek levy in two locations south of the Trabuco and San Juan Creeks confluence. Approximately 726 feet of the San Juan Basin Authority 20 -Inch Basin Bypass Extension, which is located in the levy, was also lost. The City's 1999 Recycled Water Master Plan had recommended use of this line as a transmission line for supplying Zone 20 of the Recycled Water System upon development of the J.B. Latham Advanced Water Treatment Plant. Replacement of the lost portions of this line is therefore necessary to meet future recycled water needs in the southwest portion of the city. On June 29, 2005, the Public Works Department sent out Requests for Proposal to five qualified firms for engineering design services for the replacement of this waterline crossing. Inc., (hereinafter referred to as "Consultant'). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to provide final design documents, permit processing, construction bid and construction engineering support for the replacement of the San Juan Basin Authority 20 Inch Water Line: and, WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit "A," attached and incorporated herein by reference. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Tenn. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than February 15, 2006. Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed One Hundred and Thirty-four Thousand Eight Hundred and Fifty-seven Dollars 1 ATTACHMENT 2 ($134.857.00), as set forth in Exhibit "A," attached and incorporated herein by reference. 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit "B," attached and incorporated herein by reference. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Consultant shall submit monthly invoices based on total services, which have been satisfactorily completed and specifying a percentage of projected completion for approval by the City. The City will pay monthly progress payments based on approved invoices in accordance with this Section. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assignment. 2 The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Channes to Scope of Work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consukanfs fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. 3 Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to City at least one (1) copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the City shall be in reproducible format. All services to be rendered hereunder shall be subject to the direction and approval of the City. Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services, and shall indemnify and hold Consultant harmless from any liability relative to the use of such documents for project(s) not the subject of this agreement. Section 13. Indemnity. Consultant agrees to protect, defend and hold harmless City, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including reasonable attorneys' fees, for injury or death of any person or damage to property or interference with use of property caused by errors or omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14. Insurance. M Insurance required herein shall be valid for a minimum of one year, or term of contract, whichever is longer, and it shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A - Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non - owned vehicles in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 0 0 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancel lation/Term!nation of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. 14.8 Notice to Proceed. Consultant shall not proceed with any work under this Agreement until the City has issued a written "Notice to Proceed" verifying that Consultant has complied with all insurance requirements of this Agreement. Section 15. Termination. City and Consultant shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to the other party In addition, this Agreement may be terminated for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. RBFcom omnad o reaaad �p,, I • • I Work Plan San Juan Basin Authority 20" Waterline Replacement 40 San Juan Creek between Camino Del Avion and Stonehill Drive Project Understanding The City of San Juan Capistrano owns and maintains a 20" asbestos cement waterline located in the westerly San Juan Creek levy south of Camino Del Avion and north of Stonehill Drive. During the heavy rainfall in January of this year, a portion of the levy and the waterline was washed away as shown in the above photograph. In order to ensure safe operation and maintenance of this line, the City must replace approximately 726 feet of this waterline, and reconnect to their system on both sides of the line that was washed away. Page 1 - 1 MF Proposal — San Juantasin Authority 20" Waterline Replacement @ San Juan Creek Between Camino Del Avian and Stonehill Drive Key Issues b Based on information contained in the request for proposal, and discussions with the City, combined with our experience in pipeline crossing design, we have identified the following key a issues for the successful completion of this project: • Environmental Sensitivity • Construction Impact, including noise, air quality, etc. • Site Survey to identify project limits for staging and construction Environmental Sensitivity Through the preparation of an Initial Study, RBF will evaluate the environmental concerns and identify necessary measures to mitigate impacts of the project. RBF will utilize the City's standard CEQA forms, making any legislative updates, as necessary under CEQA. This scope of work has been completed for a Mitigated Negative Declaration, assuming that all impacts of the proposed project can be mitigated to less than significant levels. Should City determine that impacts cannot all be mitigated and would require preparation of an Environmental Impact Report (EIR), a separate scope of work and budget can be prepared for alternative environmental documentation. RBF will prepare the environmental analysis based primarily design/construction plans and other relevant documentation available, including engineering studies prepared under separate tasks. A noise, air quality, and hazardous materials assessments, including a preliminary biological, and cultural resource surveys will be prepared as part of the checklist responses. The air quality assessment will quantify construction -related emissions in accordance with SCAQMD methodology. Operational emissions will be qualitatively analyzed. Preparation of the checklist will include Early Consultation, pursuant to CEQA, with responsible agencies and interested parties. Biological Constraints Survey - RBF has retained LSA to prepare a Biological Constraints Survey which includes vegetation mapping and impact analysis. The report will consists of a site reconnaissance and California Natural Diversity Database (CNDDB) records search to verify the potential for special status species to be present within the project area. The results of the survey will indicate the need, if any, for further evaluation (i.e., Biological Assessment or focused surveys) which are specifically excluded from this scope of work. Jurisdictional Report - RBF will perform a jurisdictional delineation (JD) to determine jurisdictional "waters of the U.S." including wetlands (if present), and "waters of the State" located within the boundaries of subject property. The JD will result in a determination of the ordinary high water mark(s) (OHWM) within the sites and indicate the existence of any adjacent wetlands not within the jurisdictional OHWM. The actual presence or absence of wetlands on-site will be verified through the determination of the presence of hydrologic conditions, hydrophytie vegetation, and hydric soils pursuant to the 1987 Army Corps of Engineers (ACOE) Wetland Delineation Manual. Additional copies can be provided under separate addendum. Cultural Resources — LSA will prepare a preliminary Cultural Resources Assessment. Because archaeological resources are often concealed or not always evident, LSA will obtain an archaeological and historical resources records search for the project area. The records search will provide information on known cultural resources and on previous cultural resources investigations within a one -mile radius of the proposed Project alignment. Data sources that will be consulted \ include archaeological site and artifact records, historic maps, reports from previous studies, and the state's Historic Resource Inventory (HRI) for Orange County, which contains listings for the National Register of Historic Places (NRHP), California Register of Historic Resources (CRHR), California Historical Landmarks (CHL), and California Points of Historical Interest (CPHI) properties. Draft and Final Neeative Declaration - This Scope of Work assumes one (1) screencheck review of the Initial Study by the CLIENT. The CLIENT acting as the Lead Agency, will utilize the Initial Study to make a determination as to the anticipated environmental impacts of the Project. Informal responses to public comments will be prepared following completion of the public review period for use by the CLIENT (it is assumed that the IS/MND will not require revision or recirculation). RBF will formulate and prepare mailing list (responsible public agencies, affected property owners and property occupants) and mail up to thirty-five (35) copies of the IS/MND. Mitigation Monitoring and Reporting Program - The Mitigation Monitoring and Reporting Program will be jdefined through working with the CLIENT to identify appropriate monitoring steps/procedures in order to provide a basis for monitoring such measures during and upon Project implementation, in compliance with CEQA and City procedures. 1 Meetings - RBF will attend one (1) Pre -Design Meeting and three (3) public meetings. RBF can attend a, additional staff meetings or public hearings on a time and materials basis. This scope of work assumes that RBF will provide the City with eight (8) copies of the screencheck initial study, two (2) copies of the `check copy" Draft Initial Study, up to thirty-five (35) copies of the Draft Initial Study/Negative Declaration, and five (5) copies of the Final Initial Study, Negative Declaration and Mitigation Monitoring and Reporting Program. RBF will provide all additional reproductions in addition to the contract amount at direct cost. Army Corns of Engineers 404 Permit Application - Assuming the Project will Require a Nationwide Permit, RBF will prepare a submittal package for an ACOE Permit to satisfy the requirements of Section 404 of the Clean Water Act (CWA). It is assumed under this task that authorization to proceed from the ACOE can be achieved by participation in the ACOE Nationwide Permit (NWP) Program. Nationwide Permit refers to a type of general permit, which authorizes typical activities (e.g., bridges) on a nationwide basis. It is anticipated that the CLIENT may pursue the use of NWP 3,Maintenance. Regional Water Quality Control Board 401 Water Qualms Certification Application - RBF will prepare a submittal package to the San Diego RWQCB for a Water Quality Certification to satisfy the requirements of Section 401 of the CWA. This Certification is necessary prior to issuance of the ACOE permit in order to verify that State water quality standards have been met. The submittal package will include: a) 401 Certification Form, b) copies of the ACOE/CDFG Permit Applications, e) vicinity maps, d) CEQA Document, and f) site photographs. A budget amount of 25 man-hours has been allocated to prepare the submittal package. Should this amount be exceeded, or if a NWP cannot be utilized, the CLIENT shall be notified and work shall continue based on a separate contract addendum, subject to CLIENT approval. This task does not include the permit -filing fee pursuant to the RWQCB's October 2003 Fee Schedule (fees based on total project impacts). California Department of Fish and Game 1602 Streambed Alteration Agreement Application -RBF will prepare a notification package for a CDFG Streambed Alteration Agreement (SAA) to satisfy Section 1600- 1616 of the California Fish and Game Code. The submittal package will include: a) Notification Form, b) Project Questionnaire, c) copies of the ACOE/RWQCB Applications, d) vicinity maps, d) CEQA Document, and e) site photographs. A budget amount of 25 man-hours has been allocated to prepare the submittal package. Should this amount be exceeded, the CLIENT shall be notified and work shall continue based on a separate addendum or a time and materials basis, subject to CLIENT approval. This task does not include the permit -filing fee, which is anticipated to be approximately $1,390.50, depending on the construction cost of the proposed project. Permit Application Submittals - RBF shall provide three (3) copies of each Draft agency application package to the CLIENT for review. This task includes revisions (if needed) to the Draft applications pursuant to comments from the CLIENT. While revisions and the final applications are prepared for signatures, RBF will notify the CLIENT on the required application fees for both the RWQCB and CDFG application packages. The application fees must be submitted with the formal applications in order for processing to begin. RBF will send the Final agency applications to the CLIENT for "Applicant" signatures. Once signatures and application fees are obtained from the CLIENT, RBF will make copies of each Final application and forward the application to each appropriate agency. Two (2) copies of each Final application shall be forwarded to the CLIENT for file. A budget amount of 12 man-hours has been allocated to prepare the submittal package. Should this amount be exceeded, the CLIENT shall be notified and work shall continue based on a separate addendum or a time and materials basis, subject to CLIENT approval. Regulatory Permit Processing- RBF shall provide regulatory services for the processing of the permit applications through the ALOE, RWQCB, and CDFG. This item includes any meetings with the reviewing staff of the resource agencies during the application review process. The fee associated with this work is a budget amount since it is difficult to anticipate the processing requirements. A budget amount of 40 man-hours has been allocated for this work item. Should this amount be exceeded, especially due to mitigation requirements, then the CLIENT shall be notified and work shall continue based on a separate addendum or a time and materials basis, subject to CLIENT approval. This task item does not include coordination associated with Section 7 Consultation via the ACOE and US Fish and Wildlife Service (USFWS). Construction Impact The Initial Study/Mitigated Negative Declaration will examine the impact of demolition and construction activity on nearby residents in relation to noise, air quality, and hazardous materials assessment: Noise - The IS)MND will evaluate the project's potential noise impacts upon adjacent land uses. Discussion will include a qualitative construction -related and operational noise associated with the proposed facilities. As this is not anticipated to be a major issue, a separate technical report is not proposed. Air Qualiri - The IS/MND will evaluate construction -related and operational emissions associated with the project, in accordance with SCAQMD's CEQA Air Quality Handbook (a separate technical report is not proposed). Preliminary Hazardous Materials Assessment - RBF will review federal, state and local agency records regarding known hazardous material sites/handlers. All identified sites, typically within a one -mile radius, will be listed within the Preliminary Hazardous Material Assessment. RBF will observe, inspect and report on the site. RBF will identify any obviously stressed vegetation, evidence of waste discharge or collection, fill materials, sink holes, wells, etc. Recommendations will identify, if necessary, the need to perform surface or subsurface exploration, sampling and laboratory testing in order to quantify the actual absence or presence of hazardous materials. This task specifically excludes soil/groundwater testing and/or laboratory analysis. Site Survey to Identify Project Limits for Staging and Construction The City has informed RBF that there are several property lines in close proximity to the project area. It is therefore paramount that these lines be identified by survey prior to construction in order to establish the area in which the contractor will be allowed to set up and stage his equipment. The following survey work will be required for successful completion of the project: Boundary Survey - RBF shall perform a Boundary Survey of the subject site where the waterline exists, including a title search. RBF shall prepare and file a Record of Survey, prepare a legal description (if necessary) and research record easements, rights of way and other record information shown in the title report. Easements of record shall be shown on the Record of Survey. Topoeraphic Survey - RBF shall provide a topographic Survey of the areas of the San Juan Creek Channel adjoining the two proposed waterline replacements. The basis of horizontal control shall be the North American Datum of 1983, Epoch 1991.35 as published by the Orange County Surveyors Office. The basis of vertical control shall be the North American Vertical Datum of 1929 as published by the Orange County Surveyors Office. All topography shall be electronically field data collected with back up and field notes. This Topographic Survey will be conducted in accordance with accepted industry standards. Unless otherwise indicated, only above ground utility appurtenances shall be located by Survey methods. Any underground utilities or structures which may be shown on the Topographic Map shall be considered as reproduced from records supplied by others and will not be verified for line or grade in any way during the course of this Survey. Other utilities may exist on this site which are not a part of the scope of work described herein and therefore shall not be shown on the Topographic Map. Data Processing and Deliverables - RBF shall data process all topography in AutoCAD or other electronic platform as agreed upon by Client and RBF. Line styles will be conventional. Text annotation will be stored in layers separate from the graphic elements. An AutoCAD file, layering, line style and color specification will be provided. As this project will be timed to coincide with the levee repairs, it is assumed that the extensive geotechnical evaluation conducted for these repairs will be more than sufficient for the waterline work. The design contract shall entail a comprehensive process of investigation evaluation and design analysis. The ability to tailor the design to the site is paramount. Tasks The Scope of Work for this project consists of the following tasks: Task 1. General Administration, Meetings, Site Visits, and Presentations Task 2. Study of Potential Environmental Impacts Task 3. Design / Construction Documents For each element of the project, work to be completed under each task is described as follows: Task No. 1. General Administration Meetings and Presentations Page 1 - 7 1.1 Coordinate efforts of the project team and subconsultants, if any. Prepare, monitor and maintain a project schedule and budget. RBF's project manager will be available to attend meetings as requested to update the City of San Juan Capistrano and other affected agencies, such as the Army Corps of Engineers, County of Orange, Caltrans or neighboring cities, of the status of the project. RBF will provide for meetings as required to provide project coordination. 1.2 At the commencement of the project, hold a "kickoff' meeting with the City of San Juan Capistrano to discuss the scope and parameters of the project. Specific goals to be accomplished will be identified an effective strategy to accomplish the project goals will be developed during this meeting. A memorandum will be prepared by RBF to document the project goals and execution strategy. 1.3 RBF will present a written list of information required from the City within 10 days of the kickoff meeting. RBF will give deadline dates for supplying of background information to maintain the project schedule and meet with the City for presentation and review of the work plan. 1.4 Collect and review all available plans, specifications, reports, and operating data applicable to this project. 1.5 In addition to any job walks, arrange for and participate in design progress meetings with the City to review progress of the project work and exchange ideas and information. A total of 4 meetings will be attended. Additional meetings will be attended by RBF as needed on a time and materials basis 1.9 Payment will be based upon the percentage of completion of each task in the scope of work. A 10% retention will be deducted from each billing. The total retention will be billed separately at the end of the successfully completed project. Task No. 2. Study of Potential Environmental Impacts Page 1 - 8 Environmental work outlined in this section will be performed in accordance with the more detailed scope of work presented in the key issues section of this proposal. The California Environmental Quality Act (CEQA) 1970 requires that environmental analysis be undertaken for those discretionary projects that may create potentially significant impacts. The City is requesting that a study be performed for potential environmental impacts that could arise from the design concept chosen for this project. 2.1 RBF is qualified in the preparation of CEQA documents. 2.2 RBF will review and apply the California environmental quality Act and Environmental Impact Report state guidelines as a benchmark in reviewing whether the design will have any environmental consequences as defined under state law. 2.3 RBF will utilize the initial study form used by the City's Planning Department in making an environmental assessment as to whether any of the design concepts will have adverse environmental effects. Property survey and title report of the site. RBF will provide a boundary survey and title search for the property upon which the existing water line crossing sits. Provide a survey drawing with legal description and locations of all easements, rights-of-way and other information uncovered by the title report. Provide orthographic and topographic survey information. Provide 24"06" plan showing results of the survey. Plot contours every foot. All survey work for this project will be performed in accordance with the detailed scope of work presented in the key issues section of this proposal. B. Civil Design Evaluation. RBF will analyze: demolition considerations including disposal of any hazardous materials, conflicts with utilities and structures, operation and maintenance concerns, underdrains and site storm drainage, including preparation of a Water Quality management Plan, preliminary piping design, site access and site landscaping. Delineate areas where construction work will be limited or controlled. C. Concept Design and Cost Evaluation. Prepare design concepts. Describe the recommended improvements and prepare preliminary drawings for discussion. 3.2 RBF will meet with the City to review comments on the draft preliminary drawings, respond to comments and revise the draft and drawings as necessary. 3.3 Conduct a physical walk of the site with the City to review the location of all work. 3.4 Prepare construction documents. Include all drawings, technical specifications, bid documents based upon the City of San Juan Capistrano provided templates, cost estimates and necessary background information based upon the approved preliminary design and as required by previous tasks. Provide final construction plans for two alternative pipeline alignments. Determine permit requirements. Investigate construction impacts to the surrounding community. Develop construction schedule and phasing recommendations. 3.5 Provide 10 sets of the construction documents to the City of San Juan Capistrano for review at the 50 and 90 percent stages of completion. RBF will resolve and incorporate the City's comments into the final design and provide 10 copies and one reproducible for final report.
