AMENDATORY AGREEMENT

This Amendatory Agreement is made this � day of January, 2005, by and
between the City of San Juan Capistrano, hereinafter referred to as "CITY", and LSA
Associates, Inc., hereinafter referred to as "CONSULTANT".

Whereas, CITY and CONSULTANT entered into an agreement dated June 23, 2003
for consultant services to prepare an expanded initial study for Architectural Control (AC)
02-06, St. Margaret's Episcopal School Master Plan; and
Whereas, the CONSULTANT has not yet completed the expanded initial study, and
the CITY and CONSULTANT hereby desire to extend the term of the agreement to
June 30, 2005.
NOW, THEREFORE, BE IT RESOLVED between CITY and CONSULTANT as
follows:
Section 1. Section 2 (Term) is hereby amended to read as follows:
"This Agreement shall commence on the effective date of this Agreement
and services required hereunder shall be completed by no later than
June 30, 2005."
Section 4. All other terms and conditions of said agreements shall remain in full
force and effect.

PERSONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this day of June, 2003, by and
between the City of San Juan Capistrano (hereinafter referred to as the "City") and LSA
Associates, Inc. (hereinafter referred to as "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant to prepare an
Expanded Initial Study for Architectural Control (AC) 02-06, St. Margaret's Episcopal
School Master Plan; and
WHEREAS, Consultant is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as set
forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later than December 31, 2003.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall not exceed
seventy-five thousand, five -hundred dollars ($75,500.00), as set forth in Exhibit "B,"
attached and incorporated herein by reference.
3.2 Rate Schedule.
The services shall be billed to the City at the hourly rate set forth in Exhibit
"C," attached and incorporated herein by reference. Included within the compensation are
all the Consultant's ordinary office and overhead expenses incurred by it, its agents and
employees, including meetings with the City representatives and incidental costs to

all the Consultant's ordinary office and overhead expenses incurred by it, its agents and
employees, including meetings with the City representatives and incidental costs to
perform the stipulated services. Submittals shall be in accordance with Consultant's
proposal.
3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services which have
been satisfactorily completed. The City will pay monthly progress payments within 30 days
of receipt of invoices based on approved invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City
is required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of City, and shall obtain no rights to any benefits which accrue to City's
employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
operation of law, without the prior written approval of the City. If Consultant is permitted
to subcontract any part of this Agreement by City, Consultant shall be responsible to City
for the acts and omissions of its subcontractor as it is for persons directly employed.
Nothing contained in this Agreement shall create any contractual relationships between
any subcontractor and City. All persons engaged in the work will be considered employees
of Consultant. City will deal directly with and will make all payments to Consultant.
Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to this

Agreement setting forth with particularity all terms of the new agreement, including but not
limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) it has investigated the proposed construction site, including the
location of all utilities, and is aware of all conditions there; and (3) it understands the
facilities, difficulties and restrictions of the work under this Agreement. Should Consultant
discover any latent or unknown conditions materially differing from those inherent in the
work or as represented by City, it shall immediately inform City of this and shall not
proceed with further work under this Agreement until written instructions are received from
the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall complywith all applicable laws, ordinances, codes and regulations
of federal, state and local government.
Section 10. Conflicts of Interest
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City at
least one (1) copy of any final reports and architectural drawings containing Consultant's
findings, conclusions, and recommendations with any support documentation. All reports
submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and approval
of the City.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted bylaw, and Consultant agrees that they shall not be made available
to any individual or organization without priorwritten consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to
the City upon demand without additional costs or expense to the City. The City
acknowledges such documents are instruments of Consultant's professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or damages
of any nature, including reasonable attorneys' fees, for injury or death of any person or
damage to property or interference with use of property and for negligent acts, errors and
omissions committed by Consultant arising out of or in connection with the work, operation
or activities of Consultant, its agents, employees and subcontractors in carrying out its
obligations under this Agreement.
Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A- Class VII or
better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period.

14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non -
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period
14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability
policies to the City Clerk's office for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughout the term ofthis Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant
shall submit an insurance certificate to the City Clerk's office for certification that the
insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor
the coverages reduced, until after thirty (30) days' written notice is given to City, except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.

14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written "Notice to Proceed" verifying that Consultant has complied with
all insurance requirements of this Agreement.
Section 15. Termination.
City and Consultant shall have the right to terminate this Agreement without cause
by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10) days'
notice to the other party of a material breach of contract. If the other party does not cure
the breach of contract, then the agreement may be terminated subsequent to the ten (10)
day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.

Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS').
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

INTRODUCTION
INTRODUCTION
Through close review of the request for proposal and supporting materials provided by the City of
San Juan Capistrano, LSA Associates, Inc. (LSA) has a strong understanding of the issues to be
addressed in the Initial Study and supporting environmental documentation. The City of San Juan
Capistrano has requested that LSA prepare a proposal for the proposed St. Margaret's Episcopal
School master site development plan. LSA is pleased to submit this proposed work program for
preparation of an expanded Initial Study to evaluate the proposed project's potential environmental
impacts, as required by the California Environmental Quality Act (CEQA).
COMPANY PROFILE AND CEQA EXPERIENCE
Since its founding, LSA has advanced from a small firm of a few biologists, archaeologists, and
environmental analysts to a full-service environmental consulting firm with six offices, five in
California and one in Colorado. The firm currently employs more than 170 full-time employees. The
LSA staff includes experts in environmental analysis, transportation planning and engineering,
biology, wetlands, habitat restoration, natural resource management, GIS, community and land
planning, landscape architecture, cultural resources management, archaeology, paleontology, noise
impact assessment, and air quality analysis.
We are recognized as innovators in the field of environmental impact assessment, and we have
developed a reputation among clients and professional peers in both the public and private sectors as
being thorough, innovative, and objective.
LSA has prepared several thousand environmental documents, including Environmental Impact
Reports (EIR) and Environmental Impact Statements (EIS), since its founding in 1976. Since 1998,
we have prepared over 50 CEQA documents for school projects throughout Southern California (see
Appendix B for a list of these projects). We are experienced experts who deal with the CEQA and the
National Environmental Policy Act (NEPA) requirements and processes on a daily basis. This
expertise includes coordination with local, state, federal, and other governmental agencies, managing
public participation programs, issuing mandated legal notices, and incorporating the environmental
assessment process into the overall project planning process.
LSA prepares environmental documentation mindful of the rigorous legal and community scrutiny of
many of today's project issues. Impact reports should also serve as vehicles for the integration of
environmental concerns into project planning. Towards this aim, LSA promotes early assessment of
impacts and coordinated development of mitigation measures. Mitigation measures must be specific
and carefully tailored to the individual projects and their surrounding conditions in order for the
measures to be as effective as possible. We believe that the environmental review process should

serve as a mechanism for problem solving, should impacts be encountered, and that problem solving
is primary to our role as consultant.
PERSONNEL
Key personnel assigned to work on the Initial Study/Environmental Review are identified below. Full
resumes of the key personnel are included in Appendix C.
Robert W. Balen
Project Role: Principal in Charge. Mr. Robert W. Balen will serve as the Principal in Charge of the
project. He is responsible for ensuring that sufficient resources are made available to the Project
Manager to carry out the contracted scope of work. The Principal in Charge is also responsible for
monitoring the progress of the project, oversight of product quality control, review of budget,
schedule, and discussion of concerns with the Project Manager. All project deliverables are reviewed
by the Principal in Charge prior to submittal to the client.
Mr. Balen has served as the Project Manager or Principal in Charge for all Southern California school
projects. During this time, he has managed the preparation of environmental documentation for over
50 school construction projects. Due to his extensive experience with school district facilities
planning, Mr. Balen is informed about the latest legislation that affects school site acquisition and
construction.
As a former member of the Santa Ana Unified School District Board of Trustees (1989-1998),
Mr. Balen has a unique understanding of school facilities planning and provides the insight required
to address the issues related to such projects.
Peter Hersh, J.D.
Project Role: Project Manager. Mr. Peter Hersh will serve as the Project Manager for the project
and will serve as the City's primary contact at LSA. The Project Manager is responsible for
scheduling the various project scope of work tasks and adjusting plans as necessary as the work
progresses to identify and resolve potential issues or problems. The Project Manager is responsible
for coordinating work on technical studies and the Initial Study. He will review and approve work on
all technical studies and work products before submittal to the client. He assigns sufficient staffing to
meet the project tasks, monitors the project schedule and budget, and prepares any necessary
correspondence to the client for requested adjustments of those components. The Project Manager is
the primary contact with the client, and provides written and oral communication as necessary (e.g.,
status reports, telecommunications) to ensure the client's satisfaction with progress and performance.
Mr. Hersh is currently preparing two school project EIRs, and is preparing an EIR for the City of
Vista.

Anthony Petros
PROPOSAL

Project Role: Principal Review of Traffic and Circulation Technical Analysis. Mr. Anthony
Petros, a Principal and Director of the Transportation Group at LSA, will be responsible for oversight
and review of the traffic circulation and parking analyses for the project provided by LSA. His
primary responsibilities at LSA include managing the transportation engineering services, reviewing
comprehensive traffic and parking studies, and assisting in the preparation of environmental
documents. Mr. Petros has prepared neighborhood traffic analyses and school and university
circulation and access studies for the Conejo Valley district, Oceanview district, Palos Verdes district,
Cal State Fullerton, Cal State Los Angeles, and many others. His range of experience covers analyses
of large-scale land development projects and small-scale detailed operational analyses. Mr. Petros has
overseen and directly prepared the traffic and circulation analyses for most of LSA's Southern
California school projects.
Tung -Chen Chung, Ph.D.
Project Role: Prepare Air Quality and Acoustical Technical Analysis. Mr. Tung -Chen (Tony)
Chung, Ph.D., an LSA Principal, has 13 years experience in environmental studies, specializing in
noise and air quality impact analysis. He is a Board certified member of the Institute of Noise Control
Engineering (INCE) and a certified acoustical consultant in Orange and San Diego counties. Dr.
Chung has conducted more than 300 noise impact analyses for highways/freeways, airports,
railroads, landfills, and industrial/manufacturing plants, as well as schools, hospitals, and residential
communities. Dr. Chung has conducted more than 100 air quality studies for highways/ freeways,
airports, seaports and bays, landfills, commercial and industrial developments, and residential
communities in numerous air quality management/control districts throughout the State of California
and the southwestern United States. Dr. Chung has prepared noise and air quality analyses for most
of LSA's school projects.
Steven W. Conkling
Project Role: Preparation of Cultural and Scientific Resources Technical Analysis.
Mr. Conkling is LSA's Director of the Archaeology/Paleontology Group and an LSA Principal. He is
responsible for conducting paleontological resource projects, including paleontological resource
evaluation for Environmental Impact Reports, covering field surveys, literature reviews, and
mitigation measures; directing field monitoring and salvage operations; collecting geologic data;
fossil analyses; and report preparation. Mr. Conkling manages archaeological field activities,
oversees budgets. coordinates Section 106 compliance with the U.S. Army Corps of Engineers, and
reviews all cultural resources reports. Mr. Conkling has 12 years of experience in this field, with
numerous publications and teaching assignments to his credit. Based on his Orange County work
experience, Mr. Conkling is familiar with the County's cultural and scientific resources setting.

UNDERSTANDING OF THE PROJECT
St. Margaret's Episcopal School has requested approval by the City of San Juan Capistrano for a new
master site development plan, approval of architectural design concepts associated with the new
buildings and additions, height and setback variances, as well as a Conditional Use Permit to allow a
shared parking agreement. The proposed Master Plan for the project site, which consists of 17.58
acres bordered by Ortega Highway, La Novia Avenue, and Calle Arroyo, proposes partial demolition
of existing buildings and construction of new buildings, or building additions, to total 282,392 gross
square feet of building area. Planned capacity of the school would be 1,307 students, an increase of
151 students over existing levels, and the current staff of 210 would increase to an ultimate 225 staff
members. An expanded Initial Study is required to determine the proposed project's potentially
significant environmental impacts and to determine whether a Mitigated Negative Declaration or a
Focused Environmental Impact Report (EIR) would be the appropriate document, as required by
CEQA.
PROJECT APPROACH
Based on the above understanding of the proposed project, the project area, and review of related
project site plans provided by the City, we have prepared the following work plan for the expanded
Initial Study and environmental documentation. The work program will provide the City with the
following:
• An expanded Initial Study, with project specific environmental documentation
• Technical studies for the following environmental issues of concern as identified by the City:
aesthetics, cultural resources, noise, and traffic. Additionally, based on our professional
experience, LSA recommends that a technical air quality analysis be conducted.
• Sensitivity to cost and time considerations
• An environmental analysis of all aspects of the project consistent with CEQA and City
requirements and procedures in a document that is legally defensible and complete
• A responsive schedule in consideration of application time constraints
LSA has organized the project personnel and tasks in order to:
• Prepare a thorough and logically organized assessment of potential impacts to a level of detail
intended to withstand public and legal scrutiny.
• Provide project clearance for all project components at a construction and operational level.
IF Work constructively with the City's staff and project consultants to minimize project delays.
• Ensure that all procedural steps required by CEQA are met in a timely manner according to an
agreed upon schedule.
• Provide in-house review of all work product by a technical editor and a Principal prior to
submittal to the City, as stated in the LSA Quality Control Handbook; and

WORK PROGRAM

The tasks identified below comprise LSA's work program for completion of the expanded Initial
Study and required environmental documentation.
TASK 1: PROJECT INITIATION
LSA will prepare a thorough project description for use in the Initial Study and related environmental
documentation that will be based upon information provided by the City. LSA will meet with City
representatives and the project applicant at a project kickoff meeting to refine and finalize the project
description and develop a mutual understanding of the approach and of issues to be addressed in the
Initial Study. Traffic related issues to be discussed at this meeting will include confirmation of
specific analysis methodologies and assumptions, identification of approved and pending projects in
the area, and discussion of specific concerns regarding the project and/or study area. Additionally, the
project schedule and checklist threshold criteria used to identify potential impacts will be developed
early in the process and will be discussed at this kickoff meeting. LSA will gather and review existing
environmental and planning documents to incorporate in our analysis of the proposed project.
Information to be Provided by the City
The Initial Study must include a detailed project description based on the proposed plans and infor-
mation provided by the City. This project description will be used by LSA to determine potential
environmental effects of project implementation, identify appropriate mitigation measures, if
required, and determine the threshold of significance. LSA will assemble all pertinent data provided
by the City and any other responsible agency essential for preparation of the Initial Study, as well as
any other appropriate informational documents prepared for projects in the vicinity.
To enable LSA to proceed with this first task, the following information must be provided by the City
to clearly define the project description and conduct the environmental analysis:
• Recent aerial photo of the site in electronic format
• Scaled Conceptual Site Plans (already provided with the request for proposal package), and the
following:
• Number of students expected to be bused to the school, if any
• Transportation mode split (percentage bus/automobile/pedestrian)
• Number of buses expected; type, schedule, pickup areas, if applicable
• Shared parking agreement between the Ortega Center and St. Margaret's

• Statement as to whether there will be after-school community use of the facilities, such as adult

proposed easterly field is not anticipated and will not be addressed)

lighting of the premises and any buildings or structures
• City required Project Design Features (PDFs), water quality improvements planned for the
project with calculations as to their effectiveness, and mitigation measures
TASK 2: INITIAL STUDY
The expanded Initial Study to be prepared by LSA will include a description of the proposed project,
identification of potential environmental effects by use of either the CEQA Environmental Checklist
Form, or a preferred City checklist/Initial Study format, and specific documentation that supports the
checklist entries.
Based on the detailed description of the project characteristics, each environmental topic will be
evaluated to determine if impacts would be potentially significant, less than significant with
mitigation, less than significant, or have no impact.
The significance criteria will be decided upon by the City based on current community or industry
standards, including but not limited to the CEQA Guidelines, local guidelines, State and federal
regulations, and consistency with District, State and local land use planning documents, such as the
City's General Plan. The methodology for addressing potential impacts for each environmental topic
is described below.
Environmental Topic Sections
The Initial Study will include an environmental analysis section for each of the environmental topics
identified in the checklist. Each of the environmental topic sections will discuss the potential short-
term environmental impacts of project construction, as well as the long-term effects of project
operation. The City's recommendation of Project Design Features (PDFs) and/or mitigation measures
will be proposed, and considered in determining potentially significant impacts.
Technical Studies
LSA will prepare new technical studies to address the project's potential environmental impacts
related to aesthetics, air quality, cultural resources, noise, and transportation and traffic. The findings
of the technical analyses will be summarized as supporting evidence in the Initial Study. The scope of
each technical study is detailed below:

Aesthetics
Potential aesthetic impacts will be analyzed from digitized photographic simulations representing
existing and future project views. Four viewpoint simulations will be provided for this analysis in
order to represent the potential impacts of the proposed project. The City and LSA will jointly select
the viewpoints before proceeding with the view analysis. Particular attention will be paid to the high
school classrooms and Performing Arts Building proposed along Ortega Highway, since this is
designated as a scenic highway in the City's General Plan. The aesthetics analysis will also discuss
conformance with the City's General Plan Conservation and Open Space Element.
Air Quality
LSA has expanded the technical studies requested by the City to include air quality, based on our
professional experience with preparation of such documents. The air quality issues specific to the
City of San Juan Capistrano and South Coast Air Quality Management District (AQMD) air quality
planning programs and requirements will be evaluated.
The description of existing ambient air quality will utilize baseline and project setting meteorological
and air quality data developed through the California Air Resources Board (ARB) and climatological
and air quality profile data gathered by the AQMD. The most recent published air quality data from
the Saddleback Valley/Mission Viejo air quality monitoring stations for the past three years will be
included to help highlight existing air quality in the vicinity of the proposed project site. Other
sources such as regulatory documents, professional publications, and past LSA experience in the
project area will supplement background information. A brief overview of the nature and location of
existing sensitive receptors will be provided to set the context for how such uses may be affected by
the proposed project.
Potential project impacts to be addressed include the following:
• Dust emissions associated with grading and construction activities from the proposed project will
be estimated based on available project -specific construction information. Exhaust emissions
from construction equipment, including daily usage of construction equipment (e.g., type of
equipment used, length of time for a specific task, equipment power type [gasoline or diesel
engine], horsepower, load factor, and percentage of time in use), will also be estimated.
• Total stationary sources, such as energy usage, and mobile sources, such as vehicular trips,
generating emissions from the proposed project will be estimated based on project -specific land
uses and associated vehicular trips. Emissions will be calculated with ARB's URBEMIS 2001
model.
• A detailed CO hot spot analysis will be performed for up to eight (8) intersections. Half of the
locations analyzed will have the highest number of peak -hour turn volumes with project impacts.
Half of the locations analyzed will have the worst level of services (LOS) with project impacts.
• An analysis of the proposed project's consistency with the General Plan and current AQMD
requirements will be provided.

• LSA will work with the City, if necessary, to identify feasible mitigation measures. Mitigation
measures will be developed as indicated by the impact analysis and to ensure consistency with
AQMD policies.
Cultural Resources
All cultural resource tasks will be completed pursuant to the requirements of the City of San Juan
Capistrano Council Policy No. 601. If LSA is selected for this project, resumes of all involved
cultural resource staff will be provided to the City for review.
Literature Search. LSA will conduct an archaeological and historical records review and literature
search at the South Central Coastal Information Center of the California Historical Resources
Information System, located at California State University, Fullerton. The Information Center houses
the pertinent archaeological site, survey, and excavation information necessary to determine whether
cultural resources exist within the proposed project area (PPA). The objective of this archival
research will be to 1) establish the status and extent of previously recorded sites, surveys, and
excavations in the PPA; and 2) note what site types might be expected to be present within the PPA
based on existing data from archaeological sites located within one mile of the PPA. All pertinent
references will be reviewed, and all information will be summarized in the cultural resources
technical report.
Field Testing. LSA has completed a preliminary background check on the PPA. The entire PPA and
land to the west extending as far as Interstate 5 was surveyed for archaeological sites by
Archaeological Associates in 1977. Two historic archaeological sites (P-120015 and P-150083) were
recorded in the southeast corner of the PPA. The sites were recorded prior to, and were probably
destroyed during, construction of the current buildings. No construction is planned for this area. One
prehistoric site (P-120016) was recorded in the northeast comer of the PPA in the vicinity of the
proposed theater. This was probably impacted during construction of the current parking lot, but
some intact portions may still exist. Construction of the theater will definitely impact what, if
anything, remains of the site. The proposed gymnasium is in an area where no sites are recorded.
LSA recommends augur testing the two areas of proposed construction. One prehistoric site is
recorded in the vicinity of the proposed theater; although no sites are recorded in the vicinity of the
proposed gymnasium, the sensitivity for prehistoric and historic archaeological sites in San Juan
Capistrano is extremely high. Thus, it would be prudent to examine the proposed construction areas
for evidence of cultural remains. Therefore, LSA recommends placing a total of 12 mechanically
excavated 12 -foot -deep auger holes within the two areas of proposed construction. It is anticipated
that the testing will occur in two days. An LSA archaeologist will direct and monitor the excavation
process. Side walls will be examined for evidence of archaeological remains, as will the backdirt. The
auger boring locations will be subject to approval by the City's Environmental Administrator.

Report Preparation. LSA will prepare an archaeological assessment report consistent with the
guidelines established by the California State Office of Historic Preservation's Archaeological
Resource Management Reports (ARAM: Recommended Contents and Format. Based on negative
findings, this report will contain an abstract (management summary and recommendations),
introduction, methods, report of findings, discussion, conclusion, and recommendations. The records
search letter will be included as an appendix. If findings are positive, the report will include a
summary of findings and conclusions plus all of the above sections.

Noise
LSA will prepare a technical noise analysis that will identify potential noise impacts on sensitive land
uses within the project area, including effects on classrooms at the school. LSA will describe the
existing setting conditions by completing the following tasks:
• Applicable State of California and City of San Juan Capistrano noise and land use compatibility
criteria will be identified. LSA will obtain previous noise analyses performed in the vicinity,
including the Bricken report on Ortega Highway noise effects.
• Noise monitoring will be conducted for up to four locations on and adjacent to the project site.
• Existing roadway noise will be modeled for major highways and roadways in the project vicinity,
including Ortega Highway. Noise impacts from vehicular traffic will be assessed using the U.S.
Federal Highway Traffic Noise Prediction Model (FHWA-RD-77-108, December 1978) or
Caltrans SOUND32 noise model, whichever is more appropriate for this analysis. Model input
data (provided by others)include average daily or peak -hour traffic levels, day/night percentages
of autos, medium and heavy trucks, vehicle speeds, ground attenuation factors, and roadway
widths. Existing Community Noise Equivalent Level (CNEL) or peak -hour continuous equivalent
noise level (Leq) along selected roadway segments will be provided in a table format to show the
distance/contour relationship.

After determining the existing conditions, potential project impacts that will be addressed include the
following:
Potential noise impacts during construction will be evaluated based on EPA recommended noise
emission levels for the construction equipment. The construction noise impact will be evaluated
in terms of maximum levels (Lmax) and/or hourly equivalent continuous noise levels (Leq) and
their frequency of occurrence. Analysis will be based on City of San Juan Capistrano noise
ordinance specifications.
• Future daily CNEL or peak -hour Leq under the General Plan build out conditions along selected
roadway segments, including Ortega Highway, will be provided in a table format to show the
distance/contour relationship. Impacts on the proposed onsite uses or on adjacent sensitive uses
from noise -producing activities on the project site will be described. Mitigation measures will be
recommended, if necessary.
Traffic
LSA will prepare a Traffic Impact Analysis for the proposed project with modeling assistance
provided by Urban Crossroads, Inc. The traffic study will analyze the effects of the increase in traffic
on the arterial highway system based on the proposed expansion. This analysis will be conducted in a
format consistent with the objectives and methodologies set forth in the City of San Juan Capistrano's
Administrative Policy No. 310 (Guidelines for Preparing Traffic Reports), Council Policy No. 111
(Fair Share Methodology), Capistrano Circulation Fee Program (CCFP), and applicable provisions of
the California Environmental Quality Act (CEQA). The following tasks will be included in
preparation of the Traffic Impact Analysis:
Coordination with Local Agency Staff. Prior to beginning preparation of the traffic study, LSA will
conduct an orientation meeting with representatives of the City of San Juan Capistrano staff to
discuss issues related to the proposed project. This will include confirmation of specific analysis
methodologies and assumptions, identification of approved and pending cumulative projects in the
area, and discussion of specific concerns regarding the project and/or study area. Based on this
meeting, refinements to this scope of work and budget may occur to meet the objectives of the
project.
Data Collection. The following information will need to be collected prior to preparation of the
traffic analysis:
• Site Reconnaissance. LSA staff will visit the study area to identify intersection and roadway
geometries, traffic control, and the presence of bicycle lanes and transit stops in the vicinity of
the school.
Existing Traffic Counts. The City of San Juan Capistrano uses a select zone assignment to
determine the traffic study area. It is anticipated that the study area would include the following
intersections and roadway segments.

LSA will conduct a.m. and p.m. peak -hour traffic counts for three days at the eight study area
intersections. LSA will conduct 24-hour traffic counts for three days on the four roadway
segments. For purposes of this scope and budget, existing counts will be conducted at the eight
intersections and four roadway segments identified above. Existing counts at additional
intersections can be added at $125 per intersection per day. Existing counts at additional roadway
segments can be added at $35 per tube count per day.
Cumulative Conditions. A cumulative -year scenario corresponding to the cumulative projects
developed before the projected opening year of the proposed project will be analyzed. The City
of San Juan Capistrano Planning Department will provide a list of projects currently under review
and/or anticipated up to the project opening year. The City will also provide the traffic studies
and/or environmental documents of these projects to develop baseline traffic volumes (to the
extent the traffic studies and/or environmental documents for these projects have been approved
and are available). For purposes of this scope of work and budget estimate, five cumulative
projects assigned to the study area based on approved traffic studies are included in the analysis.
If these documents are unavailable, LSA staff will assign the approved/pending projects' trips to
the study area circulation network utilizing the "manual method" of trip assignment. For purposes

of this scope of work and budget estimate, three cumulative projects assigned to the study area
using the manual method are included in the analysis.
An annual growth rate of 2 percent per year will be added to the existing plus project plus
cumulative condition to determine the cumulative (project opening) condition. This growth factor
accounts for the increase in ambient traffic at the study area intersections and roadway segments
between the existing (year 2003) condition and the project opening year. The City has determined
that this growth rate will also account for any trips generated by the Rancho Mission Viejo
Company development within this time frame.
Existing Conditions. The Existing Conditions analysis will establish the project baseline based on an
enrollment of 1,156 students, but with peak hour traffic adjustments (increases and/or reductions) for
the Nazarene Church Building and the Lloyd Building as determined by the City Engineer. The
existing daily, a.m., and p.m. peak -hour traffic conditions and levels of service (LOS) will be
assessed for the project study area. Existing levels of service will be calculated using the Intersection
Capacity Utilization (ICU) methodology at all signalized intersections. The Highway Capacity
Manual (HCM) methodology will be used to determine the LOS at unsignalized intersections and at
the signalized intersections along Ortega Highway (per the City's request). In addition, an HCM
analysis will be conducted for intersections within ICU LOS C or worse. LSA will work with City
staff to determine the preferred software application for the HCM LOS analysis (e.g., Synchro,
Traffix, HCS).
A peak -hour link analysis (v/c ratio) will be conducted for the roadway segments in the existing
condition. An illustration of both the peak -hour data and the Average Daily Traffic volumes for the
study area intersections and roadway segments will be included in the study.
In addition, a Caltrans peak -hour signal warrant will be conducted at all unsignalized study area
intersections in the existing condition, specifically at the project entrance of Ortega Highway and
Ortega Center and La Novia Avenue/Calle Arroyo.
Project Trip Generation, Distribution, and Assignment. Daily, a.m., and p.m. peak -hour trips will
be generated for build out of the proposed project. Trip generation rates will be calculated for the
individual project components based upon the trip rates from the Institute of Transportation
Engineers (ITE) Trip Generation, Sixth Edition. Trips will be distributed on existing roadways based
on a select zone assignment from the Orange County Traffic Analysis Model (OCTAM) or the City's
Traffic Model. The actual trip distribution shall be subject to approval by the City Traffic Engineer
prior to completing subsequent phases of the report.
The project trip assignment will be assigned to the circulation system and carried to the limits of the
study area. A graphic illustrating the study area trip distribution and assignment will be included in
the report.

Project Impact Assessment.

Existing Plus Project. LSA will present an existing plus project traffic analysis of the study area
to demonstrate the capacity available and the ability of the existing circulation system to provide
acceptable levels of service within a short-term horizon. The existing plus project condition will
be based on the contribution of traffic generated by the proposed project added to existing traffic.
LSA will analyze the existing plus project condition based on the ICU methodology at all
signalized intersections and the HCM at all unsignalized intersections and at the signalized
intersections along Ortega Highway (per the City's request) to determine the LOS at study area
intersections. If a signalized intersection is forecast to operate at an ICU value greater than 0.70
during the a.m. and p.m. peak hour, an HCM analysis will be conducted. The results of this
analysis will be provided in a table format, consistent with the City's guidelines.
A peak -hour link analysis (vie ratio) will be conducted for the roadway segments in the existing
plus project condition. An illustration of both the peak -hour data and the Average Daily Traffic
volumes for the study area intersections and roadway segments will be included in the study.

volumes to the existing plus project traffic conditions. In addition, a 2 percent per year growth
rate will be added corresponding to the project opening year. LSA will analyze the existing plus
project plus cumulative projects based on the ICU methodology at all signalized intersections and
the HCM methodology at all unsignalized intersections, to determine the LOS at study area
intersections. Per City staff, an HCM analysis is not required for the intersections on Ortega
Highway in this condition unless the signalized intersection is forecast to operate at an ICU
greater than 0.70 during the a.m. and p.m. peak hour. An HCM analysis would then required. The
results of this analysis will be provided in a table format, consistent with the City's guidelines.
A peak -hour link analysis (vie ratio) will be conducted for the roadway segments in the existing
plus project plus cumulative condition. An illustration of both the peak -hour data and the

General Plan Build out Analysis. LSA will present a General Plan build out condition traffic
analysis of the study area to demonstrate the ultimate capacity available and the ability of the

circulation system to provide acceptable levels of service. Future forecast volumes will be developed
using the City's traffic model. Urban Crossroads will be hired as a subconsultant to LSA for this
work effort. The General Plan build out land uses on the project site will be identified and compared
to the proposed project description (i.e., increase in student enrollment). If the intensity of the project
site, as identified in the traffic model under General Plan build out conditions, already includes the
maximum student enrollment proposed, then a build out analysis will be included that simply
accounts for the project trips within the project area transportation analysis zone (TAZ).
If the project trips are not accounted for in the TAZ under General Plan build out conditions, then
forecast peak -hour turn volumes will be analyzed to determine peak -hour intersection levels of
service within the study area for the build out condition. LSA will analyze the build out condition
based on the ICU methodology at all signalized intersections and the HCM methodology at all
unsignalized intersections.
To determine project impacts for the General Plan build out condition with the proposed project, the
current General Plan data must be modified to add the proposed project (i.e., increase in student
enrollment) to the uses assumed in the General Plan for the project site. The General Plan condition
with the proposed project added will be compared to the current General Plan condition to determine
project impacts at key arterials and intersections.
Site Access and On -Site Circulation. An on-site circulation and access analysis of the proposed
interface with the adjacent roadways will be performed based on the current project site plan and the
increase of traffic volume proposed by the new and/or expanded uses on site. LSA will review project
volumes at the primary access locations and determine the adequacy of the interface with the arterial
street system. This analysis will determine if the access to the project site is in compliance with the
City's standards and policies.
Mitigation Measures. Based on the results of the above tasks, feasible mitigation measures will be
proposed if necessary to accommodate the existing plus project and existing plus project plus
cumulative projects conditions. The proposed improvements may vary from simple existing lane
striping modifications to roadway widening that may require the acquisition of right-of-way. A
general assessment of the conceptual feasibility of these proposed improvements will be provided in
the analysis. An LOS analysis for the study area intersections and roadway segments with
implementation of the proposed mitigation measures will be provided in the study. LSA will also
identify the project's contribution to any impacted locations for use in determining fair share
responsibility for these improvements. The fair share methodology will be consistent with City
Council Policy 111.
Preparation of Traffic Study. A technical study will be prepared discussing the existing, existing
plus project, and existing plus project plus cumulative projects traffic conditions. Identification of
roadway and intersection improvements required to accommodate project development and an
assessment of the project's fair share contribution to future roadway improvements will be provided.

land use data that are included in the model databases for existing and General Plan build out
conditions. As needed, the South County Subarea Traffic Model (SCSAM) databases will be updated
to reflect the proposed project expansion. The trip generation, trip distribution, and traffic assignment
procedures will be utilized to develop raw model output data. The product of this task will be a raw
model plot of the generalized project trip distribution. The raw model future traffic volume data at up
to eight intersections can then be extracted and refined in accordance with the SCSAM
postprocessing procedures, as needed, from information contained in the SCSAM databases or as
provided by LSA in order to refine future traffic volume forecasts at the listed intersections. Future
fair share traffic contribution volume data can then be developed to include traffic attributable to
future development within the City. The draft report will then be submitted to the City of San Juan
Capistrano for review and comment.
Upon completion of the City's review, LSA will discuss the traffic analysis with City staff and
receive staff comments. LSA will then modify the draft report to address City comments and will
submit the final traffic analysis for incorporation into the Initial Study.
Meeting Attendance. For purposes of this scope of work and budget estimate, it is anticipated that
representatives of LSA's Transportation Group will attend up to three meetings related to preparation
and processing of the technical traffic analysis.

TASK 3: PROJECT MANAGEMENT AND MEETING ATTENDANCE
This task represents an active project management role and includes attendance at various project
meetings and coordination with agencies and interested parties. The project management role
provides a mechanism to ensure that there is adequate exchange of information during project
start-up and preparation of the Initial Study. This task includes notifying the client of problems as
they are encountered and working expeditiously to resolve problems. Important elements of this task
will be to maintain the project schedule, oversee the budget, and coordinate efforts with the City.
To facilitate dissemination of information, LSA's Principal in Charge or the Project.Manager will
maintain ongoing verbal and e-mail communication with the City's staff. The budget anticipates
attendance by the Principal in Charge and the Project Manager at the project initiation kickoff
meeting and attendance at two Planning Commission meetings and one City Council meeting.

LSA proposes to accomplish the tasks described in this proposed scope of work for an estimated LSA
labor fee of $75,500 (per Table A). This amount will not be exceeded without your authorization.
Fees are charged on an hourly basis, consistent with the attached Schedule of Standard Contract
Provisions and Billing Rates (Appendix A). Reimbursable expenses will be charged separately per
the attached standard contract provisions. Direct expenses for mileage and meals will be billed on a
pass-through basis. Copying and materials will be billed on a cost plus 10 percent basis. This fee is
based on past experience of the level of effort needed to complete the CEQA process. LSA will
aggressively identify strategies for reducing the overall work effort while maintaining the client's
objectives and the legal adequacy of the work products.

SCHEDULE
A preliminary schedule for completion of the Initial Study and technical studies is provided in
Figure 1, attached. This schedule is based on LSA's experience with similar projects and has been
accomplished through development of the Initial Study sections concurrent with preparation and
review of the technical reports.
LSA has demonstrated its ability to maintain project schedules under aggressive deadlines on many
projects in Southern California. LSA will aggressively endeavor to keep the project on track. LSA
commits to providing sufficient staff to be available for assignment to this project.

SCHEDULE OF STANDARD CONTRACT PROVISIONS
AND BILLING RATES
FEES FOR PROFESSIONAL SERVICES
Fixed -Fee Contracts
If a fixed -fee proposal, the professional services described in the Scope of Services Section of the
attached proposal shall be provided for the fixed fee noted in the proposal. All other professional
services are considered extra services. Extra services shall be provided on a time and expenses basis
at the same rates specified for hourly contracts, unless other arrangements are made in advance.
Hourly Contracts
If an hourly plus expenses proposal, the professional services described in the Scope of Services
Section of the attached proposal shall be provided on a time and materials basis at current hourly
rates. These rates are as shown on a Rate Schedule that is attached, or can be made available.
Hourly rates are subject to review at least annually on or about August I of each year, and may be
adjusted to reflect changing labor costs, at our discretion, at that time. (A schedule can be made
available upon request.)
Direct costs (including cost of subconsultants) shall be reimbursed at cost plus ten percent, unless
other arrangements are made in advance, and are not included in the hourly fee for professional
services.
The total estimated amount of time and expenses noted in the proposal will serve as a control on the
services to be provided. The specified amount will not be exceeded without prior approval of the
client.
INVOICING
Monthly invoices shall be submitted for progress payment based on work completed to date. Out of
pocket expenses shall be billed on a separate monthly invoice. Clients requesting changes to LSA's
standard invoice may be billed for the time to develop the invoice and monthly administration of the
billing.
PAYMENT OF ACCOUNTS
Terms are net 30 days. LSA offers a one percent discount on invoices paid within 30 days of the
invoice date. A service charge of 1.5 percent of the invoice amount (18 percent annual rate) may be
applied to all accounts not paid within 30 days of invoice date. Any attorney's fees or other costs
incurred in collecting any delinquent amount shall be paid by the client.

LSA does not warranty any changes made to any information electronically transmitted.
LITIGATION
In the event that either party brings action under the proposal for the breach or enforcement thereof,
the prevailing party in such action shall be entitled to its reasonable attorneys' fees and costs whether
or not such action is prosecuted to judgement.
NOTICES
Any notice or demand desired or required to be given hereunder shall be in writing, and shall be
deemed given when personally delivered or deposited in the mail, postage prepaid, sent certified or
registered, and addressed to the parties as set forth in the proposal or to such other address as either
party shall have previously designated by such notice. Any notice so delivered personally shall be
deemed to be received on the date of delivery, and any notice mailed shall be deemed to be received
five (5) days after the date on which it was mailed.
TERMINATION OF SERVICES
These services may be terminated by either party for good cause upon five days written notice or by
the client for any reason upon ten days written notice. In this event, payment for all services and
expenses incurred prior to the date of termination shall be due and payable upon receipt of a final
invoice in accordance with the provisions of the foregoing section.
REVOCATION
If this Schedule of Standard Contract Provisions is attached to a proposal, said proposal shall be
considered revoked if acceptance is not received within 90 days of the date thereof, unless otherwise
specified in the proposal.
