LICENSE AGREEMENT
This LICENSE AGREEMENT is made this �day of 03
by and between the CITY OF SAN JUAN CAPISTRANO, hereinafter referred to as
"Licensee" and Drino Miller, hereinafter referred to as "Licensor".
Licensee and Licensor mutually resolve as follows:
1. Grant of License.
Licensor hereby grants to Licensee a license right to use a portion of the vacant
lot located at 27191 Highland Drive, in the City of San Juan Capistrano, and more
particularly described in Exhibit "A" attached hereto, and shown on a site plan in Exhibit
"B" attached hereto, for the purpose of geotechnical investigation and monitoring
described in Exhibit "C" attached hereto. Licensor will place the improvements under
the direction of the Licensee's Director of Public Works or her assigner.
This License Agreement shall not prohibit Licensor to develop said lot.
2. Hold Harmless.
Licensee agrees to defend, indemnify, and hold harmless Licensor from any
claim, cost, expense or liability arising directly out of Licensee's geotechnical
investigation and monitoring under the terms of this agreement.
3. Responsibility of Licensee to Maintain, Repair, Remove and/or Relocate
Private Improvements.
Licensee has requested and the Licensor by execution of this Agreement allows
the Licensee, at Licensee's sole expense, to conduct a geotechnical boring and to
install an inclinometer.
Licensee further acknowledges if, during the course of construction and/or
maintenance of the private improvements by the Licensee, any of the facility owners'
equipment is damaged, the cost to repair and/or replace said equipment shall be borne
by the Licensee.
4. Successors in Interest.
The License Agreement shall inure to and be binding on the heirs, successors,
executors, administrators, and assignees of the Licensee.
5. Term.
This License Agreement shall continue in full force and effect, for a period of
three (3) years. Upon termination, Licensee shall restore the easement to its original
condition to the satisfaction of the Licensor.

A. Field Investigation
Provide access to vacant lot located at 27191 Highland Dr. for all equipment (drill
rig, small bulldozer, service truck, and cement truck), and field personnel via
Highland Drive for the completion of the following activities:
1 . Construct two10-foot wide temporary access roads as shown on Exhibit B.
2. Drill, sample, and down-hole log one 24-inch bucket auger boring
extending up to a depth of 150 feet as shown on Exhibit B. The boring will
backfilled using a 2-sack cement slurry up to five feet below grade. The
remaining 5 feet will be backfilled with soil cuttings. Excess soil cuttings
shall be evenly spread on-site, across the undeveloped pad.
3. Install one 2-inch diameter slope inclinometer and piezometer using
locking flush-mount well boxes as shown on Exhibit B. Installations will be
properly abandoned following completion of monitoring.
B. Monitoring
The slope inclinometer and piezometer will be monitored by designated
representatives of Licensee on a weekly basis, for a period of two years.

WAIVER OF CLAIMS AND INDEMNITY
At the request of the City of San Juan Capistrano (City), Lawson and Associates
Geotechnical Consulting (LGC) shall inspect a deep boring hole installed by Camp
Dresser and McKee Inc (CDM) for the City's Terminal Reservoir No. 2 Replacement
Project (Project). LGC expressly acknowledges that any confined space entry has
inherent risks, and that there are additional risks associated with deep-hole inspections
such as that which is contemplated by LGC. As a result LGC, expressly assumes the
risk for entry of the subject hole by any of its employees, agents, subcontractors,
consultants, or other persons from whom LGC is responsible, further, LGC expressly
waives any and all claims, demands or causes of action, costs, expenses or other
liabilities against the City of every name or nature arising out of or in any way related to
its deep hole inspection on the project site.
LGC hereby agrees to and does assume control from CDM of the deep boring hole on
the Project site for any period of time during which it shall allow any of third party to be
present thereupon the site, or within the deep boring hole that is the subject of this
document, and LGC shall relieve the City of all responsibility for safety on the site in
regards to the deep boring hole during such period.
LGC shall indemnify and save harmless and defend the City, its agents, servants and
e,nployees from and against any claim, demand or cause of action of every name or
nature arising out of the act, error or omission of LGC, its subcontractors, agents,
servants or employees in connection with any deep hole entry or related activities on
the project site.

RECOMMENDATION:
By motion, approve the license agreement between the City and Drino Miller for
geotechnical investigation and monitoring; authorize the Mayor to sign the agreement;
and direct the City Clerk to process recording of the agreement.
SITUATION:
License Agreement
Based on the recommendations from the design engineer, Camp Dresser and McKee
(CDM), staff reported at the July 15, 2003, City Council meeting that construction of this
project may require complex slope stabilization measures to arrest existing landslides
adjacent to the project site. As part of the slope stabilization effort, geotechnical
investigation and monitoring will be required on a privately-owned vacant lot located at
27191 Highland Drive.
The vacant lot, located at 27191 Highland Drive, is owned by Mr. Drino Miller. Staff has
discussed the project and its potential impacts with Mr. Miller, and he is willing to assist
the City in its efforts to stabilize the site and construct the project. The recommended
License Agreement with Mr. Miller will allow the completion of required geotechnical
investigation and monitoring work. Results from the investigation and monitoring will be
used to verify CDM's recommendations. Recommendations may change based on
data gathered from the boring and the slope inclinometer.
It must be noted that the project site is adjacent to four other privately-owned
properties. Impacts to these properties cannot be determined at this time. Should
stabilization of the site require encroachment upon these properties, staff will contact
the property owners and prepare the required encroachment documents.

Overall Project Status
On July 15, 2003, the City of San Juan Capistrano executed Amendment No. 3 to
CDM's Personal Services Agreement for land surveying, additional environmental
consulting, and geotechnical investigation services. The total cost of these services is
$250,677. As part of the executed Amendment No. 3, CDM will conduct the
aforementioned geotechnical investigation and monitoring services. The work is
scheduled to start on September 3, 2003. CDM is also preparing preliminary grading
plans and determining potential grading quantities. These quantities may have a
significant cost impact to the project. As part of their design efforts, CDM is evaluating
options to minimize the amount of grading required. Staff will track this issue closely
and keep Council, as well as the Water Advisory Commission, apprised.
COMMISSION/BOARD REVIEW AND RECOMMENDATIONS:
The Water Advisory Commission has reviewed this item at their August 26, 2003,
meeting, and its comments will be presented orally.
