THIS AGREEMENT is made and entered into this ch day of en
2007, by and between the City of San Juan Capistrano (Hereinafter referred to as the
"City") and GEORGE G. BOGHOSSIAN & ASSOC. INC., (hereinafter referred to as
"Consultant').
RECITALS:
WHEREAS, City and consultant have entered into a Personal Services
Agreement dated October 16, 2007 for a total of$216,000 for preparation of plans and
specifications for the Street Improvement Project Fiscal Year 07/08, CIP #119, and,
WHEREAS, City and Consultant agree that additional services outlined in the
cost estimate as set forth in Exhibit "A", attached and incorporated herein by reference,
are required for which extra compensation will become due.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Additional Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit "A" for additional environmental services.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of its
profession.
Section 2. Additional Compensation
City hereby agrees to pay the additional sum of Sixteen Thousand, Eight Hundred
Seventy Dollars ($16,870.00) for a revised total contract price of$232,870 to Consultant
for those services performed as set forth in Exhibit "A". These additional services to the
Agreement shall commence on the effective date of this Amendment.
Section 3. Relationship to Agreement
Except as to sections 1 and 2 herein, all other terms and conditions of the
Agreement shall remain unchanged.
Section 4. Contract Term.
This Agreement will extend the contract completion date to December 30, 2008.
Section 5. Entire Agreement.
This entire Agreement between the City and Consultant with respect to those
extra services described herein and any other understandings, oral or in writing, are
hereby superseded.

If the enclosed proposal meets with your approval, please amend the original agreement
to include the additional roadways and respective fee.

PERSONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this day ofQ::kkr2007, by and
between the City of San Juan Capistrano (hereinafter referred to as the"City")and George
G. Boghossian & Associates, Inc. (Consultant).
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the City's
proposal to provide "Street Improvements Project;" and
WHEREAS, Consultant is qualified by virtue of experience,training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed for the consultant shall consist of those tasks as
set forth in Exhibit 'A," attached and incorporated herein by reference. The consultant
proposal dated September 26, 2007, and City issued RFP on August 31, 2007, shall
become Exhibit A.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall continue until notified that said services are no longer
required and with a minimum of 15 days notice.
Section 3. Compensation.
3.1 Amount.
Consultant contract billings may be submitted on the consultant's forms and, at a
minimum, should contain the following:

Amount requested
Amount remaining on purchase order
Breakdown of amounts by project type or account number
This Personal Services Agreement has a "not to exceed"fee of$216,000 for the scope of
services defined under Section 1 above.

3.2 Method of Payment.
The City shall submit monthly invoices based on total services which have
been completed.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of City, and shall obtain no rights to any benefits which accrue to City's
employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
operation of law, without the prior written approval of the City. If Consultant is permitted to
subcontract any part of this Agreement by City, Consultant shall be responsible to City for
the acts and omissions of its subcontractor as it is for persons directly employed. Nothing
contained in this Agreement shall create any contractual relationships between any
subcontractor and City. All persons engaged in the work will be considered employees of
Consultant. City will deal directly with and will make all payments to Consultant.
Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City,the Parties hereto shall execute an addendum to this
Agreement setting forth with particularity all terms of the new agreement, including but not
limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) it has investigated the proposed construction site, including the
location of all utilities, and is aware of all conditions there; and (3) it understands the
facilities, difficulties and restrictions of the work under this Agreement. Should Consultant
discover any latent or unknown conditions materially differing from those inherent in the
work or as represented by City, it shall immediately inform City of this and shall not
proceed with further work under this Agreement until written instructions are received from
the City.

Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and regulations
of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City at
least one (1) copy of any final reports and engineering drawings containing Consultant's
findings, conclusions, and recommendations with any support documentation. All reports
submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and approval
of the City.
Section 12. Ownership of Documents.
All reports, information, data, and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to the
City upon demand without additional costs or expense to the City. The City acknowledges
such documents are instruments of Consultant's professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend, and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or damages
of any nature, including attorneys' fees, for injury or death of any person or damage to
property or interference with use of property and for damages arising from the negligence,
recklessness, or willful misconduct of Consultant in Consultant's performance of tasks
under this agreement.

Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A- Class VII or
better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/anyone occurrence/not limited to
contractual period.
14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non-
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/anyone occurrence/not limited to
contractual period
14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self-retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability

policies using ISO form CG 20 10 11 85 (in no event with an edition date later than 1990)
to the City's General Counsel for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant
shall submit an insurance certificate to the City's General Counsel for certification that the
insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancel lation/TermInation of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor
the coverages reduced, until after thirty(30)days'written notice is given to City, except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.
14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written "Notice to Proceed"verifying that Consultant has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City shall have the right to terminate this Agreement without cause by giving thirty
(30) day advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10) day
notice to the other party of a material breach of contract. If the other party does not cure
the breach of contract,then the agreement may be terminated subsequent to the ten (10)
day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement,the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

REQUEST FOR PROPOSALS
CoNSULTINO SERVICES FOR
STREET IMPROVEMENTS .PROJECT
August 31, 2007
I. INTRODUCTION
The City of San Juan Capistrano is requesting proposals from qualified civil
engineering consultants to produce a construction set of documents to
rehabilitate select streets. The project will be administered by the Engineering
and Building Department. The locations of the proposed improvements are
attached (a listing plus a map).
II. EXISTING CONDITIONS
Utilizing the City's pavement management plan, several streets are.selected to
be rehabilitated., The project is to provide a construction set of documents that
will detail street rehabilitation work that may include asphalt concrete overlay
and/or pavement reconstruction.
Ill. SCOP€ OF WORK
It is the intent of this project to improve roadway pavements. The consultant shall
investigate rehabilitation strategies and determine the most cost effective plan
of action to accomplish the intent of the project. The consultant shall also prepare
signing and striping plans and traffic signal loop detector replacement plans
within the project limits (where needed).
REQUIRED SERVICES
The City requires the services of a professional civil.engineering consultant to
design the street improvements as outlined above.
The consulting firm shall prepare construction plans, technical specifications,
and cost estimates for the project. The work program shall take into
consideration the following items: .
A. Meet with City staff prior to the beginning of work to discuss
background, scope, objectives and other pertinent details of the

project.
B. Collect and review all existing information pertaining to this project,
including available improvement plans.
C. Obtain from the City traffic data necessary to design the roadway
overlay thickness and/or structural section.
D. Develop a pavement rehabilitation strategy using either conventional
AC or an ARHM overlay for the project and submit the potential
strategies for City consideration.
E. Conduct a utility search for all utilities within the project limits and
coordinate design with the impacted utility companies. Ifthe proposed
improvements interfere with existing utilities, the consultant shall
arrange to have potholes taken by the utility company. If the utility
company has prior rights, potholes shall be excavated as negotiated
extra work by a contractor secured by the consultant.
The consultant shall secure the necessary right-of-way and/or
encroachment permits from all utility companies for the design and
construction of the project.
It is the Citys intent to establish a three year moratorium. policy for
new utilities after the project is completed; therefore, coordination with
utility companies is of the utmost importance to the City.
F. If reconstruction strategy is proposed for any roadway, perform project
design survey under the direction of a land surveyor or an engineer
currently licensed to perform surveying in the State of California. The
survey shall be certified by the surveyor or engineer. The survey shall:
1. Locate sufficient topography and take cross sections every 50 feet
to adequately show the condition of the project site prior to
construction: Reduce the data to a form showing centerline
station, offset from centerline,and elevation.
2. Provide in the cross section notes the beginning, intermediate,
and final bench marks used, complete with reference, description,
datum name and year, and closing error. Use a minimum of two
.(2) bench marks.
3. Sign, date, and submit all original survey notes to the City within
fifteen (15)working days after the completion of the survey.

4. The plans also shall provide for the restoration ofexisting survey
monuments after the project is completed.
G. The consultant shall prepare plans for improvements using 1-inch
40 feet horizontal and 1-inch =4 feet vertical scales.
Final plans shall be signed and stamped by a Civil Engineer currently
registered in the State of California.
The consultant shall review the City's. standardized technical
specifications and shall submit recommended changes to be
incorporated into the final Contract Documents. All changes will be
made by City staff.
In preparing maps, drawings, and other exhibits; the consultant shall
use an acceptable CADD program compatible with AutoCAD (latest
release). Preliminary drawings may be plotted on reproducible bond
paper. Final drawings shall be plotted on 4 mil thick Mylar and
provided to the,City as a deliverable product.
All final drawing and specification files shall be provided to the City on
a CD as a deliverable product. All final drawing files shall become the
property of the City and may.be used subsequently by the City or its
assignee without additional compensation to the consultant.
The consultant shall prepare and submit a cost estimate in a tabular
form for each construction item showing quantity, unit, unit price and
total cost. All estimate back-up calculations by plan sheet shall also be
submitted.
H. Prepare signing and striping plans. The plans shall be at a 1-inch = 40
feet scale and shall be signed and stamped by a Civil Engineer
currently registered in the State ofCalifornia.
Signing and striping shall be in accordance with the WATCH Manual.
The consultant shall insure that all signing and striping meet current
standards.
The plans shall show the location of curbs, driveways, existing and
proposed signing, and proposed pavement markings and striping. The
plans shall cover the construction limits plus 200 feet at each end of
the project and 100 feet on all cross streets. Loop detector
replacement details may be shown on the signing and striping plans
provided that necessary installation information is legible.

form for each signing and striping construction.item showing quantity,
unit, unit price, and total cost. All estimate back-up calculations by
plan sheet shall also be submitted.
J. It is the City's intention to use the,Standard Specifications for Public
Works Construction (latest Edition), the Standard Plans for Public
Works Construction (latest Edition), in conjunction with City standard
specifications and plans. The consultant shall provide copies of
referenced standard plans from other sources. Specifications for this
project shall contain requirements for contractors compliance with the
City' NPDES permit.
K. Revise and/or change plans and related materials as required as a
result of review of the signed plans by affected utilities or because of.
errors or omissions in the plans and specifications. Such revisions
shall be'completed in a timely ,manner so as to avoid or minimize
construction delays and shall not result in any, increase in
compensation from the City.
L. Provide consultation during construction. Upon request, the consultant
shall provide any appropriate technical services, including but not
limited to, consultation, plan interpretation, and plan revisions resulting
from changed conditions. Such revisions shall be completed in a timely
manner so as to avoid or minimize construction delays. In the event that
such services are required, they shall be considered extra work and
additional compensation shall be made based on the hourly rates
established in the proposal.
Revisions resulting from errors or omissions by the consultant shall be
provided at no cost to the City.
N. The City may apply for Federal/State funding.Accordingly, the plans
and specifications for this project shall meet Federal/State Standards.
V. CITY SUPPORT
A. Existing street and utility plans in the City's possession.
B. Traffic data within the City's possession.
C. Reproduction of final construction plans and specifications for
advertising.
D. Copies of City of San Juan Capistrano Engineering Standards.

VI. CONTENT OF THE PROJECT PROPOSAL
The consultant's response to the City's Request for Proposal should provide the
following information, using the same format and sequence:
A. Project Team
An , organization chart Indicating principals and key project team
members together with an indication of their involvement in the project.
Also provide resumes of the key personnel involved with this project,
including personnel from sub-consultants. For-the project engineer and
.project manager, include information for three (maximum) recent
projects on his/her mord of completion compared to the original project
schedule. Consultant staff committed to this project.will not be
sub"stituted unless City approval is given.
B. Firm's Experience
List a maximum of five projects of similar scope which your firm has
designed for other public agencies in the greater Los Angeles area.
For each project, provide the following information: Location, owner,'
construction cost," year the design was completed, year the
construction was completed; project manager and engineer names.
If any portion of the project is sub-contracted, provide similar
information for a maximum of three projects.
C. Project Design
Discuss the methods and procedures that will be used in the design of
the project. Provide a list of construction drawings that will be prepared
for the project. Also identify any potential concerns or problems in the
design of this project.
D. Project Scheduling
Provide a schedule identifying milestones for the major tasks in the
design of the project, beginning with the notice to proceed.
E. Resource Requirements
Provide a man hour and fee estimate by item identified in Section IV.
Also provide a total "Not to Exceed" design fee for the project
It should"be noted that the amount of retention shall be 10 percent-for

the contract and a reduction in the amount of retention percentage will
not.be allowed. Retention will be released upon the City's acceptance
and approval by the City Engineer of the final plans.
F. Fee Schedule
Provide the hourly rates of all personnel assigned to the project. The
fee proposal shag be submitted for the consultant services outlined in
the scope of work. The basis of payment for the services provided
under this agreement shall be a not-to-exceed fee. The City shall
reimburse the consultant for actual costs (including .labor costs,
employee benefits, overhead and other direct costs) incurred by the
consultant in performance of the work. The fixed fee shalt not be altered
unless them is .significant alteration in the scope, complexity, or
character of the work to be performed. The proposal fee shall be
submitted in a separate,sealed envelope.
G. Agreement
Attached to this RFP is a copy of the City's typical engineering service
agreement. A statement MUST be made in the proposal that all terms
and conditions are acceptable. If any revisions are requested, they
must be described in full.
H. Insurance
Proof of insurance requirements addressed in Section XI of this
Request for Proposal shall be submitted with the Proposal
VII. SUBMITTAL OF PROPOSAL
Three (3) copies of'fhe proposal shall be presented in a sealed envelope
bearing the name, address and telephone number of the individual or entity
submitting the proposal and shall be addressed to the CITY OF SAN JUAN
CAPISTRANO, ENGINEERING AND BUILDING DEPARTMENT, 32400
PASEO ADELANTO, SAN JUAN CAPISTRANO, CALIFORNIA 92675,
Attention: Nasser Abbaszadeh, City Engineer. The envelope shall be dearly
marked with the notation "DO NOT OPEN- PROPOSAL."The proposal shall be
delivered to the addressee on or before 3:00 P.M. on September 27, 2007.
VIII. SELECTION PROCEDURE
Criteria for the evaluation of the proposals may include, but need not be
limited to, the following:

A. Completeness of proposal.
B. Firm and key project team members' experience in performing similar
work.
C. Firm and key project learn members' record in accomplishing work
assignments for projects in the agreed work.
D. Consultant's demonstrated understanding of the scope of work.
E. Quality of work previously performed by the firm.
The City will evaluate all proposals.Weighted values will be
assigned to each criterion.
IX. ORAL INTERVIEWS
In addition to the written proposal, each firm may be asked to make an oral
presentation to the Selection Advisory Committee.
X. RIGHT TO REJECT ALL PROPOSALS
The City reserves the right to reject any or all proposals submitted; and no
representation is made hereby that any contract will be awarded pursuant to this
Request for Proposal, or otherwise. All costs incurred in the preparation of the
proposal, in the submission of additional information and/or in any othe(aspect of
a proposal prior to the award of a written contract will be bome by the
respondent.
The City will provide only staff assistance and documentation specifically referred
to herein and will not be responsible for any other cost or obligation of any kind
which may be incurred by a respondent. All proposals submitted to the City in
response to this Request for Proposal shall become the property of the City.
XI. INSURANCEA NDEMNIFICATION
The consultant's attention is directed to the insurance requirements below. It is
highly recommended that. consultants confer with their respective insurance
carriers or brokers to ..determine in advance of proposal submission the
availability of insurance certificates and endorsements as prescribed and
provided herein. If a contracted firm fails .to comply strictly with the insurance
requirements, that consultant may be disqualified from award of the contract.
The consultant shall procure and maintain for the duration of the contract
insurance against claims for injuries to persons or damages to property, jjch

may arise from or in.connection with the consultant's performance. The cost of
such insurance shall be borne by the consultant.
A. Minimum Scope of Insurance
Coverage shall be at least as broad as:
1 Occurrence-based Broad Form Comprehensive General Liability.
2. Worker's Compensation insurance as required by
state law and employer's liability.
3. Hold harmless and additional insured endorsements.
B. Minimum Limits of Insurance
The consultant shall maintain limits no less than:
1. General Liability: $1,000,000 combined single limit per
occurrence for bodily injury, personal injuryand property damage.
If Commercial General Liability Insurance with a general
aggregate limit is used, either the general aggregate limit shall
apply separately to this contract, or. consultant shall receive
written-permission by City for variation.
2. Workers' Compensation and-Employers Liability: Workers'
Compensation limits as required by the Labor Code of the State
of California and Employers Liability.
3. Professional Errors and Omissions: $1,000,000
C. Deductibles and Self-Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved
by the City. At the option of the City, either, the insurer shall reduce or
eliminate such deductibles or self-insured retentions as respects the City, its
officers, officials, employees and volunteers; or the consultant shall procure a
bond guaranteeing payment of losses and related investigations, claim
administration, and defense expense.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain,the following provisions:
1. General Liability

a. The City, its officers,officials, employees and volunteers
are to be covered as insureds. The coverage shall contain
no special limitations on the scope of protection afforded to
the City, its officers, officials, employees or volunteers.
b. The .consultant`s insurance coverage shall be primary
insurance as respects the City, its officers, officials,
employees and volunteers. Any insurance or self-insurance
maintained by the City, its officers, officials, employees or
volunteers shall be in excess of the Consultant's insurance
and shall not contribute with it.
c. Any failure to comply with reporting provisions of.the
policies shall not affect coverage provided to the City, its
officers, officials, employees or volunteers.
d. Coverage shall state that the City insurance shall apply
separately to each insured against whom claim is made or
suit is brought, except with respect to the limits of the
insurer's liability.

2. Workers' Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against
the City, its officers, officials, employees and volunteers for
losses.
3. All Coverages
Each insurance policy required by this clause shall be endorsed to
state that coverage shall not be suspended, voided, cancelled,
reduced in coverage or in limits except after thirty (30)days` prior
written notice by certified mail, return receipt requested, has been
given to the City.
E. Acceptability of Insurers
Insurance is to be placed with insurers with a Best's rating of not less than A:VII.
F. Verification of Coverage
The consultant shall furnish the City with certificates of insurance and with
original endorsements effecting coverage required by this clause. The
certificates and endorsements for each insurance policy are to be signed by a
person authorized by that insurer to bind coverage on its behalf. The City
reserves the right to require complete, certified copies of all required polictmat

anytime.
G. Hold.Harmless and Indemnification
The Consultant shall save,`keep; and hold harmless the City, its.officers,
officials, employees and volunteers from all damages, costs or expenses in law
or equity that may at any time arise :or be set up because of damages to
property or personal injury received by reason of or the course of performing
work, which may be occasioned by any willful or negligent act or omissions of
the Consultant, any of the Consultant's employees, or any sub-consultant.
XII. ADDITIONAL INFORMATION
• If you have amy specific questions with regard to this project.that are not
covered by this RFP, they should be set forth in writing and delivered to
the undersigned. All such questions received in this manner will be
expeditiously answered.
• After a consultant is selected, the City Engineer will initiate final contract
negotiation. If an agreement on the fee cannot be reached, the City
reserves the right to end negotiations and enter into negotiations with
another firm.

REQUEST FOR PROPOSALS
CONSULTING SERVICES FOR
STREET IMPROVEMENTS PROJECT
August 31, 2007
I. INTRODUCTION
The City of San Juan Capistrano is requesting proposals from qualified civil
engineering consultants to produce a construction set of documents to
rehabilitate select streets. The project will be administered by the Engineering
and Building Department. The locations of the proposed improvements are
attached (a listing plus a map).
II. EXISTING CONDITIONS
Utilizing the City's pavement management plan, several streets are selected to
be rehabilitated. The project is to provide a construction set of documents that
will detail street rehabilitation work that may include asphalt concrete overlay
and/or pavement reconstruction.
Ill. SCOPE OF WORK
It is the intent of this project to improve roadway pavements. The consultant shall
investigate rehabilitation strategies and determine the most cost effective plan
of action to accomplish the intent of the project. The consultant shall also prepare
signing and striping plans and traffic signal loop detector replacement plans
within the project limits (where needed).
REQUIRED SERVICES
The City requires the services of a professional civil engineering consultant to
design the street improvements as outlined above.
The consulting firm shall prepare construction plans, technical specifications,
and cost estimates for the project. The work program shall take into
consideration the following items:
A. Meet with City staff prior to the beginning of work to discuss
background, scope, objectives and other pertinent details of the

4. The plans also shall provide for the restoration of existing survey
monuments after the project is completed.
G. The consultant shall prepare plans for improvements using 1-inch =
40 feet horizontal and 1-inch =4 feet vertical scales.
Final plans shall be signed and stamped by a Civil Engineer currently
registered in the State of California.
The consultant shall review the City's standardized technical
specifications and shall submit recommended changes to be
incorporated into the final Contract Documents. All changes will be
made by City staff.
In preparing maps, drawings, and other exhibits, the consultant shall
use an acceptable CADD program compatible with AutoCAD (latest
release). Preliminary drawings may be plotted on reproducible bond
paper. Final drawings shall be plotted on 4 mil thick Mylar and
provided to the City as a deliverable product.
All final drawing and specification files shall be provided to the City on
a CD as a deliverable product. All final drawing files shall become the
property of the City and may be used subsequently by the City or its
assignee without additional compensation to the consultant.
The consultant shall prepare and submit a cost estimate in a tabular
form for each construction item showing quantity, unit, unit price and
total cost. All estimate back-up calculations by plan sheet shall also be
submitted.
li. Prepare signing and striping plans. The plans shall be at a 1-inch = 40
feet scale and shall be signed and stamped by a Civil Engineer
currently registered in the State of Califomia.
Signing and striping shall be in accordance with the WATCH Manual.
The consultant shall insure that all signing and striping meet current
standards.
The plans shall show the location of curbs, driveways, existing and
proposed signing, and proposed pavement markings and striping. The
plans shall cover the construction limits plus 200 feet at each end of
the project and 100 feet on all cross streets. Loop detector
replacement details may be shown on the signing and striping plans
provided that necessary installation information is legible.

VI. CONTENT OF THE PROJECT PROPOSAL
The consultant's response to the City's Request for Proposal should provide the
following information, using the same format and sequence:
A. Project Team
An organization chart indicating principals and key project team
members together with an indication of their involvement in the project.
Also provide resumes of the key personnel involved with this project,
including personnel from sub-consultants. For the project engineer and
project manager, include information for three (maximum) recent
projects on his/her record of completion compared to the original project
schedule. Consultant staff committed to this project,will not be
substituted unless City approval is given.
B. Firm's Experience
List a maximum of five projects of similar scope which your firm has
designed for other public agencies in the greater Los Angeles area.
For each project, provide the following information: Location, owner;
construction cost, year the design was completed, year the
construction was completed, project manager and engineer names.
If any portion of the project is sub-contracted, provide similar
information for a maximum of three projects.
C. Project Design
Discuss the 'methods and procedures that will be used in the design of
the project. Provide a list of construction drawings that will be prepared
for the project. Also identify any potential concerns or problems in the
design of this project.
D. Project Scheduling
Provide a schedule identifying milestones for the major tasks in the
design of the project, beginning with the notice to proceed.
E. Resource Requirements
Provide a man hour and fee estimate by item identified in Section IV.
Also provide a total "Not to Exceed" design fee for the project
It should be noted that the amount of retention shall be 10 percent for

A. Completeness of proposal.
B. Firm and key project team members' experience in performing similar
work.
C. Firm and key project team members' record in accomplishing work
assignments for projects in the agreed work.
D. Consultant's demonstrated understanding of the scope of.work.
E. Quality of work previously performed by the firm.
The City will evaluate all proposals. Weighted values will be
assigned to each criterion.
IX. ORAL INTERVIEWS
In addition to the written proposal, each firm may be asked to make an oral
presentation to the Selection Advisory Committee.
X. RIGHT TO REJECT ALL PROPOSALS
The City reserves the right to reject any or all proposals submitted; and no
representation is made hereby that any contract will be awarded pursuant to this
Request for Proposal, or otherwise. All costs incurred in the preparation of the
proposal, in the submission of additional information and/or in any other aspect of
a proposal prior to the award of a written contract will be bome by the
respondent.
The City will provide only staff assistance and documentation specifically referred
to herein and will not be responsible.for any other cost or obligation of any kind
which may be incurred by a respondent. All proposals submitted to the City in
response to this Request for Proposal shall become the property of the City.
XI. INSURANCE/INDEMNIFICATION
The consultant's attention is directed to the insurance requirements below. It is
highly recommended that consultants confer with their respective insurance
carriers or brokers to .determine in advance of proposal submission the
availability of insurance certificates and endorsements as prescribed and
provided herein. If a contracted firm fails to comply strictly with the insurance
requirements,that consultant may be disqualified from award of the contract.

Task No. I-.Field Inspection:
A. Conduct project site field inspections by Project Engineer, Designer, and Survey party
chief, to establish the required boundaries of the as-built survey, to ensure the proper
design and joint lines.
B. Investigate and analyze the existing pavement condition, and provide recommendations
or alternatives,
C. Meet with City staff to discuss all aspects of the project, including project time frame,
design alternatives,budget, cost estimated,and construction alternatives.
Task No.2-Project Research:.
Conduct research through the City of San Juan Capistrano and obtain all necessary and
available data and existing street plans and traffic data for the project design; Centerline ties,
utility plans, nearest B.M.descriptions, and available sub-structures.
Task No. 3 -As-Built Field Survey:
Conduct a complete as-built survey of the proposed asphalt concrete overlay and/or pavement
reconstruction projects per Exhibit"a"attached.
Task No.4 - Mappine Base Sheets:
Prepare as-built base sheets (computer drafting - AutoCAD 2007). Base sheets shall include
location of existing culture and all items in detail, gathered per Task No. "3" above, together
# with datum elevations.
Task No. 5-Desian:
A. Develop preliminary plans and specifications in a reproducible form, along with
preliminary cost estimates, for the comments and approval of City staff.
B. Meet as necessary with City staff to discuss the possible benefits, costs, design and
placement of additional amenities or alternate improvements.
C. Contact all utility companies and mail them the proposed improvement plans with letter
of notification.

SITUATION:
On October 16, 2007, City Council awarded a contract in the amount of $216,000 to
George G. Boghossian & Assoc. Inc. for the preparation of plans and specifications for
the Street Improvement Project for Fiscal Year 07/08 (CIP #119). Shortly after the
approval of the contract, Public Works requested that three additional streets be
included into the plans and specifications for the upcoming street work. The inclusion
of these streets would minimize disruption to the public and the City would realize a
cost savings by combining with the existing contract.
Exhibit A of Amendment No. 1 of the Personal Services Agreement with Boghossian
outlines the additional streets and additional cost of $16,870.00 for this work. The
additional costs are based on the cost per roadway mile based on the original contract
price (a savings over a stand-alone contract).

THIS AGREEMENT is made and entered into this /�day of Aile

"City") and GEORGE G. BOGHOSSIAN & ASSOC. INC., (hereinafter referred to as
"Consultant').
RECITALS:
WHEREAS, City and consultant have entered into a Personal Services
Agreement dated October 16, 2007 for a total of$216,000 for preparation of plans and
specifications for the Street Improvement Project Fiscal Year 07/08, CIP #119, and,
WHEREAS, City and Consultant agree that additional services outlined in the
cost estimate as set forth in Exhibit "A", attached and incorporated herein by reference,
are required for which extra compensation will become due.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Additional Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit"A" for additional environmental services.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of its
profession.
Section 2. Additional Compensation
City hereby agrees to pay the additional sum of Sixteen Thousand, Eight Hundred
Seventy Dollars ($16,870.00) for a revised total contract price of$232,870 to Consultant
for those services performed as set forth in Exhibit "A". These additional services to the
Agreement shall commence on the effective date of this Amendment.
Section 3. Relationship to Agreement
Except as to sections 1 and 2 herein, all other terms and conditions of the
Agreement shall remain unchanged.
Section 4. Contract Term.
This Agreement will extend the contract completion date to December 30, 2008.
Section 5. Entire Agreement.
This entire Agreement between the City and Consultant with respect to those
extra services described herein and any other understandings, oral or in writing, are
hereby superseded.

RECOMMENDATION
By motion, approve a Personal Services Agreement for preparing plans and
specifications for the Street Improvements Project with Boghossian & Associates in the
amount of$216,000 (CIP No.119).
BACKGROUND:
The City engages consultant services to produce plans and specifications to upgrade
existing pavements. Utilizing the current Pavement Management Plan, a list of roadway
improvements has been created to prepare shelf ready projects in anticipation of
Proposition 42 and 1 B monies being made available to the City in the coming months.
Both Proposition 42 and 16 monies will require investment in infrastructure in short
period of time (in less than three years). Shelf ready projects will enable the City to
advertise and improve roadway pavements quickly and report fulfillment of our
investment obligation to the State and County. Our quick action will also make the City
eligible for unexpended funds in the Sate as well as County, should such funds become
available for re-distribution.
Exhibits A and B (incorporated in the Request for Proposals and part of Attachment 1)
show the targeted roadway improvements from the City's Pavement Management Plan.
The improvements may be affected in one or two years, pending availability of funds
(the funding scenario is further discussed under Financial Consideration). The present
value of the improvements is estimated at $3 million.
Six Requests for Proposals (RFP) were circulated in September and staff received four
proposals from pre-qualified consultants. The following companies responded to the
RFP:

In reviewing the proposals, staff examined each with the following important factors as
main criteria:
• Proposed scope of work
• Schedule
• Project manager background and experience
• Consultant familiarity with City processes, and
• Commitment of resources for timely delivery of the project
Based upon the above key elements, staff recommends selection of Boghossian and
Associates as consultant for this project. The four proposals received included "not to
exceed" fees that ranged from $216,000 (low) to $595,019 (high).
COMMISSION/BOARD REVIEW AND RECOMMENDATIONS:

FINANCIAL CONSIDERATIONS:
CIP #119, Preventive Maintenance, includes $342,000 for pavement work. The carry
over from the prior year CIP is $192,448, for a total project budget for FY 2007-2008 of
$534,448. The cost of this contract would be covered in the project budget and allow a
balance of approximately $318,000 for preventive maintenance in the current fiscal
year.
This project is undertaken in anticipation of City receiving its share of the State Prop 42
and 1 B monies in July 2008.

In addition, the County of Orange has also announced that it will distribute portions of its
proceeds from Proposition 42 and 1B funds among cities. While we do not have the
final numbers, County Proposition 42 contribution to the cities has been announced for
next year (Fiscal Year 08-09) in pavement work:

PERSONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this day of 2007, by and
between the City of San Juan Capistrano(hereinafter referred to as the"City")and George
G. Boghossian & Associates, Inc. (Consultant).
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the City's
proposal to provide "Street Improvements Project;" and
WHEREAS, Consultant is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed for the consultant shall consist of those tasks as
set forth in Exhibit 'A," attached and incorporated herein by reference. The consultant
proposal dated September 26, 2007, and City issued RFP on August 31, 2007, shall
become Exhibit A.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall continue until notified that said services are no longer
required and with a minimum of 15 days notice.
Section 3. Compensation.
3.1 Amount.
Consultant contract billings may be submitted on the consultant's forms and, at a
minimum, should contain the following:

3.2 Method of Payment.
The City shall submit monthly invoices based on total services which have
been completed.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of City, and shall obtain no rights to any benefits which accrue to City's
employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
operation of law,without the prior written approval of the City. If Consultant is permitted to
subcontract any part of this Agreement by City, Consultant shall be responsible to City for
the acts and omissions of its subcontractor as it is for persons directly employed. Nothing
contained in this Agreement shall create any contractual relationships between any
subcontractor and City. All persons engaged in the work will be considered employees of
Consultant. City will deal directly with and will make all payments to Consultant.
Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City,the Parties hereto shall execute an addendum to this
Agreement setting forth with particularity all terms of the new agreement, including but not
limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) it has investigated the proposed construction site, including the
location of all utilities, and is aware of all conditions there; and (3) it understands the
facilities, difficulties and restrictions of the work underthis Agreement. Should Consultant
discover any latent or unknown conditions materially differing from those inherent in the
work or as represented by City, it shall immediately inform City of this and shall not
proceed with further work under this Agreement until written instructions are received from
the City.

Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances,codes and regulations
of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City at
least one (1) copy of any final reports and engineering drawings containing Consultant's
findings, conclusions, and recommendations with any support documentation. All reports
submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and approval
of the City.
Section 12. Ownership of Documents.
All reports, information, data, and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to the
City upon demand without additional costs or expense to the City. The City acknowledges
such documents are instruments of Consultant's professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend, and hold harmless City; its elected and
appointed officials and employees from any and all claims, liabilities, expenses or damages
of any nature, including attorneys' fees, for injury or death of any person or damage to
property or interference with use of property and for damages arising from the negligence,
recklessness, or willful misconduct of Consultant in Consultant's performance of tasks
under this agreement.

Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A- Class VII or
better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement,Consultant shall maintain in full force
and effect Comprehensive General Liability coverage in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/anyone occurrence/not limited to
contractual period.
14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultantshall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non-
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to contractual
period;
$1,000,000 injury to more than one person/any one occurrence/not limited to
contractual period
14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as required
by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self-retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability

policies using ISO form CG 20 10 11 85 (in no event with an edition date later than 1990)
to the City's General Counsel for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant
shall submit an insurance certificate to the City's General Counsel for certification that the
insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled,nor
the coverages reduced, until after thirty(30)days'written notice is given to City, except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.
14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written"Notice to Proceed"verifying that Consultant has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City shall have the right to terminate this Agreement without cause by giving thirty
(30)day advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10) day
notice to the other party of a material breach of contract. If the other party does not cure
the breach of contract, then the agreement may be terminated subsequent to the ten (10)
day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement,the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

REQUEST FOR PROPOSALS
CONSULTING SERVICES FOR
STREET IMPROVEMENTS . PROJECT
August 31, 2007
I. INTRODUCTION
The City of San Juan Capistrano is requesting proposals from qualified civil
engineering consultants to produce a construction set of documents to
rehabilitate select streets. The project will be administered by the Engineering
and Building Department. The locations of the proposed improvements are
attached (a listing plus a map).
II. EXISTING CONDITIONS
Utilizing the City's pavement management plan, several streets are.selected to
be rehabilitated. The project is to provide a construction set of documents that
will detail street rehabilitation work that may include asphalt concrete overlay
and/or pavement reconstruction.
III. SCOPE OF WORK
It is the intent of this project to improve roadway pavements. The consultant shall
investigate rehabilitation strategies and determine the most cost effective plan
of action to accomplish the intent of the project. The consultant shall also prepare
signing and striping plans and traffic signal loop detector replacement plans
within the project limits (where needed).
REQUIRED SERVICES
The City requires the services of a professional civil engineering consultant to
design the street improvements as outlined above.
The consulting firm shall prepare construction plans, technical specifications,
and cost estimates for the project. The work program shall take into
consideration the following items:
A. Meet with City staff prior to the beginning of work to discuss
background, scope, objectives and other pertinent details of the

project.
B. Collect and review all existing information pertaining to this project,
including available improvement plans.
C. Obtain from the City traffic data necessary to design the roadway
overlay thickness and/or structural section.
D. Develop a pavement rehabilitation strategy using either conventional
AC or an ARHM overlay for the project and submit the potential
strategies for City consideration.
E. Conduct a utility search for all utilities within the project limits and
coordinate design with the impacted utility companies. If the proposed
improvements interfere with existing utilities, the consultant shall
arrange to have potholes taken by the utility company. If the utility
company has prior rights, potholes shall be excavated as negotiated
extra work by a contractor secured by the consultant.
The consultant shall secure the necessary right-of-way and/or
encroachment permits from all utility companies for the design and
construction of the project.
It is the City's intent to establish a three year moratorium. policy for
new utilities after the project is completed; therefore, coordination with
utility companies is of the utmost importance to the City.
F. If reconstruction strategy is proposed for any roadway, perform project
design survey under the direction of a land surveyor or an engineer
currently licensed to perform surveying in the State of California. The
survey shall be certified by the surveyor or engineer. The survey shall:
1. Locate sufficient topography and take cross sections every 50 feet
to adequately show the condition of the project site prior to
construction. Reduce the data to a form showing centerline
station; offset from centerline, and elevation.
2. Provide in the cross section notes the beginning, intermediate,
and final bench marks used, complete with reference, description,
datum name and year, and closing error. Use a minimum of two
(2) bench marks.
3. Sign, date, and submit all original survey notes to the City within
fifteen (15)working days after the completion of the survey.

4. The plans also shall provide for the restoration of existing survey
monuments after the project is completed.
G. The consultant shall prepare plans for improvements using 1-inch =
40 feet horizontal and 1-inch = 4 feet vertical scales.
Final plans shall be signed and stamped by a Civil Engineer currently
registered in the State of California.
The consultant shall review the City's standardized technical
specifications and shall submit recommended changes to be
incorporated into the final Contract Documents. All changes will be
made by City staff.
In preparing maps, drawings, and other exhibits, the consultant shall
use an acceptable CADD program compatible with AutoCAD (latest
release). Preliminary drawings may be plotted on reproducible bond
paper. Final drawings shall be plotted on 4 mil thick Mylar and
provided to the City as a deliverable product.
All final drawing and specification files shall be provided to the City on
a CD as a deliverable product. All final drawing files shall become the
property of the City and may be used subsequently by the City or its
assignee without additional compensation to the consultant.
The consultant shall prepare and submit a cost estimate in a tabular
form for each construction item showing quantity, unit, unit price and
total cost. All estimate back-up calculations by plan sheet shall also be
submitted.
H. Prepare signing and striping plans. The plans shall be at a 1-inch = 40
feet scale and shall be signed and stamped by a Civil Engineer
currently registered in the State of California.
Signing and striping shall be in accordance with the WATCH Manual.
The consultant shall insure that all signing and striping meet current
standards.
The plans shall show the location of curbs, driveways, existing and
proposed signing, and proposed pavement markings and striping. The
plans shall cover the construction limits plus 200 feet at each end of
the project and 100 feet on all cross streets. Loop detector
replacement details may be shown on the signing and striping plans
provided that necessary installation information is legible.

form for each signing and striping construction item showing quantity,
unit, unit price, and total cost. All estimate back-up calculations by
plan sheet shall also be submitted.
J. It is the City's intention to use the, Standard Specifications for Public
Works Construction (latest Edition), the Standard Plans for Public
Works Construction (latest Edition), in conjunction with City standard
specifications and plans. The consultant shall provide copies of
referenced standard plans from other sources. Specifications for this
project shall contain requirements for contractor's compliance with the
City' NPDES permit.
K. Revise and/or change plans and related materials as required as a
result of review of the signed plans by affected utilities or because of
errors or omissions in the plans and specifications. Such revisions
shall be'completed in a timely manner so as to avoid or minimize
construction delays and shall not result in any increase in
compensation from the City.
L. Provide consultation during construction. Upon request, the consultant
shall provide any appropriate technical services, including but not
limited to, consultation, plan interpretation, and plan revisions resulting
from changed conditions. Such revisions shall be completed in a timely
manner so as to avoid or minimize construction delays. In the event that
such services are required, they shall be considered extra work and
additional compensation shall be made based on the hourly rates
established in the proposal.
Revisions resulting from errors or omissions by the consultant shall be
provided at no cost to the City.
N. The City may apply for Federal/State funding. Accordingly, the plans
and specifications for this project shall meet Federal/State Standards.
V. CITY SUPPORT
A. Existing street and utility plans in the City's possession.
B. Traffic data within the City s possession.
C. Reproduction of final construction plans and specifications for
advertising.
D. Copies of City of San Juan Capistrano Engineering Standards.

VI. CONTENT OF THE PROJECT PROPOSAL
The consultant's response to the City's Request for Proposal should provide the
following information, using the same format and sequence:
A. Project Team
An organization chart indicating principals and key project team
members together with an indication of their involvement in the project.
Also provide resumes of the key personnel involved with this project,
including personnel from sub-consultants. For the project engineer and
project manager, include information for three (maximum) recent
projects on his/her record of completion compared to the original project
schedule. Consultant staff committed to this project will not be
substituted unless City approval is given.
B. Firm's Experience
List a maximum of five projects of similar scope which your firm has
designed for other public agencies in the greater Los Angeles area.
For each project, provide the following information: Location, owner;
construction cost, year the design was completed, year the
construction was completed, project manager and engineer names.
If any portion of the project is sub-contracted, provide similar
information for a maximum of three projects.
C. Project Design
Discuss the methods and procedures that will be used in the design of
the project. Provide a list of construction drawings that will be prepared
for the project. Also identify any potential concerns or problems in the
design of this project.
D. Project Scheduling
Provide a schedule identifying milestones for the major tasks in the
design of the project, beginning with the notice to proceed.
E. Resource Requirements
Provide a man hour and fee estimate by item identified in Section IV.
Also provide a total "Not to Exceed" design fee for the project.
It should be noted that the amount of retention shall be 10 percent-for

the contract and a reduction in the amount of retention percentage will
not.be allowed. Retention will be released upon the City's acceptance
and approval by the City Engineer of the final plans.
F. Fee Schedule
Provide the hourly rates of all personnel assigned to the project. The
fee proposal shall be submitted for the consultant services outlined in
the scope of work. The basis of payment for the services provided
under this agreement shall be a not-to-exceed fee. The City shall
reimburse the consultant for actual costs (including labor costs,
employee benefits, overhead and other direct costs) incurred by the
consultant in performance of the work. The fixed fee shall not be altered
unless there is significant alteration in the scope, complexity, or
character of the work to be performed. The proposal fee shall be
submitted in a separate, sealed envelope.
G. Agreement
Attached to this RFP is a copy of the City's typical engineering service
agreement. A statement MUST be made in the proposal that all terms
and conditions are acceptable. If any revisions are requested, they
must be described in full.
H. Insurance
Proof of insurance requirements addressed in Section XI of this
Request for Proposal shall be submitted with the Proposal.
VII. SUBMITTAL OF PROPOSAL
Three (3) copies of the proposal shall be presented in a sealed envelope
bearing the name, address and telephone number of the individual or entity
submitting the proposal and shall be addressed to the CITY OF SAN JUAN
CAPISTRANO, ENGINEERING AND BUILDING DEPARTMENT, 32400
PASEO ADELANTO, SAN JUAN CAPISTRANO, CALIFORNIA 92675,
Attention: Nasser Abbaszadeh, City Engineer. The envelope shall be clearly
marked with the notation "DO NOT OPEN - PROPOSAL." The proposal shall be
delivered to the addressee on or before 3:00 P.M. on September 27, 2007.
VIII. SELECTION PROCEDURE
Criteria for the evaluation of the proposals may include, but need not be
limited to, the following:

A. Completeness of proposal.
B. Firm and key project team members' experience in performing similar
work.
C. Firm and key project team members' record in accomplishing work
assignments for projects in the agreed work.
D. Consultant's demonstrated understanding of the scope of work.
E. Quality of work previously performed by the firm.
The City will evaluate all proposals. Weighted values will be
assigned to each criterion.
IX. ORAL INTERVIEWS
In addition to the written proposal, each firm may be asked to make an oral
presentation to the Selection Advisory Committee.
X. RIGHT TO REJECT ALL PROPOSALS
The City reserves the right to reject any or all proposals submitted; and no
representation is made hereby that any contract will be awarded pursuant to this
Request for Proposal, or otherwise. All costs incurred in the preparation of the
proposal, in the submission of additional information and/or in any other'aspect of
a proposal prior to the award of a written contract will be bome by the
respondent.
The City will provide only staff assistance and documentation specifically referred
to herein and will not be responsible for any other cost or obligation of any kind
which may be incurred by a respondent. All proposals submitted to the City in
response to this Request for Proposal shall become the property of the City.
XI. INSURANCE/INDEMNIFICATION
The consultant's attention is directed to the insurance requirements below. It is
highly recommended that. consultants confer with their respective insurance
carriers or brokers to , determine in advance of proposal submission the
availability of insurance certificates and endorsements as prescribed and
provided herein. If a contracted firm fails to comply strictly with the insurance
requirements, that consultant may be disqualified from award of the contract.
The consultant shall .procure and maintain for the duration of the contract
insurance against claims for injuries to persons or damages to property, w4Ich

may arise from or in connection with the consultant's performance. The-cost of
such insurance shall be borne by the consultant.
A. Minimum Scooe of Insurance
Coverage shall be at least as broad as:
1. Occurrence-based Broad Form Comprehensive General Liability.
2. Worker's Compensation insurance as required by
state law and employer's liability.
3. Hold harmless and additional insured endorsements.
B. Minimum Limits of Insurance
The consultant shall maintain limits no less than:
1. General Liability: $1,000,000 combined single limit per
occurrence for bodily injury, personal injury and property damage.
If Commercial General Liability Insurance with a general
aggregate limit is used, either the general aggregate limit shall
apply separately to this contract, or consultant shall receive
written permission by City for variation.
2. Workers' Compensation and Employers Liability: Workers'
Compensation limits as required by the Labor Code of the State
of California and Employers Liability.
3. Professional Errors and Omissions: $1,000,000
C. Deductibles and Self-Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved
by the City. At the option of the City, either; the insurer shall reduce or
eliminate such deductibles or self-insured retentions as respects the City, its
officers, officials, employees and volunteers; or the consultant shall procure a
bond guaranteeing payment of losses and related investigations, claim
administration, and defense expense.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
1. General Liability

a. The City, its officers, officials, employees and volunteers
are to be covered as insureds. The coverage shall contain
no special limitations on the scope of protection afforded to
the City, its officers, officials, employees or volunteers.
b. The consultant's insurance coverage shall be primary
insurance as respects the City, its officers, officials,
employees and volunteers. Any insurance or self-insurance
maintained by the City, its officers, officials, employees or
volunteers shall be in excess of the Consultant's insurance
and shall not contribute with it.
C. Any failure to comply with reporting provisions of the
policies shall not affect coverage provided to the City, its
officers, officials, employees or volunteers.
d. Coverage shall state that the City insurance shall apply
separately to each insured against whom claim is made or
suit is brought, except with respect to the limits of the
insurer's liability.

2. Workers' Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against
the City, its officers, officials, employees and volunteers for
losses.
3. All Coverages
Each insurance policy required by this clause shall be endorsed to
state that coverage shall not be suspended, voided, cancelled,
reduced in coverage or in limits except after thirty (30) days' prior
written notice by certified mail, return receipt requested, has been
given to the City.
E. Acceptability of Insurers
Insurance is to be placed with insurers with a Best's rating of not less than ANIL
F. Verification of Coverage
The consultant shall furnish the City with certificates of insurance and with
original endorsements effecting coverage required by this clause. The
certificates and endorsements for each insurance policy are to be signed by a
person authorized by that insurer to bind coverage on its behalf. The City
reserves the right to require complete, certified copies of all required policieS�at

any.time.
G. Hold Harmless and Indemnification
The Consultant shall save, keep, and hold harmless the City, its officers,
officials, employees and volunteers from all damages, costs or expenses in law
or equity that may at any time arise or be set up because of damages to
property or personal injury received by reason of or in the course of performing
work, which may be occasioned by any willful or negligent act or omissions of
the Consultant, any of the Consultant's employees, or any sub-consultant.
XII. ADDITIONAL INFORMATION
• If you have amy specific questions with regard to this project that are not
covered by this RFP, they should be set forth in writing and delivered to
the undersigned. All such questions received in this manner will be
expeditiously answered.
• After a consultant is selected, the City Engineer will initiate final contract
negotiation. If an agreement on the fee cannot be reached, the City
reserves the right to end negotiations and enter into negotiations with
another firm.

currently registered in the State of California.
Signing and striping shall be in accordance with the WATCH Manual.
The consultant shall insure that all signing and striping meet current
standards.
The plans shall show the location of curbs, driveways, existing and
proposed signing, and proposed pavement markings and striping. The
plans shall cover the construction limits plus 200 feet at each end of
the project and 100 feet on all cross streets. Loop detector
replacement details may be shown on the signing and striping plans
provided that necessary installation information is legible.
The consultant shall prepare and submit a cost estimate in a tabular

form for each signing and striping construction item showing quantity,
unit, unit price, and total cost. All estimate back-up calculations by
plan sheet shall also be submitted.
J. It is the City's intention to use the, Standard Specifications for Public
Works Construction (latest Edition), the Standard Plans for Public
Works Construction (latest Edition), in conjunction with City standard
specifications and plans. The consultant shall provide copies of
referenced standard plans from other sources. Specifications for this
project shall contain requirements for contractor's compliance with the
City' NPDES permit.
K. Revise and/or change plans and related materials as required as a
result of review of the signed plans by affected utilities or because of
errors or omissions in the plans and specifications. Such revisions
shall be'completed in a timely manner so as to avoid or minimize
construction delays and shall not result in any increase in
compensation from the City.
L. Provide consultation during construction. Upon request, the consultant
shall provide any appropriate technical services, including but not
limited to, consultation, plan interpretation, and plan revisions resulting
from changed conditions. Such revisions shall be completed in a timely
manner so as to avoid or minimize construction delays. In the event that
such services are required, they shall be considered extra work and
additional compensation shall be made based on the hourly rates
established in the proposal.
Revisions resulting from errors or omissions by the consultant shall be
provided at no cost to the City.
N. The City may apply for Federal/State funding. Accordingly, the plans
and specifications for this project shall meet Federal/State Standards.
V. CITY SUPPORT
A. Existing street and utility plans in the City's possession.
B. Traffic data within the City's possession.
C. Reproduction of final construction plans and specifications for
advertising.
D. Copies of City of San Juan Capistrano Engineering Standards.

VI. CONTENT OF THE PROJECT PROPOSAL
The consultant's response to the City's Request for Proposal should provide the
following information, using the same format and sequence:
A. Project Team
An organization chart indicating principals and key project team
members together with an indication of their involvement in the project.
Also provide resumes of the key personnel involved with this project,
including personnel from sub-consultants. For the project engineer and
project manager, include information for three (maximum) recent
projects on his/her record of completion compared to the original project
schedule. Consultant staff committed to this project will not be
substituted unless City approval is given.
B. Firm's Experience
List a maximum of five projects of similar scope which your firm has
designed for other public agencies in the greater Los Angeles area.
For each project, provide the following information: Location, owner;
construction cost, year the design was completed, year the
construction was completed, project manager and engineer names.
If any portion of the project is sub-contracted, provide similar
information for a maximum of three projects.
C. Project Design
Discuss the methods and procedures that will be used in the design of
the project. Provide a list of construction drawings that will be prepared
for the project. Also identify any potential concerns or problems in the
design of this project.
D. Project Scheduling
Provide a schedule identifying milestones for the major tasks in the
design of the project, beginning with the notice to proceed.
E. Resource Requirements
Provide a man hour and fee estimate by item identified in Section IV.
Also provide a total "Not to Exceed" design fee for the project.
It should be noted that the amount of retention shall be 10 percent for

the contract and a reduction in the amount of retention percentage will
not be allowed. Retention will be released upon the City s acceptance
and approval by the City Engineer of the final plans.
F. Fee Schedule
Provide the hourly rates of all personnel assigned to the project. The
fee proposal shall be submitted for the consultant services outlined in
the scope of work. The basis of payment for the services provided
under this agreement shall be a not-to-exceed fee. The City shall
reimburse the consultant for actual costs (including labor costs,
employee benefits, overhead and other direct costs) incurred by the
consultant in performance of the work. The fixed fee shall not be altered
unless there is significant alteration in the scope, complexity, or
character of the work to be performed. The proposal fee shall be
submitted in a separate, sealed envelope.
G. Agreement
Attached to this RFP is a copy of the Citys typical engineering service
agreement. A statement MUST be made in the proposal that all terms
and conditions are acceptable. If any revisions are requested, they
must be described in full.
H. Insurance
Proof of insurance requirements addressed in Section XI of this
Request for Proposal shall be submitted with the Proposal.
VII. SUBMITTAL OF PROPOSAL
Three (3) copies of the proposal shall be presented in a sealed envelope
bearing the name, address and telephone number of the individual or entity
submitting the proposal and shall be addressed to the CITY OF SAN JUAN
CAPISTRANO, ENGINEERING AND BUILDING DEPARTMENT, 32400
PASEO ADELANTO, SAN JUAN CAPISTRANO, CALIFORNIA 92675,
Attention: Nasser Abbaszadeh, City Engineer. The envelope shall be clearly
marked with the notation "DO NOT OPEN - PROPOSAL."The proposal shall be
delivered to the addressee on or before 3:00 P.M. on September 27, 2007.
VIII. SELECTION PROCEDURE
Criteria for the evaluation of the proposals may include, but need not be
limited to, the following:

A. Completeness of proposal.
B. Firm and key project team members' experience in performing similar
work.
C. Firm and key project team members' record in accomplishing work
assignments for projects in the agreed work.
D. Consultant's demonstrated understanding of the scope of work.
E. Quality of work previously performed by the firm.
The City will evaluate all proposals. Weighted values will be
assigned to each criterion.
IX. ORAL INTERVIEWS
In addition to the written proposal, each firm may be asked to make an oral
presentation to the Selection Advisory Committee.
X. RIGHT TO REJECT ALL PROPOSALS
The City reserves the right to reject any or all proposals submitted; and no
representation is made hereby that any contract will be awarded pursuant to this
Request for Proposal, or otherwise. All costs incurred in the preparation of the
proposal, in the submission of additional information and/or in any other aspect of
a proposal prior to the award of a written contract will be borne by the
respondent.
The City will provide only staff assistance and documentation specifically referred
to herein and will not be responsible for any other cost or obligation of any kind
which may be incurred by a respondent. All proposals submitted to the City in
response to this Request for Proposal shall become the property of the City.
XI. INSURANCE/INDEMNIFICATION
The consultant's attention is directed to the insurance requirements below. It is
highly recommended that consultants confer with their respective insurance
carriers or brokers to determine in advance of proposal submission the
availability of insurance certificates and endorsements as prescribed and
provided herein. If a contracted firm fails to comply strictly with the insurance
requirements, that consultant may be disqualified from award of the contract.
The consultant shall procure and maintain for the duration of the contract
insurance against claims for injuries to persons or damages to property, which

may arise from or in connection with the consultant's performance. The cost of
such insurance shall be borne by the consultant.
A. Minimum Scope of Insurance
Coverage shall be at least as broad as:
1. Occurrence-based Broad Form Comprehensive General Liability.
2. Worker's Compensation insurance as required by
state law and employer's liability.
3. Hold harmless and additional insured endorsements.
B. Minimum Limits of Insurance
The consultant shall maintain limits no less than:
1. General Liability: $1,000,000 combined single limit per
occurrence for bodily injury, personal injury and property damage.
If Commercial General Liability Insurance with a general
aggregate limit is used, either the general aggregate limit shall
apply separately to this contract, or. consultant shall receive
written permission by City for variation.
2. Workers' Compensation and Employers Liability: Workers'
Compensation limits as required by the Labor Code of the State
of California and Employers Liability.
3. Professional Errors and Omissions: $1,000,000
C. Deductibles and Self-Insured Retentions
Any deductibles or self-insured retentions must be declared to and approved
by the City. At the option of the City, either; the insurer shall reduce or
eliminate such deductibles or self-insured retentions as respects the City, its
officers, officials, employees and volunteers; or the consultant shall procure a
bond guaranteeing payment of losses and related investigations, claim
administration, and defense expense.
D. Other Insurance Provisions
The policies are to contain, or be endorsed to contain, the following provisions:
1. General Liability

a. The City, its officers, officials, employees and volunteers
are to be covered as insureds. The coverage shall contain
no special limitations on the scope of protection afforded to
the City, its officers, officials, employees or volunteers.
b. The consultant's insurance coverage shall be primary
insurance as respects the City, its officers, officials,
employees and volunteers. Any insurance or self-insurance
maintained by the City, its officers, officials, employees or
volunteers shall be in excess of the Consultant's insurance
and shall not contribute with it.
C. Any failure to comply with reporting provisions of the
policies shall not affect coverage provided to the City, its
officers, officials, employees or volunteers.
d. Coverage shall state that the City insurance shall apply
separately to each insured against whom claim is made or
suit is brought, except with respect to the limits of the
insurer's liability.
2. Workers' Compensation and Employers Liability Coverage
The insurer shall agree to waive all rights of subrogation against
the City, its officers, officials, employees and volunteers for
losses.
3. All Coverages
Each insurance policy required by this clause shall be endorsed to
state that coverage shall not be suspended, voided, cancelled,
reduced in coverage or in limits except after thirty (30) days' prior
written notice by certified mail, return receipt requested, has been
given to the City.
E. Acceptability of Insurers
Insurance is to be placed with insurers with a Best's rating of not less than ANIL
F. Verification of Coverage
The consultant shall furnish the City with certificates of insurance and with
original endorsements effecting coverage required by this clause. The
certificates and endorsements for each insurance policy are to be signed by a
person authorized by that insurer to bind coverage on its behalf. The City
reserves the right to require complete, certified copies of all required policies at

any time.
G.. Hold Harmless and Indemnification
The Consultant shall save, keep, and hold harmless the City, its officers,
officials, employees and volunteers from all damages, costs or expenses in law
or equity that may at any time arise or be set up because of damages to
property or personal injury received by reason of or in the course of performing
work, which may be occasioned by any willful or negligent act or omissions of
the Consultant, any of the Consultant's employees, or any sub-consultant.
XII. ADDITIONAL INFORMATION
• If you have any specific questions with regard to this project that are not
covered by this RFP, they should be set forth in writing and delivered to
the undersigned. All such questions received in this manner will be
expeditiously answered.
• After a consultant is selected, the City Engineer will initiate final contract
negotiation. If an agreement on the fee cannot be reached, the City
reserves the right to end negotiations and enter into negotiations with
another firm.

Consulting Services for Street Improvements Project
IN THE CITY OF SAN JUAN CAPISTRANO, CA
Task No. 1 - Field Inspection:
A. Conduct project site field inspections by Project Engineer, Designer, and Survey party
chief, to establish the required boundaries of the as-built survey, to ensure the proper
design and joint lines.
B. Investigate and analyze the existing pavement condition, and provide recommendations
or alternatives.
C. Meet with City staff to discuss all aspects of the project, including project time frame,
design alternatives, budget, cost estimated, and construction alternatives.
Task No. 2 - Proiect Research:
Conduct research through the City of San Juan Capistrano and obtain all necessary and
available data and existing street plans and traffic data for the project design; Centerline ties,
utility plans, nearest B.M. descriptions, and available sub-structures.
Task No. 3 -As-Built Field Survey:
Conduct a complete as-built survey of the proposed asphalt concrete overlay and/or pavement
reconstruction projects per Exhibit"a"attached.
Task No. 4 - Mapping Base Sheets:
Prepare as-built base sheets (computer drafting - AutoCAD 2007). Base sheets shall include
location of existing culture and all items in detail, gathered per Task No. "Y above, together
with datum elevations.
Task No. 5 - Design:
A. Develop preliminary plans and specifications in a reproducible form, along with
preliminary cost estimates, for the comments and approval of City staff.
B. Meet as necessary with City staff to discuss the possible benefits, costs, design and
placement of additional amenities or alternate improvements.
C. Contact all utility companies and mail them the proposed improvement plans with letter
of notification.

CONSULTANT'S PROPOSED WORK PLAN
Consultine Services for Street Improvements Project
IN THE CITY OF SAN JUAN CAPISTRANO, CA

Task No. 1- Field Inspection:
A. Conduct project site field inspections by Project Engineer, Designer, and Survey party
chief, to establish the required boundaries of the as-built survey, to ensure the proper
design and joint lines.
B. Investigate and analyze the existing pavement condition, and provide recommendations
or alternatives.
C. Meet with City staff to discuss all aspects of the project, including project time frame,
design alternatives,budget, cost estimated, and construction alternatives.
Task No. 2 - Pro iect Research:.
Conduct research through the City of San Juan Capistrano and obtain all necessary and
available data and existing street plans and traffic data for the project design; Centerline ties,
utility plans, nearest B.M.descriptions, and available sub-structures.
Task No. 3 -As-Built Field Survey:
Conduct a complete as-built survey of the proposed asphalt concrete overlay and/or pavement
reconstruction projects per Exhibit"a" attached.
Task No. 4 - Mappine Base Sheets:
Prepare as-built base sheets (computer drafting - AutoCAD 2007). Base sheets shall include
location of existing culture and all items in detail, gathered per Task No. "3" above, together
with datum elevations.
Task No. 5 - Design:
A. Develop preliminary plans and specifications in a reproducible form, along with
preliminary cast estimates, for the comments and approval of City staff.
B. Meet as necessary with City staff to discuss the possible benefits, costs, design and
placement of additional amenities or alternate improvements.
C. Contact all utility companies and mail them the proposed improvement plans with letter
of notification.

! Task No. 6:
A. Finalize project design plans and specifications incorporating all City staff comments and
applicable Federal, State and City regulations. Submit final PS&E drawings in a
reproducible form, including electronic files to the City Engineer. Prepare and send
preliminary and final utility plans.
B. California Environmental Protection Agency Integrated Waste Management Board
Assist the City in applying for grant program for the use of Rubberized Asphalt Concrete.
Task No. 7•
A. Assist City staff as required in the bid and post-bid evaluation process, including
answering bidder's questions, evaluation of the lowest three responsible bidders,
qualification and references,and the overall integrity of their bids.
B. Be available as required during the construction period, to answer questions from City
staff concerning the projects' designs, plans and specifications, both over the phone and
at the project site.

The City Council of San Juan Capistrano will meet at 7:00 p.m. on Tuesday, October
16, 2007 in the City Council Chamber in City Hall, to consider: "Consideration of
Approving an Agreement for Consultant Services for Street Improvements Project
(Boghossian & Associates)(CIP No. 119)" — Item No. D7.
If you have specific thoughts or concerns regarding this item, you are encouraged to
participate in this decision making process. You can communicate with the City Council

p.m. on Monday, October 15, 2007 to allow time for the Council to consider its content.
