02-1015_ORANGE COUNTY STRIPING SERVICES_Personal Services Agreement• 0 PERSONAL SERVICES AGREEMENT .b - THIS AGREEMENT is made and entered into this' day of2002, by and between the City of San Juan Capistrano (hereinafter referred to as the "City") and Orange County Striping Service, Inc. (hereinafter referred to as "Consultant"). RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to provide Pavement Marking Maintenance; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in the Specifications and Contract Documents for the Pavement Marking Maintenance dated August 2002 (Exhibit "A") attached and incorporated herein by reference. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Term. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than October 31, 2005. Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed those unit prices, as set forth in Orange County Striping Service, Inc. proposal dated September 24, 2002 (Exhibit "B"), attached and incorporated herein by reference. 1 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit "B," attached and incorporated herein by reference. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Consultant shall submit monthly invoices based on total services which have been satisfactorily completed and specifying a percentage of projected completion for approval by the City. The City will pay monthly progress payments based on approved invoices in accordance with this Section. For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. 2 Section 6. Changes to Scope of Work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to City at least one (1) copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the City shall be in reproducible format. All services to be rendered hereunder shall be subject to the direction and approval of the City. 3 Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. Consultant agrees to protect, defend and hold harmless City, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including attorneys' fees, for injury or death of any person or damage to property or interference with use of property and for errors and omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14. Insurance. Insurance required herein shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A - Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non -owned vehicles in the following minimum amounts: 4 0 0 $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.5 Not Applicable 14.6 Notice of Cancellation/Termination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. He shall satisfy himself as to the character, quality and quantities of the work to be performed, the materials to be furnished and the requirements of the Contract Documents. The specifications for the work cover conditions as they are believed to exist, but it is not to be inferred that all the conditions noted actually exist, nor shall the City or any of its officers or agents be liable for any loss sustained by the Contractor as a result of any variance between conditions indicated in the Specifications and actual conditions revealed during examination or progress of the work. The submission of a proposal shall be prima facie evidence that the contractor has made such an examination. Interpretation of Specifications and Contract Documents If any contractor should find discrepancies in, or omissions from the specifications or other proposed contract documents, or if he should be in doubt as to the true meaning of any part thereof, he shall at once make a written request to the Director of Public Works for correction, clarification or interpretation of the point or points in question. The person submitting such a request shall be responsible for its prompt delivery. (o) All employees of Contractor shall wear an orange safety vest whenever working in City streets, or within 10 feet of City streets. (p) Contractor must be able to provide a list of employee's names, dates worked, and hours worked on each date if requested by the City. PERSONNEL The contractor shall use and furnish all labor necessary for the satisfactory performance for the work set forth in this contract. (a) Contractor's Laborers The Contractor agrees to require his laborers to present a neat appearance at all times while engaged in the performance of their duties and maintain good bearing and deportment toward the public. Should for any reason an employee be unsatisfactory in the opinion of the City, the Contractor, when notified in writing, shall cause that employee to be removed from the job and replaced by a satisfactory laborer. (b) Laborer Attire The Contractor shall require each of his employees to adhere to basic standards of working attire. These are basically uniforms, with the Contractor's company name or insignia clearly visible, proper shoes and other gear required by State Safety Regulations, and proper wearing of clothing. Shirts shall be worn at all times, buttoned and tucked in. (c ) Typical Tasks Contractor shall supply laborers with the skills to perform various semi -skilled duties in connection with pavement marking removal and installation; operating a variety of hand and power tools; painting and maintaining of public facilities, and operating light equipment. (d) Experience Supervisors/foremen shall have a minimum of three years experience in the pavement marking field. 13 0 (e) Licenses • Laborers will be required to possess a valid and current California Drivers License. (f) Knowledge and Abilities The Contractors representatives shall have a general knowledge of the pavement marking industry including suitable experience in the field to perform the required work in a safe and thoughtful manner. (g) Additional Labor Additional laborers will be supplied by the Contractor if so requested by the Director of Public Works. Any additional laborers will be paid at a rate equal to the prevailing wage rate and mark up as shown on the form titled "Contractor's Hourly Rate". EQUIPMENT The contractor shall use and furnish all equipment necessary for the satisfactory performance of the work set forth in this contract. (a) Vehicles Contractor shall display the name of his firm on any vehicles used by the Contractor's employees to carry supplies and equipment. The firm name shall be in letters large enough to be easily legible from a distance of fifty (50) feet. (b) Maintenance All equipment used by the Contractor shall be kept in a neat and clean appearance, maintained in top mechanical condition and properly adjusted, from an operational standpoint and from a safety standpoint. MATERIALS The contractor shall furnish all material, including but not limited to equipment etc. necessary for the performance of the work set forth in this contract. The Contractor shall provide such adequate supervision as to furnish continuous surveillance of workmanship and adherence to schedules by the laborers performing the work under contract. The field supervisor or his representative shall check with the Department of Public Works weekly as to (1) schedule of work; (2) complaints; and (3) adequacy of performance. The Contractor shall submit such reports as the City may require to insure compliance with scheduled work. The Supervisor shall be in the City at least 20% of the time while work is in progress. The Contractor shall be penalized One Hundred Dollars ($100) per week for failing 14 0 0 to be in the City at least 5 hours per week. TELEPHONE SERVICE AND EMERGENCY NUMBERS The Contractor shall provide the City at all times throughout the duration of this contract emergency telephone numbers of at least two (2) qualified persons who can be called for emergency conditions at anytime that Contractor's representatives are not immediately available at the job site. An alternate emergency number shall be provided in case no answer is received at the first number. The emergency number shall be used to contact the representative of the Contractor who can take the necessary action required to alleviate an emergency condition which threatens to cause damage to any City property. In addition, the Contractor shall employ person(s) to answer telephone complaints, requests for service, etc. (an answering service will not be considered sufficient for this purpose) during normal City working hours. Normal City working hours are 8.00 A.M. to 5:00 P.M., Monday to Friday. Contractor is required to maintain an office within a 60 -mile radius of the City. Contractor is further required to provide City with a 24-hour emergency number for contact outside normal working hours. The response to an emergency call -out by the Contractor shall not be more than three (3) hours and shall by considered part of the normal contract except when delayed by problems caused by vehicle accidents or Acts of God. EMERGENCY MEDICAL FACILITY (a) The proposer is required to designate a twenty-four (24) hour emergency medical facility to provide emergency medical treatment/care in the event of injury to any of the contractor's employees. It will be the responsibility of the contractor's crew supervisor/leadworker to transport or make arrangements for the transportation of any injured employee to and from the designated emergency medical facility or any similar medical facility. NPDES REQUIREMENTS The San Diego Regional Water Quality Control Board has issued a permit which governs storm water and non -storm water discharges resulting from municipal activities performed within Orange County. The RWQCP Permit is National Pollution Discharge System (NPDES) Permit No. CAS108740. A copy of the RWQCB Permit is available for review from the City of San Juan Capistrano. The County of Orange has developed a Drainage Area Management Plan(DAMP) to be compliant with Permit requirements. Evaluation of the activities subject to DAMP requirements performed under this contract will be conducted by the City to verify compliance with DAMP requirements, and will be required through contractor self-evaluation as determined by the City. 15 • 0 SPECIAL PROVISIONS PAVEMENT MARKING MAINTENANCE A. QUALIFICATIONS The contractor shall have available and readily accessible all required tools, equipment, apparatus, facilities, skilled labor services and materials to perforin all work necessary to maintain/install/remove the traffic pavement facilities in a good workmanlike manner. B. SCOPE OF WORK Work to be Done - Work to be done consists of furnishing all labor, supervision, methods of processes, implements, tools, machinery, safety equipment, traffic control, materials and proper licensing required to identify, list and perform pavement marking designated by the City representative, and to leave the grounds in a neat condition. If the City representative determines that the contractor has not satisfactorily marked any facilities, he shall cause the payment for marking of such to be withheld until such time that the facilities are properly marked. The contractor shall furnish and maintain lists designating exact locations and areas of maintenance. He shall submit to the City reports of completion of work identifying each location by Street Address, together with the costs for each location according to the unit cost schedules of this agreement. Such reports shall be signed and sworn to by the contractor. All work for which a progress payment is made shall be reported on and certified according to the foregoing procedure, and in addition thereto, the City representative shall certify that the work has been inspected and was completed to the satisfaction of the City prior to payment by the City. 2. Authorization of Work - Work will not be performed without prior approval and only as authorized by the City representative. 3. Method of Work — The pavement marking program shall involve all work necessary to maintain and replace roadway markings on the traveled way. Work can include layout, removal of old stripe, painting of new or existing stripe, installation or removal of raised pavement markers and the use of thermoplastic, tape or raised bars for pavement markings. The Contractor shall follow the guidelines as set out in Chapter 16 of the State of California Department of Transportation Highway Division (Carrrans) Maintenance Manual in regards to the requirements and specifications for pavement delineation. 4. Materials — Paint, Thermoplastic, reflectorized pavement markings, stencils, signs and other materials shall met the requirements set out in Chapter 16 of the California Department of Transportation Division of Highways (CalTrans) Maintenance Manual and Section 214 of the Standard Specification for Public Works Construction, latest editions. 16 0 0 5. Progress of Work — Pavement Striping shall proceed in a logical and orderly manner. Wherever possible, one street section shall be completely finished prior to workmen proceeding to the next street. Any exceptions shall be approved by the City representative. 6. Alterations - The City reserves the right to increase or decrease the quantity of any item or portion of the work or to omit portions of the work as may be deemed necessary or advisable by the City. The City representative may make such alterations or deviations, additions to, or omissions from these specifications, as may be determined during the progress of the work to be necessary and advisable for the proper completion thereof. Such alterations or deviations, additions or omissions shall in no way affect or make void the contract. Upon written order of the City representative, contractor shall proceed with the work as increased, decreased or altered. Acceptance of Work Done - The City representative will make inspections and determine that the work has been completed in all respects in accordance with these specifications. 8. Billino Form - Contractor shall use the approved billing form and progress payment form given to him by the City. C. RECORDS AND REPORTS The Contractor shall maintain a record of all work performed, including but not limited to location and types and amounts maintained/installed/removed. This record shall list the date(s) of the service and/or work performed. A copy of such record shall be provided to the City upon completion of each Work Order. The Contractor shall return appropriate and completed Work Orders showing the date and inventory of work performed and it shall be attached to each invoice. D. NOTIFICATION The Contractor shall notify the Director of Public Lands and Facilities, or his authorized representative, of any alterations and/or substitutions of any pavement marking at least four (4) days in advance of use. E. TRAFFIC CONTROL The contractor shall maintain a safe environment for the public while performing all work. Appropriate State/City traffic control standards and/or policies shall be adhered to for all work, in all instances. Personnel, vehicles, equipment, etc. shall be properly outfitted/equipped for the work being performed. Any restrictions due to the work to be done, that causes travel ways to be less than State/City minimum requirement, shall have appropriate traffic control(in accordance with State specifications, policies and procedures installed prior to the beginning of work and remaining until all work is complete. All traffic control shall, at a minimum, adhere to requirements of the Work Area Traffic Control Handbook (W.A.T.C.H. Manual). 17 F. SIGNSIPOSTS The City may, at times, need to have the contractor install/remove/modify signage in conjunction with the appropriate pavement markings. A Work Order specifying sign type and material (constructed of) and post requirements will be detailed in a Work Order provided by the City. Any and all such costs associated with the work shall be in accordance with any or all parts of this agreement and/or prevailing rates/costs. G. EQUIPMENT 14 1. The contractor shall be responsible for and provide all vehicles, tools, equipment, machinery, etc. necessary to complete all work requested by the City in a timely and professional manner and in accordance with all Federal/State/City standards as may apply. The contractor shall provide adequate and suitable equipment to meet contract requirements and, when ordered by the City representative, shall remove unsuitable equipment from the work. All equipment must have suitable transport and be equipped with an approved spark arrestor, fire extinguisher, and wheel chocks where applicable. All equipment shall be available for inspection within ten (10) days after bidders have been contacted. Unsatisfactory equipment will be rejected. All equipment shall be maintained in a reasonable mechanical condition and replacement equipment shall be approved by City representative. If such equipment is not replaced, contractor is subject to having his contract annulled and shall be responsible for any difference in fees over and beyond for replacement of his contract. In the event bidder wishes to substitute other equipment for any item specified, such substitution shall be justified to the satisfaction of the City representative prior to award of the agreement. The San Diego Regional Water Quality Control Board has issued a permit which governs storm water and non -storm water discharges resulting from municipal activities performed within Orange County. The RWQCP Permit is National Pollution Discharge System (NPDES) Permit No. CAS108740. A copy of the RWQCB Permit is available for review from the City of San Juan Capistrano. The County of Orange has developed a Drainage Area Management Plan(DAMP) to be compliant with Permit requirements. RECITALS: WHEREAS, City desires to retain the services of Consultant regarding the City's proposal to ; and . WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, City and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in Exhibit 'A" attached and incorporated herein by reference. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Term. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed ($ 1, as set forth in Exhibit "B," attached and incorporated herein by reference. 3.2 Rate Schedule. The services shall be billed to the City at the hourly rate set forth in Exhibit "C," attached and incorporated herein by reference. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the City representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment Consultant shall submit monthly invoices based on total services which have been satisfactorily completed and specifying a percentage of projected completion for approval by the City. The City will pay monthly progress payments based on approved invoices in accordance with this Section. 19 For extra work not part of this Agreement, a written authorization from City is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to City. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of City, and shall obtain no rights to any benefits which accrue to City's employees. Section 5. Limitations Upon Subcontracting and Assignment The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for City to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the City. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the City. If Consultant is permitted to subcontract any part of this Agreement by City, Consultant shall be responsible to City for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and City. All persons engaged in the work will be considered employees of Consultant. City will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. In the event of a change in the Scope of Work provided for in the contract documents as requested by the City, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by City, it shall immediately inform City of this and shall not proceed with further work under this Agreement until written instructions are received from the City. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of 20 federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to City at least one (1) copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. Ali reports submitted to the City shall be in reproducible format. City. All services to be rendered hereunder shall be subject to the direction and approval of the Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the City. All such reports, information, data, and exhibits shall be the property of the City and shall be delivered to the City upon demand without additional costs or expense to the City. The City acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemn. Consultant agrees to protect, defend and hold harmless City, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including attorneys' fees, for injury or death of any person or damage to property or interference with use of property and for errors and omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14, Insurance. Insurance required herein shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; 21 r� L.l $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non -owned vehicles in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self -retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the City Clerk's office for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of CancellationrTernination of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days' written notice is given to City, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. been satisfied. City and Consultant shall have the right to terminate this Agreement without cause by giving thirty (30) days' advance written notice of termination to the other party In addition, this Agreement may be terminated for cause by providing ten (10) days' notice to the other party of a material breach of contract. If the other party does not cure the breach of contract, then the agreement may be terminated subsequent to the ten (10) day cure period. Section 16. Notice. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. Attorneys' Fees. If any action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which he may be entitled. Section 18. Dispute Resolution. In the event of a dispute arising between the parties regarding performance or interpretation of this Agreement, the dispute shall be resolved by binding arbitration under the auspices of the Judicial Arbitration and Mediation Service ("JAMS'). Section 19. Entire Aareement. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. 23 IN WITNESS WHEREOF, the parties hereto have executed this Agreement.
