PERSONAL SERVICES AGREEMENT THIS AGREEMENT is made and entered into this ZZ day of is t 200Q, by and between the Capistrano Valley Water District(hereinafter referred to as the "District") and Malcolm Pirnie, Inc. (hereinafter referred to as "Consultant"). RECITALS: WHEREAS, District desires to retain the services of Consultant regarding the District's proposal to provide procurement management services; and WHEREAS, Consultant is qualified by virtue of experience, training, education and expertise to accomplish such services. NOW, THEREFORE, District and Consultant mutually agree as follows: Section 1. Scope of Work. The scope of work to be performed by Consultant shall consist of those tasks as set forth in the District's request for qualifications dated June 28, 2000. Consultant warrants that all of its services shall be performed in a competent, professional and satisfactory manner and in accordance with the prevalent standards of its profession. Section 2. Term. This Agreement shall commence on the effective date of this Agreement and services required hereunder shall be completed by no later than one (1) year. Section 3. Compensation. 3.1 Amount. Total compensation for the scope of services for this Project shall not exceed three hundred thousand dollars ($300,000), as set forth in the Consultant's proposal dated July 12, 2000. 3.2 Rate Schedule. -1- The services shall be billed to the District at the hourly rate set forth in Consultant's proposal dated July 12, 2000. Included within the compensation are all the Consultant's ordinary office and overhead expenses incurred by it, its agents and employees, including meetings with the District representatives and incidental costs to perform the stipulated services. Submittals shall be in accordance with Consultant's proposal. 3.3 Method of Payment. Consultant shall submit monthly invoices based on total services which have been satisfactorily completed and specifying a percentage of projected completion for approval by the District. The District will pay monthly progress payments based on approved invoices in accordance with this Section. For extra work not part of this Agreement, a written authorization from District is required prior to Consultant undertaking any extra work. 3.4 Records of Expenses. Consultant shall keep complete and accurate records of all costs and expenses incidental to services covered by this Agreement. These records will be made available at reasonable times to District. Section 4. Independent Contractor. It is agreed that Consultant shall act and be an independent contractor and not an agent or employee of District, and shall obtain no rights to any benefits which accrue to District's employees. Section 5. Limitations Upon Subcontracting and Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for District to enter into this Agreement. Consultant shall not contract with any other entity to perform the services required without written approval of the District. This Agreement may not be assigned, voluntarily or by operation of law, without the prior written approval of the District. If Consultant is permitted to subcontract any part of this Agreement by District, Consultant shall be responsible to District for the acts and omissions of its subcontractor as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationships between any subcontractor and District. All persons engaged in the work will be considered employees of Consultant. District will deal directly with and will make all payments to Consultant. Section 6. Changes to Scope of Work. -2- In the event of a change in the Scope of Work provided for in the contract documents as requested by the District, the Parties hereto shall execute an addendum to this Agreement setting forth with particularity all terms of the new agreement, including but not limited to any additional Consultant's fees. Section 7. Familiarity with Work and Construction Site. By executing this Agreement, Consultant warrants that: (1) it has investigated the work to be performed; (2) it has investigated the proposed construction site, including the location of all utilities, and is aware of all conditions there; and (3) it understands the facilities, difficulties and restrictions of the work under this Agreement. Should Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by District, it shall immediately inform District of this and shall not proceed with further work under this Agreement until written instructions are received from the District. Section 8. Time of Essence. Time is of the essence in the performance of this Agreement. Section 9. Compliance with Law. Consultant shall comply with all applicable laws, ordinances, codes and regulations of federal, state and local government. Section 10. Conflicts of Interest. Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of the services contemplated by this Agreement. No person having such interest shall be employed by or associated with Consultant. Section 11. Copies of Work Product. At the completion of the contract period, Consultant shall have delivered to District at least one (1)copy of any final reports and architectural drawings containing Consultant's findings, conclusions, and recommendations with any support documentation. All reports submitted to the District shall be in reproducible format. All services to be rendered hereunder shall be subject to the direction and approval of the District. -3- • 0 Section 12. Ownership of Documents. All reports, information, data and exhibits prepared or assembled by Consultant in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and Consultant agrees that they shall not be made available to any individual or organization without prior written consent of the District. All such reports, information, data, and exhibits shall be the property of the District and shall be delivered to the District upon demand without additional costs or expense to the District. The District acknowledges such documents are instruments of Consultant's professional services. Section 13. Indemnity. Consultant agrees to protect, defend and hold harmless District, its elected and appointed officials and employees from any and all claims, liabilities, expenses or damages of any nature, including attorneys' fees, for injury or death of any person or damage to property or interference with use of property and for errors and omissions committed by Consultant arising out of or in connection with the work, operation or activities of Consultant, its agents, employees and subcontractors in carrying out its obligations under this Agreement. Section 14. Insurance. Insurance required herein shall be provided by Admitted Insurers in good standing with the State of California and having a minimum Best's Guide Rating of A- Class VII or better. 14.1 Comprehensive General Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive General Liability coverage in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. 14.2 Comprehensive Automobile Liability. Throughout the term of this Agreement, Consultant shall maintain in full force and effect Comprehensive Automobile Liability coverage, including owned, hired and non- -4- owned vehicles in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period 14.3 Worker's Compensation. If Consultant intends to employ employees to perform services under this Agreement, Consultant shall obtain and maintain, during the term of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. 14.4 Proof of Insurance Requirements/Endorsement. Prior to beginning any work under this Agreement, Consultant shall submit the insurance certificates, including the deductible or self-retention amount, and an additional insured endorsement to the Consultant's general liability and umbrella liability policies using ISO form CG 20 10 11 85 (in no event with an edition date later than 1990) to the District's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.5 Errors and Omissions Coverage Throughout the term of this Agreement, Consultant shall maintain Errors and Omissions Coverage (professional liability coverage) in an amount of not less than One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement, Consultant shall submit an insurance certificate to the District's General Counsel for certification that the insurance requirements of this Agreement have been satisfied. 14.6 Notice of Cancel lation/Term!nation of Insurance. The above policy/policies shall not terminate, nor shall they be cancelled, nor the coverages reduced, until after thirty (30) days'written notice is given to District, except that ten (10) days' notice shall be given if there is a cancellation due to failure to pay a premium. 14.7 Terms of Compensation. Consultant shall not receive any compensation until all insurance provisions have been satisfied. -5- Section 19. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties and supersedes all previous negotiations between them pertaining to the subject matter thereof. Project Number: 4091-001 An Agreement was executed on August 22,2000 between Capistrano Valley Water District [Client], having its principal place of business at 32400 Paseo Adelanto, San Juan Capistrano, California 92675, and Malcolm Pirnie, Inc. [Malcolm Pirnie],having its principal place of business at 104 Corporate Park Drive,White Plains,New York 10602, and having an office at 180 Grand Avenue, Suite 1000, Oakland,California 94612. Under the Agreement,Malcolm Pirie provides certain professional engineering services related to Management of the Phase I Desalter Design-Build-Operate-Finance Procurement [Assignment] at the City of San Juan Capistrano [Site], California [State]. Client and Malcolm Pirie now desire to amend the Agreement to include the amended Services as described below. In consideration of the mutual promises in the Agreement, Client and Malcolm Pirnie agree to amend the Agreement as the following: 1. Scope of Amended Services. 1.1 Conduct initial site investigation research and analysis and prepare site layout for locating the desalination facility. Analyze relative benefits and drawbacks of multiple sites and provide summary to Client. • 1.2 Conduct a Phase I environmental assessment of the project site identified under 1.1 of this Amendment. 1.3 Secure and manage subcontractor services to conduct a geotechnical investigation of the project site identified under Section 1.1 of this Amendment. 1.4 Secure and purchase advertising in the Los Angeles Times for the Pre-Request for Proposals process. 2. Compensation for Amended Services. 2.1 The total compensation for the Amended Services is$58,713.98. In the broadest sense, the scope of work will include onsite assessment of operations, review of the environmental compliance history and current status as related to the City's "Dancehall Site", located at 32400 Pasco Adelanto in San Juan Capistrano, California. Malcolm Pirnie will discuss environmental issues with site tenants or owner. This scope of work is consistent with the Standard Practice for Environmental Site Assessments, as defined by Phase I Environmental Site Assessment Process, American Society for Testing and Materials(ASTM) Standard Practice E1527 except that title searches will not be requested. SCOPE OF WORK TASK 1.0 REVIEW SITE DOCUMENTS • Review environmental reports and documents pertaining to the subject property. These documents may include the following: Facility and/ or building photographs Chemical usage records Facility design drawings Hazardous waste manifest AB 2185 Business Plan SB 14 Waste Minimization Plan Transfer, Storage, and Disposal Facility(TSDF) closure reports Underground storage tank closure reports Reports of previous investigations and Hazardous Material Spill Reports TASK2.0 REVIEWAGENCYPUBLICRECORDS Contact local, county, and state agencies to obtain records for given address(es)to identify past tenants and types of activities conducted on the subject property. The records requested will include permits, notices of violations,hazardous material spill reports, etc. TASK 3.0 REVIEW AERIAL PHOTOGRAPHS Review available aerial photographs for evidence of past land usage. Aerial photographs provide surficial view of land uses and a chronological view of land development. This review may reveal signs of industrial usage, staining, extensive land disturbances,presence of above ground tanks or pump islands, landfills, sumps, material storage areas, or settling ponds on or in the • vicinity of the subject property. Provide description each aerial photograph in the report. 1 • TASK 4.0 REVIEW ENVIRONMENTAL AGENCYDATABASES Conduct an electronic database search of published government agency databases to identify properties within a one mile radius of the subject property, where a known or suspected release of hazardous materials has been reported. Evaluate the potential impact to the subject property from the agency listed sites. At a minimum, the database to be searched shall include the following: AGENCY DATABASE DESCRIPTION U.S. EPA NPL National Priority List, a ranking of federal superfund sites targeted for abatement. U.S. EPA CERCLIS Listing of known or potential hazardous material release sites. U.S. EPA LIENS Filed notices of liens due to environmental liability under the CERCLA program. CA Governor CORTESE Potential and confirmed hazardous waste sites appearing on Planning/Research Office Hazardous Waste & Substances Site List. • Cal EPA BORDER Hazardous Waste Property/Border Zone ZONE PROPERTY Property Act Sites. Cal EPA CAL-SITES Listing of all verified hazardous waste sites AWP appearing on the Annual Work Plan (AWP) targeted for abatement by Cal EPA under the Bond Expenditure Plan (BEP). Cal EPA CAL-SITES Listing of known or potential hazardous waste sites in the ASPIS the Abandoned Site Program Information System. California SWIS Solid Waste Information System - list of active Integrated Waste and inactive solid waste disposal facilities and Management Bd. transfer stations. Cal EPA HWIS Hazardous Waste Information System - list of hazardous waste generators, and treatment, storage, and disposal facilities in California. Local COUNTY County Environmental Health Dept. - data lists DATABASE active and inactive landfills and site mitigation logs. • CRWQCB LUST Leaking Underground Storage Tank List. 2 TASK 5.0 INSPECT AND DESCRIBE FACILITYAND BUILDINGS Perform a physical walk-through inspection of the entire property including all buildings, building perimeters, and property perimeter. Provide a detailed physical description of the property, including dimensions and boundaries. Develop a site map showing a physical layout of the property. Conduct a visual inspection for evidence of contamination, evidence of pervious or ongoing releases of hazardous materials, and proximity to sensitive receptors. Provide a description of the current and former facility operations which may include process units such as machines, laboratories, vapor degreasers, paint booths, ovens, process tanks, compressor rooms, underground and above ground storage tanks, trenches, saw cuts in floors, hazardous material and waste storage areas, sumps, pits, clarifiers, and floor drains. Identify possible sources of polychlorinated biphenyls (PCBs). Observe and describe the condition of adjacent properties from the outside, for any obvious signs of potential environmental degradation to the subject property. Adjacent properties of particular concern include gasoline stations, manufacturing facilities, or repair shops. TASK 6.0 IDENTIFYPOTENTIAL AREAS OF CONCERN Identify potential areas of concern which may require further investigation,based on the findings of this investigation. • TASK 7.0 PREPARE REPORT Results of the Phase I ESAs will be presented in a written report to Capistrano Valley Water District. If appropriate,the report may include recommendations regarding any additional tasks that may be warranted to further clarify any environmental issues/concerns at the site. ASSUMPTIONS AND LIMITATIONS The scope of work will not include identification or testing for radon, lead-based paint, naturally- occurring radioactive materials (NORM), asbestos-containing materials, or lead in drinking water. Additionally,the Phase I ESA will not include research of historical property ownership (title search). An attempt will be made to interview the appropriate regulatory personnel at the State of California, county, and city offices to obtain the regulatory agency's perspective regarding the properties. ESTIMATED COST AND SCHEDULE The Phase I ESAs will be completed for the lump sum of$7,800. The work will be conducted in accordance with standard Malcolm Pirnie, Inc. business procedures. Regarding the project schedule, Malcolm Pimie can initiate work on the ESA within two days of receiving written authorization. One draft copy of the Phase I ESA report will be completed • and forwarded to Capistrano Valley Water District within three weeks from the notice to proceed. After receiving comments on the draft and finalizing the reports, three-five copies of the report will be delivered to Capistrano Valley Water District. 3 ATTACHMENT 2 1 • GEOTECHNICAL CONSULTANTS, INC. G T(S Monterey • Oakland • San Francisco • Santa Ana • Ventura California Malcolm Pirnie September 7, 2000 23791 Via Fromista Mission Viejo, CA 92691 PS3769 Attn: Ron Young, Project Manager Subject: Capistrano Valley Water District (CVWD) Proposed Scope of Geotechnical Engineering Services Groundwater Desalter Facility Design-Build-Operate-Finance Project • Dear Mr. Young, At your request, we present the following proposed scope of work to provide a geotechnical investigation for a proposed groundwater desalter facility. We understand that the desalter may occupy a building of approximately 10,000 square feet, and the facility may include tanks, miscellaneous facilities, and a pump station. Presently, there are no layout plans for the proposed structures. Accordingly, the geotechnical findings from the exploration proposed herein will evaluate feasibility and provide preliminary design recommendations. SCOPE OF WORK Project Start-up. We will review available plans and geotechnical and geologic data for the site. We will visit the project site and carry out field reconnaissance and mark boring locations. Concurrently, we will apply for necessary permits and clearances and initiate utilities clearance for the exploratory drill hole locations. We will rely on CVWD staff, available plans and Underground Services Alert to identify underground utilities. We anticipate that right of entry will be provided by CVWD. Prior to reconnaissance or field activity, we will coordinate with CVWD to verify right of entry has been obtained. • Subsurface Exploration. We will explore the subsurface conditions using four hollow stem auger borings to maximum depths of 60 feet. An 1533 E. 4th Street • Santa Ana, CA 92701 • (714) 547-5413 r • • 1 • CVWD Groundwater Desalter Facility September 7, 2000 Page 2 engineering geologist or civil engineer will log the drill holes and collect samples at a minimum 5-foot interval to measure the engineering properties of the earth materials. Relatively undisturbed samples will be recovered using a 2.5-inch diameter split barrel sampler with 6-inch long brass liners. Disturbed samples will be collected while performing Standard Penetration Tests (SPTs). The soil samples will be used for laboratory tests to determine moisture content, density, grain size distribution, consolidation characteristics, and strength properties. Where appropriate, torvane and penetrometer tests will be performed in the field on undisturbed cohesive samples. The borings will be backfilled with cement grout and drill cuttings. Groundwater. Depth to groundwater will be measured in each boring. Piezometers will not be constructed. Soil Lab Testing. Laboratory testing will be performed on select samples to determine their engineering characteristics. Laboratory tests may include corrosion tests, moisture and density determinations, grain size distribution • data, consolidation, direct shear, and unconfined compression tests. Analyses. The data compiled during the exploration and laboratory testing programs will be analyzed to evaluate foundation conditions including bearing capacity, settlement, liquefaction potential, lateral earth pressures, and corrosion. Based on our analyses, we will develop general recommendations for: (1) foundation types, bearing capacity and settlements; (2) lateral loading including earth pressures on walls and retaining structures; (3) site seismicity and seismic design parameters including assessment of liquefaction potential; (4) earthwork recommendations including recommendations for excavations, structural fill, grading, and compaction requirements; and, (5) corrosivity of on-site soils. Report. Our findings, conclusions, and recommendations will be presented in the form of a geotechnical feasibility report (draft and final). Our boring logs and laboratory tests results will be attached to that report. Cost and Schedule. Our cost estimate, presented on the attached spreadsheet, is valid for 60 days. We can begin the utilities clearance/permitting process upon receiving a signed contract and written notice-to-proceed. We will require a written right of entry to access the property. We anticipate that fieldwork can be completed within one week after permits and utilities clearances are . obtained. We can provide a draft report three weeks after completion of fieldwork, with a final report available two weeks after receiving comments on the draft report. • CVWD Groundwater Desalter Facility September 7, 2000 Page 3 During drilling, we will monitor the soil cuttings for contaminants such as volatile organics using a photovac tip. If we detect any such volatile organics, our on-site field geologist will decide whether to continue drilling, or to drill at a new location, depending upon the extent of contamination. Should we encounter any contaminants, we will immediately inform Malcolm Pirnie. At this time, we are unable to estimate the increase in our costs due to any contaminants that we may encounter. For project budgeting purposes, our anticipated cost increase may be taken as $10,000. We can also provide construction-related geotechnical services such as review of plans and specifications, consultation during construction, and construction observation as necessary, on a time and materials basis. As construction related services are dependent upon the contractor's schedule and methods of execution, we are unable to provide a better estimate for our services during construction. • The scope of work identified in this proposal does not include testing or characterization of subsurface materials to evaluate the presence and extent of any hazardous materials. Unless otherwise directed, upon completion of drilling, the drill holes will be grouted with cement and the drill cuttings will be stored in steel drums and left at an appropriate location on site to be specified by the owner. After review of the Tirador site, it was evident that the Tirador site has some major environmental constraints, making it problematic for the Phase I Desalter Project. In order to select an alternative site, Malcolm Pirnie conducted analyses on an number of alternative sites to determine the most suitable location for the Project. In addition, Malcolm Pirnie will be conducting a Phase I environmental assessment and is retaining a geotechnical subconsultant to investigate the selected site. Summary and Recommendation Capistrano Valley Water District (CVWD) as the sole member of the San Juan Basin Authority Project Committee No. 4 (San Juan Desalter Project) must met the terms and conditions of the Agreement between the Metropolitan Water District of Southern California (MWD), Municipal Water District of Orange County, and the San Juan Basin Authority (SJBA) to qualify for program subsidies which make the project feasible. Phase I of the San Juan Desalter Project includes the design, construction, operation and financing of a desalination facility to provide approximately 4,800 acre-feet of potable water annually. A request for qualifications to provide procurement management services was sent to five firms. In order to comply with tight schedule constraints, CVWD has elected to utilize the design-build-operate and possibly finance (DBOF) alternative. DBOF will provide CVWD with numerous benefits, primarily 1) significant scheduling efficiencies over traditional design-bid-build approaches, and 2) overall project cost savings via the efficiencies promoted by a single- source DBOF project team. CVWD wishes to engage a qualified firm to develop and implement a comprehensive procurement process that will result in a public-private partnership between CVWD and the DBOF team for Phase 1 of the San Juan Desalter Project. The procurement management firm will assist CVWD in developing a procurement strategy that includes the preparation of technical, financial and legal solicitation documents as well as DBOF proposal evaluation and contract negotiation. These specialized services are necessary to meet program deadlines and secure the best-qualified DBOF team. FOR CITY COUNCIL AGENi U W (__. Backaround Introduction CVWD is a member of the San Juan Basin Authority (SJBA), a Joint Powers Authority. SJBA was formed in 1971 for the purposes of managing the San Juan Groundwater Basin and jointly fund water system facilities to make water resources available to areas within the San Juan Creek Watershed serviced by the SJBA. SJBA formed Project Committee No. 4 (PC-4) for the sole purpose of constructing and operating the San Juan Basin Desalter Project. Currently, CVWD is the only participating agency of PC-4 as Moulton Niguel Water District and Santa Margarita Water District have decided to not participate at this time. CVWD plans to develop Phase I the Desalter Project, near the intersection of 1-5 and San Juan Creek. Phase I of the San Juan Desalter Project to design, build, operate and finance a desalination facility to provide approximately 4,800 acre-feet of potable water annually. This amount represents nearly one-half of CVWD's annual potable water supply. The Project would help the City of San Juan Capistrano meet its goal of securing 50% of its annual supply from groundwater sources. Approximately, eighty-five percent of CVWD's water supply is imported. CVWD's main water supplier, the Metropolitan Water District of Southern California (MWD), recognizing the importance of alternative supplies, entered into an agreement with Municipal Water District of Orange County and SJBA under MWD's Groundwater Recovery Program (GRP). Under the GRP agreement, CVWD will receive a subsidy of up to $250 per acre-foot from MWD in order to equate the costs of supply from groundwater and MWD sources. While this GRP agreement is beneficial to CVWD, it is conditional on two key project schedule parameters: 1. Construction of the Project must commence,by December of 2002; and, 2. Water must be produced by the Project by December of 2003. Should the District fail to meet either deadline above, the MWD subsidy will not be provided and the Project will become financially infeasible. Therefore time is of the essence. Procurement Management Services C:WxK1am1TEMPdbd agenda RanAm AGENDA ITEM • • July 18, 2000 Page 3 of 5 In order to proceed with the project without delay, request for qualifications to provide procurement management services have been sent to five engineering firms: Malcolm Pirnie Inc., Carlsbad, CA; Parsons Engineering Science, La Jolla, CA; Metcalf& Eddy, San Diego, CA,; RBF and Associates, Irvine, CA; and, HDR Engineering, Orange, CA. The Scope of Work for this project includes development of a procurement strategy, pre-qualification process to pre-screen qualified bidders, preparation of the request for proposals (RFP) document to design-build-operate-finance the Phase I desalter project, preparation of the draft service agreement, proposal evaluation, and Contract negotiation and preparation of adoption of the public- private partnership. The scope of work for managing a DBOF procurement is comprehensive and differs greatly from the traditional design-bid-build approach. Because CVWD will be entering into a long-term (20-year) service agreement with the DBOF team, great care must be taken to ensure the resulting public-private partnership will yield high-quality DBOF services while protecting the financial and legal interests of CVWD. Procurement documents must be structured to include specific requirements and standards to which the private DBOF team must adhere. Detailed performance standards, construction standards and contractual terms and conditions must be defined and conveyed to the private sector during the procurement in order for CVWD to receive thoughtful proposals that clearly define the approach of the DBOF team. In preparing their DBO/DBOF proposals for CVWD, bidders will likely spend in upwards of$300,000 to $500,000 in response to the CVWD solicitation, thus the procurement documents must contain a sign cant amount of technical, financial and legal guidance. Conversely, a traditional design-bid-build engagement entails the development of a "design specification" that is used by the private sector to "bid" on the project. An accepted rule of thumb states that design costs average between 8% and 10% of a project's construction cost. For CVWD, this would equate to well over $1,000,000 and likely four to six months of effort. Examples of recent DBO/DBOF procurement management engagements are shown in the table below. The successful proposal will be recommended based upon the application of a number of criteria, including but not limited to, general ability to meet all requirements outlined in the specification package, qualifications, experience, review of references, proposal price, resources available, etc. The formal rules of bidding applicable to Public Works projects (e.g., award to the lowest responsible contractor) are inapplicable to this request for proposals in that management-consulting services are not a public work under the Public Contracts Code. Required funding for this project will be incorporated into the Phase I Desalter Project's total cost and is subject to reimbursement through the GRP. Procurement Management Services In order to proceed with the project without delay, request for qualifications to provide procurement management services have been sent to five engineering firms: Malcolm Pirnie Inc., Carlsbad, CA; Parsons Engineering Science, La Jolla, CA; Metcalf & Eddy, San Diego, CA; RBF and Associates, Irvine, CA; and, HDR Engineering, Orange, CA. The Scope of Work for this project includes development of a procurement strategy, pre-qualification process to pre-screen qualified bidders, preparation of the request for proposals (RFP) document to design-build-operate-finance the Phase I Desalter project, preparation of the draft service agreement, proposal evaluation, and Contract negotiation and preparation of adoption of the public- private partnership. The scope of work for managing a Design Build Operate and Finance (DBOF) procurement is comprehensive and differs greatly from the traditional design-bid- build approach. Because CVWD will be entering into a long-term (20-year) service agreement with the DBOF team, great care must be taken to ensure the resulting public-private partnership will yield high-quality DBOF services while protecting the financial and legal interests of CVWD. no X J7isE 1-1St FOR CITY COUNCIL AG M� • • July 18, 2000 Page 2 of 3 Two proposals were received: Engineering Approximate Consulting Fee Legal Hourly Rate Legal Fee 1) Malcolm Pirnie $300,000 $250/hour $135,000 2) RBF $355,000 $300/hour Staff analyzed the two proposals submitted for completeness, their efficiency and innovation in meeting the requirements of the request for qualifications (RFQ) and serving the needs of CVWD. After review of the proposals, Malcolm Pirinie was selected to perform these services for the following reasons: 1. their approach transferred all risks to DBOF team, 2. strong, experienced team, 3. Malcolm Pirnie is the national leader in DBOF process, and 4. their strong financial skills. The successful proposal is recommended based upon the application of a number of criteria, including but not limited to, general ability to meet all requirements outlined in the specification package, qualifications, experience, review of references, and resources available. Re: Malcohn Pirnie Agreement Date: August 22, 2000 I've enclosed two signed original copies of the Personal Services Agreement between Malcolm Pirnie, Inc. and Capistrano Valley Water District (District). The scope of services provided under this agreement involve procurement management services related to the design, construction, financing and operation of the District's Phase I Desalter Project. As we discussed on August 15, Malcolm Pimie's July 12 price proposal is based on a lump sum contractual agreement. However, the language in the enclosed contract under Section 3.2 (Rate Schedule) is ambiguous and could be interpreted in a variety of ways. Per our discussion on August 15, Malcolm Pimie will invoice the District based on the percentage of work completed to date, not to exceed the lump sum amount of$300,000. This is the same procedure described in the Personal Services Agreement between Malcolm Pimie and the City of San Juan Capistrano for the Connector Pipeline Project.
