THIS AGREEMENT is made and entered into this day of NAA -V- tti
2003, by and between the City of San Juan Capistrano
(hereinafter referred to as the "City") and Janet Matson Consulting, (hereinafter
referred to as "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the
City's proposal to assess citywide needs for electronic document management,
develop policies and procedures for citywide electronic document management
and purchase equipment to electronically manage documents; and
WHEREAS, Consultant is qualified by virtue of experience, training,
education and expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those
tasks as set forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a
competent, professional and satisfactory manner and in accordance with the
prevalent standards of its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later July 1, 2003.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall
not exceed Twelve Thousand Dollars ($12.200) as set forth in Exhibit
attached and incorporated herein by reference.

3.2 Rate Schedule.
The services shall be billed to the City at the hourly rate of $75.00/hour.
Included within the compensation are all the Consultant's ordinary office and overhead
expenses incurred by it, its agents and employees, including meetings with the City
representatives and incidental costs to perform the stipulated services. Submittals shall
be in accordance with Consultant's proposal.
3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services which
have been satisfactorily completed and specifying a percentage of projected completion
for approval by the City. The City will pay monthly progress payments based on
approved invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City
is required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be
made available at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the City. This Agreement may not be assigned, voluntarily or
by operation of law, without the prior written approval of the City. If Consultant is
permitted to subcontract any part of this Agreement by City, Consultant shall be
responsible to City for the acts and omissions of its subcontractor as it is for persons
directly employed. Nothing contained in this Agreement shall create any contractual
relationships between any subcontractor and City. All persons engaged in the work will
be considered employees of Consultant. City will deal directly with and will make all
payments to Consultant.

Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including
but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated
the work to be performed; (2) it has investigated the proposed construction site,
including the location of all utilities, and is aware of all conditions there; and (3) it
understands the facilities, difficulties and restrictions of the work under this Agreement.
Should Consultant discover any latent or unknown conditions materially differing from
those inherent in the work or as represented by City, it shall immediately inform City of
this and shall not proceed with further work under this Agreement until written
instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City
at least one (1) copy of any final reports and architectural drawings containing
Consultant's findings, conclusions, and recommendations with any support
documentation. All reports submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and
approval of the City.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and exhibits shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the
City. The City acknowledges such documents are instruments of Consultant's
professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or
damages of any nature, including attorneys' fees, for injury or death of any person or
damage to property or interference with use of property and for errors and omissions
committed by Consultant arising out of or in connection with the work, operation or
activities of Consultant, its agents, employees and subcontractors in carrying out its
obligations under this Agreement.
Section 14. Termination.
City and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10)
days' notice to the other party of a material breach of contract. If the other party does
not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.
Section 15. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses
shall be used for delivery of service of process:

Section 16. Attorneys' Fees.

If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 17. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 18. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

A. FIRM ORGANIZATION
Janet Matson Consulting is a local firm with headquarters in Thousand Oaks, California,
serving clients in Riverside, Orange, and Los Angeles Counties.
The Thousand Oaks office is the only location; there are no branch offices.
Janet Matson is the sole owner of Janet Matson Consulting, which is a sole
proprietorship.

Chino Basin Watermaster, and Rincon Del Diablo Municipal Water District. Recent
projects include electronic document imaging consulting services for Riverside County
Local Agency Formation Commission and Elsinore Valley Municipal Water District.
Current projects include the development of an Administrative Code for Laguna Beach
County Water District and the implementation of an inactive records management
program for Central/West Basin Municipal Water District. Janet Matson is currently a
member of the Association of Records Managers and Administrators (ARMA) and a

B. Phase One Detail
Statement of Work
Development of a citywide Electronic Document Management Plan (EDMP).
Procedures
Step 1 — Gather data through interviews with City's Records Assistants, City Clerk staff
members, and City IT staff, and physical inspection of departmental records. A
streamlined approach is to go from department to department and evaluate what paper
comes in, how it comes in, where it is stored, how frequently it needs to be retrieved
and for how long must it be retained. It could take up to four hours in each of the City's
six departments to adequately interview key personnel and inspect records resulting in
the following:
• Gather information on the current volume, type, retention requirements and
reference activity of records for each department
• Determine user requirements and identify problems and concerns
• Gain consensus among departments regarding the objectives of an imaging
system and identify specific organizational and user benefits
• Establish organizational requirements relative to retention and legal
considerations
• Review existing systems including uses, processes, hardware and software, and
integration capability with other systems
Interviews with staff in each department will be conducted keeping in mind the
importance of consensus among the departments. Ideally, users need to recognize
how an imaging system will improve efficiencies and provide solutions to existing
problems. The series of interviews and records inspections should be done within the
first week and completed by March 14.
Step 2 — Develop citywide EDMP based on information gathered in Step 1 that includes
the following:
• Overview of records, by department
• Description of each department's needs, goals and security issues

• Identification of indexing fields for each document type required for retrieval
• Description of existing technology and systems integration capabilities
• Review of existing imaged documents and analyze integration capabilities
• Description of technology and systems requirements
Completion date for the EDMP is expected to be March 21.
C. Phase Two Detail
Statement of Work
Prepare Request for Proposals and Assist with Bidding for Electronic Document
Management and Equipment.
Procedures
Data gathered in Step 1 will provide the basis for the Request for Proposals. Consultant
will prepare a request for proposal and working with designated City staff will make any
changes or revisions required. Consultant will assist in developing a bidder's list, be
available to answer bidder inquiries during the process. Consultant will be present
during the opening of the bids, and assist in evaluating bids based on the following
criteria:
• Software - functionality, indexing capabilities, flexibility, future viability, etc.
• Ease of use - amount of training required, user manual
• Hardware - memory requirements, operating system, networking ability, security,
etc.
• Maintenance support - on-site, toll-free dial in, turn around time, etc.
• Costs - purchase price, start-up costs, training, maintenance, hidden costs
• Vendor information - reputation, background, references
A draft RFP will be prepared and presented to City staff for review by March 28. After
review by City staff and any revisions, the RFP will be ready for issue by April 3.

D. Phase Three Detail
Statement of Work
Develop policies and procedures for citywide electronic document management and
specifications for contractor services for electronic document management.
Procedures
Development of policies and procedures for citywide electronic document management
plan to include:
• Statement of the Purpose and Goals of the EDMP

• Assignment of specific tasks and responsibilities — staff
• Assignment of specific tasks and responsibilities — contractor services

Policies and Procedures for implementing the EDMP will be complete by June 13, 2003.
Consultant will provide a training session with City staff upon completion of installation
of equipment.
Pilot Program
It may be desirable to consider a pilot program within one department, which would take
place immediately after installation. Training and implementation in one department for
a period of time will help to identify strengths and weaknesses of the program and allow
for adjustments and refinements to be made before training and implementation in the
other five departments.

RECOMMENDATION (REVISED)
By motion, approve the Personal Services Agreement with Janet Matson in the amount
of $12,200 to provide electronic document management services.
SITUATION
First, the original agenda report concerning this item included a typographical error
related to the amount of the Personal Services Agreement with Janet Matson
Consulting. The original amount of the proposal received from Janet Matson is for
$12,200. This is the amount that should be approved.
Second, the attached letter was received today from Gladwell Governmental Services
Inc regarding the staff recommendation on this item.
In response to the letter, staff adds the following comments:
The letter refers to comparison of the services required in the Request for Proposals
(RFP). The agenda report comparison included a comparison of services beyond the
original request in the RFP. Since the proposal received from Janet Matson Consulting
included analysis of proposals received from companies to supply document imaging
equipment for $12,200, these services were also proposed as "Optional' by Gladwell
Governmental Services Inc (GGS). Receiving these services from GGS required
addition of $3,800 to the base bid of $17,000, for a total of $20,800.
Prior to staff issuing the RFP to potential responders, the City Attorney waived the
agreement requirement for professional liability insurance due to the nature of the work.
A copy of the final agreement, that does not include a requirement for professional
liability insurance, was part of the RFP sent to all bidders. Therefore, though GGS
carries $1,000,000 professional liability, it was not a requirement for this project.
The references provided by Janet Matson Consulting were thoroughly researched prior
to staff recommending approval of the agreement. Since the proposed fees by Janet

Matson Consulting were notably lower than fees from other firms, staff inquired into this
aspect with references. The references indicated that fees charged by Janet Matson
Consulting were significantly lower than fees proposed by other consultants for the
same work and they had had similar concerns about low rates. Their experience was
that Janet Matson Consulting was thorough, responsive and greatly exceeded
expectations. They were very appreciative of the quality and felt that this firm was a
very good value. Janet Matson is a Certified Records Manager with 17 years
experience. Though most of the firm's consulting practice has involved municipal water
districts, staff feels that her experience is appropriate to provide the professional
expertise needed for this project. As a city that provides a municipal water district
function, it is our experience that there is very little, if any difference in management of
records.
After thoroughly reviewing the five proposals submitted, it is apparent that the firm Janet
Matson Consulting can offer professional services at a lower rate due to the fact that it
is a home-based, one-person office. The hourly rate quoted by the firm is significantly
lower ($75) than other firms that ranged from $150 to $220 for certified records
managers, accompanied by lower rates for support staff. As a one-person office, Janet
Matson Consulting has a competitive advantage compared with offices with overhead
costs associated with employees and office space rental.
Staff is comfortable that Janet Matson Consulting is a good fit for this project. She is
very knowledgeable about records management, has an excellent track record, and the
ability to provide the work at very competitive rates.

Dear Honorable Council Members and City Clerk:
I want to support City Clerk Meg Monahan in recommending the lowest bid to the Council for award in
Item #10, Flectronic Document Management Consulting Services.
However (you knew that was coming), I urge you to reconsider the preliminary award to Janet Matson
based upon the following,
1. Gladwell Governmental Services, Inc. (GGS) bid, based upon a comparison of the services
required in the RFP, is actually $17,000, not $20,800. Based upon our many years of
experience. GGS proposed additional optional services, Including facilitating the demonstrations,
assisting the City in their selection of the vendor, and contract negotiation, which was not required
by the RFP (see page 6 of our proposal).
2. GGS is a California Corporation and carries $1,000,000 in professional liability, errors and
omissions and general liability insurance policies. Operating as a corporation and providing these
policies is more expensive, and therefore increases our overhead, but it provides the standard
levels of protection required by California cities.
3. GGS has assisted over 20 California cities implement Electronic Document Management
Systems (EDMS). It appears that Janet Matson has assisted no cities in their acquisition or
implementation of an EDMS, rather, Janet lists two other types of entities (Riverside County
LAFCO and a Water District) as her experience in this area.
4. In addition to assisting over 50 cities with records management and/or EDMS projects, I have
served as City Clerk in two different California cities. My expertise is with city government rather
than water districts.
In summary, GGS's proposal at $17,000 is the lowest rgsponsible bidder for this project. We bring "Best
Practices" from EDMS implementations in over 20 cities in California to ensure San Juan Capistrano
implements the most efficient system possible. You can award this project to GGS with confidence; it is
common practice for cities to use discretion in awarding these types of technology contracts, and they
typically do not go to the lowest bidder, but to the company that the city determines will provide the best
value.

RECOMMENDATION
By motion, approve the Personal Services Agreement with Janet Matson in the amount
of $12,000 to provide electronic document management services.
SITUATION
Background:
The City has certain legal responsibilities with respect to producing, retaining, managing
and providing access to public records. For the most part, these responsibilities have
been accomplished through management of traditional paper records, with some
exceptions. The Planning and Engineering and Building Departments have
independently completed conversion of some paper documents into electronic format.
Managing records in digital format offers many advantages over managing "paper
records." Accessibility and, over time, very significant reductions in costs related to
records storage are among the greatest advantages. The City maintains records based
on an adopted Records Retention Schedule that takes into account laws related to
retention of records, as well as usefulness of records in conducting the city's business.
Records are stored both on-site and off-site to accommodate all of the records that
must be retained. Fees are charged each time the city accesses a record stored off-
site. In addition to fees, the period to access the records is approximately two to three
days. The current annual budget for off-site storage is $8,500, a cost that continues to
rise annually, based on the creation of new records and on inflationary increases in
storage costs.
If the city's records were stored digitally, methods have advanced to the point that all of
the city's records could fit on one DVD disk. In addition to this dramatic saving of
storage space, records maintained digitally are immediately accessible. Records would
be stored both on the city's intranet server, making them immediately available citywide
to staff, and on CD-ROM or DVD disks, to maintain additional sets, if needed. Though
off-site storage of certain paper records will likely be needed well into the future,
converting newly created records into digital format storage would greatly decrease the

need for additional off-site storage, as well as the costs related to storage of newly
created records. Over time, as records are destroyed according to the records
retention schedule, less and less off-site storage would be needed, and would
eventually be phased out.
Staff could also realize much greater efficiency in managing records as well as using
records to facilitate management functions. Finding and reviewing digital records is
much easier than paper records. Records, whether they are paper or digital, need to be
maintained according to adopted Records Retention Policies. This can become
problematic with the proliferation of digital records, especially in light of our ability to
create digital records through the use of digital copy machines and e-mail. It is
important that the City establish a method to insure that digital records are maintained
on the same retention schedule as traditional paper records. Policies related to
reproducing and storing digital records are also imperative to the City's ability to
respond to requests for public records. Digital records can be managed on a personal
computer, while paper records require each record to be physically accessed, removed
from a file and reviewed in -hand. A tremendous time saving would be achieved through
digital storage, in addition to a greatly reduced risk of 'losing" or misfiling records.
A digital records program provides the benefit of establishing standard citywide
specifications and procedures to storing and accessing records in digital formats. Since
the Planning and Engineering and Building Departments have implemented
independent approaches to converting records into digital files, this program would take
these completed approaches into account and bring these records into a standard
format, allowing citywide access to the records. It would also establish methods to be
used both in-house and for future contracts to convert existing records. A uniform
approach ensures that records remain accessible and legally admissible.
Digital records also have unique characteristics that demand storage and reproduction
into specific formats so that document integrity is preserved. These characteristics,
combined with the vast array of products and methods available to manage digital
records, necessitates seeking professional electronic document management expertise
to assist staff in identifying the city's needs, establishing citywide uniform standards for
managing electronic documents, and specifying and purchasing equipment for in-house
conversion and retention of documents.
To address these needs and concerns, the City Council approved a program with
adoption of the Fiscal Year 2002-2003 budget to seek out the services for professional
electronic document management advice to assist staff in developing an electronic
document management program. Outside professional expertise is especially needed
in undertaking this program due to the vast array of equipment and technologies
available. A professional records manager will assess citywide needs for digital records
management and compare those needs with available technologies. Expertise is
needed to prepare citywide specifications and procedures for digital records
management to ensure that both in-house and contracted services produce digital

records that are universally accessible and legally admissible. Assistance is also
needed in purchasing in-house equipment that meets our needs, is user-friendly,
includes industry standard technologies combined and is backed by reputable, low
service requirements.
To implement this program, Staff issued a Request for Proposals (RFP) for electronic
document management services on January 31, 2003. Five responses were received
to the RFP, as noted below:

After thoroughly reviewing the proposals, services to be provided, fees and anticipated
value offered, staff recommends as follows:
Recommendation:
Staff has reviewed the proposals in detail and recommends that the City Council
approve a Personal Services Agreement with Janet Matson for $12,000 to provide
these services. This firm offers the needed expertise, an understanding of the time
constraints associated with this project, has a familiarity with the city, excellent
references and has offered services at a very competitive price.

The City budgeted $21,000 for the services of providing expertise in electronic
document management. It is expected that staff will return to the City Council in

1. Personal Services Agreement
PERSONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this _ day of
, 2003, by and between the City of San Juan Capistrano (hereinafter referred to
as the "City") and Janet Matson Consulting, (hereinafter referred to as "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the City's
proposal to assess citywide needs for electronic document management, develop
policies and procedures for citywide electronic document management and purchase
equipment to electronically manage documents; and
WHEREAS, Consultant is qualified by virtue of experience, training, education
and expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit "k' attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and services
required hereunder shall be completed by no later July 1, 2003.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall not
exceed Twelve Thousand Dollars ($12.000) as set forth in Exhibit "A," attached and
incorporated herein by reference.

3.2 Rate Schedule.
The services shall be billed to the City at the hourly rate of $75.00/hour.
Included within the compensation are all the Consultant's ordinary office and overhead
expenses incurred by it, its agents and employees, including meetings with the City
representatives and incidental costs to perform the stipulated services. Submittals shall
be in accordance with Consultant's proposal.
3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services which
have been satisfactorily completed and specifying a percentage of projected completion
for approval by the City. The City will pay monthly progress payments based on
approved invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City
is required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be
made available at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the City. This Agreement may not be assigned, voluntarily or
by operation of law, without the prior written approval of the City. If Consultant is
permitted to subcontract any part of this Agreement by City, Consultant shall be
responsible to City for the acts and omissions of its subcontractor as it is for persons
directly employed. Nothing contained in this Agreement shall create any contractual
relationships between any subcontractor and City. All persons engaged in the work will
be considered employees of Consultant. City will deal directly with and will make all
payments to Consultant.

Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including
but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated
the work to be performed; (2) it has investigated the proposed construction site,
including the location of all utilities, and is aware of all conditions there; and (3) it
understands the facilities, difficulties and restrictions of the work under this Agreement.
Should Consultant discover any latent or unknown conditions materially differing from
those inherent in the work or as represented by City, it shall immediately inform City of
this and shall not proceed with further work under this Agreement until written
instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City
at least one (1) copy of any final reports and architectural drawings containing
Consultant's findings, conclusions, and recommendations with any support
documentation. All reports submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and
approval of the City.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and exhibits shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the
City. The City acknowledges such documents are instruments of Consultant's
professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or
damages of any nature, including attorneys' fees, for injury or death of any person or
damage to property or interference with use of property and for errors and omissions
committed by Consultant arising out of or in connection with the work, operation or
activities of Consultant, its agents, employees and subcontractors in carrying out its
obligations under this Agreement.
Section 14. Termination.
City and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10)
days' notice to the other party of a material breach of contract. If the other party does
not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.
Section 15. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses
shall be used for delivery of service of process:

Section 16. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 17. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 18. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

Janet Matson Consulting is a local firm with headquarters in Thousand Oaks, California,
serving clients in Riverside, Orange, and Los Angeles Counties.

B. Phase One Detail
Statement of Work
Development of a citywide Electronic Document Management Plan (EDMP).
Procedures
Step 1 — Gather data through interviews with City's Records Assistants, City Clerk staff
members, and City IT staff, and physical inspection of departmental records. A
streamlined approach is to go from department to department and evaluate what paper
comes in, how it comes in, where it is stored, how frequently it needs to be retrieved
and for how long must it be retained. It could take up to four hours in each of the City's
six departments to adequately interview key personnel and inspect records resulting in
the following:
• Gather information on the current volume, type, retention requirements and
reference activity of records for each department
• Determine user requirements and identify problems and concerns
• Gain consensus among departments regarding the objectives of an imaging
system and identify specific organizational and user benefits
• Establish organizational requirements relative to retention and legal
considerations
• Review existing systems including uses, processes, hardware and software, and
integration capability with other systems
Interviews with staff in each department will be conducted keeping in mind the
importance of consensus among the departments. Ideally, users need to recognize
how an imaging system will improve efficiencies and provide solutions to existing
problems. The series of interviews and records inspections should be done within the
first week and completed by March 14.
Step 2 — Develop citywide EDMP based on information gathered in Step 1 that includes
the following:
• Overview of records, by department

Prepare Request for Proposals and Assist with Bidding for Electronic Document
Management and Equipment.
Procedures
Data gathered in Step 1 will provide the basis for the Request for Proposals. Consultant
will prepare a request for proposal and working with designated City staff will make any
changes or revisions required. Consultant will assist in developing a bidder's list, be
available to answer bidder inquiries during the process. Consultant will be present
during the opening of the bids, and assist in evaluating bids based on the following
criteria:
• Software - functionality, indexing capabilities, flexibility, future viability, etc.
• Ease of use - amount of training required, user manual
• Hardware - memory requirements, operating system, networking ability, security,
etc.
• Maintenance support - on-site, toll-free dial in, turn around time, etc.
• Costs - purchase price, start-up costs, training, maintenance, hidden costs
• Vendor information - reputation, background, references
A draft RFP will be prepared and presented to City staff for review by March 28. After
review by City staff and any revisions, the RFP will be ready for issue by April 3.
