THIS AGREEMENT is made and entered into this 7"' day of February, 2005, by
and between the City of San Juan Capistrano (hereinafter referred to as the "City") and
Griffin Structures, Inc., (hereinafter referred to as "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant for Professional
Space Needs Assessment for a new Civic Center in the City of San Juan Capistrano;
and,
WHEREAS, Consultant is qualified by virtue of their experience, training,
education and expertise to accomplish such services;
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later than June 30, 2005.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services under this agreement shall not
exceed Twenty Five Thousand Dollars ($25,000.00), as a lump sum for all work set
forth in Exhibit "A."
Included within the compensation are all of the Consultant's ordinary office and
overhead expenses incurred by it, its agents and employees, including meetings with
the City representatives and incidental costs to perform the stipulated services.
Submittals shall be in accordance with Consultant's proposal.

3.2 Method of Payment.
Consultant may submit monthly invoices based on total services, which
have been satisfactorily completed, and specifying a percentage of projected
completion for approval by the City. The City will pay monthly progress payments
based on approved invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City
is required prior to Consultant undertaking any extra work.
3.3 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be
made available at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the City. This Agreement may not be assigned, voluntarily or
by operation of law, without the prior written approval of the City. If Consultant is
permitted to subcontract any part of this Agreement by City, Consultant shall be
responsible to City for the acts and omissions of its subcontractor as it is for persons
directly employed. Nothing contained in this Agreement shall create any contractual
relationships between any subcontractor and City. All persons engaged in the work will
be considered employees of Consultant. City will deal directly with and will make all
payments to Consultant.
Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including
but not limited to any additional Consultant's fees.

Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated
the work to be performed; (2) it has investigated the proposed construction site,
including the location of all utilities, and is aware of all conditions there; and (3) it
understands the facilities, difficulties and restrictions of the work under this Agreement.
Should Consultant discover any latent or unknown conditions materially differing from
those inherent in the work or as represented by City, it shall immediately inform City of
this and shall not proceed with further work under this Agreement until written
instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City
at least one (1) copy of the final report in electronic format containing Consultants
findings, conclusions, and recommendations with any supporting documentation. All
hard copy reports submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and
approval of the City.
Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and exhibits shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the

City. The City acknowledges such documents are instruments of Consultant's
professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or
damages of any nature, including attorneys' fees, for injury or death of any person or
damage to property or interference with use of property and for errors and omissions
committed by Consultant arising out of or in connection with the work, operation or
activities of Consultant, its agents, employees and subcontractors in carrying out its
obligations under this Agreement.
Section 14. Insurance.
Insurance required herein shall be provided by Admitted Insurers in good
standing with the State of California and having a minimum Best's Guide Rating of A -
Class VII or better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full
force and effect Comprehensive General Liability coverage in the following minimum
amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to
contractual period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period.
14.2 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full
force and effect Comprehensive Automobile Liability coverage, including owned, hired
and non -owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to
contractual period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period

14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as
required by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit
the insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability
policies to the City Clerk's office for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors
and Omissions Coverage (professional liability coverage) in an amount of not less than
One Million Dollars ($1,000,000). Prior to beginning any work under this Agreement,
Consultant shall submit an insurance certificate to the Clerk of the Board's office for
certification that the insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Term!nation of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled,
nor the coverage's reduced, until after thirty (30) days' written notice is given to City,
except that ten (10) days' notice shall be given if there is a cancellation due to failure to
pay a premium.
14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance
provisions have been satisfied.
14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the
City has issued a written "Notice to Proceed" verifying that Consultant has complied
with all insurance requirements of this Agreement.
Section 15. Termination.
City and Consultant shall have the right to terminate this Agreement without
cause by giving ten (10) days' advance written notice of termination to the other party

In addition, this Agreement may be terminated for cause by providing ten (10)
days' notice to the other party of a material breach of contract. If the other party does
not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses
shall be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

Exhibit "A"
Scope of Work
PURPOSE AND INTENT
The goal of the project is to identify the facility needs for a new city hall to serve the
community of San Juan Capistrano.
SPECIFIC TASKS
Project Orientation
The orientation process should include an initial meeting between the Project Coor-
dinator and city representatives. This gives an opportunity to verify expectations and
the project assumptions. These initial meetings help develop a close working rela-
tionship, define project goals and objectives clearly and carefully, specify project par-
ticipants and points of resource, refine data collection methodology and tools, estab-
lish commitments to project schedules and review points, and set communications
mechanisms to be used throughout the project.
Collection of Information
Data collection for the Needs Assessment uses interview, questionnaires, and site
survey methods. The interview and survey schedules will be set during Project Ori-
entation, and the initial meetings will help formulate the design and distribution of
questionnaires.
Interviews are the key mechanism for obtaining the needed information. Consultant
should focus first on the components to be included in the facility. Each department
to be located in the building is met with independently, and needs are discussed and
tabulated on an individual basis. Various factors—such as new technology and
equipment, state and federal programs, and each agency's policy—can have influ-
ence on the information Consultant receive. Consultant will discuss operations, rela-
tionships, and activities that affect space needs and effective space utilization.
Consultant shall also conduct a physical survey (inventory of space use) for those
existing functions which are to be housed in the proposed facility. This survey pro-
vides a baseline of operations today, the types of workstations in use, operational
practices, file and storage volumes, public counters, existing conference room de-
mand and frequencies, and other fundamental information. This is usually performed
in advance of the interviews, so that Consultant is able to discuss issues regarding
existing conditions.
Questionnaires will be used to obtain background information at the department
level. Generally the use of questionnaires is to obtain details which do not warrant

interview time. If warranted, Consultant also may use questionnaires to obtain se-
lected baseline information at the individual employee level (this will be assessed in
the Orientation period). Consultant shall also prepare a "questionnaire" that lists
typical interview questions, which is distributed in advance of the interviews so that
respondents can have some opportunity to prepare.
Consultant will perform the following tasks.
• Consultant propose to interview up to 16 persons in the City Departments (De-
partment Directors, selected Division Managers, and City Administration) to
discuss objectives, component requirements, space needs, operational pa-
rameters capacities and participation levels, mission, and other critical informa-
tion driving the space needs for the proposed facility.
• Consultant will obtain available written documentation from budgets and other
sources about the functions and operations of the departments.
• Consultant will inventory the spaces in use which would be located in a new fa-
cility, and make tabulations of equipment and functional areas as an existing
baseline for discussion.
• Consultant will prepare questionnaires for distribution to department represen-
tatives and others to obtain key baseline information about public volumes ac-
cessing the department, conference room usage, central filing, and other such
information.
• If desired, as an additional service, Consultant will arrange for tours of selected
facilities, as examples of spatial configurations, use of workstations and work-
station standards, and other criteria.
Prosection of Operations and Recommended Workstation Space Standards
The first analysis step in the needs assessment is projection of those operations to
be housed in City Hall. This entails review of specific information supplied by Direc-
tors and others in the interviews, and by setting up a projections model using the
growth and change parameters identified by the City, such as demographics (popu-
lation levels, age profiles, densities, and other factors), levels of service, City budget
trends, and other factors as noted above. Consultant perform the projection using
existing or proposed functional City organization structure, so that staff and func-
tional units will be clustered together in the appropriate manner.
The staff projections will take into account the functions performed. Consequently,
if, for example, changes are to be made in how One -Stop Shop operations are per-
formed—including issues of cashiering or internet application filing, management of
plan review stages, or records management—then the projection of operations
should reflect these considerations.
Related to the analysis of staff function and projection is the analysis of workstation
space needs for each such position. Consultant will develop and propose work-
station standards that can be provided across all positions with similar functions.

This approach allows greater flexibility in adapting to future workloads, organiza-
tional alignments, and space management. When existing furniture (i.e., open work-
station cubicles) are retained, Consultant adapt standards which are consistent and
compatible. The City then can review these space standards and approve their allo-
cation at this early planning stage.
In summary, among the tasks which Consultant will perform are the following.
• Identify and review, based on interviews with appropriate City staff, the levels of
service to be performed, including changes in, and new levels of, operations.
This information will reflect City and Departmental policy, based on information
obtained in interviews and other City sources.
• Develop staff projections in City -approved forecasting periods, for functions in-
cluded in the City Hall. These projections will be based on existing budgeted
staff levels as a baseline, and forecasted using such factors as population lev-
els, demographic changes, new programs or changes, technology, and various
measures of work load.
• Prepare personnel summary tables showing present levels and future forecasts
by organizational unit.
• Identify proposed workstation standards for City Hall staff, taking into account
current work areas and work functions.
• Prepare and submit a draft document on operations, which will be the basis for
subsequent work in assessing space requirements. Consultant will proceed
with space needs calculations once the findings of this report are approved by
the City.
Space Needs and Facilities Options
The Space Needs Analysis is focused on identifying the specific rooms and areas
which are needed to meet the operational parameters defined above. This work is
partially concurrent with the operational analysis, since space implications must be
understood in the operations review.
Quantitative Needs
An analytical approach to determining space requirements inculding (a) identification
of space standards for use in the computation of requirements, (b) the projected op-
erations are combined with the space standards, to arrive at computed space re-
quirements for each operational area, room, and component, (c) tabulation of the
space requirements for each projection period used for forecasting operations, and
(d) quantitative space needs tables including net square footages, circulation allow-
ances, and other spaces needed to arrive at estimated gross square footage re-
quirements.
This process requires that the projection of operations and the space standards be
based on the same units of detail. It is also necessary to add factors appropriate to

the general design assumptions to allow for adequate circulation, building systems,
and other areas.
Comparison of Needs to Present Space
The requirements detail sheets will include a tabulation of space presently occupied,
and will compare this to the requirements projections (which are based on the pro-
posed space standards) for each of the identified projection periods. This allows for
a validation and "reality check" for the space projections previously estimated by
staff, and further shows where the greatest shortfalls in space are computed to be.
Functional (Qualitative) Needs
During this phase of work, Consultant should also address key special functional
needs, especially where these needs exceed the typical office requirements or
where these special needs affect options and decisions regarding how the facility is
developed. Such factors may include (a) floor loading factors, (b) electrical require-
ments for equipment and for general operations, (c) heat output from equipment and
other sources, (d) communications and network needs, (e) special finishes or design
requirements implied by proposed uses for areas or rooms, (f) special lighting re-
quirements and conditions, (g) security considerations and access restrictions, and
(h) special plumbing, ventilating, or other mechanical requirements.
Special Studies of Operations and Space
There are various areas of a City Hall that may require special attention and analy-
sis, and Consultant should make a general review and analysis of these areas in this
scope of work, and to estimate space requirements accordingly. The areas to be
examined include the following.
Projection of parking needs for the City functions included in the scope of work,
specifically to include requirements for public visitors, City employees, City -
owned vehicles that must be parked at City Hall, and related components.
Analysis of space requirements related to a one-stop shop and consolidated
public counter and processing area.
Evaluation of conference and meeting requirements for the operations in City
Hall, and development of a projection of rooms and areas that will statistically
meet the City needs.
Report on Space Needs — Workbook
The information above will be assembled into a workbook which may contain options
and alternatives as well as projections of requirements for a series of future projec-
tion periods. The information is assembled by department to simplify the reviews at
the department level. The report also has a complete summary section that explains
the total requirements and assumptions driving them. In summary, Consultant shall
deliver a Space Needs report (workbook in unbound 8.5 x 11 format and in elec-
tronic format using Word) that contains the following items:

• Space standards for each personnel level and function.
• Detailed, descriptive space needs tables, showing personnel, rooms and areas,
standards used, special open -area equipment, and special environmental
needs, for each of the projection periods.
• The detailed space requirements may also include various optional approaches
for space use, such as two different ways to accommodate a future one-stop
shop, optional meeting or work rooms, and so on.
• Summary tables showing present and future needs, and space occupied at the
present as a comparison.
• Summary diagrams describing major adjacency relationships, and showing the
flow of information, communications, people, equipment and materials.
• A tabulation of parking needs for the present and future projection periods, in-
cluding public, City, and staff vehicles.
• Information in the form of Department -level packets, for review and approval by
project monitors and Department officials.
Architectural Program
Consultant shall prepare an architectural program that summarizes all needs as-
sessment decisions into a specific list of spaces to build, and so is the definitive
Space Needs Statement. It does not include projection periods, or options, but is fo-
cused on one set of requirements. As such, it also includes information which a fu-
ture design team would eventually require regarding assembling these spaces into a
building.
Workshop Meeting
Consultant shall assist the City in selecting from possible options in the Needs As-
sessment report (workbook) by facilitating a workshop with appropriate City repre-
sentatives at which these issues and options will be presented. For example, it may
be desired to reduce conference room allotments, based on decisions regarding
shared use, or the one-stop shop area may be configured to either include or ex-
clude some specific department function.
Architectural Program Report
The report (Architectural Program) will identify the final space requirements for the
City operations, and will include a tabulation of all spaces and areas, along with
functional and qualitative information as noted above. The requirements will be
based on the chosen projection period and will reflect the policy and other decisions
resulting from the Needs Assessment report (workbook). The architectural program
also will include proximity and work -flow information, in the form of bubble diagrams
which show proximities and functional relationships between areas. In addition, the
program will identify other criteria which the design team will need, such as general
design guidelines, security factors, floor loading assumptions, needs for building sys-

tems (power, lighting, HVAC, plumbing), security and safety factors, and other such
items.
Consultant shall perform the following tasks.
• Consultant will conduct a team meeting or workshop to resolve and select be-
tween possible options, or to undertake cuts or other refinements in the space
needs as presented in the Needs Assessment Report (Workbook).
• Upon selection of options and making adjustments and refinements in the
space needs, as noted above, Consultant will prepare a definitive Architectural
Program which reflects the final space requirements for the proposed new facil-
ity.
• The Architectural Program will include the special functional requirements im-
plied by the activities proposed, on a room -by -room basis, including such fac-
tors as mechanical systems, characteristics of electrical service, floor loading
criteria, security issues, general lighting criteria based on room usage, and so
on.
• The Architectural Program will include room and area relationships, in the form
of bubble diagrams.
• The Architectural Program will include final space standards used in the pro-
gram and related information.
PROJECT SCHEDULE
The proposed project schedule duration is 90 days. Note that this schedule does in-
clude allowances for extended review times by the City, if needed, or for unusual lag
times which may result from difficulties in setting meeting dates.
