This Amendatory Agreement is made this ? I day of June, 2007, by and
between the City of San Juan Capistrano, hereinafter referred to as "CITY" and PCR
Corporation, hereinafter referred to as "CONSULTANT'.
WHEREAS, City and City entered into an amended agreement dated June 30,
2006 for consultant services to provide historic preservation consulting; and
Whereas, CITY and CONSULTANT has not yet completed the services, and the
CITY and CONSULTANT hereby desire to extend the term of the agreement to June
30, 2008.
NOW, THEREFORE BE IT RESOLVED between CITY and CONSULTANT as
follows:
Section 1. Section 2. (Term) is hereby amended to read as follows:
"This agreement shall commence on the effective date of this Agreement
and services required hereunder shall be completed by no later than June
30, 2008."
Section 2. All other terms and conditions of said agreements shall remain in
full force and effect.

professional and satisfactory manner and in accordance with the prevalent
standards of its profession."
Section 2. Section 3 (Compensation) is hereby amended to read as follows:
"Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall not exceed
Ten Thousand Six Hundred and Fifty Dollars ($10,650).
3.2 Rate Schedule.
The services shall be provided for work performed at the hourly billing rates
set forth in Attachment 1. Included within the compensation are all of the
Consultant's ordinary office and overhead expenses incurred by it, its agents
and employees, including meetings with the City representatives and
incidental costs to perform the stipulated services. Submittals shall be in
accordance with Consultant's proposal.

Dear Ms. Delcamp;
PCR Services Corporation (PCR) is pleased to provide the City of San Juan Capistrano
(City) with a proposal for the above -referenced project. We have prepared an itemized scope of
work, budget, and task description and schedule based on your September 15, 2005 email. All work
will be performed by qualified PCR staff archaeologists who are experienced in Orange County
archaeology. In addittion, PCR archaeologists are familiar with the Cultural Resources Element of
the City's General Plan.
The estimated budget for archaeological monitoring at the above -referenced project is
approximately $1.,018, including direct expenses. For on-call services, we have enclosed a rate
sheet, and estimate that various on-call services should not exceed $9,000. The total proposal
reflects an estimate of $10,018. If this proposal, and the terms and conditions contained herein, are
acceptable to you, please indicate your authorization and return one signed copy to us for our files.

SCOPE OF WORK AND BUDGCT
The following scope of work has been prepared to assist the City with archaeological
monitoring services at the Walnut Grove Restaurant and elsewhere throughout San Juan Capistrano
on an as -needed basis.
Task 1: Archaeological Monitoring
PCR proposes to provide a cross -trained monitor that is qualified to identify both
archaeological and paleontological remains. The monitor will have primary on-site determination
authority, with an established protocol if sensitive areas are encountered. If potential significant
sites are discovered during monitoring activities, a Senior or Principal Archaeologist or a Senior or
Principal Paleontologist will assess the find to determine its significance. In the event that human
remains are identified, the PCR monitor will halt construction activity. PCR will then confer with
the Orange County Coroner and California Native American Heritage Commission pursuant to
California Health and Safety Code 7050.5.
The duration of this task assumes i person day of monitoring for 8 hours at $47.00 per hour,
and 1 hour of Project Management at $133.00 per hour. The task includes monitoring and project
management. If resources are discovered that require additional time to record, a cost modification
estimate will be prepared. Any additional monitoring will be completed on a time and materials
basis unless otherwise negotiated.
Estimated Labor: $509
Task 2: Monitoring Report
Upon completion of the above -referenced monitoring fieldwork, PCR will prepare a letter
report that includes a project area map. This report shall address whether or not potentially
significant cultural resources were encountered. In the event that PCR identifies potentially
significant cultural resources during monitoring, we will prepare a separate scope of work and cost
estimate for testing and evaluation of the resource(s). Pricing for this task assumes a "negative
findings" letter report.

These include the desire of the client to expedite the project, the time required to complete certain
aspects of the work according to protocols, and the ability to overlap certain tasks. The time frames
indicted shall begin .immediately upon our receipt of this signed contract agreement.

Unless other contractual terms are agreed upon, PCR invoices on a monthly basis and
expects payment 30 days from date of invoice.
PCR's scheduling commitments are made and taken seriously. However, PCR reserves
the right to modify performance schedules in instances where payment of PCR
invoices falls behind agreed-upon terms.
PCR recalibrates its billing rates for professional time each calendar year and reserves the
right to raise the billing rate for one or more professional categories by no more than
5 go once in twelve calendar months.

WHEREAS, City desires to retain the services of Consultant to provide historic

WHEREAS, Consultant is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as set
forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later than June 30, 2006.
Section 3. Compensation.

3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services which have
been satisfactorily completed for approval by the City. The City will pay monthly progress
payments based on approved invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City
is required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not an
agent or employee of City, and shall obtain no rights to any benefits which accrue to City's
employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
operation of law, without the prior written approval of the City. If Consultant is permitted
to subcontract any part of this Agreement by City, Consultant shall be responsible to City
for the acts and omissions of its subcontractor as it is for persons directly employed.
Nothing contained in this Agreement shall create any contractual relationships between
any subcontractor and City. All persons engaged in the workwill be considered employees
of Consultant. City will deal directly with and will make all payments to Consultant.
Section 6. Changes to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to this
Agreement setting forth with particularity all terms of the new agreement, including but not
limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated the
work to be performed; (2) it has investigated the proposed construction site, including the
location of all utilities, and is aware of all conditions there; and (3) it understands the

facilities, difficulties and restrictions of the work under this Agreement. Should Consultant
discover any latent or unknown conditions materially differing from those inherent in the
work or as represented by City, it shall immediately inform City of this and shall not
proceed with further work under this Agreement until written instructions are received from
the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and regulations
of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City at
least one (1) copy of any final reports and architectural drawings containing Consultant's
findings, conclusions, and recommendations with any support documentation. All reports
submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and approval
of the City.
Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted by law, and Consultant agrees that they shall not be made available
to any individual or organization without prior written consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to
the City upon demand without additional costs or expense to the City. The City
acknowledges such documents are instruments of Consultant's professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or damages

of any nature, including attorneys' fees, for injury or death of any person or damage to
property or interference with use of property and for errors and omissions committed by
Consultant arising out of or in connection with the work, operation or activities of
Consultant, its agents, employees and subcontractors in carrying out its obligations under
this Agreement.
Section 14. Termination.
City and Consultant shall have the right to terminate this Agreement without cause
by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10) days'
notice to the other party of a material breach of contract. If the other party does not cure
the breach of contract, then the agreement may be terminated subsequent to the ten (10)
day cure period.
Section 15. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or
to such other addresses as may be designated by written notice. These addresses shall
be used for delivery of service of process:

Section 16. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.
Section 17. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS").

Section 18. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

RE: PROPOSAL: LECK HOUSE PRESERVATION CONSULTING SERVICES
Dear Tamara:
PCR Services Corporation (CPR) appreciates the opportunity to submit a proposal to you to
provide historic preservation consulting services to the City of San Juan Capistrano (City) with regard to
the above referenced property. We understand that the City is proposing the relocation of the historic
Arley Leck House from Ganado Street to 31831 Los Rios Street. The proposed relocation site is located
within the Los Rios Historic District, a National Register of Historic Places listed property. It is also
within the City's Historic Residential Zone. In order not to avoid impacting historic resources that may
be associated with this project we provide you with a well-rounded scope of tasks, as follows:
1. Data collection and review of materials (4-6 hrs.);
2. Conduct site visits of current Leck House location and proposed relocation site (6 hrs.);
3. Attend meetings and public hearings, as requested by the City (4 hrs. per mtg.);
4. Moderate and/or consult with interested parties regarding the project (4 hrs. per session);
5. Develop a relocation process for the Leck House following the Secretary of the Interior
Standards for the Treatment of Historic Properties, the guidelines stipulated by the National
Register of Historic Places (36 CFR 60.14[b]), and the guidance provided in the booklet
"Moving Historic Buildings" by John Obed Curtis (27 hrs.);
6. Provide on-site monitoring and sign -off of relocation process (12-16 hrs.).
Based on the foregoing scope of work and our understanding of the proposed project, PCR
estimates staff fees to complete tasks 1, 2, and 5 (based on higher end hours listed above) will be $5,187.
For the purposes of this proposal we are anticipating attendance at three meetings/public hearings (Task
3) for an estimated cost of $1,596. Attendance at additional meetings/public hearings would be billed at
a time and material rate. In completing Task 4, we anticipate three consultation sessions with interested
parties. The fee for attending and moderating these meetings would also be $1,596. If additional
consultation meetings with interested parties becomes evident, preparation and attendance at these
meetings would be billed at a time and material rate. The work effort associated with Task 6, on-site
monitoring and sign -off of the relocation process, would be based on a time and material rate, as well.

Typically, the relocation of a historic structure can take several hours over the duration of a couple of
days, depending on a number of factors, including the distance traveled; the type and size of resource
being moved; the process in which it is being relocated; its positioning on its current site and proposed
site; coordination of schedules; weather conditions; and the time of day it is being moved. Upon the
building's relocation to its new locale, we would draft a "findings" memo stating if the relocation effort
was conducted in a manner consistent with the Standards, 36 CFR 60.14(b), and the guidelines
recommended by the National Park Service that are outlined in the booklet "Moving Historic
Buildings." We our anticipating approximately 16 hours for this particular task for a total staff fee of
$2,128. Direct costs associated with the project are estimated at $100, which would cover any postage
and/or FedEx delivery fees; reproduction, printing, and photographic costs, and project -related mileage
incurred.
All fees and charges will be billed on a monthly basis in accordance with the attached schedule of
PCR 2005 Billing Rates and Expense Charges. In the event that our efforts fall below these cost
estimates, PCR will not bill the balance. Should the need arise for additional professional services
beyond those set forth in the scope of services and budget provided herein, PCR will request written
authorization from the City to proceed prior to the initiation of the additional services. Factors
triggering an increase in the scope of work and a revised fee may include but are not limited to: changes
in the overall scope of work; the need for additional or expanded technical studies or plan reviews;
attendance at additional meetings; response to comments on material submitted to the City; production

• Unless other contractual terms are agreed upon, PCR invoices on a monthly basis and
expects payment 30 days from date of invoice.
• PCR's scheduling commitments are made and taken seriously. However, PCR reserves the
right to modify performance schedules in instances where payment of PCR invoices falls
behind agreed-upon terms.
• PCR recalibrates its billing rates for professional time each calendar year and reserves the
right to raise the billing rate for one or more professional categories by no more than 5%
once in twelve calendar months.
